CONTRACT OVERVIEW

General Information about Passive RFID Passive RFID technology consists of small inexpensive tags that contain a microchip and an antenna. The tag design is a major factor in determining how well the tag can be read from a distance and how sensitive it is to orientation. Passive RFID tags do not have a battery. The tags receive power from a reader that has output in a single direction. The power from the reader energizes the tag, closes a circuit in the tag, and communicates the tag data back to the reader. Passive RFID tags are small, inexpensive, low-data capacity devices. The Department of Defense passive RFID standard is the EPC Class 1, Generation 2 tag with 96 Bits of readable data. The Gen 2 passive RFID is durable and long lasting. The tags may be encoded with an ISO approved DoD format Electronic Product Code (EPC) that allows the tag to be universally used as a license plate device within the DoD. The passive RFID tag is attached to material at the item, case, and carton or pallet level, and must be associated to the material in a data base. An Advance Shipping Notice (ASN) is used to transmit this association throughout the supply chain. The passive RFID short read range of around 12 feet offers the capability of a wireless bar code that has a variety of potential applications in military supply, maintenance, and distribution. Passive RFID readers require between 3 and 5 Watts of power in order to modulate the signal back to the reader from the tag. Power, frequency, and tag design are key characteristics that determine the read range of a passive RFID tag. Passive RFID solutions consist of the ASN, door portals or tunnels consisting of several passive RFID readers, table readers, or handheld (mobile) readers, connected to an automation system. When the tagged material passes through the portal or in proximity to the reader, all the tags within the reader environment may be read and processed into the automation system. Often a middle-ware is used to manage the readers and report the tags to the automation system. The ASN is provided by the origin of the shipment and identifies the specific materiel that each passive RFID tag is attached. Passive RFID tags come in many shapes and sizes, each designed for optimal performance in a specific environment. Benefits of passive tags include the ability to: read a large number of tags simultaneously, achieve better accuracy from the unique unambiguous tag serial numbers, store items for long periods and still read the tags, track items in crowded places, and find missing or misplaced items more quickly. The hierarchy of item, case/carton, and pallet level tags adds visibility to the supply chain. When used with other forms of AIT, passive RFID tags complete the first 3 shipping layers in the DoD supply chain. In accordance with the clause "Insurance - Work on a Government Installation (Jan 1997)(FAR 52.228.5)" and this schedule, the Contractor shall acquire and maintain during the entire performance period of this contract insurance of at least the following kinds and minimum amounts set forth below: Workman's Compensation and Employer's Liability Insurance in accordance with the amounts specified by the laws of the states in which the work is to be performed under this contract. In the absence of such state laws, an amount of $100,000 shall be required and maintained. General Liability Insurance: Bodily injury liability in the minimum amount of $500,000 per occurrence. Automobile Liability Insurance in the amount of $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage.

1 ORDERING PROCEDURES

1.1 Introduction The supplies and services are to be delivered to, or performed at, locations worldwide for Department of Defense (DoD) agencies and the Coast Guard. The equipment and services available for order are: • Hardware products • Installation services • End-user training • Technical support

1.2 Authorized Ordering Offices Need input regarding ordering procedures for equipment and services processed through these entities (if they exist).

1.3 Delivery/Purchase Card Orders/Task Orders The contractor will deliver hardware and software items to the destination specified in the order within 45 days after date of order for all orders (SF 1449). However, see FAR Clause 52.211-15, Defense Priority and Allocation Requirements, under the heading "Clauses Incorporated by Reference". The Contracting Officer issuing the order may arrange for a longer delivery period. Partial delivery is authorized, unless specified otherwise on the Delivery Order. The period of performance is stated on each Task Order for Technical Engineering Services,

Training Services, and Maintenance Services. Orders are mailed or notice of award furnished to contractor no later than date of order (FAR 11.403). All delivery and performance schedules include the three-day Contractor review time for acceptance or rejection of orders. Ordering is decentralized, with orders being placed by any authorized Contracting Officer or purchase cardholder supporting the Department of Defense, the United States Coast Guard (CG), North Atlantic Treaty Organization (NATO), Coalition Partners, other Foreign Military Sales (FMS), and other Federal agencies. All Delivery Orders, Purchase Card Orders, and Task Orders are subject to the terms and conditions of this contract. The contract controls in the event of conflict with any delivery order or task order.

1.3.1 Order Completion An SF 1449 or Purchase Card form is issued for each order. In addition to any other data that may be called for in the contract, the following information must be specified in each order as applicable: 1. Date of order 2. Contract and order number NOTE: Delivery Order numbering is in accordance with DFARS 204.7004 – Only the issuing office (ACA-ITEC4) is authorized to use the numbers 0001-9999. 3. Point of contact (name), commercial telephone and facsimile number, and e-mail address 4. Ordering Contracting Officer's commercial telephone number and e-mail address 5. Description of the supplies to be provided, quantity, and unit price (to include the contract line item number (CLIN) and/or subcontract line item number (SLIN) from Schedule of Supplies/Services. DFAS needs the CLIN/SLIN numbers to be reflected on the SF 1449s (or purchase card form) in order to do initial entry of orders into their automated payment system. When the Contractor submits a request for payment, DFAS compares the request for payment of CLIN/SLINs with the order CLIN/SLINs. Use of item numbers in Block 19 on the SF 1449 and not CLIN/SLIN numbers will result in payment delays and excessive administrative costs to both the Contractor and the Government). 6. 12. If an Army order, a completed copy of the Army Electronic Invoicing Instructions contained in Part C-1-1. 13. Any other pertinent information. Each Delivery Order and Task Order issued under this contract via appropriate form in compliance with FAR 12.204 is forwarded to the appropriate Service/Agency Centralized Order Processing Office (COPO) for verification and validation. All U.S. Marine Corps Purchase Card Orders for $25,000 or more are submitted to the appropriate COPO for verification and validation. All other Service/Agency purchase card orders are processed in accordance with the Service/Agency procedures. The COPOs assigns a unique control number (UCN) as designated by the Product Manager – Joint Automatic Identification Technology (PM J-AIT) to each delivery order and task order for tracking purposes only. The COPOs forwards the order to the Contractor. Distribution of orders is made by the contract ordering offices, in accordance with FAR 4.2, DFARS 204.2, and agency procedures. Issuance of an order is defined as the date order is awarded (see also Delivery Requirements in Part C-1-1).

1.4 Ordering Period All ordering after the Base Period is subject to the Government's Option to Extend the Term of the Contract. Also, any period during which there is a suspension of performance as a result of a bid protest does not constitute part of the Ordering Period. The contract life is seventy-two (72) months, 6 October 2008 through 5 October 2011, subject to Government exercise of all options to renew the term of the contract.

1.4.1 Ordering Time Limitations

The range of time that supplies and services may be ordered is under the following limitations.

1.4.1.1 Hardware, Software and Documentation

Hardware, software and documentation are ordered for 36 months from the date specified in the written notice to proceed.

1.4.1.2 Training

Training, if required, is ordered for 36 months from the date specified in the written notice to proceed.

1.4.1.3 Technical Engineering Services

Technical engineering services, if required, are ordered for 36 months from the date specified in the written notice to proceed.

1.4.1.4 Maintenance

Maintenance is ordered from the date the warranty expires through the remaining life of the contract.

1.4.1.5 Consumables

Consumables are ordered for 36 months from the date specified in the written notice to proceed.

1.5 Pricing Prices are listed in Section 9 in the CLIN list for each contract year.

1.6 Inspection, Acceptance and Receipt The Contractor will only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or re-performance of nonconforming services at no increase in contract price. If repair/replacement or re-performance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights within a reasonable time after the defect was discovered or should have been discovered; and before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

Product Overview

Intermec’s CK61 mobile computer provides everything required by the most demanding environments; a rugged design, all-day battery capacity, next generation processor technologies, and non-volatile storage combine to provide years of reliable service. The Intermec CK61 does it all.

Rugged, Tested Design

The CK61 utilizes a magnesium top cover and tough rubber bumpers at each corner to achieve extremely rugged environmental specifications. To ensure years of trouble-free service, the case is sealed against water and dust to IP64 standards and can withstand repeated 6’ drops.

Data Storage

Onboard non-volatile memory called persistent storage, preserves applications and databases even if the batteries become depleted. An additional 128MB persistent storage, an exclusive feature of the CK61, enables storage of large enterprise databases and applications. The CK60

also offers an SDIO card slot supporting removable storage cards, which allows easy recovery of data from a damaged unit or even more onboard capacity for the largest databases.

Choice of Operating System

The CK61 is available with either Microsoft® Windows CE 5.0 or Microsoft Windows Mobile 5.0 software for Pocket PC. Microsoft Windows CE provides significant flexibility to those customers who wish to control the user experience; Microsoft Windows Mobile offers a standard platform which can easily be applied across the enterprise. Both operating systems are supported by advanced software development tools as well as Intermec’s Developer Library, providing easy integration of unique hardware capabilities into custom applications.

Easy, Comfortable Operation

The QVGA resolution display features a touch screen, allowing the CK61 to run both text-based and graphical interface applications. Mobile workers are able to quickly enter large amounts of data using the numeric keypad featuring large, easy-to-use keys and excellent tactile feel. Suitable for both one- and two-handed input, the keypad is designed to last the life of the unit.

Flexible Compatibility

The CK61 provides multiple ways in which data may be exchanged between the handheld computer and other devices. High-speed Ethernet, USB Host and Client, and RS232 serial connections are standard on every unit, as is Bluetooth® wireless personal area communications. The CK61 may be optionally equipped with a Cisco Compatible, WiFi-certified 802.11a/b/g radio for local area wireless communications. INTERMEC IP30 Handle (Included in CLIN with CK61 reader) The Intermec IP30 add-on passive UHF RFID handle is a cost-effective, compact, EPCglobal-certified solution for adding mobile RFID read/write capability to Intermec’s latest generation of mobile computers including the CN3, CN3e, CK61, CK61ex, and CK3.

3 RECOMMENDED EQUIPMENT CONFIGURATIONS

3.1 Fixed RFID Reader CLIN 0001AA includes a pRFID reader, two antennas, cables and power supply. If you wish to create a fixed portal for reading pRFID tags, then you will need to procure the mounting kit CLIN 0001AB. Other mounting options may be created at a part of the Technical Engineering Services.

4 SOFTWARE

4.1 Application Development Software OAT Software CLIN 0030AA, 0030AB, 0030AC, 0030EA, 0030FA OAT Software is installed on server(s) having Windows Server 2003. OAT scenarios (used by operators on the work-floor or by administrators) are accessed using a Web Browser interface. As a result, all OAT GUI screens can be accessed using any of the operating systems – Windows 2000, Windows XP, and Windows Vista.

All OAT scenarios and administration screens operator on a GUI. For operating work processes, which interact with a fixed RFID reader, the GUI is available using any Windows workstation. The GUI is accessed by a Web Browser (E.g. Internet Explorer). All administration screens for the applications are also accessible via a Web Browser on a Windows workstation. OAT application software for the HHR is developed in MS .NET framework. Any changes to functionality or new functionality to be added to the HHR will be written in .NET and C/C++. The HHR functionality already provided by OAT application on the HHR includes Passive RFID-EPC reader functions and scanner functions. Number one middleware, with standard RFID Workflows

5 TECHNICAL ENGINEERING SERVICES (TES)

5.1 Introduction

ODIN provides Technical Engineering Services on-site at Government sites and at the Contractor’s facility as specified in the Task Order. TES shall include those services required for RFID turnkey implementation, IUID implementation support, equipment integration, site analysis, installation, de-installation, relocation, problem-solving, user unique training, IPT support, conducting PCAs/FCAs, software development; communications, interfaces to other Government systems, equipment and systems engineering services, System Design and systems integration to include middleware integration to enterprise systems. Any cables or adapters not listed in this Contract, middleware or other items and materials required for installation of Contractor-provided Passive RFID EPC components, may be ordered through this Contract in accordance with the provision entitled ―Incidental Materials‖ in Part C-1-1. TES shall be ordered by a Task Order only.

5.1.1 Task Order-Technical Engineering Services

The Government will issue proposal requests for TES in accordance with Part C-1-1, paragraphs Ordering Procedures for Orders Exceeding $3,000, and Task Order – Technical Engineering Services (TES). The Contractor is encouraged to respond to all proposal requests by the specified submission dates. Proposals submitted in response to a proposal request shall comply with the requirements of the referenced Part C-1-1 paragraphs.

5.1.2 Travel.

Prices for Contractor personnel travel and per diem to perform TES shall be in accordance with the requirements set forth in ―Task Orders – Technical Engineering Services‖ in Part C-1-1.

5.1.3 TES Trip Report.

Team ODIN shall submit a TES Trip Report to the Task Order POC or Task Order COR, if applicable, no later than five workdays after the completion of each trip made for TES. The trip report shall be in the Contractor’s format and shall contain as a minimum: Report Date; Customer Name, address, POC and telephone number; Project Name; Time arrived, time departed; Any recommended or provided Incidental Material description; Contractor’s summary of work completed; Contractor POC name and signature. The Contractor shall provide TES within the time specified in the Task Order for specific technical services. The on-site locations and objectives of the TES to be provided shall be stated in the Task Order.

5.1.4 Software Development Services.

Team ODIN will provide Software Development Services (SDS) for development incidental to the pRFID-related mission that utilizes equipment acquired under this Contract. The pRFID SDS shall be limited to the development work required to implement, modify, interface, and integrate Passive RFID EPC application(s) to an existing Government application(s) and

database(s) e.g., SARSS, TIS. Services include new software development, which may include translation of existing Government code that has been determined necessary to ensure operation of the system. Specifically Team ODIN will provide RFID Middleware implementations, label printer software implementations and RFID device integration. ODIN also provides remote monitoring of RFID devices using its EasyMonitor software application.

5.2 INSTALLATION / DE-INSTALLATION / RELOCATION.

5.2.1 Installation/De-installation/Relocation.

Team ODIN shall conduct Installation/De-installation/Relocation services as specified in the Task Order for each location requiring the services. The ordering contracting officer will issue proposal requests with schematic drawings of the Government site. Additionally, pRFID Contractors submitting TES proposals may conduct site surveys at their own expense or at pRFID Contractor’s own discretion rely solely on the Government-furnished site information when formulating their proposals. The Government does not guarantee accuracy and completeness of the Government-furnished site information.

5.2.2 Installation/De-installation.

Team ODIN shall install and de-install Passive RFID EPC configurations as specified in the Task Order. The install/deinstall shall include all necessary installation support equipment, cables for the interface of the various components forming an installation, including the Passive RFID EPC devices, servers, peripheral devices, and power sources as required. Upon receipt of a Task Order requiring installation/de-installation, and in accordance with the schedule contained therein, Team ODIN shall install/de-install Passive RFID EPC equipment in accordance with the approved Installation Plan.

5.2.3 Relocation of Passive RFID EPC Components.

Upon receipt of a Task Order requiring relocation of Passive RFID EPC equipment, and in accordance with the schedule contained therein, Team ODIN shall install Passive RFID EPC equipment in accordance with the approved Installation Plan. The extent of the services performed shall be specified in the Task Order and may vary from minimal involvement to total responsibility for the relocation.

5.2.4 Installation Plans.

The Contractor shall submit an Installation Plan with supporting documentation and attachments for evaluation as a part of its proposal for TES. The Installation Plan shall include, but is not limited to, the following items:

Specific details of the methodology for the installation and the resources required;

Detailed description, by major subheadings, of all installation work to be accomplished

by the Contractor at the site to include scheduling and dependency of the various tasks;

Site layout plan including detailed drawings of all Passive RFID EPC components, such

as racks, cabinets, or consoles;

General component specifications including equipment, physical specifications,

templates, manufacturer’s specific machine configuration and space requirements,

special operational line-of-sight requirements between various components, lighting

requirements, site construction requirements, power requirements, cabling requirements,

network connections, communication lines including satellite communications, cooling

requirements, shipping requirements, and all special requirements that do not fall under

normal operating conditions;

Description of any actions, such as site modifications, which the Government will

complete prior to installation of the Passive RFID EPC equipment, in sufficient detail to

facilitate successful installation of the equipment.

5.3 CONTRACT SUPPORT PERSONNEL The Contractor shall provide all technical labor categories described in pRFID contract. The Government will issue proposal requests for specific tasks to be performed under Task Orders. Personnel performing TES and training under this Contract shall posses the qualifications that the Contract requires for, and be part of the same work force, providing such services to the general public. The Contractor shall provide labor categories that represent a blend of demonstrated technical, supervisory and managerial expertise, analytical skills and knowledge to provide specific tasks, using efficient and state-of-the-art processes, made up of functions including, but not limited to, the following:

6 TRAINING

Team ODIN shall provide training on CD-ROM and via the internet on a trusted web site. The Web Based training shall allow users to train from the web site and have the ability to download a version of the training for execution on a standalone windows based computer. The training shall instruct the students how to operate, maintain, and repair the equipment, and develop unique application software programs for Passive RFID equipment acquired under this Contract. The Contractor shall provide a web-based and CD-ROM training package with updates for the base period of the Contract. Training updates may include the addition of new or modified products and other types of training updates as necessary.

6.1 Target Audiences and Areas Target audiences utilizing the pRFID training will include technically skilled specialists responsible for supporting and implementing the use of Passive RFID EPC components and end Users responsible for operating the Contractor-provided hardware and software. Government project managers for RFID Implementations will also be a focus of the training. The pRFID Configuration Training shall encompass an overview of instruction in the following areas:

6.2 Multimedia Training ODIN will provide both Web Based and CD-ROM training as a Multimedia Training package (MMTP). This MMTP shall provide information in the areas of RFID Training as outlined above. The MMTP courseware will be in accordance with the specific requirements of the task order. The MMTP will be based on the highly successful ―RFID for Dummies‖ book, authored by ODIN technologies CEO Patrick Sweeney. Course content will then be modified to fit the specific requirement of the task order.

6.2.1 Draft MMTP Team ODIN shall provide PM J-AIT draft storyboards and graphics materials no later than 60 calendar days after the date of the first Task Order for the Web-Based or CD-ROM training. The PM J-AIT will review and approve the drafts and provide comments to Team ODIN. The Team ODIN shall then make the recommended modifications to the MMP and shall provide the

final MMTP no later than 30 calendar days after receipt of PM J-AIT’s final approval of the draft MMTP materials. Team ODIN will then take such steps as necessary to develop a final MMTP, including follow up meetings, drafts and presentations required by PM J-AIT to ensure a quality final MMTP.

6.2.2 Training Deliverables

If ordered, Team ODIN shall provide the following items in accordance with the approved MMTP within 45 days after approval of the MMTP or within 45 days after the date of the order, whichever is later:

Web-based training

One (1) Master CD-ROM to be used by the Government for reproduction and distribution purposes. This Master CD-ROM, along with a one (1) copy of the CD-ROM, shall be delivered to the COR.

7 WARRANTY SUPPORT

Team ODIN Provides a warranty for Three (3) years from date of shipment of equipment purchased under this contract or as specified for individual CLIN number. The toll free line for support is on our website at www.pmjait.com Call the support line and our help desk will provide instructions for maintenance and warranty support.

7.1 Warranty Status Report and Format ODIN shall provide a Warranty Status Report in Microsoft Office Excel format, once each Contract year as requested by the COR, to include but not limited to, a list of all equipment due to leave warranty status no later than the next twelve months with serial number, model number, Federal Agency, Unique Control Number, Delivery Order number, shipping date, warranty end date, Government User, point of contact and telephone number. The initial report format shall be provided by ODIN for Government review and approval no later than 30 calendar days after issuance of the Contract effective date specified in the Notice to Proceed.

7.1.1 Warranty Mail-In/Carry-In Procedures All items and Parts covered under warranty will be mailed to the ODIN Worldwide Repair Center, 21631 Red Rum Drive, Ashburn VA 20147. No item will be accepted without a valid RMA. ODIN will pay all shipping costs to and from the government customer. ODIN shall repair or replace the equipment at its discretion but will ensure the customer receives the fully working product paid for under the Task Order. The government should notify ODIN if any of the equipment is serial number accountable, so that it may be tracked and returned IAW accountability requirements. All serial number accountable equipment will be shipped within ten days of receipt to the government customer assuming the equipment is repairable. ODIN is not accountable for warranty repairs due to negligence on the part of the user where damage is clearly evident.

7.1.2 Warranty Replacement Parts ODIN will use only new parts, or parts warranted as new by the OEM, shall be used for repairs of failed Government Passive RFID EPC components. Additionally, all replacement parts shall be equal to or better than the replaced parts in terms of quality and performance. The warranty for all replacement items installed during the initial warranty period shall be equal to the remaining warranty period for the original item, or 90 calendar days, whichever is greater.

8 MAINTENANCE SUPPORT

8.1 Introduction Upon expiration of the warranty, ODIN shall provide worldwide maintenance to repair or replace equipment purchased under this contract and provide updates and changes to software covered under maintenance. Maintenance prices shall include all parts, labor, and transportation back to the User. The direct line for ODIN maintenance is 866-787-7343

8.2 Maintenance Procedures Once the government customer calls into the ODIN Worldwide repair center, terms of the maintenance/repair request will be discussed. Once approved, an RMA tracking number will be provided to the customer. The government customer will then mail in or await on-call service for repair of the item, depending on what is the most timely and IAW their requirements.

8.3 Maintenance Types

8.3.1 Mail-In Maintenance Government customers must pack and send items for shipment IAW with US Postal standards. All shipping costs are borne by the government. Once received, ODIN will repair and ship out all equipment within ten calendar days. If the item is not repairable, disposition instructions will be discussed with the government.

8.3.2 On-Call Maintenance If On-Call maintenance is required, the government customer should make the request to the ODIN Worldwide repair center. A qualified technician will be dispatched to the location within five calendar days. All travel and work costs are borne by the government customer IAW with the support CLIN and task order contract.

8.4 Maintenance Records

8.4.1 Equipment Return and Tracking Our Repair Center will provide an RMA to the government customer and will track the shipment with third party shipping tracking numbers while in shipping. Status of all repair actions will be available on our website at www.pmjait.com. Customers may also call in to the ODIN Worldwide Repair Center to receive a status on their equipment.

8.5 Repair Center Hours of Operation The World-wide Repair Center is open from 0900-1800, Monday to Friday. Afterhours requests for support will be taken by email or voicemail, which will be forwarded to our on-call technician for immediate disposition.

8.5.1 Transportation Packages should be shipped via UPS or FEDEX to ensure that tracking numbers are assigned to the shipments and accurate receive dates may be known.

8.5.2 Packaging All components should be shipped in double wrapped using grade A packing material and/or in the original box. All handheld readers should be erased of any asset or inventory information prior to shipment.

8.5.3 Maintenance Replacement Parts Requests for repair parts may be made through the ODIN Worldwide Repair Center through the website located at www.pmjait.com. Payment for repair parts will be made IAW the Task Order process in the contract.

8.5.4 Preventative Maintenance Operations manuals and preventive maintenance guides are published on the ODIN pRFID website at www.pmjait.com

8.6 Ordering Maintenance The maintenance ordering process is the same as ordering service support, as a Task Order on the contract. See the relevant CLIN for ordering maintenance.
