Handy Hints and Tips

Handy Hints and Tips1. Please ensure patient details and a succinct clinical history are included on the submission form.

2. Ensure antibiotic treatment is detailed on microbiology submissions.

3. Submitting a fresh blood smear helps us give you the best haematology service.

Sample Checks Before Referral1. Check that the correct tube is used for the test (see below and also refer to our price guide)

2. Check the sample volume required for a specific test and if in doubt please phone us.

3. For all anti-coagulated tubes mix gently but thoroughly to prevent clotting.

4. Use a small wooden stick to check for clots in EDTA samples by gently stirring and scooping the blood.

5. If a plain/gel sample is to be centrifuged before being submitted check that the sample has clotted before centrifugation to avoid a ‘jelly’ supernatant.

EDTA 1.3ml (pink top) For haematology EDTA is best for preservation of cell morphology. EDTA is the sample tube of choice for cytology (with a plain tube if culture is required). Please fill to the fill line.

PLAIN/ SERUM 1.3ml (white top) Allow the sample to clot, then centrifuge and separate serum from the clot and decant into a new plain tube prior to sending. RED CELLS are NOT needed for the vast majority of biochemical tests and presence may lead to haemolysis

GEL BARRIER 1.3ml (brown top) Allow the sample to clot, then centrifuge. The gel sits between the cells and serum protecting the serum from any haemolysis. The gel may interfere through possible absorption with the concentration of certain hormones. Some therapeutic drug concentrations are reduced when a sample is stored in a gel tube for greater than 2 hours.

LITHIUM HEPARIN 1.3ml (orange top) Heparin is an anticoagulant which prevents clotting. RED CELLS are NOT needed for the vast majority of biochemical tests and presence may lead to haemolysis. Whole heparin is the preferred sample for short samples, e.g. exotics and fractious cats, as it can be used for cell counts with a fresh film. Heparin is not as good as EDTA for preservation of cell morphology.

SODIUM CITRATE 1.3ml (green top) Used for coagulation testing. It is essential that this tube is correctly filled as the anticoagulant to blood ratio is crucial. The sample may be centrifuged and separated citrated plasma placed in a plain tube. This must then be clearly stated on the form and tube. May also be used for D-Dimer. Separated and frozen citrated plasma must be used for vWF testing.

IMPORTANT NOTE: Samples should be sent in appropriate packaging not only to ensure best quality of result but also to ensure the wellbeing of those handling these packages. If you are unsure on how best to package your sample, please do not hesitate to contact the team or see our guides on our website. Please be aware that making inappropriately packaged samples safe to handle adds extra time and cost to the process and persistent receipt of such packages may incur a Safe Handling charge. We will always consult you in such instances.

GUIDELINES FOR BACTERIAL CULTURE Please note any information regarding antibiotic treatment, either current or recent, on the submission form. Aerobic and Anaerobic Culture: This would be recommended for most samples submitted. Aerobic Culture: This is suitable for bacteria growing in oxygen-rich areas, such as superficial skin, conjunctiva, ears and urine. Anaerobic Culture: This is suitable for bacteria that can live in the absence of oxygen as with blood, bile, bone marrow, CSF, direct lung aspirates, tissue biopsy or fluid from a normally sterile site (such as joint or body cavity), abscesses, deep wounds and deep skin infections. Susceptibility testing is not performed on organisms usually considered to be commensal to aid with antibiotic governance (except if specifically requested). Sample requirements: Charcoal swabs, plain fluids and fresh tissue are recommended samples. EDTA tubes and viral transport media swabs are not recommended as they can inhibit bacterial growth.

PROTOCOL: SUBMITTING URINE FOR GENERAL ANALYSIS Urine for chemical anlaysis, microscopic evaluation and microbiology should be submitted in a plain universal tube. Plain blood tubes are not suitable. Where urine cytology is also required, a separate urine sample in an EDTA tube should be submitted if possible. A plain universal tube for urinalysis & bacterial culture is preferred. We no longer supply boric acid tubes but if used please ensure the tube is filled to the line.

SUGGESTIONS FOR OBTAINING BETTER QUALITY URINE SAMPLES FOR CYTOLOGICAL EVALUATION 1) Urine samples collected first thing in the morning are generally not suitable for cytological examination (disruption of cells is expected). 2) Note that preservation of urine with boric acid, formaldehyde, alcohol, freezing, etc. is generally not suitable (cell lysis is expected). Samples for cytology should be sent in an EDTA tube.


TESTING FOR INFECTIOUS DISEASE MAY BE DONE WHEN:

• Making a diagnosis in a clinically unwell animal • Screening for infection • Certifying an animal is ‘free’ from infection.

With all diagnostic tests, false negative (FN) and false positive (FP) results are possible. By choosing the best test to answer the question being asked, interpretation can be improved. This will be affected by many factors, including pre-test probability of infection vs. exposure (carrier status vs. disease), the presence of subclinical infection vs disease, sample type, sample handling, analytical and interpretive factors.

Broadly all tests will look for antibody, antigen or the organism being tested (DNA, RNA, virus isolation). Each test provides different information.

1. Antibody tests – a positive antibody test confirms previous exposure, carrier status or disease

This provides indirect evidence for the presence of an organism (or historical presence). They can be qualitative, semi quantitative or quantitative. Antibody titres, the type of immunoglobulins present and reviewing the results in conjunction with other tests, can be useful in determining the importance of a positive result. Examples of test type include:

• ELISA (Enzyme Linked Immunosorbent Assay) • IFA/IFAT (Immunofluorescent Antibody (Test)) • VNT (Virus neutralisation Test)

• HAI (Haemagglutination Inhibition) • MAT (Modified Agglutination Test) • LA (Latex Agglutination)

2. Antigen Tests – a positive antigen test should confirm the organism is/was recently present

• ELISA (Enzyme Linked Immunosorbent Assay) - Detects specific proteins in a sample using antibody directed against the protein to be measured.

3. Organism detection – a positive test should confirm the organism is present

• VI (Virus Isolation) - Demonstrates the virus in the specimen by culture. • PCR (Polymerase Chain Reaction) - Detects DNA or RNA (via reverse transcriptase-PCR) from the actual pathogen - Highly sensitive in the correct circumstances, however false negative results are possible if;

Small amounts of organism are present DNA/RNA is not present in the sample submitted (not always circulating in blood) Suboptimal sample handling, faecal samples & aged samples are subject to biologic degradation. Submit fresh, uncontaminated samples (avoid cat litter). There are inhibitors present that prevent DNA amplification.

DOGS & CATS PRESENTING WITH RESPIRATORY SIGNS Choosing appropriate tests for animals with respiratory signs is dependant upon the location (URT or LRT) of those signs. For example FHV and C. felis would be considered in a cat with conjunctivitis, while in a coughing dog with signs of haemorrhage, A.vasorum or potentially Leptospirosis may be considered. A thorough history (inc. travel history) and physical examination is required. Primary bacterial pathology is uncommon in the URT (exception ocular), while viral pneumonia is rare in the lower respiratory tract. Extra-cardiac lower airway investigation should include fluid (BAL/TWW) cytology, routine culture and infectious disease screening.

URT VIRAL AND BACTERIAL DISEASE IN THE CAT URT disease can be per-acute, acute or chronic and can result from a combination of viral, bacterial (often secondary) and in rare cases fungal (Aspergillus/Cryptococcus) or parasitic causes. FHV-1 frequently causes corneal ulceration, conjunctivitis and severe destruction of the nasal turbinates (predisposing to secondary bacterial/fungal infection). Many exposed (FHV) cats become lifelong carriers. FCV can vary from subclinical or mild acute (lingual ulceration and acute respiratory signs) to per-acute systemic disease (frequently fatal) or chronic pathology (e.g. chronic stomatitis/gingivitis). C. felis most commonly affects young cats, resulting in unilateral or bilateral conjunctivitis and transient fever. Cytology (brush is preferable to flush techniques), bacterial culture and PCR or virus isolation may be required. PCR is highly sensitive, however positive results do not prove causation (can occur with low level shedders/viral latency/healthy animals) nor can they distinguish between wild-type virus and vaccinal virus (avoid testing recently vaccinated cats). However positive PCR results indicate exposure and in the presence of appropriate clinical signs and a low cycle threshold number, are strongly supportive of infection.

FELINE CORONAVIRUS (FCoV) FCoV is common and easily transmitted, >90% of positive cats are healthy and will not develop FIP. Combined host, environmental and viral factors result in FIP in 5-10% of cases. Fever, vague malaise, hyperbilirubinaemia and hyperglobulinaemia are common. Ascites, pleural and/or pericardial effusion, CNS disease, ocular involvement and synovitis are reported with wet form. Ocular/CNS disease and pyogranulomatous infiltration of LNs, organs, SI, ileocolic junction, cecum, colon are more common with dry form. Positive FCoV antibody does not prove FIP (most are healthy). LEPTOSPIROSIS IN THE DOG (& CAT) Leptospirosis can involve a number of organs, including GI signs (most common), hepatic, renal and pulmonary. Prompt diagnosis is essential, mortality rate is 11- 48% and it is zoonotic. False positive MAT and IgG serology are noted post vaccination (up to 6 months). PCR results are unaffected. PCR blood and urine should be collected before antibiotic therapy. Urine samples must be fresh to avoid false negative results. Lab samples submitted should be labelled “zoonotic”. In confirmed cases, in-contact dogs should also be treated. Cats can shed leptospira and may act as reservoir hosts. PULMONARY PARASITOLOGY OF THE DOG AND CAT Angiostrongylus vasorum is a common canine parasite in the UK and should be considered in all cardiorespiratory, neurological and coagulopathic presentations, for which the cause is unclear. GUIDE TO THE TRANSITION FROM AQUEOUS TO ADJUVANTED SUBCUTANEOUS (INJECTABLE) IMMUNOTHERAPY Over the past couple of years we have seen many patients switch from aqueous to adjuvanted injectable immunotherapy with no adverse effects. Please follow our transition guide below: 1. Give the last dose of the aqueous therapy. 2. Wait one month until the next scheduled injection and, at this start point, begin the adjuvanted therapy, starting with the lowest dose as if it were a new patient. 3. Follow the normal loading dosing as provided with your chosen immunotherapy product. 4. Please be aware that there may be an increase in pruritus initially. This is usually short-lived (up to a few days after some injections) and usually minimal or no supplementary medication is required. If it does not settle, and/or is causing distress, please ring to seek advice from our MiPetAl-lergy consultant, as the guide may require individual tailoring. 5. The initial adjuvanted immunotherapy order will last 9 months and subsequent orders 10 months. GUIDE TO TRANSITION BETWEEN SUBLINGUAL (ORAL) IMMUNOTHERAPY PRODUCTS The new product may be started the day after the last dose of the old product with no waiting period. Follow the instructions on the package insert for the new product.

Hints and Tips to Maximise Your Cytology Submissions

Labelling and Identification of sample sites • If more than one site, ensure that all slides are clearly labelled to denote which site. It is often useful to use a number key and explain the key on the submission form (i.e. 1 = chest x 2 slides 2 = thigh x 2 slides)

• Include the location, size, duration & patient information on the submission form.

• Please provide a recent history pertinent to the cytology. Providing the pathologist with a concise and relevant patient history will provide you with a more accurate and diagnostically useful report.

Smear Preparation• A push smear is the most commonly used method for fluid aspirates. The same method used when preparing a blood smear.

• Stop smear BEFORE end of slide, otherwise important cells disappear over the edge.

• Don’t use the droplet technique.

• Thicker material can be spread evenly with a second overlaying slide. Gently pull the slides apart to smoothly spread the material.

• Impression smears and swabs often only represent the surface process therefore a fine needle aspirate (FNA) is the sample of choice.

• If you have a swab, gently ROLL material, don’t smear

Submission of slides • NEVER submit only 1 slide. 2 – 4 slides is generally a good submission size.

• Leave all slides unstained but 1.

• Check the stained slide in-house to ensure that a diagnostic sample has been taken before submission to the external lab is always recommended.

• Ensure all slides are completely dry before placing in the slide mailer and store at room temperature (Storage of slides in refrigerator causes condensation and lysis)

• Send all slides in to the lab (including the stained slide).

• Package the slides in a separate bag to any formalin fixed histology samples that are being submitted at the same time. (Formalin fumes can cause a fixation artefact on the cytology slides making them non-diagnostic).

Fluid SubmissionsBody Cavity Effusions • Always submit fluid with pre-prepared slides as direct smears are often not helpful.

• Refrigerate the fluid sample if there is a delay in sending to the external laboratory.

• Please submit a succinct relevant history.

Mass Fluids/Synovial Fluids & Washes • Always submit fluid with pre-prepared slides & provide a succinct relevant history.

Prostatic Wash • Have a low diagnostic accuracy. Neoplastic cells are often not recovered in specimens obtained by prostatic massage and wash. Prostatic massage may produce septicaemia in dogs with acute bacterial prostatitis or a prostatic abscess.

• An open direct FNA is best with a biopsy for histopathology if possible.

CSF & Urine • Submit in an EDTA tube (and a plain tube if culture is also required).

• Please submit a succinct relevant history.

Fluid samples that require cytological evaluation and culture should be submitted in an EDTA tube (cytology) & a plain tube (for culture). If only a small volume of fluid is available submit just the plain tube.

Plain tubes suitable are microcentrifuge/Eppendorf or universal tubes. Plain blood tubes are unsuitable.

GENERAL INFORMATION FOR CYTOLOGY Smears for cytology should be air-dried and not coverslipped. Fluid samples for cytology should be submitted in EDTA and pre-made, air-dried smears should also be submitted. Fluid samples for cytology and bacterial culture should be submitted in a plain tube (for bacteriology) and an EDTA tube (for cytology). Short sample should be submitted in a plain tube. Please note that plain blood tubes are not suitable for cytology fluids. Please submit in a microcentrifuge/eppendorf tube/universal tube. Please ensure that cytology slides are not exposed to formalin fumes. Slides should be submitted in a sealed plastic slide mailer and packed in a separate biohazard bag. Standard cytology charging is for domestic cat, dog, rabbit, guinea pig, ferret & small rodents. *Cytology packages with culture include culture of one site/sample. Culture on subsequent sites/samples are charged at 50% unless pooled samples is specifically requested on the submission form.

Second Opinions on cases that have been reported by another laboratory are charged at list price. If you would like a second opinion on a case we have reported please call to discuss with the reporting pathologist in the first instance. There is no charge for discussing a report with a pathologist or for a brief written adendum. However, if a full written report is required, this will be charged at the follow-up price (80% of list price). Please refer to page 45 for exotic pricing structure. THE IMPORTANCE OF SUBMITTING A CLINICAL HISTORY

One of the most important and often overlooked aspects of submitting laboratory samples for histopathology or cytology is the inclusion of vital information about the lesion and clinical history.

When submitting samples please complete all areas of the laboratory form to include:

• Signalment (species, breed, age, gender, colour) – this information can suggest the likelihood of certain conditions or disease processes

• Clinical history – a brief but accurate summation, including onset, duration, previous treatments and clinical response – this should be relevant history as opposed to a full life history from your Practice Management System

• Number of specimens and specific sites/organs – exactly where were the samples obtained

• Description of clinical, explorative laparotomy or post mortem findings

• Gross appearance of lesion(s) – size; colour; texture – soft, firm, cystic, etc; rate of growth; moveable or fixed; painful or

pruritic; any other pertinent information (e.g. the mass has fluctuated in size)

• Type of biopsy – complete excision versus incisional; have surgical margins been submitted? You can mark important margins with ink or suture tags and list these on the submission form

• Ancillary laboratory results, diagnostic imaging or previous biopsies – please include accession numbers

• List of differential diagnoses or clinical impressions – even if a definitive diagnosis cannot be made, we may be able to rule out suspected conditions

• Any specific questions – what do you really want to know about this case?

By providing the pathologist with a concise and relevant patient history, you will receive a more

accurate and diagnostically useful report. We want to help you resolve the issues around the cases you submit so you can provide the optimal care for the

animals under your care.

Finn Pathologists Terms & ConditionsFinn Pathologists is a trading name for Precision Histology International Ltd, a company incorporated in England & Wales under company number 2161963 (“Finn Pathologists”, “We”, “Our”). Our registered office is at One Eyed Lane, Weybread, Diss, Norfolk, IP21 5TT. Our VAT number is 737 1452 35.

1. Interpretation

Definitions:

“Finn Pathologists” Finn Pathologists is a trading name for Precision Histology International Ltd, a company incorporated in England & Wales under company number 2161963 whose registered office is at One Eyed Lane, Weybread, Diss, Norfolk, IP21 5TT

“Business Day” a day other than a Saturday, Sunday or public holiday in England, when banks in London are open for business.

“Charges” the charges payable by the Customer for the supply of the Services in accordance with clause 5.

“Commencement Date” has the meaning given in clause 2.2.

“Conditions” these terms and conditions as amended from time to time in accordance with clause 10.4.

“Contract” the contract between Finn Pathologists and the Customer for the supply of Services in accordance with these Conditions.

“Control” shall be as defined in section 1124 of the Corporation Tax Act 2010, and the expression change of control shall be construed accordingly.

“Customer” the person or firm who purchases Services from Finn Pathologists.

“Customer Default” has the meaning set out in clause 4.2.

“Order” the Customer’s order for Services in the Customer’s purchase order form or the Customer’s written acceptance of a quotation by Finn Pathologists.

“Services” the laboratory, pathology and diagnostic testing services supplied by Finn Pathologists to the Customer

“Turnaround Times” the approximate turnaround times for the Services provided by Finn Pathologists.

1.1 A reference to a statute or statutory provision is a reference to it as amended or re-enacted. A reference to a statute or statutory provision includes all subordinate legislation made under that statute or statutory provision.

1.2 Any words following the terms including, include, in particular, for example or any similar expression, shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.

1.3 A reference to writing or written includes fax and email.

2. Basis of contract

2.1 The Order constitutes an offer by the Customer to purchase Services in accordance with these Conditions.

2.2 The Order shall only be deemed to be accepted when Finn Pathologists issues written acceptance of the Order at which point and on which date the Contract shall come into existence (“Commencement Date”).

2.3 These Conditions apply to the Contract to the exclusion of any other terms that the Customer seeks to impose or incorporate, or which are implied by trade, custom, practice or course of dealing.

2.4 Any quotation given by Finn Pathologists shall not constitute an offer, and is only valid for a period of 20 Business Days from its date of issue.

3. Supply of Services

3.1 Finn Pathologists shall use all reasonable endeavours to meet any Turnaround Times it has provided in its price list or to the Customer but any such dates shall be estimates only and an approximation. Time shall not be of the essence for performance of the Services.

3.2 Finn Pathologists reserves the right to amend the Services if necessary to comply with any applicable law or regulatory requirement.

3.3 The Customer acknowledges that it shall be liable for costs incurred by Finn Pathologists in the event of any request to vary or suspend the Services or a request for any additional Services. Submissions that are cancelled 24 hours after receipt will be charged at 50% of any tests that are in process. The full price will be charged for any services that have been provided through to completion with a report having already been sent before receiving the cancellation request.

3.4 Finn Pathologists warrants to the Customer that the Services will be provided using reasonable care and skill.

4. Customer’s obligations

4.1 The Customer shall:

4.1.1 ensure that the terms of the Order and any information it provides to Finn Pathologists relating to the samples sent for testing are complete and accurate;

4.1.2 co-operate with Finn Pathologists in all matters relating to the Services and provide Finn Pathologists with such information as Finn Pathologists may reasonably require in order to supply the Services, and ensure that such information is complete and accurate in all material respects.

4.2 If Finn Pathologists performance of any of its obligations under the Contract is prevented or delayed by any act or omission by the Customer or failure by the Customer to perform any relevant obligation (“Customer Default”):

4.2.1 without limiting or affecting any other right or remedy available to it, Finn Pathologists shall have the right to suspend performance of the Services until the Customer remedies the Customer Default, and to rely on the Customer Default to relieve it from the performance of any of its obligations in each case to the extent the Customer Default prevents or delays Finn Pathologists performance of any of its obligations;

4.2.2 Finn Pathologists shall not be liable for any costs or losses sustained or incurred by the Customer arising directly or indirectly from Finn Pathologists’ failure or delay to perform any of its obligations as set out in this clause 4.2; and

4.2.3 the Customer shall reimburse Finn Pathologists on written demand for any costs or losses sustained or incurred by Finn Pathologists arising directly or indirectly from the Customer Default.

5. Charges and payment

5.1 The Charges for the Services shall be calculated in accordance with Finn Pathologists then price list.

5.2 Finn Pathologists may update or alter its price lists, catalogues, sales literature or other documentation relating to the Services (in whatever form and on whatever media) at any time without given notice to the Customer. Any typing, clerical or other error or omission in any catalogue, sales literature, price list, dispatch note, invoice or other documentation or any information issued by Finn Pathologists shall be subject to correction without liability on the part of Finn Pathologists.

5.3 Unless the Customer has paid for the Services at the point at which their Order is submitted, Finn Pathologists shall invoice the Customer on at the end of the month that the submission was received.

5.4 The Customer shall pay each invoice submitted by Finn Pathologists:

5.4.1 within 30 days of the date of the invoice or in accordance with any credit terms agreed by Finn Pathologists and confirmed in writing to the Customer; and

5.4.2 in full and in cleared funds to a bank account nominated in writing by Finn Pathologists, and time for payment shall be of the essence of the Contract.

5.5 All amounts payable by the Customer under the Contract are exclusive of amounts in respect of value added tax chargeable from time to time (“VAT”). Where any taxable supply for VAT purposes is made under the Contract by Finn Pathologists to the Customer, the Customer shall, on receipt of a valid VAT invoice from Finn Pathologists, pay to Finn Pathologists such additional amounts in respect of VAT as are chargeable on the supply of the Services at the same time as payment is due for the supply of the Services.

5.6 If the Customer fails to make a payment due to Finn Pathologists under the Contract by the due date, then, without limiting Finn Pathologists remedies under clause 9, the Customer shall pay interest on the overdue sum from the due date until payment of the overdue sum, whether before or after judgment. Interest under this clause 5.6 will accrue each day at 4% a year above the Bank of England’s base rate from time to time.

5.7 All amounts due under the Contract shall be paid in full without any set-off, counterclaim, deduction or withholding (other than any deduction or withholding of tax as required by law).

5.8 In the event that we issue a final demand in respect of overdue invoice(s), an administration charge of will be incurred on the invoice for the following month.

5.9 Any discounts are only eligible providing payment is received within 30 days of invoice.

5.9.1 Samples received from pets belonging to clinicians and practice staff will be charged at 70% of the list price (only for tests that are eligible for discount)

6. Data protection and data processing

6.1 Finn Pathologists shall process the Customer’s personal data only in accordance with its Privacy Policy and the Customer’s instructions from time to time and at all times in compliance with all applicable laws, enactments, GDPR regulations, orders, standards and other similar instruments.

6.2 Finn Pathologists may authorise a third party (subcontractor) to process the Personal Data provided that the subcontractor’s contract:

6.2.1 is on terms which are substantially the same as those set out in the Contract; and

6.2.2 terminates automatically on termination of the Contract for any reason.

6.3 Finn Pathologists warrants that, having regard to the state of technological development and the costs of implementing any measures, it will take appropriate technical and organisational measures against the unauthorised or unlawful processing of personal data and against the accidental loss or destruction of, or damage to, personal data.

7. Limitation of liability

7.1 Nothing in the Contract shall limit or exclude Finn Pathologists’ liability for:

7.1.1 death or personal injury caused by its negligence, or the negligence of its employees, agents or subcontractors;

7.1.2 fraud or fraudulent misrepresentation; or

7.1.3 breach of the terms implied by section 2 of the Supply of Goods and Services Act 1982 (title and quiet possession) or any other liability which cannot be limited or excluded by applicable law.

7.2 Subject to clause 7.1, Finn Pathologists shall not be liable to the Customer, whether in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising under or in connection with the Contract for:

7.2.1 loss of profits;

7.2.2 loss of sales or business;

7.2.3 loss of agreements or contracts;

7.2.4 loss of anticipated savings;

7.2.5 loss of use or corruption of software, data or information;

7.2.6 loss of or damage to goodwill; and

7.2.7 any indirect or consequential loss.

7.3 Subject to clause 7.1, Finn Pathologists’ total liability to the Customer, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, arising under or in connection with the Contract shall be limited to the total Charges paid under the Contract.

7.4 The terms implied by sections 3 to 5 of the Supply of Goods and Services Act 1982 are, to the fullest extent permitted by law, excluded from the Contract.

7.5 This clause 7 shall survive termination of the Contract.

8. Termination

8.1 Finn Pathologists may terminate the Contract with immediate effect by giving written notice to the Customer if:

8.1.1 the Customer commits a material breach (other than one in respect of payment pursuant to clause 8.1.5 below) of any term of the Contract and (if such a breach is remediable) fails to remedy that breach within 30 days of the Customer being notified in writing to do so;

8.1.2 the Customer takes any step or action in connection with its entering administration, provisional liquidation or any composition or arrangement with its creditors (other than in relation to a solvent restructuring), being wound up (whether voluntarily or by order of the court, unless for the purpose of a solvent restructuring), having a receiver appointed to any of its assets or ceasing to carry on business or, if the step or action is taken in another jurisdiction, in connection with any analogous procedure in the relevant jurisdiction;

8.1.3 the Customer suspends, or threatens to suspend, or ceases or threatens to cease to carry on all or a substantial part of its business;

8.1.4 the Customer’s financial position deteriorates to such an extent that in Finn Pathologists opinion the Customer’s capability to adequately fulfil its obligations under the Contract has been placed in jeopardy.

8.1.5 the Customer fails to pay any amount due under the Contract on the due date for payment; or

8.1.6 there is a change of control of the Customer.

8.2 Without affecting any other right or remedy available to it, Finn Pathologists may suspend the supply of Services under the Contract or any other contract between the Customer and Finn Pathologists if the Customer fails to pay any amount due under the Contract on the due date for payment, the Customer becomes subject to any of the events listed in clause 8.1.2 to clause 8.1.4, or Finn Pathologists reasonably believes that the Customer is about to become subject to any of them.

9. Consequences of termination

9.1 Termination of the Contract shall not affect any rights, remedies, obligations or liabilities of the parties that have accrued up to the date of termination, including the right to claim damages in respect of any breach of the Contract which existed at or before the date of termination.

9.2 Any provision of the Contract that expressly or by implication is intended to come into or continue in force on or after termination of the Contract shall remain in full force and effect.

10. General

10.1 Force majeure. Neither party shall be in breach of the Contract nor liable for delay in performing, or failure to perform, any of its obligations under the Contract if such delay or failure result from events, circumstances or causes beyond its reasonable control.

10.2 Assignment and other dealings.

10.2.1 Finn Pathologists may at any time assign, mortgage, charge, subcontract, delegate, declare a trust over or deal in any other manner with any or all of its rights and obligations under the Contract.

10.2.2 The Customer shall not assign, transfer, mortgage, charge, subcontract, declare a trust over or deal in any other manner with any of its rights and obligations under the Contract.

10.3 Entire agreement.

10.3.1 The Contract constitutes the entire agreement between the parties and supersedes and extinguishes all previous agreements, promises, assurances, warranties, representations and understandings between them, whether written or oral, relating to its subject matter.

10.3.2 Each party acknowledges that in entering into the Contract it does not rely on, and shall have no remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in the Contract. Each party agrees that it shall have no claim for innocent or negligent misrepresentation based on any statement in the Contract.

10.3.3 Nothing in this clause shall limit or exclude any liability for fraud.

10.4 Variation. Except as set out in these Conditions, no variation of the Contract shall be effective unless it is in writing and signed by the parties (or their authorised representatives).

10.5 Waiver. A waiver of any right or remedy under the Contract or by law is only effective if given in writing and shall not be deemed a waiver of any subsequent breach or default. A failure or delay by a party to exercise any right or remedy provided under the Contract or by law shall not constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict any further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy provided under the Contract or by law shall prevent or restrict the further exercise of that or any other right or remedy.

10.6 Severance. If any provision or part-provision of the Contract is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of the Contract.

10.7 Third party rights.

10.7.1 Unless it expressly states otherwise, the Contract does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of the Contract.

10.7.2 The rights of the parties to rescind or vary the Contract are not subject to the consent of any other person.

10.8 Governing law. The Contract, and any dispute or claim (including non- contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by, and construed in accordance with the law of England and Wales.

10.9 Jurisdiction. Each party irrevocably agrees that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with the Contract or its subject matter or formation.

Clinical HistoryTo obtain the best results from clinical interpretations, histopathology or cytology reports, the provision of a concise relevant history, including sample site/source, duration and gross appearance (where relevant) is helpful. This facilitates a more accurate pathological assessment and interpretation of the case allowing us to provide better quality feedback. Please note that copies of the full animal record/clinical notes are no substitute for a brief relevant history.

Avoiding Mix-upsPlease ensure that all samples are labelled with at least the client/animal name.

ConsumablesStandard consumables are supplied FOC (unless stated otherwise on our order form) on the basis that they are used for our own laboratory services. Quanities of products are limited per order. Please refer to our order form for details of maximum order quantities. Larger orders of consumables can be purchased for your own in house use. Please contact us for more information. A P&P fee of £7.75 is applied to each order placed.

Turnaround Times Turnaround times are approximate and refer to week days. We do not have Pathologists on duty on a Saturday.
