1. Service description

Subscription: service of multiple access to information or content by the means of one-time request (SMS, WAP, Web, IVR) on the paid basis.

Content by installment is the service of access to content in terms of insufficient balance.

The service ”Content by installment” is not available for subscriptions!

2. МТ subscriptions

Options

1.  Subscription order via SMS, IVR, Web- and WAP site; 2.  MT billing; 3.  The end-user can have several subscriptions at the same time; 4.  The partner is responsible for Subscribers database.

Restrictions:

1.  MO billing is not available; 2.  Statistic discrepancies are possible; 3.  Unsubscription is available only on another SEPARATE short code of

Partner.

General statements:

1.  Rate-setting shall be implemented not oftener than once a month; 2.  Price levels shall be agreed with Operator; 3.  ALL advertisement materials related to subscription services shall be

agreed with Operator. 4.  All notification messages and their frequency shall be agreed with

Operator; 5.  The Partner shall meet all the scenario requirements entirely;

All statements above shall be defined in Addendum to General Agreement.

General scenario:

1.  The end-user makes a request: •  By sending SMS; •  By calling to IVR; •  Pushing the button ”I’m agree with terms” on WEB/WAP site;

2.  Partner registers the end-user as a subscriber and send him reply sms message with terms and conditions of subscribed service (content frequency, billing frequency, fees, technical support contacts);

3.  Partner inform CPA system about billing. In case when money deduction is impossible the Partner decides to provide or not provide the content to the subscriber. The Partner shall try attempt no oftener then once a day;

4.  If after one month billing is still impossible, the subscription is defined as cancelled;

General scenario:

5. The partner informs the end-user about subscription extention at least once a month and after every deduction of 300 RUR;

6. The pertner informs the end-user about terms and manners of unsubscription at least once a month and every deduction of 300 RUR;

7. The end-user shall have the possibility to unsubscribe by sending empty (or consisting of code) SMS to the short code or by calling to Pertner’s (or Operator’s) technical support number;

8. Unsubscription by sending SMS shall be free of charge (0 RUR);

9. The partner shall delete end-users data from subscribers database by the Operators request immediately.

Requirements to advertisement:

Subscription advertisement materials shall include the following information: 1.  Service frequency; 2.  Billing frequency (daily, once a week, etc.); 3.  Service fees (in Russian Ruble, VAT and all related taxes incl.); 4.  Unsubscription terms and manners (SMS, call to technical support, etc.); 5.  Technical support contacts: e-mail, phone number.

All subscription advertisement materials shall be approved by Operator

Service subscription order via Web and WAP

The following information is obligatory on Web and WAP pages:

•  Enter the Service access code: Get the access •  You confirm that you are 18 years old. •  Free trial period is 24 hours. •  After free trial period the Service is provided on the paid basis. After free trial period you will be

charged for the Service XXX RUR every xx days. •  You can unsubscribe at every time by sending SMS with service key word STOP to the number

XXXX or by calling to free number 8-800-XXX-XXXX.

Service Terms and conditions shall be available on every subscription Web or WAP page

Penalties

1.  In a case when: •  The partner did not send to end-user notification about Service and

unsubscription terms; •  The content provider did not get the Operator’s approval of

advertisement material; •  Subscription fee is different in advertisement materials or notifications The Operator shall be entitled to collect from the Provider penalty

fee. After repeated breach the Operator shall be entitled to terminate MT subscription service

2.  In a case when: •  The partner could not provide the evidence of end-user’s subscription

confirmation; •  Web / WAP page do not have Terms and Conditions block; •  The end-user was not unsubscribed after request to unsubscribe; •  Billing does not correlate to scenario requirements

The Operator shall be entitled to terminate MT subscription service

3. Content by installment

Service options:

1.  Content is available for end-user when balance is insufficient 2.  Revenue’s increasing up to 30 percent 3.  Flexible tariff policy

Service restrictions:

1.  Credit default ~25% 2.  Statistic discrepancies

Content by installment: Step 1

Main scenario:

•  The end-user sends the free of charge request to the short code.

•  Request is sent to partner without account’s check.

•  Partner informs CPA system about Service fee: X RUR.

•  In a case of sufficient balance the end-user is cherged for the sevice. In case of low balance CPA system informs the Partner about insufficient balance.

•  The Partner shall make a decision if end-user get the Service by installment or not. If the Partner does not provide the content, the end-user shall be informed about service inaccessibility. Otherwise the Partner offers to end-user to buy content by installment by the means of reply message as, for example: ”Your balance is not sufficient to buy the Service. But this melody is available by installment according to our offer with price X RUR + 1 RUR. Should you confirm the offer, please send SMS, visit our WEB site, etc.”

•  The end-user shall clearly signify his consent to get subscribed service.

Content by installment: Step 1

Main scenario:

7. The Partner makes the attempts to deduct money from end-user’s account according to price levels defined in General Agreement: •  Tariff X - 25% RUR •  Tariff X - 50% RUR •  Tariff X – 75% RUR •  Tariff X – 90% RUR •  Tariff X – 99% RUR. In case when the last attempt is unsuccessful the Partner shall not try to bill the

end-user and block the accessibility of end-user to content. 8. The Partner can try attempt to bill the end-user in a week by the means of MT

messages. Every attempt session shall not be implemented more often then once a day and last more three transactions.

9. When the loan is billed entirely the Partner shall sent the last part of content. 10. In case when the entire billing is impossible the Partner shall stop the attempts to bill

the end-user. After that the Partner shall make a decision to allow (or not allow) the Service ”Content by installment”.

After the second step is implemented, the scenario will be processed entirely on the CPA plaftorm

Penalties

1.  In case when: •  The Partner did not request the confirmation from end-user to get the Service

”content by in stallment” and cannot provide the evidence of end-user’s confirmation;

•  The Partner makes the attempts to bill the end-user more often than it is defined by scenario;

•  The Partner makes the attempts to bill end-user more often than once a week; •  The Partner did not provide the end-user with the last part of the content

the Partner trips out the Service ”Content by installment”
