    NOTICE - CITY OF WIXOM

    REQUEST FOR BID

    BIOCHEMICAL OXYGEN DEMAND (BOD) INCUBATOR

    The City of Wixom will receive sealed bid proposals for the purchase of one BiochemicalOxygen Demand (BOD) Incubator, for use in the Citys wastewater treatment plant laboratory,according to the specifications of the City of Wixom.

    Sealed bid proposals will be received until 10:00 A.M. prevailing Eastern Time,Thursday, February 7, 2013at which time proposals will be opened and read. Proposals shallbe address as follows and delivered to:

    I. PROPOSALS

    The CITY OF WIXOM(hereafter referred to as CITY ) is seeking bid proposals from qualifiedContractors (hereafter referred to as FIRM) for the purchase of approximately One (1)Biochemical Oxygen Demand (BOD) Incubator(see specifications for details).

    At any time prior to the specified time and date set for the bid proposal submission, a Firm maywithdraw their bid. Any bid modification must be in writing, executed by the authorized person,and submitted prior to the final submission due date. Bids received after the submissiondeadline may be considered only if no other bids are received by the deadline. The Cityreserves the right to disqualify any Firm on the basis of any real or apparently conflict of interestthat is disclosed in the proposal submitted or at any time to the City, at the sole discretion of theCity.

    The City further reserves the right to reject, for any reason whatsoever, any, part of, or allproposals. The City may re-issue a Request for Bids (hereafter referred to as RFB), extendthe time frame for submission under this RFB, or request more information than required hereinfrom any and all bidders. However, this RFB does not commit the City to enter into an

    agreement; to pay any costs incurred in the preparation of a bid proposal to this request or insubsequent exclusive negotiations, or to procure or contract for the project.

    Two (2) copies of sealed bid proposals must be received at the City of Wixom - City ClerksOffice, 49045 Pontiac Trail, Wixom, Michigan 48393 no later than 10:00 A.M., Thursday,February 7, 2013. Proposals must be clearly marked BOD Incubator. All questions regardingproduct specifications and technical issues in this RFB shall be directed to City of WixomsWater and Sewer contractor, United Water Environmental Services, Inc. Contact Mr. Bill Briggs,Laboratory Manager, at 248-960-0870, Monday through Friday (7:30 a.m. - 3:00 p.m.). Otherthan requests for information submitted to Bill Briggs, all bidders shall refrain, under penalty ofdisqualification, from direct or indirect contact for the purpose of influencing the selection orcreating bias in the selection process with any person who may participate in the selection

    process, including the City Manager, Department Heads or any other individual consultant orevaluation panel. This is intended to create a level playing field for all potential bidders, assurethat decisions are made in public and protect the integrity of the solicitation process.

    By submission of a bid proposal, a bidder certifies that the bidder has not paid or agreed to payany fee or commission, or any other thing of value contingent on the award of this contract toany employee, official, or current contractor of the City. The bidder certifies that the financialinformation in this statement has been arrived at independently and without consultation,communication, or agreement, for the purpose of restricting competition as to any matterrelating to such costs with any other bid proposal or bidder.

    The bid proposals shall not be considered confidential and no information contained therein

    shall be treated by the City as either confidential, proprietary or trade secret information. Thecontents of the bid proposals shall be considered public records of the City. Any biddersubmitting a proposal hereunder further acknowledges and agrees that the City is a publicentity, which is required to abide by laws governing public records and shall not be liable fordisclosures required by law. All materials submitted in response to this RFB shall become theproperty of the City upon delivery to the address set forth above.

    II. SCOPE OF SERVICES (Specifications for BOD Incubator)

    A. DESCRIPTIONThis BID specification shall be for one Thermo Scientific BOD Incubator, Model 815,or equivalent.

    B. PHYSICAL PARAMETERSThe successful bidder will propose to furnish a unit meeting all of the physicalparameters as furnished on the manufactures published standard specificationsheets. Specifically,

    B. OPERATIONAL FEATURES

    The successful bidder will propose to furnish a unit meeting all of the operational

    features as furnished on the manufactures published standard specification sheets.Specifically,

    The successful bidder will propose to furnish a unit meeting all of the electricalspecifications as furnished on the manufactures published standard specificationsheets. Specifically,

    The manufacturer shall provide a minimum 1-year warranty.

    III. INVOICING/BILLING PROCEDUREInvoices shall be submitted to the City of Wixom, Attn: Department of Public Works, 49045Pontiac Trail, Wixom, MI 48393. Payment will be processed within 30 days after product isreceived and approved by Public Works Director. No pre-payments, deposits, or partialpayments will be authorized.

    Failure to submit your invoices to address above may result in delay of payment.

    IV. REQUIRED DOCUMENTSIn the submission of its Proposal, a Firm shall submit the following documents to the City, andshall guarantee the accuracy of such information by signature of its authorized representative:

    V. GENERAL CONDITIONS

    SUPERVISION AND CONTROL. The Firm shall report directly to the United WaterEnvironmental Services, Inc. - Mr. Brill Briggs, Laboratory Manager, at 248-960-0870, Mr.Richard Bacon, Operations Manager, at 248-960-0870 and/or City of Wixom - Director of PublicWorks, Michael Howell at 248-624-0141, and process requests through the City of Wixom -Department of Public Works.

    INDEMNIFICATION. The Firm shall be solely responsible for and shall indemnify, defend andhold harmless the City of Wixom, its agents, officers, employees and other vendors from andagainst any and all claims, suits, damages and losses, specifically including, but not limited tothose for loss of use of property, for damage to any property, real or personal, for injury to or thedeath of any person, including, but not limited to, its employees, agents and officers and for allother liabilities whatsoever, including related expenses and actual attorneys fees, in any way

    sustained or alleged to have been sustained, indirectly or by reason of or in connection with theperformance of services, or from any other acts or omissions of the bidder, its employees,agents or officers.

    ONGOING EMPLOYMENT DISCLAIMER. Any proposal accepted or contract entered into asthe result of this RFP will not constitute, create, give rise to or otherwise recognize an ongoingor continuing agreement or relationship, partnership or formal business organization of any kindbetween the City and the bidder as Citys vendor. The rights and obligations of the parties shallonly be those expressly set forth therein. The selected Firm will be required to agree that aspart of any contract entered into as the result hereof, that no person supplied by it in the

    performance of the contract is an employee of the City. Any contracting party shall have thetotal responsibility for all salaries, wages, bonuses, retirement, withholdings, and workmanscompensation. This requirement includes responsibility for unemployment compensation, otherbenefits and taxes and premiums appurtenant thereto concerning such persons provided bysuch party in the performance of the contract, and shall save and hold the City harmless withrespect thereto.

    NON-DISCRIMINATION. The Firm shall, when applicable, comply with the requirements of allFederal, State, and local laws, ordinances and regulations relating to minimum wages, socialsecurity, unemployment compensation insurance, and Workers Compensation, and shall notdiscriminate against any employee or applicant for employment because of race, sex, creed,color or national origin.

    ASSIGNABILITY. Any contract resulting from an award of this RFP shall not be assigned ortransferred by the Firm to any entity not connected with the bidder without the prior writtenconsent of the other and the United Water Environmental Services, Inc. or City of Wixom.

    TERMINATION. This Agreement may be terminated without cause by the City upon thirty (30)days written notice. In such case, the Firm shall be compensated by the respective City for all

    work completed prior to termination upon delivery of products completed to the City. The Firmhereby recognizes that the City is a political body corporate, and that in the event the City failsto appropriate monies sufficient to pay its obligations herein, the City may terminate thisagreement without incurring any liability therefore, other than compensation for any workcompleted by Firm prior to termination.

    APPLICABLE LAW. Any and all disputes arising under any contract to be negotiated hereunderor out of the proposals herein shall be governed according to the laws of the State of Michigan.The Firm agrees that the venue for any action to enforce provisions of the contract shall be inthe State of Michigan. In the performance of services, bidder further agrees to comply with allapplicable State, Federal, and local statutes, ordinances, and regulations, and obtain any andall permits applicable to the performance of such services.
