    1.0 INTRODUCTION

    Section C4, Scope of Work has two parts; C4-General Scope of Work describes the general Scope of Work and Services required to undertake and manage the Contract, and Section C4-Specific Scope of Work provides specific requirements and further information relating to the Work to be carried out under the Contract.

    1.1 Project Description

    The project comprises the installation and tie in of one Once Through type Heat Recovery Steam Generation unit (HRSG) on the back end of the GTG Unit at Amal Power Station.

    The HRSG Unit shall be designed for unmanned operation and under normal operation will be remotely controlled and monitored from the Amal Steam Control Room.

    1.2.2 Definitions

    As Built shall mean updating of master Drawings to reflect the project As-Built status.

    Commissioning shall mean putting into operation all the equipment so that the entire system can Work as a whole to achieve the intended purpose. This shall also include protection relay

    settings, timer settings, and alarm and trip settings under operating conditions and handing over to Operations in working condition.

    Design Consultant shall mean a specialised Engineering design consultant who is registered with the Company to perform work in the particular engineering discipline or specialist area applicable to the work in accordance with the latest revision of the Companys Approved Contractors List.

    Detailed Design shall mean all documents, Drawings, specifications and requisitions executed during Engineering by the Contractor in developing the Design Basis to a level defined by the Company in order to satisfactorily procure all Materials and construct, complete and maintain the Work to the acceptance of the Company.

    Drawings shall mean the Drawings listed in Section C6 of the Contract or those that will be issued by the Contractor from time to time, during the execution of the Work.

    Engineering shall mean all Work carried out in developing the Detailed Design from the Design Basis, including all necessary research, studies, investigations, analyses, technical calculations, drafting, detailing, locating and obtaining all approvals.

    Design Basis/Front End Design shall mean all documents, Drawings, specifications and requisitions prepared by the Company and issued to the Contractor for the purpose of defining the Scope of Work, and are the basis for Engineering and Detailed Design to be executed by the Contractor.

    HRSG Package shall mean all Material being supplied from Nooter Eriksen as described in their Technical Proposal 1902-09

    Install/Provide shall mean, unless specifically stated otherwise, design, manufacture, Works testing, packing for ocean or airfreight, shipment, insurance, delivery to Site, unloading at site, complete erection and installation, painting, site testing, Pre-commissioning and Commissioning, 30 day reliability run, putting into commercial operation and warranty prior to Completion

    Manufacturer shall mean the original party responsible for the manufacture of equipment and provider of services used to perform the duties and obligations specified by the Contractor.

    Original Equipment Manufacturer shall mean a party responsible for the supply of Material or related services.

    Milestones shall mean the Milestones as stated in Schedule E of Document C5.

    Other Contractors shall mean any other contractor, working concurrently on existing facilities or new facilities forming part of this or other developments on the Site, or in the immediate vicinity not engaged by the Contractor.

    Pre Commissioning shall mean checking and testing of all equipment for correct installation and operation in preparation for Commissioning (refer Section C6-21).

    Performance Tests shall mean those test performed by the HRSG OEM to verify the HRSG meets its HRSG Grantees.

    Plant unless specified otherwise this term shall refer to the entire facilities related to the HRSG and its associated BOP being installed under this Contract.

    Specifications shall mean the Specifications as given in Document C6 of the Contract.

    Shall shall be understood as mandatory.

    Tie-ins shall mean tie-in to the existing facilities and shall include but not limited to fuel gas, substations, SCADA, PLCC, microwave, fibre optic communication network, access road.

    Vendor shall mean a party responsible for the supply of equipment, Material or product related services, to the Contractor and excludes free issue Material supplied by the Company.

    2.0 CONTRACTORS SCOPE OF WORK

    2.1 General

    The Scope of Work under this Contract shall include everything necessary, including the design, manufacturing, factory testing, packing, transport, insurance, delivery, unloading, erection, painting, testing, Pre-commissioning and Commissioning of the complete Work for the efficient operation of the HRSG at Amal Power Station. The project shall be executed in compliance with the Specifications provided in Section C6, which includes Company and Shell Group standards and specifications (SPs and DEPs etc), Drawings and documents enclosed and international standards.

    The Contractor shall check the feasibility of using the Data/Drawings furnished to him, to proceed with the Detailed Design. However, the Contractor shall carry out their own survey and verify the details provided by the Company. The Contractor shall include the cost of all such items, which may be required for successful Commissioning for the project without affecting the project schedule.

    Duration for Completion of the Work is specified in C-1 Form of Agreement.

    The Contractor shall be fully responsible for the EPC Work in full compliance with all terms and conditions of this Contract from the Effective Date of the Contract through to Completion and shall be responsible for all aspects, including but not limited to:

    - Project management for Engineering, procurement, construction and Commissioning.

    - Project control, management and supervision of all elements of the Work, whether being executed at site or elsewhere

    - Competent and timely execution of all Work to meet the Contract Milestones

    - The provisions and implementation of a Contract Execution Plan (CEP) and progress monitoring and reporting. The CEP should cover Detailed Design, procurement, construction, Pre-commissioning, pre start up audit and Commissioning activities up to the Contract closeout.

    - Quality management, including the provision and implementation of a Contract Quality Plan (CQP) and Quality Control Plan (QCP)

    - Carry out FED Verification, produce FED Verification Report and proceed for Detailed Design and Engineering.

    - Engineering, including surveys, geotechnical testing, interface assessments, design studies, calculations, reports, records, lists, plans, arrangements, layouts, submittals, construction Drawings, and As-Built Drawings.

    - Procurement of all plant, Materials for both the permanent and temporary Work, including all management, administration, organisation, co-ordination, liaison, handling and transport necessary for delivery to the Work Site.

    - Management and supervision of Subcontractors and Vendors.

    - Recruitment of all manpower for the Work, including the provision of all suitable accommodation, messing, welfare, transport and Facilities. This shall include for all training, in particular with respect to compliance with the requirements of the HSE Specification, including the latest Company HSE Manuals and HSE Training as specified in Section C9.

    - Scheduling and progress reporting for Engineering, procurement, construction, and Commissioning.

    - Planning and scheduling including the provision and implementation of shutdown plan.

    - Competent and timely execution of all the Work to meet Contract Milestones. - Provision of designated Site access areas when working within or near operating

    facilities to enable construction work to proceed whilst the plant is in operation.

    - Construction, including site preparation, grading, raising, clearing; rerouting; demolition, removal; modification; temporary Facilities; temporary Work; site services; foundations; equipment unloading, handling, storage, setting, installation and erection; supply and installation of commodity items; building, erection; and construction testing and records.

    - Obtaining all necessary permits and approvals required by the Company to execute the Work including adaptation to Life Saving Rules.

    - Management of interfaces between Contractor and Company and other Subcontractors, and Vendors.

    - The Contractors Scope of Work includes for all licenses and permits, e.g. civil aviation, roads, Right of Ways (ROWs), etc to start and complete the Work.

    - Co-ordination and liaison with the Company and other parties associated with the Work

    - HSE management, including the provision and implementation of a Contract specific Health, Safety and Environment (HSE) plan covering the Subcontractor's scope.

    - Provision and operation of Site sanitary facilities

    - Telephone and telecommunications

    - Training of Companys operation & maintenance personnel, including use of Contractor's Training Simulator.

    - Demolition Work, if any shall be identified beforehand and prior approval in writing shall be obtained from CSR before undertaking any of the Work.

    - The establishment of Work Site(s) which shall include all necessary offices, workshops and material storage facilities together with office and sundry facilities for the Company. The provision of accommodation and all utilities to service these facilities and to complete the Work effectively - covering the Sub Contractor's scope.

    - Construction Site security through to Completion.

    - Project Certification and Completion Management System (CCMS) - Collection, editing and provision of data onto templates for input into the SAP/R3

    system for all the new assets data and maintenance procedures.

    - Provision of Authorised Electrical Personnel (AEP) for erection, testing and Commissioning approved by Company.

    - Preparation of a combined detailed changeover and tie-in execution plan for mechanical, electrical and instrumentation work to avoid any schedule impact. This is to be agreed by the Company Site Representative prior to implementation.

    - Planning and scheduling on Primavera covering project tasks in sufficient details. The detailed plan should cover duration for attending punch list items as would be found during Pre-commissioning, pre start up audit and Commissioning.

    - Testing and Pre-commissioning prior to Substantial Completion and Commissioning and initial operation prior to Completion. This shall include compilation of equipment test packs.

    - Preparation of As-Built marked up Drawings as the Work progresses and provision of Vendor/Supplier/Manufacturer documentation, Operating and Maintenance Instruction Manuals.

    - Commissioning.

    - Provision of As-Built Drawings and specifications, Vendor/ Supplier/ Manufacturer documentation, Operating and Maintenance Instruction Manuals in hard copies and soft copy in CDs (Operating and Maintenance Manuals shall be in PDF format)

    - Operating and Maintenance Instruction Manuals, As Built Drawings, process diagrams, design documents and specifications.

    - Landscaping within site boundary

    - Plant performance guarantees

    - Availability guarantee

    - Warranty period for Materials and systems.

    - Supply of everything necessary to make good any defects and deficiencies in the defects liability period.

    - Transportation of all project material to Site (with exception of Company free issued Material)

    - Off-loading and proper storage of Materials delivered to Site - Cost control.

    The Contractor shall liaise with the Company and shall obtain approval under the Companys Permit to Work system before carrying out any Work on existing facilities or in regard to the Work affecting existing facilities.

    The Contractor shall be responsible for reviewing and evaluating the existing operational facilities, Site circumstances, local environment, prevailing regional climatic conditions in relation to the Work, and for ensuring that he takes full account of these and all other such factors which will affect the ultimate operation, maintenance and performance of the complete Work to be constructed under this Contract.

    The Contractor shall, if required modify the construction programme to suit maintenance or operational requirements as necessary. The Contractor shall allow flexibility in his programme to allow for planning and approval of shutdown requests, approval/withdrawal of permits and consequential re-scheduling of the Construction Schedule.

    Any item of plant or component which fails to comply with the requirements of the Specifications in any respect whatsoever at any stage of manufacture, test, erection or on completion at Site may be rejected by the Company either in whole or in part as considered necessary. After adjustment or modification, if so directed by the Company, the Contractor shall submit the item for further inspection and/or tests. Materials or components with defects of such nature that adjustment or modification cannot fulfil the requirements of this Specification shall be replaced by the Contractor at his own expense and to the satisfaction of the Company.

    3.0 COMPANYS SUPPLIED MATERIAL AND SERVICES

    With respect to this Project the following Material will be Free Issued to the Contractor:-

    1 x Once Through type HRSG Package of which preliminary details are provided in

    Attachment 1 for information only.

    Company provided information in relation to the HRSG Package shall be treated as preliminary information as received from the HRSG OEM. This information is subject to review by the HRSG OEM during the detail design process and may result in changes. The Company shall not be liable for the accuracy or sufficiency in this information and providing such information shall not relieve the Contractor from their obligation to perform the Work in accordance with the Contract Specifications.

    4.0 PROJECT MANAGEMENT

    4.1 General

    The Contractor shall be responsible for providing a high standard of project management for all Work associated with this Contract. The Contractor shall pay particular attention to the management of the interfaces with the Company's operations department so as to avoid disruption to Company's normal operations.

    4.2 Contractor's Organisation

    Contractor shall provide an organisation including office, support services, administration and a project organisation to manage and control the Work.

    Contractor shall comply with, and implement, the planning, co-ordination, communication, administration, control and reporting requirements of Section C8 - Procedures for Contractor.

    Contractor shall ensure that the Work is adequately supervised at all times and that all Contractor personnel, Subcontractor personnel and Vendor personnel shall have the skills and qualifications necessary for their assigned tasks and that they shall have in their possession all licenses and certificates required for the performance of the work to which they shall be assigned which shall be presented to Company upon request.

    Contractor's project support organisation shall include as a minimum but not be limited to:

    1. General, project, department and section management.

    2. A Contract Manager who shall be responsible for all activities associated with the Work.

    3. Camp Manager, HSE Advisor, QA/QC Manager and all necessary medical personnel for a contract of this size.

    4. All necessary supervisory, administrative, procurement and financial personnel.

    5. The Contract Manager and all Key Personnel reporting to him shall be assigned exclusively to this Contract.

    The activities of the Contractors organisation shall include but not be limited to:

    1. Implementation and maintenance of Quality Assurance;

    2. Implementation and maintenance of Project Certification and Completion Management System (CCMS)

    3. Implementation and maintenance of HSE systems;

    4. Management, planning and supervision of Contractor's Engineering, procurement, construction, Pre-commissioning, Commissioning and initial operations activities;

    5. Management of Subcontractors;

    6. Provision, implementation and maintenance of all procedures including modification of Contractor's own procedures and methods for execution of the Work and other activities to be performed by Contractor as part of the Work;

    7. Preparation, implementation and the regular update of plans and schedules for the Work and reporting progress to Company against these plans and schedules, including provision of all supporting documentation as requested by Company;

    8. Establishment of a cost control system to monitor cost and commitments under the Contract and the preparation of current and forecast expenditure reports;

    9. Provision of all supporting documents and training of personnel as required by the Contract;

    10. Obtaining all necessary permits, licenses and regulatory authorisations and approvals;

    11. Administration and control of all documents and Drawings related to the Work;

    12. Management of interfaces.

    4.3 Planning

    The Contractor shall develop and maintain a preliminary Contract Execution Plan which shall fully document the Contractors management functions for the overall project. The plan shall be submitted within 42 days after Effective Date. A separate Contract Execution Plan for the construction stage of the Work may be submitted at a later date with the prior written approval of the Company, in which case the initial Contract Execution Plan shall include a preliminary outline plan for the construction Work.

    The Contract Execution Plan shall demonstrate to the Company that the Contractor has a comprehensive plan in place to efficiently complete the Work, on schedule and on budget without compromise and shall address the following, as a minimum:

    - Project management structure and procedures,

    - Design engineering management and procedures,

    - Mobilisation/Demobilisation of resources

    - Design quality control,

    - Procurement management and procedures,

    - Procurement quality control,

    - Material control (inspection, expediting and logistics),

    - Factory acceptance testing,

    - Vendor management,

    - Construction management structure and procedures, including organisation chart,

    - Planning, monitoring and reporting,

    - Contract specific quality plan (refer SP1171),

    - Contract Health, Safety and Environment (HSE) plan,

    - Construction camp management,

    - Construction logistics (Work locations for types of work and the like) including transport management and supervision,

    - Construction inspection and quality control,

    - Preparation of documents and document control,

    - Testing, Pre-commissioning and Commissioning including organisation.

    The Contract Execution Plan shall cross reference standard Contractor procedures where possible.

    Copies of any referenced procedures shall be made available by the Contractor as required by the Company.

    4.4 Progress Reporting

    Contractor shall, for the duration of the Contract, provide accurate and timely reports of the progress and HSE status of the Work. The reports shall highlight all trends that impact on the Programme and/or the Contract Price. The reports shall include explanations for deviations from the Programme overall Completion of Contract and proposals for remedial action, together with any revised plans, schedules and projections.

    The detailed format and content of Contractor reports shall be developed by Contractor and approved by Company.

    Contractor shall comply with the dates for reporting. Any consequences arising from late and/or inaccurate reporting to Company shall be for the sole cost of Contractor.

    4.5 Labour Clearances and No-Objection Certificates

    Obtaining all necessary labour clearances and no-objection certificates for the Contractor, Subcontractors and Vendors will be the responsibility of the Contractor. The personnel shall attend all applicable HSE and Operational training courses and obtain necessary authorisation to carry out relevant activities.

    4.6 Co-ordination and Sequence of Construction Work

    The co-ordination and sequence of construction work shall be carried out in such a manner that promotes safe construction methods, giving maximum clearances to any live system, and minimizing the number and duration of power outages on existing substation busbars and equipment.

    4.7 Shutdown Work

    The Company considers that shutdowns will be required for the execution of some parts of the Work. The Contractor shall however in all cases, including unforeseen circumstances that require additional shutdowns, be responsible for safely planning and minimising the extent of all such shutdowns.

    All Work at Site shall be carried out in such a manner as to minimise interference with existing operational equipment and require the minimum outage time of operating plant. The Contractor shall discuss and agree, in good time, the method and timing of such outages with the Company's Site Representative. All shutdown requirements shall be applied for six month's in advance and shall be confirmed 1 month before shutdown.

    4.8 Interfaces With Company and third parties

    The HRSG at Amal Power Station forms part of an integrated system. Installation of the HRSG will be a brown field development and as such there are a significant number of existing facilities and new facilities forming part of this or other developments which may impact on the design

    and execution of the Work. The Contractor is therefore responsible for ensuring they become aware of all factors, either current or planned, that may impact the execution of the Work and making due allowance in the planning and scheduling to take account of them.

    The Contractor shall note that existing Amal Power Station, Amal Steam Plant, 132kV Switchyard and interconnecting 132kV OHLs are operational.

    The Contractor shall take into account all construction problems associated with working in and interfacing with equipment in an operational power station, oil gas facilities and energised switchyard. All such Work shall be subject to the Companys safety procedures as detailed in HSE Specifications, Section C9. The Contractor shall include in their Contract Price for the Companys Permit to Work systems to carry out Work in such areas, which may result in reduced productivities. The Companys Permit to Work systems shall be strictly adhered to.

    The Contractor shall liaise closely with the Company's Site Representative, to ensure that all interfaces are designed and installed correctly and interface problems are eliminated. In particular, day-to-day access by the Contractor's workforce into the existing switchyard areas will be subject to Company approval and requirements and shall be co-ordinated with Company to prevent any interruption to their operations. The Contractor shall provide fencing and other protection facilities required by Company in the vicinity of the Work.

    The Contractor shall note that Other Contractors will be working at the same location during the schedule of this Contract. It is the responsibility of the Contractor to co-ordinate with the Other Contractors for smooth execution and day-to-day activities.

    4.9 Interface Planning

    In the execution of the Work there will be significant requirement for the Contractor to plan and interface with a number of Other Contractors. This interfacing will occur throughout all the phases of the project and will include the need for others to access the Site. The Contractor shall allow in his Contract price for this interface specification, including registers, management, preparing for, attendance at, and following up interface meetings as required, and impact on progress during execution.

    It is of prime importance that interfaces are identified in a timely manner so that all information exchanges and activities of different parties can be planned and scheduled allowing all parties sufficient time for execution of interface related activities. Contractor shall provide all appropriate interface data for input into Companys integrated planning system.

    The Contractor shall prepare and maintain a register of interface related issues and shall actively expedite the resolution of all such issues.

    Contractor shall develop contingency plans, including measures to be taken, if any of its planned activities cannot be executed due to late completion of activities by other parties.

    Contractor shall, within seven days of occurrence, inform Company in writing of any delay caused by late completion by Other Contractors. Contractor cannot claim delay caused by late receipt of interface information i.e. should the required date expire, then the Contractor is to reasonably make an assumption about the information expected from the interface party, advise Company and proceed accordingly.

    Contractor shall ensure that during all phases of the Work areas of interface with activities of Company or others are properly managed.

    4.10 Key Personnel

    4.10.1 General

    The quality of the Contractor personnel is considered to be a key to the success of the Contract. Accordingly all Key Personnel employed on the Contract, as identified below shall be subject to Company approval at the time of Tender. CVs of proposed candidates or minimal qualification requirements per function shall be submitted to the Company for approval. Any such approval shall not alleviate the Contractor from any of his other responsibilities under the Contract and any personnel subsequently found not suitable to perform their duties to the satisfaction of the Company shall be replaced immediately at the expense of the Contractor.

    The following personnel shall be defined as Key Personnel:

    - Contract/Project Manager

    - Engineering Manager

    - Construction Manager

    - Interface Manager

    - Construction engineer/supervisor (civil, piping, mechanical, electrical, instrumentation.)

    - Procurement Manager

    - Commissioning Manager

    - Planning Manager

    - QA/QC Manager

    - HSE Manager

    - QA Inspectors (civil, mechanical, electrical, instrumentation)

    The positions shall be mutually exclusive i.e. no person shall be nominated to fulfil two or more of these positions.

    The Key Personnel shall be dedicated solely and exclusively to this Contract and shall not be employed concurrently on any other duties whatsoever, unless specifically agreed in writing by the Company. Any Key Personnel so employed in duplication without Company approval will be deemed to be in default as defined below and the appropriate penalties and/or remedies applied.

    Key Personnel shall not be changed by the Contractor during the execution of the Work without the prior written consent of the Company, which will not be unreasonably withheld. In the event of any change in Key Personnel the Contractor shall ensure that there is an appropriate handover period to the satisfaction of the Company. Failure to ensure a handover period to the satisfaction of the Company shall be deemed to be change in Key Personnel without approval and shall be subject to a penalty as defined in Section C5 Schedule F.

    Changing any of the Key Personnel without the prior written approval of the Company shall be subject to a penalty as defined elsewhere in the Contract. The Contractor shall mobilise suitable replacement personnel without jeopardising the progress or quality of the Work. In the event of a failure by the Contractor to mobilise replacement Key Personnel, the Company reserves the right to appoint replacement personnel from whatever alternative sources it considers to be appropriate. All costs including emoluments, mobilisation, demobilisation and fees shall be charged to the Contractor.

    4.10.2 Interviews of Key Personnel

    All appointments of Key Personnel are subject to confirmation of approval at interview.

    To this end the Contractor shall make available candidates for interview in Muscat Oman, at a time to be agreed after the Effective Date.

    No compensation shall be due to the Contractor for candidates approved prior to Contract award but subsequently rejected at interview.

    Traceable references shall be provided for every CV.

    4.10.3 Mobilisation of Key Personnel

    Key Personnel listed below shall be approved by Company and mobilised in the period stated. Should Company reject a nominated person then Contractor shall nominate other candidates.

    For all Key Personnel adequate leave coverage shall be provided. Proposals for leave coverage shall be issued to Company at least four weeks in advance of the intended leave and shall be subject to Company approval.

    The Contractor shall employ suitably qualified Omani employees to hold twenty percent (20%), as a minimum, of the Key Personnel positions.

    4.10.3.1 Contract/Project Manager

    The Contractor shall appoint a full time Contract/Project Manager for the duration of the Contract. The Contract/Project Manager shall be approved by Company and mobilised within 7 days of Effective Date and remain in function until Completion.

    4.10.3.2 Engineering Manager

    The Contractor shall appoint a full time Engineering Manager for the duration of the Contract to co-ordinate the Design Engineering. The Engineering Manager shall be approved by Company and mobilised within 28 days of Effective Date and remain in function until Completion.

    4.10.3.3 Construction Manager

    A full time Site based Construction Manager shall be approved by Company within 90 days of the Effective Date and shall be in place at least 30 days prior to the commencement of activities at Site and 90 days prior to the commencement of fabrication, through to Completion.

    4.10.3.4 Interface Manager

    A full time Interface Manager shall be approved by Company within 28 days of the Effective Date through to Completion

    4.10.3.5 Construction Site Engineers/Supervisors

    Designated discipline construction site engineers/supervisors shall be employed on Site at all times whenever Work is being carried out. At Least 2 Site Engineers/Supervisors shall be Omani engineers

    4.10.3.6 Procurement Manager

    A full time Procurement Manager shall be appointed to co-ordinate the procurement activities. The Procurement Manager shall be approved by Company and mobilised within 28 days of Effective Date.

    4.10.3.7 Commissioning Manager

    A full time Commissioning Manager shall be approved within 90 days of the Effective Date and shall be in place 120 days prior to commencement of Pre-Commissioning, through to Completion.

    4.10.3.8 System Integration Manager

    A full time System Integration Manager shall be approved within 90 days of the Effective Date and shall be in place 120 days prior to commencement of Pre-Commissioning, through to Completion.

    4.10.3.9 Planning Manager

    A full-time Planning Manager shall be appointed for the duration of the Contract to co-ordinate the overall Work. The Planning Manager shall be approved by Company and mobilised within 28 days of Effective Date and remain in function until Completion.

    4.10.3.10 QA-QC Manager

    A full time Quality Manager (see SP-1171) shall be appointed for the duration of the Contract. He shall be approved by Company and mobilised within 28 days of the Effective Date and remain in function until Completion. The Contractor shall be responsible for providing extensive inspection and supervision to ensure compliance with the quality requirements of the Contract

    4.10.3.11 HSE Manager

    Full time site based HSE Manager shall be appointed in accordance with the requirements of Document C-9. He shall be approved by Company and shall be in place at least 30 days prior to the commencement of activities at Site and 90 days prior to the commencement of fabrication, through to Completion.

    4.10.3.12 QA Inspectors

    Designated QA Inspectors shall be employed on Site at all times whenever Work is being carried out. At Least one QA Inspector Shall be Omani engineer.

    4.11 Personnel - Minimum Standards

    The qualifications and experience stated in the table below are the minimum requirements for each function and shall be demonstrated in the CVs to be submitted. For Omani Engineers, The minimum experience shall be 5 years.

    The Company shall be the sole arbiter as to whether any personnel proposed by the Contractor are suitable for the designated position.

    Contractor and Subcontractor supervisory and quality Personnel shall be fully conversant and fluent in the English language. The Camp Manager shall also be fluent in Arabic and the language of the majority of the labour force. All levels of the labour shall be able to converse easily with the level above and below.

    Project Management Personnel shall be in permanent employment of the Contractor and shall only be nominated for similar functions as those in which they have been employed for at least one year before Effective Date.

    The Contractor shall submit a comprehensively documented explanatory statement together with the CVs which are required to demonstrate to the entire satisfaction of the Company that the proposed Contract management team is structurally balanced, integrated, can co-ordinate, are compatible and possesses the necessary combined expertise, experience and overall capability to execute the Contract to the standards required by the Company.

    B.Sc. or graduate in engineering and minimum 5 years experience in the Communications industry or HTS/HND and minimum 10 years experience in the Communications industry. 5 years identifiable experience working with FOC, LAN/WAN and Telecommunication Systems. Company or Shell Group experience is also required.

    Project Material Controller B.Sc./HTS/HND. Minimum 10 years experience, in maintaining a computerised Material Tracking Register for multi-discipline construction Work with a value of over $US20million. Company or Shell Group experience is also requited.

    CCMS Administrator

    B.Sc./HTS/HND. Minimum 10 years experience, in managing an electronic project construction, pre-commissioning and commissioning database for multi-discipline construction Work with a value of over $US20million. Company or Shell Group experience is also required.

    CCMS Data Clerk (site based) B.Sc./HTS/HND. Minimum 5 years experience, in managing an electronic project construction, pre-commissioning and commissioning database for multi-discipline construction Work with a value of over $US20million. Company or Shell Group experience is also required.

    4.12 Approval for Jointers/Terminators/Welders

    All cable jointers/terminators/welders prior to commencement on Site will be subjected to a 'Test of Competence' by a Company nominated inspector (to be notified in due course).

    Upon the successful completion of this 'Test of Competence' the cable jointer/terminator will be issued with a certificate valid for 6 months. Only current valid certificate holders will be allowed

    to undertake cable jointing and terminating work. This certificate shall be renewed prior to its expiry and always be available for inspection.

    The cost of providing jointing/terminating kits for the testing and certification shall be borne by the Contractor and included in the Contract Price.

    At anytime through out the duration of this Contract the Contract Holder may instruct, without any prior notice, any cable jointer/terminator/welder to undergo a 'Spot Check' test of competence similar to that mentioned above. Failure to achieve the required level of competence in this 'Spot Check' will result in the cable jointer/terminator immediate replacement to avoid any impact on project schedule. The Contractor equipment costs and inspection charges for these 'Spot Check' tests of competence shall be borne by the Contractor.

    The Contractor shall supply his cable jointers with a tool-kit containing, as a minimum, the tools as listed in Document C6-12. The cable jointer shall bring his tool-kit for inspection at the time of the Company competence test and he shall use his tools during this test.

    The Contractor shall be responsible for the timely mobilization / demobilisation to site of all cable jointers and all associated costs shall be deemed to be included in the Contract Price.

    4.13 Procurement

    4.13.1 Material to be supplied by Contractor

    All Materials, equipment, and associated fittings necessary for Completion of the Work according to the requirements of this Contract document shall be supplied by the Contractor.

    The Company however will free issue to the Contractor the item listed in Section 3.

    Unless specifically agreed otherwise by the parties during Contract negotiations, all Materials shall conform to the requirements of Section C6-Specifications. Where no equivalent Company specification(s) exist, Contractor shall seek prior written Company approval of the specification for the Material proposed.

    Unless specifically agreed otherwise, the Contractor shall procure Materials from Vendors approved by the Company unless specifically stated otherwise in section C6-23. Approved Vendors are listed in The Approved Vendors of Materials and Equipment for PDO Oil and Gas Facilities, latest PGSC list.

    4.13.2 Procurement Management and Procedures Manual

    The Contractor shall compile, and maintain, a Project Procurement Management Manual that details the project procurement strategy, and contains the method statement, detailed procedures specific to the Contract for all procurement activities and specimens of all standard forms. The procedures must also fully reflect the requirements of the Contract with respect to use of Omani goods and services. The manual shall be submitted to Company for approval within 42 days of the Effective Date.

    4.13.3 Procurement Management

    The Contractor shall be responsible for managing all aspects of the procurement of the Contractor supplied Materials in accordance with the requirements of the Contract.

    This shall include, but not be limited to:

    - Preparation and dispatch of requisitions for enquiry to the Company approved Vendors - Technical evaluation of the bids and seeking Company approval - Discussions with Vendors - Placing the Purchase Orders - Vendor data management - Expediting, shipping and transport of Materials to Site - Inspection and Quality control - Progress monitoring and reporting - Factory Acceptance Testing, as applicable - Site Acceptance Testing, as applicable

    - Export quality packaging and transport - Certification of Vendor invoices and payment - Import into Oman - Operating and Maintenance Instruction Manuals - Pre-commissioning and Commissioning - SPIR documentation (e-SPIR) - SAP PM Management - Training - As-Build Drawings preparation

    The Contractor shall provide the Company with all necessary certificates, including test certificates where required, for the Contractor provided Material. The certificates shall certify that Materials are in accordance with the Company Specifications and Drawings.

    4.13.4 Subcontractors and Vendors

    Company will assess the Subcontractors and Vendors selected by the Contractor for the supply of the Material listed below to determine the extent and degree of involvement during design, fabrication, manufacturing and testing by the Companys nominated Third Party Inspection agency. The assessment shall include evaluation, implementation and compliance of Vendor(s)' quality system and availability of adequate and suitable re-sources of the Vendor(s) throughout the duration of order execution.

    4.13.5 Material Standards & Codes

    Types, sizes, and qualities of Materials recognized as standard by Company are listed and coded in the 'Materials and Equipment Standards and Code' (MESC) and SAP code number where indicated. The Contractor shall not deviate from this standard without the prior written approval of Company. Should such approval be given, the Contractor shall provide cross-referencing from whatever system is implemented to the MESC/SAP numbering system and shall mark on all relevant documents the MESC/SAP number in addition to any alternative system approved by Company.

    4.13.6 Purchase Orders and Requisitions

    The Contractor shall prepare all documents and Drawings including requisitions necessary for procurement of all Material required for the Work.

    Such requisitions shall be of sufficient detail to adequately describe the Materials required and shall follow Company standard format. All requisitions shall be prepared in accordance with the requirements of DEP 30.10.01.10-GEN and shall include Requisition for Engineering Documents (RED sheet) in accordance with DEP 40.10.01.93.

    All Requisitions prior to submitting to Vendors shall be submitted to Company for review and comments. All Company comments shall be incorporated unless Contractor can demonstrate the comment is outside his Scope of Work. In this event Contractor and Company shall mutually agree upon the requirement.

    4.13.7 Procurement Documentation

    The Contractor shall be responsible for the preparation, co-ordination and submission to Company of all procurement documentation (e.g. Vendor Drawings, calculations, material certificates, installation manuals etc) as required. Company reserves the right to request copies of any document produced during procurement at no extra charge to Company.

    4.13.8 Packing and Delivery

    The Contractor shall ensure that all Materials necessary for execution of the Work are delivered safely in good condition to the applicable construction Site in the interior of Oman. Materials transported or shipped must be adequately packed for protection against damage during transport and against deterioration due to weather and other conditions while being stored or in transit.

    4.13.9 Kick-off Meeting

    Contractor shall arrange a Kick Off / Pre-Inspection Meeting (KOM/PIM) between Company, Vendor and Contractor at Vendor premises for all long lead item prior to start of any manufacturing activities by the Vendor. All coordination and interface regarding KOM / PIM between Company, Vendor and Contractor shall be Contractor responsibility.

    Contractor shall ensure that a minimum of 15 days advance notice is given to Company for participation in the KOM / PIM.

    4.13.10 Expediting

    The Contractor shall perform adequate expediting to ensure timely delivery of Materials to the Construction Sites. The Contractor shall prepare and submit a monthly expediting report to Company for information.

    4.13.11 Inspection and Verification

    Contractor shall carry out inspection of all procured Material during design, fabrication, manufacturing and testing as per requirements defined in Contract Technical Specifications, codes, standards etc. Where Contractor engages Third Party Inspection agency for these inspections, the Third Party Inspection agency shall be from Company approved list.

    Contractor shall ensure that Hold, Witness, Review, Monitor, Surveillance points are identified in the Quality Control Plans (ITP) for Contractor, Vendor, Sub-supplier, Third Party inspector / Authorised Inspector and Company or its nominated Third Party Inspector.

    Company will indicate its Hold, Witness, Review, Monitor, Surveillance points in the Quality Control Plan (ITP) of each Vendor/Subcontractor. Contractor shall ensure that Company Representatives get free access whenever required.

    Contractor shall give Company at least 14 days notice to attend and participate in inspection and verification at Hold, Witness and Review points of Quality Control Plan. Should a Witness or Hold type inspection or test be rescheduled then 7 days notice shall be adhered to. The earliest date the inspection or test can be executed is 7 days after the notice advising the revised date, has been received by Company.

    Company attendance and participation in inspection and verification at Hold, Witness and Review points does not absolve Contractor of its obligations to fulfil and meet all requirements specified in the Contract. Any non-conformance or deficiencies or defects revealed at any stage during execution of the Contract shall be rectified by the Contractor at no cost to the Company.

    Contractor shall ensure that all activities defined in SP-1171 are carried out by an approved Third Party Inspection agency.

    Contractor shall prepare, submit to Company for review, implement and maintain comprehensive supplier appraisal and quality surveillance and inspection schedules which shall be used during procurement defining the number and planned timing of the following:

    - Vendor appraisals;

    - Quality assurance audits of suppliers;

    - Quality surveillance and inspections of suppliers' activities.

    As a minimum Contractors quality inspectors shall visit manufacturers premises who will be supplying the following Material, to conduct inspections and quantity audits. These visits to conduct inspections and quality audits shall be in addition to the visits for kick-off meetings and FAT. Within 7 days of conducting each visit the Contractor shall issue to the Company separate reports on the findings from these visits.

    The philosophy, methods and criteria that shall be employed in the ordering of materials and equipment (in order to determine the level of Vendor Appraisal, Quality Assurance audits of suppliers and Quality Surveillance and Inspections of supplier activities) shall be described in the schedules. The levels of Vendor quality surveillance and inspection shall incorporate all Hold and Witness points required by the Contract Specification(s).

    4.13.12 Tests at Manufacturer's Works

    Inspection and testing during manufacture shall be in accordance with section C6-21 and this section of the Specification.

    (a) Works tests shall include all routine electrical, mechanical and hydraulic tests in accordance with the relevant international standards and Company standards except where departures there from and modifications thereto are embodied in the Specifications or in the Contract.

    (b) Should the equipment or any portion thereof fail under test to give the required performance, further tests which are considered necessary by the Company shall be carried out by the Contractor. The Company has the right to reject any equipment that has failed under test. This shall also apply to equipment that has failed any test carried out at the Subcontractor's Works.

    (c) Prior to shipment the Contractor shall issue shop test reports for review by the Company. The reports shall be accompanied by a statement of conformity/deviation. Where a deviation from the specification, purchase order or the manufacturers specification occurs, the equipment shall not be released for shipment until the deviation has been reviewed and approved by the Company. Should the deviation not be approved by the Company the Contractor shall submit his proposal for achieving compliance to the Company for approval prior to proceeding with any rectification work.

    (d) No item of equipment is to be dispatched to Site until the Company has given "dispatch clearance" in writing.

    (e) Company has the right to Witness tests and inspect all equipment before dispatch to site.

    4.13.13 Tests on Mechanical Equipment at Manufacturers Work

    All items of plant and equipment shall be subjected to visual, dimensional, material, non-destructive, hydraulic, and functional and acceptance tests at the manufacturer's works as per requirements of document C6-21.

    Each item of auxiliary plant shall be subjected to an acceptance test to prove that reliability and operation and performance conform to the requirements of Specification C6-21 and the provisions of the appropriate Standards.

    Plant items and equipment shall be fully assembled and complete in every respect prior to the commencement of works acceptance tests.

    The Contractor shall submit to the Company complete test procedures including test record sheets, single line diagrams, layout of the plant including the location of test instrumentation and the principal dimensions for Company review

    All calculations to derive performance data shall be made strictly in accordance with formulae given in the relevant Standards. Any alterations or deviations from the relevant Standard test layout or formulae shall be subject to the prior approval of the Company Representative.

    The formulae used for correcting test results to Site conditions shall be subject to the Company Representatives approval and be given with the test results together with calibration details of any measuring instruments.

    All pressure gauges, flow meters, venturies, orifice plate and other instruments to be used for Work performance and hydraulic tests shall be subject to routine calibration against standard instruments. Calibration records shall be available for inspection by the Company Representative. Wherever possible, plant items shall be tested with the motor/s specially purchased for the respective item. Where such an arrangement is not practical then it will be permissible to utilise a test motor providing full technical performance details are available for scrutiny by the Company Representative.

    4.13.14 Tests on Electrical and Instrument Equipment

    Routine tests shall be carried out on each main item of plant according to the requirements of document C6-21

    Type tests are to prove the general design of the equipment and the Contractor may submit type test certificates of tests, which have been carried out on prototype equipment. The type tests prescribed shall be carried out at the Contractors cost in all cases where such certificates are not available or rejected.

    4.13.15 Vendor Data

    The Contractor shall be responsible for the expediting, review and approval of all the Vendor Data. All materials shall, as minimum, comply with the relevant standards and where applicable, with the requisitions supplied by Company for reference. As each purchase order is placed, the Vendor Data for that particular order shall be included on the Contractors MTR, together with planned receipt dates.

    The Vendor Data documentation for the entire Contractors supplied Material shall be recorded and monitored on the Contractors MTR, together with all the relevant dates.

    The Contractor shall make available any documents / Drawings for review by the Company, as required.

    4.13.16 Non-Conforming Material

    Any material, which in the opinion of the Company does not meet the Specification or is not acceptable with respect to HSE, reliability, inter-changeability or workmanship, shall become the subject of a non-conformance report issued by the Company.

    The Contractor shall ensure that all materials procured shall meet the process and sizing criteria as laid down in the Detailed Design. Required changes to Detailed Design due to mismatch of Vendor data shall not be accommodated.

    Any Material that has failed to satisfy the above acceptance criteria shall be removed from the Work and replaced with fully acceptable alternative by Contractor within his Scope.

    4.13.17 Transport

    The Contractor shall be responsible for, and is to bear all expenses in connection with, packing, shipping, importation, exporting if applicable, customs duties, and transport to site of all plant, materials and equipment required for the execution of the Contract including insurance, warehouse rent, handling, etc. The Contractor is responsible for any delay during transportation.

    Any damage to equipment occurring during transport is the liability of the Contractor, and shall be reported to the Company. The equipment shall not be incorporated into the Work until the equipment has been inspected by a representative of the Company and the extent of repair/replacement has been agreed by the Company Representative.
