Coincidiendo este año con su 25 aniversario, Sagitario

Lighting se creó con el objeto de cubrir una necesidad de

mercado detectada en el sector de la iluminación,

concretamente en la señalización decorativa y de

emergencia, mediante la fabricación a medida de sistemas

de microlámparas a baja tensión y conectadas en paralelo.

Sin duda, todo un acierto.

Se convirtió en el primer éxito logrado, seguido poco

después por la introducción de la tecnología de transmisión

de luz mediante fibras ópticas en el mercado español. Hizo

falta muy poco tiempo para darse cuenta del potencial de

estos sistemas, de los cuales Sagitario Lighting se convirtió

en especialista, desarrollando procesos de manipulación,

terminales, ópticas y demás accesorios, para dar cobertura

a todas las posibles necesidades. A fecha de hoy, siguen

siendo un referente mundial en muchas aplicaciones

específicas, así como el símbolo más representativo de la

empresa, por tratarse de sistemas elaborados bajo proyecto

y fabricados íntegramente a medida.

En esta línea de especialización, Sagitario Lighting tomó la

decisión de penetrar en el mercado de la iluminación

indirecta, mediante el uso específico de sistemas con

lámparas Xenon. Este mercado no sólo ha tenido un

crecimiento espectacular en los últimos tiempos, sino que

dicha tecnología es parte imprescindible en la mayoría de

proyectos de alto standing, por las inigualables prestaciones

en calidad de luz y valor añadido que ofrece. Actualmente,

la gama Xenon es un pilar importante de la empresa, dada

la excelente y variada familia de productos desarrollada y su

no menos excelente acogida por parte de los prescriptores

y especialistas de iluminación.

Coinciding this year with its 25 anniversary, Sagitario

Lighting was founded with the aim to fulfil a specific need

in the lighting market, namely custom made decorative

and emergency signalization using low tension bead seal

type of lamps. This resulted to be a great success.

Shortly after, Sagitario Lighting was the first to introduce

fiber optic lighting systems to the Spanish market. Due to

the enormous potential of this new technology, Sagitario

Lighting became soon a specialist in the field of fiber optic

lighting, developing special manufacturing processes and

accessories, as well as providing solutions for all kinds of

lighting requirements. Fiber optic lighting is still considered

a worldwide reference in the area of special lighting

applications and the best known identification of our

company, due to the successful delivery of many fiber optic

lighting solutions.

In this line of specialisation, Sagitario Lighting took the

decision to penetrate the market of indirect lighting, using

a specific system with Xenon lamps. This technology has

become an essential part of most high standing projects

because of its unequalled performance and lighting

characteristics, in terms of light quality. Therefore many

lighting consultants around the world are prescribing this

lighting system for their projects.

In the last decade this market segment has experienced an

enormous growth and thanks to a very wide range of

interior and exterior products, it has turned into a very

important product business of Sagitario Lighting.

Pero, sin duda, el proyecto más ilusionante, prometedor y

ya consolidado es el que actualmente copa gran parte de

los esfuerzos de investigación y desarrollo de la empresa:

los sistemas de iluminación basados en la tecnología LED

de alta potencia. Ya hace más de ocho años que Sagitario

incorpora diodos de alto rendimiento en diferentes diseños

y creaciones, pero no fue hasta el pasado 2004 donde se

presentó por primera vez una familia completa de

aplicaciones y sistemas especiales de iluminación, basados

íntegramente en el uso de LEDs de alto rendimiento y LEDs

de alta potencia, PowerLEDs.

Con la firme intención de seguir creciendo e innovando en

este mercado, Sagitario Lighting confía que este catálogo,

junto con su página web constantemente actualizada, sea

una herramienta de uso básico para arquitectos, ingenieros,

consultores y demás especialistas de iluminación, que

permita completar sus proyectos con las más avanzadas

tecnologías y sistemas de iluminación especiales, bien con

cualquiera de los productos presentados como a través del

asesoramiento de nuestro departamento de I+D o de la

personalización de sistemas y soluciones lumínicas.

However, the latest most promising and well consolidated

technology for lighting is based on LEDs. As usual,

Sagitario Lighting has been one of the first applying

state-of-the-art technologies and nowadays we are

showing in many of our projects the potential that LED

technology can offer; that is why Sagitario dedicates a

large part of its resources and time to the development of

new luminaries using LEDs. Already eight years ago

Sagitario Lighting started using LEDs for some of their

applications and it was in 2004 that a complete range of

fixtures based on both high efficiency and PowerLEDs

became available.

Besides the standard products, Sagitario Lighting has

developed customized solutions for specific projects in

close cooperation with the client.

Sagitario Lighting trusts that this catalogue, together with

its new web site frequently updated, serves as a basic tool

for architects, lighting designers, engineers, consultants

and others active in the lighting branch, who want to

complete their projects using advanced technologies and

specific or customized lighting solutions.

Ya no es noticia que los LEDs están siendo y serán el avance más significativo y revolucionario en el sectorde la iluminación desde la creación de la lámpara incandescente. Aún a pesar de que han sido varias lastecnologías de luz que prometían excelentes ventajas y resultados, para luego quedarse a medio camino denada, los LEDs, y más concretamente la aparición de los PowerLEDs, han demostrado que no son sólo unapromesa más, sino que están aquí para quedarse.

Son muchos y muy variados los proyectos que cuentan en su diseño con tan innovadora tecnología. Pero nohay duda que disponen de argumentos más que sólidos, no sólo para llegar donde están, sino paraconvertirse en el referente de cualquier proyecto lumínico que se precie: longevidad inigualable (hasta cienmil horas); no emiten infrarrojos ni ultravioletas; eficiencia energética muy elevada; mínimo consumo;operatividad a muy baja tensión; no dañan el medio ambiente; gran robustez física y térmica, dado sureducidísimo tamaño; capacidad de regulación y control digital; gran variedad de tonos cromáticos, sin uso defiltros…

Sagitario Lighting no ha querido dejar de embarcarse en esta rueda imparable de evolución y revolución.Dentro de toda su gama de sistemas y soluciones lumínicas desarrolladas, se cuentan aplicaciones paraseñalización puntual y lineal, iluminación arquitectural y técnica, iluminación con PowerLEDs y sistemasespeciales. En muchos casos, dichos sistemas están preparados para funcionar en modo RGB (cambio decolor) o incluso en CWA (gama de blancos). Todos ellos cuentan con todas las opciones posibles dealimentación y control, mediante protocolo DMX, DALI, 0-10V o PWM, para acometer cualquier tipo deproyecto, bien sea en aplicaciones de interior como de exterior. Asimismo, el departamento de I+D siguetrabajando para poder ofrecer soluciones a medida, tanto en el asesoramiento y mejor uso de los sistemasfabricados como en la adaptación especial de los mismos a proyectos específicos.

It is no news that LEDs are the most significant advancement in illumination since the invention of theincandescent light bulb. Unlike various lighting technologies in the past which promised excellent advantagesand results, LED technology, and above all PowerLED, has demonstrated that it's not only another hype butthat it's here to stay.

There are many examples of projects where a lighting solution based on LED technology has been chosen.The reason is simple; there exists no other light source with better arguments than LED: long life time (upto 100.000 hours), no infrared and UV emission, high energy efficiency, low voltage operation,environmental friendly, robust to thermal and vibration shocks, compact size, cold start capable, dynamiccolour control, etc.

In view of these promising facts, Sagitario Lighting has decided to take part in the development ofluminaries based on this new technology. Our LED product range comprises of signalization, architecturaland technical lighting systems for both indoor and outdoor applications. All our systems can be controlledby DMX, DALI, 0-10V or PWM protocol to create special effects, by using LED systems in RGB mode (colourchange) or even CWA mode (range of white tones). El objeto de los sistemas Xenon de Sagitario es proporcionar cálidos y sobrios baños de luz indirectos, deforma continuada y sin sombras, realzando cualquier tipo de arquitectura o diseño, sea recto o curvo.

La familia de fabricados se compone de diferentes luminarias y sus correspondientes accesorios de fijación,según se precisen sistemas para interior o exterior, para superficie o empotrables, ocultos o vistos, de mayoro menor rendimiento, con reflectores lumínicos o filtros de color.

Sagitario's Xenon systems provide discrete light baths without any shadows, to accentuate architectural anddesign objects, both straight and curved.

The complete product range consists of different fixtures for both interior and exterior applications. La serie Basic, fabricada a medida en aluminioacabado inox, tiene un diseño minimalista, con unalínea muy estilizada y un tamaño mínimo. Estaconfiguración la convierte en casi imperceptible parala vista, pero capacitada para generar unos máximosbaños de luz.A pesar de su diseño, permite incorporar un doblesistema de aleta reflectora, para un control ajustado delflujo lumínico y para evitar deslumbramientos. Incorporados cables de conexión de silicona de 1,50mm2 y 1,50mde longitud, que afloran por la parte trasera, en unextremo, permitiendo así la instalación de dos o másluminarias continuadas, sin el más mínimo espacio entreellas.Muy adecuada para iluminaciones indirectas lineales ycontinuadas en interior, como mobiliario, estanterías,cornisas, bajos de mostrador, iluminación ambiente,donde no se disponga apenas espacio o donde elparamento de anclaje precise de elementosadicionales de aislamiento térmico, como madera oPVC.

The Basic series is made of aluminium with stainless steelfinish; it has a minimalist design and a small size. Thisconfiguration makes it almost imperceptible, but stillallows the use of two reflector wings on each side todirect the light and avoid dazzle.It incorporates two 1,50mm2 silicone connection cablesof 1,50m length that come out from one back side end,allowing the installation of two or more continuedfixtures without any gap between them.Suitable for linear, indirect and continued indoorillumination, such as bookcases, furniture, shelves,cornices, counters and as ambience lighting. La serie Columbia pretende cubrir una granvariedad de aplicaciones, valiéndose de suagradable diseño de líneas suaves y de su formatoreducido. Es sin duda la luminaria más versátil detoda la gama.Fabricada a medida en aluminio acabado inox,incorpora dos cables de conexión de silicona de1,50mm2 y 1,50m de longitud, que afloran por laparte trasera, en un extremo, permitiendo así lainstalación de dos o más luminarias continuadas, sinel más mínimo espacio entre ellas.También admite adicionar una o dos aletasreflectoras, así como los diversos filtros de colordisponibles, según la potencia escogida, en cuyocaso alcanzaría el grado de protección IP-30.Adecuada para cualquier aplicación lumínica eninterior, bien con la luminaria escondida, bien conla luminaria a la vista: cornisas, techos, cuadros,rótulos de interior, estantes, vitrinas, incluso comobarra de perchero.

The Krater series has been designed for applicationswhere the luminary must be recessed, into theground or into the wall.It incorporates an electronic transformer, thusmaking it a Class I lighting system, facilitatinginstallation directly to 230V AC.The Krater series has an IP-67 protection level andan impact resistance level IK-10, both conformofficial certification, which makes it suitable foroutdoor applications. Furthermore all our luminaries are subjected towater tightness tests by our Quality Departmentbefore delivery, guaranteeing a high quality andperfect functioning.Made of aluminium with polished stainless steelfinish and two side caps. On the bottom it has awatertight connection box, with double input/outputcable seal for interconnecting different fixtureswithout affecting the water tightness of the system. The Krater series can be furnished with one or twointernal reflectors and various colour filters.Suitable for all type of applications where a lightingfixture to be recessed is needed. Un sistema de Fibra Óptica transmitela luz emitida por una lámparasituada en el emisor, mediante elfenómeno de reflexión interna total.Bajo este principio, no se transmiteelectricidad, calor ni radiaciones deinfrarrojos y ultravioletas; solamenteel espectro visible, es decir, luz(400/780 nm).

Estos sistemas se pueden dividir encuatro partes fundamentales: laspropias fibras ópticas, el colectorque las agrupa, los emisores de luzy los terminales y ópticas.

In an Optical Fibre system, a generatorwith a lamp injects light into the opticalfibres. The light is then transmittedthrough the fibre by the principle oftotal internal reflection. Under thisprinciple, only the visible spectrum(400/780 nm) is transmitted, eliminatingheat, IR (infra-red) and UV (ultraviolet)radiation. The result is pure light.

These systems can be divided intofour fundamental parts: the opticalfibres, the collector that gathers themtogether, the light source and theterminals and optics.

The optical fibres are the essence of thelighting system. Made of purest PMMA,they guarantee the minimal loss of light.PMMA fibres are more robust and alloweasy handling on site, unlike glass fibres,still maintaining a high level of lightefficiency. The fibres can be either smallmonofibres without protective sheath forstarry sky applications or a set of fibreswith protective sheath used for illuminationpurposes. Another type of fibre is the sideemitting fibre, which emits light along thefibre, used for decorative purposes likeswimming-pools perimeter.

El colector o mazo que agrupa lasdiferentes fibras tiene una importanciacapital, ya que de su pulido y acabadodepende el buen rendimiento de todoel sistema. También una mayorcapacidad de fibras en el mismodetermina un menor coste económicodel sistema final. En Sagitario Lighting,disponemos de un sistema exclusivosin adhesivos, basado en el principiode fusión térmica, que permite obtenercabezales pulidos y totalmenteespejados. La capacidad de los mismosposibilita albergar desde cientos amiles de fibras ópticas en un mismomazo, según diámetro, manteniendolos niveles de transmisión yhomogeneidad.

The efficiency of the system dependsvery much on how well the fibres arefinished and polished. Therefore, thecollector that gathers all the fibres hasgreat importance. A large amount offibres in the same collector results in agreat economic advantage of thecomplete system. Sagitario Lighting usesan special non-adhesive system basedon thermal fusion which results inpolished and totally mirrored heads,permitting optimal capture of theemitted light into the fibre. One singlecollector can hold up to hundreds orthousands of optical fibres dependingon their diameter.

The light sources are the only electricalactive element in the system. Theyhouse the light bulb, specific for eachapplication, which emits the light intothe fibres. Besides the lamp and itscorresponding power supply equipment,the light sources from Sagitario Lightingincorporate thermal and electricalprotections, as well as different ventilationsystems, thus controlling the system tofunction properly. In order to preservethe optical fibres against any heatdamage, our light sources are equippedwith a special heat filter between thelight bulb and the fibre collector. Theycan also include effect kits, according tothe specific needs of each project.

The best known effect that can be achieved with anoptical fibre system, though still attractive andamazing, is the starry sky effect.

It is formed by hundreds or thousands of light pointswith different sizes and/or colours. The finalconfiguration varies depending on the type ofpremises, the distance between the viewer and thesurface where the effect is applied, the environmentallight levels and the economic means available.

Apart from using fibres with different thickness, thesystem is enriched by the random oscillation effect ofeach light point and its luminous intensity. Furthermore,the colour of all of them can be changed.

Mediante guías de emisión lateral, se consigue realzar el perímetro y contorno de piscinas,fuentes y demás áreas exteriores, generando agradables efectos de cambio de color y sinpeligro alguno al contacto humano, dada la ausencia de corriente eléctrica. CONDICIONES DE VENTA NACIONALEXPORT TERMS AND CONDITIONS OF SALE

SAGITARIO LIGHTING S.L.U. - CONDICIONES DE VENTA NACIONAL 2009

Las siguientes Condiciones de Venta serán de aplicación en todos los pedidos de compra realizados a Sagitario Lighting S.L.U. (en adelante “Vendedor”)por la empresa cliente (en adelante “Comprador”) dentro del territorio español, a excepción de que se hayan acordado condiciones específicas por escrito.

PEDIDOSUn pedido será firme cuando el Comprador haya firmado y sellado debidamente el correspondiente Presupuesto o Factura Proforma, o bien entreguenúmero de pedido, y el Vendedor haya confirmado recepción de dicha documentación. Cualquiera de los casos implica la total aceptación y conformidadde las Condiciones de Venta aquí citadas.

PRECIOSLos precios que figuran en los Presupuestos del Vendedor tendrán una validez de treinta (30) días naturales, a contar desde la fecha de Presupuesto,para todos los pedidos aceptados dentro de ese periodo. En cualquier otro caso, los precios podrán estar sujetos a variación sin notificación previa. Dichosprecios no incluyen costes bancarios, impuestos, cargos por cobro ni gastos de aduana motivados por la venta, cualesquiera de ellos deberá ser asumidosi procediera por cuenta del Comprador, sin perjuicio de quien tuviera la obligación inicial al respecto.Los precios están expresados en Euros y no contemplan gastos de envío, salvo que en Presupuesto o Factura se exprese lo contrario.Los embalajes están incluidos en el precio, a excepción de aquellos específicos para envío marítimo o cualquier otro de naturaleza especial expresamentesolicitado por el Comprador, como arcones de madera o similares.

PAGOSSalvo indicación manifiesta en Presupuesto o Factura, los pagos deberán realizarse mediante el abono del 50% del importe total a la confirmación enfirme del pedido y resto a la recogida de materiales en nuestras dependencias de Barcelona por parte del comprador o el transportista por él designadoo autorizado. En estos casos, el Comprador podrá exigir el descuento adicional por pre-pago que esté vigente en el momento del pedido (1,50% para 2009).El Vendedor iniciará la producción de los materiales pedidos tan pronto como disponga de la debida confirmación en firme de pedido, según lascondiciones pactadas.En el caso en que el Vendedor acepte el pago a crédito, de forma puntual o bien como condición habitual de trabajo, y de cualquier pedido bajo estascondiciones se derive una situación de impago, el Vendedor podrá penalizar con un 2% mensual más los correspondientes gastos bancarios generados,o el máximo permitido por la legislación vigente, cualquiera que sea menor, al balance negativo existente en todas las facturas vencidas y no pagadas. En el caso que el Comprador incumpla sus obligaciones de pago total o parcialmente, el Vendedor se reserva el derecho de reclamar de inmediato elpago total por todos los materiales pedidos y, hasta que dicho pago sea efectivo, el Vendedor podrá rechazar la fabricación de materiales adicionales,congelar el envío total o parcial de materiales y reclamar cualquier material en proceso de envío.

ENVÍOSTodos los materiales serán servidos a portes debidos, salvo que se indique expresamente lo contrario. El Comprador será responsable de todos los costesasociados al envío de materiales. El Vendedor no será requerido a asumir ninguna responsabilidad en relación con los envíos. El riesgo y responsabilidadde pérdidas o daños a cualquiera de los materiales pasará al Comprador en el momento en que se haga entrega de los mismos desde las dependenciasdel Vendedor al transportista.Una vez el transportista haga entrega de los productos en la dirección de envío por el Comprador designada, el Comprador dispondrá de un máximo desiete (7) días naturales para interponer cualquier posible reclamación, con respecto a la cantidad, características o cualquier otra disconformidad sobrelos productos pedidos. Pasado este periodo, el Vendedor no asumirá ningún tipo de responsabilidad respecto a ninguna reclamación interpuesta, segúnlos términos antes citados.

GARANTÍASEl Vendedor garantiza al Comprador que cada producto por él fabricado y suministrado (lámparas, LEDs y consumibles excluidos) estará libre de defectoen material y mano de obra para su uso adecuado, por un periodo de doce (12) meses, a contar desde la fecha de factura emitida al Comprador, o bienpor el periodo marcado por la legislación vigente para los materiales específicos, cualquiera que sea mayor. La garantía del Fabricante rige exclusivamentesobre el Comprador. Si cualquier producto cubierto por esta garantía es devuelto por el Comprador, dentro del periodo de garantía aplicable antesmencionado, y tras su examen el Vendedor determina su conformidad respecto a que dicho producto era defectuoso en materiales o mano de obracuando fue entregado al Comprador, el Vendedor se compromete, según su elección, a reparar o sustituir el producto entero o la parte no conforme delmismo, o a rembolsar al Comprador el valor de compra del producto. Con el objeto de evitar malas interpretaciones, “reparar o sustituir el producto enteroo la parte no conforme del mismo” no incluye ningún tipo de coste o gasto de reinstalación. Si el Vendedor decide sustituir el producto pero éste ha sidodescatalogado o no está disponible, el Vendedor podrá sustituirlo por otro equivalente.Sin perjuicio de todo lo anterior, el Vendedor no será responsable por daños producidos en cualquier producto por causa de uso indebido, negligencia,Fuerza Mayor, accidente o como resultado de reparaciones o alteraciones producidas por cualquier otra persona o empresa no debidamente autorizadapor escrito por el Vendedor.

RESPONSABILIDADESLa responsabilidad total imputable por todos los conceptos al Vendedor y por todas y cualquiera de las reclamaciones y acciones interpuestas por elComprador estará limitada al importe total de los productos pagado por el Comprador al Vendedor en cada caso, para aquellos productos amparados portodo lo aquí expuesto, y no incluye ningún tipo de costes relacionados o indirectos, cargos ni penalizaciones, contemplando, sin límite, costes de envío,impuestos y otras obligaciones. En ningún caso el Vendedor tendrá obligación para con el Comprador o para con cualquier otra persona o empresa quereclame en nombre o de parte del Comprador de responder por cualquier daño de tipo circunstancial, accidental, especial, indirecto, ejemplar o punitivo(incluyendo, sin límite, daños en relación con beneficios o ingresos no logrados), con independencia de cuándo pudieran suceder los hechos, sean o noprevisibles y aún cuando el Vendedor haya sido advertido por adelantado de la posibilidad de dichos daños.

CANCELACIONESUna vez formalizados, los pedidos no podrán ser cancelados ni podrán sufrir modificación alguna las cantidades, medidas y características de los productosintegrantes, salvo que no medie consentimiento de y sobre las condiciones de venta aprobadas por el Vendedor por escrito. Dichas condiciones podránincluir penalizaciones por cancelación, pago íntegro de todo el trabajo en curso, trabajo acabado y cualquier otro daño o pérdida incurrido por el Vendedorcomo resultado de dicha cancelación o modificación.El Vendedor no aceptará la devolución de productos salvo que exista autorización por escrito previa al envío de devolución, incluyendo nº de referenciade devolución. El envío deberá ser realizado a portes pagados y de acuerdo a las instrucciones del Vendedor.Para todos los casos de devolución de material, se considerará una depreciación mínima del 15%, en concepto de revisión, test, manipulación yalmacenaje.

OTROSLas partes con renuncia del fuero que pueda corresponderles se someten expresamente a la jurisdicción de los Tribunales de Barcelona.

SAGITARIO LIGHTING S.L.U. - EXPORT TERMS AND CONDITIONS OF SALE 2009

The following Terms and Conditions of Sale will apply to all purchase orders between Sagitario Lighting S.L.U. (“Seller”) and the Buyer unless otherwise agreedin writing.

ORDERAn order shall be binding after Buyer has duly signed and returned the Proforma Invoice and Seller has confirmed receipt.

PRICESPrices stated on Seller's quotation are firm for thirty (30) days from date of quotation for orders accepted within that period. Otherwise, prices are subject tochange without notice. These prices do not include any bank charges, taxes, collection fees, import, customs and/or others duties or assessments imposed orlevied by any government or subdivision thereof by reason of a sale, all of which shall be for the account of, and are assumed by the Buyer whether or notsuch shall be paid or be payable by the Seller. Prices stated are EXW factory, Barcelona, Spain.Packaging is included in the price, except for seaworthy or special packaging like wooden crates which should be specially requested by Buyer.

PAYMENTPayment shall be done in advance and within 3 days after Buyer's confirmation of the Proforma Invoice. Seller will start manufacturing the goods ordered assoon as payment is received.In case delayed payment is accepted by Seller, either per one single order or as a long-term condition, the Seller may add 2% per month and all proper bankcharges generated, or the maximum permitted by applicable law, whichever is less, to the unpaid balance on all invoices not paid on or before the due date. In the event that the Buyer breaches this provision, is insolvent, or in Seller's opinion, is suffering any credit impairment, Seller reserves the right to demandimmediate payment in full for all goods ordered and, until such payment is received, Seller may refuse to manufacture additional goods ordered, withholdfurther shipments in whole or in part, and recall any goods in transit.

SHIPMENTAll products will be tendered and shipped EXW factory, Barcelona, Spain. Buyer shall be responsible for all costs associated with transport. Seller will not bedeemed to assume any liability in connection with any shipment. Title and risk of loss or damage to each of the Products will pass to the Buyer when deliveryis made to the possession of the carrier.Seller will not accept any claim after the following seven (7) days of the order delivery in destination selected by the Buyer, with respect to quantities orcharacteristics of the order.

WARRANTYSeller warrants to the Buyer that each Product manufactured and sold by it (lamps, bulbs and supplies excluded) will be free from defects in material andworkmanship in its intended use (normal wear and tear excepted) for the period of twelve (12) months from date of Buyer's purchase (the invoice date) fromSeller. Manufacturer's warranty flows only to Buyer. If any Product covered by this warranty is returned by Buyer, within the applicable warranty period set forthabove, and upon examination Seller determines to its satisfaction that such Product was defective in material or workmanship at the time of delivery to theBuyer, Seller will, at its option, repair or replace the Product or the defective part thereof, or reimburse Buyer for the purchase price. For purposes of clarity,"repair or replace the Product or the defective part thereof" does not include any reinstallation costs or expenses. If Seller chooses to replace the Product andis not able to do so because it has been discontinued or is not available, Seller may replace it with a comparable product.The foregoing notwithstanding, Seller will not be responsible for damage to any Product resulting from misuse, negligence, Force Major, accident or resultingfrom repairs or alterations made by any person or firm not duly authorized by Seller in writing.

LIABILITYSeller's total aggregate liability to Buyer for any and all claims and causes of action whatsoever is limited to the cost of the products actually paid by Buyer toSeller for the products covered hereby and does not include any related or unrelated costs, fees or charges, including, without limitation, shipping charges,taxes, duties and assessments. In no event shall Seller be liable to Buyer or to anyone claiming by or through Buyer for any consequential, incidental, special,indirect, exemplary or punitive damages (including, without limitation, damages in respect of lost revenue or profits), howsoever arising, whether or notforeseeable and even if Seller is made aware in advance of the possibility of such damages.

CANCELLATIONOrders may not be cancelled nor modified any of the quantities, lengths and characteristics of the products included by Buyer except with the consent of andupon the terms and conditions approved by Seller in writing. Such terms will include cancellation charge, payment in full for all work in progress, work finishedand all other damages or losses incurred by Seller as a result of such cancellation or modification.The Seller will not accept return of products unless authorized in a written “Authorization for Material Return” prior to return shipment, including return referencenumber. The shipment must be made DDP and in accordance with Seller's instructions.In all material return cases, depreciation will be considered, with a minimum percentage of 15%, as per review, test, manipulation and storage purpose.

MISCELLANEOUSAll disputes will be governed by the laws of Spain. The venue for litigation will be the appropriate courts located in the city of Barcelona.
