5. Very Special Orders

Note : 1) Agmark Vegetable Oil, Agmark Masala and Agmark Atta & Besan etc. must be used in canteen for the

Annexure-E
TERMS & CONDITIONS
1) The Contract shall be awarded for one year i.e. from 01/10/2016 to 30/09/2017 and may be renewed
thereafter, on mutually agreed terms.
2) The contractor shall not assign or transfer the contract in favour of anyone else. He shall not appoint any
sub-contractor for the said purpose.
3) The contractor must have PAN Number as well as registration of PF, ESIC and Service Tax etc as per
statutory and administrative requirement.
4) The contractor shall provide the services in the required manner at the places and shifts specified by the
company as per Annexure-B from time to time. The timings of services as specified shall be strictly
adhered by the contractor.
5) The contractor shall supply the specified items, food stuffs etc (Annexure-C), strictly in accordance with
the Specifications, Quality, Rates and Quantities on specified rates.
6) The company shall provide the Financial Assistance to the canteen contractor on submission of Bills at
the end of each month as per Annexure –C.
7) The company shall also provide kitchen and Dining hall with the following facilities at nominal cost to
the contractor for the purpose of running the canteen services. Except these, the company shall not
provide any other facilities:
i) Electricity for lights, fans, water coolers, and other electrically operated equipments provided
by the company and not for any other purposes. Electricity shall not be provided for cooking
purpose.
ii) Furniture and kitchen utensils/equipments.
iii) General water supply to the canteen and drainage wherever necessary repair of water lines,
drainage pipe and sewage systems.
iv) For Tea Preparation if necessary in special circumstances, water shall be procured by the
contractor.
8) Before the commencement of the Lunch/Dinning break of the employees, the contractor shall ensure
that a jug and glasses filled with water are placed on each dining table of the canteen.
9) The Contractor shall keep the Canteen, Dining Hall, Kitchen and its surroundings including floor,
furniture, crockery and cutlery and utensils in a clean and hygienic conditions free from flies and other
insects or pests, at all times. It shall be responsibility of the contractor to keep the Capital items handed
over to him, in his safe custody and in good and working condition, at all times and he shall ensure that
these are returned to the company in good and working condition, to the satisfaction of the company, at
the times of termination of the agreement. Any damage and loss caused to the canteen premises, fittings
items provided to him either by the canteen contractor himself or by any of the employees of the
contractor will have to be made good by the contractor at his own cost.

10) The contractor shall make his own arrangement, at his own cost for all other requirements for running
the canteen and the company shall not entertain any request from the contractor on this account.
11) The contractor shall employ sufficient number of persons for preparation of Tea, Snacks, Lunches
etc., and distribution in the canteen as well as at specified places of the shop floors at the times
prescribed by the management.
12) Depending on the exigencies of work, the employees of the company are also required to work after
office hours and/on Sundays/Holidays. The contractor will, therefore, provide canteen services to the
employees on Sundays/Holidays also, as desired by the company from time to time.
13) The employees engaged in the canteen by the Contractor will be his own employees and their wages
shall be paid by the contractor only. He shall not engage or employ any female employee or anyone
below the statutory age prescribed by the Central/State Government of UP to work in canteen. The
contractor shall be solely responsible for payments of wages, statutory deductions and other liabilities
regarding such employment. There shall be no relationship of the employer and employees between
the company and the employees employed by the canteen contractor whatsoever and the Company
shall not be liable in any manner whatsoever to give any benefit or to make any contribution to any
fund or any liability in respect of the employees employed by the canteen contractor. At the time of
their first employment and subsequently on expiry of each year the contractor shall refer his
employees for medical examination by a Civil Surgeon, at his own cost, and he shall not employ those
who are medically adjudged unfit. The report of the Civil surgeon shall be shown to the company for
its perusal. He shall also pay wages to his employees not below the rates prescribed by the Central/UP
State Govt. He shall provide at his cost uniforms in neat conditions to the service boys. He shall also
ensure that the canteen employees abide by the rules and discipline in force in CEL from time to time.
14) The character and antecedents of the bearers and staff appointed by the contractor will be got verified
by him before their appointment and two copies of recent passport size photograph to each bearer shall
be submitted to the company with necessary details viz, name, father’s name, permanent address,
present residential address and employment during the last two years with addresses of employers etc.
The bearers will be issued with gate pass which they shall carry on their person while on canteen duty
and the same shall be surrendered to the company when any bearer’s services are
terminated/transferred from the above referred premises.

15) The persons employed by the contractor shall be governed by the rules and regulation under the
Factories Act, Contract Labour (Regulation & Abolition) Act, ESI Scheme, Provident Fund and Family
Pension Fund Scheme and the contractor shall be responsible for payment of his contribution towards
the same.
16) The contractor shall adhere to the specifications of quality and quantity in preparation of tea and all
eatables prescribed by the management. The food stuffs to be served will be prepared in the Canteen
only and under direct supervision of Company conforming to the standards laid down by the Canteen
Managing Committee constituted by the company.
17) The contractor shall maintain Ration Registers and shall comply with all other requirements of the UP
Rationing or Civil Supply Rules. The contractor shall make his own arrangement for obtaining Permit
for procurement of controlled commodities. The company shall endeavour to render whatever possible
assistance required in this behalf.
18) The contractor shall obtain necessary licenses from the local or public authorities for running the
canteen and pay all other charges, taxes assessments payable to any public or local authorities in respect
of the staff of canteen and shall also be liable for all fines and penalties which may be levied by the local
or public authorities as a result of the non observance of any other the statutes or the rules framed there
under by the such authorities and keeping the company indemnified against all actions, demand,
expenses and charges incurred or suffered in that behalf.
19) The contractor shall himself pay sales tax, income tax, provident fund, ESI and other liabilities as a
result of his running the canteen to the concerned authorities and the company shall not have any
responsibility or liability whatsoever for such dues of the contractor. He will submit the copies for the
deposit of PF & ESI to the concerned authorities along with the monthly bill.
20) The Company shall constitute a Canteen Managing Committee to assist in day to day running of the
canteen by the contractor. The contractor shall refer all the matters concerning running of the canteen in
the periodic meetings of the committee. The decision of the committee shall be binding on the
contractor, however, if the contractor is not agreeable to the decision of the committee on any matter, he
shall refer such matters to the management whose decision shall be final and binding on the contractor.
21) For unsatisfactory performance on the part of the contractor for using any sub-standard raw materials in
preparation of the eatables etc., and unhygienic conditions in and around the canteen, the Canteen
Management Committee can

Initiate action against the contractor, including recommending to the company for its consideration of
imposition of penalty on the contractor depending upon the gravity of the case. The company reserves
its right to refer the samples of the canteen items to the health authorities for inspection and report and
to refer cases of adulteration to the concerned authorities.
22) The contractor shall maintain proper record of all transaction and such account may be checked by the
management or anybody authorized by Management in this regard.
23) The contractor shall keep a complete record of the attendance, wages etc., paid to his employees and
shall be responsible to produce it on demand for inspection by the management or the factory inspector.
24) The contractor shall not move any article outside the factory premises without valid gate pass duly
signed by a competent authority.
25) The Factory Security Department shall have a right to inspect articles coming inside & going outside the
factory premises and to restrict the entry in case of unwanted items.
26) The Contractor is also required to have ready stock of non-perishable raw materials for at least one
week’s consumption.
27) The contractor shall use only COMMERCIAL LPG CYLINDER for cooking. Refilling of
commercial LPG cylinder and its maintenance shall be borne by the contractor. Arrangement of Fire
safety equipment and operation thereof shall be responsibility of contractor.
28) Credit Sale by the canteen contractor is not allowed. Credit Sale, if any, effected by the contractor, will
be at his own risks and the company will not be held responsible for the recovery of such arrears in
these transactions. The contractor will not sell any other item except prescribed/agreed in the agreement
without permission of Management. The Contractor will not be allowed to carry cooked food items out
of the Company Premises.
29) Security Deposit : The contractor shall deposit with the company sum of Rs.50,000/- (Rupees fifty
thousand only) as security deposit at the time of award of contract which shall be refunded without
any interest to the contractor on termination/ completion of the agreement.
30) During the period of the agreement, in case of any loss or damage caused to the property of the
company by the contractor and/or by his employee, such losses shall be adjusted against the payables to
the canteen contractor after necessary intimation to the contractor by the company.

31) The contractor shall pay nominal charges of Rs.100/- per month towards using the company premises,
facilities and services.
32) Either parties can terminate the contract without assigning any reasons with a notice of three months. In
case the contractor leaves the contract without three months notice, security deposit of the contractor
shall be forfeited.
33) In case the contractor fails to provide satisfactory canteen services, CEL reserves the right to terminate
the contract with one month notice. In such case security shall be refundable adjusting for losses of
service, provisions thereof during the period of non-performance. The amount of loss determined by the
CMC shall be final and the amount shall be adjusted against security deposit any payment due to
contractor.
34) The rates and other financial terms shall remain unchanged during the period of agreement irrespective
of any increase of market prices, supply conditions.
35) A manager/responsible person shall be made available in the canteen by the contractor to attend the
complaints and other company matters. He shall also be present during peak service hours to attend the
employees’ difficulties.
36) The management / canteen managing committee can impose fine upto Rs.500/- for each default /non
compliance. Non payment of fine by the contractor within period of seven days empower the company
to deduct the same amount form any payment due to contractor.
37) The contractor should have at least five years experience of running canteen services, out of which the
contractor should have minimum two years experience of running canteen services in PSU/ Government
/private sector, serving food for at least 200 persons. Proof in support of experience need to be attached
with the tender. A committee constituted by management will have the right to inspect facilities/
competency or interview the contractor before finalization and during the tenure of contract.
38) The canteen contractor shall provide uniform to all canteen workers as approved by CEL, at his own
cost.
39) Arbitration: In the event of any dispute or difference between the parties hereto, then such dispute or difference shall be resolved amicably by mutual consultation between the parties. If the disputes(s) remain unresolved, then the matter shall be refered to the sole arbitrator nominated by the CMD, CEL The decision of the arbitrator shall be final and binding on the parties. The place of Arbitration shall be at Sahibabad, and cost of the arbitration shall be shared equally between the parties.
40) Legal jurisdiction shall be Ghaziabad Court only. I have thoroughly read/understand the above terms and conditions lay down by the Company for running CEL
Canteen and these are acceptable to me and I shall abide by the same. PLACE……….. (Sign & Seal of the contractor)

INSTRUCTIONS FOR BIDDERS
a. Each page of the Tender document must be signed by the authorized signatory of the
contractor. b. The bidders may furnish any information, which he feels necessary and relevant to establish his
capability and helpful in completing envisaged work. c. If any information furnished by the bidders is found to be incorrect either immediately or at a
later date it would render him liable to their termination of the contract at their risk and cost. d. CEL reserves the right to accept or reject any bid and to finalize the pre-qualification process
and reject all bids at any time, without assigning any reason or incurring any liability to the
bidder. e. Submission of Bids: Bids are to be submitted in a sealed envelope super-scribing the tender
no., Name of the work and due date should be delivered at the Office of the Asstt. General

Electronics Limited and payable at Delhi and valid for 3 month to be submitted along with
tender documents. No interest shall be payable on the earnest money deposited by bidder/
tenderer. The earnest money may also be deposited through TT/SWIFT into CEL’s account

The earnest money (after deduction of bank charges, if any) of unsuccessful bidder / tenderer
will be refunded within one month of finalization of tender. The earnest money of successful
bidder would be converted into security deposit and would be returned (after deduction of
bank charges, if any) to the bidder after 2 months of successful completion of work.
Note:
a. Bidders who have already submitted EMD against our tender no. C-
2(b)/WC/0904/133/2016 dt. 08.05.2014 need not to submit EMD again.
b. Exemption from submission of EMD: Micro & Small Enterprise registered with DIC or KVIC or
KVIB or Coir Board or NSIC or DHH or any other body specified by Ministry of Micro, Small and Medium Enterprises, Govt. of India are exempted from submission of EMD. A copy of valid registration certificate should be submitted with quotation.

f. Opening of Bids: All the Bids/quotations will be opened on Aug. 22, 2016 at 1500 hrs (IST) at

Note:
1. Late Tenders i.e. Tenders received after due date shall be rejected.
2. The rate quoted shall be in units stated in the enquiry. Where Quotations is in terms of unit
other than that in enquiry, relationship between the two units must be furnished in the
quotations.
3. As far as possible, the quotations shall be free from correction// overwriting.
Corrections/overwriting, if any should be signed by authorized person with the company seal.
Any typographical errors, totalling mistakes, currency mistakes, multiplication mistakes,
summary mistakes observed in the price bid, CEL may consider whichever is beneficial to CEL
for evaluation. Vender should doubly ensure that the quote is correct and complete. The
corrections/Overwriting if any shall be sighed with the seal. 4. Quotations are to be duly signed. Unsigned bids/offers are liable for rejection.
