This disclosure document contains some of the information you need in order to make an informed decision about

whether to enter into a franchise agreement. It should be read together with the information statement you have

received.

Entering into a franchise agreement is a serious undertaking.

Franchising is a business and, like any business, the franchise (or franchisor) could fail during the franchise term.

This could have consequences for the franchisee.

A franchise agreement is legally binding on you if you sign it.

You are entitled to a waiting period of 14 days before you enter into this agreement.

If this is a new franchise agreement (not the transfer or renewal of a franchise agreement, nor the extension of the

term or the scope of a franchise agreement), you will be entitled to a 7 day ”cooling off” period after signing the

agreement, during which you may terminate the agreement. If you decide to terminate the agreement during the

cooling off period, the franchisor must, within 14 days, return all payments (whether of money or of other valuable

consideration) made by you to the franchisor under the agreement. However, the franchisor may deduct from this

amount the franchisor’s reasonable expenses, if the expenses or their method of calculation have been set out in

the agreement.

Take your time, read all the documents carefully, talk to other franchisees and assess your own financial resources

and capabilities to deal with the requirements of the franchised business.

You should make your own enquiries about the franchise and about the business of the franchise.

You should get independent legal, accounting and business advice before signing the franchise agreement.

It is often prudent to prepare a business plan and projections for profit and cash flow.

You should also consider educational courses, particularly if you have not operated a business before.

DEFINITIONS

Act means the State Lotteries Act 1966 (SA) and includes any regulations in force and any amendments thereto

“Public Lotteries” means lotteries and soccer pools managed by Tatts Lotteries SA in South Australia pursuant to an agreement between The Lotteries Commission of South Australia and Tatts Lotteries SA, and being Saturday X Lotto, Oz Lotto, Keno, Instant Scratchies, Powerball, Monday and Wednesday Lotto, Set for Life, Super 66, and The Pools together with any other game that Tatts Lotteries SA is authorised to manage from time to time as the master agent of The Lotteries Commission of South Australia;

“Outlet” shall mean the premises at which the Franchisee proposes to conduct business pursuant to a Franchise Agreement with Tatts Lotteries SA;

Tatts Group means Tatts Group Limited ACN 108 686 040 which is the ultimate holding company of Tatts Lotteries SA Pty Ltd;

means Tatts Lotteries SA Pty Ltd.

All capitalised words or terms used in this Disclosure Document not otherwise defined herein have the same meaning as in the Franchise Agreement. 2. FRANCHISOR DETAILS

2.3 A description of the kind of business operated under the franchise:

The conduct and promotion of Public Lotteries in South Australia.

2.4 The number of years that the franchise or franchise system has operated in Australia.

The Lotteries Commission of South Australia was established in November 1966 and commenced trading on 15 May 1967. The Lotteries Commission of South Australia is a statutory authority established under the State Lotteries Act 1966 and effective from 11 December 2012 has appointed Tatts Lotteries SA Pty Ltd to be its Master Agent to conduct the lottery business on its behalf using the brands of The Lotteries Commission of South Australia and has been authorised to appoint franchisees.

A lottery agency is a business authorised to sell lottery products of the Lotteries Commission of South Australia as a franchisee of the franchisor.

Currently, the lottery products consist of X Lotto (Monday, Wednesday & Saturday), Oz Lotto, Powerball, Keno, The Pools, Super 66, Set for Life and Instant Scratchies tickets.

These products are sold through lottery agencies located within both retail and licensed agencies of various descriptions e.g. newsagents, kiosks, pharmacies and hotels as well as over the internet.

2.5 The name, ABN, ACN or ARBN, address of registered office and principal place of business of each associate of the franchisor that is a body corporate (if any):

The franchisor is a wholly owned subsidiary of Tatts Group Limited. Set out below are the Tatts Group companies that are corporate associates of the franchisor for the purposes of the Code:

2.7 A description of the relationship between:

Each associate mentioned in item 2.5 is wholly owned subsidiary of Tatts Group however that relationship has no relevance to the franchise system and the franchise other than as set out below.

Each associate mentioned in item 2.6 (that is not a body corporate but an individual) that is a director of Tatts Group each has the same obligations to Tatts Group as referred to below and its relevance to the franchise system and the franchise only arises because Tatts Group is the ultimate owner of Golden Casket.

The relevance of the relationship in each case is that as directors of Golden Casket they each have obligations under the Corporations Act 2001 (Cth) and the Constitution of the company to exercise their powers and discharge their duties with care and diligence in good faith in the best interests of the company and for a proper purpose. This duty is subject to a business judgment rule that requires a director making a business judgment to:

make the judgment in good faith and for a proper purpose;

not to have a material personal interest in the subject matter of the judgment;

3. BUSINESS EXPERIENCE

Robert Michael Sean Cooke

Robbie Cooke joined Tatts Group in January 2013 as the Chief Executive Officer & Managing Director after seven years at the Wotif Group where he was Group CEO/MD.

Prior to this, Robbie worked as the Strategist and General Counsel at UNiTAB Limited, a position he held for six years. He joined the then TAB Queensland Limited at the time of its listing on the ASX, and was involved in the merger and acquisition activity that was instrumental in growing the business. This included the purchase NT TAB and SA TAB as well as the consolidation of gaming services in Qld and NSW through the acquisitions of Tattersall’s Gaming, Jupiter’s Gaming and TAB Limited’s gaming operations.

In addition to his time at UNiTAB, Robbie has also held commercial, corporate finance and legal roles at Santos, HSBCJames Capel and MIM Holdings Limited.

Robbie has a Bachelor of Commerce and a Bachelor of Laws (Hons), both from the University of Queensland, a Graduate Diploma in Company Secretarial Practice, and is a member of Chartered Secretaries Australia and the Australian Institute of Company Directors.

Neale O’Connell

Neale O’Connell joined Tatts Group as Group Financial Controller in 2004, and was appointed as CFO commencing in December 2012.

Neale has over 20 years auditing and commercial experience. He has previously held the role of Finance Director with a United Kingdom based multinational, Delta Plc, and was a director of 11 companies in Australia. He has also worked with Smorgon Steel Group Limited as Group Financial Controller.

Neale worked for 10 years in the chartered accounting profession as an auditor, involved in the audits of numerous public and private sector companies, from manufacturing to financial services.

Neale holds a Bachelor of Business from Swinburne University and is a member of the Institute of Chartered Accountants.

Anne Tucker

Anne Tucker holds the position of General Counsel and Company Secretary for Tatts Group. Since joining TattsBet in 2005 Anne has been involved in TattsBet’s (formerly UNiTAB Limited) merger with Tatts Group’s and the merged company’s subsequent acquisition of Golden Casket in 2007, New South Wales Lotteries Corporation Pty Limited in 2010 and the management rights for the Lotteries Commission of South Australia to operate lotteries in South Australia.

Anne is an Associate of the Institute of Chartered Secretaries and is Company Secretary of all Tatts Group companies.

Sue van der Merwe

Sue van der Merwe’s background is in marketing. After qualifying with a degree majoring in marketing and economics, Sue held various marketing roles in leading international consumer good companies. In 1990 Sue joined Golden Casket’s marketing team as Senior Brand Manager. In 1995 Sue was promoted to Director of Marketing and Sales and then in 2000 to General Manager Lotteries. In July 2007, Sue took on an expanded role as General


Manager Group Lottery Operations for Tatts Lotteries and in 2014 Sue was appointed to the position of Chief Operating Officer in control of seven Australian lottery jurisdictions with combined annual sales of over $3 billion

Antony Moore

Antony Moore’s background is in Retail Operations. Antony has a business degree majoring in Economics and Accounting (Double). Over the past decade, Antony has worked in retail operations at Store Management level with the Coles Group, as well as spending time in the Coles Retail Merchandise department overseeing the Queensland Dairy category. He then moved into Multi site roles in the Coles Liquor Group before taking on State Manager roles in Amart Allsports (Rebel Group) and Retail Adventures Pty Ltd. Most recently Antony was the Chief Operating Officer of a Contract Cleaning and ecommerce business before joining Tatts Lotteries as the Head of Retail.

Each of the above persons has substantial experience working in the franchise system.

3.2 A summary of relevant business experience of the franchisor for the past 10 years, including:

(a) length of experience in:

(i) operating a business that is substantially the same as that of the franchise;

(ii) offering other franchises that are substantially the same as the franchise;

The franchisor was incorporated on 8 September 2010 and commenced operating as the master agent

of the Lotteries Commission of South Australia on 11 December 2012 and has not in its own right

previously operated a lottery business or offered similar franchisees, however it is wholly owned and

controlled by Tattersall’s Holdings Pty Ltd which in turn is wholly owned and controlled by Tatts Group.

Tatts Group owns the licensed lottery operator in each of Queensland (Golden Casket Lottery

Corporation Limited), New South Wales (New South Wales Lottery Corporation Pty Ltd), Victoria

(Tattersall’s Sweeps Pty Ltd) and the Northern Territory (Tatts NT Lotteries Pty Ltd) and as such

operates the government authorised lotteries in those jurisdictions.

Tatts Group, through its subsidiary companies, has been operating public lotteries pursuant to licences and permits since the early 1900’s.

(b) whether the franchisor has offered franchises for other businesses and, if so:

(i) a description of each such business;

4. LITIGATION

The Franchisee is entitled to use the intellectual property provided to it by us for the operation of the franchise business, subject to the following:

The Franchisee’s right to use the intellectual property or any material comprising the intellectual property, is subject to our prior written directions and/or approval.

The intellectual property may only be used in the operation of the franchise in conjunction with the materials and/or signage supplied by us or in any other case in the manner agreed in writing by us.

The Franchisee cannot reproduce the trade marks for use in conjunction with materials not supplied by us.

The Franchisee must not register or attempt to register a trading name containing the use of any words forming part of a registered or unregistered trade mark (or variants or derivations thereof).

All signage, corporate identification, our trade marks and brands, coupons, game rules, brochures, promotional and sales materials and any other feature or item (including fixtures) distinguishing the Franchisee’s premises as a Lottery Franchise or as otherwise indicating a connection, association or affiliation with us, must be removed immediately following termination of the Franchise Agreement.

(c) whether the intellectual property is registered in Australia, and if so, the registration date, registration number and place of registration;

(d) any judgment or pending proceedings that could significantly affect ownership or use of the intellectual property, including:

(i) name of court or tribunal;

(e) if the intellectual property is not owned by the franchisor - who owns it;

Tatts Lotteries SA Pty Ltd has been appointed as Master Agent of the Lotteries Commission of South Australia to use and authorise the use by franchisees of the intellectual property owned solely or jointly by the Lotteries Commission of South Australia.


The owner(s) of the intellectual property rights are the parties identified in Schedule D in respect of each such trade mark. Where more than one party is identified for a particular trade mark, the trade mark is jointly owned by those identified parties.

(f) Details of any agreement that significantly affects the franchisor’s rights to use, or to give others the right to use, the intellectual property including:

(i) parties to the agreement;

(ii) nature and extent of any limitation;

9. FRANCHISE SITE OR TERRITORY

9.1 Whether the franchise is:

(a) for an exclusive or non-exclusive territory;

We do not offer territories to prospective franchisees. Franchise Agreements relate to specific sites only and no exclusivity is offered.

(b) limited to a particular site.

The franchisee’s rights are limited to the sale of tickets in Public Lotteries or Lottery Products from the Dedicated Area of an Outlet from which the franchisee conducts its business unless otherwise agreed in writing.

9.2 For the territory of the franchise:

(a) whether other franchisees may own or operate a business that is substantially the same as the franchised business;

We may, at any time, appoint other franchisees in any location, whether in close proximity to the place of business of another franchisee or not. There is no exclusivity in respect of an Outlet in relation to the area or region in which an Outlet is located.

(b) whether the franchisor or an associate of the franchisor may own or operate a business that is substantially the same as the franchised business;

10. SUPPLY OF GOODS OR SERVICES TO A FRANCHISEE

10.1 For the franchisor’s requirements for supply of goods or services to a franchisee — details of:

(a) any requirement for the franchisee to maintain a level of inventory or acquire an amount of goods or services;

The franchisee must make available for sale at the Outlet those products and services associated with Public Lotteries which we require to be made available and stock the minimum product range required.

Inventories include, in particular, Instant Scratch-Its tickets, ticket rolls and coupons to enable the sale of tickets in Public Lotteries.

(b) restrictions on acquisition of goods or services by the franchisee from other sources;

The franchisee is able to acquire goods or services of any nature from other sources however:


in any circumstances, the franchisee must not display, promote, advertise or offer for sale or sell entries in any Public Lottery within or from the Dedicated Area of the Outlet other than the Public Lotteries conducted by us without our prior written approval;

the franchisee, in all circumstances must display, promote, advertise or offer for sale Lottery Products only from the Dedicated Area.

Shopfitting of the Dedicated Area can only be carried out by persons included by us in a list of approved providers. This list may be amended from time to time by us and is available on request. The terms and conditions associated with the installation of a shopfit are between the franchisee and the approved providers subject to the shopfit being carried out in accordance with the Manuals. We have received an authorisation from the Australian Competition and Consumer Commission (ACCC) in this regard which can be inspected on the public register of the ACCC.

(c) ownership by the franchisor or an associate of the franchisor of an interest in any supplier from which the franchisee may be required to acquire goods or services;

Not Applicable, we do not have any interest in any supplier from which the franchisee may be required to acquire goods or services.

(d) the obligation of the franchisee to accept goods or services from the franchisor, or from an associate of the franchisor;

The franchisee must accept goods or services or materials from us from time to time to facilitate the promotion, marketing and sale of our Lottery Products including but not limited to Lottery Terminals, ticket rolls, entry coupons and point of sale materials together with certain services such as training of management and staff.

If a franchisee elects to participate in or conduct a ‘store syndicate’ and if the store syndicate shares have not been sold to customers prior to the ‘stop sell’ time, the franchisee is required to purchase all such unsold syndicate shares.

If a franchisee does not purchase the unsold syndicate shares prior to the ‘stop sell’ time, then such unsold syndicate shares will be automatically sold to the franchisee at ‘stop sell’ time and the franchisee is liable for the cost of any automatically sold syndicate shares.

The franchisee is entitled to any prizes won in relation to the automatically sold syndicate shares.

(e) the franchisor’s obligation to supply goods or services to the franchisee;

We are obliged to supply Lottery Terminals and maintenance services to the Lottery Terminals, ticket rolls, entry coupons and point of sale materials to the franchisee together with certain services such as initial training of management and staff.

(f) whether the franchisee will be offered the right to be supplied with the whole range of the goods or services of the franchise;

Yes, all products which are able to be sold pursuant to the relevant licence, permit or approval in the relevant jurisdiction will be offered to the Franchisee for sale unless stated in writing to the contrary by us prior to entering into the Franchise Agreement or in the Franchise Agreement.

(g) conditions under which the franchisee can return goods, and to whom;

Goods can only be returned to us upon the franchisee receiving our written advice to that effect. Further, franchisees can return Instant Scratch-Its tickets of a particular game prior to closure of that game by us in the following circumstances:

• where tickets beyond the quantity ordered by the franchisee is delivered in error by us;

• where tickets are delivered in error to the franchisee by us;

• where tickets are damaged prior to game closure and such loss or damage is not caused by the wilful act or negligence of the franchisee;

• where regulatory or other legal requirements require the recall or removal of a game; and

• such further returns as we may, in our discretion, allow from time to time.

(h) conditions under which the franchisee can obtain a refund for services provided by the franchisor, and from whom;

Due to the nature of the franchise (being a lottery business) there are no conditions under which the franchisee can obtain a refund for services provided by us.

(i) whether the franchisor may change the range of goods or services, and if so, to what extent;

We may change the type of games offered to the public subject to obtaining the approval of the various jurisdictional authorities.


(j) whether the franchisor or an associate of the franchisor will receive a rebate or other financial benefit from the supply of goods or services to franchisees including the name of the business providing the rebate or financial benefit;

We will not receive a rebate from the supply of goods or services to the franchisee. We will receive a financial benefit from the supply of goods or services to the franchisee to the extent that we derive a margin on the sale of Lottery Products by franchisees.

(k) whether any rebate or financial benefit referred to under paragraph (j) is shared, directly or indirectly, with franchisees.

Not Applicable as we will not receive a rebate from the supply of goods or services to the franchisee. We will receive a financial benefit from the supply of goods or services to the franchisee to the extent that we derive a margin on the sale of Lottery Products by franchisees.

Note: Before a requirement is made under paragraph (b) or (c), the franchisor may notify, or seek authorisation from, the Australian Competition and Consumer Commission (see Part VII of the Act).

11. SUPPLY OF GOODS OR SERVICES BY A FRANCHISEE

11.1 For the franchisor’s requirements for supply of goods or services by a franchisee — details of:

(a) restrictions on the goods or services that the franchisee may supply;

There are no restrictions on the goods or services provided by us that may be supplied by the franchisee generally, however a franchisee may only display, advertise or sell our Lottery Products from the Dedicated Area.

(b) restrictions on the persons to whom the franchisee may supply goods or services;

The franchisee may only offer for sale and sell Entries in Public Lotteries to persons aged over 18 years and who are not intoxicated.

(c) whether the franchisee must supply the whole range of the goods or services of the franchise.

Yes, the franchisee must make available for sale from the Outlet all of the Lottery Products that the franchisee has been authorised by us to sell.

Note Before a requirement is made under paragraph (a) or (b), the franchisor may notify, or seek authorisation from, the Australian Competition and Consumer Commission (see Part VII of the Act).

12. SUPPLY OF GOODS OR SERVICES – ONLINE SALES

12.1 Details of whether the franchisee may make available online

(a) goods of the same type or brand; or

(b) services of the same type.

The franchisee is not entitled to sell Lottery Products or goods of the same type or brand online via the Internet nor any other telecommunications device including smart phones and tablets, however for the avoidance of doubt, this does not prevent the franchisee from advertising Lottery Products on the internet subject to otherwise complying with the terms of the Franchise Agreement.

12.2 If goods or services may be made available online by the franchisee, the following information:

(a) whether the franchise agreement restricts, or places conditions on, the franchisee’s ability to make those goods and services available online:

(b) whether goods or services may be made available via a third party website, and if so, specified restrictions or conditions by the franchisor on the franchisee’s use of a third party website;

(c) the extent to which those goods or services may be supplied outside the territory of the franchise.

Not Applicable - the franchisee is not entitled to sell Lottery Products or goods of the same type or brand via the Internet or via any other telecommunications device.

12.3 Details of whether:

(a) the franchisor or an associate of the franchisor; or

13. SITES OR TERRITORIES

13.1 The policy of the franchisor or an associate of the franchisor, for selection of as many of the following as are relevant

(a) the site to be occupied by the franchised business;

(b) the territory in which the franchised business is to operate.

It is the decision of a prospective franchisee to select the site to be occupied by its business and we then make a decision as to whether to enter into an agreement with that person at that site. We will make our decision taking into account the following factors but we have absolute discretion whether to approve a particular site or location. Factors:

physical location of the proposed site;

pedestrian and vehicle traffic flow and parking;

actual or likely customer traffic flow of the host business;

population in the area and / or any immediate demonstrable potential growth in the population;

actual or likely potential retail turnover of the host business;

number, type and mix of surrounding businesses;

environmental factors such as future development or material changes in the area which will impact the proposed site; and

the anticipated quantum of sales, incremental sales and incremental profit returns for us

A Lottery Franchise relates to specific sites only. We do not offer territories to franchisees.

13.2 Details of whether the territory or site to be franchised has, in the previous 10 years, been subject to a franchised business operated by a previous franchise granted by the franchisor and, if so, details of the franchised business, including the circumstances in which the previous franchisee ceased to operate.

14. OTHER PAYMENTS

Prepayments

14.1 If the franchisor requires a payment before the franchise agreement is entered into - why the money is required, how the money is to be applied and who will hold the money.

(a) Application Fee

The sum of $330.00 (incl. GST) is required as an Application Fee for a new Franchisee at an existing outlet or $110.00 (incl. GST) for approval of a changed ownership structure of the Franchisee which will be applied towards the administrative costs of processing the application and will be held by us.

(b) Establishment Fee (New Outlets)


The sum of $5,500.00 (incl. GST) is required as an Establishment Fee in respect of new outlets which will be applied by us for the development of the Franchise System and will be held by us.

(c) Franchisee Fee (Existing Outlets - where the Franchisee purchases or acquires an interest in an existing Outlet)

1.1% (incl. GST) of the value of subscriptions sold by the previous Franchisee at the Outlet during the 12 month period prior to the Commencement Date with a minimum fee of $5,500.00 (incl. GST) which will be applied for the development of the lottery network and will be held by us.

If a changed ownership structure of the Franchisee is approved, 1.1% of the value of subscriptions sold at the Outlet during each Accounting Week for the previous 52 weeks X the percentage change in the ownership structure.

(d) Training Fees

The sum of $495.00 (incl. GST) per person is required for induction training attended by such persons which will be applied by us to facilitate the training sessions and will be held by us. A further amount of $825.00 (incl GST) per person for approximately 40 hours training conducted at an Endorsed Training Outlet payable to the relevant owner of such training Outlet prior to commencement of that training.

14.2 The conditions under which a payment will be refunded.

(a) Application Fee

The Application Fee is fully refundable until the prospective franchisee has had this Disclosure Document and the Agreement in the executable form for 14 days and the prospective franchisee has provided us with a statement as required by the Code.

(b) Establishment Fee (New Outlets)

The Establishment Fee is fully refundable if the Franchise Agreement is terminated during the seven day cooling off period (as described in clause 13 of the Code and clause 1.6 of the Franchise Agreement) save and except for an administration cost of $330.00 (incl. GST) which will be retained by us to cover reasonable expenses incurred in reviewing and processing the application.

(c) Franchise Fees

The Franchisee Fee will be fully refunded if the Franchise Agreement is terminated during the seven day cooling off period (as described in clause 13 of the Code) save and except for an administration cost of $330.00 (incl. GST) which will be retained by us to cover reasonable expenses incurred in reviewing and processing the application.

(d) Training Fees

The Training Fees are fully refundable until the prospective franchisee has had this Disclosure Document and the Agreement in the executable form for 14 days and the prospective franchisee has provided us with a statement as required by the Code.

Establishment Costs

14.3 Details of the range of costs to start operating the franchised business, based on current practice, for the following matters:

(a) real property, including property type, location and building size;

(b) equipment, fixtures, other fixed assets, construction, remodelling, leasehold improvements and decorating costs;

(c) inventory required to begin operation;

(d) security deposits, utility deposits, business licences, insurance and other prepaid expenses;

(e) additional funds, including working capital, required by the franchisee before operations begin;

(f) other payments by a franchisee to begin operations.

14.4 For item 14.3, the details for each payment must include:

(a) a description of the payment; and

We may require the franchisee to undertake a shopfit of the Dedicated Area, shopfit upgrade or maintenance of shopfit in accordance with terms of the Franchise Agreement.

14.10 To avoid doubt, this item covers a payment of significant capital expenditure.

15. MARKET OR OTHER COOPERATIVE FUNDS

15.1 For each marketing or other cooperative fund, controlled or administered by or for the franchisor, to which the franchisee may be required to contribute, the following details:

(a) the kinds of persons who contribute to the fund (for example, franchisee, franchisor, outside supplier);

(b) how much of the franchisee must contribute to the fund and whether other franchisees must contribute at a different rate;

(c) who controls or administers the fund;

(d) whether the fund is audited and, if so, but whom and when;

(e) how the fund’s financial statements can be inspected by franchisees;

(f) the kinds of expense for which the fund may be used;

(g) the fund’s expenses for the last financial year, including the percentage spent on production, advertising, administration and other stated expenses;

(h) whether the franchisor or its associates supply goods or services for which the fund pays and, if so, details of the goods or services;

(i) whether the franchisor must spend part of the fund on marketing, advertising or promoting the franchisee’s business.

16. FINANCING

16.1 The material conditions of each financing arrangement that the franchisor, its agent or an associate of the franchisor offers to the franchisee for establishment or operation of the franchised business:

16.2 For item 16.1, the material conditions of a financing arrangement include the following:

(a) any requirement that the franchisee must provide a minimum amount of unborrowed working capital for the franchised business;

(b) any requirement that a franchisee must meet a stated debt to equity ratio in relation to the franchised business.

17. UNILATERAL VARIATION OF FRANCHISE AGREEMENT

17.1 The circumstances in which the franchisor has unilaterally varied a franchise agreement in the last 3 financial years (including, if applicable, financial years before this code came into force), other than variations of a minor nature. If a franchise agreement is entered into in a financial year commencing on 1 July 2011, 1 July 2012 or 1 July 2013 – the circumstances in which the franchisor has unilaterally varied a franchise agreement since 1 July 2010.

We have not unilaterally amended any franchise agreements.

17.2 The circumstances in which the franchise agreement may be varied, unilaterally, by the franchisor in the future.

We have the right by notice delivered to the franchisee to amend, modify or change the Franchise Agreement in order to ensure compliance to any Law, or the Lottery Licence, or permits or approvals or any other changes in circumstances beyond the our control which might affect our operations.

Otherwise, the terms and conditions of the Franchise Agreement may only be amended or varied only in writing signed by the franchisee and us, however we may exercise our rights under the Franchise Agreement to unilaterally amend the Manuals without the necessity of obtaining the franchisee’s consent.

18. ARRANGEMENTS TO APPLY AT THE END OF THE FRANCHISE AGREEMENT

18.1 Details of the process that will apply in determining arrangements to apply at the end of the franchise agreement, including:

(a) whether the prospective franchisee will have an option to;

(i) renew the franchise agreement; or

(ii) enter into a new franchise agreement; and

See clause 3.2 of the Franchise Agreement.

In our absolute discretion, we will consider whether we will renew, extend, extend the scope of the Franchise Agreement or enter into a new Franchise Agreement with the franchisee, and in so doing will take into account the following, including but not limited to:

• customer service standards; • compliance with the Franchise Agreement and all legislative and regulatory obligations; • maintenance of our Retail Image and Outlet presentation standards; • financial performance including Average Weekly Sales.

(b) whether the prospective franchisee will be able to extend the term of the franchise agreement, and if so, the processes the franchisor will use to determine whether extend the term of the franchise agreement; and

No – the franchisee will not have the option to extend the term of the franchise agreement.

(c) if the prospective franchisee will have an option to renew the franchise agreement – whether the prospective franchisee will be entitled to compensation at the end of the agreement if it is not renewed and, if so, how that compensation will be determined; and

The franchisee will not will not be entitled to compensation at the end of the franchise agreement if it is not renewed or a further agreement is not entered into.

(d) details of the arrangements that will apply to unsold stock, marketing material, equipment and other assets purchased when the franchise agreement was entered into, including:

(i) whether the franchisor will purchase the stock, marketing material, equipment and other assets;

The franchisee will be required to pay for all Instant Scratchies tickets ordered by it.

No, at the end of the Franchise Agreement the ability to conduct the Lottery Franchise will cease and therefore the Lottery Franchise cannot be sold. Prior to the end of the term of the Franchise Agreement, the franchisee may assign or novate the remainder of the term of the Franchise Agreement in accordance with clause 16 of the Franchise Agreement.

(f) if the prospective franchisee will have the right to sell the business at the end of the franchise agreement – whether the franchisor will have first right of refusal, and how market value will be determined.

19. AMENDMENT OF FRANCHISE AGREEMENT ON TRANSFER OF FRANCHISE

19.1 Whether the franchisor will amend (or require the amendment of) the franchise agreement on or before the transfer of the franchise.

As a condition of the transfer or novation of the Franchise Agreement, we may require the incoming franchisee to enter into the then-current franchise agreement which may contain terms and conditions that differ from the original Franchise Agreement. – See clause 16 of the Franchise Agreement.

20. EARNINGS INFORMATION

20.1 Earnings information may be given in a separate document attached to the disclosure document.

20.2 Earnings information includes the following information:

(a) Historical earnings data for:

(i) The franchised business; or

(ii) a franchise in the franchise system;

(b) if subparagraph (a)(ii) applies – any difference between the franchise in the franchise system and the franchised business;

(d) any other information from which historical or future earnings information of the franchised business can be assessed.

(d) an explanation of the choice of the period covered by the projection or forecast;

(f) assumptions about interest and tax.

21. FINANCIAL DETAILS

21.1 A statement of the franchisor’s solvency that:

(a) Reflects the franchisor’s position;

(i) at the end of the last financial year; or

(ii) if the franchisor did not exist at the end of the last financial year – at the date of the statement; and

(c) gives the directors' opinion as to whether there are reasonable grounds to believe that the franchisor will be able to pay its debts as and when they fall due.

(b) an independent audit report on the entity’s solvency as at the date of the entity’s declaration.
