Installation and Upgrade Overview This document describes the technical requirements and steps to install a new PrintSmith system, or upgrade an existing system. It covers both the Macintosh and Windows platforms, as well as the different software offerings:

• PrintSmith

• PrintSmith Lite

• PrintSmith Estimator

This document also includes instructions for installing PrintSmith Multi-User (PrintSmith Master and PrintSmith WorkStation) and PrintSmith Portable.

Installation and upgrade of the following PrintSmith Add-On Modules are described in separate setup guides:

Technical Requirements The PrintSmith product line is designed to perform on Macintosh and Windows platforms. The systems and network should meet the minimum technical requirements. For optimal performance, adhere to the recommended requirements.

Macintosh • Operating System: For OSX, use version 10.3.9 or greater. PrintSmith will not run on

versions of OSX earlier than 10.3.9.

• RAM: 128MB for OSX

• Hard Drive: at least 25 MB of free space, 50MB recommended; 75 MB if you choose to install PDF Documentation and Acrobat 5.0.

• CD ROM drive.

• Any Macintosh compatible printer.

• Backup software and storage device designated for the Master computer.

• Additional Software: Acrobat Reader 5.0 with Search. Acrobat Reader 5.0 is used to view the PDF documentation and is provided on the CD.

To identify the operating system software version you have installed: Select About This Computer from the Apple menu. The operating system name and version will be displayed, as well as the Built-In Memory.

Memory should be at least 128 MB for OSX

Windows • Pentium® class microprocessor recommended.

• Operating System: Windows XP, 2003, or Vista.

• RAM: 32 MB, 64MB recommended.

• Hard Disk: at least 25 MB of free space, 50MB recommended, 75 MB if you choose to install PDF Documentation and Acrobat 5.0.

• CD ROM drive.

• Any Windows-compatible printer.

• Backup software and storage device designated for the Master computer.

• Additional Software: Acrobat Reader 5.0 with Search. Acrobat Reader 5.0 is used to view the PDF documentation and is provided on the CD.

To identify your operating system software version, right click the My Computer icon on your desktop and select Properties from the pop-up menu. Click General. The operating system name and version running are displayed, as well as the total amount of RAM installed on the computer. Operating System information can also be accessed by selecting Start > Control Panel > System.

Network For better performance in a network environment, an Ethernet network is recommended.

PrintSmith Master does not require a dedicated server. Running a PrintSmith Master in the background may hinder network performance. If you are setting up a PrintSmith multi-user network system or plan to do so in the future, consider installing PrintSmith on a more powerful computer.

Note: PrintSmith Multi-User requires a TCP/IP network. In order to have both Macintosh- and Windows-based computers on the same PrintSmith network, install an Ethernet or Token Ring network. An Ethernet network is at least ten times faster than a LocalTalk network. While neither endorsement nor recommendation, PrintSmith developers use Ethernet networks in their offices. Consult your Windows and Macintosh operating system manuals for information on setting up a network.

Note: For Mac OSX, all workstations must be on the same network as thePrintSmith Master.

Installers There are separate installers for PrintSmith, PrintSmith Portable, and PrintSmith WorkStation. There are also separate installers for the United Kingdom (UK). UK version installers are included in a UK Installers folder within the Windows Installers folder. The UK-based pricing mechanism is in Metric (millimeters) as opposed to Imperial (inches) measurements. Aside from the installers for the different applications, an installer is also included for the demo (which contains the associated documentation).

PrintSmith Installers Name Purpose

This installer is used for installing new or upgrading existing PrintSmith Master (multi-user) or PrintSmith (for single user) systems. This installer is also used to upgrade PrintSmith CopyShop, PrintSmith Lite, and the PrintSmith Estimator.

WorkStationInstaller.exe WorkStationInstallerUK.exe

This installer is used for installing new or upgrading existing PrintSmith Workstations used in conjunction with PrintSmith CopyShop, PrintSmith Lite, and PrintSmith Estimator.

PortableInstaller.exe PortableInstallerUK.exe

This installer is used for installing new or upgrading existing PrintSmith Portable systems for use with PrintSmith, CopyShop, PrintSmith Lite, and PrintSmith Estimator software.

PrintSmithDemowithdocs.exe PrintSmithDemowithdocsUK.exe

This installer is used for installing the PrintSmith demonstration software with documentation.

Installing PrintSmith (New Customers)

Before Installing New PrintSmith System The PrintSmith compact disk (CD) contains installation applications to install new PrintSmith systems. Before beginning:

• Read any accompanying Release Notes.

• Read the installation instructions.

• Verify that the hardware meets the technical requirements.

• If you are running Macintosh OSX, or Windows XP, 2003, or Vista, sign in as “Administrator” before installing PrintSmith.

Note: If your system came with a CD entitled PrintSmith Customizer, you must run the installer on that disk first as it will install customer specific pricing systems, Customizers, and language files as appropriate.

Installing PrintSmith on Macintosh The following installation steps are for new PrintSmith installations.

1. Temporarily turn off any virus detection software, optimization, or other third-party software, like Norton AntiVirus, installed on your computer. Once PrintSmith is installed, turn your virus detection program back on by restarting your computer.

2. Insert the PrintSmith CD received from PrintSmith or your reseller into the CD drive of your computer.

3. Open the Macintosh Installers folder.

4. Double-click the required installer. A window displaying the PrintSmith logo appears.

5. Click Continue. The PrintSmith License Agreement opens.

6. Read the PrintSmith License Agreement.

7. Click Accept. The Read Me window opens.

Note: To continue with the installation, the license agreement must be accepted. If for some reason you decline the license agreement, contact EFI or your reseller immediately.

8. Review the text in the Read Me window for important and late-breaking information on the product you are about to install. You can print or save this document to disk.

9. Click Continue or press the Return key.

10. Select either Easy Install or Custom Install. In most cases you should use the Easy

Install option.

11. Select the Destination Disk and folder.

12. Click Install to continue. After installation is complete, an alert window may inform you that the installation was successful.

13. Click Quit to exit the installation.

Installing PrintSmith on Windows The procedure for new product installation follows.

Note: On Windows XP, 2003, or Vista, you must log in as Administrator before you install PrintSmith.

1. Insert the PrintSmith CD received from PrintSmith into the CD drive of your computer.

2. Double-click the My Computer icon on the desktop. The My Computer window opens.

3. Double-click the CD Drive. Typically, the CD drive is labeled with the title of the CD that was inserted. Once opened, the contents of the PrintSmith CD are displayed in the PrintSmith window.

4. Double-click to open the Windows Installers folder.

5. Double-click the applicable installer (see “Note: For Mac OSX, all workstations must be on the same network as thePrintSmith Master.

6. Installers” on page 8). The Welcome window opens.

7. Click Next. The Important Notes window opens. The text in this window covers information not in the printed version of the Release Notes.

8. Review the Important Notes.

9. Click Next. The PrintSmith Software License Agreement window opens.

10. Read the PrintSmith License Agreement.

11. Click Yes to accept the agreement. The Choose Destination Location window opens. The installer provides a suggested location.

Note: To continue with the installation, the license agreement must be accepted. If for some reason you click No to decline, contact EFI or your reseller immediately.

12. Verify the Destination Directory where the application (PrintSmith Folder) will be installed. The directory can be changed by typing the appropriate path or by clicking Browse and searching for the applicable location.

13. Click Next. The Setup Type window opens. Two types of installation options are available: Typical or Custom. Typical, the recommended choice, is selected by default. Custom gives the option to not install PDF documentation.

14. Select applicable Setup option.

15. Click Next. The Ready to Install window opens, summarizing the setup type and destination directory selection.

16. Click Next to begin the installation. A Setup window opens as the installation files are copied. When the installation is complete, the Finished window opens.

17. Select the applicable restart option.

18. Remove any disks or CDs from the drives.

19. Click Close to complete the installation. PrintSmith is added to the Start Menu programs listing with a shortcut to the installed product.

Installing the PrintSmith Hardware Security Key PrintSmith is shipped with a hardware security key that controls the configuration of your software and allows the software to be used. With a multi-user license, this key needs to be installed on the PrintSmith Master and PrintSmith Portable computer. No device is necessary for WorkStation software.

Without this key, PrintSmith will not function. If the key is damaged, contact EFI. A nominal fee is charged for shipping, handling, and replacement. If the key is lost or stolen, the replacement cost is the current price of the PrintSmith licenses purchased. Like any piece of valuable equipment, your PrintSmith software and hardware security key should be insured against loss.

Installing the Macintosh Hardware Security Key (USB) Plug the hardware security key into any Universal Serial Bus (USB) port on your computer. These ports are the same ports into which you plug a mouse or keyboard. If only one port is available, plug the hardware security key into the keyboard.

Installing the Windows Hardware Security Key (USB) After installing PrintSmith software and restarting your computer, plug the hardware security key into any (Universal Serial Bus) USB port on your computer. These ports are the same ports into which you would plug a mouse or keyboard. If only one port is available, plug the hardware security key into the keyboard.

Note: If you change USB ports, Windows will recognize the key as new hardware and will configure the port correctly.

Understanding the PrintSmith Folder Upon installation, a new folder is created named PrintSmith Folder.

Note: Your “PrintSmith Folder” may have a different name; however you should leave ALL PrintSmith files in that folder. The files and folders in the “PrintSmith Folder” must not be renamed.

Location of the PrintSmith Folder It is not necessary for the PrintSmith Folder to reside in any particular location. However, for the PrintSmith Master to operate, it must be installed on the same computer as the hardware security key.

Note: The hardware security key must be installed on the computer running the PrintSmith Master before using the PrintSmith software. If installing the security key for the first time, restart the computer after installing the security key. Individual WorkStations (that are not running the PrintSmith Master) do not need a security key.

Customizing PrintSmith PrintSmith is a very flexible system that can be configured many ways. The pricing system developed for one location can be shared with many. Systems can have localized language files to present PrintSmith in the target language. PrintSmith can utilize customized form images as well. See the CD provided or www.printsmith.com for current language files.

Once PrintSmith is successfully installed, you need to set up your PrintSmith system for use. See the PrintSmith Set Up Guide for details.

Upgrading PrintSmith (Existing Customers)

Before Upgrading Before upgrading, verify the following items:

• Running Version 7.2 - To install a PrintSmith upgrade, you must be using a version of 7.2. If you need to obtain version 7.2, please contact EFI or your reseller.

• Ample Disk Space to Convert - This version makes extensive changes to your data. During conversion, there should be enough empty disk space for twice the size of the largest file. To be safe, enough empty disk space to copy the entire data folder is recommended.

The PrintSmith CD contains applications which upgrade the existing PrintSmith system. Before beginning:

• Exit from PrintSmith, if in use.

• Verify there is only one PrintSmith application installed on the Master computer.

• Perform a full backup of your PrintSmith Folder on new media (disk or tape). Store this backup as a permanent backup in a safe place. (In addition, you should follow daily backup procedures to protect this valuable information. Consider backing up Templates, Reports, and Archives stored at Workstations.)

• Read the accompanying Release Notes. There is a section describing additional changes you need to make to your existing installation in preparation for the upgrade.

• Verify the location of the PrintSmith Folder and name (the folder containing the PrintSmith data files and program). The installer requires specific PrintSmith folder names when upgrading. Before you upgrade your PrintSmith Master, WorkStation or Portable software, if necessary, rename the PrintSmith folders so they match the names in the following list. Folder names other than the ones listed are not supported when upgrading, and will result in a new PrintSmith Folder being installed.

• PrintSmith Master folder: PrintSmith Folder

• PrintSmith WorkStation folder: PrintSmith WS Folder

• PrintSmith Portable folder: PrintSmith Portable Folder

• Log in as Administrator before installing PrintSmith if you are running Windows XP, 2003, or Vista, or Macintosh OSX.

• Review the contents of the Read Me file. It contains important last-minute information about your PrintSmith system.

Note: Optimization or other third-party software, like Norton Utilities, may damage your PrintSmith data. ALWAYS backup your system prior to running these tools. NEVER repair PrintSmith files with those utilities.

Upgrading PrintSmith on Macintosh 1. The following procedure is for upgrading an existing PrintSmith installation.

2. Move the PrintSmith Folder into the Application Folder.

3. Double-click the upgrade installer.

4. Check the Install Location section in your PrintSmith Installer window. The PrintSmith Folder must be created in the previous location of your PrintSmith installation. If necessary, use the Select Folder and Switch Disk buttons to locate your previous PrintSmith installation.

5. Click Install to upgrade your system. After the upgrade is complete, the installer informs you the upgrade was successful.

6. Click Quit to exit the upgrade installer, or Continue to begin additional upgrades.

7. Open the location on the hard disk you selected for the installation or upgrade; there you will find the newly installed or upgraded PrintSmith Folder.

8. Start PrintSmith and sign on to the system to initiate the data conversion.

Upgrading PrintSmith on Windows The upgrade instructions are the same as the installation instructions for Macintosh. You must first move the PrintSmith Folder into the Programs folder. Run the applicable installer and navigate through the installation screens. Upon completion of the installer, the upgraded PrintSmith will be available in the PrintSmith Folder.

Installing and Upgrading Optional PrintSmith Software

This chapter describes the installation and upgrade of some optional PrintSmith Software, such as Multi-User (including WorkStation), Portable, and Report Writer. Instructions on installing other optional software (such as PrintSmith Site) are provided in the applicable installation and set up guide for the software.

PrintSmith Multi-User The PrintSmith Multi-User system consists of two components: PrintSmith Master and a PrintSmith WorkStation or PrintSmith Portable.

Always launch the Master before you launch any Workstations. In order for a PrintSmith WorkStation to function, it must be connected to a PrintSmith Master. When you start a properly configured PrintSmith WorkStation, it searches for a specific PrintSmith Master and asks for permission to connect. The PrintSmith Master then checks to see if it can support an additional WorkStation and if so, registers the WorkStation and allows it to start.

A standard PrintSmith Master with Multi-User supports three Workstations. Additional Workstations can be added as necessary. Contact PrintSmith or your reseller for pricing and details.

You can run a PrintSmith Master as a stand-alone system by holding down the <shift> key while PrintSmith is starting. Once PrintSmith is running, disable the network in the Network Setup Preference panel. You can also shut down the network temporarily from the Master by selecting System Monitor in the Admin menu and while that window is open select the Close Network command in the File menu. You need to be careful about shutting off your Master PrintSmith computer while WorkStations are connected. If anyone is connected, PrintSmith will present a list of connected users and allow you to send them a message or force them off the network.

Note: If part of the network goes down for any reason, give PrintSmith time to recognize the situation. The Master may not recognize a WorkStation going down for up to 2 minutes. This interruption can prevent you from registering a WorkStation if the maximum number of WorkStations are already registered; but has no effect on the operation of the Master. If the Master goes down, all WorkStations may appear to hang. Generally, after about 30 seconds, the WorkStation will realize there is no Master and shut down. This reaction can also take up to two minutes.

Networking for PrintSmith Multi-User In order for PrintSmith Multi-User to function properly, a network must be set up and networking must be activated on the PrintSmith Master before any WorkStations can connect.

Setting Up a TCP/IP Network Macintosh and Windows operating systems have built in software for network communication. That, coupled with a network card (Ethernet card), allows computers, printers, and specifically PrintSmith to be networked.

On both the Macintosh and Windows operating systems there are control panels. Included in those control panels are TCP/IP on the Macintosh and Network on Windows that allow you to setup a TCP/IP address. It is necessary for the Master computer in your PrintSmith network to have a static address. Each WorkStation must also have a defined TCP/IP address that is unique.

Note: On each WorkStation enter a different, unique address such as 1.1.1.2, 1.1.1.3, etc. It may be necessary to restart your computer before these new settings will be registered.

Activating Networking Preferences in PrintSmith Master To activate networking:

1. In the PrintSmith Master, select Preferences from the Admin menu. The Preferences window opens.

2. Select Network Setup from the System Preferences List. The Network Setup Preferences information is displayed.

3. Select the method to use for PrintSmith networking.

Note: On a Master, you have several choices including disabling the network. If the network is disabled, no WorkStations will be able to connect.

Networking Schemes Name Purpose

Disable Networking This option turns off the multi-user portion of PrintSmith. It is used mainly for stand alone systems or when you want to update or work on the Master and not allow any Workstations to connect.

Name Purpose

TCP/IP

Running this option uses TCP/IP exclusively. Any Macintosh with Open Transport 1.1.1 or greater can use this type of connection. Mac TCP is not compatible with this option and is therefore not supported. Any Windows machine with TCP/IP enabled can use this method of connection. This model is recommended for an ALL Windows networks or combination networks consisting of Macintosh and Windows.

Note: OSX only supports Disable Networking and TCP/IP.

Installing PrintSmith WorkStation The procedure for setting up a PrintSmith WorkStation is very similar to setting up a stand alone system except that PrintSmith WorkStation does not require a security key. You can install the WorkStation software on as many machines as you like. However, the PrintSmith Master can handle only the number and type of WorkStations licensed and is unable to recognize additional WorkStations once the limit is reached.

Note: WorkStation software must be the same version as the Master to operate. If not, you will receive an error message.

Run the WorkStation installer. New WorkStation software will be installed in a folder called PrintSmith WS Folder or existing WorkStation software will be upgraded. (The WorkStation update process will only occur if your folder is named PrintSmith WS Folder).

The first time you start a PrintSmith WorkStation, the Network Setup screen is displayed, requesting the serial number and network address of the Master.

1. Enter the serial number and TCP/IP address of the Master to which you intend to connect. Select a networking scheme compatible with the selection for the Master. After you enter the network setup information the WorkStation software will connect to the Master and update the prices and then shut down. Simply restart the WorkStation to use this newly updated software.

2. Click the OK button. The PrintSmith WS application will attempt to connect to the PrintSmith Master to update pricing. It is recommended you install or update the Master first and launch it before attempting a WorkStation installation. Following the initial update of prices, the software will shut down. Restart the PrintSmith WorkStation to use this newly updated software.

Note: Hold down the <shift> key when the WorkStation software starts up to display the Network Setup window.

Installing PrintSmith Portable PrintSmith Portable can be installed on either Macintosh or Windows platforms but requires a unique hardware security key in order to operate in portable mode. To use the software, you must get current pricing and customer information from a Multi-User or Stand-alone PrintSmith System.

The installer will create a PrintSmith Portable Folder in the destination folder. Upon completion, the installer reminds you that you need to connect to the Master to get current pricing and customer information before you use the software.

PrintSmith Portable can be started in portable mode while connected to the network by disabling Networking in the Network Set up window within PrintSmith. Simply hold down the <shift> key when starting Portable and disable networking if you would like to run in portable mode. Otherwise, PrintSmith Portable will attempt to connect to a Master and it will work and behave just like WorkStation software.

Maintaining WorkStations and Portable Systems In order to reduce network traffic and improve performance, the “Prices…” folder (“Prices” in Windows) is not shared. This means that each WorkStation, Portable, and Master must have its own “Prices…” folder. It is important that the “Prices…” folders on each computer on the network are identical.

You can only modify pricing on the PrintSmith Master. When you change prices or preferences, all users must update their pricing system by clicking Update Pricing on the Admin menu from a WorkStation computer; or by clicking Workstation Maintenance on the Pricing menu from the Master. Use Update Pricing or Synchronize Portable on PrintSmith Portable while connected to the network.

When a Portable system is connected to the network, it works and behaves as a PrintSmith WorkStation.

After you select Update Pricing, the WorkStation or Portable software begins to copy the “Prices…” folder across the network. If the Pricing Setup file is changed, the WorkStation or Portable software closes and you must restart the application.

A WorkStation has a few restrictions in its operation (different than that of a Master or standalone system):

• Changes to the pricing system can only be made on the Master. However, Workstations do have access to stock definitions. In addition, many of the preferences panels are removed from the Preference command since they are also used to modify pricing preferences.

• Only the Master system allows changes to the security system. Any changes you make to the security system apply to Workstations. These changes take effect whenever a WorkStation connects to a Master. You can change passwords at any WorkStation.

• Daily and Monthly Closeouts can only be run from the Master. In addition, the network must temporarily be shut down while performing a Daily Closeout. PrintSmith will ask you if you want to disconnect Workstations before the network is shut down.

• PrintSmith Portable will stop operating if not synchronized periodically with the Master. If this happens simply synchronize the Portable to continue using this software.

Synchronizing PrintSmith Portable Not Connected to a Network See the document Changing Platforms in the “Documentation” folder for more detailed information on moving files from differing platforms. From the PrintSmith Master, you need to copy the “Prices…” folder to a floppy disk.

1. Shutdown the PrintSmith Master software.

2. Insert a disk in the floppy drive of the Master.

3. Copy the “Prices” folder to the floppy disk.

Note: If you are going from Mac to Mac or Windows to Windows skip to step 5. 4. Run the Converter on the Pricing Setup file and rename the folder for the appropriate

platform: “Prices…” on Macintosh and “Prices” on Windows. For more information see the section below, Moving Prices from Macintosh to Windows and vice versa.

5. Insert the disk containing the pricing in the Portable computer.

6. Copy the “Prices” folder to the “PrintSmith Portable” folder.

Use the above instructions the first time you install a PrintSmith Portable that is not connected to the network and any time prices and customers are changed at the Master. This update ensures that all Portables will work properly. A Portable system that has not gone through a Pricing Update over a short period of time will stop functioning and request that the pricing and customer information be refreshed. Simply update prices information as noted above.

Moving Prices from Macintosh to Windows and Vice Versa When moving Prices from the Macintosh to the Windows platform manually, you will need to perform a small file conversion before using the data. PrintSmith has developed a special Macintosh application called Converter used to prepare your Pricing Setup file for use on either platform. The Pricing Setup file is critical to your PrintSmith pricing system. Simply drop the Pricing Setup file on the Converter and it prepares the file for transfer to the other platform. If the file is Windows ready it will convert it to Macintosh format. If the file is in Macintosh format, it will prepare for use on Windows. Once the file is converted move it back into the “Prices” folder and name the folder according to platform.

Note: On a Macintosh, you must add an ellipse (…) to the “Prices” folder by holding down the <alt> or <option> key and pressing the <colon> or <semicolon> key (:;).

Multi-User Networks

PrintSmith supports multi-user networks. With the Multi-User software and WorkStation software installed, more than one person can be creating invoices, estimates, posting payments, and so on. In a multi-user network, everyone shares the same database and a change made at one WorkStation instantly shows up at all WorkStations. Multi-User does not require supporting software; the networking software is built into the PrintSmith Master. Upgrading to Multi-User is easy. You can purchase as many WorkStations as you need.

Report Writer and DownLoader

The Report Writer product allows you to modify reports identical to the ones built into PrintSmith. You can also create custom reports and modify your job tickets to your specific needs. A Report Wizard feature shows you how to easily create reports. The DownLoader is useful for extracting information from PrintSmith for use in spread-sheets, accounting packages, and databases. With this powerful utility, you can generate custom reports for any period of time.

Extended Price Book Generator

The Extended Price Book Generator is an add-on module that gives you added control and flexibility over the production of counter price books.

License Agreement LICENSE AGREEMENT: IMPORTANT– READ CAREFULLY

By installing this software, you indicate your acceptance of the following agreement.

Grant of License: Subject to your payment of the licensing fee, Electronics for Imaging, Inc. (“Electronics for Imaging”) hereby grants you (the person or entity who purchased this license) a non-exclusive and non-transferable license to use, but not to re-license, sublicense, modify or enhance, the Licensed Software (as described below). The Licensed Software may be used on a single computer or on a single net-work, as long as there is only one “Active” PrintSmith data folder in use per purchased PrintSmith package. (The “Active” data folder is used and accessed as part of your day-to-day business.) A backup or archival copy can be made to ensure that your valuable information is protected in case something happens to the Active copy. You may copy the PrintSmith program file Licensed Software to any Computer on the network containing the Active data file. You may have only one Active copy of the PrintSmith data folder per purchased copy of this Licensed Software. Your right to use the Licensed Soft-ware is terminated upon the violation of any provision of this License Agreement. If any provision of this License Agreement shall be held to be unenforceable, such holding shall not affect the enforceability of any other pro-visions hereof. The Licensed Software is the PrintSmith computer program and associated documentation. All references made hereafter to PrintSmith are to the Licensed Software.

Proprietary Rights: You agree to take all necessary steps to insure that the provisions of this license are not violated by you or by any person. You shall not decrypt, reverse engineer, reverse compile, de-compile, disassemble or otherwise attempt to discover or distribute the source code of the Licensed Software. All copyright, patent, trade secret, trademark, and other intellectual and proprietary rights in the Licensed Software are, and shall remain, the valuable property of Electronics for Imaging. You may not disclose, provide or otherwise make available such trade secrets or copyrighted material in any form to any third party without the prior written consent of Electronics for Imaging, which consent may be withheld in Electronics for Imaging’s sole discretion. In addition, you must implement reasonable security measures to protect such trade secrets and/ or copyrighted material and advise your employees and agents of the confidential and proprietary nature of the Licensed Software and of the restrictions imposed by this Agreement, and agree to confine access to the Licensed Software to your employees in the ordinary course and scope of their employment.

Reproduction and Copyrights: The Licensed Software and accompanying written materials are copyrighted. You may not copy or allow anyone else to copy or other-wise reproduce any part of the Licensed Software with-out the prior written consent of Electronics for Imaging, except to mark archival backup copies. You may not remove or omit any copyright or other proprietary notices from the Licensed Software. Ownership of all copies is retained by Electronics for Imaging.

Injunctive Relief: You acknowledge that your violation of its confidentiality or non-disclosure obligations under this Agreement may cause irreparable damage to Electronics for Imaging that cannot be fully remedied by money damages. Accordingly, in the event of any such violation or threatened violation, Electronics for Imaging will be entitled, in addition to pursuing any other remedy available to it under this Agreement or at law, to obtain injunctive or other equitable relief from any court of competent jurisdiction as may be necessary or appropriate to prevent any further violations thereof. The provisions of this Agreement under the headings “Proprietary Rights”, “Reproduction and Copyrights” and “Injunctive Relief” will survive the expiration or termination of this Agreement or the license granted hereunder.

Acceptance: Electronics for Imaging provides you a thirty (30) day acceptance period on the date of delivery as shown on your receipt (the “Acceptance Period”). During the Acceptance Period you may terminate this agreement for any reason in your sole discretion. Provided written notification of intent to terminate is received by Electronics for Imaging prior to the expiration of the Acceptance Period and Electronics for Imaging receives all written materials and original media related to the Licensed Software within 15 days thereafter,

Electronics for Imaging would return to you all amounts monies received in payment for the Licensed Software. Notwithstanding the above, any additional charges for software modifications requested by you are not refundable.

Taxes: You will be liable for payment of all such tariffs, duties and taxes, however designated or levied, based on your licensing of, possession or use of the Licensed Software or on this Agreement, including, without limitation, any sales, use, value added and personal property taxes.

Update Policy: Electronics for Imaging may create, from time to time, updated versions of the Licensed Software. At its option, Electronics for Imaging will make such updates available to you provided that you have paid any applicable fee, the update fee or annual maintenance fee. Electronics for Imaging will determine the Annual maintenance fee in its reasonable discretion. Limited Warranty, Disclaimer, and Limitation of Liability: Electronics for Imaging warrants the media on which the Licensed Software is provided to be free from defects in materials and workmanship for 30 days after delivery. Defective media may be returned for replacement with-out charge during the 30-day warranty period unless the media has been damaged by accident or abuse. Electronics for Imaging warrants, for 30 days after purchase, that the unaltered Licensed Software will conform to the documentation and will be without material defects. Due to the complex nature of computer software, Electronics for Imaging does not warrant that the Licensed Software is completely error-free, will operate without interruption, or is compatible with all equipment and software installations.

ELECTRONICS FOR IMAGING MAKES NO OTHER WARRANTIES, EXPRESSED OR IMPLIED, WITH RESPECT TO THE LICENSED SOFTWARE, ITS MERCHANTABIL-ITY, OR ITS FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT SHALL ELECTRONICS FOR IMAGING BE LIABLE FOR ANY INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS ARISING OUT OF OR RELATED TO THIS LICENSE AGREEMENT OR THE PERFORMANCE OR BREACH HEREOF, EVEN IF ELECTRONICS FOR IMAGING HAS BEEN ADVISED OF THE POSSIBILITY THEREOF. ELECTRONICS FOR IMAGING’S LIABILITY TO YOU, IF ANY, SHALL IN NO EVENT EXCEED THE TOTAL OF THE LICENSE FEES PAID TO ELECTRONICS FOR IMAGING. IN NO EVENT SHALL ELECTRONICS FOR IMAGING BE LIABLE FOR ANY DAMAGES RESULTING FROM OR RELATED TO ANY FAILURE OF THE SOFTWARE PRODUCTS, INCLUDING, BUT NOT LIMITED TO LOSS OF DATA, OR DELAY IN THE DELIVERY OF PRINTSMITH OR IN THE PERFORMANCE OF SERVICES UNDER THIS AGREEMENT OR ANY RELATED AGREEMENTS.

For personal, family, or household use of PrintSmith, some jurisdictions states do not allow the exclusion or limitation of incidental or consequential damages or limitations on how long an implied warranty lasts, so the above limitation or exclusion may not apply to you. These warranties give you specific legal rights; you may also have other rights, which vary by jurisdiction from state to state.

Choice of Law: This Agreement shall be interpreted in accordance with the laws of the State of Arizona. Any actions filed to enforce any terms of this Agreement, or to resolve any disputes under this Agreement, must be filed with the Superior Court of Maricopa County. The prevailing party in such litigation shall be entitled to the award of reasonable attorneys’ fees and Court costs.

Assignment; Entire Agreement: You may not assign or otherwise transfer, voluntarily, by operation of law or otherwise, any of the rights under this Agreement without the prior written consent of Electronics for Imaging. This Agreement constitutes the full and complete understanding and agreement of Electronics for Imaging and you with respect to your license of the Licensed Software and supersedes all prior negotiations, understandings and agreements between the parties. This License Agreement may only be modified or amended by a written agreement signed by both parties.
