Soon after formation of Company Secretaries Students Association, we decided to organize lectures on some

important topics of the GDCS course, visits to some important commercial and industrial organizations having

modern office equipment, including computers, enroll more members and meet the Secretarty of the DCA for

relaxation of some tough examination requirements. Initially we sought the assistance and cooperation of

Institute of Management, NIRC of ICWAI, and Delhi Group of Corporation of Certified Secretaries for our local

activities.

I recall our first lecture by the then ROC S.K.Bhattacharya on Company Law, arranged in Burmah Shell

Auditorium in Connaught Place, New Delhi, free of charge. When we asked for the best book on Company

Law, quoting Ramaiya, Ghosh, Shah's lectures, Palmer, Buckley, Gower with our newly acquired knowledge

on the subject, fast came his reply - study Companies Act. He had that calibre. We took students to the then

big computer office of LIC and also arranged series of lectures by experts in the field, like Gowrishankar on

Income Tax, GVG Krishnamurthy on Transfer of Property Act, V.G.Ramachandran on Contract Act and Land

Acquisition Act and so on. We also could obtain Bharatiya Vidya Bhawan in Curzon Road, free of charge, like

Burmah Shell Auditorium. Once when Bhawan room was occupied, we even had a lecture outside the

premises under a banyan tree. All our lecturers were good enough not to charge even for transport. We also

called on R.C. Dutt, ICS, the then Secretary of DCA and Chairman, CLB and he welcomed formation of the

Association.

Appearing for GDCS was a tedious process. For everything connected with the course, payments had to be

made only in Treasury and that too after the challan was prepared and countersigned by an officer of the CS

Branch in DCA. As everything was printed in Government of India Press, it took even a year or more to get

past question papers, and no guidance or clarifications were made available for students and it was difficult to

meet Advisory Committee members located in different parts of the country and the CS Branch officials could

not provide much help.

Our subscription p.a. was only Rs.10 for local members and our funds were therefore meager. We started

enrolling members from other cities at Rs.5 p.a. We used to commute by cycle for everything – for enrolling

members, inviting members by cycling for lectures to avoid postage, etc. Some of us collected question

papers from students after they came out of examinations and got it cyclostyled free of charge from our offices

and sold it at nominal cost to augment our meager resources. One of our members later started Company

Secretaries Publication Centre and those of us who had passed the Inter or Final examinations wrote

suggested answers for the Centre and it sold them at Rs.3 or so per subject. With our contacts in Govt. and

Industry, we brought out an Annual Souvenir with advertisements for the first Annual Meet, inviting Sri.R.C. Dutt

as Chief Guest for the function. We got ICAI Institute hall in Bahadur Shah Marg free of charge with the help of

DCA and even organized a cultural dance programme. I distinctly remember this as I had to run to the next

building to ICAI Hall for arranging electricity when electricity went off in ICAI. For the souvenir we even got an

article from T.S. Kannan, then Under Secretary i/c of CS Branch, titled “Birth of a new profession”.


Within a year we had changed the name as Company Secretaries Association of India, to enable who pass the

Inter and Final of GDCS to be admitted as members. We also got the Association registered under the

Societies Registration Act, 1860 in 1964.

After passing the Final examination I had to go to Bombay

for practical training in Tata Oil Mills Co.Ltd. in Bombay

House of TATAs. Handing over Secretaryship to ASRK

Sastry, I availed of the opportunity of training period in

Bombay House to meet GDCS students in Bombay house

in the evening hours. I also met Hindustan Levers

Secretary S.H.Gursahani, C.C.Sutaria, President of

Institute of Secretaries in Bombay and Davar of Davar's College of Commerce. In order to have an affiliated

association in Bombay I persuaded S.H.Gursahani to be President of Company Secretaries Association of

Bombay and one APS Mani as Secretary for the Association.

There were problems galore in Delhi when I returned. Association office bearers thought President Jaitly

inclined more towards foreign bodies as he was then nominated as Registrar of Corporation of Certified

Secretaries and also as a member of Advisory Committee. Due to lack of confidence on both sides, Sastry and

others approached VG Ramachandran, who was then Member of Official Languages Commission to be the

Chairman of the EC of the Association. When Jaitly resigned, Ramachandran was also elected as the

President of the Association. There was a proposal to hand over postal coaching arrangements to ICAI, which

would not augur well for Company Secretaries profession to come. Further there was even a talk and rumors in

newspapers that the DCA may merge ICAI, ICWAI and GDCS into one Institute. With huge opposition from

ICWAI, the proposal was dropped.

We gave a Reception to Chairman and members of Advisory Committee in Delhi Gymkhana Club and in the

meeting stressed the need for a separate Institute for co. secretaries soon, to have a GDCS qualified secretary

as a member of Advisory Committee, to include in the Act that GDCS should sign the statutory declaration under

S. 33(2) of the Companies Act for formation and commencement of business, permit GDCS holders to appear

before Companies Tribunal and abolish Mg. Agency system.

ndWe had Mr.Justice Hidayatullah of Supreme Court as Chief Guest for the 2 Annual meet. His thought

provoking invigorating inaugural address claiming Companies Act as a jungle of laws was widely acclaimed and

publicised in the press, giving all India visibility to the Association. He admired our enthusiasm and said that

such enthusiasm could even move mountains. Our first meeting with the judge provided an amusing incident.

After meeting us in his drawing room, a gentleman to the core, he came out to see us off. Having no vehicle to

board, we just told him that our vehicle was in the next building (Udyog Bhawan). We came out to Udyog

Bhawan and got into our bicycles !! Our third Annual Meet was inaugurated by Justice B.N. Gokhale. In his

address he appreciated the performance of qualified secretaries in his Tribunal and said that they were equal to

any lawyer before the Tribunal.

During this period we also had several meetings with various Ministers, MPs in North and South Avenues, and

bureaucrats to pursue our goals in the profession. We gave a reception to Minister of State for Company Affairs

wherein two Secretaries were also present, R.C.Dutt and S.K.Dutta. We met the then Congress President

Sanjivayya and Industry Minister Sanjiv Reddy. Finally, we were able to take an appointment with the PM Indira

Gandhi at her residential office and submit a memorandum on various issues pertaining to our profession. It

finally included our request to her to ask the DCA to start a separate Institute for the profession of company

secretaries soon, which would facilitate the growth of the profession rapidly. The meeting turned out to be

another important turning point for the profession of company secretaries.

ROLES AND RESPONSIBILITES OF DIRECTORS UNDER THE NEW REGIME

Who is a Director?

• An appointed or elected member of the board of directors of a company.• He has the responsibility for determining and implementing the company's policy.• A company director need not

o to be a shareholder or o an employee, ando may hold only the office of director under the provisions of the Act.

• Directors derive their powers emanating from board resolutions• Unlike shareholders, directors cannot participate through proxy.• Unlike employees, cannot absolve themselves of their responsibility for the delegated duties.

Section 2(34) of the Companies Act, 2013 defines a director as – “director” means a director appointed to the

Board of a company.

Disqualifications for appointment as director

A person shall not be eligible for appointment as a director of a company, if —

ROLE OF DIRECTORS IN A COMPANY

A Director is part of a collective body of Directors called the Board, responsible for the superintendence, control and direction of the affairs of the Company.

`

Legal position of Directors

a) Directors as Agents :

A company as an artificial person, acts through directors who are elected representatives of the shareholders and who execute decision making for the benefit of shareholders

b) Directors as employees

When the director is appointed as whole time employee of the company then that particular directors shall be considered as employee director or whole time director

c) Directors as officers

Ø Director treated as officers of an company.

Ø They are liable to certain penalties if the provisions of the companies act are not strictly complied with.

Director as trustees:

Ø Director is treated as trustees of the company, money and property: and of the powers entrusted to and vested in them only as trustee.

Director as “Officer”

“officer” includes any director, manager or key managerial personnel or any person in accordance with whose directions or instructions the Board of Directors or any one or more of the directors is or are accustomed to act.

Director as “Key Managerial Personnel”

“key managerial personnel”, in relation to a company, means—

(i) the Chief Executive Officer or the managing director or the manager;

(ii) the company secretary;

(iii) the whole-time director;

(iv) the Chief Financial Officer; and

(v) such other officer as may be prescribed;

Director as “Officer in default”

“officer who is in default”, for the purpose of any provision in this Act which enacts that an officer of the company who is in default shall be liable to any penalty or punishment by way of imprisonment, fine or otherwise, means any of the following officers of a company, namely:—

(i) whole-time director;

(ii) key managerial personnel;


(iii) where there is no key managerial personnel, such director or directors as specified by the Board in this behalf and who has or have given his or their consent in writing to the Board to such specification, or all the directors, if no director is so specified;

(iv) any person who, under the immediate authority of the Board or any key managerial personnel, is charged with any responsibility including maintenance, filing or distribution of accounts or records, authorises, actively participates in, knowingly permits, or knowingly fails to take active steps to prevent, any default;

(v) any person in accordance with whose advice, directions or instructions the Board of Directors of the company is accustomed to act, other than a person who gives advice to the Board in a professional capacity;

(vi) every director, in respect of a contravention of any of the provisions of this Act, who is aware of such contravention by virtue of the receipt by him of any proceedings of the Board or participation in such proceedings without objecting to the same, or where such contravention had taken place with his consent or connivance;

(vii) in respect of the issue or transfer of any shares of a company, the share transfer agents, registrars and merchant bankers to the issue or transfer

• A director of a company shall act in good faith in order to promote the objects of the company for the benefit of its members as a whole, and in the best interests of the company, its employees, the shareholders, the community and for the protection of environment.

• A director of a company shall exercise his duties with due and reasonable care, skill and diligence and shall exercise independent judgment.

• A director of a company shall not involve in a situation in which he may have a direct or indirect interest that conflicts, or possibly may conflict, with the interest of the company.

• A director of a company shall not achieve or attempt to achieve any undue gain or advantage either to himself or to his relatives, partners, or associates

DUTIES OF DIRECTORS

LIABILITIES OF DIRECTORS

Liability of non-executive / Independent Directors

An independent director and a non-executive director not being promoter or key managerial personnel, shall be held liable, only in respect of such acts of omission or commission by a company which had occurred with his knowledge, attributable through Board processes, and with his consent or connivance or where he had not acted diligently.


Liability as “Officer”

Section 66 (Reduction of Capital)

If any officer of the company—

(a) knowingly conceals the name of any creditor entitled to object to the reduction;

(b) knowingly misrepresents the nature or amount of the debt or claim of any creditor; or

(c) abets or is privy to any such concealment or misrepresentation as aforesaid, he shall be liable under section 447.

Section 105 (Proxies)

If for the purpose of any meeting of a company, invitations to appoint as proxy a person or one of a number of persons specified in the invitations are issued at the company's expense to any member entitled to have a notice of the meeting sent to him and to vote thereat by proxy, every officer of the company who knowingly issues the invitations as aforesaid or wilfully authorises or permits their issue shall be punishable with fine which may extend to one lakh rupees.

Provided that an officer shall not be punishable under this sub-section by reason only of the issue to a member at his request in writing of a form of appointment naming the proxy, or of a list of persons willing to act as proxies, if the form or list is available on request in writing to every member entitled to vote at the meeting by proxy.

Section 173 (Meetings of Board)

Every officer of the company whose duty is to give notice under this section and who fails to do so shall be liable to a penalty of twenty-five thousand rupees.

Section 204 (Secretarial Audit)

If a company or any officer of the company or the company secretary in practice, contravenes the provisions of this section, the company, every officer of the company or the company secretary in practice, who is in default, shall be punishable with fine which shall not be less than one lakh rupees but which may extend to five lakh rupees.

Section 207 (Conduct of Inspection and Enquiry)

If any director or officer of the company disobeys the direction issued by the Registrar or the inspector under this section, the director or the officer shall be punishable with imprisonment which may extend to one year and with fine which shall not be less than twenty-five thousand rupees but which may extend to one lakh rupees.

If a director or an officer of the company has been convicted of an offence under this section, the director or the officer shall, on and from the date on which he is so convicted, be deemed to have vacated his office as such and on such vacation of office, shall be disqualified from holding an office in any company.

Section 212 (Inspection by SFIO)

On receipt of the investigation report, the Central Government may, after examination of the report (and after taking such legal advice, as it may think fit), direct the Serious Fraud Investigation Office to initiate prosecution against the company and its officers or employees, who are or have been in employment of the company or any other person directly or indirectly connected with the affairs.

Notwithstanding anything contained in this Act or in any other law for the time being in force, the investigation report filed with the Special Court for framing of charges shall be deemed to be a report filed by a police officer under section 173 of the Code of Criminal Procedure, 1973 of the company.

If any director or officer of the company contravenes the provisions of this section, the director or the officer of the company who is in default shall be punishable with imprisonment for a term which may extend to six months or with fine which shall not be less than twenty-five thousand rupees but which may extend to five lakh rupees, or with both.

§ Directors are liable as officers in default under all sections where specific penalty is provided for each officer in default.

§ Where no specific penalty is provided under the Act, they are liable under Section 450.

“Fraud” in relation to affairs of a company or any body corporate, includes any act, omission, concealment of any fact or abuse of position committed by any person or any other person with the connivance in any manner, with intent to deceive, to gain undue advantage from, or to injure the interests of, the company or its shareholders or its creditors or any other person, whether or not there is any wrongful gain or wrongful loss;

Any person who is found to be guilty of fraud, shall be punishable with imprisonment for a term which shall not be less than six months but which may extend to ten years and shall also be liable to fine which shall not be less than the amount involved in the fraud, but which may extend to three times the amount involved in the fraud.

Directors can be made personally liable if

• When the directors enter into contract in their own name.• When they enter into contracts on behalf of company but fails to use “LTD. Or PVT LTD.”• When directors exceeds their powers• The BOD should act an agent of company, not of a single director. Therefore a single director cannot

enter into a contract on behalf of company unless the BOD authorises.

Where it is proved that a prospectus has been issued with intent to defraud the applicants for the securities of a company or any other person or for any fraudulent purpose, every person concerned shall be personally responsible, without any limitation of liability, for all or any of the losses or damages that may have been incurred by any person who subscribed to the securities on the basis of such prospectus.

Where a company fails to repay the deposit or part thereof or any interest thereon referred to in section 74 within the time specified in sub-section (1) of that section or such further time as may be allowed by the Tribunal under sub-section (2) of that section, and it is proved that the deposits had been accepted with intent to defraud the depositors or for any fraudulent purpose, every officer of the company who was responsible for the acceptance of such deposit shall, without prejudice to the provisions contained in subsection (3) of that section and liability under section 447, be personally responsible, without any limitation of liability, for all or any of the losses or damages that may have been incurred by the depositors.

If in the course of the winding up of a company, it appears that any business of the company has been carried on with intent to defraud creditors of the company or any other persons or for any fraudulent purpose, the Tribunal, on the application of the Official Liquidator, or the Company Liquidator or any creditor or contributory of the company, may, if it thinks it proper so to do, declare that any person, who is or has been a director, manager, or officer of the company or any persons who were knowingly parties to the carrying on of the business in the manner aforesaid shall be personally responsible, without any limitation of liability, for all or any of the debts or other liabilities of the company as the Tribunal may direct.

UNION BUDGET 2016 & KEY MACROECONOMIC NUMBERS

The projections are not without risks. The revenue figures assume a Central Tax revenue growth of 11.25%

which may be difficult to mobilise if liquidity tightens. Increase in Crude prices can hamper the subsidy

numbers seriously. The stressed assets situation in banks may require much higher Capital infusion or other

support by the Government than budgeted. The Government will have to work hard to overcome these

obstacles and guide the economy ahead in the path of higher growth, percolating to all citizens of the Country.

shareholder wealth, it is the responsibility of the company secretaries to identify and initiate actions to mitigate

the Cyber risks and certainly responsible for protecting the integrity of Clause 49 declaration.

He told that the draft Bill has consolidated the existing

laws relating to insolvency of companies, limited

liability entities (including limited liability partnerships

and other entities with limited liability), unlimited

liability partnerships and individuals which are

presently scattered in a number of legislations, into a

single legislation. The enactment of the proposed Bill

will provide greater clarity in the law and facilitate the

application of consistent and coherent provisions to

different stakeholders affected by business failure or

inability to pay debt and will address the challenges

being faced at present for swift and effective

bankruptcy resolution. He further said that the Bill

seeks to improve the handling of conflicts between

creditors and debtors, avoid destruction of value,

distinguish malfeasance vis-a-vis business failure and

clearly allocate losses in macroeconomic downturns.

Women's Day Celebrations

The SIRC of the ICSI organized a Special Programme for the students as part of Women's Day Celebrations thon Saturday, the 5 March, 2016 at ICSI-SIRC House, Chennai. To commemorate the Women's Day, SIRC

of the ICSI conducted various competitions like Quiz on Companies Act and Oratorical Competition for the

benefit of students. Certificates were distributed for the Winners, Runners-up of the competitions. Mr. P.

Sivakumar, Chairman ICSI SIRC, Mr. A. Mohan Kumar, Chairman Classroom Teaching Committee &

Treasuer ICSI- SIRC and Mr. Dhanapal, Regional council member ICSI- SIRC were present on the occasion

and spoke amongst the participants.

Campus Placement

SIRC of the ICSI organized Campus Placement for the Trainees and Members on th5 March, 2016 at “ICSI-SIRC House”, Chennai. Many Companies and Practising

Secretaries participated and recruited trainees and Semi qualified Cs for their

organization.

Professional Development Programme

The SIRC of the ICSI conducted Professional Development Programme on “How to Prepare & Present thFinancial Management Paper” on 12 March, 2016 at “ICSI-SIRC House”, Chennai. CA

Gopal Krishna Raju, Chartered Accountant, Chennai and CS Bhaskar S,

Practising Company Secretary, Chennai were the speakers. Both the

speakers explained the students as to how to prepare and present the

Financial Management paper and gave practical tips for the forthcoming

examination.

Commencement of Oral Coaching Classes:

SIRC of the ICSI commenced Week-end Oral Coaching Classes for Professional Programme Module-II on th th12 March, 2016 and 19 March, 2016 for Module-III for June 2016 examination.

thSIRC of the ICSI conducted 16 All India Company Law Quiz Competition (Chennai

Round) on 24.3.2016 at ICSI-SIRC House, Chennai. Nine teams participated in the

above Competition. CS S Rajendran, Practising Company Secretary, Chennai acted as

Quiz Master. Earlier, Smt.Sarah Arokiaswamy, Joint Secretary, SIRO welcomed and

explained about the rules and regulations of the quiz competition to the participants. CS

Ramasubramaniam C, Council Member, The ICSI was also present on that occasion. Ms. Nikita K, students bearing Registration No.320850381/08/2012 and Ms. Kalpana M Student bearing

Registration No. 320849421/08/2012 representing Chennai have been declared as the winning team of the

Chennai Round.

Students Meeting on “Union Budget 2016”

SIRC of the ICSI conducted for the Oral coaching students for the first time a programme on “Union

thBudget 2016” on 26 March, 2016 at “ICSI-SIRC House”, Chennai. CS S.Srikanth, Chartered

Accountant, Chennai spoke on “Union Budget 2016 – Impact on Direct Taxes”. In his address, he

explained in detail about the impact on Direct Taxes made in the Budget-2016-2017. He also shared

practical tips on approaching Direct Tax exams.

Mr. B. Ganeshprabhu, Chartered Accountant, Chennai narrated on “Union Budget – Impact on

Indirect Taxes. He explained various amendments, changes made in this Budget.

Earlier CS. A. Mohan Kumar, Chairman Classroom Teaching Committee welcomed the students and

introduced the speaker.
