TOWER SITE LICENSE AGREEMENT

THIS AGREEMENT made in triplicate as of the 26th day of January, 2017

BETWEEN: The Lambton Area Water Supply (LAWSS) 1215 Fort Street

Sarnia, ON N7V 1M1 (hereinafter referred to as the “Licensor”)

AND: The County of Lambton 789 Broadway Street, P.O. Box 3000 Wyoming, ON N0N 1T0

(hereinafter referred to as the “Licensee”)

WHEREAS the Licensor is the owner of the FOREST STANDPIPE located at the municipal address of 12 Maple Street, Forest, ON N0N 1J0;

(hereinafter referred to as the “Site”);

AND WHEREAS the Licensor is a municipal service board owned by the City of Sarnia, St. Clair Township, Town of Plympton-Wyoming, Township of Warwick, Village of Point Edward and the Municipality of Lambton Shores which supplies potable water to approximately 100,000 residents of Lambton County;

AND WHEREAS the Licensee is a municipal service provider that has purchased a fire radio communications system so that Lambton area municipalities can operate effective and efficient fire services;

AND WHEREAS the Licensee requires a location to install VHS antennas, microwave dishes, transmitters and associated wiring (collectively, "the Equipment") necessary for the fire radio communications system to function;

AND WHEREAS the Site is a mutually agreed upon appropriate location for the installation of the Equipment;

AND WHEREAS the parties hereto have agreed to enter into this contract for the purposes of defining their respective rights, privileges and obligations with respect to the Site and upon the terms and conditions hereinafter set out;

NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of

the premises and the mutual covenants and obligations contained herein, it is agreed by and between the parties hereto as follows: TERM 1. This agreement is for the term of 5 years commencing on the 1st day of January,

2017 and terminating on the 30th day of December, 2021. 2. The Licensor hereby grants to the Licensee the option to renew this agreement

for Two (2) successive terms of Five (5) years each upon the same terms and conditions as herein contained save and except the license fee, which if renewed, shall be increased by 5% upon each subsequent renewal.

LICENSE FEE

3. In consideration of the license herein granted, and without prior demand, the Licensee shall pay the Licensor a monthly fee of $175.00 per month ($2,100.00 per year), payable yearly, in advance.

4. Payment shall be made to the Licensor at the following address: The Lambton Area Water Supply (LAWSS)

Attention: General Manager 5. In consideration for the License Fee established in section 3, the receipt of which

the Licensor acknowledges as being entirely adequate, and the further consideration set out herein, the Licensor hereby grants to the Licensee the premises and access rights described as follows:

i. Interior and exterior space as required for installation and ongoing use of the Equipment;

ii. All electricity necessary to operate the Equipment; and iii. Space for connector boxes to a portable generator, to be supplied by

Licensee on a temporary basis in the event of a prolonged power outage.

LICENSE 6. The License created by this Agreement grants the Licensee non-exclusive right

of unrestricted, reasonable access to the Site and connections to the appropriate utilities at the Site. Where costs are incurred as the result of any modifications necessary to make the Site suitable for the installation and operation of the Equipment, those costs are the sole responsibility of the Licensee.

7. The Licensee shall not assign, transfer, or otherwise dispose of, or encumber the license granted herein in whole or in part without obtaining the prior written consent of the Licensor, which consent may not be unreasonably withheld.

ACCESS 8. The Licensor shall make available to the Licensee, its officers, employees

and/or agents unrestricted, reasonable access to the Site for the purposes necessary to the exercise by the Licensee of the license granted herein. Unrestricted, reasonable access means that except in the case of emergency repairs, Site access will only occur during the course of regular business hours, unless the parties agree otherwise in specific instances. In the event that the Licensor incurs additional costs pertaining to providing access Licensee or its agents to the site outside of regular business hours, those costs shall be the sole responsibility of the Licensee.

9. The Licensee shall provide the Licensor with a list of names of persons who will be attending the Site on its behalf, whether as officer, employee, agent, and/or invitee, and shall advise the Licensor in writing of an amendment that should, from time to time, be made to the said list.

10. Use of the Site, access to the Site and utility rights at the Site by the Licensee shall be solely for the purpose of installing, removing, replacing, relocating, maintaining, supplementing and operating the Equipment at the Licencee's expense. Such use shall not interfere with the Licensor's use and enjoyment of the Site and associated property and chattels, nor, subject to reasonable wear and tear, diminish the cosmetic appearance of the premises.

OBLIGATIONS OF THE LICENSEE 11. The Licensee shall maintain its Equipment in a good and safe state of repair and

in a clean and orderly condition and cooperate with the Licensor in preserving the Site and other facilities used in common in a clean and safe condition.

12. The Licensee shall indemnify and save harmless the Licensor for any damage to the said lands (including the said Tower and other structures and equipment thereon) occasioned by the Licensee’s use thereof as permitted herein.

INDEMNITY and INSURANCE

13. The Licensees shall indemnify and save harmless the Licensor for any damage to the Site (including the Water tower and other structures and equipment thereon) occasioned by the Licensee's use thereof as permitted herein.

14. The Licensee shall take out and keep in force during the term of this license comprehensive property damage and general liability insurance for coverage of no less than Five Million ($5,000,000) dollars per occurrence. Such insurance shall insure the Licensee from any and all claims made by third parties including the Licensor for damages for personal injury, including death and from claims for property damage, including loss of use, which may arise as a result of the Licensee’s use of the site. Certificate(s) of insurance shall be delivered forthwith upon execution of this license to the Licensor.

TERMINATION 15. This Agreement may be terminated by either party upon one hundred eighty

(180) days’ notice given in writing without penalty or payment. Should the Licensee terminate as provided herein, the Licensor agrees to refund any prepaid fee on a prorated basis.

16. At the termination of the Agreement, the Licensee will remove its equipment and shall be responsible for the repair of any damages caused to the building during the removal of the equipment, except that associated with reasonable wear and tear.

NO TENANCY, AGENCY, OR PARTNERSHIP CREATED 17. Nothing contained herein shall be deemed or construed by the parties as

creating any relationship between the parties other than that of the Licensor and Licensee.

NOTICE 18. Any notice which is required to be given under the terms of this agreement may

be effectively given by the parties hereto if personally delivered or by mailing the same by prepaid registered mail directed to:

19. This agreement and the covenants and obligations herein contained shall endure to the benefit of and be binding upon the Licensor, its successors and assigns, and shall be binding upon the Licensee, its permitted successor and assigns.

GENERAL PROVISIONS 20. This agreement may only be amended in writing executed by both parties hereto

and attached as an Addendum to an executed copy of this agreement.

21. The parties acknowledge that this agreement does not grant any interest, whether legal or equitable, to the Licensee in or to any real property of the Licensor.

22. This agreement shall be interpreted in accordance with the laws of the Province of Ontario. Disputes between the parties which cannot be resolved shall be brought before the Ontario Superior Court of Justice in Sarnia, ON.

Re: LAWSS acquiring the Brigden and Wyoming Water Towers

The Brigden Water Tower is located in St. Clair Township. It was built in 1972. Based on a recent inspection by Landmark in January 2016 it requires about $50,000 in repairs which will be completed by St. Clair Township this year. The tower currently has revenue of $150/month from Eastlink. If LAWSS were to assume ownership of this water tower then LAWSS should also assume ownership and control of the water main along Courtright Line to the water tower. It is also of note that chlorination is done at Brigden Water Tower so that would have to be performed by LAWSS/OCWA staff.

Landmark’s recent report on Brigden Water Tower (2015) is attached. A letter from St. Clair Township regarding the history of this water tower is also attached. Currently, Brigden Water Tower does not have a fence around the property and this may be required if LAWSS takes over ownership of the Water Tower since LAWSS currently has fences around all of our other water towers.

The Wyoming Water tower is located in Wyoming, Ontario. The tower is about 50 years old. In 2013, the interior of the tower was lined with an epoxy liner and the bottom half of the outside of the tower was covered with an epoxy coating. The tower currently has revenue of $350/month. If LAWSS were to assume owner ship of this water tower then LAWSS should also assume ownership and control of the water main from Confederation Line to the Water Tower.

The inspection report for the Wyoming Water Tower by P.W. Makar in 2016 is attached.

OCWA’s tower maintenance proposal is attached. It is assumed that no new staff at LAWSS would be required however adding these towers to the system would increase OCWA’s liability and responsibility. Note also that costs have been included for weekly inspection (Wyoming), visit 3 times

per week for chlorination (Brigden), annual inspection (including climbing towers), grass cutting and snow removal. This price does not include detailed inspection reports that are required periodically to assess paint condition.
