Draft Minutes - September 17, 2009 The undersigned, President of the Legend Oaks Homeowners Association II, Inc. (the “Association”), hereby certifies that at 6:30 p.m. on September 17, 2009 the Annual Meeting of the Members of the Association was held at the ACC Pinnacle Campus Faculty Lounge(10th Floor), located at 7748 Highway 290 West, Austin, Texas 78749. Members present: Board Members, President Mary Mendoza, Vice President Philip Mahon, and Secretary/Treasurer Nikki Tate. Also present were Branch Vice President, Jenny Key; Client Satisfaction Director, Michelle Hollingsworth; Association Manager Chuck Vaughan and Assistant Association Manager Wanda Stevens with RealManage. President Mendoza called a third meeting to order at 7:00 p.m, when quorum was achieved. A quorum of 10% of voting members in person (31) and by proxy (32) was present, and the following business was conducted: During the time prior to meeting quorum, Police Officer Joshua Visi was present to give a crime report for the community in and around Legend Oaks. He also answered numerous questions from the residents present. He stressed to call 9-1-1 for any suspicious behavior and 3-1-1 for non-emergencies. ITEM 1 – ROLL CALL AND CERTIFYING OF PROXIES A sign-in sheet made a roll call of the members of the Association. Of the 646 homeowners on record as of September 17, 2009, 31 residents were represented in person and 32 residents were represented by proxy, for a total of 63. ITEM 2 – PROOF OF NOTICE Association Manager, Chuck Vaughan, presented the Proof of Notice, similarly mailed to the members by first class postage. ITEM 3 – READING AND APPROVAL OF MINUTES FOR 2009 MAKEUP ANNUAL MEETING The members waived the reading of the minutes. A motion was made and seconded to accept the minutes as written. The 2009 Makeup Annual Meeting minutes were then approved unanimously by acclamation. ART CLUB A unique art club meets in the Buda, Manchaca area every month to support fine artists interested in exhibiting their work and sharing creativity. Founded in 2006 as a non-profit club, it meets on the second Saturday of the month at ten a.m. at Chuck’s Deli on Manchaca Road or at the Buda Library for art demonstrations. The members help with finding new sites for exhibits, mentor new artists and enjoy fun trips to art galleries. The club is very supportive in helping new artists interested in selling and promoting their art. Additionally, the Club has screens available for rent to artists, clubs, or schools interesting in having art exhibits. The club is interested in visibility with business sites interested in having the club exhibit for special promotional events. The undersigned, President of the Legend Oaks Homeowners Association II, Inc. (the “Association”), hereby certifies that at 6:30 p.m. on September 17, 2009 the Annual Meeting of the Members of the Association was held at the ACC Pinnacle Campus Faculty Lounge(10th Floor), located at 7748 Highway 290 West, Austin, Texas 78749.

Members present: Board Members, President Mary Mendoza, Vice President Philip Mahon, and Secretary/Treasurer Nikki Tate. Also present were Branch Vice President, Jenny Key; Client Satisfaction Director, Michelle Hollingsworth; Association Manager Chuck Vaughan and Assistant Association Manager Wanda Stevens with RealManage.

President Mendoza called a third meeting to order at 7:00 p.m, when quorum was achieved. A quorum of 10% of voting members in person (31) and by proxy (32) was present, and the following business was conducted:

During the time prior to meeting quorum, Police Officer Joshua Visi was present to give a crime report for the community in and around Legend Oaks. He also answered numerous questions from the residents present. He stressed to call 9-1-1 for any suspicious behavior and 3-1-1 for non-emergencies.

ITeM 4 RePORT FROM THe BOARD OF DIReCTORS • President Mary Mendoza noted the accomplishments of the Board

of Directors since the January 2009 meeting. A big help was getting committees active: landscaping, maintenance, pool, and finance have all contributed ideas to improve the community and progress is being made. Members of the community are encouraged to get involved so their voices can be heard on community issues. While the Newsletter, Publicity, Recreation are some other committees that are looking for additional membership; members are encouraged to explore participation in any of the committees of the community including Pool, Maintenance, Finance, and the newly forming HOA contract renewal committee.

• The Board of Directors has decided not to replace the Monument at William Cannon based on the needs of the community and recommendation of the findings of the finance committee.

ITeM 5 – MANAgeR’S RePORT (ATTACHeD) • Community Association Manager, Chuck Vaughan noted the 9

years that Mary Mendoza has served on the Board of Directors aiding in the oversight and management of the HOA, keeping it in good standing.

• Overview of financial status was presented, noting that the Reserve Account is at $120,000 for major expenditures. The community’s

operating income will remain in the black. No increase in dues is foreseen for 2010.

• Landscaping company, greater Texas Landscaping is making strides in returning common areas to good health. The canopy was raised, dead trees removed, oak wilt treatment has begun, irrigation repairs completed

• Collections process explained, and it was noted that the Board of Directors will work with those behind in payments prior to being turned over to the attorney.

• Deed restrictions were reviewed. Inspectors are in the community 2x a month and look at any violations to the Deeds, Covenants, Conditions and Restrictions (DCC&R) – especially landscaping, trashcans, parking, and unapproved changes to the homeowner properties. Owners can also anonymously report deed restrictions through RealManage website and the Resident Portal.

• Architecture Control Committee processes were explained as necessary for future projects and for any projects that have already been done on the property without approval. The aim is to maintain a good standard in the community to keep property values high.

o Newsletter is free but has some restrictions – HOA content is limited by the amount of advertising the publisher wants to include which means some items could be bumped to the next newsletter

o Committee members; reporters are needed o Maura is also the manager of yahoo group, if interested in

participating in that group please contact Maura. o Deadline for newsletter submission is 10th of the month for

• Finance (ginger Zanetti) – report attached o Financials for 2007, 2008, 2009 were reviewed o Aim of committee is to avoid shortfalls in funds and minimize

assessment increases o Recommendations have been presented to the Board and will

be posted on yahoo group and in the newsletter.

ITeM 7 – eLeCTION OF BOARD MeMBeR • Board President Mary Mendoza stepped down from the board,

leaving one position open for election for a 3-year term.

ITeM 8 – NeW BuSINeSS AND COMMuNICATION FROM THe MeMBeRSHIP The following issues/concerns were discussed by residents: • DCC&R’s and Architectural Control Committee (ACC)

interpretation (homeowners should submit ACC form for approval of any changes to their property, prior to completion and, when noted, post completion). If homeowners disagree with decisions a request for hearing is offered and advised.

• If a resident issue has been sent to the attorney it cannot be discussed at open meetings

• Desire for more homeowner input on community issues (join committees)

• Desire for better communication between owners and management company and board of directors

• Overhanging branches over sidewalks from homeowner lots • Car on blocks in violation, long term • Concern regarding pending decision not to replace sign at

escarpment and William Cannon.

Adjournment President Nikki Tate adjourned the meeting at 9:30 p.m.

She has played a variety of characters as well as playing Aldonza in Man of La Mancha--one of her all time dream roles--at the Sam Bass Theater in Round Rock. emily directed Schoolhouse Rock Live! Junior for TexARTS at the Long Center, and teaches at their Academy in Lakeway. She also teaches acting and singing at Huntington Surrey High School, and offers lessons to people of all ages at her house in Southwest Austin. Ingredients Flour tortillas 8 oz. Philadelphia cream cheese (softened) 1 small can Hormel canned ham Picante sauce

Directions Mix the cream cheese, ham, and picante

sauce together. Spread on tortillas and roll up. Refrigerate several hours, then slice.
