Overthelastfewyears,we’vebeenlisteningtoyouandidentifyingwaystoimprovethesupportyouneedwhenitcomestoenrollinginyourbenefits,gettingyourquestionsanswered,andunderstandingtheoverallwaythatemployeebenefitsadministrationworksatHalliburton.

In2009,webeganaprojectthatinvolvedmanymonthsofworkwithateamofHalliburtonemployeesfromvariousdisciplinesaroundtheCompany.Theteamconsideredseveralpotentialnewvendorsforourbenefitsadministrationwork–keepinginmindthefollowingobjectives:

• Easeofuse–apositiveexperiencerelatedtobenefitsadministration

• Complete,accurateandtimelyresolutionofquestionsorissues

• Clearcommunicationsregardingallbenefits

• CompetitivepricingfortheCompany.

Aftercarefulconsideration,HewittAssociateswillnolongerserveasthebenefitsadministratorasofJanuary1,2011.

Effectivewiththisyear’sAnnualEnrollmentperiod*andbeginningJanuary1,2011,thefollowingthreecompanieswilltakeoverthebenefitsadministrationoftheCompany’sprograms:

• MercerwillmanagetheU.S.andPRLhealthandgroupbenefitprograms.

• TowersWatsonUKwillmanagethePRLRetirementandSavings(R&S)Plan.

• FidelitywillcontinuetomanagetheHalliburtonEmployeeStockPurchasePlan(ESPP),andwillalsomanagetheU.S.R&SPlan.

TheCompany’sobjectivesofprovidingthePRLR&SPlanaretoassistyouinsavingtowardyourretirementgoals–andtomakesuretheCompanyisofferingacompetitivepackageofbenefits.DuringarecentreviewofhowparticipantsusetheR&SPlan,weidentifiedseveralprovisionsthatdon’talignwiththeCompany’sobjectives.ReadbelowtolearnmoreaboutthechangestothePRLR&SPlanprovisionswhichbecomeeffectiveJanuary1,2011.

Ideally,weallshouldknowhowmuchmoneyweneedtosaveforourretirement.However,becausenoneofuscanpredictthefuture,aneffectivesavingsplanshouldbedesignedtoencouragewisesavingshabits.Thein-servicewithdrawalfeatureofthePRLR&SPlanwillchangetopromotelong-termsavingsanddiscouragefrequentwithdrawals.

In-Service WithdrawalsEffectiveJanuary1,2011:

• YourEmployeeMatchedfunds(includingearnings)arenolongereligibleforwithdrawal.

• Youarelimitedtoonein-servicewithdrawalofyourEmployeeUnmatchedfunds(includingearnings)duringany12-monthperiod.

WhileyouremainanactiveemployeeoftheCompany,yourCompanyMatchingandBasicRetirementContributionsarenoteligibleforwithdrawalatanytime.

UnderthecurrentPRLR&SPlanprovisions,participantswhotakeanin-servicewithdrawal,whichincludestheirmatchedcontributions,forfeit(surrender)apro-rataportionoftheCompanyMatchingcontributionsbacktothePRLR&SPlan.EliminatingtheopportunitytowithdrawyourEmployeeMatchedContributionsmeansthatthisforfeitureiseliminated,sotheCompanyMatchingcontributionsremaininyouraccount,boostingyourlong-termsavings.

Thenewin-servicewithdrawaltimingrestrictionisalsodesignedtosupportlong-termsavings,whileallowingcertainaccesstoaportionofyouraccountbalance.Asanexample,withthenew12-monthwithdrawalrestriction,ifaparticipanttakesanin-servicewithdrawalonJune1,2011,heorshewouldnotbeeligibletotakeanotherin-serviceuntilafterMay31,2012.

Investment Transfers PolicyGenerally,youmaytransferassetsinoroutofanyofthePRLR&SPlan’sinvestmentfundsbasedonthe20-dayincoming/20-day

outgoingrestrictions.BeginningJanuary1,2011,thePRLR&Sinvestmentfunds(exceptfortheStableValueFund)willbesubjecttoarevisedInvestmentTransferPolicy.

ThePRLR&SPlanhaslongdiscouragedexcessivetradingbyplanparticipants.Excessivetradingcanbeexpensiveandburdensomeforlong-terminvestorsbecauseitcan:

• Reducetherateofreturnbyincreasingfundcosts

• Disruptthefund’sunderlyinginvestmentmanagementstrategies,byforcinguntimelyandunwantedtradingofportfoliosecurities.

EffectiveJanuary1,2011,thefollowingwillapply:

• The20-dayrestrictionwillincreasetoa30-dayperiod.

• This30-dayrestrictionwillapplybytransaction–notbyinvestmentfund.

• TransferorreallocationintotheStableValueFundwillbeallowedatanytime.However,suchatransactionwillrestartthe30-dayrestrictionperiod.

Remember,inordertoprovideprotectionagainstpossiblemarketdownturns,youcanalwaystransferorreallocatemoniesintotheStableValueFundfromtheotherfunds.

• OnJune1,youlogontowww.halliburton.com/totalrewardsandshiftsomeofyourassetsoutofyourGlobalEquityFundintotheU.S.EquityFundandsomeofyourStableValueFundintotheGlobalBalancedFundandfinally,alltheassetsoutofyourU.K.EquityFundsintotheGlobalBalancedFund.Whenallthesechangesoccuratonetimewhileyouareloggedon(orduringacalltotheHalliburtonBenefitsCenter),theyareconsideredasingletransaction.TheInvestmentPolicyrulesrestrictanyadditionalinvestmentfundtransfersforthenext30-dayperiodwithoneexception.ThatexceptionallowsyoutoshiftyourinvestmentfundsatanytimeintotheStableValueFund.

Now,onJune8,youwouldliketomodifyyourinvestmentfundallocation.However,becauseyouarestillwithinthe30-dayrestrictionthatbeganonJune1,theonlyinvestmentchangeyouwouldbeallowedtoshiftmoneyfromanyofyourinvestmentfundsintotheStableValueFund.IfyouchoosetoshiftmoneyintotheStableValue

PRL 2011 Holiday Processing Schedule

Fund,thisrestartsthe30-daywaitingperiodforallyourinvestments(withtheexceptionofmovingadditionalfundsintotheStableValueFund).

Vesting ServiceYourrighttoownershipofyourPRLR&SPlanaccountbalancesisknownasvesting.Youarealways100%vestedinthevalueofyourEmployeeMatchedandEmployeeUnmatchedcontributionaccounts.However,yourvestedrighttothevalueoftheCompanyMatchingandBasicRetirementContributionsaccountsisbasedonyouryearsofvestingservice.Currently,ayearofvestingserviceisbasedonyouworkingatleast1,000hoursfromJanuary1toDecember31ofeachyear.

EffectiveJanuary1,2011,ayearofvestingservicewillbecountedasthe12-monthperiodbeginningonyourhiredateandendingontheearlierofyourfirstanniversarydateorthedatethatyouterminateemployment.ThischangeisbeingmadetoallowthePRLR&SPlantobeadministeredinamoreefficientandcustomarymanner.Itwillnotreduceanyvestingyouhaveearnedalready.

Remember:

• Youare100%vestedintheCompanyMatchedContributionandearningsonthosecontributionsifyouwereeligibleforthePRLR&SPlanpriortoJanuary1,2009.

• Youare100%vestedintheCompanyMatchedContributionsandanyearningsonthosecontributionsaftertwoyearsofserviceifyoubecameeligibleforthePRLR&SPlanonorafterJanuary1,2009.

• Youare100%vestedintheCompanyBasicRetirementContributionafterthreeyearsofservice.Ifyouhavethreeormoreyearsofserviceatthetimethecontributionismade,youareautomatically100%vestedinthefullcontributionaccount.

• Youareautomatically100%vestedinallofyourCompanyaccountbalancesifyouretire,die,becomedisabled,orreachage65whileemployedwiththeCompany.

Pleasereviewthearticleonpage12entitled,“Plan Ahead –PRL R&S Restriction Period”toensurethatyouunderstandwhenthePRLR&SPlanwillbegincertainactivityrestrictionsinDecemberasweworkthroughthechangeofPRLR&SPlanadministrators.

TheGlobalHealthandGlobalDefaultPlansestablishedforPRLemployeesareself-funded.ThismeanstheCompanyassumesthefinancialriskofprovidinghealthcarecoverageforyouandyourfamily,insteadofpayingapremiumtoaninsurancecompanytoassumethisrisk.WeemployCIGNAInternationaltohandleadministrationoftheplantoprocessesclaims,assistinnegotiatingdiscountsaroundtheglobe,andprovidecustomerservicetoyouandyourfamily24hoursaday,7daysaweek–speakingwithyouinanylanguageyoufeelmostcomfortablein.
