NOTICE OF 29TH ANNUAL GENERAL MEETING, BOOK CLOSURE AND E-VOTING INFORMATION.

Notice is hereby given that 1. The 29th Annual General Meeting ('AGM") of the members of the Newgen Software Technologies Limited ('the

Company") will be held through Video Conferencing (VC) / Other Audio-Visual Means (OAVM) on Tuesday, 27th July 2021 at 11:00 A.M. (1ST) in compliance with the applicable provisions of the Companies Act, 2013 read with General Circular No. 1412020, 17/2020, 20/2020 and 02/2021 issued by the Ministry of Corporate Affairs (MCA) and Circulars issued by the Securities and Exchange Board of India (SEBI) to transact the Business as set out in the Notice of theAGM. The proceedings of the AGM shall be deemed to be conducted at the Registered Office of the Company which shall be the deemed Venue of theAGM.

2. Pursuant to aforesaid circulars, electronic copies of the Notice of the AGM along-with Annual Report for the Financial Year 2020-21 have been sent to all the members whose E-mail addresses are registered with the Depositor, Participant(s)/Company. The dispatch of Notice of the AGM along-with Annual Report through E-mails have been completed on 30th June 2021. The Notice of AGM and the Annual Report for the Financial Year 2020-21 are available on the Company's website at https://newgensoft.com and on the website of the Stock Exchanges. Notice of theAGM is also available on Company's Registrar and Share Transfer Agent (RTA) website httpsJ/evoting.kfintech.com.

3. Members are provided with a facility to attend theAGM through electronic platform provided by Company's RTA viz.KFin Technologies Private Limited ('KFin'). Members can attend theAGM through VC/ OAVM or view the livewebcast of AGM by visiting httpsJ/emeetings.kfintech.com/ under shareholders/members login by using their remote a-voting login Cf8dentials and selecting the EVENT for Company's AGM.

4. The Company is pleased to provide the facility to members to exercise their right to vote by electronic means on resolutions proposed to be passed attheAGM. Members holding shares either in physical form or in dematerialized form, as on Friday, 16th July 2021 (Cut-0ff date), can cast their vote electronically on the Business as set out in the Notice of the AGM through electronic voting system ("remote e-voting') as provided by KFin.

5. The remote &-voting facility will be available during the following voting period: Commencement of remotes-voting From Saturday, 24th July 2021 at 9:00A.M (1ST) End of remote e-votin Upto Monday, 26th July 2021 at 5:00 P.M. (1ST)

6. Members may note that: a) the remote a-voting module will be disabled by KFin after the aforesaid date and time for voting and once the vote on

a resolution is cast by the member, the member shall not be allowed to change tt subsequently. Remote a-voting shall not be allowed beyond the said date and time;

b) the facilfy for voting will also be made available during theAGM and those members present in theAGM through VC/ OAVM facility, who have not cast their vote on the resolutions through remote a-voting, and are otherwise not barred from doing so, shall be eligible to vote through e voting system at theAGM; and

c) the members who have cast their vote by remote a-voting prior to theAGM may also attend theAGM but shall not be entitled to casttheirvoteagain.

7. Members are hereby informed that, any person, who becomes member of the Company after dispatch of the Notice of the AGM through electronic means and holding shares as on the cut-0ff date viz.16th July 2021, can obtain the login ID and password by sending a request at evoting@Kfintech.com. However, if a person is already registered with KFin for remote e-votingthenexisting userlDand password can be usedforcastingvote.

8. The Register of Members and the Share Transfer books of the Company will remain closed on Friday, 16th July 2021 for the AGM and determining the names of members eligible for Final Dividend on Equity shares, if declared at the Annual General Meeting of the Company.

9. Members who have not registered their E-mail addresses are requested to register their E-mail addresses with respective Depositor, Participan~s) and members holding shares in physical mode are requested to update their E-mail addresses with Company's RTA, at einward.ris@kfintech.com to receive copies of the Notice of the AGM and Annual Report for the FinanciaIYear2020-21, instruction fore-voting and participation through VC/OAVM.

10. The manner in which the member, who wish to register mandates for receiving their Final Dividend is detailed in the NoticeoftheAGM.

11.
