Executive Summary The SME Association of Zimbabwe was formed in December 2011 out of a realisation that there were severe problems being faced by the SME sector in Zimbabwe, that were not being addressed due to the lack of a strong representative organisation. It operates through a registered trust (Registration Number 185/2012) as a not-for-profit organisation whose aim is solely to promote the interests of SMEs in Zimbabwe.

While there are several organisations that claim to represent SMEs, most of these in reality are focused on micro-enterprises. They have also failed to establish themselves visibly, and have also failed to roll out programs that address the present nagging issues faced by the sector.

At the other end of the scale, large business representative groups have likewise claimed to represent SMEs, but in reality have focused on the needs of big business. Their membership fees are also discriminatory in this respect, as small-scale enterprises cannot afford them.

The SME Association of Zimbabwe is therefore meant to cover this middle ground. Our definition of small (turnover less than $240 000 or assets less than $100 000) and medium enterprises (turnover and assets above the thresholds for small enterprises, but less than $1 million each) ensures we cover the hitherto neglected areas mentioned above.

It is an established fact that SMEs contribute at least 50% of GDP in developing and developed economies. The Association therefore aims to ensure that not only do SME contribute their 50% plus to Zimbabwe’s economy, but that they grow to become large enterprises, to ensure the country’s economic prosperity.

The Association offers several benefits to its members, which include raising capital, creating markets, training and development and teaching of business best practice. It also acts as a focal point for lobbying and advocacy activity for the SME sector.

Its objectives are achieved through several sub-committees. Each sub-committee focuses on a particular aspect of SME activity, and is manned by specialist entrepreneurs in the particular field. Thus, the Association is able to achieve a broad yet specialised coverage of all areas of concern to SMEs.

Vision

The vision of the Association is to advance the interests of SMEs and entrepreneurs involved in the running of SMEs. This vision shall be achieved, inter alia, though the following activities:

a) Advocating for the rights of SMEs at all relevant national fora, which shall include but shall not be limited to: i) Government and Government ministries ii) Quasi-government organisations iii) Non-governmental organisations iv) Councils and municipalities v) Any other relevant local and international fora.

b) Advancing the cause of SMEs through activities such as:

i) Promotion and development of markets ii) Sourcing and channelling of capital and technical assistance to SMEs iii) Education and training for entrepreneurs iv) Developing or encouraging the development of infrastructure (factory shells, incubation

units e.t.c) for the promotion of SMEs’ activities.

c) Interactions with other national associations and groupings in order to ensure SMEs’ interactions with their members are mutually beneficial.

d) Providing training and services to SMEs to enable them to graduate to being large-scale industries.

Values

The Association shall bear the following values in mind in everything that it and its members do:

1. Honesty and integrity Above all else, the operations of the Association must be conducted in a manner that reflects honesty and integrity, and seeks the greater good of its members and the nation first and foremost. Dishonesty and a lack of integrity shall not be tolerated at any level.

2. Transparency All dealings that are directly or indirectly associated with the Association shall be done transparently. Where there is a potential for conflict of interest, all members are compelled to disclose such potential conflict, and the onus shall be on them to do so. Related party transactions and transactions that result in a direct or indirect benefit to any member must similarly be disclosed.

3. Impartiality and fairness The Association shall conduct its duties with impartiality and fairness. This shall be particularly relevant with regards to allocation of resources and benefits. No preferential treatment shall be given to any parties outside of the stipulations of the relevant rules and regulations.

4. Servant leadership The Association shall strive to promote the virtues of servant-leadership. Office bearers within the Association shall seek primarily to serve the Association’s members, and therefore service should take precedence over any other consideration.

5. Professionalism Affairs of the Association shall be conducted professionally, and in a way that maintains and promotes a good standing and image. All members shall strive to ensure that the Association only renders world-class service.

6. Thought leadership The Association and its members will strive to remain at the forefront of promoting and adopting international best practice. The Association shall actively encourage innovation both with respect to how it is run, and how its members do business.

7. Best practice The Association’s primary aim is to inculcate best practices within the SME sector to grow

them into world-class corporations. The SME Association of Zimbabwe shall therefore incorporate best practice in all its activities, to serve as an example in practicing what it preaches. This shall include the cultivation of a world-class culture, brand and image.

Membership

There are currently five categories of membership:

Registered member

i) Eligibility Any approved small or medium enterprise operating in Zimbabwe, a representative thereof or any individual interested in SME development shall be eligible for membership as a registered member of the Association subject to such conditions as the Committee may impose upon such person on election.

ii) Benefits Registered members shall be entitled to: (1) receive the Association’s newsletter (2) receive updates on the Association’s activities (3) a basic listing on the Association’s website

iii) Restrictions

(1) They shall not be entitled to vote or attend any of the Association’s closed

networking and business events or meetings. (2) They will not be eligible for any value-added services from the Association apart

from those mentioned above.

iv) Obligations No membership fee is required for this registration, and there are no obligations attached.

Subscribed member

i) Eligibility A Registered member may upgrade to being a Subscribed member upon payment of the basic subscription fee, as laid out in the By-laws. Only individuals can become subscribed members.

ii) Benefits Subscribed members shall: (1) receive the association’s newsletters and updates. (2) be entitled to a vote. (3) be entitled to attend the Associations networking and business events and

meetings, subject to the payment of any admission charges that may be levied. (4) be entitled to value-added services such as listing on the Association’s website and

other benefits as the Association may from time to time decide to avail. (5) be eligible for election into sub-committees of the Association.

Where relevant, access to membership benefits shall be on a seniority basis, with those who became members on earlier dates being given preferential access to subsequent members.

iii) Restrictions (1) No business shall be allowed to be a Subscribed member. (2) There shall be no benefits of a financial nature, apart from fees and remuneration

for services rendered.

iv) Obligations Subscribed members are required to pay the membership fees stipulated for that category as per the Association’s By-laws. For the year to December 2012, this has been set at $24.

Premium member (small enterprise)

i) Eligibility A Registered or Subscribed member shall become a Premium member upon payment of the relevant Premium subscription, as laid out in the By-laws. Premium membership shall be open only to enterprises classified as small enterprises (asset base less than US$100 000, or annual turnover less than US$240 000).

ii) Benefits Premium members shall be entitled to: (1) receive the association’s newsletters and updates. (2) a vote. (3) attend the Associations networking and business events and meetings, subject to

the payment of any admission charges that may be levied. Such charges will be lower than those applicable for lower membership categories.

(4) a premium listing on the Association’s website. (5) election of their representative(s) into sub-committees and the Executive

Committee of the Association. (6) advocacy services, where the Premium member’s issue is of a nature that affects

several other members’ operations. (7) Preferential access to funding and marketing resources or any other benefits

sourced by the Association through its activities, up to a limit of US$100 000. (8) other benefits as the Association may from time to time decide to avail.

Where relevant, access to membership benefits shall be on a seniority basis, with those who became members on earlier dates being given preferential access to subsequent members.

iii) Restrictions (1) No business whose assets and/or turnover exceed the threshold stipulated in the

eligibility section shall be allowed to be registered as a Premium member.

iv) Obligations (1) Payment of the stipulated Premium subscription, as laid out in the By-laws. (2) For the year to December 2012, this has been set at $100 (regardless of joining

date).

Platinum member (medium size enterprise)

Platinum membership shall be open only to enterprises classified as medium sized enterprises (asset base over US$100 000, or annual turnover exceeding US$240 000, but both not exceeding US$1 million).

ii) Benefits Platinum members shall be entitled to: (1) receive the association’s newsletters and updates. (2) a vote. (3) attend the Associations networking and business events and meetings, subject to

the payment of any admission charges that may be levied. Such charges will be lower than those applicable for lower membership categories.

(4) a platinum listing on the Association’s website (these shall have highest priority). (5) election of their representative(s) into sub-committees and the Executive

Committee of the Association. (6) advocacy services, where the Platinum member’s issue is of a nature that affects

several other members’ operations. (7) Preferential access to funding and marketing resources or any other benefits

sourced by the Association through its activities, up to a limit of US$1 million. (8) other benefits as the Association may from time to time decide to avail.

Where relevant, access to membership benefits shall be on a seniority basis, with those who became members on earlier dates being given preferential access to subsequent members.

stipulated in the eligibility section shall be allowed to be registered as a Platinum member.

Affiliate member

Affiliate members shall be any organisations or corporations who fall outside of the definition of small or medium sized enterprises as defined above. Such organisations shall include former members of the Association who have graduated to being large corporations, but are interested in retaining membership with the Association, as well as large organisations with a vested interest in SME development, or SME business. Affiliate members shall not be entitled to any benefits, and shall not have a vote, but shall be entitled to advertise and to display their services on the Association website or other relevant material. They shall also be eligible for appointment to advisory seats on the Committee. Affiliate members shall be required to pay the relevant fee as regulated in the By-laws of the Association from time to time. For the year to December 2012, this has been set at $300 (regardless of commencement date).

Executive Committee

Farai Clement Mutambanengwe, Founding Chairman

Farai is a seasoned Zimbabwean business executive and entrepreneur. He is the founding director of Adway Financial Services, and was previously Managing Director of Premier Asset Management. He also worked at Datvest Asset Management as portfolio executive in charge of Pension Funds.

His investments career started at Bard Stockbrokers where he joined as Accountant after serving articles with Deloitte. He rose through the ranks to become Research Analyst, Derivatives dealer and Equities trader at BancABC (formerly African Banking Corporation, which in turn was created from the amalgamation of FMB, UDC and Bard).

Farai holds a Bachelor of Accountancy (Hons) degree, and a Postgraduate Diploma in Applied Accountancy. He has also attained several certificates in the fields of asset-liability management, derivatives and financial/investments analysis.

His passion lies in financial modelling (especially as applied to investment decision-making), business process engineering and re-engineering, and he has set up several businesses. His dream is to play a major role in the upliftment of Zimbabwe to being a world-class entrepreneurial centre. He sees himself accomplishing this task in the not-too-distant future!

Patrick Munyaradzi, Secretary-General

Patrick Munyaradzi is the owner and chairman of Luxury Leathers, a medium-sized leather products manufacturing company. He has more than 15 years of business management experience at senior management level. Patrick is currently the Managing Director of Deven Engineering, and was previously General Manager of Hino Zimbabwe. Patrick has attained several managerial qualifications over the years, which include a Master of science in leadership and change management (Leeds Metropolitan University, UK), an EDP (UZ), and a Diploma in General Management (ZIM). He is married with four children.

Christopher Maswi, Treasurer

A Chartered Accountant with over twenty years of post-qualification experience, Christopher is the Founder and Managing Director of Fairvalue Management Consultants, a financial management firm that boasts of several prominent clients, as well as SMEs such as Securico, an award-winning security company. His firm has also been involved in judicial management services for companies such as Guarantee Trust and Steelnet Zimbabwe. He is a board member for TN Bank, TN Asset Management and Vasdream Enterprise.

Prior to founding Fairvalue Management Consultants, Christopher held senior positions with PG Industries, Universal Merchant Bank, Allen Wack & Shepherd and Tobacco Processors Zimbabwe. He did his articles with Deloitte, one of the Big Four firms.

Christopher is passionate about SME development in Zimbabwe, and his firm is actively involved in promoting best practice and good corporate governance in various SMEs, apart from their large clients.

He is married and has three children.

Vincent Machona, Vice Chairman

Vincent is a focused thinker and proficient executor of goals. He has great passion towards the development of SMEs. He is a banker by profession. He is currently working for Stanbic Bank Zimbabwe within the business banking division.

He has more than ten years experience in banking, manufacturing, accounting and capital markets. Vincent holds a Post Graduate Diploma in Management for Executive with University of Zimbabwe, HND Accountancy (HEXCO), Diploma in Business Administration with Zimbabwe Institute of Management (ZIM), and Diploma in Banking with Institute of Bankers of Zimbabwe (IOBZ). He is currently writing his dissertation of Masters in Business Administration (UZ) and a research project for a Higher Diploma in Business Administration (ZIM).

Vincent is married and has one child.

Jacqui Ndongwe, Vice Secretary-General

Jacqui is a Skills Development Expert whose passion lies in shifting personal paradigms and beliefs through training. Over the years, Jacqui has developed herself as a brand to reckon with in dissemination lasting solutions to performance deficiencies. She has become well versed in developing entrepreneurial skills and is passionate about growing the capacity of Small and Medium entities.

She is the Founder of Dynamic Skills Foundation, an organisation that is dedicated to creating a solid base for developmental skills. Jacqui has worked as Trainer and Research Associate on local and regional projects in Botswana, Namibia and South Africa.

Jacqui holds a Bachelor’s degree from the University of Zimbabwe and a Personnel Management certificate from IPMZ. Her passion for developing skills has seen her open up doors to motivate business people through her talks, seminars, training workshops and literature.

George Nachamba, Vice Treasurer

George is a trained, qualified finance professional with 19 years experience. He has a Bcompt degree from UNISA, is a Chartered Certified Accountant(FCCA) and a Registered Public Auditor and Accountant(Zimbabwe). George started his career with Ernst & Young where he went through articles. After articles he worked in commerce in various roles from Systems accountant to Chief Accountant first in the enlarged Astra Holdings Group and later in the de-merged Tractive Power Holdings. He then went to the UK where he ended up working as a Financial Analyst at Brittania Building Society( the UK’s second largest building society). On returning to Zimbabwe, he worked through various roles as Treasury and Finance Director before he went into business partnership. His business exploits have taken him through Distribution and Manufacturing. For the last three years he has been running an audit and business advisory firm, Nachamba Associates. His passion is seeing African businesses thrive and so combining his training, education, work experience and business experience, he decided to help businesses advance their operational and financial performance through the provision of practical top end professional consulting services. He is also passionate about mentoring and producing young quality finance and business professionals who will be the benchmark on the local market. He is married with three children.

Desire Katyora, Coordinator

Desire is a serial entrepreneur and a firm believer in the ability of small and medium businesses to have a significant impact on the economy of Zimbabwe. He strives to use information and communication technology to create competitive advantage for entrepreneurs.

He founded Underhold Marketing and Communications in 2005 and has worked with many organisations’ marketing departments in creating promotions that have brought tremendous value.

Desire studied Mining Engineering at the University of Zimbabwe, Marketing with the Southern Africa Institute of Marketing as well as a Masters in Business Administration with the Zimbabwe Open University.

He is excited about the role that information technology can play in bridging the gap between the haves and have-nots, and sees technology as Zimbabwe’s chance to force its way into economic independence.

Sub-Committees

The Association’s activities are driven by sub-committees, which report to the Executive Committee. Each sub-committee has between four and five members, each of whom is a specialist in the field covered by the sub-committee. Sub-committees are headed by chairpersons who sit on the Executive Committee representing their sub-committee. The following are the sub-committees:

1. Audit To ensure there is transparency &accountability in all of the Association’s financial activities and transactions, and to safeguard the Association’s assets.

2. Capital Markets To support the creation of a vibrant capital market environment for SMEs in Zimbabwe.

3. Decentralization To encourage the formation and expansion of SMEs in areas outside of the major towns and cities, in line with the “growth point” strategy previously adopted by Government.

4. Environmental To develop a culture of incorporating environmentally friendly business practices in SMEs.

5. Finance Establish and maintain a robust, world-class financial management environment within the SME Association of Zimbabwe.

6. Fund-raising Oversight of the Association’s income based and developmental strategies aimed at generating revenues to support the activities and expansion of the Association.

7. Human Resources To create and maintain a world-class Human Resources function within the SME Association, which adheres to best practice, and attracts and retains the best talent within the Association.

8. Infrastructure Create world-class infrastructure for members of the Association and for the Zimbabwean economy in general.

9. Lobbying & Advocacy To create a vibrant, non-confrontational and effective lobbying and advocacy function for the Association which continuously seeks a level and fair playing field for SMEs in Zimbabwe and on the global market.

10. Marketing & Branding Create and expand marketing opportunities for SMEs in Zimbabwe, and assist them in developing strong brands that will sell internationally.

11. Media & Communications Create a unified, powerful and progressive voice, brand and presence for the Association in Zimbabwe and abroad.

12. Research & Development Ensure that the Association and its members attain and maintain a position of leadership in the area of SME development through the application of research and development techniques.
