Phần 1: Giới thiệu chung

• Công ty TNHH Thế Kỷ được thành lập vào năm 1998, bắt đầu hoạt động kinh doanh bằng việc cung cấp các thiết bị hàng hải và các thiết bị đặc biệt cho các dự án của Nhà nước và các nhà máy đóng tàu tại Việt Nam.

• Năm 2006, công ty xây dựng nhà máy sản xuất xuồng cao tốc làm bằng vật liệu composite cốt sợi thủy tinh và xuồng phao hơi đáy cứng, áp dụng công nghệ hút chân không của tập đoàn DIAB – Thụy Điển.

• Năm 2008, công ty bắt đầu xây dựng và áp dụng tiêu chuẩn quản lý chất lượng ISO 9001:2008 cho việc quản lý và sản xuất sản phẩm của công ty.

• Sau 15 năm hoạt động, ngày nay Công ty Thế Kỷ được biết đến là một công ty đi đầu trong lĩnh vực sản xuất xuồng composite và là nhà cung cấp các thiết bị, dịch vụ trong lĩnh vực hàng hải có uy tín trên cả nước, đáp ứng nhu cầu khách hàng khó tính nhất.

Người bán yêu cầu người mua gửi chứng BL gốc để gửi cho ngân hàng. Điều này có lợi cho người bán. Tuy nhiên sẽ bất cập với người mua nếu lô hàng vận tải bằng đường hàng không, thời gian vận tải ngắn, sẽ phát sinh lưu kho

Giải Pháp: Xem xét trong từng trường hợp cụ thể

Chứng nhận chất lượng do nhà sản xuất cấp. Thực sự không có giá trị cao với người mua

Nên yêu cầu bên thứ 3 cấp chứng chỉ này: như Lloyd, DNV, MBS… ( tuy nhiên phải xem xét mức phí để lấy các chứng chỉ này …)

4. Documents /Chứng từThe seller provides the buyer free of charge with the engines, copy of operator guide, Service manual and spare part book. The seller must ensure that at the time of handing over the engines, these documents have been delivered together with the engines.

5. Inspection and claims /Giám định và khiếu nại5.1. Inspection before shipmentThe seller shall carry out at his expenses the inspection of goods and all equipment at his works and shall issue the inspection report confirming that the goods and equipment has been in strict conformity with the description/specifications stipulated in the contract. 5.2 Inspection at destinationThe buyer shall have right and at his own cost to have goods re-inspected by a neutral Inspection Company at Hai phong, Vietnam. The inspection results at Hai phong, Vietnam shall be final and binding on both the seller and buyer ". 5.3 ClaimsIn the event that the inspector at destination finds the quality, specifications of the goods and equipment are in discrepancy with the contractual quality, specifications, the buyer has right to lodge a claim to the seller within 30 days after the arrival of the goods and equipment at destination and such claim must be accompanied by inspection results. The seller is responsible to closely co-operate with the buyer in case of loss/damage and settle the claim without delay.

5.1 Inspection before shipment

Chưa chặt chẽ vi có giám định nhưng không chỉ rõ nếu người mua yêu cầu người bán sẽ phải có trách nhiệm xuất trình

5.3 Claims/ Khiếu nạiNên xem xét các hướng giải quyết khác thân thiện hơn trước khi đưa Khiếu nại

Nêu rõ vấn đề này tùy theo mối quan hệ với nhà cung cấp

6. WarrantyThe seller undertake to warrant the engines in accordance with standard warranty The seller warrants that the engines are free from:Defects in materials and workmanship in the fabrication thereofDefects arising from the selection of materials or process of manufacture Defects inherent in the design and engineering thereofThe warranty period is 3 years or 750 hours whichever occurs first for private/recreation use, and, 12 months or 750 hours whichever occurs first for commercial/government use.The warranty does not apply to:Normal wear and tear resulting from the operation of the equipment Engine that has not been operated or maintained in accordance with the seller’s instruction and/or manual.

7. ArbitrationAll disputes arising in connection with this contract shall be finally settled by International Arbitration Center of Vietnam under its rules the place of arbitration shall be the capital of buyer’s country. The language of arbitration shall be English. The parties agree that any award made in accordance with the provisions of this clause is final and binding on both of them. Arbitration charge and any other charges will be borne by the losing party.

Nên yêu cầu nhà sản xuất gửi tiêu chuẩn bảo hành để xem trước khi ký hợp đồng

5.1. Inspection before shipmentThe seller shall carry out at his expenses the inspection of goods and all equipment at his works and shall issue the inspection report confirming that the goods and equipment has been in strict conformity with the description/specifications stipulated in the contract. 5.2 Inspection at destinationThe buyer shall have right and at his own cost to have goods re-inspected by a neutral Inspection Company at Hai phong, Vietnam. The inspection results at Hai phong, Vietnam shall be final and binding on both the seller and buyer ". 5.3 ClaimsIn the event that the inspector at destination finds the quality, specifications of the goods and equipment are in discrepancy with the contractual quality, specifications, the buyer has right to lodge a claim to the seller within 30 days after the arrival of the goods and equipment at destination and such claim must be accompanied by inspection results. The seller is responsible to closely co-operate with the buyer in case of loss/damage and settle the claim without delay.

• Thiết bị rất phức tạp, hiện đại, nhiều chi tiết, không thể kiểm soát hết chât lượng của từng chi tiết cấu thành lên thiết bị, cũng như chất lượng nguyên vật liệu chế tạo nên nó. Đòi hỏi người đàm phán phải có kinh nghiệm, phải nghiên cứu, hiểu thiết bị, có sự so sánh với các sản phẩm cùng loại.

• Thời gian sản xuất thiết bị thường dài, giá trị lớn, tuy nhiên lỗi không thường được phát hiện ngay khi nhận hàng mà thường khi đưa vào sử dụng mới phát sinh. Người bán chấp nhận bảo hành với điều kiện người mua gửi thiết bị lại để người bán sửa chữa thay thế. Chi phí phát sinh rất cao, và ảnh hưởng công việc vì không có thiết bị thay thế. Phải kiểm tra kỹ lượng bản kiểm tra chất lượng của hàng hóa trước khi giao hàng.. Làm rõ chi phí phát sinh ngay từ đầu
