Information contained in this Request for Proposal (“RFP”) document and/or subsequently provided to Bidders, whether verbally and/or in documentary form by or on behalf of Tamilnadu Industrial Development Corporation Ltd. (TIDCO) or any of its employees or advisors (collectively referred to as “TIDCO Representatives”), is provided to the Bidders on the terms and conditions set out in this RFP document and any other terms and conditions subject to which such information is provided. This RFP document is not an agreement and is not an offer or invitation by TIDCO to any other party. The purpose of this RFP document is to provide interested parties with information to enable formulation of their proposal.

This RFP document does not purport to contain all the information each Bidder may require. The Bidders should conduct their own due diligence, investigations and analysis and should check the accuracy, reliability and completeness of the information in this RFP document and obtain independent advice from appropriate sources. TIDCO Representatives make no representation or warranty and shall incur no liability under any law, statute, rules or regulations as to the accuracy, reliability or completeness of the RFP document and concerned with any matter deemed to form part of the RFP document, award of the assignment, the information and any other information supplied by or on behalf of TIDCO or otherwise arising in anyway from selection process.

The prospective Bidder will be responsible for all obligations to its staff, their payments, complying with the labour laws, minimum wages Act and any other Act relevant for the working of the Bidder’s staff. Under no circumstances, TIDCO will be responsible for any non-compliance with statutory requirements of the bidder’s staff.

TIDCO may in their absolute discretion, but without being under any obligation to do so, update, amend or supplement the information in this RFP document from time-to-time, after intimating the same to the Bidders. TIDCO reserves the right to accept or reject any or all of the offers /proposals at any stage of the process, without assigning any reasons whatsoever. TIDCO reserves the right to change, modify add to or alter the bidding process including inclusion of additional evaluation criteria. In case of the last date of submission for proposal is declared as holiday, then the next working day shall be taken in to account as the last date for submission of proposal. Bidding process shall be governed by Laws of India and Courts at Chennai will have jurisdiction over matter concerning and arising out of this RFP document.

Section 1. Letter of Invitation

Dear Sir,

Government has mandated TIDCO to take necessary steps to establish a mega

project “ Chennai Sports City”. TIDCO intends to engage a consultant to carryout Land

Utilisation Plan including Techno Economic Feasibility Study for establishing “Chennai

Sports City project” in an area of about 1500 acres in Chengalpattu Taluk, Kancheepuram

District. through Competitive Bidding process.

2. The Land Utilisation Plan study will include identification of various options for

better utilisation of the entire 3611.69 acres of land/project area with main focus of studies

and surveys would be for the development of Chennai Sports City in 1500 acres along with

all other necessary surveys & studies. The Consultant has to identify and suggest the 1500

acres required for the proposed Chennai Sports City within the 3611.69 acres. The Consultant

shall also identify the area for the development of other facilities including social

infrastructure facilities in the balance land of 2111.69 acres (3611.69 -1500).

Section 2 : Background

Tamilnadu Road Development Company Limited (TNRDC) is developing an IT

(Information Technology) Express way from Madhya Kailash to Mahabalipuram (45 km). In

the first phase, the 20.1 km stretch from Madhya Kailash to Siruseri has been taken up for

development and the main carriage work has already been completed. In addition to this, in

Phase I, the 2.1 KM long ECR (East Coast Road) Link Road connecting Rajiv Gandhi Salai

(IT Corridor), at Sholinganallur and East Coast Road is widened to dual two lane carriageway

and completed. In the second phase, the road from Siruseri to Mahabalipuram (Junction of

ECR) will be developed. Rajiv Gandhi Salai (IT Corridor) will have six lane traffic and

service ducts, cross ducts, bus bays and passenger shelters.

TIDEL IT Park, ASCENDAS IT Park and TICEL Bio-Park are situated on the IT

Corridor. IT/ITES companies like INFOSYS, TCS, Cognizant Technology Solutions, etc

have their campuses on the IT Corridor. TIDCO along with Private promoters, viz., TATA

and DLF are developing two IT/ITES SEZs on the IT Corridor, one near the TICEL Bio-Park

and another with a convention center and serviced apartments near the MGR film city.

SIPCOT is developing an IT SEZ at Siruseri, abutting the Rajiv Gandhi Salai. All these

developments will and have already put a lot of pressure on the existing infrastructure

facilities and there is need to develop social infrastructure.

In the meantime, Government of Tamilnadu has made an announcement in May 2010

that in view of the fast development of employment opportunities on Rajiv Gandhi Salai (IT

Corridor) there is need to develop social infrastructure in nearby areas. Therefore, a mega

project called “Chennai Sports City Project” will be implemented over an extent of about

1,500 acres. In this Sports City, international standard multi purpose outdoor and indoor

stadia, training schools, sports facilities, hostels for sports persons, sports medical centre, etc.,

will be created.

The vision for Chennai Sports City is to be “as a vibrant township under the

empowering banner of sport. A truly futuristic living concept that will offer all its inhabitants

a sense of achievement in all that they do. An all-compassing lifestyle of luxury, recreation,

leisure, dynamism and enterprise, Chennai Sports City ignites the torch of victory-a symbol

of winning for all times to come”.

Chennai Sports City aims to be a leading development project with a distinct focus on

sport and sporting excellence that will attract local, regional and international participants.

Section 3. Description of Site

3.1. Location

The Proposed site is located in Thiruvidanthai and eight other villages, starting from Thiruvidanthai and ending at Saluvankuppam on the ECR and from Kalavakkam to Paiyanur on the OMR in Chengalpattu Taluk of Kancheepuram District. The width on either side of the buckingham canal is about 0.52 to 1 km on the western side and 1 km to 1.5 km on the eastern side. The total extent of the land is 3611.69 acres. The particulars of lands are given below:

3.2. Nearby Towns

The site is surrounded by Thiruporur, Kelambakkam, Kovalam and Mahabalipuram township. Thirukazhukundram (12 kms), Chengalpattu Municipality (25 kms), Tambaram (35 kms), Siruseri SIPCOT IT Park (10 kms), and Chennai (40 kms).

3.3. Connectivity

The site is at about 30 kms from NH 45. It is in between ECR and OMR which are four lane roads and proposed to be converted into six lane. The Chennai airport is at a distance of about 45 kms. The Chennai port is at a distance of about 40 kms. The Chengalpattu railway junction is at a distance of about 25 kms and Tambaram railway station is at a distance of about 35 kms. IT Corridor is at a distance of about 10 kms. The SIPCOT industrial park at Oragadam is at a distance of about 45 kms. The Mahindra World City is at a distance of about 10 kms. The Project and Route map is enclosed as Annexure I

Section 4. Information to Consultants/Bidders 4.1 INTRODUCTION 4.1.1 The Consultants/ Firms are invited to submit a Technical Proposal and a Financial

Proposal, as specified in the Data Sheet for the services required for the Assignment named in the Data Sheet. The Proposals will be the basis for contract negotiations and for signing of a contract with the selected Consultants / Firm.

4.1.2 TIDCO will select a Consultant / firm among those whose proposals are accepted, in

accordance with the evaluation methodology indicated in Clause 4.5.3.

4.1.3 The Consultants must familiarize themselves with local conditions and take them into account in preparing their Proposals. To obtain first-hand information on the Assignment and on the local conditions, consultants may visit TIDCO before submitting a Proposal. The Consultants may contact the officials named in the Data Sheet to obtain additional information on the Assignment.

4.1.4 Please note that (i) the costs of preparing the proposal and of negotiating the contract, including visits to TIDCO, are not reimbursable as a direct cost of the Assignment; and (ii) TIDCO is not bound to accept any of the Proposals submitted.

4.1.5 TIDCO reserves the right to accept or reject any bid, and to annul the bidding process

and reject all bids, at any time prior to the award of Contract, without thereby incurring any liability to the affected bidder or bidders or any obligation to inform the affected bidder or bidders of the grounds for TIDCO’s action.

4.1.6 TIDCO also reserves the right to terminate the contract on the grounds of negligence of obligations as per the accepted bid conditions and/or any other reasons not attributable to TIDCO and/or on account of any Force Majeure events that may be decided solely at the discretion of TIDCO. In such cases the compensation shall be restricted up to the amount paid by TIDCO and no claim whatsoever for any compensation shall be entertained by TIDCO.

4.1.7 The cost of this RFP document is Rs.10,000/-(Rupees Ten Thousand only).This RFP document can be obtained from TIDCO between 10.00 hrs and 17.00 hrs on payment of non refundable fee of Rs 10,000/-(Rupees Ten Thousand only) by way of demand draft drawn in favour of Tamilnadu Industrial Development Corporation Limited on any scheduled bank payable in Chennai.

4.1.8 Alternatively, the RFP document can be downloaded from www.tidco.com and in such

cases, the bidders will be required to pay non refundable fee of Rs.10,000/-( Rupees Ten Thousand only) by way of demand draft drawn in favour of Tamilnadu Industrial Development Corporation Limited on any scheduled bank payable in Chennai at the time of submission of proposals. Any proposal not submitted with the above prescribed non-refundable fees will be rejected.

4.2 CLARIFICATION AND AMENDMENT TO RFP DOCUMENTS 4.2.1 Consultants may request clarifications on the RFP document. Any request for

clarifications must be sent in writing by paper mail, cable, telex, facsimile, or

electronic mail to TIDCO’s address indicated in the Data Sheet. TIDCO will give its response at a pre-bid meeting to be convened on the date mentioned in the data sheet under the title “Information to the Consultants/Bidders” and will send it by mail, facsimile or electronic mail to all bidders requested clarifications and also to those who procured RFP after Pre bid meeting. TIDCO reserves the right to change the date of such pre-bid meeting. TIDCO will entertain the queries and give its response up to 48 hrs before the opening of the technical proposals.

4.2.2 At any time before the submission of Proposals, TIDCO may, for any reason, whether at its own initiative or in response to a clarification requested by an invited firm, modify the RFP documents by amendment. Any amendment shall be issued in writing through addenda. Addenda shall be sent by mail, cable, telex, facsimile, or electronic mail to all tenderers who have been issued this RFP and will be binding on them. TIDCO will also upload the addenda in its website. TIDCO may at its discretion extend the deadline for the submission of Proposals.

4.3 PREPARATION OF PROPOSAL

4.3.1 Consultants are requested to submit a Proposals (clause 4.1.1) written in the

language(s) specified in the Data Sheet. Any applicant submitting /participating in more than one application in response to the RFP will be disqualified and also cause the disqualification of all consortia in which the applicant is a member.

4.3.2 Consultants are advised to visit the location of the lands in Chengalpattu Taluk, Kancheepuram district before submission of a proposal. The costs and liabilities if any and arising out of such visits by the consultants are not reimbursable by TIDCO.

TECHNICAL PROPOSAL

4.3.3 In preparing the Technical Proposal, consultants are expected to examine the

documents comprising this RFP in detail. Material deficiencies in providing the information requested may result in rejection of a Proposal.

4.3.4 If a firm considers that it does not have all the expertise for the Assignment, it may

obtain a full range of expertise by associating with individual consultant(s) and/or other firms or entities in a joint venture relationship or sub-consultancy, as appropriate

4.3.5 The Technical proposal should provide the following information using the attached

Standard Form (Section 5A):

(i) A brief description of the firm’s organization and an outline of recent experience on assignments (Section 5B) of a similar nature. For each assignment, the outline should indicate, inter alia, the profiles and names of the staff provided, duration of the assignment, contract amount, and firm’s involvement.

(ii) A description of methodology and work plan for performing the assignment (Section 5C).

(iii) The list of the proposed staff team by specialty, the tasks that would be assigned to each staff team member, and their timing (Section 5D).

(iv) CVs recently signed by the proposed professional staff and the authorized representative submitting the proposal (Section 5E).

(v) Activity (work) schedule (Section 5F).

4.3.6 The Technical Proposal shall not include any financial information.

Financial Proposal 4.3.7 In preparing the Financial Proposal, consultants are expected to take into account the

requirements and conditions of the RFP documents. The Financial Proposal should follow Standard Forms (Section 6).

4.3.8 Consultants must express the price of their services in Indian Rupees. 4.3.9 The Data Sheet indicates how long the proposals must remain valid after the

submission date. During this period, the consultant is expected to keep available the professional staff proposed for the assignment. TIDCO will make its best effort to complete negotiations within this period. TIDCO reserves the right to extend the validity period of the proposals. If TIDCO wishes to extend the validity period of the proposals, if the consultant does not agree for the above, this may be taken as ground for rejection and TIDCO has the right to reject the proposal. In this case, TIDCO will not forfeit the Bid Security.

4.4 BID SECURITY, PERFORMANCE GUARANTEE, SUBMISSION, RECEIPT, AND OPENING

OF PROPOSALS

4.4.1 The original Proposal (Technical Proposal and Financial Proposal - Clause 4.1.1) shall contain no inter-lineation or overwriting, except as necessary to correct errors made by the firm itself. Any such corrections must be initialed by the person or persons who sign(s) the Proposals. An authorized representative of the firm should initial all pages of the Proposal. The representative’s authorization should be confirmed by a written power of attorney accompanying the Proposal.

4.4.2 For each Proposal, the Consultants should prepare the number of copies indicated in

the Data Sheet. Each Technical Proposal and Financial Proposal should be marked “Original” or “Copy” as appropriate. If there are any discrepancies between the original and the copies of the Proposal, the original governs.

4.4.3 A Bid Security for an amount of Rs.1,00,000/- (Rupees One lakh only) in the form of

a crossed Demand draft payable at Chennai drawn in favour of “Tamilnadu Industrial Development Corporation Limited.” from any Scheduled bank shall be submitted along with the Original Proposals. Those proposals not accompanied by Bid Security will be treated as Non responsive and such proposals will be rejected. Bid Security of the Preferred Bidder will be returned after the performance security is obtained and the agreement is signed. The Bid Security of the unsuccessful bidders will be returned within two weeks of completion of the selection process. TIDCO is entitled to cause forfeiture of the Bid Security if the Bidder revokes / withdraws the Bid during the period of its validity and / or fails to comply with the conditions of the Letter of Award.

4.4.4 Within five days of the date of the Letter of Award from TIDCO and prior to

execution of the Agreement, the Preferred Bidder shall furnish to TIDCO a

Performance Security in the form of an irrevocable Bank Guarantee from any scheduled bank, in favour of “Tamilnadu Industrial Development Corporation Limited”, enforceable and en-cashable in Chennai for an amount equivalent to 5% of the awarded lumpsum fees as quoted by the consultant in the Financial Proposal as per the Annexure II. Failure to submit the Performance Security will be taken as a ground for rejection of the bidder. Performance guarantee will remain in force until the satisfactory completion of the award of contract.

4.4.5 The original and all copies of the Technical Proposal shall be placed in a sealed

envelope clearly marked “Technical Proposal,” and the original and all copies of Financial Proposal in a sealed envelope clearly marked “Financial Proposal” and warning: “Do Not Open with the Technical Proposal.” Both envelopes along with the Bid security Demand Draft (Clause 4.4.3) shall be placed into an outer envelope and sealed. This outer envelope shall bear submission address and other information indicated in Data Sheet.

4.4.6 The completed Technical and Financial Proposal together with the Bid security

Demand Draft (Clause 4.4.3) must be delivered at the submission address on or before the time and date stated in the Data Sheet. Any Proposal received after the closing time for submission of proposals shall be returned unopened.

4.4.7 After the deadline for submission of proposals the Technical Proposal shall be opened

as specified in the Data sheet.

4.5 PROPOSAL EVALUATION General

4.5.1 From the time the bids are opened to the time the contract is awarded, if any consultant wishes to contact TIDCO on any matter related to its proposal, it should do so in writing at the address indicated in the Data Sheet. Any effort by the firm to influence TIDCO in TIDCO’s proposal evaluation, proposal comparison or contract award decisions shall result in the rejection of the consultant’s proposal.

4.5.2 Evaluators of Technical Proposals shall have no access to the Financial Proposals

until the technical evaluation is concluded. Evaluation of Technical Proposals 4.5.3 TIDCO and / or a committee constituted by TIDCO would evaluate the proposals on

the basis of their responsiveness to the Scope of work/Terms of Reference, applying the evaluation criteria, sub criteria and point system specified in the Data Sheet. Each responsive proposal will be given a technical score. A proposal shall be rejected at this stage if it does not respond to important aspects of the Scope of work/Terms of Reference and/or if it fails to achieve the minimum technical score indicated in the Data Sheet. The Proposals will be considered and evaluated as on the last date of submission of proposals during the last ten years. In case, if a firm associate itself with other firms / entities in a joint venture/ sub consultancy, appropriate evidence as specified under section 5 of 5 B Firms references should be submitted.

4.5.4 In case of Bidding consortium, the proposal shall contain a copy of the Memorandum

of Understanding (MoU) as specified in Annexure III. In the absence of above stated such document, the Proposal would be considered and evaluated as one from an single

entity submitting the Proposal. For a Bidding Consortium, no change in the membership of the consortium or in responsibilities shall be allowed after submission of the Proposal. If such a change in membership pattern or responsibilities is desired, it must be communicated to TIDCO in writing for its approval. Any change in the composition of the consortium or the proposed role definition of members of consortium after submission of the proposal would be recognized and permitted by TIDCO only if such change is in the opinion and discretion of TIDCO, not prejudicial to the strengths of the consortium as were evaluated earlier and such re-constituted Consortium would comply with all relevant requirements stipulated in the RFP TIDCO reserves the right to reject any proposal pursuant to a change in the composition of the bidding consortium without ascribing any reason whatsoever. An entity cannot propose to be Member of more than one consortium for submission of the Proposal for Evaluation for the Project.

Public Opening and Evaluation of Financial Proposals; Ranking 4.5.5 After the evaluation of technical proposal is completed, TIDCO shall notify the

consultants those have secured the minimum qualifying mark, indicating the date and time set for opening the Financial Proposals. The notification may be sent by registered letter, cable, telex, facsimile, or electronic mail. The proposals of those Consultants that did not meet the minimum qualifying mark shall be considered non-responsive to the RFP and Scope of work/Terms of Reference, indicating that their Financial Proposals will be returned unopened after completing the selection process.

4.5.6 The Financial Proposals of only those consultants who have scored the minimum of

60 points in the technical proposals shall be opened. The financial proposal, which has the lowest fees(L 1) will be treated as the Preferred Bidder and invited for negotiation.

4.5.7 Financial Proposals shall be opened publicly in the presence of consultants’

representatives who choose to attend. Name of the consultant, quality scores, and the prices shall be read out and recorded when Financial Proposals are opened.

4.5.8 In case of tie between the Bidders in the lowest Lumpsum Fees(L1) quoted i.e., the

lowest Lumpsum Fees quoted by more than one Bidder are the same, TIDCO will break the tie by inviting fresh Financial Bids from such Bidders, who are so tied. The new Financial Bid submitted by such tied Bidders shall not be more than their respective original Financial Bid. The original Financial Bids of such tied Bidders will be annulled only when the new Financial Bids are received from the respective Bidders. The bidder quoting the lowest Lumpsum Fees (which shall not be more than the Lumpsum Fees quoted in the original Financial Bid resulting in the tie) will be selected as the Preferred Bidder. TIDCO will issue the Letter of Award to the Preferred Bidder. TIDCO shall be entitled to cancel the Letter of Award issued to the Preferred Bidder and at its sole discretion invite the remaining other Preferred Bidders in the order of preference (ranked lowest to highest, as per their respective Financial Bids) for preparing the land utilisation Plan including the surveys and investigations for 3611.69 acres and Techno Economic Feasibility Report for Chennai Sports City in 1500 acres for the lands located between Rajiv Gandhi Salai (IT Corridor) and ECR in Chengalpattu Taluk, Kancheepuram District provided such Bidder agrees to match

the Financial Bid of the L1 Preferred Bidder and comply with such conditions as may be imposed by TIDCO, if the Preferred Bidder-

• Withdraws his Bid during the period of validity of his Bid;

• Fails or refuses to comply with the stipulations in the Letter of Award

• Fails or refuses to execute the Agreement within the stipulated time;

• Fails or refuses to furnish the Performance Security

• Commits a material breach of any of the terms and conditions contained in the RFP Document.

4.6 NEGOTIATIONS

4.6.1 Negotiations will be held at the address indicated in the Data Sheet. The aim is to reach

agreement on all points and sign a contract Negotiations will include a discussion of the Technical Proposal, the proposed methodology (work plan), staffing and any suggestions made by the firm to improve the scope of work/Terms of Reference. TIDCO and firm will then work out final scope of work/ Terms of Reference, staffing, and bar charts indicating activities, staff, periods in the field and in the home office, staff-months, logistics, and reporting. The agreed work plan and final scope of work/ Terms of Reference will then be incorporated in the “Description of Services” and form part of the contract. Special attention will be paid to getting the most the firm can offer within the available budget and to clearly defining the inputs required from TIDCO to ensure satisfactory implementation of the Assignment.

4.6.2. Having selected the firm on the basis of, among other things, an evaluation of proposed key professional staff, TIDCO expects to negotiate a contract on the basis of the availability of experts named in the Proposal. Before contract negotiations, TIDCO will require assurances that the experts will be actually available. TIDCO will not consider substitutions during contract negotiations unless both parties agree that undue delay in the selection process makes such substitution unavoidable or that such changes are critical to meet the objectives of the assignment. If this is not the case and if it is established that key staff were offered in the proposal without confirming their availability, the firm may be disqualified.

4.6.3. The negotiations will conclude with a review of the draft form of the contract. To complete negotiations TIDCO and the firm will initial the agreed contract. If negotiations fail, TIDCO will invite the firm whose proposal was the second lowest bid to negotiate a contract.

4.7. AWARD OF CONTRACT

4.7.1. A Letter of Award (LOA) will be issued followed by the negotiations. After issuance of LOA, TIDCO will promptly notify other consultants on the shortlist that they were unsuccessful and return the Financial Proposals to those consultants who did not pass the technical evaluation (clause 4.5.5)

4.7.2. The firm is expected to commence the Assignment immediately after acceptance of the LOA

4.8. CONFIDENTIALITY 4.8.1. Information relating to evaluation of proposals and recommendations concerning

awards shall not be disclosed to the consultants who submitted the proposals or to other persons not officially concerned with the process, until the winning firm has been notified that it has been awarded the contract.

Following method will be adopted for assigning points for the respective parameters under the Evaluation Criteria.

Section 7. Scope of work/ Terms of Reference

7.1.Surveys on Boundary, Topography, Contour and Investigations on Soil, Geo

Technical Analysis for 3611.69 acres.

The successful bidder shall carry out the Surveys on Boundary, Topography,

Contour and Investigations on Soil, Geo Technical Analysis for carrying out Land

Utilisation Plan for 3611.69 acres with main focus for establishing the Chennai Sports City

in 1500 acres within the 3611.69 acres of land located between Rajiv Gandhi Salai (IT

Corridor) and ECR in Chengalpattu Taluk, Kancheepuram District.

The successful bidder shall prepare the necessary scope of works/ Terms of

reference for carrying out the above stated surveys and investigations for carrying out Land

Utilisation Plan including Chennai Sports City. The officials of TIDCO will co-ordinate

with the local Revenue officials to facilitate the survey works.

7.2. Land utilization plan The land utilization plan study will include identification of various options for better

utilization of the entire 3611.69 acres of land/project area with main focus on development

of Chennai Sports City in 1500 acres. The consultant has to identify and suggest the 1500

acres required for the proposed Chennai Sports City within the 3611.69 acres.

The consultant has to carry out techno economic feasibility report for Chennai Sports

City for 1500 acres. The other social infrastructure and facilities in the balance land of

2111.69 acres (3611.69 -1500) along with the development plans for these identified

options has to be studied and presented.

7.3.The Scope of work/Terms of reference for land utilization plan for

the entire 3611.69 acres/project area and Techno Economic Feasibility

Report for Chennai Sports City in 1500 acres includes the following. a) Demand Assessment and Identification of Product mix for 3611.69 acres including

the development of Chennai Sports City in 1500 acres b) Concept plan /land Utilization Plan

c) Financial Feasibility for Chennai Sports City

d) Project Structuring for Chennai Sports City

7.3 (a) Demand Assessment and Identification of Product mix:

1) The demand assessment study will estimate the land demand and potential project components for the entire 3611.69 acres of land while the main focus will be on development of Chennai Sports City in 1500 acres and other social infrastructure and facilities in the balance land of 2111.69 acres.

2) Analysis of Current scenario for Sports Infrastructure in India and Chennai.

3) Growth trends for major sports in India and resultant requirements for Sports

facility in India.

4) The demand assessment should identify key factors that impact the development of Chennai Sports City project and other related social infrastructure facilities.

5) The demand assessment should bring out the regulatory and policy frame work for

the entire development of the entire area of 3611.69 acres including the development of Chennai Sports City in 1500 acres.

6) Identify potential Sports and related facilities which can be developed in Chennai.

7) Identify the project components (on site & off site) for the entire area of 3611.69

acres including the Chennai Sports City. 7.3.(b) Concept Plan /Land utilisation Plan

1) Based on the land survey and investigation details and the identified project components including the Chennai Sports City, the planning brief and area requirements for the entire area shall be developed.

2) The multiple options for land utilization plan for the entire area including the

Chennai Sports City will be developed along with the development plans. Each options shall clearly bring out the concept for the land utilization plan.

3) The planning guide lines under each option should be clearly brought out.

4) The concept plan should bring out the means for provision of necessary infrastructure facilities such as roads, power, sewerage etc.

5) The land utilisation plan should prevent incompatibility/ eliminate conflicts

amongst adjacent land uses. 6) The development cost estimates for the various identified options including the

development of Chennai Sports City should be presented.

7) The Provisions of Ministry of Environment & Forest notifications dated 14.09.2006 should be taken in to consideration while conducting the Land use plan study.

8) CRZ notification for obtaining clearance from state coastal management authority

should be taken in to consideration while conducting the Land use plan study.

7.3.(c) Financial Feasibility

1) The overall project cost of Chennai Sports City including the break up of the

identified project components, revenue projections, phasing and timelines to be

estimated.

2) Estimate key financial indicators for the Chennai Sports City Project such as IRR,

NPV, DSCR and carry out sensitivity analysis.

7.3.(d) Project structuring

1) Develop options for Chennai Sports City based on Public Private Participation

(PPP) and other appropriate models.

2) Identify the quantum of investment requirements from the government and the

private sector.

3) Suggest any incentives / grants that may be required for the Chennai Sports City

Project.

7.3.(e) Marketing strategy

1) Identify the target players for development of Chennai Sports City project and any

linkages with the identified project components(tie-ups for sports academies, sports

medicine & Sports rehabilitation facilities etc)

2) Develop the marketing plan for the Chennai Sports City and indicative road map

for the development.

7.4. The various aspects of the proposal as said above will be compiled and the draft of the required document/ proposal will be presented to TIDCO/TIDCO Board/Government by the consultant. The date of these presentations will be intimated to bidders by TIDCO. The suggestions if any made by TIDCO during the presentation will be incorporated and the final proposal will be submitted to TIDCO. After submission of the final proposal and presentation of the proposal to TIDCO, the consultants will reassemble the proposal if required based on any modifications / changes that are directed by TIDCO before finalizing the proposal.

7.5. Fees Proposal

The Consultants are required to quote a lumpsum fixed fee in Indian Rupees for carrying out this assignment as per the scope of works /Terms of reference covered in this RFP. Such Lumpsum fixed fee in Indian Rupees shall be inclusive of all expenses and taxes, except service tax. 7.6. Deliverables The consultants shall submit Ten number of hard copies of the final reports. Two soft copies of each report of (i) Surveys and Investigations for 3611.69 acres and (ii) Land utilization plan for 3611.69 acres and (iii) Techno Economic Feasibility Report of Chennai Sports City in 1500 acres and the presentations on each of the above report shall also be submitted. The deliverables include

� Inception Report � Draft Report � Final report with relevant maps, layouts, etc.

7.7 . Other Terms

• TIDCO will provide the consultants with the available information so far collected by it for the purpose of preparing the RFP proposal.

• The information provided and the proposal prepared by the consultant should be kept confidential. The use of information for any purpose other than the purpose that may be prescribed by TIDCO from time to time, is not permitted except in connection with the performance and services agreed to by the consultants.

• The release of the report or part thereof to any person / entity at any stage prior to the completion of the services set out in this proposal will be only at the directions from TIDCO.

ANNEXURE III

PRINCIPLES OF THE MEMORANDUM OF UNDERSTANDING TO BE

EXECUTED BETWEEN THE MEMBERS OF A CONSORTIUM.

(To be executed on Rs.100/- Non-Judicial Stamp paper)

In case of a Bidding Consortium, the Principles based on which the Memorandum of understanding (MoU) shall be executed between/among the Consortium Members, are stated below:

1. The MoU should clearly specify the reasons for forming the consortium 2. The MoU should clearly specify the roles and responsibilities of each of the

Consortium Members, It is expected that area of responsibility of each of the Consortium Members is clearly delineated and not overlapping with each other.

3. The MoU should clearly designate one of the Consortium Members as the

Lead Consortium Member (LCM). The LCM shall be the Consortium Member charged with the prime responsibility of completing and delivering the consultancy assignment. Notwithstanding this all Consortium Members shall be jointly and severally liable for the same.

4. The Lead Consortium Member shall be responsible for ensuring the individual

and collective commitment of each of the Consortium Members in honouring the Bidder’s obligations.

5. The MoU should be duly signed by each of the Consortium Members.

6. The MoU should be specific to this consultancy assignment.

7. The MoU should be valid for the period of nine months from the date for

submission of the RFP or till all the obligations of all the Consortium Members of the selected Bidder/Preferred bidder are duly discharged whichever is later. The validity period of the MoU should be extendable on the original terms, if required by TIDCO.

Section 8. CONTRACT AGREEMENT

Consultancy services for preparing Land Utilisation Plan including the surveys and investigations for 3611.69 acres and Techno Economic Feasibility Report for Chennai Sports City in 1500 acres in Chengalpattu Taluk, Kancheepuram District. This Agreement is entered into at Chennai on this ..… day of ……… 2010. between Taminadu Industrial Development Corporation Limited, a company registered under the Companies Act, 1956 and having its registered office at 19-A, Rukmini Lakshmipathi Salai, Egmore, Chennai –600 008 and represented by its authorised officer ___________________ Managing Director (hereinafter called the Client or TIDCO which expression shall so admits mean and include its successors in office and assign) on the ONE PART and _______________ an entity incorporated under the ------------------Act and having its registered office & Chennai office at _____________________represented _____________duly constituted attorney (hereinafter called the Consultant, which expression shall so admits mean and include its heirs, executors, administrators and legal representatives) on the OTHER PART. WHEREAS Government has mandated TIDCO to take necessary steps to establish a mega project “ Chennai Sports City”. TIDCO intends to engage consultant to carryout Land Utilisation Plan for 3611.69 acres including Techno Economic Feasibility Study for establishing “Chennai Sports City project” in an area of about 1500 acres within the 3611.69 acres in Chengalpattu Taluk, Kancheepuram District. through Competitive Bidding process. The Land Utilisation Plan study will include identification of various options for better utilisation of the entire 3611.69 acres of land/project area with main focus of studies and surveys would be for the development of Chennai Sports City in 1500 acres along with all other necessary surveys & studies. The Consultant has to identify and suggest the 1500 acres required for the proposed Chennai Sports City within the 3611.69 acres. The Consultant shall also identify the area for the development of other facilities including social infrastructure facilities in the balance land of 2111.69 acres (3611.69 -1500). AND WHEREAS the Consultant has submitted the proposal dated ______ for preparing land utilization plan for 3611.69 acres of land including the Surveys and Investigations and Techno Economic Feasibility Study for Chennai Sports City in 1500 acres on the lands located between Rajiv Gandhi Salai (IT Corridor) and ECR in Chengalpattu Taluk, Kancheepuram District and being selected as Preferred bidder, the Consultant has agreed to take up the work at a lumpsum fee of Rs.______ (Rupees ________________only) [inclusive of all expenses and taxes, except service tax] as per RFP & Scope of Work/Terms of Reference (Annexure A) by deploying the key professionals along with other supporting staff (Annexure B) as furnished in the Technical Proposal and letter dt………………... Set out below are the terms and conditions under which the consultant has agreed to carry out for TIDCO the above mentioned consultancy assignment specified in the attached RFP/Scope of works/ Terms of Reference.

1. The Consultant shall carry out the assignment within a period stipulated in the time schedule unless extended by TIDCO.

2. TIDCO, if found necessary to postpone and / or shorten or extend its duration, every effort will be made to give the Consultant a notice of seven working days for the intended changes.

3. The service to be performed, the estimated time to be spent and the reports to be submitted will be in accordance with the stipulated schedule.

4. This Agreement, its meaning and interpretation and the relation between the parties shall be governed by the laws of Union of India.

5. This agreement will become effective from the date of signing of this agreement and will terminate on completion of the assignment or such other date as mutually agreed between TIDCO and the Consultant.

6. The RFP is attached to the agreement and shall form part of the agreement.

7. The firm is expected to commence the Assignment immediately after acceptance of the Letter of Award (LOA).

Approval by TIDCO Board 10% of the total fees The payment for each stage of the activity shall be made within 30 days on completion of the activity as per the schedule indicated above. The above remuneration includes all the costs related to carrying out the services, including overhead and taxes imposed on the consultant excluding service tax payable on the above amount at the prevailing rates. Payment will be made by an account payee cheque payable at Chennai, in Indian rupee. Consultant shall not be entitled to any interest on any delay in effecting payment.

9. The consultant will be responsible for appropriate insurance coverage. In this regard, the consultant shall maintain workers compensation and employment liability insurance for their staff on the assignment. The Consultants shall also maintain comprehensive general liability insurance, including contractual liability coverage adequate to cover the indemnity of obligation against all damages, costs and charges and expenses for injury to any person or damage to any property arising out of, or in connection, with the services which results from the fault of the consultant or its staff. The consultant shall provide TIDCO with certification thereof upon request.

10. The consultant shall indemnify and hold harmless TIDCO against any / all claims, demands and / or judgments of any nature brought against TIDCO arising out of the services by the consultant under this agreement.

11. The Consultant agrees that, during the currency of this Contract if the consultant intends to offer any other types of service related to or not related to this service to TIDCO, the same shall be done with prior intimation to TIDCO.

12. All reports and other documents or software submitted by the Consultant in the performance of the Services shall become and remain the property of the Client. The Consultant may retain a copy of such documents but shall not use them for purposes unrelated to this Contract without the prior written approval of the Client.

13. The Consultant undertake to carry out the assignment in accordance with the highest standard of professional and ethical competence and integrity, having due regard to the nature and purpose of the assignment and to ensure that the staff assigned to perform the services under this Agreement, will conduct themselves in a manner consistent herewith.

14. The Consultant shall pay the taxes, duties, fee, levies and other impositions

levied under the Applicable law and the Client shall perform such duties in this regard to the deduction of such tax as may be lawfully imposed.

15. The consultant also agrees that all knowledge and information not within the

public domain which may be acquired during the carrying out of this assignment, shall be, for all time and for all purpose, regarded as strictly confidential and held in confidence, and shall not be directly or indirectly disclosed to any person whatsoever, except with the written permission of Client.

TERMINATION

16.TIDCO reserves its right to terminate this agreement, if the service rendered by the consultant has not been performed covering all the aspects on the scope of work/Terms of reference and to the satisfaction of TIDCO. In the event of termination, the Consultant shall be paid for the services rendered for carrying out the assignment to the date of termination and the consultant will provide TIDCO with any reports or parts thereof, or any other information and documentation gathered under this contract prior to the date of termination. In the case of termination, both the parties shall give 30 days notice of termination of the contract on either side.

17. Any dispute arising out of the Contract, which cannot be amicably settled between the parties, shall be referred to adjudication/arbitration to be determined by a sole arbitrator to be appointed by TIDCO. The arbitration proceeding shall be conducted in English in accordance with Arbitration & Conciliation Act 1996.

18. The consultant will not assign this contract or sub-contract any portion of it without the Client’s prior written consent.

19. The client shall deduct the Tax deduction at source at the time of release of payment at every stage as mentioned in this agreement.

20. If there are inconsistency/variations /differences between the provisions of this Agreement and the provisions of the documents referred herein, the provisions of the document shall apply unless otherwise agreed to by the parties to this agreement.

21.This Agreement is subject to additions and /or variations and/or deletions with the mutual consent in writing of both the parties hereto in respect of any of the foregoing provisions of this Agreement or any further provision to be incorporated in the said Agreement by mutual consent in writing or arrangements that may be actually agreed upon between the parties hereto pursuant to the foregoing provision of this Agreement or otherwise.

The place of jurisdiction to decide any disputes relating to these parties hereto shall be the city of Chennai only. IN WITNESS whereof _________ acting for and on behalf of the consultant

Scope of Work/Terms of Reference

1. Background Government of Tamil Nadu has made an announcement in May 2010 that in

view of the fast development of employment opportunities on Rajiv Gandhi Salai (IT Corridor) there is need to develop social infrastructure in nearby areas. Therefore, a mega project called “Chennai Sports City Project” will be implemented over an extent of about 1,500 acres. In this Sports City, international standard multi purpose outdoor and indoor stadia, training schools, sports facilities, hostels for sports persons, sports medical centre, etc., will be created.

The vision for Chennai Sports City is to be “as a vibrant township under the empowering banner of sport. A truly futuristic living concept that will offer all its inhabitants a sense of achievement in all that they do. An all-compassing lifestyle of luxury, recreation, leisure, dynamism and enterprise, Chennai Sports City ignites the torch of victory-a symbol of winning for all times to come”.

Chennai Sports City aims to be a leading development project with a distinct focus on sport and sporting excellence that will attract local, regional and international participants.

2.Objectives

Government has mandated TIDCO to take necessary steps to establish a Mega project “Chennai Sports City”. TIDCO intends to appoint a consultant/consortium of consultants to prepare land utilization Plan including the surveys and investigations for 3611.69 acres and Techno Economic Feasibility Report for Chennai Sports City for 1500 acres on the lands located between Rajiv Gandhi Salai (IT Corridor) and ECR in Chengalpattu Taluk, Kancheepuram District

The land utilization plan study will include identification of various options

The successful bidder shall carry out the Surveys on Boundary, Topography, Contour and Investigations on Soil, Geo Technical Analysis for carrying out Land Utilization Plan for 3611.69 acres with main focus for establishing the Chennai Sports City in 1500 acres within the 3611.69 acres of land located between Rajiv Gandhi Salai (IT Corridor) and ECR in Chengalpattu Taluk, Kancheepuram District.

The successful bidder shall prepare the necessary scope of works/ Terms of reference for carrying out the above stated surveys and investigations for carrying out Land Utilisation Plan including Chennai Sports City. The officials of TIDCO will co-ordinate with the local Revenue officials to facilitate the survey works.

3.2. Land utilisation plan The land utilisation plan study will include identification of various options for better utilisation of the entire 3611.69 acres of land/project area with main focus on development of Chennai Sports City in 1500 acres. The consultant has to identify and suggest the 1500 acres required for the proposed Chennai Sports City within the 3611.69 acres. The consultant has to carry out Techno Economic Feasibility Report for Chennai Sports City in 1500 acres. The other social infrastructure and facilities in the balance land of 2111.69 acres (3611.69 -1500) along with the development plans for these identified options has to be studied and presented.

3.3.The Scope of work/Terms of reference for land utilisation plan

for the entire 3611.69 acres/project area and Techno Economic

Feasibility Study for Chennai Sports City in 1500 acres includes the

following. a) Demand Assessment and Identification of Product mix for 3611.69 acres

including the development of Chennai Sports City in 1500 acres. b) Concept plan /Land Utilization Plan c) Financial Feasibility for Chennai Sports City d) Project Structuring for Chennai Sports City e) Marketing Strategy for Chennai Sports City

3.3 (a) Demand Assessment and Identification of Product mix:

1. The demand assessment study will estimate the land demand and potential project components for the entire 3611.69 acres of land while the main focus will be on development of Chennai Sports City in 1500 acres and other social infrastructure and facilities in the balance land of 2111.69 acres.

2. Analysis of Current scenario for Sports Infrastructure in India and Chennai. 3. Growth trends for major sports in India and resultant requirements for Sports

facility in India. 4. The demand assessment should identify key factors that impact the

development of Chennai Sports City project and other related social infrastructure facilities.

5. The demand assessment should bring out the regulatory and policy frame work for the entire development of the entire area of 3611.69 acres including the development of Chennai Sports City in 1500 acres.

6. Identify potential Sports and related facilities which can be developed in Chennai.

7. Identify the project components (on site & off site) for the entire area of 3611.69 acres including the Chennai Sports City.

3.3.(b) Concept Plan /Land utilisation Plan

1. Based on the land survey and investigation details and the identified project components including the Chennai Sports City, the planning brief and area requirements for the entire area shall be developed.

2. The multiple options for land utilisation plan for the entire area including the Chennai Sports City will be developed along with the development plans. Each options shall clearly bring out the concept for the land utilisation plan.

3. The planning guide lines under each option should be clearly brought out.

4. The concept plan should bring out the means for provision of necessary infrastructure facilities such as roads, power, sewerage etc.

5. The land utilisation plan should prevent incompatibility/ eliminate conflicts amongst adjacent land uses.

6. The development cost estimates for the various identified options including the development of Chennai Sports City should be presented.

7. The Provisions of Ministry of Environment & Forest notifications dated 14.09.2006 should be taken in to consideration while conducting the Land use plan study.

8. CRZ notification for obtaining clearance from state coastal management authority should be taken in to consideration while conducting the Land use plan study.

9. Guidelines prescribed in the CRZ notification 1991 should be taken in to consideration while conducting the Land use plan study.

3.3.(c) Financial Feasibility

1. The overall project cost of Chennai Sports City including the break up of the identified project components, revenue projections, phasing and timelines to be estimated.

2. Estimate key financial indicators for the Chennai Sports City Project such as IRR, NPV, DSCR and carry out sensitivity analysis.

3.3.(d) Project structuring

1. Develop options for Chennai Sports City based on Public Private Participation (PPP) and other appropriate models.

2. Identify the quantum of investment requirements from the government and the private sector.

3. Suggest any incentives / grants that may be required for the Chennai Sports City Project.

3.3.(e) Marketing strategy

1. Identify the target players for development of Chennai Sports City project and any linkages with the identified project components(tie-ups for sports academies, sports medicine & Sports rehabilitation facilities etc)

2. Develop the marketing plan for the Chennai Sports City and indicative road map for the development.

4.Other Terms TIDCO will provide the consultants with the available information so far collected by it for the purpose of preparing the survey, investigation for carrying out land utilization plan and for carrying out Techno Economic Feasibility Study for development of Chennai Sports City.
