Terms and Conditions for Shanghai Commercial Bank Credit Card Priority Pass TM Worldwide Airport VIP Lounge Program 1. The Priority PassTM membership card will be issued together with the Shanghai Commercial Bank My Smart

Card (“My Smart Card”) / World Credit Card (the “World Credit Card”). 2. From the month of card issuance to 31st December of that year, each credit card account cardholder

(including principal card and all supplementary cards) can enjoy 3 free visits to the Airport Lounge. If My Smart Card / the World Credit Card is issued between 1st October and 31st December in the current year, 3 free visits to the Airport VIP Lounge will be extended to 31st December of the following year.

3. If the annual spending amount of the Cardholders reaches a designated annual spending amount after the first year of card issuance, the cardholders can enjoy a specified number of free visits to the Airport VIP Lounge in the next calendar year. By accumulating spending amount from HK$50,000 to HK$99,999 from 1st January to 31st December, the Cardholders (including principal card and all supplementary cards) can enjoy 3 free visits to the Airport VIP Lounge in the next calendar year. By accumulating spending amount from HK$100,000 to HK$149,999, cardholders can enjoy 5 free visits to the Airport VIP Lounge in the next calendar year. By accumulating spending amount of HK$150,000 or above, cardholders can enjoy 8 free visits to the Airport VIP Lounge in the next calendar year.

4. If the number of the used free visits to the Airport VIP Lounge is less than the entitlement within the calendar year, the unused free visits cannot be carried over to the next calendar year.

5. Cardholders are required to pay HK$220 to access to the Priority PassTM Worldwide Airport VIP Lounge if the free visits have been used up by the Cardholders. The companion of the cardholders can pay HK$220 to enjoy the Priority PassTM Worldwide Airport VIP Lounge services.

6. Spending is only applicable to eligible spending transactions excluding cash advance, non-credited instalment amount, cancelled or returned transactions, octopus transactions, all bill payments, all e-Payments, purchase of casino chips, purchase of traveler's cheques, payment of all credit card charges (e.g. annual fees, finance charges, etc.) and any other unqualified credit card transactions specified by Shanghai Commercial Bank (‘the Bank”) from time to time.

7. The credit card account must be valid and in good standing during the use of the free Airport VIP Lounge services. If the Cardholder violates any terms and conditions of the cardholder agreement, the related credit card account will not be entitled to any of the free Airport VIP Lounge services. In the event of the cardholder canceling My Smart Card / the World Credit Card, the Priority PassTM membership card shall be invalid immediately effective from the cancellation date of My Smart Card / World Credit Card and the Cardholder is required to return the Priority PassTM membership card to the Bank. Cardholder shall be responsible for all charges made using an invalid card during any visits to the Airport VIP Lounge.

8. The use of Priority Pass Services is bound by the terms and conditions of “Priority PassTM Worldwide Airport VIP Lounge Program”, please refer to www.prioritypass.com for more details.

9. The Bank and Priority PassTM reserve the right to amend the Terms and Conditions of Priority PassTM Program, to vary or terminate this offer of Priority PassTM Program at any time without prior notice to the Cardholder. The Bank accepts no liability for any matters relating to changes or termination of the offer of Priority Pass TM Program and will not give any prior notice to the Cardholder for such change or termination.

10. If there is any inconsistency or conflict between the English and Chinese versions of these Terms and Conditions, the English version shall prevail.
