TECHNOLOGYSERVICESAGREEMENT

ThisTechnologyServicesAgreement(“Agreement”)constitutesalegalagreementbetweenanindependentcompanyinthebusinessofprovidingtransportationservices(“Customer”or“You”)andUberUSA,LLC,alimitedliabilitycompany(“Uber”).

UberprovidestheUberServices(asdefinedbelow)forthepurposeofprovidingleadgenerationtotransportationservicesproviders.TheUberServicesenableanauthorizedtransportationprovidertoseek,receiveandfulfillrequestsfortransportationservicesfromanauthorizeduserofUber’smobileapplication.

Customerisauthorizedtoprovidetransportationservicesinthestate(s)andjurisdiction(s)inwhichitoperates,anditdesirestoenterintothisAgreementforthepurposeofaccessingandusingtheUberServicestoenhanceitstransportationbusiness.

CustomeracknowledgesandagreesthatUberisatechnologyservicesproviderthatdoesnotprovidetransportationservices,functionasatransportationcarrier,noroperateasabrokerforthetransportationofpassengers.

InordertousetheUberServices,Customermustagreetothetermsandconditionsthataresetforthbelow.UponCustomer’sexecution(electronicorotherwise)ofthisAgreement,CustomerandUbershallbeboundbythetermsandconditionssetforthherein.

IMPORTANT:PLEASENOTETHATTOUSETHEUBERSERVICESANDTHEASSOCIATEDSOFTWARE,YOUMUSTAGREETOTHETERMSANDCONDITIONSSETFORTHBELOW.PLEASEREVIEWTHEARBITRATIONPROVISIONSETFORTHBELOWINSECTION15.3CAREFULLY,ASITWILLREQUIREYOUTORESOLVEDISPUTESWITHUBERONANINDIVIDUALBASIS,EXCEPTASPROVIDEDINSECTION15.3,THROUGHFINALANDBINDINGARBITRATIONUNLESSYOUCHOOSETOOPTOUTOFTHEARBITRATIONPROVISION.BYVIRTUEOFYOURELECTRONICEXECUTIONOFTHISAGREEMENT,YOUWILLBEACKNOWLEDGINGTHATYOUHAVEREADANDUNDERSTOODALLOFTHETERMSOFTHISAGREEMENT(INCLUDINGSECTION15.3)ANDHAVETAKENTIMETOCONSIDERTHECONSEQUENCESOFTHISIMPORTANTBUSINESSDECISION.IFYOUDONOTWISHTOBESUBJECTTOARBITRATION,YOUMAYOPTOUTOFTHEARBITRATIONPROVISIONBYFOLLOWINGTHEINSTRUCTIONSPROVIDEDINSECTION15.3BELOW.

1. Definitions

1.1. “Affiliate”meansanentitythat,directlyorindirectly,controls,isunderthecontrolof,orisundercommoncontrolwithaparty,wherecontrolmeanshavingmorethanfiftypercent(50%)ofthevotingstockorotherownershipinterestorthemajorityofthevotingrightsofsuchentity.

1.2. “CityAddendum”meansanaddendumtothisAgreementorsupplementalinformationsettingforthadditionalTerritory-specificterms,asmadeavailableandasupdatedbyUberfromtimetotime.

1.3. “Device”meansanUberDeviceorDriver-ProvidedDevice,asthecasemaybe.

1.4. “Driver”meansaprincipal,employeeorcontractorofCustomer:(a)whomeetsthethen-currentUberrequirementstobeanactivedriverusingtheUberServices;(b)whomUberauthorizestoaccesstheUberServicestoprovideTransportationServicesonbehalfofCustomer;and(c)whohasenteredintotheDriverAddendum.

1.5. “DriverAddendum”meansthetermsandconditionsthatCustomerisrequiredtoenterintowithaDriverpriortosuchDriverprovidingTransportationServicesonbehalfofCustomer(asmaybeupdatedbyUberfromtimetotime).

1.6. “DriverApp”meansUber’smobileapplicationthatenablestransportationproviderstoaccesstheUberServicesforthepurposeofseeking,receivingandfulfillingon-demandrequestsfortransportationservicesbyUsers,asmaybeupdatedormodifiedbyUberatitsdiscretionfromtimetotime.

1.7. “DriverID”meanstheidentificationandpasswordkeyassignedbyUbertoaDriverthatenablesaDrivertouseandaccesstheDriverApp.

1.8. “Driver-ProvidedDevice”meansamobiledeviceownedorcontrolledbyCustomeroraDriver:(a)thatmeetsthethen-currentUberspecificationsformobiledevicesassetforthatwww.uber.com/byod-devices;and(b)onwhichtheDriverApphasbeeninstalledasauthorizedbyUbersolelyforthepurposeofprovidingTransportationServices.

1.9. “Fare”hasthemeaningsetforthinSection4.1.

1.10. “ServiceFee”hasthemeaningsetforthinSection4.4.

1.11. “TaxiServices”hasthemeaningsetforthinSection3.1.

1.12. “Territory”meansthecityormetroareasintheUnitedStatesinwhichCustomeranditsDriversareenabledbytheDriverApptoreceiverequestsforTransportationServices.

1.13. “Tolls”meansanyapplicableroad,bridge,ferry,tunnelandairportchargesandfees,includinginner-citycongestion,environmentalorsimilarchargesasreasonablydeterminedbytheUberServicesbasedonavailableinformation.

1.14. “TransportationServices”meanstheprovisionofpassengertransportationservicestoUsersviatheUberServicesintheTerritorybyCustomeranditsDriversusingtheVehicles.

1.15. “UberData”meansalldatarelatedtotheaccessanduseoftheUberServiceshereunder,includingalldatarelatedtoUsers(includingUserInformation),alldatarelatedtotheprovisionofTransportationServicesviatheUberServicesandtheDriverApp,andtheDriverID.

1.16. “UberDevice”meansamobiledeviceownedorcontrolledbyUberthatisprovidedtoCustomeroraDriverforthesolepurposeofsuchDriverusingtheDriverApptoprovideTransportationServices.

1.17. “UberServices”meanUber’son-demandleadgenerationandrelatedservicesthatenabletransportationproviderstoseek,receiveandfulfillon-demandrequestsfortransportationservicesbyUsersseekingtransportationservices;suchUberServicesincludeaccesstotheDriverAppandUber’ssoftware,websites,paymentservicesasdescribedinSection4below,andrelatedsupportservicessystems,asmaybeupdatedormodifiedbyUberatitsdiscretionfromtimetotime.

1.18. “User”meansanenduserauthorizedbyUbertouseUber’smobileapplicationforthepurposeofobtainingTransportationServicesofferedbyUber’stransportationprovidercustomers.

1.19. “UserInformation”meansinformationaboutaUsermadeavailabletoCustomeroraDriverinconnectionwithsuchUser’srequestforanduseofTransportationServices,whichmayincludetheUser’sname,pick-uplocation,contactinformationandphoto.

1.20. “Vehicle”meansanyvehicleofCustomerthat:(a)meetsthethen-currentUberrequirementsforavehicleontheUberServices;and(b)UberauthorizesforusebyaDriverforthepurposeofprovidingTransportationServicesonbehalfofCustomer.

2. UseoftheUberServices

2.1. DriverIDs.UberwillissueCustomeraDriverIDforeachDriverprovidingTransportationServicestoenableCustomerandeachDrivertoaccessandusetheDriverApponaDeviceinaccordancewiththeDriverAddendumandthisAgreement.UberreservestherighttodeactivatetheDriverIDofthoseDriverswhohavenotfulfilledarequestforTransportationServicesusingtheDriverAppatleastonceamonth.Customeragreesthatitwill,andthatitwillensurethatitsDriverswill,maintainDriverIDsinconfidenceandnotshareDriverIDswithanythirdpartyotherthantheDriverassociatedwithsuchDriverIDforthepurposeofprovidingTransportationServices.CustomerwillimmediatelynotifyUberofanyactualorsuspectedbreachorimproperuseordisclosureofaDriverIDortheDriverApp.

2.2. ProvisionofTransportationServices.WhentheDriverAppisactive,UserrequestsforTransportationServicesmayappeartoaDriverviatheDriverAppiftheDriverisavailableandinthevicinityoftheUser.IfaDriveracceptsaUser’srequestforTransportationServices,theUberServiceswillprovidecertainUserInformationtosuchDriverviatheDriverApp,includingtheUser’sfirstnameandpickuplocation.InordertoenhanceUsersatisfactionwiththeUbermobileapplicationandaDriver’sTransportationServices,itisrecommendedthatDriverwaitsatleastten(10)minutesforaUsertoshowupattherequestedpick-uplocation.TheDriverwillobtainthedestinationfromtheUser,eitherinpersonuponpickuporfromtheDriverAppiftheUserelectstoentersuchdestinationviaUber’smobileapplication.CustomeracknowledgesandagreesthatonceaDriverhasacceptedaUser’srequestforTransportationServices,Uber’smobileapplicationmayprovidecertaininformationabouttheDrivertotheUser,includingtheDriver’sfirstname,contactinformation,Customerentityname,photoandlocation,andtheDriver’sVehicle’smakeandlicenseplatenumber.Customershallnot,andshallensurethatallDriversdonot,contactanyUsersoruseanyUser’spersonaldataforanyreasonotherthanforthepurposesoffulfillingTransportationServices.AsbetweenUberandCustomer,Customeracknowledgesandagreesthat:(a)CustomeranditsDriversaresolelyresponsiblefordeterminingthemosteffective,efficientandsafemannertoperformeachinstanceofTransportationServices;and(b)exceptfortheUberServicesoranyUberDevices(ifapplicable),Customershallprovideallnecessaryequipment,toolsandothermaterials,atCustomer’sownexpense,necessarytoperformTransportationServices.CustomerunderstandsandagreesthatCustomerandeachDriverhavealegalobligationundertheAmericanswithDisabilitiesActand

similarstatelawstotransportUserswithServiceAnimals(asdefinedbyapplicablestateandfederallaw),includingguidedogsfortheblindandvisuallyimpairedUsers,andthereisnoexceptiontothisobligationforallergiesorreligiousobjections.Customer’soranyDriver’sknowingfailuretotransportaUserwithaServiceAnimalshallconstituteamaterialbreachofthisAgreement.Customeragreesthata“knowingfailure”tocomplywiththislegalobligationshallconstituteeither:(1)adenialofaridewheretheCustomer/DriverstatesthedenialwasduetoaServiceAnimal;or(2)thereismorethanone(1)instanceinwhichaUserorthecompanionofaUserallegesthattheCustomer/DrivercancelledorrefusedarideonthebasisofaServiceAnimal.

2.3. Customer’sRelationshipwithUsers.CustomeracknowledgesandagreesthatCustomer’sprovisionofTransportationServicestoUserscreatesadirectbusinessrelationshipbetweenCustomerandtheUser.UberisnotresponsibleorliablefortheactionsorinactionsofaUserinrelationtoCustomeroranyDriver,theactivitiesofCustomer,aDriveroranyVehicle.CustomershallhavethesoleresponsibilityforanyobligationsorliabilitiestoUsersorthirdpartiesthatarisefromitsprovisionofTransportationServices.CustomeracknowledgesandagreesthatitandeachDriveraresolelyresponsiblefortakingsuchprecautionsasmaybereasonableandproper(includingmaintainingadequateinsurancethatmeetstherequirementsofallapplicablelawsincludingmotorvehiclefinancialresponsibility)regardinganyactsoromissionsofaUserorthirdparty.CustomeracknowledgesandagreesthatUbermayreleasethecontactand/orinsuranceinformationofCustomerand/oraDrivertoaUseruponsuchUser’sreasonablerequest.Customeracknowledgesandagreesthat,unlessspecificallyconsentedtobyaUser,neitherCustomernorDrivermaytransportorallowinsideanyVehicleindividualsotherthanaUserandanyindividualsauthorizedbysuchUserduringtheperformanceofTransportationServicesforsuchUser.Customeracknowledgesandagrees,andshallensurethatitsDriversagree,thatallUsersshouldbetransporteddirectlytotheirspecifieddestination,asdirectedbytheapplicableUser,withoutunauthorizedinterruptionorunauthorizedstops.

2.4. Customer’sRelationshipwithUber.CustomeracknowledgesandagreesthatUber’sprovisiontoCustomeroftheDriverAppandtheUberServicescreatesadirectbusinessrelationshipbetweenUberandCustomer.Uberdoesnot,andshallnotbedeemedto,directorcontrolCustomeroritsDriversgenerallyorintheirperformanceunderthisAgreementspecifically,includinginconnectionwiththeoperationofCustomer’sbusiness,theprovisionofTransportationServices,theactsoromissionsofDrivers,ortheoperationandmaintenanceofanyVehicles.CustomeranditsDriversretainthesolerighttodeterminewhen,where,andforhowlongeachofthemwillutilizetheDriverApportheUberServices.CustomeranditsDriversretaintheoption,viatheDriverApp,toattempttoacceptortodeclineorignoreaUser’srequestforTransportationServicesviatheUberServices,ortocancelanacceptedrequestforTransportationServicesviatheDriverApp,subjecttoUber’sthen-currentcancellationpolicies.Withtheexceptionofanysignagerequiredbylocallaworpermit/licenserequirements,UbershallhavenorighttorequireCustomeroranyDriverto:(a)displayUber’soranyofitsAffiliates’names,logosorcolorsonanyVehicle(s);or(b)wearauniformoranyotherclothingdisplayingUber’soranyofitsAffiliates’names,logosorcolors.CustomeracknowledgesandagreesthatithascompletediscretiontooperateitsindependentbusinessanddirectitsDriversatitsowndiscretion,includingtheabilitytoprovideservicesatanytimetoanythirdpartyseparateandapartfromTransportationServices.Forthesakeofclarity,CustomerunderstandsthatCustomerretainsthecompleterighttoprovidetransportationservicestoitsexistingcustomersandtouseothersoftwareapplicationservicesinadditiontotheUberServices.UberretainstherighttodeactivateorotherwiserestrictCustomeroranyDriverfromaccessingor

usingtheDriverApportheUberServicesintheeventofaviolationorallegedviolationofthisAgreement,aviolationorallegedviolationofaDriverAddendum,Customer‘soranyDriver’sdisparagementofUberoranyofitsAffiliates,Customer’soranyDriver’sactoromissionthatcausesharmtoUber’soritsAffiliates’brand,reputationorbusinessasdeterminedbyUberinitssolediscretion.

2.5. Customer’sRelationshipwithDrivers.CustomershallhavethesoleresponsibilityforanyobligationsorliabilitiestoDriversthatarisefromitsrelationshipwithitsDrivers(includingprovisionofTransportationServices).CustomeracknowledgesandagreesthatitexercisessolecontrolovertheDriversandwillcomplywithallapplicablelaws(includingtax,socialsecurityandemploymentlaws)governingorotherwiseapplicabletoitsrelationshipwithitsDrivers.NotwithstandingCustomer’sright,ifapplicable,totakerecourseagainstaDriver,CustomeracknowledgesandagreesthatitisatalltimesresponsibleandliablefortheactsandomissionsofitsDriversvis-à-visUsersandUber,evenwheresuchvicariousliabilitymaynotbemandatedunderapplicablelaw.CustomershallrequireeachDrivertoenterintoaDriverAddendum(asmaybeupdatedfromtimetotime)andshallprovideacopyofeachexecutedDriverAddendumtoUber.CustomeracknowledgesandagreesthatUberisathirdpartybeneficiaryofeachDriverAddendum,andthat,uponaDriver’sacceptanceofthetermsandconditionsoftheDriverAddendum,Uberwillhavetheright(andwillbedeemedtohaveacceptedtheright)toenforcetheDriverAddendumagainsttheDriverasathirdpartybeneficiarythereof.

2.6. Ratings.

2.6.1. Customeracknowledgesandagreesthat:(a)afterreceivingTransportationServices,aUserwillbepromptedbyUber’smobileapplicationtoprovidearatingofsuchTransportationServicesandDriverand,optionally,toprovidecommentsorfeedbackaboutsuchTransportationServicesandDriver;and(b)afterprovidingTransportationServices,theDriverwillbepromptedbytheDriverApptoprovidearatingoftheUserand,optionally,toprovidecommentsorfeedbackabouttheUser.CustomershallinstructallDriverstoprovideratingsandfeedbackingoodfaith.

2.6.2. CustomeracknowledgesthatUberdesiresthatUsershaveaccesstohigh-qualityservicesviaUber’smobileapplication.InordertocontinuetoreceiveaccesstotheDriverAppandtheUberServices,eachDrivermustmaintainanaverageratingbyUsersthatexceedstheminimumaverageacceptableratingestablishedbyUberfortheTerritory,asmaybeupdatedfromtimetotimebyUberinitssolediscretion(“MinimumAverageRating”).ADriver’saverageratingisintendedtoreflectUsers’satisfactionwiththeDriver’sTransportationServicesratherthananysuchDriver’scompliancewithanyofUber’spoliciesorrecommendations.IntheeventaDriver’saverageratingfallsbelowtheMinimumAverageRating,UberwillnotifyCustomerandmayprovidetheDriverinUber’sdiscretion,alimitedperiodoftimetoraisehisorheraverageratingabovetheMinimumAverageRating.IfsuchDriverdoesnotincreasehisorheraverageratingabovetheMinimumAverageRatingwithinthetimeperiodallowed(ifany),UberreservestherighttodeactivatesuchDriver’saccesstotheDriverAppandtheUberServices.Additionally,CustomeracknowledgesandagreesthatrepeatedfailurebyaDrivertoacceptUserrequestsforTransportationServiceswhilesuchDriverisloggedintotheDriverAppcreatesanegativeexperienceforUsersofUber’smobileapplication.Accordingly,CustomeragreesandshallensurethatifaDriverdoesnotwishtoacceptUserrequestsforTransportationServicesforaperiodoftime,suchDriverwilllogoffoftheDriverApp.

2.6.3. UberanditsAffiliatesreservetherighttouse,shareanddisplayDriverandUserratingsandcommentsinanymannerinconnectionwiththebusinessofUberanditsAffiliateswithoutattributiontoorapprovalofCustomerortheapplicableDriver.CustomeracknowledgesthatUberanditsAffiliatesaredistributors(withoutanyobligationtoverify)andnotpublishersofDriverandUserratingsandcomments,providedthatUberanditsAffiliatesreservetherighttoeditorremovecommentsintheeventthatsuchcommentsincludeobscenitiesorotherobjectionablecontent,includeanindividual’snameorotherpersonalinformation,orviolateanyprivacylaws,otherapplicablelawsorUber’soritsAffiliates’contentpolicies.

2.7. Devices.

2.7.1. UberencouragesCustomertouseDriver-ProvidedDevicesinprovidingTransportationServices.Otherwise,ifCustomerelectstouseanyUberDevices,UberwillsupplyUberDevicesuponrequesttoeachauthorizedDriverandprovidethenecessarywirelessdataplanforsuchDevices,providedthatUberwillrequirereimbursementfromCustomerforthecostsassociatedwiththewirelessdataplanofeachUberDeviceand/orrequestadepositforeachUberDevice.Customeracknowledgesandagreesthat:(a)UberDevicesmayonlybeusedforthepurposeofenablingDriveraccesstotheUberServices;and(b)UberDevicesmaynotbetransferred,loaned,soldorotherwiseprovidedinanymannertoanypartyotherthantheDriverassignedtousesuchUberDevice.UberDevicesshallatalltimesremainthepropertyofUber,anduponterminationofthisAgreementortheterminationordeactivationofaDriver,CustomeragreestoreturntoUbertheapplicableUberDeviceswithinten(10)days.CustomeracknowledgesandagreesthatfailuretotimelyreturnanyUberDevices,ordamagetoUberDevicesoutsideof“normalwearandtear,”willresultintheforfeitureofrelateddeposits.

2.7.2. IfCustomerelectstouseanyDriver-ProvidedDevices:(i)Customerand/oritsDriversareresponsiblefortheacquisition,costandmaintenanceofsuchDriver-ProvidedDevicesaswellasanynecessarywirelessdataplan;and(ii)UbershallmakeavailabletheDriverAppforinstallationonsuchDriver-ProvidedDevices.UberherebygrantstheauthorizeduserofanyDriver-ProvidedDeviceapersonal,non-exclusive,non-transferablelicensetoinstallandusetheDriverApponaDriver-ProvidedDevicesolelyforthepurposeofprovidingTransportationServices.Customeragreestonot,andshallcauseeachapplicableDrivertonot,provide,distributeorshare,orenabletheprovision,distributionorsharingof,theDriverApp(oranydataassociatedtherewith)withanythirdparty.TheforegoinglicensegrantshallimmediatelyterminateandDriverwilldeleteandfullyremovetheDriverAppfromtheDriver-ProvidedDeviceintheeventthatCustomerand/ortheapplicableDriverceasestoprovideTransportationServicesusingtheDriver-ProvidedDevice.Customeragrees,andshallinformeachapplicableDriverthat:(i)useoftheDriverApponaDriver-ProvidedDevicerequiresanactivedataplanwithawirelesscarrierassociatedwiththeDriver-ProvidedDevice,whichdataplanwillbeprovidedbyeitherCustomerortheapplicableDriverattheirownexpense;and(ii)useoftheDriverApponaDriver-ProvidedDeviceasaninterfacewiththeUberServicesmayconsumeverylargeamountsofdatathroughthedataplan.UBERADVISESTHATDRIVER-PROVIDEDDEVICESONLYBEUSEDUNDERADATAPLANWITHUNLIMITEDORVERYHIGHDATAUSAGELIMITS,ANDUBERSHALLNOTBERESPONSIBLE

ORLIABLEFORANYFEES,COSTS,OROVERAGECHARGESASSOCIATEDWITHANYDATAPLAN.

2.8. LocationBasedServices.CustomeracknowledgesandagreesthateachDriver’sgeo-locationinformationmustbeprovidedtotheUberServicesviaaDeviceinordertoprovideTransportationServices.Customeracknowledgesandagrees,andshallinformandobtaintheconsentofeachDriver,that:(a)theDriver’sgeo-locationinformationmaybeobtainedbytheUberServiceswhiletheDriverAppisrunning;and(b)theapproximatelocationoftheDriver’sVehiclewillbedisplayedtotheUserbeforeandduringtheprovisionofTransportationServicestosuchUser.Inaddition,CompanyanditsAffiliatesmaymonitor,trackandsharewiththirdpartiesDriver’sgeo-locationinformationobtainedbytheDriverAppandDeviceforsafetyandsecuritypurposes.

3. DriversandVehicles

3.1. DriverRequirements.CustomeracknowledgesandagreesthateachDrivershallatalltimes:(a)holdandmaintain(i)avaliddriver'slicensewiththeappropriatelevelofcertificationtooperatetheVehicleassignedtosuchDriver,and(ii)alllicenses,permits,approvalsandauthorityapplicabletoCustomerand/orDriverthatarenecessarytoprovidepassengertransportationservicestothirdpartiesintheTerritory;(b)possesstheappropriateandcurrentleveloftraining,expertiseandexperiencetoprovideTransportationServicesinaprofessionalmannerwithdueskill,careanddiligence;and(c)maintainhighstandardsofprofessionalism,serviceandcourtesy.CustomeracknowledgesandagreesthateachDrivermaybesubjecttocertainbackgroundanddrivingrecordchecksfromtimetotimeinorderforsuchDrivertoqualifytoprovide,andremaineligibletoprovide,TransportationServices.InadditionifCustomerand/orDriverareusingtheUberApptoprovideTransportationServicesinconjunctionwithoperatingataxi(“TaxiServices”),suchCustomerand/orDrivershallcomplywithallapplicablelawswithrespectthereto.CustomeracknowledgesandagreesthatUberreservestheright,atanytimeinUber'ssolediscretion,todeactivateorotherwiserestrictaDriverfromaccessingorusingtheDriverApportheUberServicesifCustomerorsuchDriverfailstomeettherequirementssetforthinthisAgreementortheDriverAddendum.

3.2. VehicleRequirements.CustomeracknowledgesandagreesthateachVehicleshallatalltimesbe:(a)properlyregisteredandlicensedtooperateasapassengertransportationvehicleintheTerritory;(b)ownedorleasedbyCustomer,orotherwiseinCustomer’slawfulpossession;(c)suitableforperformingthepassengertransportationservicescontemplatedbythisAgreement;and(d)maintainedingoodoperatingcondition,consistentwithindustrysafetyandmaintenancestandardsforaVehicleofitskindandanyadditionalstandardsorrequirementsintheapplicableTerritory,andinacleanandsanitarycondition.

3.3. Documentation.ToensureCustomer’sandeachofitsDrivers’compliancewithallrequirementsinSections3.1and3.2above,CustomermustprovideUberwithwrittencopiesofallsuchlicenses,permits,approvals,authority,registrationsandcertificationspriortoCustomer’sandtheapplicableDrivers’provisionofanyTransportationServices.Thereafter,CustomermustsubmittoUberwrittenevidenceofallsuchlicenses,permits,approvals,authority,registrationsandcertificationsastheyarerenewed.Ubershall,uponrequest,beentitledtoreviewsuchlicenses,permits,approvals,authority,registrationsandcertificationsfromtimetotime,andCustomer’sfailuretoprovideormaintainanyoftheforegoingshallconstituteamaterialbreachofthisAgreement.UberreservestherighttoindependentlyverifyCustomer’sandanyDriver’sdocumentationfromtimetotimeinanywayUberdeemsappropriateinitsreasonablediscretion.

4. FinancialTerms

4.1. FareCalculationandCustomerPayment.CustomerisentitledtochargeafareforeachinstanceofcompletedTransportationServicesprovidedtoaUserthatareobtainedviatheUberServices(“Fare”),wheresuchFareiscalculatedbaseduponabasefareamountplusdistance(asdeterminedbyUberusinglocation-basedservicesenabledthroughtheDevice)and/ortimeamounts,asdetailedatwww.uber.com/citiesfortheapplicableTerritory(“FareCalculation”).CustomeracknowledgesandagreesthattheFareprovidedundertheFareCalculationistheonlypaymentCustomerwillreceiveinconnectionwiththeprovisionofTransportationServices,andthatneithertheFarenortheFareCalculationincludesanygratuity.CustomerisalsoentitledtochargeUserforanyTolls,taxesorfeesincurredduringtheprovisionofTransportationServices,and,ifapplicable.Customer:(i)appointsUberasCustomer’slimitedpaymentcollectionagentsolelyforthepurposeofacceptingtheFare,applicableTollsand,dependingontheregionand/orifrequestedbyCustomer,applicabletaxesandfeesfromtheUseronbehalfoftheCustomerviathepaymentprocessingfunctionalityfacilitatedbytheUberServices;and(ii)agreesthatpaymentmadebyUsertoUber(ortoanAffiliateofUberactingasanagentofUber)shallbeconsideredthesameaspaymentmadedirectlybyUsertoCustomer.Inaddition,thepartiesacknowledgeandagreethatasbetweenCustomerandUber,theFareisarecommendedamount,andtheprimarypurposeofthepre-arrangedFareistoactasthedefaultamountintheeventCustomerdoesnotnegotiateadifferentamount.Customershallalwayshavetherightto:(i)chargeafarethatislessthanthepre-arrangedFare;or(ii)negotiate,atCustomer’srequest,aFarethatislowerthanthepre-arrangedFare(eachof(i)and(ii)herein,a“NegotiatedFare”).UbershallconsiderallsuchrequestsfromCustomeringoodfaith.Uberagreestoremit,orcausetoberemitted,toCustomeronatleastaweeklybasis:(a)theFarelesstheapplicableServiceFee;(b)theTolls;and(c)dependingontheregion,certaintaxesandancillaryfees.IfCustomerhasseparatelyagreedthatotheramountsmaybedeductedfromtheFarepriortoremittancetoCustomer(e.g.,vehiclefinancingpayments,leasepayments,mobiledeviceusagecharges,etc.),theorderofanysuchdeductionsfromtheFareshallbedeterminedexclusivelybyUber(asbetweenCustomerandUber).NotwithstandinganythingtothecontraryinthisSection4.1,ifCustomerisprovidingTaxiServices,thefollowingshallapply:(x)theFareiscalculatedpursuanttolocaltaxiregulationsintheTerritory;(y)CustomerorDriveragreestoentertheexactFareamount(asindicatedbytheofficialtaximeterintheVehicle)intotheDriverAppuponcompletionofaninstanceofTransportationServices;and(z)insomejurisdictions,UserswillpaysuchCustomerorDriverdirectlyratherthanthroughUber'smobileapplication(UberwillnotifyCustomerif(z)isapplicableinitsTerritory).

4.2. ChangestoFareCalculation.UberreservestherighttochangetheFareCalculationatanytimeinUber’sdiscretionbaseduponlocalmarketfactors,andUberwillprovidenoticetoCustomerintheeventofchangestothebasefare,permile,and/orperminuteamountsthatwouldresultinachangeintherecommendedFareforeachinstanceofcompletedTransportationServices.ContinueduseoftheUberServicesafteranysuchchangeintheFareCalculationshallconstituteCustomer’sconsenttosuchchange.

4.3. FareAdjustment.Uberreservestherightto:(i)adjusttheFareforaparticularinstanceofTransportationServices(e.g.,Drivertookaninefficientroute,DriverfailedtoproperlyendaparticularinstanceofTransportationServicesintheDriverApp,technicalerrorintheUberServices,etc.);or(ii)canceltheFareforaparticularinstanceofTransportationServices(e.g.,aUserischargedforTransportationServicesthatwerenotprovided,intheeventofaUser

complaint,fraud,etc.).Uber’sdecisiontoreduceorcanceltheFareinanysuchmannershallbeexercisedinareasonablemanner.

4.4. ServiceFee.InconsiderationofUber’sprovisionoftheDriverAppandtheUberServicesfortheuseandbenefitofCustomeranditsDrivershereunder,CustomeragreestopayUberaservicefeeonaperTransportationServicestransactionbasiscalculatedasapercentageoftheFaredeterminedbytheFareCalculation(regardlessofanyNegotiatedFare),asprovidedtoCustomerand/oraDriverviaemailorotherwisemadeavailableelectronicallybyUberfromtimetotimefortheapplicableTerritory(“ServiceFee”).IntheeventregulationsapplicabletoCustomer’sTerritoryrequiretaxestobecalculatedontheFare,UbershallcalculatetheServiceFeebasedontheFarenetofsuchtaxes.UberreservestherighttochangetheServiceFeeatanytimeinUber’sdiscretionbaseduponlocalmarketfactors,andUberwillprovidenoticetoCustomerintheeventofsuchchange.ContinueduseoftheUberServicesafteranysuchchangeintheServiceFeecalculationshallconstituteCustomer’sconsenttosuchchange.Inaddition,withrespecttoTaxiServicesintheapplicableTerritory,CustomeragreestopayUberabookingfeeinconsiderationofUber’sprovisionoftheDriverAppandtheUberServices.

4.5. CancellationCharges.CustomeracknowledgesandagreesthatUsersmayelecttocancelrequestsforTransportationServicesthathavebeenacceptedbyaDriverviatheDriverAppatanytimepriortotheDriver’sarrival.IntheeventthataUsercancelsanacceptedrequestforTransportationServices,UbermaychargetheUseracancellationfeeonbehalfoftheCustomer.Ifcharged,thiscancellationfeeshallbedeemedtheFareforthecancelledTransportationServicesforthepurposeofremittancetoCustomerhereunder(“CancellationFee”).ThepartiesacknowledgeandagreethatasbetweenCustomerandUber,thisCancellationFeeisarecommendedamount,andtheprimarypurposeofsuchCancellationFeeistoactasadefaultamountintheeventCustomerdoesnotnegotiateadifferentamount.Customershallalwayshavetherightto:(i)chargeacancellationfeethatislessthantheCancellationFee;or(ii)negotiate,atyourrequest,acancellationfeethatislowerthantheCancellationFee(eachof(i)and(ii)herein,a“NegotiatedCancellationFee”).Ifcharged,theCancellationFee(regardlessofanyNegotiatedCancellationFee)shallbedeemedtheFareforthecancelledTransportationServicesforthepurposeofremittancetoCustomerhereunder.

4.6. Receipts.AspartoftheUberServices,UberprovidesCustomerasystemforthedeliveryofreceiptstoUsersforTransportationServicesrendered.UponthecompletionofTransportationServicesforaUserbyaDriver,UberpreparesanapplicablereceiptandissuessuchreceipttotheUserviaemailonbehalfoftheCustomerandapplicableDriver.SuchreceiptsarealsoprovidedviaemailortheonlineportalavailabletoCustomerthroughtheUberServices.ReceiptsincludethebreakdownofamountschargedtotheUserforTransportationServicesandmayincludespecificinformationabouttheCustomerandapplicableDriver,includingtheCustomer’sentitynameandcontactinformationandtheDriver’snameandphoto,aswellasamapoftheroutetakenbytheDriver.CustomershallinformDriversthatanycorrectionstoaUser’sreceiptforTransportationServicesmustbesubmittedtoUberinwritingwithinthree(3)businessdaysafterthecompletionofsuchTransportationServices.Absentsuchanotice,UbershallnotbeliableforanymistakesinorcorrectionstothereceiptorforrecalculationordisbursementoftheFare.

4.7. NoAdditionalAmounts.Customeracknowledgesandagreesthat,forthemutualbenefitoftheparties,throughadvertisingandmarketing,UberanditsAffiliatesmayseektoattractnewUserstoUberandtoincreaseexistingUsers’useofUber’smobileapplication.Customer

acknowledgesandagreessuchadvertisingormarketingdoesnotentitleCustomertoanyadditionalmonetaryamountsbeyondtheamountsexpresslysetforthinthisAgreement.

4.8. Taxes.Customeracknowledgesandagreesthatitisrequiredto:(a)completealltaxregistrationobligationsandcalculateandremitalltaxliabilitiesrelatedtoitsanditsDrivers’provisionofTransportationServicesasrequiredbyapplicablelaw;and(b)provideUberwithallrelevanttaxinformation.Customerfurtheracknowledgesandagreesthatitisresponsiblefortaxesonitsownincome(andthatofitsDrivers)arisingfromtheperformanceofTransportationServices.NotwithstandinganythingtothecontraryinthisAgreement,Ubermayinitsreasonablediscretionbasedonapplicabletaxandregulatoryconsiderations,collectandremittaxesresultingfromitsoritsDrivers’provisionofTransportationServicesand/orprovideanyoftherelevanttaxinformationprovidedbyCustomeroranyDriverpursuanttotheforegoingrequirementsinthisSection4.8directlytotheapplicablegovernmentaltaxauthoritiesonyourbehalforotherwise.

5. ProprietaryRights;License

5.1. LicenseGrant.SubjecttothetermsandconditionsofthisAgreement,UberherebygrantsCustomeranon-exclusive,non-transferable,non-sublicensable,non-assignablelicense,duringthetermofthisAgreement,touse(andallowsitsDriverstouse)theUberServices(includingtheDriverApponaDevice)solelyforthepurposeofprovidingTransportationServicestoUsersandtrackingresultingFaresandFees.AllrightsnotexpresslygrantedtoCustomerarereservedbyUber,itsAffiliatesandtheirrespectivelicensors.

5.2. Restrictions.Customershallnot,andshallnotallowanyotherpartyto:(a)license,sublicense,sell,resell,transfer,assign,distributeorotherwiseprovideormakeavailabletoanyotherpartytheUberServices,DriverApporanyUberDeviceinanyway;(b)modifyormakederivativeworksbasedupontheUberServicesorDriverApp;(c)improperlyusetheUberServicesorDriverApp,includingcreatingInternet“links”toanypartoftheUberServicesorDriverApp,“framing”or“mirroring”anypartoftheUberServicesorDriverApponanyotherwebsitesorsystems,or“scraping”orotherwiseimproperlyobtainingdatafromtheUberServicesorDriverApp;(d)reverseengineer,decompile,modify,ordisassembletheUberServicesorDriverApp,exceptasallowedunderapplicablelaw;or(e) sendspamorotherwiseduplicativeorunsolicitedmessages.Inaddition,Customershallnot,andshallnotallowanyotherpartyto,accessorusetheUberServicesorDriverAppto:(i)designordevelopacompetitiveorsubstantiallysimilarproductorservice;(ii)copyorextractanyfeatures,functionality,orcontentthereof;(iii)launchorcausetobelaunchedonorinconnectionwiththeUberServicesanautomatedprogramorscript,includingwebspiders,crawlers,robots,indexers,bots,virusesorworms,oranyprogramwhichmaymakemultipleserverrequestspersecond,orundulyburdenorhindertheoperationand/orperformanceoftheUberServices;or(iv)attempttogainunauthorizedaccesstotheUberServicesoritsrelatedsystemsornetworks.

5.3. Ownership.TheUberServices,DriverAppandUberData,includingallintellectualpropertyrightstherein,andtheUberDevicesareandshallremainthepropertyofUber,itsAffiliatesortheirrespectivelicensors.NeitherthisAgreementnorCustomer’suseoftheUberServices,DriverApporUberDataconveysorgrantstoCustomeranyrightsinorrelatedtotheUberServices,DriverApporUberData,exceptforthelimitedlicensegrantedabove.CustomerisnotpermittedtouseorreferenceinanymannerUber’s,itsAffiliates’,ortheirrespectivelicensors’companynames,logos,productandservicenames,trademarks,servicemarksorotherindiciaofownership,aloneorincombinationwithotherletters,punctuation,words,symbolsand/ordesigns(the“UBERMarksandNames”).Customerwillnottrytoregisterorotherwiseclaim

ownershipinanyoftheUBERMarksandNames,aloneorincombinationwithotherletters,punctuation,words,symbolsand/ordesignsorinanyconfusinglysimilarmarkorname.

6. Confidentiality

6.1. EachpartyacknowledgesandagreesthatintheperformanceofthisAgreementitmayhaveaccesstoormaybeexposedto,directlyorindirectly,confidentialinformationoftheotherparty("ConfidentialInformation").ConfidentialInformationincludesUberData,DriverIDs,UserInformation,andthetransactionvolume,marketingandbusinessplans,business,financial,technical,operationalandsuchothernon-publicinformationofeachparty(whetherdisclosedinwritingorverbally)thatsuchpartydesignatesasbeingproprietaryorconfidentialorofwhichtheotherpartyshouldreasonablyknowthatitshouldbetreatedasconfidential.

6.2. Eachpartyacknowledgesandagreesthat:(a)allConfidentialInformationshallremaintheexclusivepropertyofthedisclosingparty;(b)itshallnotuseConfidentialInformationoftheotherpartyforanypurposeexceptinfurtheranceofthisAgreement;(c)itshallnotdiscloseConfidentialInformationoftheotherpartytoanythirdparty,excepttoitsemployees,officers,contractors,agentsandserviceproviders("PermittedPersons")asnecessarytoperformunderthisAgreement,providedPermittedPersonsareboundinwritingtoobligationsofconfidentialityandnon-useofConfidentialInformationnolessprotectivethanthetermshereof;and(d)itshallreturnordestroyallConfidentialInformationofthedisclosingparty,upontheterminationofthisAgreementorattherequestoftheotherparty(subjecttoapplicablelawand,withrespecttoUber,itsinternalrecord-keepingrequirements).

6.3. Notwithstandingtheforegoing,ConfidentialInformationshallnotincludeanyinformationtotheextentit:(a)isorbecomespartofthepublicdomainthroughnoactoromissiononthepartofthereceivingparty;(b)waspossessedbythereceivingpartypriortothedateofthisAgreementwithoutanobligationofconfidentiality;(c)isdisclosedtothereceivingpartybyathirdpartyhavingnoobligationofconfidentialitywithrespectthereto;or(d)isrequiredtobedisclosedpursuanttolaw,courtorder,subpoenaorgovernmentalauthority,providedthereceivingpartynotifiesthedisclosingpartythereofandprovidesthedisclosingpartyareasonableopportunitytocontestorlimitsuchrequireddisclosure.

7. Privacy

7.1. DisclosureofCustomerorDriverInformation.Subjecttoapplicablelawandregulation,Ubermay,butshallnotberequiredto,providetoCustomer,aDriver,aUser,aninsurancecompanyand/orrelevantauthoritiesand/orregulatoryagenciesanyinformation(includingpersonalinformation(e.g.,informationobtainedaboutaDriverthroughanybackgroundcheck)andanyUberData)aboutCustomer,aDriver,oranyTransportationServicesprovidedhereunderif:(a)thereisacomplaint,disputeorconflict,includinganaccident,betweenCustomeroraDriverontheonehandandaUserontheotherhand;(b)itisnecessarytoenforcethetermsofthisAgreement;(c)itisrequired,inUber’soranyAffiliate’ssolediscretion,byapplicablelaworregulatoryrequirements(e.g.,UberoritsAffiliatereceivesasubpoena,warrant,orotherlegalprocessforinformation);(d)itisnecessary,inUber’soranyAffiliate’ssolediscretion,to(1)protectthesafety,rights,propertyorsecurityofUberoritsAffiliates,theUberServicesoranythirdparty;(2)protectthesafetyofthepublicforanyreasonincludingthefacilitationofinsuranceclaimsrelatedtotheUberServices;(3)detect,preventorotherwiseaddressfraud,securityortechnicalissues;and/or(4)preventorstopactivityUberoritsAffiliates,intheirsolediscretion,mayconsidertobe,ortoposeariskofbeing,anillegal,unethical,orlegallyactionableactivity);or(e)itisrequiredornecessary,inUber’soranyofitsAffiliate’ssole

discretion,forinsuranceorotherpurposesrelatedtoCustomer’soranyDriver’sabilitytoqualify,orremainqualified,tousetheUberServices.CustomerunderstandsthatUbermayretainanditsDrivers’personaldataforlegal,regulatory,safetyandothernecessarypurposesafterthisAgreementisterminated.

7.2. UberanditsAffiliatesmaycollectpersonaldatafromCustomeroraDriverduringthecourseofCustomer’sorsuchDriver’sapplicationfor,anduseof,theUberServices,orobtaininformationaboutCustomeroranyDriversfromthirdparties.Suchinformationmaybestored,processed,transferred,andaccessedbyUberanditsAffiliates,thirdpartiesandserviceproviders,forbusinesspurposes,includingformarketing,leadgeneration,servicedevelopmentandimprovement,analytics,industryandmarketresearch,andsuchotherpurposesconsistentwithUber’sanditsAffiliates’legitimatebusinessneeds.Customer(orDriver,throughtheDriverAddendum)expresslyconsentstosuchuseofpersonaldata.

8. Insurance

8.1. CustomeragreestomaintainduringthetermofthisAgreementonallVehiclesoperatedbyCustomeroritsDriverscommercialautomobileliabilityinsurancethatprovidesprotectionagainstbodilyinjuryandpropertydamagetothirdpartiesatlevelsofcoveragethatsatisfyallapplicablelawsintheTerritory.Thiscoveragemustalsoincludeanyno-faultcoveragerequiredbylawintheTerritorythatmaynotbewaivedbyaninsured.CustomeragreestoprovideUberanditsAffiliatesacopyoftheinsurancepolicy,policydeclarations,proofofinsuranceidentificationcardandproofofpremiumpaymentfortheinsurancepolicyrequiredinthisSection8.1uponrequest.Furthermore,CustomermustprovideUberwithwrittennoticeofcancellationofanyinsurancepolicyrequiredbyUber.UbershallhavenorighttocontrolCustomer’sselectionormaintenanceofCustomer’spolicy.

8.2. CustomeragreestomaintainduringthetermofthisAgreementcommercialgeneralliabilityinsurancethatprovidesprotectionagainstpersonalinjury,advertisinginjuryandpropertydamagetothirdpartiesatlevelsofcoveragerequiredbyallapplicablelawsintheTerritory.

8.3. CustomeragreestomaintainduringthetermofthisAgreementworkers’compensationinsuranceforitselfandanyofitssubcontractorsasrequiredbyallapplicablelawsintheTerritory.Ifpermittedbyapplicablelaw,Customermaychoosetoinsureitselfagainstindustrialinjuriesbymaintainingoccupationalaccidentinsuranceinplaceofworkers’compensationinsurance.Customer’ssubcontractorsmayalso,totheextentpermittedbyapplicablelaw,maintainoccupationalaccidentinsuranceinplaceofworkers’compensationinsurance.Furthermore,ifpermittedbyapplicablelaw,Customermaychoosenottoinsureitselfagainstindustrialinjuriesatall,butdoessoatitsownrisk.

8.4. CustomershalladdUber(oranyAffiliatewhichmaybedesignatedbyUberfromtimetotime)toCustomer’sinsurancepoliciesrequiredinSections8.1and8.2aboveasanadditionalinsured,andshall,uponUber’srequest,provideUberwithacopyofsuchinsurancecertificate(s)withinseven(7)daysofsuchrequest.

9. RepresentationsandWarranties;Disclaimers

9.1. ByCustomer.Customerherebyrepresentsandwarrantsthat:(a)ithasfullpowerandauthoritytoenterintothisAgreementandperformitsobligationshereunder;(b)itisdulyorganized,validlyexistingandingoodstandingunderthelawsofthejurisdictionofitsorigin;(c)ithasnotenteredinto,andduringthetermwillnotenterinto,anyagreementthatwouldpreventitfromcomplyingwiththisAgreement;(d)itwillcomplywithallapplicablelawsinitsperformanceof

thisAgreement,includingholdingandcomplyingwithallpermits,licenses,registrationsandothergovernmentalauthorizationsnecessarytoprovide(i)TransportationServicesusingtheDriversandVehiclespursuanttothisAgreement,and(ii)passengertransportationservicestothirdpartiesintheTerritorygenerally;and(e) itshallrequireallDriversto complywiththeDriverAddendum,theapplicabletermsandconditionssetforthinthisAgreementandallapplicablelaws.

9.2. DisclaimerofWarranties.UBERPROVIDES,ANDCUSTOMERACCEPTS,THEUBERSERVICES,DRIVERAPPANDTHEUBERDEVICESONAN"ASIS"AND"ASAVAILABLE"BASIS.UBERDOESNOTREPRESENT,WARRANTORGUARANTEETHATCUSTOMER’SORANYDRIVER’SACCESSTOORUSEOFTHEUBERSERVICES,DRIVERAPPORTHEUBERDEVICES:(A)WILLBEUNINTERRUPTEDORERRORFREE;OR(B)WILLRESULTINANYREQUESTSFORTRANSPORTATIONSERVICES.UBERFUNCTIONSASANON-DEMANDLEADGENERATIONANDRELATEDSERVICEONLYANDMAKESNOREPRESENTATIONS,WARRANTIESORGUARANTEESASTOTHEACTIONSORINACTIONSOFTHEUSERSWHOMAYREQUESTORRECEIVETRANSPORTATIONSERVICESFROMCUSTOMERORANYDRIVERHEREUNDER,ANDUBERDOESNOTSCREENOROTHERWISEEVALUATEUSERS. BY USINGTHEUBERSERVICESANDDRIVERAPP,CUSTOMERACKNOWLEDGESANDAGREESTHATCUSTOMERORADRIVERMAYBEINTRODUCEDTOATHIRDPARTYTHATMAYPOSEHARMORRISKTOCUSTOMER,ADRIVEROROTHERTHIRDPARTIES.CUSTOMERANDDRIVERSAREADVISEDTOTAKEREASONABLEPRECAUTIONSWITHRESPECTTOINTERACTIONSWITHTHIRDPARTIESENCOUNTEREDINCONNECTIONWITHTHEUSEOFTHEUBERSERVICESORDRIVERAPP.NOTWITHSTANDINGUBER’SAPPOINTMENTASTHELIMITEDPAYMENTCOLLECTIONAGENTOFCUSTOMERFORTHEPURPOSEOFACCEPTINGPAYMENTFROMUSERSONBEHALFOFCUSTOMERASSETFORTHINSECTION4ABOVE,UBEREXPRESSLYDISCLAIMSALLLIABILITYFORANYACTOROMISSIONOFCUSTOMER,ANYUSEROROTHERTHIRDPARTY.

9.3. NoServiceGuarantee.UBERDOESNOTGUARANTEETHEAVAILABILITYORUPTIMEOFTHEUBERSERVICESORDRIVERAPP.CUSTOMERACKNOWLEDGESANDAGREESTHATTHEUBERSERVICESORDRIVERAPPMAYBEUNAVAILABLEATANYTIMEANDFORANYREASON(e.g.,DUETOSCHEDULEDMAINTENANCEORNETWORKFAILURE).FURTHER,THEUBERSERVICESORDRIVERAPPMAYBESUBJECTTOLIMITATIONS,DELAYS,ANDOTHERPROBLEMSINHERENTINTHEUSEOFTHEINTERNETANDELECTRONICCOMMUNICATIONS,ANDUBERISNOTRESPONSIBLEFORANYDELAYS,DELIVERYFAILURES,OROTHERDAMAGES,LIABILITIESORLOSSESRESULTINGFROMSUCHPROBLEMS.

10. Indemnification

10.1. Customershallindemnify,defend(atUber’soption)andholdharmlessUberanditsAffiliatesandtheirrespectiveofficers,directors,employees,agents,successorsandassignsfromandagainstanyandallliabilities,expenses(includinglegalfees),damages,penalties,fines,socialsecuritycontributionsandtaxesarisingoutoforrelatedto:(a)Customer’sbreachofitsrepresentations,warrantiesorobligationsunderthisAgreement;or(b)aclaimbyathirdparty(includingUsers,regulatorsandgovernmentalauthorities)directlyorindirectlyrelatedtoCustomer’sprovisionofTransportationServicesoruseoftheUberServices.ThisindemnificationprovisionshallnotapplytoCustomer’soranyDrivers'breachofanyrepresentationsregardingtheirstatusasindependentcontractors.

10.2. AsbetweenCustomerandUber,CustomerisandshallbesolelyresponsibleforitsDrivers’provisionofTransportationServices.Assuch,Customershallindemnify,defend(atUber’soption)andholdharmlessUberanditsAffiliatesandtheirrespectiveofficers,directors,employees,agents,successorsandassignsfromandagainstanyandallliabilities,expenses

(includinglegalfees),damages,penalties,fines,socialcontributionsandtaxesdirectlyorindirectlyarisingoutoforrelatedtoitsDrivers’provisionofTransportationServicesoruseoftheUberServices.

11. LimitsofLiability.UBERANDITSAFFILIATESSHALLNOTBELIABLEUNDERORRELATEDTOTHISAGREEMENTFORANYOFTHEFOLLOWING,WHETHERBASEDONCONTRACT,TORTORANYOTHERLEGALTHEORY,EVENIFAPARTYHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES:(i)ANYINCIDENTAL,PUNITIVE,SPECIAL,EXEMPLARY,CONSEQUENTIAL,OROTHERINDIRECTDAMAGESOFANYTYPEORKIND;OR(ii)CUSTOMER’SORANYTHIRDPARTY’SPROPERTYDAMAGE,ORLOSSORINACCURACYOFDATA,ORLOSSOFBUSINESS,REVENUE,PROFITS,USEOROTHERECONOMICADVANTAGE.EXCEPTFORUBER’SOBLIGATIONSTOPAYAMOUNTSDUETOCUSTOMERPURSUANTTOSECTION4ABOVE,BUTSUBJECTTOANYLIMITATIONSOROTHERPROVISIONSCONTAINEDINTHISAGREEMENTWHICHAREAPPLICABLETHERETO,INNOEVENTSHALLTHELIABILITYOFUBERORITSAFFILIATESUNDERTHISAGREEMENTEXCEEDTHEAMOUNTOFSERVICEFEESACTUALLYPAIDTOORDUETOUBERHEREUNDERINTHESIX(6)MONTHPERIODIMMEDIATELYPRECEDINGTHEEVENTGIVINGRISETOSUCHCLAIM.

12. TermandTermination

12.1. Term.ThisAgreementshallcommenceonthedateacceptedbyCustomerandshallcontinueuntilterminatedassetforthherein.

12.2. Termination.EitherpartymayterminatethisAgreement:(a)withoutcauseatanytimeuponseven(7)dayspriorwrittennoticetotheotherparty;(b)immediately,withoutnotice,fortheotherparty’smaterialbreachofthisAgreement;or(c)immediately,withoutnotice,intheeventoftheinsolvencyorbankruptcyoftheotherparty,orupontheotherparty’sfilingorsubmissionofrequestforsuspensionofpayment(orsimilaractionorevent)againsttheterminatingparty.Inaddition,UbermayterminatethisAgreementordeactivateCustomeroraparticularDriverimmediately,withoutnotice,withrespecttoCustomerand/oranyDriverintheeventCustomerand/oranyDriver,asapplicable,nolongerqualifies,underapplicablelaworthestandardsandpoliciesofUber,toprovideTransportationServicesortooperatetheVehicle,orasotherwisesetforthinthisAgreement.

12.3. EffectofTermination.UponterminationoftheAgreement,CustomerandallDrivers,asapplicable,shall:(a)promptlyreturntoUberallUberDevices;and(b)immediatelydeleteandfullyremovetheDriverAppfromanyapplicableDriver-ProvidedDevices.OutstandingpaymentobligationsandSections1,2.3,2.5,2.6.3,4.7,4.8,5.3,6,7,9,10,11,12.3,13,14and15shallsurvivetheterminationofthisAgreement.

13. RelationshipoftheParties

13.1. ExceptasotherwiseexpresslyprovidedhereinwithrespecttoUberactingasthelimitedpaymentcollectionagentsolelyforthepurposeofcollectingpaymentfromUsersonbehalfofCustomer,therelationshipbetweenthepartiesunderthisAgreementissolelythatofindependentcontractingparties.Thepartiesexpresslyagreethat:(a)thisAgreementisnotanemploymentagreement,nordoesitcreateanemploymentrelationship,betweenUberandCustomerorUberandanyDriver;and(b)nojointventure,partnership,oragencyrelationshipexistsbetweenUberandCustomerorUberandanyDriver.

13.2. CustomerhasnoauthoritytobindUberandundertakesnottoholditselfout,andtoensurethateachDriverdoesnotholdhimselforherselfout,asanemployee,agentorauthorized

representativeofUberoritsAffiliates.Where,byimplicationofmandatorylaworotherwise,CustomeroranyDrivermaybedeemedanagentorrepresentativeofUber,Customerundertakesandagreestoindemnify,defend(atUber’soption)andholdUberanditsAffiliatesharmlessfromandagainstanyclaimsbyanypersonorentitybasedonsuchimpliedagencyorrepresentativerelationship.

14. MiscellaneousTerms

14.1. Modification.IntheeventUbermodifiesthetermsandconditionsofthisAgreementorDriverAddendumatanytime,suchmodificationsshallbebindingonCustomeronlyuponCustomer’sacceptanceofthemodifiedAgreementand/orDriverAddendum.UberreservestherighttomodifyanyinformationreferencedathyperlinksfromthisAgreementfromtimetotime.Customerherebyacknowledgesandagreesthat,byusingtheUberServices,ordownloading,installingorusingtheDriverApp,Customerisboundbyanyfutureamendmentsandadditionstoinformationreferencedathyperlinksherein,ordocumentsincorporatedherein,includingwithrespecttoFareCalculations.ContinueduseoftheUberServicesorDriverAppafteranysuchchangesshallconstituteCustomer’sconsenttosuchchanges.Unlesschangesaremadetothearbitrationprovisionsherein,CustomeragreesthatmodificationofthisAgreementdoesnotcreatearenewedopportunitytooptoutofarbitration.

14.2. SupplementalTerms.SupplementaltermsmayapplytoCustomer’sandDriver’suseoftheUberServices,suchasusepoliciesortermsrelatedtocertainfeaturesandfunctionality,whichmaybemodifiedfromtimetotime(“SupplementalTerms”).CustomermaybepresentedwithcertainSupplementalTermsfromtimetotime.SupplementalTermsareinadditionto,andshallbedeemedapartof,thisAgreement.SupplementalTermsshallprevailoverthisAgreementintheeventofaconflict.

14.3. Severability.IfanyprovisionofthisAgreementisorbecomesinvalidornon-binding,thepartiesshallremainboundbyallotherprovisionshereof.Inthatevent,thepartiesshallreplacetheinvalidornon-bindingprovisionwithprovisionsthatarevalidandbindingandthathave,tothegreatestextentpossible,asimilareffectastheinvalidornon-bindingprovision,giventhecontentsandpurposeofthisAgreement.

14.4. Assignment.NeitherpartyshallassignortransferthisAgreementoranyofitsrightsorobligationshereunder,inwholeorinpart,withoutthepriorwrittenconsentoftheotherparty;providedthatUbermayassignortransferthisAgreementoranyorallofitsrightsorobligationsunderthisAgreementfromtimetotimewithoutconsent:(a)toanAffiliate;or(b)toanacquirerofallorsubstantiallyallofUber’sbusiness,equityorassets.

14.5. EntireAgreement.ThisAgreement,includingallSupplementalTerms,constitutestheentireagreementandunderstandingofthepartieswithrespecttoitssubjectmatterandreplacesandsupersedesallpriororcontemporaneousagreementsorundertakingsregardingsuchsubjectmatter.InthisAgreement,thewords“including”and“include”mean“including,butnotlimitedto.”TherecitalsformapartofthisAgreement.

14.6. NoThirdPartyBeneficiaries.TherearenothirdpartybeneficiariestothisAgreement,exceptasexpresslysetforthintheArbitrationProvisioninSection15.3.NothingcontainedinthisAgreementisintendedtoorshallbeinterpretedtocreateanythirdpartybeneficiaryclaims.

14.7. Notices.AnynoticedeliveredbyUbertoCustomerunderthisAgreementwillbedeliveredbyemailtotheemailaddressassociatedwithCustomer’saccountorbypostingontheCustomerportalavailableontheUberServices.AnynoticedeliveredbyCustomertoUberunderthis

AgreementwillbedeliveredbycontactingUberathttp://partners.uber.cominthe“ContactUs”section.AdditionalTerritory-specificnoticesmayberequiredfromtimetotime.

15. GoverningLaw;Arbitration

15.1 ThechoiceoflawprovisionscontainedinthisSection15.1donotapplytothearbitrationclausecontainedinSection15.3,sucharbitrationclausebeinggovernedbytheFederalArbitrationAct.Accordingly,andexceptasotherwisestatedinSection15.3,theinterpretationofthisAgreementshallbegovernedbyCalifornialaw,withoutregardtothechoiceorconflictsoflawprovisionsofanyjurisdiction.Anydisputes,actions,claimsorcausesofactionarisingoutoforinconnectionwiththisAgreementortheUberServicesthatarenotsubjecttothearbitrationclausecontainedinthisSection15.3shallbesubjecttotheexclusivejurisdictionofthestateandfederalcourtslocatedintheCityandCountyofSanFrancisco,California.However,neitherthechoiceoflawprovisionregardingtheinterpretationofthisAgreementnortheforumselectionprovisionisintendedtocreateanyothersubstantiverighttonon-CalifornianstoassertclaimsunderCalifornialawwhetherthatbebystatute,commonlaw,orotherwise.Theseprovisions,andexceptasotherwiseprovidedinSection15.3,areonlyintendedtospecifytheuseofCalifornialawtointerpretthisAgreementandtheforumfordisputesassertingabreachofthisAgreement,andtheseprovisionsshallnotbeinterpretedasgenerallyextendingCalifornialawtoCustomerifCustomerdoesnototherwiseoperateitsbusinessinCalifornia.TheforegoingchoiceoflawandforumselectionprovisionsdonotapplytothearbitrationclauseinSection15.3ortoanyarbitrabledisputesasdefinedtherein.Instead,asdescribedinSection15.3,theFederalArbitrationActshallapplytoanysuchdispute.ThefailureofUbertoenforceanyrightorprovisioninthisAgreementshallnotconstituteawaiverofsuchrightorprovisionunlessacknowledgedandagreedtobyUberinwriting.

15.2 OtherthandisputesregardingtheintellectualpropertyrightsofthepartiesandotherclaimsidentifiedinSection15.3.ii,anydisputes,actions,claimsorcausesofactionarisingoutoforinconnectionwiththisAgreementortheUberServicesshallbesubjecttoarbitrationpursuanttoSection15.3.

15.3 Arbitration.

ImportantNoteRegardingthisSection15.3:

● Exceptasprovidedbelow,arbitrationdoesnotlimitoraffectthelegalclaimsyoumaybringagainstUber.Agreeingtoarbitrationonlyaffectswhereanysuchclaimsmaybebroughtandhowtheywillberesolved.

● Arbitrationisaprocessofprivatedisputeresolutionthatdoesnotinvolvethecivilcourts,aciviljudge,orajury.Instead,theparties’disputeisdecidedbyaprivatearbitratorselectedbythepartiesusingtheprocesssetforthherein.Otherarbitrationrulesandproceduresarealsosetforthherein.

● Unlessthelawrequiresotherwise,asdeterminedbytheArbitratorbaseduponthecircumstancespresented,youwillberequiredtosplitthecostofanyarbitrationwithUber.

● IMPORTANT:ThisArbitrationProvisionwillrequireyoutoresolveanyclaimthatyoumayhaveagainstUberonanindividualbasis,exceptasprovidedbelow,pursuanttothetermsoftheAgreementunlessyouchoosetooptoutoftheArbitrationProvision.Exceptasprovidedbelow,thisprovisionwillprecludeyoufrombringinganyclass,collective,orrepresentativeaction(otherthanactionsunderthePrivateAttorneysGeneralActof2004(“PAGA”),CaliforniaLaborCode§2698etseq.(“PAGA”))againstUber,andalsoprecludesyoufromparticipatinginorrecoveringreliefunderanycurrentorfutureclass,collective,orrepresentative(non-PAGA)actionbroughtagainstUberbysomeoneelse.

Exceptasitotherwiseprovides,thisArbitrationProvisionalsoapplies,withoutlimitation,toalldisputesbetweenYouandUber,aswellasalldisputesbetweenYouandUber’sfiduciaries,administrators,affiliates,subsidiaries,parents,andallsuccessorsandassignsofanyofthem,includingbutnotlimitedtoanydisputesarisingoutoforrelatedtothisAgreementanddisputesarisingoutoforrelatedtoYourrelationshipwithUber,includingterminationoftherelationship.ThisArbitrationProvisionalsoapplies,withoutlimitation,todisputesregardinganycity,county,stateorfederalwage-hourlaw,tradesecrets,unfaircompetition,compensation,breaksandrestperiods,expensereimbursement,termination,harassmentandclaimsarisingundertheUniformTradeSecretsAct,CivilRightsActof1964,AmericansWithDisabilitiesAct,AgeDiscriminationinEmploymentAct,FamilyMedicalLeaveAct,FairLaborStandardsAct,EmployeeRetirementIncomeSecurityAct(exceptforindividualclaimsforemployeebenefitsunderanybenefitplansponsoredbyUberandcoveredbytheEmployeeRetirementIncomeSecurityActof1974orfundedbyinsurance),GeneticInformationNon-DiscriminationAct,andstatestatutes,ifany,addressingthesameorsimilarsubjectmatters,andallothersimilarfederalandstatestatutoryandcommonlawclaims.

ThisAgreementisintendedtorequirearbitrationofeveryclaimordisputethatlawfullycanbearbitrated,exceptforthoseclaimsanddisputeswhichbythetermsofthisAgreementareexpresslyexcludedfromtheArbitrationProvision.

UberTechnologies,Inc.isanintended,thirdpartybeneficiaryofthisAgreement.

ii. Limitations On How This Agreement Applies.

ThedisputesandclaimssetforthbelowshallnotbesubjecttoarbitrationandtherequirementtoarbitratesetforthinSection15.3ofthisAgreementshallnotapply:

ArepresentativeactionbroughtonbehalfofothersunderthePrivateAttorneysGeneralActof2004(“PAGA”),CaliforniaLaborCode§2698etseq.,totheextentwaiverofsuchaclaimisdeemedunenforceablebyacourtofcompetentjurisdiction;

Claimsforworkerscompensation,statedisabilityinsuranceandunemploymentinsurancebenefits;

RegardlessofanyothertermsofthisAgreement,nothingpreventsyoufrommakingareporttoorfilingaclaimorchargewiththeEqualEmploymentOpportunityCommission,U.S.DepartmentofLabor,SecuritiesExchangeCommission,NationalLaborRelationsBoard,orOfficeofFederalContractCompliancePrograms,andnothinginthisAgreementorArbitrationProvisionpreventstheinvestigationbyagovernmentagencyofanyreport,claimorchargeotherwisecoveredbythisArbitrationProvision.NothinginthisArbitrationProvisionshallbedeemedtoprecludeorexcuseapartyfrombringinganadministrativeclaimbeforeanyagencyinordertofulfilltheparty'sobligationtoexhaustadministrativeremediesbeforemakingaclaiminarbitration;

DisputesthatmaynotbesubjecttoapredisputearbitrationagreementpursuanttoapplicableFederallaworExecutiveOrderareexcludedfromthecoverageofthisArbitrationProvision;

DisputesregardingtheIntellectualPropertyRightsoftheparties;

ThisArbitrationProvisionshallnotbeconstruedtorequirethearbitrationofanyclaimsagainstacontractorthatmaynotbethesubjectofamandatoryarbitrationagreementasprovidedbysection8116oftheDepartmentofDefense("DoD")AppropriationsActforFiscalYear2010(Pub.L.111-118),section8102oftheDepartmentofDefense("DoD")AppropriationsActforFiscalYear2011(Pub.L.112-10,DivisionA),andtheirimplementingregulations,oranysuccessorDoDappropriationsactaddressingthearbitrabilityofclaims.

iii. Selecting The Arbitrator and Location of the Arbitration.

TheArbitratorshallbeselectedbymutualagreementofUberandYou.UnlessYouandUbermutuallyagreeotherwise,theArbitratorshallbeanattorneylicensedtopracticeinthelocationwherethearbitrationproceedingwillbeconductedoraretiredfederalorstatejudicialofficerwhopresidedinthejurisdictionwherethearbitrationwillbeconducted.IfthePartiescannotagreeonanArbitrator,thenanarbitratorwillbeselectedusingthealternatestrikemethodfromalistoffive(5)neutralarbitratorsprovidedbyJAMS(JudicialArbitration&MediationServices).Youwillhavetheoptionofmakingthefirststrike.IfaJAMSarbitratorisused,thentheJAMSStreamlinedArbitrationRules&Proceduresruleswillapply;however,ifthereisaconflictbetweentheJAMSRulesandthisAgreement,thisAgreementshallgovern.Thoserulesareavailablehere:

Thelocationofthearbitrationproceedingshallbenomorethan45milesfromtheplacewhereYoulastprovidedtransportationservicesunderthisAgreement,unlesseachpartytothearbitrationagreesinwritingotherwise.

iv. Starting The Arbitration.

Allclaimsinarbitrationaresubjecttothesamestatutesoflimitationthatwouldapplyincourt.Thepartybringingtheclaimmustdemandarbitrationinwritinganddeliverthewrittendemandbyhandorfirstclassmailtotheotherpartywithintheapplicablestatuteoflimitationsperiod.ThedemandforarbitrationshallincludeidentificationoftheParties,astatementofthelegalandfactualbasisoftheclaim(s),andaspecificationoftheremedysought.AnydemandforarbitrationmadetoUbershallbeprovidedtoGeneralCounsel,UberTechnologies,Inc.,1455MarketSt.,Ste.400,SanFranciscoCA94103.TheArbitratorshallresolvealldisputesregardingthetimelinessorproprietyofthedemandforarbitration.Apartymayapplytoacourtofcompetentjurisdictionfortemporaryorpreliminaryinjunctivereliefinconnectionwithanarbitrablecontroversy,butonlyuponthegroundthattheawardtowhichthatpartymaybeentitledmayberenderedineffectualwithoutsuchprovisionalrelief.

v. How Arbitration Proceedings Are Conducted.

Inarbitration,thePartieswillhavetherighttoconductadequatecivildiscovery,bringdispositivemotions,andpresentwitnessesandevidenceasneededtopresenttheircasesanddefenses,andanydisputesinthisregardshallberesolvedbytheArbitrator.

YouandUberagreetoresolveanydisputethatisinarbitrationonanindividualbasisonly,andnotonaclassorcollectiveactionbasis(“ClassActionWaiver”).TheArbitratorshallhavenoauthoritytoconsiderorresolveanyclaimorissueanyreliefonanybasisotherthananindividualbasis.TheArbitratorshallhavenoauthoritytoconsiderorresolveanyclaimorissueanyreliefonaclass,collective,orrepresentativebasis.NotwithstandinganyotherprovisionofthisAgreement,theArbitrationProvisionortheJAMSStreamlinedArbitrationRules&Procedures,disputesregardingtheenforceability,revocabilityorvalidityoftheClassActionWaivermayberesolvedonlybyacivilcourtofcompetentjurisdictionandnotbyanarbitrator.Inanycaseinwhich(1)thedisputeisfiledasaclass,collective,orrepresentativeactionand(2)thereisafinaljudicialdeterminationthatallorpartoftheClassActionWaiverisunenforceable,theclass,collective,and/orrepresentativeactiontothatextentmustbelitigatedinacivilcourtofcompetentjurisdiction,buttheportionoftheClassActionWaiverthatisenforceableshallbeenforcedinarbitration.

WhileUberwillnottakeanyretaliatoryactioninresponsetoanyexerciseofrightsYoumayhaveunderSection7oftheNationalLaborRelationsAct,ifany,UbershallnotbeprecludedfrommovingtoenforceitsrightsundertheFAAtocompelarbitrationonthetermsandconditionssetforthinthisAgreement.

PrivateAttorneysGeneralAct.

NotwithstandinganyotherprovisionofthisAgreementortheArbitrationProvision,totheextentpermittedbylaw,(1)YouandUberagreenottobringarepresentativeactiononbehalfofothersunderthePrivateAttorneysGeneralActof2004(“PAGA”),CaliforniaLaborCode§2698etseq.,inanycourtorinarbitration,and(2)foranyclaimbroughtonaprivateattorneygeneralbasis—i.e.,whereyouareseekingtopursueaclaimonbehalfofagovernmententity—bothyouandUberagreethatanysuchdisputeshallberesolvedinarbitrationonanindividualbasisonly(i.e.,toresolvewhetheryouhavepersonallybeenaggrievedorsubjecttoanyviolationsoflaw),andthatsuchanactionmaynotbeusedtoresolvetheclaimsorrightsofotherindividualsinasingleorcollectiveproceeding(i.e.,toresolvewhetherotherindividualshavebeenaggrievedorsubjecttoanyviolationsoflaw)(“PAGAWaiver”).NotwithstandinganyotherprovisionofthisAgreementortheArbitrationProvision,thevalidityofthePAGAWaivermayberesolvedonlybyacivilcourtofcompetentjurisdictionandnotbyanarbitrator.IfanyprovisionofthePAGAWaiverisfoundtobeunenforceableorunlawfulforanyreason,(1)theunenforceableprovisionshallbeseveredfromthisAgreement;(2)severanceoftheunenforceableprovisionshallhavenoimpactwhatsoeverontheArbitrationProvisionortheParties’attempttoarbitrateanyremainingclaimsonanindividualbasispursuanttotheArbitrationProvision;and(3)anyrepresentativeactionbroughtunderPAGAonbehalfofothersmustbelitigatedinacivilcourtofcompetentjurisdictionandnotinarbitration.TotheextentthatthereareanyclaimstobelitigatedinacivilcourtofcompetentjurisdictionbecauseacivilcourtofcompetentjurisdictiondeterminesthatthePAGAWaiverisunenforceablewithrespect

tothoseclaims,thePartiesagreethatlitigationofthoseclaimsshallbestayedpendingtheoutcomeofanyindividualclaimsinarbitration.

vi. PayingForTheArbitration.

Eachpartywillpaythefeesforhis,heroritsownattorneys,subjecttoanyremediestowhichthatpartymaylaterbeentitledunderapplicablelaw(i.e.,apartyprevailsonaclaimthatprovidesfortheawardofreasonableattorneyfeestotheprevailingparty).Inallcaseswhererequiredbylaw,UberwillpaytheArbitrator'sandarbitrationfees.IfunderapplicablelawUberisnotrequiredtopayalloftheArbitrator'sand/orarbitrationfees,suchfee(s)willbeapportionedequallybetweenthePartiesorasotherwiserequiredbyapplicablelaw.However,YouwillnotberequiredtobearanytypeoffeeorexpensethatYouwouldnotberequiredtobearifYouhadfiledtheactioninacourtoflaw.AnydisputesinthatregardwillberesolvedbytheArbitratorassoonaspracticableaftertheArbitratorisselected,andUbershallbearalloftheArbitrator’sandarbitrationfeesuntilsuchtimeastheArbitratorresolvesanysuchdispute.

vii. TheArbitrationHearingAndAward.

ThePartieswillarbitratetheirdisputebeforetheArbitrator,whoshallconferwiththePartiesregardingtheconductofthehearingandresolveanydisputesthePartiesmayhaveinthatregard.Within30daysofthecloseofthearbitrationhearing,orwithinalongerperiodoftimeasagreedtobythePartiesorasorderedbytheArbitrator,anypartywillhavetherighttoprepare,serveontheotherpartyandfilewiththeArbitratorabrief.TheArbitratormayawardanypartyanyremedytowhichthatpartyisentitledunderapplicablelaw,butsuchremediesshallbelimitedtothosethatwouldbeavailabletoapartyinhisorherindividualcapacityinacourtoflawfortheclaimspresentedtoanddecidedbytheArbitrator,andnoremediesthatotherwisewouldbeavailabletoanindividualinacourtoflawwillbeforfeitedbyvirtueofthisArbitrationProvision.TheArbitratorwillissueadecisionorawardinwriting,statingtheessentialfindingsoffactandconclusionsoflaw.Acourtofcompetentjurisdictionshallhavetheauthoritytoenterajudgmentupontheawardmadepursuanttothearbitration.TheArbitratorshallnothavethepowertocommiterrorsoflaworlegalreasoning,andtheawardmaybevacatedorcorrectedonappealtoacourtofcompetentjurisdictionforanysucherror.

viii. Your Right To Opt Out Of Arbitration.

ArbitrationisnotamandatoryconditionofyourcontractualrelationshipwithUber.IfYoudonotwanttobesubjecttothisArbitrationProvision,YoumayoptoutofthisArbitrationProvisionbynotifyingUberinwritingofYourdesiretooptoutofthisArbitrationProvision,whichwritingmustbedated,signedanddeliveredbyelectronicmailtooptout@uber.com,byU.S.Mail,orbyanynationallyrecognizeddeliveryservice(e.g,UPS,FederalExpress,etc.),orbyhanddeliveryto:

Inordertobeeffective,thewritingmustclearlyindicateYourintenttooptoutofthisArbitrationProvisionandtheenvelopecontainingthesignedwritingmustbereceived(ifdeliveredbyhand)orpost-markedwithin30daysofthedatethisAgreementisexecutedbyYou.YourwritingoptingoutofthisArbitrationProvisionwillbefiledwithacopyofthisAgreementandmaintainedbyUber.ShouldYounotoptoutofthisArbitrationProvisionwithinthe30-dayperiod,YouandUbershallbeboundbythetermsofthisArbitrationProvision.YouhavetherighttoconsultwithcounselofYourchoiceconcerningthisArbitrationProvision.YouunderstandthatYouwillnotbesubjecttoretaliationifYouexerciseYourrighttoassertclaimsoropt-outofcoverageunderthisArbitrationProvision.

ix. Full And Complete Agreement Related To Formal Resolution Of Disputes; Enforcement Of This Agreement.

ThisArbitrationProvisionisthefullandcompleteagreementrelatingtotheformalresolutionofdisputesarisingoutofthisAgreement.Exceptasstatedinsubsectionv,above,intheeventanyportionofthisArbitrationProvisionisdeemedunenforceable,theremainderofthisArbitrationProvisionwillbeenforceable.

Byclicking“Iaccept”,CustomerexpresslyacknowledgethatCustomerhasread,understood,andtakenstepstothoughtfullyconsidertheconsequencesofthisAgreement,thatCustomeragreestobeboundbythetermsandconditionsoftheAgreement,andthatCustomerislegallycompetenttoenterintothisAgreementwithUber.
