Confidentiality of Personal Information:1. BASF Canada Inc. o/a BASF Canada (“BASF Canada”) will require grower transaction information in

order to calculate rewards under the 2012 AgSolutions® Rewards Program. BASF Canada is not able to collect grower personal information without a signed PIPEDA (Personal Information Protection and Electronics Document Act) consent form (“Consent Form”). Growers must submit the completed Consent Form to BASF Canada, either directly or through their retail, by November 30, 2012 in order to be eligible to receive 2012 BASF Canada grower program payments.

2. If you have signed a Consent Form, BASF Canada may disclose your personal information to BASF Canada’s affiliates, your retailer, authorized seed sellers or BASF Canada’s third party service providers for the purposes outlined below and in the Consent Form and in accordance with the terms of the Consent Form. Except as provided in the Consent Form, BASF Canada will not sell or disclose your personal information to any third party without your prior consent.

3. Your personal information will be used by BASF for the purposes of (i) verifying BASF Canada’s marketing program payments to you, (ii) developing and administering BASF Canada’s marketing programs (for example, to notify you of new product releases and BASF special offers), (iii) developing, promoting and offering additional information, products and services, and (iv) BASF Canada’s internal use. If you do not wish for us to use the information for such purposes, please notify us, and we will mark your file accordingly.

4. If you wish to 1) know what personal information we have in our files about you, 2) request a change to the personal information in your file or 3) wish to be removed from our mailing list, please notify AgSolutions Customer Care at 1-877-371-BASF (2273). Program Qualification:1. To qualify for program rewards, growers must purchase a minimum of 200 acres of one or a

combination of the following BASF products within the Herbicide Timing product box:

Corn Products: ARMEZONTM, IMPACTTM, INTEGRITY®, MARKSMAN®, PROWL® H2O, PROWL 400 EC, FRONTIER® MAX, DISTINCT®

NOTE: IMPACT must be distributed by BASF Canada to qualify.

Soybean Products: ASSIGNMENT®, BASAGRAN® FORTE, CLEAN SWEEP®, CONQUEST® LQ, ERAGON®, FRONTIER MAX, PURSUIT®, PROWL® H2O, PROWL 400 EC

Wheat Products: ERAGON, TWINLINETM

2. Total acres of product purchased in the Herbicide Timing product box are used to determine 1) herbicide rebate percentage and 2) acres for Fungicide product rebates. Acres are calculated based on recommended full application rates.

3. Total Herbicide Timing purchase acres will determine rebate percentages. Acre ranges and corresponding rebate percentages are as follows:

Acre Ranges Reward: % of SRP

200 – 499 3%

500 – 749 4%

750 – 1,499 5%

1,500 – 2,499 7%

2,500 + 9%

4. All rebate calculations will be based on a suggested retail price (SRP) paid in Eastern Canada multiplied by the corresponding rebate percentage.

Ultimate Two-Pass Offer1. Growers will receive an additional $3.33 per acre rebate when they purchase matching acres of

INTEGRITY and MARKSMAN.

2. The $3.33 per acre rebate is limited to the matching acres of INTEGRITY and MARKSMAN. It does not apply to all herbicide acres purchased.

3. This rebate is in addition to the base AgSolutions rebate of 3% to 9% for BASF herbicide product purchases.

4. Application rates for this offer are as follows:

5. In order to qualify for the Ultimate 2-Pass offer, growers must first qualify for an AgSolutions reward. (i.e. a grower must purchase at least 200 acres of a qualifying herbicide or a combination of herbicides. See herbicide list in point 1 under Program Qualifications).

Fungicide Rebate 1. Growers who purchase a minimum of 200 acres of one or a combination of the following BASF products: ARMEZON, ASSIGNMENT, BASAGRAN FORTE, CLEAN SWEEP, CONQUEST LQ, DISTINCT, ERAGON, FRONTIER MAX, IMPACT, INTEGRITY, MARKSMAN, PROWL H2O, PROWL 400 EC, PURSUIT and/or TWINLINE from the Herbicide Timing product box will receive 10% off CARAMBA®, 15% off HEADLINE®, and 20% off their LANCE® purchases in the Fungicide Timing product box. Reward limit is determined by multiplying total herbicide purchase acres by 2.

NOTE: IMPACT must be distributed by BASF Canada to qualify.

2. Rebates will be calculated on a per acre basis, using all product purchases, including partial cases.

3. Grower purchases must be made between October 1, 2011 and September 30, 2012.

4. Retailers will submit transactions on behalf of growers to BASF Canada and all program payments will be calculated using this data. All grower transactional data must be submitted to BASF Canada by October 8, 2012 to be eligible for 2012 Eastern AgSolutions Rewards Program payments.

5. Any of the eligible products purchased as part of other grower programs or offers are not eligible for any further savings as part of the 2012 Eastern AgSolutions Rewards Program.

6. This offer does not apply to any products returned for any reason whatsoever or for any products purchased for resale.

7. If a grower returns product to their retailer after the sales period, the grower should reimburse overpayment by contacting AgSolutions Customer Care at 1-877-371-BASF (2273). Failure to do so will result in a deduction from the applicable grower’s future year’s grower program rebate payment.

8. BASF Canada reserves the right to verify the information.

9. Reward cheques less than $50 will not be processed.

10. Allow a minimum of eight weeks for reward to be paid from the time the final transactional data is sent to BASF Canada by your retailer.

11. This program rewards products purchased and applied in Eastern Canada (Ontario, Quebec, Nova Scotia, New Brunswick, Prince Edward Island) and British Columbia (except the Peace Region). Products purchased and applied outside of these regions are not eligible for rewards.

12. BASF reserves the right to modify or withdraw any or all of the terms of the grower program if required by law or for any other reason at the sole discretion of BASF Canada. Any of such terms are void if prohibited by law.

13. BASF Product Assurance is offered on all the following products:

In order to be eligible for consideration for compensation when product performance expectations are not met with BASF products, inquiries must be received by BASF Canada no later than July 31, 2012. BASF Canada reserves the right to determine if weed control performance warrants compensation. For any questions on product performance please contact your local BASF Business Representative, retailer, or AgSolutions Customer Care at 1-877-371-BASF (2273) prior to the above deadline.

Confidentiality of Personal Information:1. BASF Canada Inc. o/a BASF Canada (“BASF Canada”) will require grower transaction information in

order to calculate rewards under the 2012 AgSolutions® Rewards Program. BASF Canada is not able to collect grower personal information without a signed PIPEDA (Personal Information Protection and Electronics Document Act) consent form (“Consent Form”). Growers must submit the completed Consent Form to BASF Canada, either directly or through their retail, by November 30, 2012 in order to be eligible to receive 2012 BASF Canada grower program payments.

2. If you have signed a Consent Form, BASF Canada may disclose your personal information to BASF Canada’s affiliates, your retailer, authorized seed sellers or BASF Canada’s third party service providers for the purposes outlined below and in the Consent Form and in accordance with the terms of the Consent Form. Except as provided in the Consent Form, BASF Canada will not sell or disclose your personal information to any third party without your prior consent.

3. Your personal information will be used by BASF for the purposes of (i) verifying BASF Canada’s marketing program payments to you, (ii) developing and administering BASF Canada’s marketing programs (for example, to notify you of new product releases and BASF special offers), (iii) developing, promoting and offering additional information, products and services, and (iv) BASF Canada’s internal use. If you do not wish for us to use the information for such purposes, please notify us, and we will mark your file accordingly.

4. Program Qualification:1. To qualify for program rewards, growers must purchase a minimum of 200 acres of one or a

combination of the following BASF products within the Herbicide Timing product box:

Corn Products: ARMEZONTM, IMPACTTM, INTEGRITY®, MARKSMAN®, PROWL® H2O, PROWL 400 EC, FRONTIER® MAX, DISTINCT®

NOTE: IMPACT must be distributed by BASF Canada to qualify.

Soybean Products: ASSIGNMENT®, BASAGRAN® FORTE, CLEAN SWEEP®, CONQUEST® LQ, ERAGON®, FRONTIER MAX, PURSUIT®, PROWL® H2O, PROWL 400 EC

Wheat Products: ERAGON, TWINLINETM

2. Total acres of product purchased in the Herbicide Timing product box are used to determine 1) herbicide rebate percentage and 2) acres for Fungicide product rebates. Acres are calculated based on recommended full application rates.

3. Total Herbicide Timing purchase acres will determine rebate percentages. Acre ranges and corresponding rebate percentages are as follows:

4. All rebate calculations will be based on a suggested retail price (SRP) paid in Eastern Canada multiplied by the corresponding rebate percentage.

Ultimate Two-Pass Offer1. Growers will receive an additional $3.33 per acre rebate when they purchase matching acres of

INTEGRITY and MARKSMAN.

2. The $3.33 per acre rebate is limited to the matching acres of INTEGRITY and MARKSMAN. It does not apply to all herbicide acres purchased.

3. This rebate is in addition to the base AgSolutions rebate of 3% to 9% for BASF herbicide product purchases.

4. Application rates for this offer are as follows:

5. In order to qualify for the Ultimate 2-Pass offer, growers must first qualify for an AgSolutions reward. (i.e. a grower must purchase at least 200 acres of a qualifying herbicide or a combination of herbicides. See herbicide list in point 1 under Program Qualifications).

Fungicide Rebate 1. Growers who purchase a minimum of 200 acres of one or a combination of the following BASF products: ARMEZON, ASSIGNMENT, BASAGRAN FORTE, CLEAN SWEEP, CONQUEST LQ, DISTINCT, ERAGON, FRONTIER MAX, IMPACT, INTEGRITY, MARKSMAN, PROWL H2O, PROWL 400 EC, PURSUIT and/or TWINLINE from the Herbicide Timing product box will receive 10% off CARAMBA®, 15% off HEADLINE®, and 20% off their LANCE® purchases in the Fungicide Timing product box. Reward limit is determined by multiplying total herbicide purchase acres by 2.

NOTE: IMPACT must be distributed by BASF Canada to qualify.

2. Rebates will be calculated on a per acre basis, using all product purchases, including partial cases.

3. Grower purchases must be made between October 1, 2011 and September 30, 2012.

4. Retailers will submit transactions on behalf of growers to BASF Canada and all program payments will be calculated using this data. All grower transactional data must be submitted to BASF Canada by October 8, 2012 to be eligible for 2012 Eastern AgSolutions Rewards Program payments.

5. Any of the eligible products purchased as part of other grower programs or offers are not eligible for any further savings as part of the 2012 Eastern AgSolutions Rewards Program.

6. This offer does not apply to any products returned for any reason whatsoever or for any products purchased for resale.

7. If a grower returns product to their retailer after the sales period, the grower should reimburse overpayment by contacting AgSolutions Customer Care at 1-877-371-BASF (2273). Failure to do so will result in a deduction from the applicable grower’s future year’s grower program rebate payment.

8. BASF Canada reserves the right to verify the information.

9. Reward cheques less than $50 will not be processed.

10. Allow a minimum of eight weeks for reward to be paid from the time the final transactional data is sent to BASF Canada by your retailer.

11. This program rewards products purchased and applied in Eastern Canada (Ontario, Quebec, Nova Scotia, New Brunswick, Prince Edward Island) and British Columbia (except the Peace Region). Products purchased and applied outside of these regions are not eligible for rewards.

12. BASF reserves the right to modify or withdraw any or all of the terms of the grower program if required by law or for any other reason at the sole discretion of BASF Canada. Any of such terms are void if prohibited by law.

13. BASF Product Assurance is offered on all the following products:

In order to be eligible for consideration for compensation when product performance expectations are not met with BASF products, inquiries must be received by BASF Canada no later than July 31, 2012. BASF Canada reserves the right to determine if weed control performance warrants compensation.
