    $1.3 Trillion in Failed CMBS:The Coming Tsunami

    This panel will discuss the scope and timing of the

    expected massive levels of defaults in CMBS debt

    from 2010 to 2014, including emerging techniques

    for dealing with defaulted CMBS loans in which the

    underlying real estate is sold by a court appointed

    receiver and/or through the exercise by the special

    servicer of its fair value option to purchase theunderlying asset. The session will also describe the

    activities and strategies employed by sophisticated

    purchasers of various tranches of bonds issued by

    CMBS issuers and will include a presentation by a

    special servicer regarding the strategies that they

    intend to employ to deal with the massive amounts

    of matured securitized debt.

    In the face of depressed (and depressing) property values

    and often hostile debt markets, owners are turning to

    institutional super preferred equity as a last redoubt.

    Is this a temporary expedient or will such equity replace

    mezzanine loans as a more permanent part of real estate

    structured financing? How does rescue preferred equity

    differ from the conventional money and sweat joint

    venture? How is it different from and better or worse

    than mezzanine debt? Drawing from their considerable

    experience with preferred equity recapitalizations over

    the last two years, our panel will offer their answers to

    these questions and maybe others.

    University of Southern California*keynote luncheon speakerPAT HADEN assumed the athletic directorship at the University of Southern Californiaon August 3, 2010. Mr. Haden oversees 19 mens and womens teams and the

    $74 million budget that make up the nations most tradition-rich athletic program. He

    also holds a joint faculty appointment in the USC Marshall School of Business and USC

    Annenberg School for Communication and Journalism.

    Mr. Haden is a Rhodes Scholar quarterback who played on two national championship

    teams at USC and a Super Bowl squad with the Los Angeles Rams before becoming a

    successful businessman and football broadcaster. From 1987 to 2010, Mr. Haden was a

    partner and managing director of Riordan, Lewis & Haden, a Los Angeles private

    equity firm that invests in high-growth middle market companies. From 1982 to 1987,

    Mr. Haden was an attorney in the Los Angeles office of Lillick, McHose & Charles. He

    served on USCs Board of Trustees from 1991 to 2010 and chaired the boards

    Academic Affairs and Student Affairs committees.

    Mr. Haden has served on numerous corporate and non-profit boards, including

    Systems Management Specialists, Data Processing Resources Corporation, Adohr

    Farms, Tetra Tech, The Apothecary Shops, Rose Hills Foundation, Fletcher Jones

    Foundation, Good Samaritan Hospital, Boys Town of Southern California, Multiple

    Sclerosis Society of Los Angeles and Crippled Childrens Society of Los Angeles. He

    formerly chaired the March of Dimes Reading Olympics in Los Angeles and the Boys

    Life National Illiteracy Campaign.

    Mr. Haden graduated from USC magna cum laude and Phi Beta Kappa in 1975 with a

    bachelors degree in English and was awarded a Rhodes Scholarship to Oxford

    University, where he received a bachelors degree in philosophy, politics and

    economics in 1978. He received a law degree from Loyola Law School in 1982.

    He was inducted into the USC Athletic Hall of Fame in 2003, the Rose Bowl Hall of

    Fame in 1995, the National High School Hall of Fame in 1995 and the Academic

    All-American Hall of Fame in the 1988 inaugural class. He received an NCAA Silver

    Anniversary Award in 2000.

    legislation affecting land use in California since CEQA

    or the general plan law. Its proponents believe that it

    will transform the way California plans, by requiring

    true regional planning, aligning transportation and

    land use planning and guiding California to

    environmentally beneficial development outcomes.

    Critics see it as an example of Sacramento-based social

    engineering and an unfunded mandate, which ispotentially detrimental to California's economic

    prospects by interfering with market-based

    development patterns. Now, as California regions

    begin to implement SB 375 by creating innovative land

    use and transportation plans, learn how Southern

    brochure. Your fee includes the Forum program, luncheon, refreshment breaks, wine and

    cheese reception, and a copy of the Forum Syllabus (a volume of outlines, articles, forms,

    essays, briefs and other topical materials prepared by our speakers) on CD-ROM.

    Early registration is encouraged as space is limited. Separate registration is required for the

    bonus breakfast session register online or using the inside back cover of this brochure.

    Registration for the bonus breakfast session is at no additional charge.

    REFUNDS

    Refunds (less a $100 processing fee, $25 for students) will be made in response to written

    requests postmarked, faxed or emailed to us on or before February 18, 2011. All refund

    requests must be accompanied by the registrants Social Security number or the firms

    Federal Tax Identification number for accounting purposes.

    All refunds will be processed following the USC Law Real Estate Law and Business Forum.
