1 Part 1 – Introduction

1.1 Description of Goods, Services and/or Construction Being Procured

The City of Greater Sudbury (the “City”) requires a qualified consultant to complete a Sub-Watershed Study and Stormwater Master Plan document to develop a management strategy for the Junction Creek Sub-Watershed. The Goods, Services shall, in all respects, be in compliance with the Scope of Work /Terms of Reference, attached or linked electronically to this Bid Solicitation.

1.2 Term / Schedule / Delivery

The term of the Contract to be entered into pursuant to this Bid Solicitation shall be from date of award October, 2016 to December, 2017. Time will be of the essence with respect to the provision of the Goods, Services and/or Construction described herein.

1.3 Prequalification

This Bid Solicitation is not subject to prequalification.

2 Part 2 – Information for Proponents

2.1 Closing Date and Opening of Proposals

Proposals shall be submitted to the Purchasing Section, 2nd Floor, Tom Davies Square, 200 Brady Street, Sudbury NO LATER THAN 1:30 p.m. (our time) Thursday, September 29, 2016. Proposals should be completed and submitted in a sealed envelope or package using the completed addressed label sheet provided. The Proposals will be opened at a tender opening meeting which may be attended by the Proponents. Results will be posted to the City’s tender Web Page at http://www.greatersudbury.ca/business/tenders-purchasing/tenders/. Proposals will be opened by the Purchasing Section at the tender opening meeting, the same day and at the same address at 2:30 p.m., on the 1st Floor in committee room C-13A. The names of Proponents having submitted a Proposal in response to this Bid Solicitation shall be posted to the City’s tender webpage within three business days of the opening.

2.2 Information Meeting

Proponents are requested to attend an optional information meeting on Thursday, September 15, 2016, at 1:00 p.m. (local time), 1800 Frobisher St., 2nd Floor Boardroom, Sudbury, ON.

2.3 Evaluation of Proposals

Proposals meeting the mandatory requirements will be evaluated and scored by an evaluation team selected by the City in accordance with the following criteria and weightings: Proponents must meet a 60% overall score or 48 points, in the rated criteria below, before having their Cost considered. Proponents not meeting the 60% threshold will not have their cost considered. Rated Criteria (Refer to Scope of Work/Terms of Reference, 1.3 Schedule 3) Total of 80 points Firm’s Capability, Experience, And Qualifications 10 Project Manager’s Capability, Experience, and Qualifications 20 Project Teams’ Capability, Experience and Qualifications 20 Understanding of the Project 20 Methodology used for the Project 10 Sub-Total 80 Cost (Cost will be calculated by Proponent with Lowest Cost / Proponent’s Cost = XX x 20 Points) 20 Total 100

2.4 Communications and Official Point of Contact

The official point of contact for this Bid Solicitation is Agnes Beck, Purchasing Agent and all communications with the City during the procurement process shall be through the official point of contact. Proponents shall not contact any other persons including Members of Council, City employees or consultants retained by the City regarding this Request for Proposal. In accordance with the City’s Purchasing By-law, a Proponent may be disqualified from bidding on the current and any future Bid Solicitations where the Proponent, its employees or anyone

involved in preparing its Proposal engages in any form of communication, discussion or lobbying of any form with Members of Council, City employees or consultants retained by the City to seek to influence the outcome of the procurement process or the award. All communications with the official point of contact shall be in writing. Verbal communications will not be binding on the City. Proponents shall review the Bid Solicitation and shall promptly report and request clarification of any discrepancy, deficiency, ambiguity, error, inconsistency or omission contained therein. To facilitate comprehensive responses, Proponents are encouraged to email their questions or clarification requests as soon as possible and no later than 12:00 P.M. (NOON), Tuesday, September 20, 2016 to [email protected] or by fax to (705) 671-8118. Nothing herein shall obligate the City to respond to any question or clarification request.

2.5 Addendum and Notice

The City may, at its discretion, amend or supplement the documents for the Bid Solicitation by addendum at any time prior to the closing date for receipt of Proposals. Changes to the Bid Solicitation documents shall be made by addendum only. Such changes made by addendum shall be supplementary to and an integral part of the Bid Solicitation. In the event of any conflict or inconsistency in the wording or any issue of interpretation, addenda, when issued, shall, to the extent of such conflict or inconsistency, take priority over the original wording in the documents and any wording in prior addenda. Addenda will be posted on the City’s tender web page. While the City will endeavor to provide notification of the issuance of an addendum to prospective Proponents who have registered as a plan taker with the City, the City assumes no liability for the notification and it is the responsibility of each Proponent to monitor the City’s tender web page and determine whether any addenda have been issued by the City. Upon the issuance of any addendum the City shall provide at least five business days between the issuance of the addendum and the closing date for the receipt of Proposals. If a Proponent has already submitted its Proposal to the City and an addendum is subsequently issued by the City the Proponent shall resubmit prior to the closing date for receipt of Proposals the addendum acknowledgment form acknowledging all addenda issued by the City. The addendum acknowledgment form shall be delivered in person or sent either by facsimile at 705-671-8118 or by email to [email protected]. Failure to resubmit the addendum acknowledgment form may result in disqualification of the Proponent in accordance with Schedule B of the City’s Purchasing By-law. If a Proponent wishes to change its Proposal as a result of the issuance of an addendum by the City then it shall have reference to section 2.19 - “Withdrawal of Proposals”. Where the City chooses to respond to a question from a Proponent or wishes to provide additional information which is not intended to amend the Bid Solicitation (for example: questions of an administrative nature) the City may do so through the issuance of a notice to Proponents. Notices shall be made available in the same way as addenda as stated above but shall not require any acknowledgment by Proponents.

2.6 Errors and Omissions

The City shall not be held liable for any errors or omissions in any part of this Bid Solicitation. While the City has used considerable effort to ensure an accurate representation of information in this Bid Solicitation, the information contained is supplied solely as a guideline for Proponents. The information is not guaranteed or warranted to be accurate by the City, nor is it necessarily comprehensive or exhaustive. Nothing in the Bid Solicitation is intended to relieve the Proponents from forming their own opinions and conclusions with respect to the matters addressed herein.

2.7 Quantities

While the City has made every effort to ensure that quantities stated in the Bid Solicitation are accurate, the City assumes no liability for any inaccuracy and the Successful Proponent shall be paid based on the lump sum as Bid. Stated quantities are approximate and are provided for the purpose of comparing competing Proposals only.

2.8 Clarification of Proposals Following Bid Close

The City reserves the right to request additional information from any Proponent in order to clarify the contents of its Proposal. Requests for clarification shall be in writing with the official point of contact indicated in section 2.4. For clarity, nothing herein shall require the City to request a clarification from any Proponent and if a clarification is requested nothing shall require the City to request such clarification from all Proponents.

2.9 Irrevocability of Proposals

Subject only to section 2.20, Proposals shall be irrevocable and shall remain in effect and open for acceptance by the City for 90 days after the closing date for receipt of Proposals.

2.10 Validity of Proposals

The process for determining procedural compliance of Proposals will be in accordance with schedule “B” to the City’s Purchasing By-Law, attached hereto.

2.11 Reserved Rights

The City reserves the right, in its sole discretion, to reject any or all Proposals and to award to a Proponent submitting a Proposal which is not necessarily the lowest. Without restricting the generality of the statement above, the City shall not be required to award or accept any Proposal and may, in its sole discretion, and at any time, choose to cancel the Bid Solicitation. Thereafter, the City may take such steps as it deems fit, in its sole discretion, and may, without limitation and without any liability for so doing, issue one or more revised Bid Solicitations for the Work, complete the Work with its own forces, negotiate with any Proponent or take no further steps. The City reserves the right to waive any issues of non-compliance that it deems, in its sole discretion, to be non-material, trivial or insignificant. Where the City exercises its right to waive herein it may accept the Proposal as submitted or may require the Proponent to correct such issue provided that there shall be no change in the Proposal price. Where Proposals received exceed the Council Approved Budget for the Work, the City reserves the right to negotiate with the Proponent providing the Best Value where, in the City’s sole discretion, the changes required to achieve an acceptable Proposal are of a minor nature and will not change the general nature of the Work. No Proponent shall have any rights against the City arising from such discussions or negotiations. 2.12 Disqualification of Proponents

The City, in its sole discretion, may exclude a Proponent from eligibility to submit Proposals or a submitted Proposal may be summarily rejected and returned to a Proponent where one of the following circumstances has occurred:

a) The Proponent is or has been involved in Litigation with the City, its elected officials, officers or employees;

b) The Proponent has failed to pay an amount owed to the City when due and owing; c) There is documented evidence of poor performance, non-performance or default by the

Proponent in respect to any Contract; d) The Proponent has withdrawn its Proposal on a previous Bid Solicitation after Proposals

have been opened by the City; e) The Proponent is in breach of section 7 of the Purchasing By-Law (official point of

contact); f) The Proponent has been determined to be in non-compliance with the terms of the

City’s Fair Wage Policy as adopted pursuant to By-Law 2007-298 or as amended; g) The Proponent or its personnel has demonstrated abusive behaviour or threatening

conduct towards City employees, their agents or representatives; h) The Proponent has been convicted of a criminal or quasi-criminal offence including but

not limited to fraud or theft; or, i) The Proponent has been convicted of an offence pursuant to the Occupational Health

and Safety Act, as amended, where the circumstances of that conviction demonstrate a disregard on the part of the Proponent for the health and safety of its workers or the general public.

For the purposes of this section 2.12, Proponent shall be deemed to include any related entity and any partner, principal, director or officer of such Proponent as well as any other legal entity with one or more of the same partner(s), principal(s), director(s) or officer(s). 2.13 Award

If the City chooses to award the Bid Solicitation, the award shall be to the Proponent having submitted the Proposal which provides the Best Value for the City as determined by the scoring of the Proposals in accordance with the evaluation criteria contained in section 2.3. The City reserves the right, in its sole discretion, to award the Bid Solicitation in whole or in part to one or more Proponents. The Award of this Bid Solicitation is conditional upon the allocation of sufficient funds by the Council for the City of Greater Sudbury.

2.14 (Removed Intentionally)

2.15 Amounts All Inclusive

Unless otherwise stated herein, the price or prices submitted by the Proponent shall be in full compensation for all items including but not limited to labour, equipment, materials, mobilization, demobilization, tipping fees, income taxes, overhead and profit and permit costs excepting only applicable taxes which shall be identified separately in the Proposal. Any items omitted therefrom which are clearly necessary for the completion of the Work shall be considered part of the Work and included in the price submitted, notwithstanding that it may not be directly specified in the Bid Solicitation.

2.16 Taxes, Duties and Freight

Harmonized Sales Tax (“H.S.T.”) applies to all goods and services purchased by the City, unless such goods or services are specifically exempted. H.S.T. is calculated at the applicable rate and is payable by the City at the time payment is made for the purchase. Proponents will be required to register for purposes of the tax, collect the tax on their taxable supplies to the City and remit to governmental authorities as required by legislation. Proponents will be required to provide the City with their H.S.T. registration number. The H.S.T. will be identified separately on the Bid form. The total Contract price shall be inclusive of all government sales taxes, including H.S.T., custom duties and excise taxes applicable with respect to the Contract, and shall be paid by the Proponent unless otherwise provided by statute. All invoices and progress billings issued to the City must contain adequate information and supporting documentation as specified by legislation and regulations for the purpose of input tax credits and/or rebates in respect of the H.S.T. payable or paid by the City. The successful Proponent, if and when required, will provide any necessary documentation that the City would require to support H.S.T. recovery claims.

Prices for any Goods shall be F.O.B. destination shown and shall include all fees, tariffs, charges, surcharges and/or expenses associated with the delivery of any kind.

2.17 Substitutions

Wherever possible generic specifications have been used to describe goods or services or the term “brand name” or “equivalent” to ensure that there are fair and equitable opportunities for all Proponents. Where, pursuant to the Bid Solicitation, the Proponent is required to supply a product or group of related products designated by trade or supplier’s name followed by the words “or approved equal” or similar terminology, the Bid Solicitation shall be based only upon supplying the product or group of products so designated, which shall be regarded as the standard of quality required by the specifications. No request for a substitution shall be made by a Proponent prior to award of the Bid Solicitation. Subsequent to the Award, substitutions shall be made only with the prior written approval of the City, which approval shall be at the sole discretion of the City. No price shall be based on a presumed acceptance by the City of a substitute item or supply.

2.18 Materials/Equipment

Unless otherwise stated by the City, Goods of any type offered to the City hereunder shall be new and unused, of good quality and free from defects in workmanship, material and design. Receipt by the City of any Goods shall not waive any of the Proponent’s obligations herein and any defective Goods shall be returned and replaced at the Proponent’s sole risk and expense. Unless otherwise stated, Goods supplied shall comply with all applicable specifications and industry standards, whether or not such specifications or standards are referenced in this Bid Solicitation (for example CSA, ESA, UL, etc…).

2.19 Costs Incurred By Proponents

All expenses involved with the preparation and submission of Proposals to the City, or any Work performed in connection therewith shall be the responsibility of the Proponent. No payment will be made for any Proposal received or for any other effort required or made by the Proponent prior to commencement of Work as defined by the Bid Solicitation.

2.20 Withdrawal of Proposals

A Proponent may request that his or her submitted Proposal be withdrawn, up until the expiry of the time for submission of Proposals for a particular Bid Solicitation. A Proponent wishing to withdraw from a particular Bid Solicitation must execute an appropriate withdrawal form, signed by a principal of the Proponent, or provide a letter from the Proponent, signed by a principal, withdrawing the Proposal. The Agent shall then return the withdrawn Proposal unopened to the Proponent. The completed withdrawal form, specific to the time of return, shall then be signed by the Agent and kept with the other Proposals until the opening of Proposals. The withdrawal of a Proposal in accordance with this section shall not disqualify a Proponent from submitting another Proposal for the same Bid Solicitation.

2.21 Limit on Liability

The Proponents agree that, if the City is found to be liable for any act or omission in respect of, without limitation, the administration of the procurement process or award by it of this Bid Solicitation, the total liability and aggregate amount of damages recoverable against the City for any matter or relating to or arising from any act or omission by the City, whether based upon an action or claim in contract, warranty, equity, negligence or otherwise, shall be limited to the Proponent’s cost of preparing its Proposal.

2.22 Debriefing

Proponents may, within 60 business days of being informed that they have been unsuccessful in relation to this Bid Solicitation, make a written request to the official point of contact for a debriefing and the City shall arrange a debriefing meeting to discuss the details of the particular Proponent’s submission. Where a Proponent is dissatisfied subsequent to the debriefing meeting, he or she may, within 10 business days of the date of the debriefing meeting, file a formal written complaint to the City’s Purchasing Agent which complaint shall be investigated and a written response provided within 60 business days of receipt of the formal written complaint.

2.23 Anti-Idling

The City endeavors to be an environmentally responsible municipal government. We encourage contractors performing Work on behalf of the City to avoid, whenever possible, unnecessary engine idling.

2.25 Application of Municipal Freedom of Information and Protection of Privacy Act

By submitting a Bid, the Bidder agrees that any and all information contained in its Bid will be treated in accordance with the relevant provisions of the Municipal Freedom of Information and Protection of Privacy Act (MFIPPA). Section 10 of MFIPPA extends protection in certain circumstances to records which reveal a trade secret or scientific, commercial, financial or labour relations information. The Information and Privacy Commissioner (IPC) has held that unit pricing, quantities and extended prices arising out of competitive procurement are records that a municipality may not refuse to disclose pursuant to section 10 of MFIPPA. Accordingly, the City reserves the right to disclose pricing information, including quantities and unit, extended and total pricing, and the Bidder, in submitting its Bid, hereby consents to such disclosure.

2.26 Conflict of Interest

Proponents shall immediately disclose to the official point of contact any potential or real conflict of interest whether direct or indirect in nature as it may relate to the City, its elected officials, officers, employees and/or the present Bid Solicitation. Where, in the City’s opinion, a significant conflict of interest is found to exist and cannot be sufficiently mitigated, the City reserves the right to disqualify the Proponent from participating in the Bid Solicitation.

3 Part 3 – Submission Requirements

3.1 Submission Requirements

In addition and subject to the requirements of Schedule “B” of the City’s Purchasing By-Law attached hereto which should be carefully reviewed by Proponents, Proponents shall comply with the following submission requirements: a) The Proponent should submit six (6) copies of its Proposal using the RFP bid

forms attached to this Bid Solicitation, including the Time Task Matrix, all of which shall contain a signature of the person submitting the Bid or the person duly authorized by a corporate entity to submit a Bid on its behalf. At least one copy of the Bid should be marked as the “original”. Proponents should also submit an electronic copy of their Proposal on a USB key in Adobe PDF format. The page limit for the proposal is a maximum of five (5) pages for company information plus a maximum of twenty (20) pages for the section containing the proponent’s

technical proposal and relevant qualification and experience. Page limits are inclusive of project data sheets and company brochures, but exclusive of resumes and the financial component, which are to be included in appendices. Paper, 8.5 x 11 inch paper, bound, pages numbered with text divided into sections addressing the requirements set out herein in a logical manner reflecting the requirements of the RFP.

b) Ensure the Addendum Acknowledgment Section has been completed if any

addendums have been issued. Failure to complete this section when addendums have been issued may render your Proposal as non-compliant.

c) Complete and submit the Declaration of Accessibility Compliance Form d) When preparing your Proposal submission, please refer to Schedule ‘B’ to CGS

Purchasing By-Law 2014-1, to ensure compliancy of your submission.

4 Part 4 – Terms and Conditions

4.1 Contract

Following the award of the Bid Solicitation, the City shall notify the successful Proponent(s) that its Proposal has been accepted. Where applicable, the contract will be delivered to the successful Proponent(s) in person or by mail. The successful Proponent will be required to enter into and execute the Contract attached to this Request for Proposal in substantially the form as it appears. The successful Proponent(s) shall have 14 calendar days from receipt of the document to execute and return same to the City. Failure to execute and return the contract within the specified time may result in legal action, the disqualification of the Proponent from future Bid Solicitations, the forfeiture of any Bid Deposit, the award by the City to another Proponent and/or the issuance of a new Bid Solicitation.

4.2 Payment Terms

Unless otherwise specified, the terms of payment for all invoices relating to this Bid Solicitation are net 30 days and the successful Proponent shall only invoice the City for Goods, Services and/or Construction provided in accordance with the Bid Solicitation or as may be mutually agreed in writing between the parties. Invoices shall include the Contract number for the Bid Solicitation and any purchase order number, where applicable. Failure to reference the Contract number and/or Purchase Order number, where applicable, may result in the delay or non-payment of invoices.

For Bid Solicitations that involve Improvements as defined in the Construction Lien Act, the Proponent shall follow all steps required by such legislation and payment(s) by the City shall be made in accordance with the provisions thereof. Where the City is of the opinion, in its sole discretion, that there are issues of quality, defects, non-conformance or non-performance, the City, in addition to other legal rights it may have, reserves the right to withhold payment in an amount appropriate given the nature of the issues until such issues have been rectified to the City’s satisfaction.

4.3 Permits, Licences and Approvals

Unless otherwise stated, the successful Proponent shall be responsible for applying for, obtaining and maintaining, at its own cost (excepting building permit fees, municipal site plan approval or committee of adjustment application fees) all necessary permits, licences, consents and approvals relating to the provision of the Work in accordance with the Contract and shall not do or cause to be done anything in violation of any such permits, licences, consents and approvals. If the attention of the successful Proponent is called to any such violation on the part of the successful Proponent, or of any person employed or engaged by the successful Proponent, the successful Proponent shall immediately, at its sole expense, cease such action and correct the violation. Further, upon completion of the Work, the Proponent must furnish final certificates of approval by the inspecting authority, where applicable and required.

4.4 Exclusivity Clause

The City makes no guarantee of the value or volume of the Goods or Services to be purchased from the successful Proponent. The Bid Solicitation will not result in an exclusive Contract for the provision of the described Goods or Services . The City may contract with others for the same or similar Goods or Services to those described in this Bid Solicitation or may obtain same or similar Goods or Services internally.

4.5 Cancellation/Suspension/Termination

The City, in its sole discretion and at any time during the term of the Contract hereunder, reserves the right, upon notice in writing to the successful Proponent, to immediately cancel or delete any portion of the Work that is the subject of this Bid Solicitation and the Proponent agrees to such cancellation or deletion without any claim whatsoever because of such cancellation or deletion. The City, in its sole discretion and at any time during the term of the Contract hereunder, reserves the right, upon thirty (30) days notice in writing to the successful Proponent, to suspend or terminate the Contract entered into hereunder and the Proponent agrees to such suspension or termination without any claim whatsoever because of such suspension or termination.

The City may immediately terminate the Contract by notice in writing without any liability for doing so where, the City, in its sole discretion, determines that the successful Proponent has failed to supply the Goods or Services that are the subject of this Bid Solicitation, has supplied Goods or Services that are not in strict compliance with the requirements of this Bid Solicitation or has failed to comply with any terms or conditions of the Contract between the parties.

4.6 (Removed Intentionally)

4.7 Workplace Safety and Insurance Board

Prior to commencement of any Work herein, the successful Proponent shall provide to the City a Certificate of Clearance from the Workplace Safety and Insurance Board. The successful Proponent shall maintain its good standing and shall provide to the City current Certificates of Clearance throughout the duration of the Contract.

4.8 Insurance

For the duration of this Contract, the successful Proponent shall, at its expense maintain in effect, with an insurer licensed in Ontario the following insurance coverages and policies:

(a) Comprehensive general liability insurance on an occurrence basis for an amount not less than five million ($5,000,000) dollars. Any Aggregate limit shall be equal to or greater than the amount of minimum requirements stated above, for the Comprehensive General Liability policy. Such policy shall include non-owned automobile liability, personal injury, broad form property damage, contractual liability, owners’ and contractors’ protective, products and completed operations, contingent employers liability, cross liability and severability of interest clauses;

(b) Automobile liability insurance including all vehicles and commercial trailers owned or leased by the successful Proponent, for an amount not less than two million ($2,000,000) dollars on forms meeting statutory requirements covering all vehicles used in any manner in connection with the performance of the requirements of this Contract;

(c) Errors and Omissions Professional Liability covering the work and services described in this Bid Solicitation, such policy to provide coverage for an amount not less than two Million ($2,000,000.00) dollars and shall continue for twelve (12) months following completion of work. and,

(d) In the event a watercraft were used in the execution of the work required in this Proposal, then the successful Proponent would require marine liability coverage for an amount not less than two Million ($2,000,000.00) dollars.

Each policy of insurance shall provide that the policy shall be non-contributing with, and shall apply only as primary and not as excess to any other insurance available to the City. To the extent applicable, the policies herein shall include the City as an additional insured with respect to the successful Proponent’s operations, acts and omissions relating to its obligations under the Contract. Each policy of insurance shall contain either no deductible amount or a deductible amount which is reasonable considering the financial circumstances of the successful Proponent. The successful Proponent shall be responsible to pay all deductible amounts. Each policy of insurance shall also provide that neither the successful Proponent nor the insurer shall cancel, materially change or allow the policy to lapse without first giving the City thirty days prior written notice. No policy shall contain any provision which would contravene the obligations of the successful Proponent hereunder or otherwise be to the detriment of the City. Within 14 calendar days of being advised of the award the successful Proponent shall provide or cause to be provided to the City a certificate of insurance completed by its insurer, in the City’s standard form, which shows that the policy or policies placed and maintained by it complies with the requirements of this Bid Solicitation. Upon request by the City, the successful Proponent shall forthwith provide full copies of the insurance policies required herein. The City’s standard Certificate of Insurance form can be obtained at: http://www.greatersudbury.ca/business/tenders-purchasing/certificate-of-insurance-for-contractors/. The successful Proponent shall not commence work until satisfactory evidence of insurance has been filed with and approved by the City. No review or approval of any such insurance certificate by the City shall derogate from or diminish the City’s rights or the successful Proponent’s obligation contained in this Contract. The successful Proponent shall further ensure that evidence of the continuance of said insurance is filed with the City prior to each policy renewal date for the duration of the contract. If at any time the City is of the opinion that the insurance taken out by the successful Proponent is inadequate in any respect, it shall forthwith advise the successful Proponent and the successful Proponent shall forthwith take out additional insurance satisfactory to the City. The taking out of insurance shall not relieve the successful Proponent of any of its obligations under this Bid Solicitation or limit its liability hereunder. 4.9 Indemnification

The successful Proponent shall indemnify and save harmless the City, its elected and unelected officials, officers, employees and agents (the “Indemnified Parties”) from and against all costs (including, without limitation, legal fees, disbursements and administrative costs), claims, actions, losses, injuries, expenses, damages, fines, judgments or recoveries suffered by or made, brought or recovered against the Indemnifies Parties, or any of them, resulting from any act or omission, willful misconduct or errors of the successful Proponent, its directors, officers, employees, agents, assigns or anyone for whom at law the successful Proponent is responsible in connection with the Work provided, purported to be provided or required to be provided hereunder unless the injury, loss or damage is caused solely by the negligence of the Indemnified Parties while acting within the scope of their respective employment, roles or duties.

4.10 Set-Off

During the term of the Contract the City reserves the right to set-off any indebtedness of the successful Proponent to the City, regardless of how such indebtedness arises, against amounts owed to the successful Proponent hereunder.

4.11 Ownership of Deliverables

Unless otherwise stated and to the extent permitted by law any deliverables required of the successful Proponent hereunder shall be the exclusive property of the City. The City shall own all rights of copyright and such deliverables shall not be used, copied or modified by anyone without the prior written permission of the City.

4.12 Salvage Goods

If the Work herein involves the removal or replacement of any Goods, material or equipment that may be of some continuing value, such Goods, material or equipment shall remain the property of the City unless otherwise stated herein and the successful Proponent shall return or provide such Goods, material or equipment to a location as determined by the City.

4.13 Confidentiality

The successful Proponent agrees that all personal information that it acquires knowledge of as a result of the Work will be used, retained, protected, disclosed and disposed of in accordance with all applicable municipal, provincial and federal laws and regulations governing the collection, use, retention, disclosure and disposal of such information, including but not limited to the Municipal Freedom of Information and Protection of Privacy Act. The successful Proponent shall not at any time before, during or after completion of the Work, use or disclose any personal or confidential information communicated to it or acquired by it in the course of carrying out the Work for any purpose other than the completion of the Work herein, in accordance with applicable law or as specifically agreed in writing by the City.

4.14 Accessibility

The City is committed to the accessibility principles of preventing and removing barriers in accessing goods and services for people with disabilities and is bound by the standards under the Accessibility for Ontarians with Disabilities Act, 2005, as may be amended from time to time.

Regulations enacted under the Act apply to the City and third parties that provide Goods and Services to members of the public. The successful Proponent and any subcontractors hereunder will meet or exceed compliance with all applicable regulations under the Accessibility for Ontarians with Disabilities Act, 2005 and it is the successful Proponent’s responsibility to ensure it is fully aware of, and meets all requirements.

4.15 Applicable Law

The successful Proponent shall comply and ensure compliance with all applicable laws, regulations, rules and by-laws of the federal, provincial and municipal governments. This Bid Solicitation and any Contract entered into between the parties hereunder shall be governed and construed in accordance with the laws of the province of Ontario. Any legal proceedings shall be commenced before the Superior Court of Justice in the District of Sudbury.

4.16 Assignment

The successful Proponent shall not assign, transfer, convey or otherwise dispose of its Contract or its right, title or interest therein, or its power to execute such Contract to any other person, firm or corporation without the prior written consent of the City which consent may be withheld or granted subject to conditions, in the City’s sole discretion.

4.17 Occupational Health and Safety

The successful Proponent acknowledges that it has read, understood and shall at all times comply and ensure compliance by its workers and any subcontractors with all applicable federal, provincial or municipal legislation relating to occupational health and safety, all applicable regulations thereunder and any and all applicable industry standards and guidelines pertaining to the Work. Without limiting the generality of the foregoing, the successful Proponent shall be responsible for taking every precaution reasonable in the circumstances for the protection of all workers associated with the Work, whether employed by the successful Proponent, or a third party. The successful Proponent shall ensure that it has implemented and maintains a comprehensive safety program in relation to the Work including but not limited to having written policies and procedures relating to health and safety aspects of the Work, training on all applicable health and safety requirements, standards and guidelines and monitoring and enforcement of its safety program. The successful Proponent shall maintain and shall provide forthwith to the City upon request records relating to: 1) critical, lost time or medical aid injuries related to the Work; 2) training, monitoring and enforcement records including any Orders issued by enforcement authorities; 3) its health and safety policies and/or program. Where advised by the City, the successful Proponent shall comply with the City’s policies and or procedures and in such circumstances the successful Proponent shall ensure proper training and supervision.

The successful Proponent shall provide adequate levels of supervision to ensure all safety aspects of the Work and shall attend safety meetings with City representatives as requested throughout the duration of the Work. The successful Proponent shall be fully responsible for ensuring that any subcontractors and their employees are qualified to perform the Work and fully trained in applicable health and safety requirements. Prior to commencement of any Work, the successful Proponent shall provide a list of the names and addresses for any subcontractors that it proposes to use for the Work. The successful Proponent and any subcontractors shall immediately comply with any and all directions given by the City representatives where Work being performed is not in compliance with applicable legislative requirements relating to health and safety. Prior to commencing any Work hereunder and in addition to the requirements above the successful Proponent shall ensure that its workers that will collect data in the field successfully complete the NORCAT CGS EHS Rules - Service Contracts or CGS is Constructor training module. Upon successful completion of the NORCAT training, a NORCAT Safety Wallet Smart Card shall be issued to each Worker and must remain on their person throughout the duration of the contract and be provided upon request to a CGS representative. Course registration can be made by phone at 705-521-8324 extension 243, Monday to Friday, 9:00 a.m. to 4:00 p.m. The cost of the training, as established by NORCAT, shall be the sole responsibility of the Contractor.

Prior to commencing any Work hereunder and in addition to the requirements above the successful Proponent shall ensure that it provides their procedures for working near / on water and evidence that their workers have been trained.

The City of Greater Sudbury has partnered with NORCAT to manage the training records as required by each contract. Contractors may submit their training records to the Registration Office at NORCAT. Training records can be physically brought into NORCAT at 1545 Maley Drive in Sudbury or, if more convenient e-mailed to: [email protected] to be uploaded on behalf of the clients but will not show as fully compliant until the service fee is paid in person at the NORCAT facility. The fee for this service is $20 per individual per year and records may be updated as often as necessary within the year at no additional cost. These records of training will be uploaded onto the individual’ s NORCAT Safety Wallet Smart Card. City of Greater Sudbury personnel will be scanning the NORCAT Safety Wallet Smart Card periodically to ensure compliance with the training outlined in the contract documents.

5 Part 5 – Definitions and Interpretation

5.1 Definitions

“City” means the municipal corporation of the City of Greater Sudbury; “Work” shall include all Goods, Services and/or Construction described in this Bid Solicitation and any Goods, Services and/or Construction necessarily incidental to those described as required for the proper delivery or provision Goods, Services and/or Construction;

5.2 Interpretation

(a) Terms herein which are undefined herein shall, where applicable, have the meaning ascribed to them in the City’s Purchasing By-law, as amended from time to time. (b) All references to amounts in this Bid Solicitation shall be in Canadian dollars unless another currency is specifically requested herein.

(b) Failure to include a signature of the person authorized to bind the Bidder in the space provided in the Bid documents.

14 (a) Uninitialled changes to the Tender documents, other than unit prices, which are trivial or insignificant;

Four (4) business days to initial changes. The determination of what constitutes trivial or insignificant uninitialled changes shall be made in the opinion of the Agent and the applicable SMT Member in consultation with the City Solicitor.

CGS CLIENT/CONSULTANT AGREEMENT

THIS AGREEMENT made this xx of xx, 2016 and known as

Contract ISD16-222, Request for Proposal for Junction Creek Sub-Watershed Study and Stormwater Master Plan

BETWEEN: CITY OF GREATER SUDBURY

hereinafter called the "City"

- and - Insert Corporate Name

hereinafter called the "Consultant"

WHEREAS, the City intends to engage the services of the Consultant in connection with the project as hereinafter described (the "Project"): Request for Proposal Various Mechanical and Electrical Audits and Upgrades Analysis for Various Locations

AND WHEREAS the City desires to have the Consultant perform services in connection with the Project;

NOW THEREFORE WITNESSETH that in consideration of the covenants herein, the City and the Consultant mutually agree as follows: 1. Retainer

The City hereby retains the services of the Consultant in connection with the Project and the Consultant hereby agrees to provide services under the general direction and control of the City.

2. Compensation

(a) The City shall pay the Consultant at the established rate(s). The Consultant shall submit an invoice to the City for all services completed in the immediately preceding month. The City shall pay the Consultant within (30) days of receipt of the invoice.

(b) When requested by the City, the Consultant shall provide, for approval by the City:

(i.) An estimate of the total fees to be paid for the services;

(ii.) Payment estimates must be approved. No estimates will be changed and will be as per rates.

(iii.) A schedule of progress showing an estimate of the portion of the services to be completed in

each month and an estimate of the portion of the fee which will be payable for each such month;

(iv.) A Staff list showing the number, classifications and salary ranges of staff and/or hourly rate

ranges for Principals and Executives, for which the Consultant will seek payment pursuant to the terms, as agreed. The Consultant shall relate such information to the particular type of work that such staff is to perform, while employed on the Project. 33 of 71

Such list shall designate the member of the Consultant's staff who is to be the liaison person between the Consultant and the City.

(c) The Consultant shall not receive any payment of fees until approval, in writing, is issued by the City for the above estimate of fees, schedule of progress and staff list.

(d) The Consultant will require prior approval, in writing, by the City for any of the following changes:

(i) Any increase in the estimated fees beyond those approved under Section 2(b)(i);

(ii) Any change in the schedule of progress which results in a longer period than approved in

Section 2(b)(ii);

(iii) Any change in the number, classifications and salary ranges of the staff provided in Section 2(b)(iii).

(e) When requested by the City, the Consultant shall provide a monthly report to the City (descriptive

and fee value) showing:

(i) the portion of the Services completed in the preceding month;

(ii) services completed to date;

(iii) remaining Services to be completed. 3. Staff and Methods

(a) Unless otherwise agreed, the Consultant shall use current state of the art principles and shall skillfully and competently perform the Services and shall employ only skilled and competent staff who will be under the supervision of a senior member of the Consultant's staff with the approval of the City.

(b) The Consultant shall inform himself of applicable procedures and standards established by the City

and shall comply with such procedures and standards in the performance of the Services.

(c) The Consultant shall obtain the prior agreement of the City before making any changes to the staff list after commencement of the Project.

4. Ownership and Use of Documents

(a) Drawings and documents or copies thereof required for the Project shall be exchanged between the parties on a reciprocal basis.

(b) Where the parties have not otherwise agreed, all drawings, plans, information, mathematical or

computer models, statistical data and reports compiled or prepared by the Consultant pursuant to this Agreement shall be the exclusive property of the City whether the Project be executed or not. The City shall own all rights of copyright therein and they are not to be used by anyone without the permission of the City.

(c) In the event that the said documents and models are used by the City for purposes other than in

connection with the Project, or if the said documents and models have been amended, altered or revised in any manner whatsoever without notice to the Consultant and without receiving its prior written consent, the Consultant does not warrant the fitness of same for the City’s use, and the City agrees to indemnify and hold harmless and defend the Consultant from and against all claims, demands, losses or damages, liability and costs associated with such use by the City. 34 of 71

5. Patents and Trademarks

(a) All concepts, products or processes produced by or resulting from the Services rendered by the Consultant in connection with the Project, or which are otherwise developed or first reduced to practice by the Consultant in performance of its Services, and which are patentable, capable of trademark or otherwise, shall be and remain the property of the Consultant unless the concepts, products or processes were conceived by, or jointly conceived with, the City.

(b) The City shall have permanent non-exclusive royalty-free license to use the concept, product or

process, which is patentable, capable of trademark or otherwise produced by or resulting from Services rendered by the Consultant in connection with the Project.

6. Changes and Alterations and Additional Services

With the consent of the Consultant, the City may in writing at any time after the execution of the Agreement or the commencement of the Services delete, extend, increase, vary or otherwise alter the services forming the subject of the Agreement, and if such action by the City necessitates additional staff or services, the Consultant shall be paid at the established rate(s).

7. Suspension or Termination

(a) The City may at any time, by notice in writing to the Consultant, suspend or terminate the Services or any portion thereof at any stage of the undertaking. Upon receipt of such written notice, the Consultant shall perform no further Services other than those reasonably necessary to close out its services. In such an event, the Consultant shall be entitled to payment at the established rate(s) for the work reasonably necessary to close out its services only.

(b) If the Consultant is practicing as an individual and dies or becomes incapacitated before the Services

have been completed, this Agreement shall terminate as of the date of death, or incapacity, as applicable, and the City shall pay for the Services rendered by the Consultant to the date of such termination.

8. Indemnification

(a) The Consultant shall indemnify and save harmless the City, its officers, employees or agents from and against any and all claims, actions, losses, expenses, costs or damages of every nature and kind whatsoever resulting from or connected with the Project to the Extent that they are caused by: (i) negligent acts, errors or omissions of the Consultant, its officers, employees or agents in

providing services on the Project;

(ii) failure of the Consultant, its officers, employees or agents to comply in material respects with federal, provincial, and local laws and regulations applicable to services undertaken by the Consultant hereunder;

(iii) breach of this Agreement by the Consultant, its officers, employees or agents; or

(iv) a wilful misconduct on the part of the Consultant, its officers, employees or agents.

(b) Without limiting the generality of the foregoing, the Consultant shall also indemnify and save

harmless the City from and against all actions, claims and demands whatsoever which may be brought against or made upon the City for the infringement of or use of any intellectual property rights including any copyright or patent arising out of the reproduction or use in any manner of 35 of 71

information of any kind whatsoever furnished by the Consultant in the performance of this Agreement.

9. Insurance

(1) The Consultant shall ensure that all insurance coverage including all provisions relating to insurance coverage set out in this section are in place prior to the commencement of services pursuant to this Agreement.

(2) During the Term of this Agreement, and any renewal or extension thereof, the Consultant will, at its

expense (including the cost of deductibles) maintain in effect, with an insurer licensed in Ontario:

(a) a contract of general liability insurance for its operations, with limits of not less than Five Million ($5,000,000) Dollars, in addition to coverages for defense and claimants costs, all for any one occurrence, including coverages for:

(i) personal injury including death; (ii) property damage or loss (direct or indirect and including loss of use thereof); (iii) broad form property damage; (iv) contractual liability; (v) non-owned automobile liability; (vi) products - completed operations; (vii) contingent employers’ liability; (viii) cross liability; (ix) severability of interest; and (x) blanket contractual liability. all of standard wording. The policy of insurance shall name the City of Greater Sudbury as an additional insured with respect to its interest in the operations of the Consultant; shall provide that the policy shall be non-contributing with, and apply only as primary and not as excess to any other insurance available to the City; and shall also provide that neither the Consultant nor the insurer shall cancel, materially change or allow the policy to lapse without first giving the City thirty days prior written notice.

(b) a policy of professional liability insurance or other errors and omissions insurance covering

claims and expenses for liability for loss or damage arising from negligence in the administration or application of professional services or guarantee or work rendered, of standard wording, with coverage of no less than Two Million ($2,000,000) Dollars; and

(c) a policy of motor vehicle liability insurance of standard wording, covering:

(i) motor vehicles owned, leased or operated by or on behalf of the Consultant, in

connection with the Services provided or to be provided under this Agreement, with coverage of not less than Two Million ($2,000,000) Dollars per claim; and

(ii) equipment leased, borrowed, rented or operated by or on behalf of the Consultant,

with coverage of not less than Two Million ($2,000,000) Dollars. (d) When requested by the City, provide Environmental liability coverage in an amount not less

than two (2) Million ($2,000,000) Dollars per occurrence and in the aggregate with coverage to include first party cleanup, third party property damage and bodily injury liability. Such Policy shall remain in force for twelve (12) months following completion of the Work.

Every policy of insurance shall contain either no deductible amount or a deductible amount which is

reasonable considering the financial circumstances of the Consultant. The Consultant shall be responsible to pay all deductible amounts.

No policy shall contain any provision which would contravene the obligations of the Consultant hereunder or otherwise be to the detriment of the City.

The Consultant shall provide or cause to be provided to the City a certificate from its insurer, in the

City’s standard form, which shows that the policy or policies placed and maintained by it complies with the requirements of this agreement. No review or approval of any such insurance certificate by the City shall derogate from or diminish the City’s rights or the Consultants obligation contained in this Agreement.

(3) If at any time the City is of the opinion that the insurance taken out by the Consultant is inadequate

in any respect, it shall forthwith advise the Consultant of the reasons therefor and the Consultant shall forthwith take out additional insurance satisfactory to the City.

(4) The taking out of insurance shall not relieve the Consultant of any of its obligations under this agreement or limit its liability hereunder.

10. Contracting for Construction

Neither the Consultant nor any person, firm or corporation associated or affiliated with or subsidiary to the Consultant shall tender for the construction of the Project, or have an interest either directly or indirectly in the construction of the Project.

11. Non-Assignment The Consultant shall not assign this Agreement or any part thereof, without obtaining the prior written

approval of the City, which approval may be withheld by the City in its sole discretion, or given subject to such terms and conditions as the City may impose.

12. Approval by Other Authorities

Unless otherwise provided in this Agreement, where the work of the Consultant is subject to the approval or review of an authority, department of government, or agency other than the City, such applications for approval or review shall be the responsibility of the Consultant, but shall be submitted through the offices of the City and unless authorized by the City in writing, such applications for approval or review shall not be obtained by direct contact by the Consultant with such other authority, department of government or agency.

13. Specialized Services and Sub-consultants

The Consultant may engage others for specialized services provided that prior approval is obtained, in writing, from the City. When sub-consultants are proposed, the Consultant will provide all pertinent information including sub-consultant name, address, team members, anticipated work description, and hourly rates of applicable job descriptions. Markup of Sub-consultant fees by the Consultant will not be paid by the City.

14. Inspection

The City, or persons authorized by the City, shall have the right, at all reasonable times, to inspect or otherwise review the Services performed, or being performed, under the Project and the premises where they are being performed.

15. Publication

The Consultant shall obtain the consent in writing of the City before publishing or issuing any detailed information regarding the Project.

16. Confidential Information

The Consultant shall not divulge any confidential information communicated to or acquired by him, or disclosed by the City in the course of carrying out the Services provided for herein. No such information shall be used by the Consultant on any other project without the approval in writing of the City, as required by law.

17. Arbitration

(a) Any dispute, difference or disagreement between the parties hereto regarding the services provided by the Consultant or arising from the application or interpretation of this Agreement may with the consent of both parties, be referred to arbitration.

(b) No person shall be appointed to act as arbitrator who is in any way interested, financially or

otherwise, in the conduct of the work on the Project or in the business or other affairs of either the City or the Consultant.

(c) If the parties elect to refer to arbitration any dispute, difference or disagreement:

(i) The award of the arbitrator shall be final and binding upon the parties;

(i) The provisions of the Arbitration Act, S.O., 1991, Chapter 17, as amended shall apply, unless

the parties agree otherwise.

18. Time

(a) The Consultant shall perform the Services expeditiously to meet the requirements of the City and shall complete any portion or portions of the Services in such order as the City may require and the City shall have the right to take possession of and use any completed or partially completed portions of the work notwithstanding any provisions expressed or implied to the contrary.

(b) The Consultant shall perform all the Services required under this Agreement by the date or dates

agreed to by the parties, or as otherwise approved, in writing, by the City. Requests for extensions of the completion date shall be submitted, in writing, by the Consultant no later than twenty (20) days prior to the completion date.

(c) The City shall give due consideration to all designs, drawings, plans, specifications, reports, tenders,

proposals and other information submitted by the Consultant, and shall make any decisions which it is required to make in connection therewith within a reasonable time so as not to delay the work of the Consultant.

19. Complete Agreement

(a) The contents of any invitation by the City for proposals, any proposal to provide services that is accepted by the City, and any schedules attached hereto shall be deemed to be part of this Agreement.

(b) In the event of any inconsistency or conflict in the provisions of this Agreement, such provisions shall

take precedence and govern in the following order: 38 of 71

(i) this signed Agreement between the Consultant and the City;

(ii) the proposal that has been accepted by the City;

(iii) the invitation for proposals made by the City;

(iv) any schedule(s), other than the accepted proposal and the invitation for proposals, attached

hereto.

(c) This Agreement constitutes the sole and entire agreement between the City and the Consultant relating to the Project, and supersedes all prior agreements between them, whether written or oral, respecting the subject matter hereof, and no other terms, conditions or warranties, whether express or implied, shall form a part thereof.

(d) If one or more of the phrases, sentences, clauses, paragraphs, sections or subsections contained in

this Agreement shall be declared invalid by the final and unappealable order, decree or judgment of any court of competent jurisdiction, this Agreement shall be construed as if such phrase(s), sentence(s), clause(s), paragraph(s), section(s) or subsection(s), had not been inserted.

(e) This Agreement may be amended only by written instrument signed by both the City and the

Consultant, or by a court order pursuant to subsection (d) hereof. 20. Gender and Number

Words importing the masculine gender shall include the feminine and neuter, and the singular shall include the plural where the meaning or context so requires.

21. Headings

Section headings contained herein are included solely for convenience, and are not intended to be full or accurate descriptions of the content hereof and shall not be considered part of this Agreement.

1 Introduction

Through this Request for Proposal, the City of Greater Sudbury (City) is looking to retain a qualified consultant to complete a sub-watershed study and Master Plan document to develop a management strategy for the Junction Creek Sub-watershed. The City has been fortunate to receive the funding to complete this project from the Ministry of the Environment and Climate Change (MOECC). To fulfill the requirements of the funding agreement there are specified timeframes and deliverables. The Junction Creek Sub-watershed study area comprises a significant portion of the City of Greater Sudbury, and encompasses an area of approximately 320 km2 including significant portions of land both upstream and downstream of the City Centre. The creek is a major tributary of the Vermilion River, and it is about 52 km in length. Upstream, it flows 23 km from Garson Township, through downtown Sudbury, to its delta at Kelly Lake. In downtown Sudbury, approximately 760 m of the main branch of Junction Creek is directed through box culverts that were constructed in sections from the 1930’s to 1970’s. Beyond Kelly Lake, the creek continues southwest, through several lakes, before entering the Vermilion River. There are seven major tributaries in this area are the: Garson, Maley, Frood, Nolin, Lily Creek, Copper Cliff, and Meat Bird all of which drain geologically and topographically similar areas. The sub-watershed has the unique geological features of exposed bedrock and thin surficial soil covers as well as rich mining history and related impacts that are heritage of the Sudbury area. The Ramsey Lake Subwatershed is part of the Junction Creek Subwatershed but will not be studied as part of this study, only the outflows for hydrologic / hydraulic analysis are to be considered. The study area is shown on Figure 1 in Appendix A. The primary intent of the study is to protect, maintain and enhance surface water and groundwater quality and quantity control through environmentally sound policy and management plan development. The resulting plan will provide guidance for development activities and provide recommendations for strategies to minimize degradation of water quality, flood risks, erosion, and all other impacts on natural systems. Recommendations will also identify opportunities for ecological enhancement and improvement throughout the sub-watershed. Integration of the various scientific disciplines involved in the study is key to the production of an effective sub-watershed master plan. The main objectives of this study are required to include, but not limited to:

• Protect and manage quantity and quality of surface water and groundwater resources; • Mitigate or minimize the risk of flooding and erosion in the sub-watershed; • Preserve natural hydrological and hydrogeological systems; • Identify the aquatic, wetland and terrestrial resources that should be protected or

enhanced; • Produce an implementation plan and identify specific projects needed to achieve the

goals identified by the sub-watershed study;

• Provide recommendations for the responsible management of the ecosystem on a sub-

watershed level; • Develop a monitoring plan, including key indicators needed to assess the measures

implemented, to allow for adaptive management and to guide future activities in the sub-watershed; and,

• Develop a reporting plan to communicate the results of the study, plan implementation, monitoring and future activities.

The study activities to be carried out as part of this sub-watershed study are outlined in Sections 2 to 7 of these Terms of Reference for the project. These sections are intended to give an overview of the project and not intended to be an exhaustive listing of the work activities. The sub-watershed study will follow the recommendations of Conservation Ontario’s Watershed Management in Ontario: Lessons Learned (2003) and is required to be conducted in accordance with the Master Plan (MP) Approach #2 under Municipal Class Environmental Assessment (EA) process updated November 2015 and is intended to address the first two phases of the EA process. Proponents are to include a Time Task Matrix displaying the breakdown of hours that each team member will devote to the project. Proponents are to include an MS Project schedule displaying major tasks, related cost, schedule and resources, including project’s critical path.

2 Technical Advisory Committee

A Technical Advisory Committee (TAC) will be established at the commencement of the sub-watershed study comprised of the following organizations and groups:

• City of Greater Sudbury – Project Manager; • City of Greater Sudbury – Senior Advisor; • City of Greater Sudbury – Senior Advisor; • City of Greater Sudbury – Committee Member; • City of Greater Sudbury – Committee Member; and, • Conservation Sudbury – Committee Member / Agency.

It is the responsibility of the Consultant Project Manager to maintain contact with the members of TAC to ensure successful completion of the sub-watershed study. The consultant is expected to have progress meetings with the TAC on a monthly basis to update the status of the sub-watershed study and receive input / direction as necessary. The meetings will be chaired by the consultant, and are intended to provide direction to the consultant and oversee the preparation of the study and the resolution of issues. The consultant is required to prepare and circulate meeting minutes/notes/actions within one week after the meeting date.

3 Public Consultation

3.1 Public Meeting and Open Houses

A thorough Public and Community Outreach Program consistent with the recommendations of Conservation Ontario is an essential component of this study.

It is envisioned that there will be a minimum of five (5) Public Meetings to be held during the course of the project to provide opportunities for the public to comment on the study at the following milestones:

1. Characterization: The initial public meeting will precede completion of Existing

Conditions Characterization, and will focus on presenting a summary of the findings in the characterization study, including opportunities and constraints identified for the sub-watershed, as well as a clear description of the next phases / steps in the process;

2. Development of Management Objectives and Targets: The second public meeting will focus on seeking input and feedback from the public on identifying / confirming management objectives and targets for the sub-watershed;

3. Development and Assessment of Alternative Solutions: The third public meeting is intended as a mandatory point of contact with the public stipulated under the Municipal Class EA process and will focus on acting to gain input and feedback from the public on the alternative solutions developed for the sub-watershed, as well as presenting evaluation criteria that will be used for the selection of the preferred alternative;

4. Recommendation of the Preferred Solution: The fourth public meeting intended as a mandatory point of contact with the public stipulated under the Municipal Class EA process and will focus on seeking input and feedback from the public on the evaluation process, and soliciting public comments and suggestions on the proposed preferred alternative; and,

5. Completion of the Sub-watershed Study: The final public meeting will be held at the completion of the study to present the final recommendations and management strategies developed for the sub-watershed.

The format of these Public Meetings (open house, design charrette, presentation etc.) is to be determined by the consultant. The City will arrange for meeting space and advertising for the meetings, however, the consultant will be responsible for arranging the preparation of public notices, circulation to stakeholders, and coordinating public meetings. The consultant will host stakeholder meetings for agencies, City staff and the Watershed Advisory Panel in advance of all public meetings. The consultant will prepare all the necessary presentation materials and documents, and address comments and questions from the public. Any suggested changes to the proposed public meeting plan should be identified and discussed by the consultant with a clear explanation of the value of the alternate public meeting plan.

The information collected at public meetings should be received for review by the consulting team. The consulting team should also review past information collected at previous public meetings for relevant projects within the subwatershed.

3.2 Communications Consultant

A communications consultant shall be engaged to assist the project in community engagement through a communications plan consistent with the Municipal Class EA. The communication consultant shall provide the following services at minimum:

• Prepare a comprehensive Communication Plan / Process for the sub-watershed study; • Prepare and manage publishing study notices, including newspaper advertisement for

the Notice of Study Commencement, Notice of Public Meetings, and Notice of Study Completion;

• Develop and maintain a comprehensive mailing list of all agencies, study area property owners, and other stakeholders;

• Prepare and / or assist with preparing correspondence in response to public, agency, and stakeholder comments and questions related to the sub-watershed study;

• Track communications through a Consultation Log / Stakeholder Database to document communications and responses; and,

• Post project milestone information for inclusion on the City’s website on a regular basis and update web content for the sub-watershed study as it progresses.

4 Existing Conditions Characterization

Characterization of existing environmental conditions (i.e. hydrology and hydraulics, groundwater, water quality, stream morphology, aquatic and terrestrial ecology) is a key component of the sub-watershed study and is required to define natural heritage and hazard features, functions, and linkages, as well as restoration opportunities related to terrestrial and aquatic habitat features, and constraints to development in the subwatershed. Characterization will also help to establish targets, and will be used to develop criteria and constraints for management opportunities associated with each environmental feature based upon the assessment of function. Existing information and supplementary site specific studies / investigations, if any, are required to develop this characterization.

4.1 Existing Information Review and Data Collection

4.1.1 Purpose

The purpose of Existing Information Review and Data Collection tasks is to consolidate, review, and summarize existing information in the study area relevant to this study followed by a data gap analysis to identify the gaps in the information through the background data review, and outline the additional data collection / field investigations that may be required to fill in the gaps.

The purpose of any additional data collection is to assist with a complete characterization of the existing conditions where there is a lack of existing information, and to identify the specific site conditions (e.g. fluvial geomorphologic conditions of Junction Creek and its tributary watercourses / stream channels) that may have a direct bearing on the planning, size, location and implementation of mitigation approaches within the sub-watershed. Opportunities may exist for utilizing local undergraduate and / or graduate university students and stakeholder groups to assist the project team with data collection for the study. The consultant is encouraged to consider these opportunities to help augment the data collection that may be required for the sub-watershed study.

Additional information from relevant projects and studies should also be reviewed and incorporated in such detail that analysis and evaluations may be completed. A list of relevant studies and other reference materials that may be used as part of completing the study is included in Section 8 of these Terms of Reference.

The components of Existing Information Review and Data Collection to be considered for the current study are outlined in Sections 4.1.2 to 4.1.9 of these Terms of Reference. A succinct Existing Conditions Report shall be produced which describes the existing conditions within the study area by summarizing the existing information and supplementary investigations.

4.1.2 Rainfall and Flow Data

The consultant is required to obtain and review the existing rainfall and flow monitoring data available from the City, Environment Canada, Vale Limited, and Conservation Sudbury in conjunction with reconnaissance of the monitoring locations.

The City collects rainfall data at David Street Water Treatment Plant. The rainfall monitoring station has been in operation since 2012, and hourly and daily data records are available for this station. The City has also been recording rainfall data since 2010 at a monitoring site located south of the study area, near 1981 Old Burwash Road. The aforementioned data as well as rainfall data collected by Environment Canada at the location(s) nearby the study area shall be used as part of the study.

Continuous discharge records and stream level data are available from Water Survey of Canada for two locations on the main branch of Junction Creek, one located at upstream of McLeod Street culvert, and the other one located downstream of Kelly Lake (downstream of Fielding Road bridge). Raw stream level data are also available from Conservation Sudbury for three locations at Maley dam, at Leslie Street Bridge and downstream of Simon Lake. Daily effluent discharge volumes for Vale wastewater treatment facilities are available and will be provided to the successful bidder for use in the sub-watershed study. Locations of the flow and rainfall monitoring stations / sites are shown on Figure 2 and Figure 3 in Appendix A as well data resolution information.

The consultant shall identify if additional rainfall and stream flow monitoring is required as part of the current sub-watershed study. If it is determined that additional data is required, this will be addressed as a scope change within the project to be negotiated with and approved by the City Project Manager prior to the work proceeding.

The consultant shall utilize the historical rainfall and flow data, in addition to the data collected as part of the sub-watershed study (if any) to improve the accuracy of hydrologic and hydraulic models.

4.1.3 Natural Heritage System

Existing & Background Data Collection and Review

The consultant shall review terrestrial and aquatic source data in the study area, including information collected by the Junction Creek Stewardship Committee as part of their 2014 Plant Biodiversity Survey and the 2004 Fish Community Assessment study, and provide a grading of ecosystem health conditions in the watershed.

The consultant shall: • Obtain any additional and relevant aquatic and terrestrial resources information and

mapping data / updates from the City, Conservation Sudbury and the Junction Creek Stewardship Committee;

• Obtain and review the most recent aerial photo coverage for the study area; and, • Review any relevant reports in addition to those identified in Section 8 that describe or

provide additional information regarding the study area’s natural heritage resources.

Aquatic Habitat and Fisheries

Habitat information, in terms of habitat potential, flow regimes, nutrient loadings, temperature, suspended solids, and fish populations shall be reviewed with Conservation Sudbury, Ministry of Natural Resources and Forestry (Sudbury District) and key staff at the Vale Living with Lakes Centre and the Junction Creek Stewardship Committee.

The consultant shall review the findings of previous study work. This includes findings of the Fish Community Assessment study that was conducted by the Cooperative Freshwater Ecology Unit of Laurentian University and the Junction Creek Stewardship Committee along 23 km of the main branch of Junction Creek from Garson to Kelly Lake during the summer of 2004. Based on the review of the existing conditions, the consultant shall identify the need for additional field investigations of fish and fish habitat. The purpose of these investigations should be to provide a general characterization of the fish community and fish habitat within the sub-watershed.

The following aspects of Fish and Aquatic Habitat shall be addressed, at minimum, when characterizing the existing conditions:

• Identification and assessment of sensitive surface water features, including wetlands, as defined by the Provincial Policy Statement;

• Description of the aquatic habitat conditions within the creek and its tributaries including flow regime, channel dimensions, spawning, in-stream cover, substrate quality water quality, and thermal regime (where data available);

• Watercourse/waterbodies classification based on habitat quality, present fish community, target fish community and thermal regime (where data available);

• Barriers to fish migration (both physical and velocity, for known or target species and life stages); and,

• Benthic invertebrate communities.

Terrestrial Resources

Land-based natural heritage features and functions (referred to here as 'terrestrial resources') are important to the overall ecological health of watersheds. The role of natural heritage features and functions will need to be recognized and assessed as part of this sub-watershed study.

The consultant shall review the findings of previous study work. This includes the findings of the 2014 Plant Biodiversity Survey completed by the Junction Creek Stewardship Committee for 16 sites along the upper reaches of Junction Creek from Garson to Kelly Lake, as well as wetland inventory mapping available for the sub-watershed from the City.

As part of developing or recommending any proposed mitigation strategy, the consultant shall consider the requirements associated with the City’s Official Plan Policy 9.2 as part of reviewing available information, and may require the potential for further evaluation including field review of terrestrial resources focusing only on areas where mitigations measures may be proposed by the consultant. Should the proposed mitigation strategy include significant natural heritage features and areas, as Environmental Impact Study (EIS) may be required consistent with Official Plan Policy 9.9 as a recommendation for future work.

The purpose of the data collection associated with the natural heritage features and areas is to provide background information to assist in meeting all EIS requirements.

The following aspects of Terrestrial Resources shall be addressed, at minimum, when characterizing the existing conditions:

• Significant terrestrial natural heritage features and functions including wetlands and significant wildlife and their habitat, including species at risk ;

• Riparian zones or buffer areas and functions; • Vegetation communities and species of concern; • Tree canopy cover; • Significant physical features and landforms; and, • Areas of Natural and Scientific Interest (ANSIs).

4.1.4 Water Quality

Historical water quality data are available for the Junction Creek Sub-watershed Area. This includes:

• Monthly Surface water quality data collected through two water quality monitoring programs of Vermilion River Stewardship (VRS) and the MOECC’s Provincial Water Quality Monitoring Network (PWQMN) between 2013 and 2015 at various locations within the lower Junction Creek sub-watershed area.

• Surface water quality data collected since 2004 as part of the Junction Creek Stewardship Committee’s monthly water sampling program at various locations within the upper Junction Creek sub-watershed area;

• Water chemistry data collected since 2003 as part of benthic invertebrate community

data collected by MOECC Co-operative Freshwater Ecology Unit at a variety of sites in the Junction Creek sub-watershed; and,

• Raw ground water quality data available for Garson municipal water supply wells.

Locations of the water quality sampling sites are shown on Figure 2 and Figure 3 in Appendix A.

The MOECC Cooperative Freshwater Ecology Unit Database is to be formally requested by the successful proponent.

The consultant shall obtain and review the available historic water quality data for the Junction Creek Sub-watershed Area to assess existing water quality conditions in the creek and tributary watercourses (where data are available) for various parameters, including temperature, dissolved oxygen, pH, salts (chlorides), sediment (total suspended solids, turbidity), nutrients (Nitrate and Phosphorus), metals (Copper, Nickel), bacteria, as well as biological indicators of water quality including algae. The available information shall be used to identify / comment on known or potential point and non-point sources of pollution in the receiving water bodies, ranking of sources of pollution and spatial distribution of sources, water quality trends, and causes of the changes in water quality within the sub-watershed. It is expected that the available historical data / information is sufficient for the scope of analysis required for the current sub-watershed study, and any additional water quality sampling / monitoring studies / programs should be identified by the consultant in the context of recommendations for future studies. 4.1.5 Land Use and Planning

A complete understanding of the land use context of the area is crucial to frame the sub-watershed plan. Land use planning within the sub-watershed will be obtained from the current City Official Plan and any Area Plan information and reviewed to ensure consistency of the Sub-watershed study recommendations / mitigation strategies with the existing and future development. 4.1.6 Hydraulic / Hydrologic Modelling and Flood Plain Mapping

All existing hydrologic and hydraulic models and flood line mapping for the areas within the sub-watershed shall be collected from the City, Conservation Sudbury and any other available sources and reviewed. Potential data that could be used to improve the models and flood line mapping, including recent topographical / physical survey data, as-built drawings of bridge and culvert crossings, recent Digital Elevation Models (DEMs), updated land use mapping / information shall be collected, and used to create hydrologic and hydraulic models as further described in Section 5.1 of these Terms of Reference. Refer to Section 8 and Figure 4 in Appendix A for a list of available hydrologic and hydraulics models and flood line mapping for the sub-watershed.

4.1.7 Hydrogeology

The initial step in the hydrogeological component of the sub-watershed study is to provide a characterization of existing hydrogeological conditions through reviewing the findings of the groundwater study completed for the City of Greater Sudbury in 2005. The primary purpose of the hydrogeological review is to confirm the relation between land use, infiltration, water balance, and base flow in the Junction Creek sub-watershed area, and to identify recharge/discharge areas on a sub-watershed basis. The hydrogeological assessment should mainly focus on providing a general characterisation of the groundwater system in the Garson Community area, based on a review of the municipal water supply well records and other available information. It is expected that the available information from the 2005 groundwater study and well records is sufficient for the scope of the current sub-watershed study. Additional hydrogeological assessments should be identified by the consultant in the context of recommendations for future studies. 4.1.8 Channel Erosion and Stream Channel Morphology

The consultant shall undertake a review of existing information and a field survey plan to gather necessary field information to support a geomorphological assessment for Junction Creek and its tributary watercourses. The channel erosion and geomorphological assessment for the subwatershed study should focus on the upper reaches of the main branch between Kelly Lake and Gary Avenue, the Maley branch between Maley Drive and the main branch, and the Frood branch between the Nickledale dam and the main branch. The following activities, at minimum, shall be included in the geomorphological assessment:

• Reach delineation based on scientifically defensible methodology; • Rapid geomorphic assessment to evaluate stability of reaches based on acceptable rapid

assessment protocols; • Identification, documentation and mapping of areas of channel erosion, valley wall

contact and active slope processes; • Geomorphic hazard constraints to support establishment of development limit criteria; • Quantification of channel adjustment and migration (both lateral and downstream)

through a historical assessment by way of aerial photographic interpretation and/or inferred through measures from adjacent infrastructure.

The results will be used to determine rates of erosion, the impact of land use changes, help establish Stormwater Management criteria, and confirm the future erosion / stream channel morphology control requirements using continuous simulations. 4.1.9 Topographical Survey

A ground survey of the main branch of the Junction Creek and its major tributaries, as well as a topographical survey of water crossing structures (culverts and bridges) will be required to support the hydraulic modelling exercise(s) required for the sub-watershed study. Bidders shall make allowance for the survey of representative cross-sections along the main channel and tributaries for the purposes of characterising the low flow component of the creek and

tributaries for modeling purposes, and survey of the City and CN Railway water crossing structures in their fees estimates. Cross-section survey work should only be limited to the bankfull extends, and the base mapping that will be provided to the consultant should be used to extend the surveyed cross-sections beyond the bankfull extents.

Prior to commencement of topographical surveys, the consultant shall review the existing hydraulic models, any recent available survey information, as well as available as-built and construction drawings of bridge and culvert crossings, and prepare a survey plan that identifies / confirms survey details and cross-section locations required for hydraulic modeling for the purposes of defining the flood hazard. The survey plan shall be provided to the City and Conservation Sudbury for review and comment prior to proceeding with the survey work. If it is determined in the plan that additional number of watercourse cross-sections and/or water crossing structure surveys are required to achieve an adequate coverage for modeling purposes, this will be addressed as a scope change within the project to be negotiated with and approved by the City Project Manager prior to the work proceeding. It is crucial that the consultant is able to execute and complete the survey work prior to the winter season (December 2016) to prevent any delays in completing hydraulic modeling / analyses and delivering the subwatershed study on time. All survey data points shall be geo-referenced and be included with deliverables of the sub-watershed study.

5 Analysis

5.1 Hydrologic and Hydraulic Model and Flood Control

5.1.1 Hydrologic Modelling

The consultant shall develop comprehensive hydrologic models for the entire study area utilizing all available information described / listed in Sections 4.1.6 and 8. It is anticipated that several version of the models will need to be created to allow evaluation of alternative scenarios, including representation of existing conditions, and representation of various proposed future alternatives. In general, scenarios should be evaluated for 1:2, 5, 10, 25, 50, 100 year, and the Regional storm distributions. The hydrologic models shall be established in PCSWMM. Selection of appropriate model parameters and design storms will be an important aspect of alternative elevation to ensure that the evaluation meets project objectives. It is anticipated that the alternatives will need to be evaluated under various assumptions i.e. design storm characteristics, climate change and spring-snowmelt-generate peak flows to allow for evaluation of potential range of uncertainty in the model results. Refer to Section 5.1.3 of these Terms of Reference for Climate Change Impact Assessment to be completed for the current study.

All base information used to create the hydrologic models including sub-basin discretization, hydrologic connectivity, land cover, surficial geology, imperviousness etc. shall be clearly and comprehensively organized in a GIS environment for each scenario. The source and rational for each element in the base information files shall be clearly referenced / identified / explained.

The resulting GIS files along with the actual model files for all various scenarios will be important project deliverables.

Model calibration and verification shall be reviewed and applied as appropriate using all available calibration information, including the flow level / rainfall data available through the City, Vale, Water Survey of Canada and Conservation Sudbury, identified in Sections 4.1.2 and 8, and the collected data as part of this sub-watershed study. 5.1.2 Hydraulic Modelling

The consultant shall conduct hydraulic modelling for the entire main branch of the Junction Creek, the tributary watercourses identified on Figure 1 in Appendix A, and the enclosed pipe drainage systems in the sub-watershed area. Sewer Pipe Hydraulics

Modeling for the tributary areas draining to the creek system through sewer pipe(s) shall be conducted in PCSWMM. These models shall be utilized to evaluate the hydraulic performance of the minor (sewer pipes) and major (surface conveyance i.e. road network) drainage systems for the existing and future condition scenarios for all return periods of 1:2, 5, 10, 25, 50, 100 year, and the Regional storm distributions. Resulting hydraulic grade lines and major storm flow path under each design event and scenario shall only be prepared for storm trunk sewers with a pipe diameter of 900mm and larger and within 500 m of Junction Creek and the identified tributaries. There is approximately a total of 17,500 m of storm trunk sewers falling in this category. Refer to Figure 2 and Figure 3 in Appendix A for a plan of the storm trunk sewers in this category. The general adequacy of the major drainage system to safely convey flows shall also be evaluated as part of the hydraulics modeling exercise. It is expected that the hydraulics modeling to be completed at a level appropriate for an Area Master Plan level, and should the outcomes of the modeling exercises identify needs for further analyses for more detailed results, the consultant should provide them in the context of recommendations for future detailed dual drainage studies. The Base information used to develop models (e.g. pipe sizes, slopes, roughness, road cross sections etc.) shall be clearly and comprehensively organized. The City has a plan of the storm sewer pipes in GIS formats; however, the sewer infrastructure data, including pipe inverts and slopes are only available through as-built and construction drawings. This information will be made available to the consultant for their analysis. Watercourse Hydraulics

Hydraulic modelling for the main branch of the Junction Creek and selected tributary watercourses shall be conducted in a HEC-RAS environment and shall generally follow the methodologies and standards outlined in the HEC-RAS User’s Manual, and as consulted and agreed upon with Conservation Sudbury. The HEC-RAS models shall be geo-referenced. Base information used to develop the hydraulic models (e.g. cross-sections, bank stations, roughness, bridge / culvert crossing details etc.) shall be clearly and comprehensively

organized. The source and rational for each element in the base information shall be clearly referenced / identified / explained. Field survey information obtained as part of the subwatershed study should be directly integrated into DEM / (Triangulated Irregular Network) TIN information for production of model cross-sections wherever possible. Detailed explanation of such data integration shall be provided.

As described in Section 1 of the TOR, an approximately 760 m section of the main branch of Junction Creek is directed through box culverts. Parts of Nolin branch at the confluence with Junction Creek Sudbury are also routed through box culverts. The Junction Creek and Nolin branch box culverts enclose the respective creek system for a total length of approximately 1.8 km through the downtown core of Sudbury. Refer to Figure 2 in Appendix A for the location of the box culverts. For the purposes of completing hydraulic modeling / analysis for the sub-watershed study these box culverts (along with other water crossing structures) shall be included in the models, and their effects on hydraulic performance of the creek system shall be evaluated. As-built drawings of the box culverts are available and will be provided to the consultant for setting-up hydraulic models.

In the upper reaches of Junction Creek, storm flows are attenuated by two flood control dams of Maley Dam and Nickledale Dam which are located north of Maley Drive and Lasalle Boulevard respectively. The two dams provide flood control / reduction benefits in the sub-watershed. Refer to Figure 2 in Appendix A for the location of the dams. For the purposes of completing hydrologic and hydraulic analyses for the sub-watershed the two dams should be included in the models as functioning and in operation as per the current operating states and make recommendations for future operation. It is anticipated that several versions of modeling scenarios accounting for various operation states of the dams will need to be created to allow for evaluation of different operation states on flood conditions in Junction Creek. The scenarios will be confirmed during the course of the study following completion of the initial hydraulic analysis of the creek system and in consultation with and inputs / directions from the TAC. Dam break analyses have been completed for Maley and Nickledale Dams and the results will be made available to the successful proponent.

The models shall be established in a HEC-RAS environment to complete a hydraulic floodway analysis and facilitate mapping of flood line, for the entire main branch of Junction Creek and the selected tributaries, for existing and future conditions for all return periods of 1:2, 5, 10, 25, 50, 100 year, and the Regional storm distributions. Flood line mapping methodology and base mapping information shall be clearly and comprehensively referenced and documented. Resulting flood line information shall be provided in GIS and AutoCAD formats including any DEM and other base information utilized. All electronic files used to map flood lines shall be considered key project deliverables such that flood-line maps could be re-produced. Maps of the final recommended flood lines resulting from this exercise shall also be provided in PDF format.

Flood Control and Mitigation

The purpose of the Flood Control / Mitigation component is to evaluate alternative methods of mitigating or minimizing flood risks in the main branch of Junction Creek and the tributary watercourses identified on Figure 1 in Appendix A, and flood impacts to municipal infrastructure and private properties. This will require development and evaluation of several proposed future alternatives for the sub-watershed. Stormwater management controls shall be considered and evaluated when developing alternatives. It is anticipated that alternatives to be evaluated will include scenarios representing existing conditions and various proposed future alternatives for mitigating flood risks / damages.

Scenarios should consider reasonable opportunities (cost / benefit) to mitigate or reduce flood risk below or at least at existing conditions levels. In general, scenarios should be evaluated for the full range of return periods including 1:2 year, 1:5 year, 1:10 year, 1:25 year, 1:50 year, 1:100 year, and the Regional storm.

For water resources control alternatives, selection of appropriate model parameters and design storm details will be an important aspect of alternative evaluation to ensure that the evaluation meets project objectives, results can be used to meet regulatory requirements, and to allow evaluation of the potential range of uncertainty in the model results.

Evaluation of each alternative shall include hydraulic analyses and modeling to evaluate the reduction in flood risks / damages associated with various alternatives (in isolation and combined), and identify the recommended solution with respect to flood control / mitigation, including the flood control storage recommended for each of the tributaries. The sizing of all proposed facilities shall be included in the evaluation.

The flood risk assessment will include hydrologic modelling, hydraulic modelling, floodline mapping, hydraulic grade line analysis, flood damage assessment and the evaluation of need for mitigating measures. 5.1.3 Climate Change Impact Assessment

The consultant shall complete a climate change impact assessment as part of the current sub-watershed study. The impact analysis should simulate effects of climate change on hydrology, with specific focus on impacts on flood magnitudes and frequencies, and potential erosion in the study area. This should be estimated by running more intense storms through the hydrologic and hydraulic models by conducting a sensitivity analysis, where the Intensity Duration Frequency (IDF) curves will be increased to simulate the resulting impacts on flow and flood magnitudes in the sub-watershed.

The climate change impact assessment should also investigate other changes expected to occur as a result of the changing climate, including more frequent rainfall storms on snow packs, more rapid snow melts and summer droughts, evaluate their impacts on the sub-watershed’s

hydrological responses and their effects on sulphur and metal mobility. All hydrologic and hydraulic models developed as part of the sub-watershed study for existing and proposed conditions shall include climate change scenarios. Climate change shall also be considered during development of flood mitigation / control alternatives. 5.1.4 Natural Heritage Features and Functions Assessment Natural heritage features and functions are important to the overall ecological health of watersheds. Remnant natural areas, whether forests or wetlands, can be especially important in an urbanizing watershed as these can provide significant wildlife habitat and can help mitigate negative stormwater effects. The role of natural heritage features and functions will need to be recognized and assessed as part of this sub-watershed study. Natural heritage features and functions that are deemed to be sensitive or of high importance to the sub-watershed's ecology and stormwater patterns should be identified following an assessment. These natural heritage features and functions should be integrated into the recommended sub-watershed management plan.

5.2 Channel Erosion and Stream Channel Morphology

The purpose of the channel erosion and stream morphology study is to determine / develop stormwater management erosion criteria and environmental targets that will lead to provide stable tributary channels within the sub-watershed, and to identify and evaluate mitigation strategies to address areas with potential erosion issues under the existing and future scenario flows. Refer to Section 4.1.8 of the Terms of Reference document for the reaches of the main branch and tributary watercourses that require a channel erosion and stream morphology study. The work will include:

• Obtain and review of threshold indicators of channel stability for the identified reaches of the main branch and tributary watercourses in Section 4.1.8 of these Terms of Reference;

• Appropriate continuous simulations in PCSWMM to confirm baseline conditions. The model shall confirm existing erosion problem areas and be used to aid in evaluating future alternatives for erosion control.

• Identifying and evaluating the potential impact of land use changes (future conditions) on the erosive potential in each tributary;

• Identifying and evaluating the potential benefits of management practices or channel modifications on the stability of the channels; and,

• Recommendation of the stormwater management erosion control storage criteria for the main branch and each of the identified tributaries in Section 4.1.8.

5.3 Water Quality The purpose of water quality analysis for the sub-watershed study is primarily to:

• Describe the existing water quality conditions using the available historical data, and

identify / assess impacts of development on future water quality conditions for the selected quality parameters and indicators listed in Section 4.1.4;

• Develop approaches to address water quality degradation in receiving waterbodies within the sub-watershed;

• Identify methods /approaches to improve water quality in the receiving waterbodies; and,

• Provide context / recommendations and mitigation strategies for the continuing management of waterbodies within the sub-watershed.

5.4 Hydrogeology

The purpose of the hydrogeological component of the sub-watershed study primarily is to provide: a characterization of existing hydrogeological conditions using the available information; a hydrogeological impact assessment to identify how hydrogeological conditions may change under considered land use scenarios; and an implementation plan with recommendations directed towards avoiding and/or mitigating potential impacts to the hydrogeological system and develop a long-term hydrogeological groundwater monitoring program to identify impacts at the sub-watershed scale. 6 Alternative Sub-watershed Management Strategies

All mitigation strategy alternatives and evaluations of alternatives are to follow the Municipal Class EA process.

The key steps involved in the Municipal Class EA Master Plan Approach #2 process are listed below with details of tasks to be completed for the current study provided in the following sections of these terms of reference:

• Identification and description of deficiencies, opportunities, objectives and targets; • Identification of alternative solutions, including both design and management

alternatives to address the identified deficiencies, opportunities, objectives and targets; • Evaluation of the alternative solutions (relative to the natural, social, economic etc.

environments) through developing evaluation criteria; • Preliminary identification of a preferred solution through screening the solutions using

the developed evaluation criteria; • Consultation with public and technical agencies; and, • Confirmation of the preferred solution.

The mitigation strategy alternatives and evaluations shall also be consistent with the City’s Official Plan Policies, and all other applicable acts and regulations and approval authority requirements.

6.1 Opportunities and Constraints

With respect to each of specific existing deficiencies / issues including flooding, erosion, water quality, and terrestrial / aquatic recourses in the sub-watershed, it is expected that the following will be identified and confirmed:

• The extent and magnitude of the existing deficiencies / issues; • The cause of existing deficiencies / issues; • The extent that further development may impact the sub-watershed; • The extent that SWM or other measures can improve upon existing conditions; • The extent that SWM or other measures can mitigate the impacts of future

development; • Cost estimates associated with the proposed mitigation strategies; and, • Conformance with the City’s Official Plan and other relevant planning documents.

This information will be used to identify opportunities and constraints for the sub-watershed. Opportunities will be identified to restore, preserve, or enhance existing conditions with respect to flooding, erosion, water quality, and terrestrial / aquatic resources. The opportunities will be framed in the context of existing conditions, described by the above bullets. Constraints, including cost and regulatory requirements, to the management of these resources will be identified, which will describe conditions that place restrictions of the type of solutions that can be implemented.

6.2 Management Objectives and Targets

Management objectives and targets shall be identified for the sub-watershed. The objectives will provide the direction of the Sub-watershed Plan, while the targets will represent specific management criteria to achieve the objectives. Examples of objectives are listed as follows:

• Control flooding and stream channel erosion; • Maintain and/or enhance surface water quality and quantity; and • Protect groundwater quantity and baseflow by maintaining infiltration volumes.

Examples of targets are listed as follows:

• Water quantity SWM criteria and targets related to flood control and stream channel erosion protection;

• Management practices or the types of Best Management Practices to achieve urban runoff quality objectives; and,

• Infiltration volume targets to protect groundwater quantity and maintain natural groundwater levels.

6.3 Develop and Assess Alternatives

Several alternative stormwater management strategies shall be developed and confirmed for the Junction Creek sub-watershed. The alternatives are to incorporate potential effects of climate change and shall consider the following as a minimum:

• Structural and non-structural and management measures to maintain the various hydrologic-based targets both on the public and private property;

• Land use needs and restrictions; • Serviceability;

• Life cycle cost and regulatory constraints; • Monitoring methods; and, • Conformance with the City’s Official Plan and other relevant planning documents.

The alternatives shall be evaluated through a detailed review of technical and socio-economic considerations, and discussed with the public and the members of TAC.

The review will include technical and practicality aspects of the solutions such as:

• Effectiveness in meeting the technical goals / objectives set for the watershed; • The ability to monitor the effectiveness of the proposed solution; • Adjustability for changing future conditions, or to retrofit future enhancements; • Conformance with the City’s Official Plan and other relevant planning documents; and, • Additional considerations including cost, land requirements, climate change, public

perception, and other socio-economic considerations.

The alternatives will be evaluated through open consultation with the members of TAC, other review agencies and the public. The evaluation methodology should account for additional considerations such as:

• The ability to implement a monitoring program which can monitor if targets are being met;

• The vulnerability of the ecosystem as a result of temporary or permanent failure of any component of the plan; and,

• Adjustability / flexibility, to make changes in the management plan should future monitoring identifies failure, or if targets are changed in the future.

7 Recommended Sub-watershed Management Plan

7.1 Sub-watershed-wide Management Strategies

The study shall prudently address the cost and magnitude of impacts of SWM and other proposed mitigation strategies (including potential effects of climate change) with respect to the benefits to the Junction Creek sub-watershed, framed in the context of overall watershed health and future opportunities in the watershed, and identify optimal stormwater management volume. Information collected on the state of the sub-watershed along with technical assessments performed shall be used to determine the overall stormwater management sub-watershed-wide management strategies, i.e. identifying the level of control required for peak flow control, erosion control and water quality, and land use planning strategies (if required).

7.2 Sub-watershed Fact Sheets

In order to clarify the goals and objectives, targets and overall management strategy for the Junction Creek sub-watershed study, a fact sheet shall be prepared for the entire sub-watershed to summarize relevant information. Stormwater management criteria within area tributaries to the creek will be a beneficial way of assessing stormwater management requirements for smaller future developments within respective tributary areas. Fact sheets shall also be prepared for the seven (7) identified Junction Creek Subwatersheds from the 2006 Stormwater Background Study.

7.3 Design Details for Proposed Stormwater Management Infrastructures

The consultant shall complete and provide conceptual design details and budget estimates for all proposed SWM infrastructure / facilities for the recommended plan. As discussed in Section 7.1, the study shall address stormwater management storage details with respect to benefits in the Junction Creek sub-watershed, examined in the context of overall sub-watershed health and future opportunities, to identify optimal sizing for the various storage components of the facilities.

7.4 Implementation, Monitoring and Reporting

The consultant shall prepare an Implementation Strategy / Plan that identifies implementation considerations and responsibilities associated with the Sub-watershed Plan recommendations. The Implementation Plan shall include the following components:

• Identification and development of the necessary planning policies, including developing Climate Change Adaption Policies and developing mitigation strategies;

• Preparation of implementation guidelines including specific implementation schemes and responsibilities for all recommendations;

• A mechanism for responding to target exceedance and implementation of the contingency plans;

• Enforcement measures;

7.4.1 Monitoring

• Development of a comprehensive monitoring program for the long term assessment of the environmental impacts of development within the sub-watershed and the success indicators of the management strategy in mitigating those impacts; and,

• Timing and responsibilities for future studies.

7.4.2 Reporting

• Develop a reporting plan to communicate, to the public and stakeholders, the projects implemented, the design and results of monitoring programs and context pertaining to guiding future activities in the sub-watershed.

7.5 Deliverables

7.5.1 Existing Conditions Report

Upon completion of the existing conditions characterization, a comprehensive Existing Conditions Report shall be produced which describes the existing conditions within the sub-watershed by summarizing the existing information obtained though background review, and additional data collection / supplementary investigations. The report shall provide a clear overview of the natural heritage system within the study area. It will identify environmental issues, opportunities for environmental restoration or enhancement and potential constrains to future development. The Existing Conditions Report shall include, but not limited to, the following components:

• Inventory and mapping of existing natural heritage system and significant or sensitive

features within the study area; • Existing aquatic habitat conditions in the sub-watershed; • Surface and drainage characteristics, including a map of surface water features; • Water quality conditions in the sub-watershed; • Groundwater characteristics and water budget; • Fluvial geomorphologic assessment, including inventory of slope stabilisation / erosion

control issues and / or potential channel restoration / enhancement areas; • Opportunities and Constraints Map including limits of development and buffer

requirements.

The report text should be complemented with summary tables and graphic illustrations. Detailed technical information, analyses, data tables and field notes should be provided in appendices. This information will form the basis of the first Public Consultation Meeting.

7.5.2 Summary of Deliverables

A comprehensive Sub-watershed Study Report shall be produced at the completion of the study. The report shall summarize all the analyses completed as part of the study, and include recommendations associated with the mitigation strategy that includes implementation triggers and accompanying maps and figures. The Sub-watershed Study Report shall include, but not limited to, the following components:

• Existing Conditions Report which summarizes the existing environmental conditions including any inventory work and consolidation of existing information;

• Data Gap analysis (technical memo) which identifies missing information, a ranking system to define how critical the information is to the completion of the project, recommendations on filling identified data gaps, and an action plan recommending the best way forward. This report will be provided to the City for review prior to proceeding with additional data collection work;

• Sub-watershed Analysis and Mitigation Strategy Report which will be included in the final report and will outline the opportunities and constraints, strategies for mitigation, and go forward recommendations;

• Summary of the EA Master Planning process including all public consultation documentation and correspondence, identification of alternatives, evaluation criteria, evaluation and selection of the preferred alternatives, and a summary of EA schedules and costs for recommended project.

• Final Sub-watershed Master Plan Report including a summary of recommended measures, specific criteria to support future growth areas, recommended future works and studies, a monitoring plan, and implementation plan, and,

• All modelling and digital drawing files are to be included in both PDF and native forms (i.e. CAD, GIS, modelling files) included with the final report and any interim reports for review and comment;

Copies of draft materials are to be circulated to the City for review and comment by the TAC and require a minimum of two weeks of review. Comments will be provided to the consultant from the City and TAC for finalization of the report.

The consultant shall provide the City with 20 copies of the draft report and 20 copies of the final report along with all necessary digital files.

7.6 Project Schedule

The Table below provides the important dates for the current sub-watershed study. As shown in the Table below, the total length of the study is anticipated to be from October 2016 through December 2017. The dates provided in the below table are information only and may be subject to change to ensure that the City’s business requirements are met.
