I am of legal age and unless specifically disclosed to you, no one except me has any interest in my account(s). All transactions for my account(s) shall be subject to the constitution, rules, regulations, customs and usages of the exchange or market where executed, as well as to any applicable federal or state laws, rules and regulations. I have instructed SogoTrade, as my agent and attorney-in-fact, to open my account(s) with you. I have appointed SogoTrade my agent and attorney-in-fact to act for and on behalf of me with respect to all matters relating to my account(s) with you, including placing purchase and sale orders and, if applicable, delivering margin and option instructions. I understand that SogoTrade is not acting as your agent with respect to my account(s). You shall not be responsible or liable for any acts or omissions of SogoTrade or its employees or agents and I will not hold or attempt to hold you liable for any trading losses.I acknowledge that no fiduciary relationship exists between us. I understand you do not provide investment advice, including advice with respect to the suitability of any transaction, or legal, tax or accounting advice and that your employees are not authorized to give any such advice. I will not solicit or rely upon any such advice from you or your employees.Communications, including confirmations and statements, may be sent to me at the address I have provided or at such other address as I may subsequently provide you and SogoTrade in writing. Any and all securities and all other property of whatsoever kind belonging to me or in which I may have an interest held by you or carried for my account(s) shall be subject to a general lien for the discharge of my obligations to you, however arising and without regard to whether you have made advances with respect to such property, and without notice to me and may be pledged, re-pledged, hypothecated or re-hypothecated, separately or in common with other securities or any other property, for the sum due to you thereon or for a greater sum and without retaining in your possession and control for delivery a like amount of similar securities or other property also without notice to me. You are authorized, whenever in your discretion you consider it necessary for your protection and/or in the event I die or am incapacitated, pursuant to a petition in bankruptcy or for the appointment of a receiver is filed by or against me, an attachment is levied against my account(s) or pursuant to any order of any exchange, and without notice to me to: a) sell any and all securities and all other property of whatsoever kind belonging to me or in which I may have an interest held by you or carried for my account(s); b) borrow or buy in any securities required to make delivery against any sale effected for me; c) cancel any or all outstanding orders or commitments for my account(s); d) close my account(s); and/or e) apply or transfer any and all securities and all other property of whatsoever kind belonging to me or in which I may have an interest held by you or carried for my account(s), interchangeably between any of my account(s) or account(s) guaranteed by me. Such sales, purchases or cancellations may be made according to your judgment and at your discretion and may be public or private and without advertising and notice to me and in such manner as you may in your discretion determine and you may purchase the property free from any right of redemption and I shall be liable for any deficiency. Any notice, tender or demand given or received shall not constitute a waiver of this provision. I am liable for payment upon demand of any debit balance or other obligation owed in my account(s) or any deficiencies following a whole or partial liquidation, and I agree to satisfy any such demand or obligation. I agree to reimburse you for all reasonable costs and expenses incurred in the collection of any debit balance or unpaid deficiency in my account(s) including, but not limited to, interest, attorneys' fees and costs. If any provision hereof is or at any time should become inconsistent with any present or future law, rule or regulation of any securities exchange, or of any sovereign government or a regulatory body thereof and if these bodies have jurisdiction over the subject matter of this Agreement, such provision shall be deemed to be superseded or modified to conform to such law, rule or regulation, but in all other respects this Agreement shall continue and remain in full force and effect.If this is a joint account, unless all account holders notify you otherwise and provide such documentation as you may require, the account shall be held jointly with rights of survivorship (payable to survivor(s) of us). Each joint tenant irrevocably appoints the other(s) as attorney(s)-in-fact to take all action on his or her behalf and to represent him or her in all respects. You shall be fully protected in acting on the instructions of any of us and each of us shall be liable, jointly and individually, for any amounts due to you, whether incurred by one or all of us.I understand you will disclose my name and address to issuers of securities held in my account(s) so that I can receive information from the issuer. I agree that I will be responsible for reconciling my account and notifying the manager servicing my account for any suspected errors there in on a daily basis. DAY TRADING RISK DISCLOSURE STATEMENT (Section D)You should consider the following points before engaging in a day-trading strategy. For purposes of this notice, a "day-trading strategy" means an overall trading strategy characterized by the regular transmission by a customer of intra-day orders to effect both purchase and sale transactions in the same security or securities.

In consideration of your carrying a joint account for the undersigned, the undersigned jointly and severally agree that each of them shall have authority on behalf of the joint account to buy, sell (including short sales) and otherwise deal in, through you as brokers, stocks, bonds and other securities and commodities, on margin or otherwise; to receive on behalf of the joint account demands, notices, confirmations, reports, statements of account and communications of every kind; to receive on behalf of the joint account money, securities and property of every kind and to dispose of same; to make on behalf of the joint account agreements relating to any of the foregoing matters and to terminate or modify same of waive any of the provisions thereof; and generally to deal with you on behalf of the joint account as fully and completely as if he alone were interested in said account, all without notice to the other or others interested in said account. You are authorized to follow the instructions of any of the undersigned in every respect concerning the said joint account with you and to make deliveries to any of the undersigned, or upon his instructions, of any or all securities in the said joint account, and to make payments to any of the undersigned, or upon his order, of any or all monies at any time or from time to time in the said joint account as he may order and direct, even if such deliveries and/or payments shall be made to him personally, and not for the joint account of the undersigned. PROPRIETARY NATURE OF DATA – Subscriber understands and acknowledges that each Authorizing SRO and Other Data Disseminator has a proprietary interest in the Market Data that originates on or derives from it or its market(s).

ENFORCEMENT – Subscriber understands and acknowledges that (a) the Authorizing SROs are third-party beneficiaries under this Agreement and (b) the Authorizing SROs or their authorized representative(s) may enforce this Agreement, by legal proceedings or otherwise, against Subscriber or any person that obtains Market Data that is made available pursuant to this Agreement other than as this Agreement contemplates. Subscriber shall pay the reasonable attorney's fees that any Authorizing SRO incurs in enforcing this Agreement against Subscriber.

DATA NOT GUARANTEED – Subscriber understands that no Authorizing SRO, no other entity whose information is made available over the Authorizing SROs' facilities (an "Other Data Disseminator") and no information processor that assists any Authorizing SRO or Other Data Disseminator in making Market Data available (collectively, the "Disseminating Parties") guarantees the timeliness, sequence, accuracy or completeness of Market Data or of other market information or messages disseminated by any Disseminating Party. Neither Subscriber nor any other person shall hold any Disseminating Party liable in any way for (a) any inaccuracy, error or delay in, or omission of, (i) any such data, information or message or (ii) the transmission or delivery of any such data, information or message, or (b) any loss or damage arising from or occasioned by (i) any such inaccuracy, error, delay or omission, (ii) non-performance or (iii) interruption in any such data, information or message, due either to any negligent act or omission by any Disseminating Party, to any "force majeure" (e.g., flood, extraordinary weather conditions, earthquake or other act of God, fire, war, insurrection, riot, labor dispute, accident, action of government, communications or power failure, equipment or software malfunction) or to any other cause beyond the reasonable control of any Disseminating Party.

PERMITTED USE – Subscriber shall not furnish Market Data to any other person or entity and, subject to Paragraph 10, shall use Market Data only for its individual use in its business.

DISSEMINATION DISCONTINUANCE OR MODIFICATION – Subscriber understands and acknowledges that, at any time, the Authorizing SROs may discontinue disseminating any category of Market Data, may change or eliminate any transmission method and may change transmission speeds or other signal characteristics. The Authorizing SROs shall not be liable for any resulting liability, loss or damages that may arise therefrom.

DURATION; SURVIVAL – This Agreement remains in effect for so long as Subscriber has the ability to receive Market Data as contemplated by this Agreement. In addition, Vendor may terminate this Agreement at any time, whether at the direction of the Authorizing SROs or otherwise. Paragraphs 2, 3 and 4, and the first two sentences of Paragraph 8, survive any termination of this Agreement.

MISCELLANEOUS – The laws of the State of New York shall govern this Agreement and it shall be interpreted in accordance with those laws. This Agreement is subject to the Securities Exchange Act of 1934, the rules promulgated under that act, and the joint-industry plans entered into pursuant to that act. This writing contains the entire agreement between the parties in respect of its subject matter. Subscriber may not assign all or any part of this Agreement to any other person. The person manifesting assent to this agreement below represents and warrants that it has legal capacity to contract and, if that person is manifesting assent on behalf of a proprietorship or a business, partnership or other organization, represents and warrants that he or she has actual authority to bind the organization.

SECTION 2: NONPROFESSIONAL SUBSCRIBER

NONPROFESSIONAL SUBSCRIBER DEFINITION - "Nonprofessional Subscriber" means any natural person whom Vendor has determined to qualify as a "Nonprofessional Subscriber" and who is not: (a) registered or qualified with the Securities and Exchange Commission (the "SEC"), the Commodities Futures Trading Commission, any state securities agency, any securities exchange or association, or any commodities or futures contract market or association. (b) engaged as an "investment advisor" as that term is defined in Section 202 (11) (a) of the Investment Advisor's Act of 1940 (whether or not registered or qualified under that Act), nor (c) employed by a bank or other organization exempt from registration under Federal and/or state securities laws to perform functions that would require him or her to be so registered or qualified if he or she were to perform such functions for an organization not so exempt.

PERMITTED USE – If Subscriber is a Nonprofessional Subscriber, he or she shall receive Market Data solely for his or her personal, non-business use.

SECTION 2: NONPROFESSIONAL SUBSCRIBER

NONPROFESSIONAL SUBSCRIBER DEFINITION - "Nonprofessional Subscriber" means any natural person whom Vendor has determined to qualify as a "Nonprofessional Subscriber" and who is not: (a) registered or qualified with the Securities and Exchange Commission (the "SEC"), the Commodities Futures Trading Commission, any state securities agency, any securities exchange or association, or any commodities or futures contract market or association. (b) engaged as an "investment advisor" as that term is defined in Section 201(11) of the Investment Advisor's Act of 1940 (whether or not registered or qualified under that Act), nor (c) employed by a bank or other organization exempt from registration under Federal and/or state securities laws to perform functions that would require him or her to be so registered or qualified if he or she were to perform such functions for an organization not so exempt.

PERMITTED USE – If Subscriber is a Nonprofessional Subscriber, he or she shall receive Market Data solely for his or her personal, non- business use.

FREQUENTLY ASKED QUESTIONS

Neither type of account requires a minimum deposit.

A cash account will allow you to buy as much stock as free cash you have available. Your purchasing power is 1:1. For example, if you deposit $100, you can buy $100 worth of stock.

A cash &margin account allows you to pay for part of a stock purchase with available cash and borrow any remaining amount from SogoTrade; this is known as margin.

Margin allows you to buy on a 2:1 basis if your balance is at least $2000. For example, if you deposit $2500 in your cash & margin account, you can buy up to $5000 worth of stock, $2500 of which youare borrowing from SogoTrade. If you have less than $2000 in you cash & margin account, you can still purchase stock using your available cash as you would with a cash account. Please keep in mindthat not all stock holdings are allowed to be used as collateral for a margin loan. Securities under $5 or risky securities may not be marginable.

An Individual Taxpayer Identification Number (ITIN) is a tax processing number issued by the Internal Revenue Service. It is a nine-digit number that always begins with the number 9 and has a 7 or 8 inthe fourth digit, example 9XX-7X-XXXX.

IRS issues ITINs to individuals who are required to have a U.S. taxpayer identification number but who do not have, and are not eligible to obtain a Social Security Number (SSN) from the Social SecurityAdministration (SSA).

ITINs are issued regardless of immigration status because both resident and nonresident aliens may have U.S. tax return and payment responsibilities under the Internal Revenue Code unless they meetan exception Individuals must have a filing requirement and file a valid federal income tax return to receive an ITIN.

Your statement will contain all of your account details, such as stock trades, cash balances, scheduled investment and funding plans, and any other type of account activity, for the month that thestatement is issued. If you work for a broker/dealer, you may be required to disclose any accounts you open with another broker/dealer. Here are the general guidelines:

If employed by FINRA member: We need to notify the employer that this person opened an account, and if the employer requests it, we must send them duplicate copies of all confirmations andstatements.

If employed by NYSE member: We need to obtain written approval from the employer prior to account opening, and must send them copies of all confirmations and statements.

If employed by MSRB member: We need to notify the employer that this person opened an account, and must send them copies of all confirmations and statements.

A:13. How does my affiliation with a registered broker/dealer affect my account opening?

The term should be understood to include persons whose current or former (1 year after giving up any political function) position can attract publicity beyond the borders of the country concerned andwhose financial circumstances may be the subject of additional public interest. In specific cases, local factors in the country concerned, such as the political and social environment, should be consideredwhen deciding whether a person falls within the definition.

Annual Income - The gross amount of money earned on a yearly basis. Only the account owner income for Individual and IRAs, and household income for Joint accounts.

Net Worth - The total value of all possessions, such as a house, stocks, bonds and other securities, minus all outstanding debts, such as mortgage and revolving credit. Only the account owner net worthfor Individual and IRAs, and household net worth for Joint accounts.

Liquid Net Worth - Cash value if all assets are sold. Only the account owner liquid net worth for Individual and IRAs, and household liquid net worth for Joint accounts.

A:12. What financial information do I need to provide in order to open an Account?

Yes, you can make corrections to your account information at a later time, just click on "Account Settings" under the main Account section. A:16. If I make a mistake when entering information and don’t catch it right away, can I correct it later?

Backup withholding is a 28% tax which is withheld from any taxable activity, such as the posting of a dividend or the sale of securities.

In order to NOT be subject to backup withholding, one of the following reasons must apply:

• You are exempt from backup withholding,• You have not been notified by the Internal Revenue Service (IRS) that you are subject to backup withholding as a result of failure to report all interest or dividends, OR• The IRS has notified you that you are no longer subject to backup withholding.

If you have been notified by the IRS that you are subject to backup withholding, you are required to indicate this when opening your SogoTrade Account. As SogoTrade cannot provide any advice ordetailed tax information, any questions about backup withholding should be directed to a tax advisor or the IRS.

Form W-8BEN are to be completed only by non-U.S. taxpayers who are actual account owners and whose acounts do not produce income effectively connected with a U.S. trade or business.A:21. Who need to submit W-8BEN?

Under U.S. tax laws, you will be deemed an uncertified U.S.taxpayer, who is subject to 30% backup withholding on your trade proceeds, taxable dividends and interest, and other taxable payments madeto your account. If we do not receive your Form W-8BEN in accordance with IRS regulations, your account will be subject to 30% backup withholding on all trades, dividends, and interest paments made to your account. This withholding is not reversible and it will be your responsibility to work with the United States Internal Revenue Service for a refund.
