communityareprobablywellaware. Finally,youshouldknowthatIbelieveNURFCmaynotfinanciallysurvive
anothertwoyearsuntiltheFederalizationisexecuted.(Ihaveaskedthemforacashflowbuthavenotyet
receivedit).Thebanktookahugeloss($20M?)whichisastrongindicationofthefuturetheyseeforNURFC.

PROJECT NEWS
The Renaissance Theatre celebrated the grandopening of its theater expansion project with a galaon January 30, followed by a community open houseon January 31. The project included construction of a20,000-square-foot building addition, featuring a newlobby, new restrooms and an elevator for ADAcompliance, a loading dock, an expanded box office, anew concession stand, an HVAC system serving bothfacilities, administrative offices, a music library, aconference room, and new entranceways. The projecthas state capital appropriations totaling $1.85 million, andreceived Commission approval in July 2008. Just over$1.4 million has been reimbursed to date. According toRenaissance officials, the project was completed onbudget and on schedule.
The Lucas County Arena continues to draw better-than-anticipated attendance for its minor-leaguehockey team, the Toledo Walleye. Toledo is in thirdplace for attendance in the East Coast Hockey League,drawing an average of 5,767 per game at the new arena.
The teams managers had expected to draw an average of 4,900 per game prior to the New Year. As of January 1, theteam had attracted five capacity crowds of more than 7,400 spectators, including an 8,200-person-strong, standing-room-only crowd on the Sunday after Christmas. That crowd broke the record of the Walleyes opening-night attendance of8,000 in October. Walleye President and General Manager, Joe Napoli, estimates 30 percent of the crowds are Toledosdie-hard hockey fans, and expressed surprise at how quickly the team has been embraced by families seeking anaffordable night out. Historically, Napoli said, sports teams attract fewer fans in the early part of their seasons, and heexpects attendance figures for the Walleye to rise January through March. The Lucas County Arena opened in October2009, and the project utilized $7.7 million in capital appropriations, which received Commission approval in July 2008.
Completion of Cuyahoga Countys Towpath Trail project hit a potential five-year delay with the revelation thatpart of the trails intended path runs through a former uranium-refining plant. The Towpath Trail is a planned 101-mile path following the historic Ohio & Erie Canal through Cuyahoga, Summit, Stark, and Tuscarawas counties. Currently,88 of the 101 miles of hiking and biking trail are open to the public. One of the final pieces of the trail, to be completed in
Cleveland and connect all the way to Lake Erie, received a $500,000appropriation in the June 2008 capital bill. Part of the planned path was topass through the former Harshaw Chemical site, about which the U.S. ArmyCorps of Engineers recently released a lengthy report indicating it could beas long as five years before the site is cleaned up. Harshaw Chemical wasthe site of uranium refining activity during World War II, supplying thematerial for the production of atomic bombs. Although the Army Corpsreport estimates four to five years for clean-up of the site, it also states theproperty does not present sufficient danger to prevent it from being used forpassive recreation, such as the activity proposed by the trail. Thatassessment by the Army Corps is providing some hope to the Ohio CanalCorridorone of the groups partnering on the project in Clevelandthat itmight persuade the Army Corps to move more quickly in its clean-up, or thatthe site does not need to be cleaned to an agricultural-use standard, sincethe trail would only be used passively by the public. Meanwhile, otherportions of the trail in Cleveland are under design, or will be as soon as landis purchased, and the Ohio Canal Corridor and other partners are working tocomplete those portions and open them to the public. Although projectsponsor representatives have spoken with Commission staff several timesregarding the Towpath Trail project, it remains unclear whether a sufficientcultural component of the project could be developed in order to fit within theCommissions statutory authority to fund the project.

extension of the Center for 50 years. The historic 1873 Dillon House had been used most recently for programs andevents such as Victorian teas, as well as rentals including weddings, dinners, and business meetings. Previously, thehome was used by visiting researchers and its rooms could be rented for overnight stays by Presidential Center membersAlthough the property generated revenue, the income was offset by expenses, including $1,000 in monthly utility costs. Inlight of recent state budget cuts, the Hayes Presidential Center has enacted other cost-cutting moves, including pay cutsfor employees, closing the Center on Mondays, and increasing admission prices. The Centers board of trustees has notmade a decision about whether to try to sell the property, citing the slow housing market. The Hayes mansion, also part ofthe Presidential Center, is currently undergoing a multi-year project to restore several rooms of the home. The site hasreceived a total of $4.178 million in capital appropriations over the years, and previous state-funded projects haveincluded the replacement of the roofs and HVAC systems at the Hayes mansion and the presidential library, restoration ofthe fence surrounding the estate, and improvement of the library auditorium.
Three cultural facility projects will appear on the agenda for the Commissions February 11 meeting: the Cozad-Bates House and the Irene Lawrence Fuller House, both in Cleveland, and the National Underground RailroadFreedom Center, in Cincinnati. Also on the agenda is a report from Commission Secretary-Treasurer Craig Marshallregarding the Commissions recent audit. A total of 11 projects submitted information by the January 14 deadline, and arein assessment for potential placement on the Commissions second-quarter meeting agenda. The total includes ninecultural facility projects and two projects of the Ohio Historical Society. Additional potential agenda items include the MaltzMuseum of Jewish Heritage and the Valentine Theatre.
ITEMS OF INTEREST
The new bond issuance to replenish the Commissions Building Fund will close on February 10. The Series 2010Atax-exempt bonds will have a value of $30 million.The Official Statement is available online, and a hard copy OfficialStatement will be provided to all Commission members at the upcoming February meeting. As of January 28, all fundsfrom the $30 million bond issue in December 2008 have been disbursed to project sponsors. At present, Commission staffis ready to reimburse 67 invoices submitted by project sponsors, valued at approximately $3.7 million, as soon as the newbond proceeds are received.

Two recently completed sports facility projects received recognition recently.Huntington Park, home of theColumbus Clippers minor-league baseball team, was named Ballpark of the Year by BallparkDigest.com. The publisher ofthe Web magazine called Huntington Park a fan-friendly facility that provides fans with a first-class experience. Park project received Commission approval in March 2008, and more than $6.8 million has been reimbursed, of a total $7million in state appropriations. Meanwhile in Toledo, the Lucas County Arena was nominated for a Pollstar Award in thecategory of Best New Major Concert Venue. Pollstar is a prominent trade publication for the concert industry, and itsannual awards honor artists, management, venues, talent buyers and more for achievements in the concert industry. Thefinal award recipients will be announced in February. The Lucas County Arena was appropriated $7.7 million in statecapital funds, approved by the Commission in July. More than $6.3 million has been reimbursed.
The Great Lakes Historical Society is a step closer tomoving its Inland Seas Maritime Museum from Vermilion toToledo, with the approval of a memorandum of understandingby the Toledo-Lucas County Port Authority regarding a leaseagreement. The agreement would allow the Society to enter intoa lease as soon as January for $1 per year for 25 years at a siteat Toledos Maritime Center in the Marina District. Thearrangement also would require the Society to split any annualticket revenues over $700,000 with the Port Authority, and toassume management and maintenance responsibilities for theWilliam B. Boyermuseum ship, which will be restored andrelocated to a slip adjacent to the Maritime Center. According toa Port Authority official, $35,000 is secured for the expense todry-dock and restore the ship; however, the estimated $1.5million needed to dredge the new slip next to the MaritimeCenter has not yet been identified. The move to Toledo would
nearly triple the museums display space, and according to amarket study, could bring more than 45,000 visitors per year,compared to the current draw of 6,500 visitors annually. TheSociety has operated the Inland Seas Maritime Museum at itscurrent site since 1953. The new museum could open as soon
as 2011, according to Society Executive Director Chris Gillcrist. The Great Lakes Historical Society has state capitalappropriations totaling $1.175 million, which could be used to help fund the new museum.
The Fort Meigs historical site, owned by the Ohio Historical Society (OHS), is likely to come under managementby a local Perrysburg group. The site will become one in a long list of sites statewide where OHS has turned over dailyoperations to local organizations in an effort to reduce its financial obligations in the face of state budget cuts. OHS isexpected to provide approximately $125,000 per year to subsidize some of the maintenance and utility expenses at FortMeigs. The sites 16-member advisory group, known as the Fort Meigs cabinet, is seeking 501(c)3 status and will begin a
fundraising campaign in spring 2010 to help support the forts ongoing operations. The group indicated it is interested inexpanding access and events at the site. Fort Meigs has been appropriated a total of $6.2 million in state capitalappropriations. In July, the Commission approved a recent $200,000 appropriation for the site, which was used to acquirean adjacent parcel of land to protect the site from future development; the closing was held in December.
The Western Reserve Historical Society has put an off-site warehouse up for sale, in spite of a weak market forcommercial property. The Societys Macedonia facilitywhich functioned as collections storage and a restoration facilitywhere volunteers worked on the rare and antique cars belonging to the Crawford Auto-Aviation Museumis listed for $1.8million, approximately $200,000 less than the purchase price 10 years ago. The Societys stated goal is to consolidatestorage of all its artifacts at or near its headquarters at University Circle in Cleveland. The Macedonia facility, in SummitCounty, is approximately 22 miles from University Circle. The Society has been working to erase more than $5 million indebt, and its efforts have included staff layoffs and salary cuts; the sale of some of its collections, including at least 44cars since the beginning of 2009; and now the sale of the Macedonia warehouse. Earlier this month, the Societyannounced it had paid off $3.5 million of the debt. Commission staff has received written concerns from a past volunteerand Friends of the Crawford member regarding the approach to debt repayment undertaken by the Society, and urgingthat no state funds be released to the Society until the organization can demonstrate a sustainable operating model. InMay, the Commission conditionally approved the use of $2.8 million in state capital appropriations for improvements to theSocietys Hay-McKinney Mansion and Crawford museum. The release of funds is contingent upon the Society obtaining afinancial guaranty for the states contribution toward the project. To date, the Society has not indicated any progresstoward identifying a potential guarantor. Prior appropriations totaling $2 million received Commission approval to addresswater infiltration issues at the Hay-McKinney Mansion and for HVAC upgrades in the library and Halle Costume wings.

The Lake Erie Nature & Science Center named a newexecutive director: Catherine J. Timko will begin hernew post with the center in January. She follows LarryRichardson, who led the center for 21 years, and is onlythe fourth executive director in the organizations 60-yearhistory. Timko has worked exclusively in the nonprofit fieldmost recently as division development director for theTrust for Public Land, a national land conservationorganization. She also worked at Akrons Stan Hywet Hall& Gardens in development positions, and prior to that, forthe Epilepsy Foundation of Northeast Ohio and theCleveland Opera. Timko holds a business managementdegree from Hiram College. The Lake Erie Nature &Science Center received a $200,000 state capitalappropriation in the June 2008 capital bill, which it intendsto use toward its planned $4-million expansion andrenovation project. The Commission entered into amemorandum of understanding with the organization afterits August meeting. Another Commission-funded projectannounced filling a key position recently: the Dayton ArtInstitute named David R. Stacy as chief financial officer
and director of operations. Stacy assumed the role in early December, having served the last 10 years as CFO of theOhio Masonic Home in Springfield. Stacy holds a bachelors degree from Bowling Green State University and an MBA
from Wright State University, and has 30 years of finance and accounting experience. The Dayton Art Institute wasreimbursed with state capital appropriations totaling $2.75 million for an expansion project in the late 1990s.
Commission approval for the release of $4.9 million in state capital funds for the Marina District project in Toledois in danger of expiring if the city of Toledo cannot execute legal agreements with the Commission by the upcomingFebruary 11 meeting. To date, developer Larry Dillin has not closed on the $3.6-million purchase of 58 acres on theMarina District site. The release of the Commission-approved $4.9 million for the park project is contingent upon the $3.6million as matching funds from the city, as is $2.25 million in federal stimulus funds, to be funneled through the OhioEnvironmental Protection Agency, for shoreline improvements along the Maumee River. The development of the riverfrontpark is expected to be the catalyst for the entire $320-million mixed-use development. In late October, Mayor CartyFinkbeiner sent Dillin a letter marked Marina District Notice of Termination. The letter gave the developer 30 days toclose on the land purchase, and stated the city could pursue other options for commercial development of the area. Inspite of the notice and passage of the citys deadline, Dillin continues to work to close on the land purchase, and Mayor
Finkbeiner said in December that he remained hopeful the deal would close soon. An anticipated start date on the projectis unknown; Toledo swore in a new mayor, Mike Bell, on January 5, and is facing a projected $40 million general funddeficit.
Three cultural facility projects remain in assessment for potential placement on the Commissions February 2010meeting agenda. The previously approved National Underground Railroad Freedom Center project is also expected to bepart of the Commissions February agenda.
ITEMS OF INTEREST
A new bond issuance to replenish the Commissions Building Fund is expected in early February, correspondingwith the anticipated spend down of the balance in the Commissions building fund as project invoices are paid.Commission approval for this $30 million new bond issuance was granted during the November meeting.
The Commissions audit for fiscal years 2008 and 2009 was completed in December. CommissionSecretary/Treasurer Craig Marshall, CPA, was involved throughout the audit process, participating in the audit entranceand exit conferences, and discussing Commission managements formal response to the auditors management letter.Commission members received the auditors report and managements response letter via e-mail. A full report on theaudit process and results will be provided by Mr. Marshall at the Commissions February 11 meeting.
The Commission is planning to relocate it offices to the Chase building at 100 East Broad Street in spring 2010,following the announcement that its current location at 20 East Broad Street, as well as an adjacent building, will beredeveloped into a boutique hotel. The new office space will represent a 30 percent reduction in square footage, andarrangements beneficial to the Commission have been negotiated with both our current and new landlords, thanks to a

soft commercial real estate market. The new lease is expected to generate savings for the Commission of approximately$80,000 in the current fiscal biennium (fiscal years 2010 and 2011) and roughly $50,000 in each successive fiscalbiennium. A Controlling Board request for the relocation has been submitted and is expected to be heard on January 11.

I understand you are requesting a copy of the federalization legislation. The legislation still remains indraft, though it is out of legislative counsel now. It is being amended as a result of some jurisdictionalissues that have now been resolved. However, this will cause a significant delay in the introduction of thelegislation, which may not happen until well into the next session of congress. I won't bore you with thedetails, but this is typical of the legislative process. We had hoped to have the legislation introducedbefore congress left for recess and at one time we were told we could get it passed before the end of theyear. Of course this is very disappointing for us in terms of the timing, but we are at the mercy of thecongress and their schedule as well as addressing some concerns raised by the natural resourcescommittee, which has jurisdiction.
Ben continues to work with Tony to provide the information that he requests, however I don't think we

KathyHere is the draft we are working with. There is a separate section that has been added onappropriations that would provide $5 million for the operations of the Freedom Center in each ofthe next five years. I am not in my office and I don't have access to that section. But this is thecurrent draft that Mr. Conyers' office is proposing to introduce.

KathyI understand you are requesting a copy of the federalization legislation. The legislation stillremains in draft, though it is out of legislative counsel now. It is being amended as a result ofsome jurisdictional issues that have now been resolved. However, this will cause a significantdelay in the introduction of the legislation, which may not happen until well into the next sessionof congress. I won't bore you with the details, but this is typical of the legislative process. Wehad hoped to have the legislation introduced before congress left for recess and at one time wewere told we could get it passed before the end of the year. Of course this is very disappointing
for us in terms of the timing, but we are at the mercy of the congress and their schedule as wellas addressing some concerns raised by the natural resources committee, which has jurisdiction.
Ben continues to work with Tony to provide the information that he requests, however I don'tthink we can count on federalization happening before the February commission meeting.Please let me know if you would like to discuss this in more detail. I am available throughoutthis month.

action; however, please keep in mind that the amount of time that has lapsed since we werepromised information from the Freedom Center may make it impossible for your project to be
