I. INTRODUCTION
1. The Ho Chi Minh City Long Thanh Dau Giay (HLD) Expressway Project is part of theNorth South Expressway which connects District 9, Ho Chi Minh City up to Dong Nai Provincewith the total length of about 51km. The HLD expressway will traverse 4 wards at District 9, Ho
Chi Minh City and 10 communes with 1 town of Dong Nai Province. The construction of theHCMC - Long Thanh - Dong Nai Expressways places a significant role in the development ofnational and local economies. It would contribute to economic development in other provinces ofsouthern Vietnam by strengthening economic linkage between HCMC and those provincesthrough the Expressway.
2. A Resettlement Plan (May 2008) was agreed by both the Government of Viet Nam(GOV) and Asian Development Bank based on preliminary design and initial census andinventory of losses. The overall objectives of RP policy are (i) to avoid, if not, minimizeresettlement impacts; (ii) if impacts are unavoidable, RP is prepared in a way to ensure thataffected persons are not worse off; rather, they should be able to at least maintain or otherwiseimprove their pre-project living standards and income-earning capacity. All compensation willbe based on the principle of replacement cost. In addition, allowances will also be provided andsuitable income restoration program will be designed and implemented during projectimplementation.
3. To date, the Resettlement Plan is being updated by district by the Southern ExpresswayProject Management Unit (SEPMU) following the completion of detailed design. In parallel withthe conduct of census and detailed measurement surveys, SEPMU, with the assistance of theTA Loan consultants, also carried out socio-economic surveys, key informant interviews, andmeetings with the local officials and affected households to determine the severity of impactsand vulnerability of households and discussed suitable approach or strategy in the design andimplementation of income restoration program.
4. This Income Restoration Program (IRP) will cover households who are consideredseverely affected due to loss of 10% or more of their productive/income generating assets (i.e.,loss of productive land or business). It will also include people who on account of their positionin society and/or their physical and economic situation are less capable of re-establishingthemselves than the others and, therefore, face greater risks of impoverishment. These peopleare those who fall in any of the groups of vulnerable households. For this IRP, they will bereferred to as severely affected and vulnerable households (or SAVH).
II. INCOME RESTORATION STRATEGY, OBJECTIVES, AND ACTIVITIES
5. The overall strategy of the IRP is to stabilize the livelihood activities or sources ofsustenance of the SAVHs by focusing on diversified activities to bring immediate income such
that they will be able to produce for their basic needs and long-term livelihood managementcapacity.
6. The objectives are to (a) maximize the use of remaining productive lands for foodproduction; (b) create career opportunities through vocational trainings and job creatingactivities; (c) provide technical advice or/and small business/service pilot models for those whowant to venture into business. It will also include capacity building interventions for localauthorities/responsible agencies and mass organizations in program management andimplementation.

7. The specific activities of the IRP are: (i) provide funds and appropriate technique forSAVHs whose remaining land are still viable to implement agricultural extension models (ii)organize training courses which are suitable to APs capacity; provide supplementary trainings,consulatations, allowance and other supports to participants attending the courses; and (iii)provide technical advise, pilot models on small business/services and other training courses,
study tours on efficient economic enterprises.
III. SEVERELY AFFECTED AND VULNERABLE HOUSEHOLDS
8. A total of 408 severely affected and vulnerable households in affected districts of DongNai province were identified during the DMS, surveys and interviews with the local officials andaffected people.

9. The IRP will also include an additional 129 households who are relatives of owners ofland with permanent residential registration (98 sub-households) and those who lack of legaldocuments to support their land utilization (31 households).

10. Each Updated Resettlement Plan includes the names and socio-economic profile ofeach household that will be entitled to participate in the income restoration activities. A completelist is attached as Annex 1.
IV. SOCIO-ECONOMICS AND NEEDS ON INCOME RESTORATION OF SAVHs
11. Age distribution of SAVHs plays an important role in designing appropriate IRP activitiesso that these activities are applicable to individuals or families as well as local conditions. Datashows that the middle-aged labor group from 30-65 years old and the young labors from 16-34years old are in the same percentage with more than 34%.

12. Of the 345 SAVHs who provided information on their main source of income, agriculturetops the list at 53.6% followed by those who earn wages/salary as workers/laborers (20.6%).About 15% are into business and services.

13. In terms of income, according to the documents issued by Dong Nai PeoplesCommittee, the poverty threshold in Dong Nai Province to date is 450,000 VND/capita/month inrural areas and 650,000/capita/month in urban areas. With an average household size of about4 members per family, it should be noted below that there are 166 households (28%) who arealready below the poverty threshold identified through the social economic surveys (Table 5).

14. Based on needs assessment of SAVHs carried out by SEPMU, together with the TALoan consultants, demands for access to loan (292 households) and vocational trainings (194households) were identified in the survey. Group meetings with the affected households alsoshowed the same results. With regard to loan requests, households want to use the money ascapital for agricultural and husbandry activities and business start-up or expansion activities.On vocational trainings, specific areas of interests are driving, sewing, motorbike repair,
hairdressing, and training related to construction works. Computer literacy, foreign languagestudies were also stated by the household members.

V. IRP ACTIVITIES
A. AGRICULTURAL PRODUCTION
15. A number of agricultural extension models were initially designed in collaboration withthe concerned Farmers' Associations, Women's Unions, Agricultural Extension Centers andaffected households. Cow-raising, pig-breeding, frog-raising, duck-raising, raising local varietychicken, raising anabas fish on paddy field and raising mushroom were selected as they aresuitable with local conditions, being practiced by some local residents and there is availablemarket to sell the produce.
16. Households participating in the pilot projects will be selected. A selection criteria will bedesigned by VEC/SEPMU together with the concerned agencies. Households selected will besubject to trainings and will also be required to share experiences and train other affectedhouseholds as well. Given the number of responsibilities in implementing these pilot projects,each selected household will be required to make a commitment in writing (similar to a contract)once they have understood the process and activities involved.
17. Participating households will visit other livelihood models within or outside Dong NaiProvince as part of their training. They will also be made aware of the risks involved, forexample, disease or death of animals due to lack of or increase in production inputs; or suddendrop in prices at the time of marketing and how these risks can be avoided or mitigated. TheIRP team will ensure continuous support through technical training courses, and closemonitoring of pilot projects to allow timely resolution of constraints and problems encounteredduring implementation.
18. In any case that households wish to expand their production, the Farmer's Associationand Agriculture Extension Center will assist the households to have access to funds through theSocial Policy Bank or Agriculture and Rural Development Bank.

B. VOCATIONAL TRAININGS AND JOB PLACEMENT
19. The trainings provided or being provided organized in the affected districts are limited.The training centers are mostly located in Bien Hoa City and Long Thanh District due to thepresence of industrial zones and factories.
In Nhon Trach District: there is no center which has no government vocational centers
except some small private production shops that receive limited trainees.
In Cam My District: the Government vocational training center has been established but
there are no training facilities.
In Thong Nhat District: There is one government vocational training center but has
limited facilities. There are only some old sewing machines and about 20 computers.
20. In parallel with the finalization on the type of training courses and participants, variousactivities will also be undertaken:
Creation of database of interested affected households to reflect qualifications, jobexperience, skills and desired occupation.
Establish and maintain linkages with the management of construction projects;commercial, industrial and institutional establishments within the Province with theintention of identifying their manpower requirements (i.e. number, qualification, scheduleof deployment, etc.) and securing agreements (quota for hiring) for deployment ofqualified SAH members to fill job vacancies.
Establish a program to provide information to the affected communes on the availabilityof jobs through posting of job vacancies in the commune offices and through commune'slocal radio.
Close coordination and establish linkages with the project contractors and consultants torecruit local labors, specially the affected households, on a priority basis. Labor
standards will be maintained and will incorporate applicable workplace occupationalsafety norms. There will be no differentiation between men and women on payment forwork of equal value, and no child labor will be used for construction and maintenance.
Establish and maintain linkages with academic and training institutes for training of SAHmembers to qualify for desired job positions
Conduct job fairs and providing consultation.
21. The Project will allocate funds for supplementing the required fees and expenses to beincurred by participants. It is estimated that 148 participants will enroll in various trainingcourses.
22. The consultants (TA or supervision) will monitor the performance of deployed SAH andprovide regular progress reports to VEC/SEPMU.
C. TECHNICAL ADVISE AND PILOT MODELS ON SMALL BUSINESS/SERVICE
23. There are households who wish to venture into small business or services. It can eitherbe shops to sell their own products, groceries or service stalls (motorbike repair). SEPMU havesigned the MOU with the Long Thanh Nhon Trach Vocational School to provide technicaladvice, conduct specific trainings on entrepreneurship and carry out some pilot models on small

business/services. Households will also be made aware of what to look into such as the rightproducts, market situation, competition, amount of investments and potential profit, and risksinvolved.
VI. RISKS AND MITIGATION MEASURES
24. There are a number of risks related to the pursuit of the IRP. It had to be recognized thatthe implementers are the households themselves and that the roles of VEC/SEPMU andconcerned government agencies and organizations are support in nature. Proper monitoringand appropriate and timely guidance and support is essential in the successful implementationby the SAVHs of their respective livelihood projects. Summary of the risks and mitigation isindicated in table 7 below.

There are instances that thebehavior in the prices for productioninputs and farm products in the openmarket becomes irregular. It ispossible that prices of productioninputs (i.e. feeds, veterinary
medicine, breeder stock, etc.) at thetime of purchase are higher thanexpected, and farm products getsold at the time prices are low. Thiswill result in higher production cost,lower sales and therefore lower oreven negative net income.
To help avoid this highlyundesirable situation, it is importantthat regular market information beprovided by concerned governmentagencies to the participatinghouseholds to advise them of
irregularities in the prices ofessential commodities therebyavoiding income losses resultingfrom price fluctuations.

VII. IRP MANAGEMENT AND IMPLEMENTATION
25. In order to bring the most effective results for those above-mentioned diversifiedactivities, below is the organizational structure:

26. Vietnam Expressway Corporation/Southern Expressway Project Management Unit.VEC/SEPMU has the overall responsibility in the design and implementation of the IRP.Specific to IRP activities, its roles are: to provide timely funds for conducting the agreed IRPactivities; closely collaborate with local authorities, mass-based organizations and IRP Teamduring IRP implementation; and prepare quarterly monitoring reports to be submitted to ADB.
27. TA Loan Consultants. There are two national livelihood consultants from the TA loanwho have and will continue to provide technical assistance to the IRP Team. Their contract willbe completed in June 2010 and it is expected that the Loan Supervision Consultants will bemobilized in May 2009/June 2010. The TA Loan Consultants and Loan Supervision Consultantswill have at least one month overlap to properly hand-over remaining IRP activities. The TA (orsupervision) consultants will assist VEC/SEPMU in the preparation of quarterly progress andevaluation reports.
28. TA Loan Consultants will also work and coordinate closely with local responsiblestakeholders including Vocational Training Centers (Long Thanh Nhon Trach VocationalSchool is selected to conduct vocational trainings/job introduction and industrial extensionactivities) and Farmer Association of Long Thanh, Nhon Trach, Cam My and Thong Nhat
districts as well as Community Representative Board and SAVHs to conduct other activities inthe IRP.
29. Supervision Consultants. Within one transitional month between TA loan consultantsand supervision consultants, all activities of the IRP will be hand-over to the supervisionconsultants. Specific tasks as well as all support documents, database will also be transferred.Limitation and difficulties during the implementation of the IRP need to be discussed and lookedfor a best solution during the transitional time. It is necessary to emphasize that all valuation,monitoring and management should be followed-up by the Supervision Consultants during theremaining time of the IRP.
30. Board of Community Representative will include one member from the severely
affected and vulnerable households per commune. Their participation is crucial to ensure thatthe concerns and local knowledge of the affected households (or commune) they represent arereflected in the IRP management and implementation. Members of the Board of CommunityRepresentative will not be limited by their age, sex or education level. The roles of Board ofCommunity Representative are: i) take an active part in the IRP design and implementation,management and monitoring (including monitoring fund for livelihood models); and ii) take partin finding solutions for issue arising during IRP implementation.
31. Workshops and short trainings will be carried out by the TA Loan consultants once theBoards of Community Representative are established. Members from Long Thanh NhonTrach Vocational School, Farmer Association of the four districts will be invited to the workshopsor short training for capacity building.
VIII. IRP COST ESTIMATES
32. The investment cost for the income restoration programs will be provided by VEC/SEPMU directly to the concerned district resettlement committee. Estimated cost to implementthe initial IRP is about 3.6 VND (USD 216,500).

IX. IRP IMPLEMENTATION SCHEDULE
33. The IRP will be implemented for a period of 2 years. It should be noted that IRP planningactivities have already started during the conduct of detailed measurement surveys. Thehouseholds have been identified and the list of households may change depending on the finalcommitment of households to participate. The schedule provided below is designed for oneproduction cycle to be implemented within 1 year. Evaluation of the pilot activities will be carriedout on the 12 month and will again carry out another cycle of planning for the 2nd yeardepending on the success and limitation of the IRP. The TA Loan Consultants and LoanSupervision Consultants will assist in the continuous implementation of the IRP and will provideback-stop support as and when necessary.

X. MONITORING AND EVALUATION
34. Internal Monitoring. The TA Loan consultants will hold a series of meetings with theparticipants and develop a set of monitoring indicators at the beginning of the IRPimplementation. Monitoring forms will be developed accordingly. The District Responsibleorganizations (as mentioned above) and Community Representative Board together with theaffected communes will prepare quarterly progress report on IRP implementation based ontheir respective coverage areas. Issues identified for immediate action will immediately bereferred to the concerned office. Modifications in the program based on the progress andlessons learned in the course of IRP implementation and additional funds to cover additionalactivities and support to vulnerable households will be provided as and when necessary.VEC/SEPMU will carry out its own monitoring and submit progress reports to ADB.
35. External Monitoring. An External Monitoring Agency (EMA) had been hired by theVEC/SEPMU to monitor and evaluate the effectiveness of the IRP. This agency will develop aset of evaluation indicators for this purpose. EMA's monitoring reports will provideVEC/SEPMU time-bound action plan which will cover identification of problems, issues andrecommended solutions, so that VEC/SEPMU, and IRP Team are informed about the ongoingsituation, and can improve or resolve problems in timely manner. One year after the end of
IRP implementation, a post project evaluation will be conducted to determine if whether theSAH had been restored to at least their pre-Project socio-economic conditions.

DETAILED WORK PLAN OF INCOME RESTORATION PROGRAM
IN DONG NAI PROVINCE (FIRST 6 MONTHS)
1. Activities and responsible organizations/agencies
In the first six months of totally 24 implementation months of the IRP, several activities
including vocational trainings and agricultural pilot models will be carried out. Concerning these
activities, different stakeholders including Long Thanh-Nhon Trach Vocational School (VS) and
Farmer Associations (FAs) of Long Thanh, Nhon Trach, Cam My and Thong Nhat districts will
be contracted. VS will responsible to conduct vocational training courses, job introduction and
other small business extension for all affected districts in Dong Nai province meanwhile FA of
each districts will take part in developing agriculture models for its district.
To fulfill the activities, different steps will be conducted in coming weeks, such as: (i)
community consultation meetings with SAVHs to re-identify their needs and desires invocational training; (ii) working with Farmer Associations and Community Representative
Boards (CRB) to select HHs running the pilot models of agricultural extension; (iii) organizing
short training course and workshop to facilitate stakeholders, etc.
2. Districts to conduct IRP and schedule
In the first six month of the IRP, Nhon Trach and Cam My districts are selected to proceed with
the activities since Nhon Trach is accomplished for either DMS or compensation while Cam My
is going to the last stage of compensation and land acquisition. In Long Thanh and Thong Nhat
detailed measurement survey has not been completed yet. On the other hand, compensation
documents of many APs in Long Thanh are being examined the origin of land source, a very
important step in finalizing the compensation documents. Base on the result of examining,
SAPs will be identified as beneficiaries of the IRP. The situation is similar in Thong Nhat
district. As the result, IRP implementation in Long Thanh and Thong Nhat districts will be
undertaken in the following six months or following year of the Plan.
Table 1 summaries different activities, schedule and responsible agencies of the IRP in Nhon
Trach and Cam My districts of Dong Nai within the first six months of the implementation.

BUDGET AND FUND TO CONDUCT ACTIVITIES OF THE IRP
(FIRST SIX MONTHS)
1. Budget
According to the places and activities of the IRP to be carried out in the first 6 months, budgetwill be divided into two items including budget for vocational trainings/job creating and budget
for running agricultural models.
1.1 Fund for vocational trainings/job creating and small business/service pilot models
Fund for vocational trainings/job creating will be disbursed to the Long Thanh-Nhon Trach
Vocational School depending on the activities to be conducted in the first six months. Total
budget for these programs in all affected districts of Dong Nai province is 1,351,240 thousand
VND (equivalent to 75,000 USD). In the first six months, Nhon Trach and Cam My districts will
be selected to execute the IRP. Therefore, budget to implement different trainings,
consultations, job creating and small business models for the two districts is broken down as
following table.
Following table 2, total budget of 396,990,000 VND (22,000 USD) will be disbursed to the Long
Thanh Nhon Trach Vocational School twice. Upon the approval of ADB on the final IRP (by
the end of November, 2009), 50% of the budget (198,495,000 VND or 11,000 USD) will be
transferred to the account of VS as start-up fund for running above activities. After three
months of the implementation, remaining money (50%) is required to disburse to VSs account
for continuing the program.
Financial reports (with support documents) will be issued two times: after 3 months (March,
2010) and at the last month of the implementation (June, 2010).

1.2 Fund for running agricultural pilot models
a. Nhon Trach District
Budget for Nhon Trach district is mostly used for conducting agricultural pilot models. Since
only Phuoc Thien commune of Nhon Trach district with about 28 severely affected and
vulnerable households, five models will be applied to rehabilitate livelihood for local people.
Other technical trainings, study-tours for SAVHs in Nhon Trach will be carried out concurrentlywith Long Thanh district.
Total budget for executing agricultural models within 6 months is 187,037,400 VND
(10,300USD). These activities are expected to finish by the end of the 6th month of the plan
(June, 2010) including transitional month to supervision consultants.

After the final IRP is approved by ADB, 50% of the budget (93,518,700 VND or 5,150 USD) will
be disbursed to the account of Nhon Trach Farmer Association for start-up fund. Two months
later, remaining money will be sent to Nhon Trach FAs account for conducting the rest
activities.
As above, financial reports (with support documents) will be issued to ADB into two times: after3 months (March, 2010) and at the last month of the implementation (June, 2010) for both
Nhon Trach and Cam My districts.
Table 3 and 4 show a breakdown of expenditures for running agricultural pilot models in Nhon
Trach and Cam My within the first six months.

b. Cam My District
Similarly to Nhon Trach, there is also one commune of Song Nhan in Cam My district with
affected households (public land is affected in other commune), all agricultural extension

are over 100 SAVHs in Cam My district will be beneficiaries of the IRP with 10 agricultural
models.

Total budget for Cam My district in 24 months of the IRP is 604,678,800 VND (33,600 USD).
However, within the first six months, some models will be selected to conduct depending on
the weather and local conditions. As the result, amount of 340,843,800 VND (18,900 USD) will
be used from this stage. Pilot models for Cam My district will be started one month later than
those in Nhon Trach district, therefore 50% of the amount (170,421,900 VND or 9,467 USD)
will be transferred to Cam My Farmer Association by February, 2010. Remaining money will bedisbursed later (in the next six months) according to models to be executed.

schedule of deployment, etc.) and securing agreements (quota for hiring) for deploymentof qualified SAH members to fill job vacancies;
- Establish a program to provide information to the affected communes on the availabilityof jobs through posting of job vacancies in the commune offices and through
commune's local radio;
- Conduct job fairs and providing job consultation.
2.2 Responsibilities of Parties
A. SEPMU will:
Prepare detailed cost estimated for TCN in order that TCN can disburse for the job and
vocational training activities of SAVHs on time (about 650 mil. VND for vocational
trainings and about 190 mil. VND for job consultation and introduction). The Annex 1
of this MOU is cost estimated of these activities;
Transfer money timely (will be mentioned in the cooperation contract);
Create the database of interested affected households to reflect qualifications, job
experience, skills and desired occupation;
Manage and monitor the organizations of trainings, workshops, ending and evaluationworkshop for vocational trainings, job introductions in the scope of Dong Nai IRP;
Receive and assist TCN to resolve the comments, feedback from SAVHs about the
vocational trainings, workshops,;
Popularize and promote other cooperation activities (if any).

Closed monitor the training activities of SAVHs members and report to SEPMU
timely;
Establish and maintain linkages with the management of construction projects;
commercial, industrial and institutional establishments within the Province with the
intention of identifying their manpower requirements (i.e. number, qualification,
schedule of deployment, etc.) and securing agreements (quota for hiring) for deployment
of qualified SAH members to fill job vacancies;
Establish a program to provide information to the affected communes on the availabilityof jobs through posting of job vacancies in the commune offices and through

After discussions, both Parties agreed to sign the MOU as below:
1. Purpose
o SEPMU (with the assistance and representative of IRP Consultant) cooperate with
HNDNT to implement the agriculture extension activities for SAVHs of HLD Project in
Nhon Trach district (within the IRP for Dong Nai).
2. Working agreement
2.3 Background
- Organize the technical workshops related to agriculture extension for pilot SAVHs.Households selected will be subject to trainings and will also be required to share
experiences and train other affected households as well;
- Implement agriculture pilot models for SAVHs (designed with the assistance of theconcerned Farmers' Associations, Women's Unions, Agricultural Extension Centers and
affected households) such as Cow-raising, pig-breeding, frog-raising, duck-raising,raising local variety chicken, raising anabas fish on paddy field and raising mushroom;
- Organize study tours for SAVHs members who will visit other livelihood modelswithin or outside Dong Nai Province as part of their training. They will also be made
aware of the risks involved, for example, disease or death of animals due to lack of or
increase in production inputs; or sudden drop in prices at the time of marketing and how
these risks can be avoided or mitigated;
- Provide continuous support through technical training courses, and close monitoring ofpilot projects to allow timely resolution of constraints and problems encountered during
implementation.
2.2 Responsibilities of Parties
B. SEPMU will:
Prepare detailed cost estimated for HNDNT in order that HNDNT can disburse for the
agriculture extension activities of SAVHs on time. The Annex 1 of this MOU is cost
estimated of these activities;
Transfer money timely (will be mentioned in the cooperation contract);
Manage and monitor the organizations of trainings, workshops, ending and evaluationworkshop for agriculture extension activities in the scope of Dong Nai IRP;
Receive and assist HNDNT to resolve the comments, feedback from SAVHs about the
agriculture extension activities;
Popularize and promote other cooperation activities (if any).

Disburse budget in a planned way (as Annex 1, the guideline of SEPMU Consultant);
Store and maintain accounting documents for auditing;
Provide technical advices for SAVHs;
Conduct study tours about success agriculture models for SAVHs.
3. General agreement:
o This MOU is the basic requirement in order that the Project Donor, ADB, approves the
mechanism to implement the IRP;
o This MOU will be replaced by a cooperation contract between both Parties after theofficial approval of IRP.
This contract will be made into 02 Vietnamese copies, each party keeps 01 copy with the same
legal value.
