Voorstel van besluit: Overeenkomstig artikel 556 van het Wetboek van vennootschappen, goedkeuring van de bepalingen van, en de verrichtingen ingevolge het Stockoptie Plan 2014, en in het bijzonder de bepalingen dewelke rechten toekennen aan derden (in casu de optiehouders) die een invloed hebben op het vermogen van de Vennootschap, dan wel een schuld of een verplichting te haren laste doen ontstaan, waarvan de uitoefening afhankelijk is van een openbaar bod op de aandelen van de Vennootschap of een wijziging van de controle die op haar wordt uitgeoefend.

Voorstel van besluit: Overeenkomstig artikel 556 W.Venn. goedkeuring van de bepalingen van de te sluiten Note Purchase Agreement tussen, onder meer, Arseus NV en bepaalde notehouders, en in het bijzonder de bepalingen dewelke rechten toekennen aan derden (in casu de note-houders in geval van een controlewijziging over Arseus NV) die een invloed hebben op het vermogen van Arseus NV, dan wel een schuld of een verplichting te haren laste doen ontstaan, waarvan de uitoefening afhankelijk is van een openbaar bod op de aandelen van Arseus NV of een wijziging van de controle die op haar wordt uitgeoefend (met inbegrip van, maar niet beperkt tot, sectie 8.9 van dergelijke Note Purchase Agreement).

16. Volmacht.
Voorstel tot besluit: Toekennen van een volmacht aan de heer
Johan Verlinden, woonplaats kiezende te Textielstraat 24, 8790 Waregem, bevoegd om individueel te handelen en om de Vennootschap te vertegenwoordigen met betrekking tot het vervullen van de neerleggings- en bekendmakingsverplichtingen vervat in het Wetboek van vennootschappen. Deze volmacht houdt in dat de volmachtdrager alle noodzakelijke en nuttige handelingen kan stellen en alle documenten kan ondertekenen die verband houden met deze neerleggings- en bekendmakingsverplichtingen, met inbegrip van, maar niet beperkt tot, de neerlegging van voornoemde besluitvorming op de bevoegde griffie van de rechtbank van koophandel met het oog op de publicatie ervan in de Bijlagen bij het Belgisch Staatsblad.
