SECURITY, PRIVACY AND INFORMATION LAW DIVISION

Big Data “Big data” is a term used colloquially to identify the challenges created by the exponential increases in electronic data that occurs in very short periods of time. Big data is more technically defined as data of sufficient volume or complexity that exceeds the capability of conventional software, hardware or methodology to process or analyze it in conventional ways. To help meet the challenges, a multi-disciplinary area of study called “data analytics” is used to pick up where conventional types of data analysis leave off. Data analytics is composed of many verticals, and each vertical includes tools derived from well-tested scientific methods and technologies. For the legal profession to squarely address the challenges posed by big data, legal professionals must understand the uses and best practices of analytics, not only within subject-matter and analytic verticals, but across each of these verticals as well. Cloud Computing The Internet Relationships and Cloud Computing Committee addresses (i) web-based communities, social-networking, and blogs on the Internet; and (ii) cloud computing, the newest paradigm to virtualize and distribute interoperable, collaborative information services on the Internet. E-Discovery and Digital Evidence Nearly all information created by public and private organizations, and even by individuals, is now digitally generated, and that information is increasingly relied upon for use as evidence in both civil and criminal litigation. The EDDE Committee seeks to bring together the leading thinkers and practitioners in the area of e-discovery: jurists, litigators, policy-makers, technology experts, and business leaders, to work collaboratively with participants from related disciplines on projects designed to bridge the gap between technology and law in a way that will foster better client representation -- both prior to as well as during litigation. Focusing on many critical issues that have largely been overlooked or not well understood since the 2006 amendments to the Federal Rules of Civil Procedure helped open the floodgates for the discovery of digital evidence, the Committee will work to foster and promote increased legal, judicial and enterprise understanding of the implications of technology on the legal process, and ultimately to develop solutions to many of the complex and challenging e-discovery problems facing the legal community. E-Filing This committee considers the improved efficiencies and privacy implications occasioned by the use of electronic processes to enable information transfers between private persons or entities and public repositories, whether they are conducted to facilitate official decision-making, to establish personal jurisdiction over corporations and registered agents, or to effectuate significant commercial and private transactions. The current focus of the committee is upon court and administrative filings in state and federal proceedings, electronic voting, authentication and identification of persons and official roles, including electronic notarizations of electronic documents, and tamper-evident protective seals to protect official electronic data from unauthorized modifications. Articulation of best technology practices can assist in a review and meaningful revision of official policies, statutes and rules, and the development of interoperable standards to achieve compatibility in technology solutions across jurisdictional boundaries.

E-Privacy Law This committee is a forum for sharing information concerning cutting-edge legal developments with respect to information privacy, both domestically and globally. It provides opportunities for networking with colleagues in the same field, discussing a wide range of privacy issues, commenting on developing practices and guidelines regarding privacy, participating in the development of publications, taking positions on policy issues. The Committee features a listserv, offers periodic meetings, teleconferences and publications. Homeland Security This committee focuses on legal and policy issues related to the role of science and technology in the nation's homeland security efforts. The committee tackles issues surrounding the development and utilization of innovative and emerging technologies as solutions for securing the homeland, and related legislation and scientific and technological resources for protecting the homeland. Information Security This Committee is comprised of a diverse group of lawyers, security experts, technologists, auditors and other professionals, whose focus includes the examination and analysis of legal, business, and technical aspects of securing the confidentiality, integrity and availability of information. The ISC has been the focal point of diverse secure electronic commerce law initiatives since 1992, and its body of published work includes globally influential documents relating to electronic authentication, digital signatures, and public key infrastructures. The ISC’s list serve is recognized as a leading on-line forum for the robust debate on the spectrum of views from its members and other SMEs on these emerging issues of law and policy in the network infrastructure security arena. Internet of Things The Internet of Things (IoT) is the interconnection of uniquely identifiable embedded computing devices within the existing Internet infrastructure. Typically, IoT is expected to offer advanced connectivity of devices, systems, and services that goes beyond machine-to-machine communications (M2M) and covers a variety of protocols, domains, and applications. The interconnection of these embedded devices (including smart objects), is expected to usher in automation in nearly all fields, while also enabling advanced applications like a Smart Grid. The Federal Trade Commission estimates that more than 25 billion connected devices and objects are expected to be online by 2020. This newly formed Internet of Things Committee (IoT) will address emerging legal issues raised by the proliferation of these devices and objects. Our committee invites both lawyers and non-lawyers (e.g., technologists, etc.) to join and take part in this exciting new area. Open Source Software This committee identifies and analyzes the legal issues raised by commercial development and distribution of products using software and tools licensed under an Open Source model. In particular, the committee serves as a neutral forum for discussion and interpretation of many of the principal variations in open source licenses and potential legal effects of attempting to enforce the terms of these licenses. The Committee also concentrates on producing written resource materials to remedy a notable lack of existing authoritative resources discussing legal issues unique to open source software projects. Privacy and Computer Crime This committee focuses on privacy, cybercrime and cybersecurity issues. Its work is international in scope. The committee takes a multidisciplinary approach to a broad range of issues and participants in project work including attorneys, technical experts, academia, government personnel, non-profit organizations, and representatives from industry and standards bodies

around the globe. The committee encourages public-private cooperation in its work and has personnel from many participating organizations working on its projects. The Committee worked with participants from over 15 countries to produce the ITU Toolkit for Cybercrime Legislation which is intended to serve as sample legislation for countries around to globe and promote a harmonized global framework for cybercrime. The committee also has authored seven books. The committee has held numerous continuing legal education and outreach programs regarding the nexus between privacy, security, and cybercrime and the development of enterprise security programs that integrate technical, legal, managerial, and organizational considerations surrounding these three issues. The Committee interacts with leading associations, academia, government entities, and non-profit organizations to promote sound principles and best practices toward privacy, security, and cybercrime. Technical Standardization This committee seeks to improve the development of solutions to policy issues having a mixture of legal and technical factors. As we encounter situations involving a high degree of interaction between people, institutions and technology more frequently, proposed and achieved solutions increasingly rely on technical standards in addition to or as a substitute for legal standards or regulation. The committee will develop principles and practical guides towards better solutions generally. These may include policy approaches to finding the right balance or changes in the law applicable to standards development and use to support more effective solutions. LIFE & PHYSICAL SCIENCES DIVISION

Behavioral and Neuroscience Law This committee addresses the full range of legal issues that concern psychiatry, psychology, and related behavioral sciences. A particular emphasis has included the "jurisprudent science" approach to psycholegal analysis, in which mental health science, mental health practice, and mental health roles are explored in terms of their contributions to principles of justice in both criminal and civil contexts. Biotechnology Law The Biotechnology Law Committee is an interdisciplinary group of attorneys with interests spanning a diverse range of biotechnology topics that concern research, commercial, regulatory, and patent issues; clinical medicine issues; ethical and evidentiary issues; and legislative and public policy issues. We are united by an intense interest in the biotechnology sector, and, despite our Committee’s growing numbers, a sense of camaraderie as fellow pioneers. The committee aims to be a resource for educational, career development, and information exchange programs related to biotechnology. Another critical aspect of our Committee’s work involves our analysis of cutting-edge public policy issues involving biotechnology and bioethics. On matters within this Committee’s ambit, we form ad hoc subcommittees to analyze and recommend for or against resolutions before the ABA House of Delegates. Food, Cosmetics and Nutraceuticals The mission of this committee is to keep its members educated and informed on legal issues relating to the burgeoning industries of foods, dietary supplements, nutraceuticals, medical foods, and cosmetics. Nutraceuticals is a marketing term, not a regulatory one, and includes food and supplement products that claim to provide health benefits beyond their basic nutritional value. Medical food is a distinct category of food products that are administered under the supervision of a physician, and which are intended for the specific dietary management of a disease or condition. The FDA and federal laws regulate the food, dietary supplement, and medical food categories quite differently, posing traps for unwary clients and their lawyers. Cosmetics fall under a different regulatory scheme, with "cosmeceuticals," yet another marketing

derived category, inhabiting the murky regulatory line between cosmetics and drugs. Beyond FDA, relevant considerations include FTC's substantiation rules, the Lanham Act, state laws, and potential class actions. Medical Devices If a product is used to treat, cure, diagnose, or affect the structure or function of the human body, but it does not function through chemical or metabolic action on the body, then it is a medical device. Medical devices range from simple tongue depressors and bedpans to radiation-emitting apparatuses and laser surgical devices. The development, approval, and marketing of many medical devices fit within a regulatory scheme that differs significantly from that governing drugs and biologics. This Committee’s purpose will be to keep its members informed and educated about the corporate, regulatory, intellectual property, product liability, and other legal issues specific to this industry sector. Nanotechnology Law Nanotechnology is at the convergence of multiple fields of science, including biology, physics, chemistry, materials science, computer science, mechanical engineering and electrical engineering. A variety of tools are being invented to allow nanoscale manufacturing. The Nanotechnology committee will explore the novel legal issues associated with nanotechnology research and development, distribution, licensing, and intellectual property protection. What kinds of patents are possible? What licensing structures are used? The committee will attempt to understand the potential dangers of this technology, and create a platform for discussions between scientists, lawyers and legislators about the ethical implications of some discoveries. The Rights and Responsibilities of Scientists This committee serves as a primary informational and advocacy resource for those interested in the legal representation, professional autonomy, and regulatory obligations of researchers, teachers, and practitioners in all areas of scientific endeavor and strives to address not only the legal aspects, but also ethical issues confronting all facets of medicine and science. A major focus of this Committee involves conflict of interests in medicine and science, the protection of the integrity of scientific research and the protection of the objectivity of medical and scientific professionals. Scientific Evidence This committee addresses the legal and evidentiary issues arising from the use of scientific evidence and experts. INTERDISCIPLINARY DIVISION

Artificial Intelligence and Robotics Artificial Intelligence (AI) and Robotics are no longer topics of the distant future. AI software now is used in businesses from “high-frequency” stock trading to discovering new breakthrough pharmaceuticals. Our military flies drone planes like the Predator; you can buy a Lexus that will parallel park for you or a Roomba to vacuum your floors. The Committee addresses the legal issues that are and will arise from such technologies as well as ways in which these technologies are enhancing the field of law. Cleantech and Climate Change The Clean Technology and Climate Change Committee (CTC3) raises awareness to law, policy, science, and technology issues related to climate change and sustainability; strengthens the capacity for effective legal, technical and market-based responses to mitigate greenhouse gases, ease adaptation, drive innovation, assure compliance, and preserve environmental integrity; and, as appropriate, assists with the development and implementation of domestic and international laws. CTC3 draws upon the expertise of public and private sector members from a wide range of

practice areas and coordinates with other committees within the ABA Section on Science and Technology Law and in other Sections. Data Property Rights Who owns personal information? This committee examines legal issues pertaining to the “ownership” of personal information by persons and businesses, ranging from consideration of what it means to “own” personal information to what happens to personal information after one’s death. Healthcare Technology The Healthcare Technology Committee (“HTC”)’s mission is to: 1) raise awareness concerning the legal, science, technology and policy issues relating to the continually evolving healthcare technology in light of the current legislative focus on large-scale reform of the delivery and payment models for healthcare products and services; 2) draw upon the extensive and diverse knowledge and expertise of public and private sector members from a wide range of practice areas that touch upon healthcare technology and coordinate with other committees within the Section on Science and Technology Law and in other ABA Sections to take advantage of synergies and common interests relevant to this industry; 3) provide a forum for the exchange and sharing of best practices, knowledge and expertise pertinent to this industry; and 4) promote better understanding, thought leadership and proposed policy-making on a wide spectrum of complex and emerging issues arising in healthcare technology, including the role of information technology in healthcare reform and achievement of personalized medicine; the use, mining and transformation of data, cloud computing, remote hosted services and health information exchanges and the related data privacy and security issues; interoperability and standards; and government initiatives impacting this industry. Museums and the Arts The Museum and the Arts Committee focuses on emerging science and technology law issues relating to museums of all types and also the art world. We welcome all Section members with an interest in these areas, and particularly invite the participation of law student and young lawyer Section members who would like to be involved in projects that bring together the worlds of museums, art, technology and the law. We anticipate that this committee will actively work on projects of interest not only to its members, but to the broader community of museum professionals and supporters. Space Law The space industry is in a period of transition. With the retirement of the Space Shuttle, private companies are preparing to assume many of the missions traditionally undertaken by government agencies and to open new markets in outer space. With this transition, space companies and government agencies will face many new challenges. To help the legal community meet these challenges, the Section of Science & Technology Law has formed the Space Law Committee, with the mission of providing educational resources to the legal community about the unique legal, business and technical challenges presented by space operations.

BYLAWS

ARTICLE I NAME AND PURPOSES

Section 1. This Section shall be known as the Section of Science & Technology Law (the "Section”).

Section 2.

The mission of the Section is to provide leadership on emerging issues at the intersection of law, science, and technology; to promote sound policy and public understanding on such issues; and to enhance the professional development of its members.

ARTICLE II MEMBERSHIP

Section 1. Each member of the Section shall, at the time of enrollment, pay to the Association annual dues not in excess of $75 as fixed by the Council, which initial annual dues shall constitute the annual dues for the ensuing fiscal year (September 1 - August 31) if it commences within three months of such enrollment. Thereafter, annual dues are paid in ad-vance each year beginning on the September 1st next succeeding such enrollment.

Section 2. Voting and privileges of the floor at any meeting of the Section shall be limited to members in good standing. Any member of the Section whose dues are delinquent by a period set by the Board of Governors shall cease to be a member of the Section. Any person who ceases to be a member of the Association shall also cease to be a member of the Section.

Section 3. Any law student who is a member of the Law Student Division of the Association may become a Law Student Member of the Section upon request and upon payment to the Association of annual Section dues not in excess of $15 as fixed by the Council. Law Student Membership shall be for a period of twelve months beginning October 1 and ending September 30 in each calendar year. A qualified law student upon payment of dues for the current law student year shall be enrolled as a Law Student Member of the Section. Thereafter such dues shall be paid in advance each year beginning on October 1 next succeeding such enrollment. Any Law Student Member whose annual dues shall be more than six months past due shall thereupon cease to be a member of this Section. Law Student Members shall have such rights, privileges, responsibilities and duties as the Council may from time to time determine, and no other, consistent with the Bylaws of the Association and guidelines adopted by the Board of Governors. Any and all references in these Bylaws to "Member" or "Members" shall be deemed not to refer to Law Student Members. Law Student Members shall be entitled to attend all meetings of the Section, but shall not have the right to vote. ARTICLE III OFFICERS AND COUNCIL

Section 1. The officers of the Section shall be a Chair, a Chair-Elect, one to two Vice-Chairs, a Secretary, a Budget Officer, and the Section Delegates to the House of Delegates.

Section 2. There shall be a Council, which shall consist of the officers and the Immediate

Past Chair, together with twelve other members of the Section to be elected by the Section membership. One representative each of the Law Student Division and the Young Lawyers Division of the Association will serve as ex officio non-voting members of the Council.

Section 3. At each annual meeting of the Section the following shall be elected:

(a) Chair-Elect, a Vice-Chair (or Vice-Chairs), and a Secretary, each for a term of one (1) year.

(b) A Chair, in the event that the office of Chair-Elect at the time of the election is vacant. (c) Upon the expiration of the terms of Council members, three members of the Council shall

be elected at each annual meeting of the Section to terms of four (4) years beginning at the close of the annual meeting at which they shall have been elected and ending at the close of the fourth succeeding annual meeting of the Section. The representatives of the Law Student Division and of the Young Lawyers Division shall be designated by these organizations at the time of the annual meeting for a term of one (1) year.

Section 4. If any member of the Council shall fail to attend two (2) successive meetings of

the Council, the office held by such member may be vacated by the Council unless the Council determines that there was reasonable cause for such absence, and the vacancy so created shall be filled by the Council. Section 5. The Section shall elect the Budget Officer for a term of three (3) years at the annual meeting,

Section 6. The Section shall elect the Section Delegates to the House of Delegates in accordance with the Constitution and Bylaws of the American Bar Association and the Bylaws of the Section. At appropriate times, as determined by the Section Officers Conference, a Section Delegate shall serve on the Nominating Committee of the House of Delegates. The Council shall designate which Section Delegate shall serve on the Nominating Committee of the House of Delegates. The designation shall be made by the Council with due regard for the eligibility requirements for service on the Nominating Committee of the House of Delegates.

In the case of the absence of a Section Delegate from a meeting of the House or its

Nominating Committee, the Section Officers may designate a member of the Section as an Alternate Section Delegate to replace the absent Section Delegate.

Section 7. All terms of Office herein specified shall begin at the close of the annual meeting at which election or appointment takes place, and shall end at the close of the annual meeting at the end of the term specified, or when a successor shall have been elected and qualified.

Section 8. No person shall be eligible for election as a member of the Council if he or she is then an elected member of the Council and has been such member continuously for a period of three years or more, but this provision shall not bar election of such person as an officer (including as Section Delegate). ARTICLE IV NOMINATIONS AND ELECTIONS

Section 1. At any time no later than the close of the Association's midyear meeting, the Section Chair, after consultation with the Section Council, shall appoint a Nominating Committee of five members of the Section who are not candidates for office, not more than four of whom

shall be either present or former office holders or members of the Council. The Section Chair-Elect shall be one of five Section members appointed to the nominating committee, and shall serve as its chair, unless the Section Chair-Elect position is vacant at the time the Nominating Committee is appointed, in which case the Section Chair shall select one of the five appointed Section Members to serve as chair of the Nominating Committee. The chair of the Nominating Committee may act on behalf of the Committee as authorized by the Committee. The Section Chair shall promptly thereafter announce the appointments with mailing or email addresses in an appropriate Section publication. The Section Chair may appoint a Section member to fill any vacancy which may arise thereafter in the Nominating Committee or chair thereof. The Committee shall obtain from the proposed nominee a brief statement (a) describing the nominee's activities in the Section and in the law profession generally, and (b) agreeing that if any conflicts of interest regarding the nominee’s activities for the Section become known to the nomi-nee he or she will, if elected, advise the Council. The Nominating Committee shall make and report one nomination for each position which is to be filled by election as provided elsewhere in these Bylaws. The report shall identify such nominee, provide the nominee's mailing or email ad-dress, and include a brief statement of the nominee's activities and conflicts, if any, disclosed by the nominee to the Committee. The Committee shall submit its report to the Section Chair who shall cause it to be published in an appropriate Section publication not later than thirty days prior to the opening assembly of the Association annual meeting, together with the time and place of the election. The Nominating Committee may supplement its published report and action by making one nomination for each vacancy in the Council or in its slate of nominees if any such vacancy should arise prior to the beginning of the annual meeting of the Section. Additional nominations may be made by petition signed by twenty-five Section members and delivered to the Section Director at the office of the Association in Chicago, Illinois, at least seven full business days prior to the opening assembly of the Association annual meeting. The petition shall be accompanied by the information with respect to the nominee’s qualifications for the position, including the information set forth above for the nominee brief statement.. Otherwise such nomination shall not be a valid nomination. At the commencement of the first business ses-sion of the annual meeting of the Section, the Section Chair shall orally announce the time and place when the election will be held as stated in the official program of the annual meeting of the Association, together with the foregoing information as to nominees nominated by Nominating Committee or by petition.

Section 2. All elections shall be held at the business session of the annual meeting of the Section designated by the Chair, and elections shall be by voice vote, except that elections for contested positions shall be by written ballot if requested by any member in attendance at such session. Each position to be filled by election shall be voted upon separately, except that the vote may be for the entire slate of nominees nominated by the Nominating Committee for un-contested positions. Elections shall be by majority of the votes cast, and a runoff election to choose between the two leading candidates shall be held if a majority vote is not initially obtained. ARTICLE V DUTIES OF OFFICERS

Section 1. Chair. The Chair shall preside at all meetings of the Section and of the Council. The Chair shall formulate and present at each annual meeting of the Association a report of the work of the Section for the then past year. The Chair shall perform such other duties and acts as usually pertain to the office of Chair. The Section Chair may approve budget expenditures and reimbursements in accordance with the policies of the Section and/or as authorized by the Council. The Chair may appoint an Assistant Secretary who shall assist the Secretary in keeping the records of proceedings of all meetings of the Section and of the Council and who shall assist the Secretary in any other respects requested by the Secretary and shall perform such other duties as may be prescribed by the Chair. The Chair may appoint an Assistant Budget Officer to assist the Budget Officer.

Section 2. Chair-Elect. The Chair-Elect shall, unless he or she shall have failed or been

unable to act as Chair-Elect, at the end of the Chair's term, automatically assume the office of Chair for a term of one year. The Chair-Elect shall be responsible for appointing all Chairs and Vice-Chairs and members of Section Divisions and Committees at or about the time of the annual meeting at which he or she assumes the office of Chair. If the Chair shall die, resign, or refuse to act as Chair, the Chair-Elect shall perform the duties of the Chair for the remainder of the term. If the Chair, due to disability, absence, or otherwise, is not able and available to perform the duties of that office, the Chair-Elect shall perform such duties. Such performance shall not prohibit the Chair-Elect's succession to the office of Chair at the close of the next annual meeting.

Section 3. Vice-Chair or Vice-Chairs. The Vice-Chair or Vice-Chairs shall be responsible for directing such activities of the Section as the Chair or the Council shall assign to them from time to time.

Section 4. Secretary. The Secretary, with assistance from the Section staff, shall be the custodian of all books, papers, documents, and other property of the Section, except money. The Secretary shall keep a true record of the proceedings of all meetings of the Section and of the Council. The Secretary shall prepare an informational report to the ABA House of Delegates prior to the ABA midyear and annual meetings. The Secretary, in conjunction with the Chair, as authorized by the Council, shall attend generally to the business of the Section.

Section 5. Budget Officer. The Budget Officer shall prepare and submit a budget recommendation to the Council for adoption at the annual meeting and shall report on the current financial state of the Section during the midyear and annual meetings. The Budget Officer shall approve budget expenditures and reimbursements in accordance with the policies of the Section and/or as authorized by the Council. The Budget Officer shall perform such other duties as may be prescribed by the Chair or the Council.

Section 6. Section Delegates. The Section Delegates shall perform such duties as are prescribed by the Association. The Section Delegates shall report to the Council regarding House of Delegates matters in conjunction with the midyear and annual meetings. In addition, the Section Delegates shall make such reports to the Council and the Section membership as from time to time are requested by the Chair.

ARTICLE VI DUTIES AND POWERS OF THE COUNCIL

Section 1. The Council shall have general supervision and control of the affairs of the Section, subject to the provisions of the Constitution and Bylaws of the Association and the Bylaws of the Section. It shall expressly authorize all commitments or contracts which entail the expenditure of all monies appropriated for the use or benefit of the Section. The Section Officers are authorized to approve expenditures up to 5% of the current annual operating expenses of the Section after the annual budget has been approved by the Section Council. If requested expenditures exceed 5% of the current annual operating expenses, the Council must approve such expenditures. The Council shall not, however, authorize commitments or contracts which entail the expenditure of funds in excess of the funds on deposit with the Association to the credit of the Section.

Section 2. The Council may authorize the Chair-Elect to establish committees or divisions, and their respective Chairs and Vice-Chairs, from among Section members and may determine the duties, powers, functions and designations of administrative and other committees and divi-sions subject to the limitations of the Constitution and Bylaws of the Association and the Bylaws of the Section.

Section 3. The Council, during the interim between annual meetings of the Section, may fill

vacancies in its elected membership, in the offices of Vice-Chair, Secretary, Budget Officer or Section Delegate, and, in the event of a vacancy in both offices of Chair and Chair-Elect, then in the office of Chair. Members of the Council and officers so selected shall serve until the close of the next annual meeting of the Section, except in the case of the Budget Officer or a Section Delegate who shall serve for the remainder of the term.

Section 4. All binding action of the Council shall be by majority vote of the members of Council present at the meeting. Participation in a meeting through use of conference telephone, or by any other medium that allows all persons participating in the meeting to communicate concurrently with each other, constitutes presence in person at that meeting. A quorum for Council action at meetings shall be a majority of voting Council members, but less than a quorum may adjourn a meeting.

Section 5. In the interim between business meetings of the Section, the Council may act for the Section in any way in which the Section is authorized to act, including the submission of reports and recommendations for Association action pursuant to the Constitution and By-Laws of the Association. The Council may not act in derogation of any binding action by the Section pursuant to these Bylaws at the immediately preceding annual meeting of the Section. If the Council finds that change or supervening circumstances justify and require action in derogation of any action taken by the Section at earlier annual meetings, the Council may act but shall report any action to the members of the Section at the annual meeting next following.

Section 6. The Council shall meet at or about the time of each annual meeting of the Association at the place of such meeting, and at or about the time of each midyear meeting. The Council may also meet at any time and place upon call of the Chair or upon call of any three members of the Council.

Section 7. Any action permitted to be taken at any meeting of the Council may be taken

without a meeting if (a) notice of the proposed action is given to Council members to their respective addresses. email addresses, or telefax numbers appearing in the records of the Section, and (b) no written objection to such action by any Council member is addressed to the Section Director at the headquarters of the American Bar Association, and received within five full business days following mailing or email communication of the notice to Council members.

Section 8. At appropriate times, as determined by the Section Officers Conference, the Council is authorized to submit a nomination for a Section member-at-large of the Board of Gov-ernors. The selection of the nominee shall be made by the Council with due regard for the eligibility requirements for election to the Board of Governors. ARTICLE VII DIVISIONS AND COMMITTEES Divisions shall be as from time to time determined by the Council. Committees of each Division shall be as from time to time determined by the Chair-Elect with the advice of the Division Chair and in accordance with applicable Section policy, subject to modification at any time by the Council. ARTICLE VIII MEETINGS

Section 1. The annual meeting of the Section shall be held during the period of each annual meeting of the Association and at the place of such meeting, with such program and order of

business as may be arranged by the officers and Council. During each annual meeting and as part thereof there shall be a business meeting or business meetings at times and places designated by the Chair. One of such business meetings shall be held for the purpose of election of officers and Council members whose terms are expiring. Reasonable notice of the time and place of such business meetings shall be given in such manner as is determined by the Chair.

Section 2. Special meetings of the Section may be called by the Chair, upon approval of the Council, at such time and place as the Council may determine.

Section 3. The members of the Section present at any meeting shall constitute a quorum for the transaction of business; all binding action by the Section shall be by a majority vote of those present and voting.

Section 4. At any business meeting of the Section any member may seek recognition, which shall be granted by the Chair, to bring before the Section any matter within its jurisdiction and to speak thereon at reasonable length.

Section 5. The Council may direct that a matter be submitted to the members of the Section for vote by mail or email. In such event binding action shall be by majority of the votes received in accordance with rules fixed by the Council. ARTICLE IX MISCELLANEOUS

Section 1. The fiscal year of the Section shall be the same as that of the Association.

Section 2. All bills incurred by the Section for expenditures pre-approved by the Section Council or Section Officers, as set forth herein, shall be reviewed by the Section Director and forwarded to the Treasurer of the Association for payment.

Section 3. Any action by this Section must be approved by the House of Delegates of the

Association, or by the Board of Governors as may be applicable, or pursuant to relevant Association policy and procedures, before such action can be effective as the action of the Association. No officer or member of this Section shall use the name of the Association in public expression of any action of the Section unless such action of the Section has been approved by the House of Delegates. Any resolution adopted or action taken by the Section shall on request of the Council or the Section be reported by the Chair or Section Delegate to the House of Delegates or the Board of Governors of the Association for action by the Association thereon.

Section 4. The Council and Officers of the Section shall, and are authorized to, act in all respects as provided by, and only consistently with, the applicable provisions of the Constitution, Bylaws, and Policies and Procedures of the Association from time to time in effect.

Section 5. These Bylaws shall be construed to facilitate and encourage the use of emerging

forms of electronic and written communication and publication. Email or other form of electronic communication has the same force and effect as “mail”, and electronic forms of communication and publication are included in the definitions of “mail”, “writing”, “notification”, or “publication” where notice, publication, voting or other action is required or permitted. AMENDMENTS These Bylaws may be amended at any annual meeting of the Section by a majority vote of the members of the Section present and voting, provided that such amendment shall first have been approved by a majority of the Council and that the proposed text of such amendment shall have been furnished to the members by publication in an appropriate Section publication at least thirty days prior to the opening assembly of the Association's annual meeting. No amendment so adopted shall become effective until approved as required by the then applicable Association Constitution, Bylaws, practices and procedures.
