Acquisition due diligence Financial due diligence is a critical aspect of
transaction planning as it can affect the
purchase price for a business or even the
decision whether to proceed with a
transaction. We help purchasers validate the
key assertions on which the proposed
acquisition is to be based and liaise with
financiers. In addition, we provide
valuations, financial modelling and advice
on sale and purchase agreements to
improve client’s returns after completion.
Business valuationThere are many reasons for valuing a
business including buying or selling a
business, selling or transferring shares,
setting up an employee share scheme, tax,
considering a market listing, breach of
contract or a cessation in trading,
shareholder disputes, or death or divorce.
The valuation of unquoted shares and private

our tried and trusted techniques will provide
you with a true, fair, well-informed and
defensible commercial valuation.

2 Corporate finance
Raising finance (debt and equity) Raising finance can often be a challenge. We
have strong relationships with both debt and
equity funders who are eagerly looking for
new opportunities. We have helped all sizes of
companies and management teams seek
finance for a wide range of purposes
including working capital, capital expenditure,
acquisitions, MBOs, acquisitions and buying
back of exiting or retiring shareholders.
Private equity transactions can be
particularly technically and financially
complex. We have extensive experience in
advising and supporting clients in the
planning for, sourcing of, negotiating, and
completing of MBOs, MBIs and development
capital fund raising from private equity.
Net debt supportAs a vendor or purchaser you will be looking
to minimise or maximise net debt. We carry
out investigations to help build cases to
demonstrate where calculations should
include or omit debt or debt-like items. We
provide tailored, independent business review
services (IBRs) to financial stakeholders or to
individual businesses. Our IBR service defines
the financial and operational situation and
gives a clear evaluation of the available
options in the short to medium term. Our
reviews and reports focus on the key risks and
financial prospects of the underlying business.
Public company advisoryListing is an important step that can provide
capital for growth, create a market for a
company’s shares, enhance the profile and
credibility of the business, and ultimately
provide an exit strategy for its owners. We
support clients through the various phases of
flotation, advising clients from across the
globe in the initial public offering (IPO)
process not only for UK capital markets but
also on international markets. We can also
assist in the context of a bid for a listed entity
within the UK under the Takeover Code.
Sales advisorySelling a business is time-consuming and
demanding. We will assist you to maximise
the value of your business whilst minimising
your post completion risks and obligations.
We can develop a detailed business brief
which examines the business, its
performance, assets, intellectual property
and brand strength. We will identify,
research and approach potential buyers on
your behalf, and guide you through the
entire process to ensure your interests are
both maximised and protected.
Vendor due diligenceWhen selling your business a detailed report
can demonstrate the financial health of
your business to potential buyers. We
provide an independent report based on
performance and prospects addressing the
issues your buyer needs to know. For
vendors selling part of their own business,
our vendor assistance will help you
effectively complete your disinvestments.
Sale and purchase agreement supportWhether you are considering finance for
expansion, an acquisition, refinancing or
assessment of an existing facility, we
provide practical pre-lending advice to both
borrowers and financiers. From assessing
underlying business health and the lending
fundamentals of security to providing
recommendations on structure and the
pricing of facilities, we advise on all aspects
of the funding proposal. We ensure there is
a mutual understanding between borrower
and lender of deal risks, pricing and the
ongoing expectations.
Public markets supportWe have acted as reporting accountants on
a significant number of flotations on
markets in the UK and overseas. So whether
you require a prospectus for a private fund
raise or are looking to list we can help.
