Enquiry 1: Invitation to Tender/ Section I/ 1.Envelop 1- Technical Proposal Para.2.a

'…Modifying and changing… Design and Tender Documents of the Dam … to the extent that will enable the Consultant to bear, in writing. the full liability and

responsibility for the Dam, Design and the tender Documents;

Please confirm that a detailed description of an appropriate peer review is required under the Technical Proposal.

Answer 1: any changes or/ and modifications should be conducted in accordance with the TOR whereby the consultant should be responsible for the

safety and integrity of the dam and its appurtenant structure and the Engineer should confirm this in writing

Enquiry 2:Form of Contract (Page 7)

'…Modifying and changing them to the extent that will enable the Consultant to bear, in writing, the full liability and responsibility for the safety and integrity

of Dam and its appurtenant structures during construction and operation…'

In the event that the project is awarded to a team comprising of an international consultant as a "lead" and a local Consultant's in a sub consultant role.*

Does the JVA require that only the local Consultant shall bear the liability and responsibility for the safety and integrity of the Dam?

With respect to "operation" of the Dam what is the period of liability?*

Answer 2:

a. In case of Joint venture the parties of the joint venture are jointly and severally liable.

b. The period of liability is the maintenance period provided that the Consultant/Joint Venture will be responsible to the extent allowed by the Civil

Law in Jordan.

Enquiry 3:' Special Conditions of the Agreement SC 13.

ʹThe Consultant should examine the studies, reports, data, the design report and the tender documents (to the extent that satisfies the consultant needs),

which are available at the Dam's Directorate, before the submission of Tenders…'

It is understood that the opportunity to examine the available material prior to submitting a tender is designed to enable the successful Tendered to accept

full design liability for the Dam. Please confirm that this is the intention.

Answer 3: We Confirm that after awarding the Tender ʹThe Consultant and upon his request may examine the studies, reports, data, the design report

and the tender documents (to the extent that satisfies the consultant needs), which are available at the Dam's Directorate to accept full design liability

and responsibility for the safety and integrity of the Dam. Provided that JVA will not be responsible for the availability and accuracy of the Documents.

Enquiry 4: SC 15

'The Consultant should review the studies, the design report and the tender documents, Modifying and changing the design and tender Documents where

and as necessary, to insure the safety and integrity of all components of the project during construction and operation of the Dam and enable the Consultant

to bear, in writing, the full liability and responsibility for the safety and integrity of the Dam, Design and the tender Documents;

Enquiry 5: SC 17

'The Consultant shall review the studies, reports, data, Design and the tender documents and make any design and tender documents modification and

changes required based on the Consultant's findings…No separate payment will be made for …making the necessary modifications and changes, and the cost

there of should be included in the Head Office Support Cost;

It is understood that the opportunity under SC13 to examine the available material prior to submitting a tender is designed to enable the successful

Tendered to price the additional design work that may be required. Please confirm that this is the intention.

Answer 5: Refer to answer no. 2 provided that no payment will be done for any changes or modifications required except the L S allocated in table T - 1

i.e. JD 25000.

Enquiry 6: Terms of Reference Paragraph 4 – Design Review.

'The Consultant shall review the studies, reports, data, Design and the tender documents of Rising Walla Dam, and shall modify and change the design and

the tender Documents where necessary, to insure the safety and integrity of all components of the project during construction and operation of the Dam and

enable the Consultant to bear, in writing, the full liability and responsibility for the Dam Design and the tender Documents of the Dam;

In the event that the project is awarded to a team comprising of an international consultant as a "lead" and a local Consultant's in a sub consultant role.*

Does the JVA require that only the local Consultant shall bear the liability and responsibility for the safety and integrity of the Dam Design and the Tender

Documents of the Dam?

No responsible international supervision consultant is able to accept the liability for design prepared by others. With this in mind, What liability and

responsibility shall Energoproject and/or Engicon bear in relation to their own design?

Moreover, will they be excluded from participating in this tender to avoid any conflict of interest?

Answer 6: This is our TOR if you don’t like it leave it.

Enquiry 7: Paragraph 4.5d

'In the Final Review and Modified Design and Tender Documents Reports' the consultant shall clearly declare his unconditional full liability and responsibility

for the Dam Design and the Tender Documents without any reservation;

Does liability and responsibility for Dam Design only pass to the Consultant upon finalization of the "Final Reviewed and Modified Design and Tender

Documents Report?

Answer 7: The responsibility of the Design and any changes and modifications (if needed) will be the consultant to whom the tender will be awarded

during construction and operation period in accordance with the Conditions of Contract and the Civil Law.

Enquiry 8: Invitation to Tender / Section 1 technical Proposal Para. 2.c

'Preparing for and participating in Review Panel of Experts Meeting…'

What is estimated frequency of the proposed review panel of experts meetings?

Answer 8: will be decided by the Employer and when ever needed.

Enquiry 9: General Terms of the Agreement / Clause 1.4.3 – Agreement.

' The Consultant , when called upon to do so, shall enter into and execute the agreement through the Consultant's Head Office Support and the Consultant's

resident supervision staff working at Site with such modifications as may be necessary;

Clause 1.4.3 is not understood. Please clarify what is meant.

Answer 9: The Consultant should abide with the agreement provided that any changes to the site staff and/ or Head office staff should be made after the

Employer prior approval.

Enquiry 10: Clause 1.4.25.1 Delays.

' If the Consultant could not perform his commitments by finalizing all services required in this Contract within the time limits specified therein , and he was

delayed in the execution of Contract services then the Consultant has to pay liquidated damages…for each day of unjustified delay…'

Given that payment for the performance of the services is not time based, is JVA prepared to discuss with the successful Tenderer an appropriate

mechanism for periods of justified delay?

Answer 10: Refer to clause 1.4.25.2, provided that no payment or compensation will be made for Justified Delay.

Enquiry 11: Clause 1.4.27. G.3 – Default of the Consultant.

'If the period of the second notice elapses without rectification of the situation or without taking serious and convincing measures to overcome failure; then

the Employer is entitled to terminate the Contract…The Consultant will be paid for services he submitted prior to the date of termination decreased by any

difference between his fees and costs incurred by the Employer to perform services…'

Please confirm that under clause 1.4.27 G.3 any fees owed to the consultant shall only be decreased by the additional cost that the employer incurs to

complete the services.

Answer 11: Provided that any suspended payment will not be paid to the consultant since the time of first notice or before as decided by the Employer.

Enquiry 12: Para. 5.1 – General Contract Administration Sub-Para.5

'The duties of the Consultant related to General Contract Administration… include, but are not limited to the following:

…Made any change and/or modification deemed to be necessary during the construction on his own cost and responsibility…'

The language of TOR 5.5(5) is not understood. What changes and/or modifications at the Consultant`s cost are being referred to?

Answer 12: Its Clear

Enquiry 13: Sub-Para.21

' Monthly measurement of the works executed;

By the reference under TOR Para. 21 are the Tenderers to understand that the construction contract shall be awarded on a re-measurements basis?

Answer 13: Sorry to say that you did not understand the general contract administration paragraph. 5.1 Please read it again.

Enquiry 14: Paragraph 5.2 – Design Detailing / Sub-Para. a.

'Completion of design, which could not be finished during the previous phase of services prior to receipt of manufacturers equipment data;

The TOR is not understood what is required?

Answer 14: The TOR should be read all together for fully understanding.

Enquiry 15:Sub-Para. B.

'Factory inspections and Meeting with manufacturers of mechanical and electrical equipment to clarify and discuss design aspects, if required and as

approved by the Employer;

Given that factory inspections and meetings with manufactures is subject to employer approval, are the Tenderers to understand that these costs and

additional to the lump sum offers?

Answer 15: it will be the contractor responsibility.

Enquiry 16: IS there a way we can acquire data pertaining to any faults or problems with the existing dam or if the operator has had any challenges

previously?

Answer 16: this will be discussed with the winner offer with no responsibility to the Employer.

Enquiry 17: Section I, Sub –clause 13 of the Tender Terms of Reference (Page 18) states: " 'The Consultant should examine the studies, reports, data, the

design report and the tender documents (to the extent that satisfies the consultant needs), which are available at the Dam's Directorate, before the

submission of Tenders…'

Section II, Sub –clause 4.4 states: "The Consultant will be responsible for the changes and modification and will be responsible for the safety and integrity of

the dam and its structures, and he will confirm this in writing."

These requirements impose a high level of risk on the consultant if adequate time is not spent reviewing the available records and documents before

submitting the Tender.

When will the following documents be sent to the Tenderers before the Tender submittal data: The as-built record documents for the existing dam, reports,

data, geotechnical, investigations, design report, and modifications design documents?

Answer 17: Design, changes and/ or modifications will be the consultant’s responsibility to whom the tender will be awarded and a L S of JD 25000 has

allocated. The documents will be submitted to the winner. Please ignore the statement” before the submission of Tenders…'

Enquiry 18: Item 7 on Page 5 of the Tender Terms of Reference indicates that there is a tender guarantee that is to be provided and be valid for 120

calendar days. What is the value of such guarantee?

What is the effective start date of the guarantee?

Answer 18: No tender guarantee is required , please delete item 7 page 5

Enquiry 19: Item 1.4.25.1- [Delays] of the Tender Terms of Reference (Page14) notes delay damages would be assessed for unjustified delays. However,

there is no schedule for the work activities that is to be used as basis of applying delay damages. Kindly confirm the basis for applying such delay damages.

Answer 19: Refer to answer No. 10 above.

Enquiry 20: During the site visit, it was indicated that funding will be made by an unspecified donor. Kindly confirm if such funding is tax exempted?

If so, what are the limits of such exemption?

Answer 20: no tax exemption will be considered.

Enquiry 21: Section I /Clause 1.1

(a) Whether the report prepared earlier by M/s Energoproject will be available for inspection and study for inspection during the bid preparation phase.

(b) Whether we can examine and study some relevant copy of the Energoproject and Engicon JV studies, design report and tender documents for our

assessments to India prior to formulation of our offer.

Answer 21:

a. The report prepared earlier by M/s Energoproject will be given to the winner only, Please refer to answer no.11 and 17.

b. Please refer to a above.

Enquiry 22: Section I /Clause 1.1-A-2(c)

We would like know about the frequency of the panel experts meeting and where they will be organized for planning our logistics.

Answer 22: This will be decided by the Employer and when its required

Enquiry 23: Section I /Clause 1.1-A-2(d)

Whether consultant will have to establish its own laboratory for testing of samples or the laboratory services will be supplied locally by the contractor. In

case, the contractor supplies the laboratory equipment, whether we can perform calibration check on the laboratory equipment for ensuring the correctness

of the results.

Answer 23: The contractor will be responsible for all testing.

Enquiry 24: Section I /Clause 1.1-A-7

What will be the minimum percentage participation when international firm is the lead consultant and local firm is associated in JV as a junior partner?

Answer 24: refer to A- Envelop 1 – Technical proposal point 7 page 4.

Enquiry 25: Section I /Clause 1.1 -B

Whether the payment to the international consultants can be released in equivalent US dollars or facilities available to international consultant for

converting the consultancy charges to US Dollars.

Answer 25: Payment will be made in JD.

Enquiry 26: Section I /Clause 1.1 –B-D

What are the expenses to be covered under the provisions for visit of panel of experts during construction and maintenance period .Since this is a provisional

sum what will be the arrangements if the total expenses on panel of experts visit exceeds this sum.

Answer 26: This will be decided by the Employer.

Enquiry 27: Section I /Clause 1.1 –B-E

What are the provisions if additional work requested by employer exceeds the provisional amount provide in the bid.

Answer 27: it will be the Employer decision.

Enquiry 28: Section I /Clause 1.4.15

Whether there are any minimum or maximum limits on the no. of personal to be seconded locally.

Answer 28: It will be decided during the construction period.

Enquiry 29: Clause 1.4.18

Whether the physical examination can be carried out by a doctor in India duly authorized by local Jordanian embassy prior to departure of employee.

Answer 29: it’s the consultant responsibility to investigate.

Enquiry 30: Clause 1.4.7

The language in which the information pertaining to the work, engineering features of the dam project and the reports of the works carried out earlier by

M/s Energoproject and Engicon JV are available and whether any translation to English will be necessary.

Answer 30: the Language for the consultancy and construction agreement is both in English.

Enquiry 31: Section I /Clause 1.6-(16)

Whether the codes for any specific country are to be preferred. We have extensive codes of practice for design, operation and safety of dams. Whether any

Indian codes of practices can be used.

Answer 31: NO.

Enquiry 32: Section II /Clause 4

The clause specifically mentions that the responsibility of the safety and integrity of all components of the project during construction and operation will be

the responsibility of the Consultant. The provisions in the earlier designs on which the tender documents have been prepared will play a crucial part in the

safety assurance. Consequently the efforts required to be put in by the consultant in the revision of the designs at the construction stage, will have to match

these requirements. This will have a major bearing on the cost and provisions in the bid for this consultancy. Hence, it is requested that the tender

documents and the designs prepared earlier by M/s Energoproject and Engicon JV may be made available for inspection and study.

Answer 32: NO, please refer to answer 11and 17 and 21.

Enquiry 33: Section II /Clause 4.2-b

(a) For finding out site specific design seismic parameters, the regional geology, lineaments and tectonic features map for the site area will be needed.

(b) We expect that while carrying out the earlier studies, past hydrological data namely, precipitation (rainfall) /snowfall, discharge and flood peaks,

sedimentation, bed load as well as suspended load has been utilized and reproduced in the report. Additional hydrological data beyond the period covered

in the report will be needed to update the design parameters of dam and reservoir. The extent of availability may kindly be indicated.

(c) Present bed level profile in the reservoir or Capacity survey of the reservoir if any has been carried out; the same may also be supplied.

Answer 33: Please refer to answer 11and 17 and 21.

Enquiry 34: Section II /Clause 4.2-c

(a) Whether consultant will have to carry out any separate field or laboratory test for the strength parameters for review OR the review may remain confined

to the documentation or office studies of the test results available in the reports.

(b) If the tests carried out earlier are not found adequate, additional testing and evaluation of strengths become necessary, what will be the provision under

which this can be covered.

(C) The same question applies for construction material to be used.

Answer 34: Any additional tests and any site investigation needed will be conducted by the contractor upon the request of the Engineer after the

Employer prior approval.

Enquiry 35: Section II /Clause 4.2-e

Location of additional borrows areas for construction materials will involve laboratory testing of materials for determining their suitability. Additional tests

will have to be carried out as necessary. Whether such tests will be carried out by the employer or the consultant will have to carry out the tests at his own

cost. It may be clarified who will bear the cost of such additional tests.

Enquiry 36: Section II /Clause 4.2-f

The available instrumentation data will be required for assessing the health status of existing dam and appurtenant structures.

Enquiry 37: Section II /Clause 4.2-J&K

It is presumed that revised BOQ for all items of work shall be prepared and available to us.

Answer 37: One set of the construction contract Documents will be available to the winner

Enquiry 38: Section II /Clause 4.5

The time periods provided for a review and modification is quite short in view of the fact that the design review may involve additional field testing and

changes in the basic design parameters which will have implication on BOQ as well. Essentially only five days are available to accommodate the review of

employer on draft report of the consultant and the consultant is required to declare full liabilities and responsibility of dam design and tender documents

without any reservations.

Answer 38: the contractor mobilization period will be considered as Design review and modification period.

Please advise whether the Geotechnical Engineer shall be Local or International.

Please advise whether the Mechanical Engineer shall be Local or International.

Please confirm that the Tendered shall only provide the CVs of its technical staff listed in Appendix D.III-A and IIIB.

Please confirm that the construction Period mentioned in Table (C5) (i.e.30 months) is a typographical error and should be 34 months.

Enquiry 39: Appendix – B&D/ Table C1. Item No.9 (Appendix B) & Table III (Appendix – D)

The table C-1 at page no.34 of the tender document mentions at Sr.no.9 that Mechanical Engineer at site is required to be international. However under

table-III (b)-Quality of personal, at Sr. No. III-B (B-9) on page no.41 Mechanical Engineer requirement at site is mentioned at local. Thus it is not clear weather

lead mechanical engineer at site supervision is Local/International. This needs to be clarified.

Answer 39: Please consider local Mechanical Engineer and category I.

Enquiry 40: The intent of this letter is to draw your kind attention to the need of acquiring a Time Extension for the above captioned tender till 2nd of

October instead of 25th of September 2016 due to the following events:

1. August is a challenging month to communicate with European Consultants and Firms since it is their annual summer vacation period which hindered

partnership seeking procedures.

2. Our local Eid Al Adha vocation which is initially determined to start on 10th of September till 14th of September 2016.

Enquiry 47: Accommodation and site Office , it is understood from the RFP that the Consultant will be responsible for accommodation and site office for the

first( 3) months only,

Please advise if the Consultant will be responsible for his staff only or the Consultant staff and Client staff?

Answer 47: For Consultant Staff only

Enquiry 48: Local transportation, it is understood that the Consultant will be responsible for transportation for the first (3) months.

Please advise if the requested ( 3) vehicles and one (4) wheel drive will be requested during the first 3 months and will cover the local transportation for the

Consultant Staff only or the Consultant staff and the Client as well?

Answer 48: For Consultant Staff only and for the Employer project manager

Enquiry 49: Reference to item 13 page. 18 of the RFP, it is mentioned that the Consultant shall examine the design documents before submitting proposal,

Enquiry 50: Reference to item 14 page 18 of the RFP, it is requested from the Consultant to review the site investigation and designs and do the needed

modification. In case there is a need for additional investigations during the design review stage,

Enquiry 51: Reference to item 13 page. 23 of the RFP, it is requested that the Consultant scope of work include the issuing of construction drawings.

Please confirm, since usually it is the responsibility of the Contractor to issue the construction drawings and reviewed by the Consultant.

Answer 51: No.

Enquiry 52: Reference to item 5 section 5.3 page.25 of the RFP, it is mentioned that the Consultant scope of work includes, inspection and testing of materials,

before packing and shipment from place of manufacture.

Please advise the relevant costs (travel and accommodation) for the Consultant team will be covered by the Contractor.

Answer 52: Refer to addendum no 3 to the construction contractor

Enquiry 53: Section I, Invitation to tender, point 1.1 A 2. Paragraph e.): states that: “The Employer will take the responsibility of the existing Dam Operations

during the construction”.

On the other hand this provision is not reflected in the Contract agreement and General and Particular conditions. Moreover, contrary to the above quoted

paragraph, in the Form of Contract Agreement, different statement is included stating that the Consultant will bear the full liability and responsibility for

the safety and integrity of Dam and its appurtenant structures during construction and operation of the Dam, and for carrying out the Supervision of the

Construction of RAISING WALLA DAM and its appurtenant structures and the Consultancy Services during the Maintenance Period.

Kindly confirm that the Employer shall be liable for the Operations of existing Dam during the construction.

Answer 53: The Employer shall be liable for the Operations of existing Dam during the construction.

Enquiry 54: Our understanding of sentence contained in Section I, Invitation to tender, point 1.1. A 7: ‘’The Head Office Support should be the responsibility of

the leader of the Joint Venture’’ - is that leader of JV shall provide all HOS personnel. Please confirm.

Answer 54: Yes.

Enquiry 55: Provision contained in Section I, Invitation to tender, point 1.1. A 7: ‘’The percentage of participation of the Leading Consultant should be over 50%

in case of JV with international firm and local firm and more than 60% in case of international and local firm only.’’ - is not clear to us. Please clarify cases when

leader must:

- Participate with >50%, and

- Participate with >60%?

Answer 55: In case of JV with International firm + local firm the leader participation should be >50%. In case of International firm and Local only the

participation of the leader (international firm) should be >60%.

Enquiry 56: Addendum No. 1 to Tender documents – Item 1.2 provision 3 of Contract Agreement regarding Contract sum has been amended so that Contract

sum is divided in 7 items (from A to G). Kindly confirm that this provision is prevailing over provision of point B of Invitation to tender. Further kindly confirm

that the other contract documents will be harmonized to reflect changes contained in Addendum No. 1 – specifically:

- Point B of Appendix B;

- Financial proposal should consist of seven items as per amended article 3 of the Form of Contract Agreement.

Enquiry 57: Section I, Instruction to Tenderers, point 1.1, Selection of Consultant - doesn’t include pondering ratio between technical and financial part of the

proposal. Please confirm or clarify pondering ratio.

Answer 57: no pondering ratio between technical and financial part of the proposal, refer to addendum no. 1.

Enquiry 58: Form of a statement by the Tenderer (Section I, Instructions to Tenderers, point 1.1. 4. A.) Is not provided in Tender documents. Our understanding

is that a statement contained in a letter signed and stamped is sufficient. Please confirm. If otherwise kindly provide appropriate Form of statement by the

Tenderer.

Enquiry 59: Our understanding of provision contained in Section I, Instructions to Tenderers, point 1.1. 4. paragraph C, is that certificate of registration issued by

competent registrar and Clients certifications on completed projects are sufficient. Please confirm or clarify.

Enquiry 60: Section I, part 1.2 - Form of Contract Agreement for consultancy services, in first sentence contains year 2010. Our understanding is that it shall be

changed to actual year. Please confirm.

Answer 60: to changed to 2016

Enquiry 61: Our understanding is that in Section 1, Part 1.2 (Form of Contract Agreement for Consultancy Services), Item 3-D.A and in Table C-1 (Schedule of

Fees and Expenses, Item D), a lump sum amount is specified for specialists visits. Is it restricted only for the period during maintenance, or will it cover the

construction period too? Please Confirm.

Answer 61: maintenance period only

Enquiry 62: Our understanding is that, instead of:

a. Letter of Acceptance to the Contractor (section 2 within 1.6 special contract conditions) and

b. Contractor offer (section 2 within 1.6 special contract conditions),

Shall be replaced to read:

a. Letter of award to the Consultant, and

b. Consultants Tender (or Bid).

Please confirm if correct.

Answer 62: Contractor in this agreement meant Consultant.

Enquiry 64: Section I, part 1.6 – Special Conditions of the Agreement, in point 7. (Expenses), states that ‘’No separate payment will be made for studies, reports,

data, design and tender documents review’’. Contrary to this, Addendum No.1, Table C-1 specifies provisional sum for this activity. Please clarify prevailing

provision (N.B. our understanding is that contract documents will be harmonized to reflect changes contained in Addendum No. 1).

associated marks number is 20. Please confirm prevailing criterion as well as detail marks splits for parts starting from II-1 to II-6 within detailed evaluation

criteria for technical proposal.

Answer 71: Design review and modification will be within the 34 Months for supervision. It should be started on the order to proceed date, However the consultant can start the Design review and modification before if he wish without any cost to the Employer.

Enquiry 72: Please confirm that the contractor under the construction contract shall provide the consultant's Staff with the Vehicles, Transpiration, accommodation and Site offices for the construction supervision stage (i.e. 34 Months).

point (b), the final reviewed and modified Design and Tender Documents Report shall be submitted within 60 days from the commencement of the Services.
