GENERAL SALES CONDITIONS 1) ORDER The order must be signed by the customer, assuming it therefore as binding. Vismara srl reserves the right, at its discretion, to accept or refuse the order. The terms and conditions not contained in the order confirmation are void and unenforceable and without any effect. Any agreements not stated in this page have no value unless they are confirmed in written form by Vismara srl. In the absence of written confirmation of derogation, the materi-al execution of the commission does not constitute approval or correction. Vismara srl reserves the right to modify and replace its products, componenets or price-lists without notice. The dimensions of the goods may chan-ge from about cm 2.

2) PRICES The prices are those shown in the price-list in force at the moment of the order. VAT and transportation of the goods are always at customer’s charge. The risk involved with transportation will be at the client’s own responsi-bility. Vismara srl reserves the right to adjust the price of the goods specified in the order, even after acceptance of that, as a result of a sudden increases of the prices, introduction of duties and customs tariff or fiscal charges, etc..

3) DELIVERY / PICK UP The delivery times indicated in the order confirmation may not be considered mandatory as they are purely indicative. Vismara srl may not be held liable for any possible damages related to delays in deliveries. Partial delive-ries are permitted. The customer has the obligation to prepare suitable premises / area for the receipt of the equipment / furnishings. If the Client doesn’t collect the goods at the place and in the time established it must make anyway all payments contractually due as if the goods had been delivered; furthermore the customer has to reimburse all the arising costs to Vismara srl (purchase, transport, stock, etc.). Vismara srl will keep the goods in stock at Client’s risk and expenses, after 15 days from goods ready for collection, Vismara has the right to resort to the termination clause of which art.12.

4) SHIPMENT The commitment of sale is intended as fulfilled with the delivery of the goods to the carrier and from this moment every risk is at Client’s charge. In any case the Client must check the goods at the moment of pick-up, as for the packaging, and in case of irregularities he has to send a complaint to the carrier and give notice to Vismara srl.

5) PAYMENT Payment must be effected as written in the order confirmation. Any disputes or claims do not entitle the Client to suspend payments. The Client cannot compensate his debit neither partially with counterclaims. All payments must be effected directly to Vismara srl.

6) NON-FULFILMENT The partial non-fulfilment, the failure to collect the goods (point 4) and defaulting of even one payment instalment shall result in the client’s forfeiture of the instalment benefit in which case he will be held to payment of the full price. Vismara srl reserves the right to claim the full payment without the need to notice of default. 7) OVERDUE INTERESTS Overdue payment of the amount by the due date agreed upon in the order, will entitle Vismara srl to claim overdue interest on the amounts owed and not paid. The parts agree to interest on arrears at annual rate of 3% 8)

8) RETENTION OF TITLE The goods, in case of deferred payment, is sold out with retention of title in favour of Vismara srl. The Client will become owner only after full payment of total amount including expenses. Initially considered depositary of the goods, the Client undertakes to use them as intended and not to grant it even warranty, giving immediately notice to Vismara srl of any attachment or seizure by third parties

9) GUARANTEE The warranty of the supplied goods is restricted to the simple replacement ex-works of the pieces that the customer should complain for evident manufacture or quality defects. Claims must be sent by registered mail to-gether with the RMA form for damage warning, within 8 days from receipt of the goods. Warranty conditions which accompany each product are valid. The following events make ineffective the warranty here described: natural disasters, accidental causes and transport damages, offenses committed against the customer, misuse, accidents, operation in operating environment different from the ones specified by the manufacturer, operation, modifications, customizations made by external people other than manufacturer’s technicians, fortuitos event, force majeure, arrears, payments or other non-fulfilments of contract, inexperience, lack of preparation of the customer’s personnel that use the products.

10) LIABILITY Unless otherwise agreed in written form, subject to the rights of law, Vismara srl may not be held liable for any faults and/or defects of the product resulting from irregular damage, negligent storage by the client , incorrect application and/or installation methods, replacements and/or maintenance work performed by third parties. The technical assistance for failures or defects must be effected by the dealer.

11) EXPRESS TERMINATION CLAUSE This contract terminates in case of one of the circumstances as per 3,4,5,6 or in the case that Vismara srl is not able to deliver the ordered goods because of fire events, restrictions in the use of energy, transport problems, downtime, defects or delays in deliveries from suppliers, unavailability of materials, or if the cost of the product is increased by more than 10% to the agreed prices. Vismara srl claims the right for payment of the goods deliv-ered, of the goods in its warehouse and material lying in stock that has been purchased specifically for the needs of the customer, as well as to compensation for any damage suffered.

12) JURISDICTION Any controversy, claim or dispute arising between the parties in connection with the interpretation and fulfilment of this sales contract (Vismara srl) will be referred to the exclusive jurisdiction of the Courts where Vismara has the domicile.
