On the night of 5th September 2014, which is Teacher’s Day, after hearing excerpts of delightful addressand interaction of Hon’ble Prime Minister, Mr Narendra Modi, with the school students across the country, Iam writing this column with all excitement. In his address, Hon’ble Prime Minister had stressed on increasingthe importance of teaching profession and suggested that all educated, including engineers and doctors,should take classes to make teaching a people's movement necessary for nation-building. It is a kind of socialresponsibility, rests firmly on the shoulders of professionals, like Company Secretaries, to pay back to thesociety from which they are drawing their sustenance. It’s kind of unwritten social contract. I wish yourthought process as well as action targeted towards this.

It is often said that the education is an instrument of change. Change requires learning. Education isabout learning to learn. A professional carries with him a set of values and is governed by a code of conduct.The social responsibility, which I mentioned above, in the broadest sense, is to show fairness to the lessfortunate, to create a future that posterity can be proud of and to fulfil the promise that freedom brought us.It is about raising one’s confidence to think of a worthy dream and the ability to translate that dream to realityby specific performance oriented action. It is about opening up one’s mind to accept new ideas, evaluatethem and use them for progress. Since, the period of Homo Sapiens, human beings lived together to surviveand to face challenges of harsh environment, prevailed in those by gone millennium. Vedas too endorse this-“Man can live individually, but can survive only collectively”. Therefore, a critical need arises to form aprogressive society by balancing the interests of the individual and that of society. To address this challenge,we have to develop a value system, where people accept modest sacrifices for the common good. In thisprocess, an important question emerges- what is a value system? It is the protocol for behaviour, which isdecent and desirable and enhances the trust, confidence and commitment of the members of society. Ittranslates by putting the society’s interests ahead of one’s own. Thus, our collective survival and progress ispredicated on sound values. In respect of a profession, these values form as bedrock.

When we say that the values and virtues are vital for a professional, for companies, which are juridicalpersons, as all of you are aware, these values are the most essential and therefore, they have to undertakevoluntary role for the common good of a society, as part of their overall purpose of business, which in commonparlance called Corporate Social Responsibility (CSR). When we talk of CSR, it is underpinned by public policy.It has undeniable links with law. Perhaps with the need to inculcate the social values, in the form of CSR,amongst the corporate, through a comprehensive public policy, Section 135 was introduced in the CompaniesAct, 2013.

Dear students, the system, scheme and content of examination are the sine qua non in determiningcompetency of a professional course student and therefore, the Institute revamps the syllabus periodically, tomake it current and align with the emerging corporate, legislative and regulatory environments in which a CShas to discharge his responsibilities. In the forthcoming, December 2014 session of the examination for theExecutive Programme [new syllabus], the Institute has decided to introduce OMR pattern for the three subjectsviz. Cost and Management Accounting [Module I]; Tax Laws and Practice [Module I] and Industrial, Labourand General Laws [Module II] and however, the examinator for all other subjects of the Executive Programme[New Syllabus] would continue to be in the conventional pattern. The examination for all the subjects ofExecutive Programme [Old Syllabus] and Professional Programme [Old Syllabus] would continue to be in theconventional pattern. In regard to Professional Programme [New Syllabus], Examination for all the subjectswould continue to be held in conventional pattern, excepting Module III elective, which is Open BookExamination. For details, students may refer to the website of the Institute as well as related sources ofinformation and may also contact the institute.

Various leading examining bodies at home and abroad follow OMR pattern of examination for quite sometime now and the outcome is quite encouraging. Through this system, from the perspective of understandingthe related concepts and their applications, students stand to gain in acquiring in-depth knowledge by readingthe study materials from cover to cover as well as relevant updates. The contents of the Academic GuidanceSection, appearing in Student Company Secretary bulletin are being prepared by the in-house subject officersand I hope, would be quite useful in supplementing your preparation for the examination.

I have stated at the beginning of this communication, the need for virtuous behavior on the part ofprofessionals, underlining the same again, I conclude with a quote from Thomas Carlyle, “Virtue is like health;the harmony of the whole man”.

SEBI’s New Regulation*

Capital market is one of the crucial segments of the Indian financial system. It refers to all the facilities and theinstitutional arrangements for borrowing and lending of funds and is available to the companies for meeting theircapital requirements. As India seeks sustained GDP growth, the role of the capital markets to mobilize investmentshas become more critical. In order to facilitate easy access to capital and its effective management, robust regulatoryframework is inevitable as it serves twin objective of assisting issuers in meeting their capital requirements andmonitoring the functioning of capital market. Considering the size, vintage and development of the Indian capitalmarket, regulators need to ensure that the law remains relevant at all times and the business is conducted in anethical and transparent manner.

In India, the capital market is regulated by the Capital Markets Division of the Department of Economic Affairs,Ministry of Finance and the Securities and Exchange Board of India (SEBI); which is a regulatory authority establishedunder the SEBI Act 1992, to protect the interests of the investors in securities and promote the development of thecapital market. Over the last 20 years, SEBI has undertaken several steps to streamline and strengthen regulationsrelating to capital market which has led to various financial and regulatory reforms in both primary as well assecondary segments of the capital market. These measures broadly aim at regulating the business in stock exchanges;supervising the working of stock brokers, share transfer agents, merchant bankers, underwriters, etc; as well asprohibiting unfair trade practices in the securities market. Thereby putting in place suitable mechanism to guardand sustain the confidence of investors in the country’s capital market. Some of the policy initiatives undertaken bySEBI in the recent times are briefly discussed here:

1. SEBI (Foreign Portfolio Investors) Regulations, 2014 : These regulations aim to put in place a frameworkfor registration and procedures with regard to foreign investors who propose to make portfolio investmentin India and thereby streamline the investments made by Foreign Institutional Investors and QualifiedForeign Investors in India. With the introduction of this regulation, SEBI (FIIs) Regulations, 1995 standrepealed.

SEBI has harmonized foreign institutional investors, sub-accounts and qualified foreign investors regimesinto a single investor class i.e. Foreign Portfolio Investors, and introduced a single window clearance systemwhere an applicant apply to register directly as a FPI through Designated Depository Participants (DDPs).Theregulation also prescribes for the appointment of a compliance officer who shall be responsible for monitoringthe compliance of the Act, rules and regulations, notifications, guidelines and instructions issued by theDDPs or the Board or the Central Government.

Further, SEBI has also carved a framework of Risk Management for Foreign Portfolio Investors (FPIs) and themeaning of ‘broad based fund’ has been modified in the FPI Regulations as compared to the FII Regulations.FPI Regulations prescribes that a broad based fund will at all times require having 20 investors even if thereis an institutional investor; and the underlying investors should be counted along with the direct investorswhile computing the number of investors in a fund. The regulations have also laid down certain investmentrestrictions for FPIs.

2. SEBI (Procedure for Search and Seizure) Regulations, 2014 : SEBI has notified new norms for search andseizure in January, 2014 which aims to put in place necessary safeguards to protect rights of affectedpersons and provide detailed procedures to be followed for issuance of warrants and execution of searchand seizure orders. The new powers seek to make SEBI more effective in protection of investor interest andregulation of the market.

Under these regulations an investigating authority, having reason to believe that any or all of the groundsspecified under section 11C (8) of the SEBI Act, 1992 exist, may make a request to the Chairman in writingor electronic mode for issuance of warrant of authority for execution of search and seizure. The regulationsalso prescribe certain rights of the persons being searched and the penal provisions for the person who donot comply with the provisions of the regulations.

3. SEBI (Settlement of Administrative and Civil Proceedings) Regulations, 2014 : To provide for the terms,procedure and settlement related matters, SEBI has released the Settlement of Administrative & civilproceedings Regulations, 2014. These regulations help in settling the civil proceedings initiated against theconcerns who have defaulted on certain provisions of SEBI laws. However, certain civil proceedings havebeen specifically kept out of scope. The settlement orders under these regulations are passed by theadjudicating officer after the proceedings before the internal committee and high power advisory committee.The regulations also provides for monetary and non-monetary settlement terms and the factors to beconsidered by the board while arriving at settlement.

4. SEBI (Real Estate Investment Trusts) Regulations, 2014 : REIT is considered to be one of the preferredinvestment vehicles around the world, considering the important role played by it; SEBI has recently approvedREIT regulations which provide a framework for registration and regulation of Real Estate InvestmentTrusts. The regulations provide that REIT shall be set up as a trust and registered with SEBI and the partiesto REIT shall be Trustee, Sponsors and manager, each having distinct roles.

Regulations also prescribes certain investment and funding restrictions for REIT like- REIT shall invest incommercial real estate assets, either directly or through Special Purpose Vehicles (SPVs), it shall raisefunds initially through an initial public offer with the minimum issue size of Rs 250 crore, its units shall bemandatorily registered in the Recognized stock Exchange and continuous disclosures shall be made in termsof the listing agreement and at least 80% of the value of its assets shall be in the completed and revenuegenerating assets etc.

5. SEBI (Infrastructure Investment Trusts) Regulations, 2014 : To provide a framework for registration andregulation of infrastructure Investment Trust SEBI has approved SEBI (Infrastructure Investment Trusts)Regulations, 2014. The regulations provide that like REITs, Infrastructure Investment Trusts (InvIT) shall beset up as a trust and registered with SEBI. Parties to it shall be Trustee, Sponsors, Investment Manager andProject Manager.

Further, major conditions to be fulfilled by InvIT includes, investment in infrastructure projects, eitherdirectly or through SPV, in case of PPP projects, such investments shall only be through SPV, InvIT mayinvest only upto 20% in under construction infrastructure projects and other permissible investments andthe initial offer size shall not be less then Rs 250 crore.

Apart from the above new regulations, SEBI has also amended the existing regulations to further strengthen theregulatory framework and ensure that the law remains relevant at all times in the rapidly changing economiclandscape. Some of which inter-alia include: amendment in KYC (Know Your Client) Registration Agency Regulations,2011 to provide for the sharing of KYC information in the financial sector and the enhanced responsibility of theintermediary to verify the client’s details, amendment in Clauses 35B and 49 of the Equity Listing Agreement toenhance the synchronisation between the corporate laws and securities laws and prescribing of minimum subscriptionlimit, base issue size and further disclosure requirements in case of Public Issue of Debt Securities.

The intent of the recently enacted and proposed regulatory changes is to enhance disclosures, boost theconfidence of investors, enable access to further participants and geographies and regulate the key drivers to thegrowth of economy so as to achieve long-term growth and sustained development. It has been observed thatevolving regulatory climate is part and parcel of every economy, particularly of developing economy like Indiawhere new sectors are opening up continuously.

The regulatory changes in the capital markets have a considerable impact on how businesses are conducted inIndia. The corporate sector needs to adapt to these changes and build their ability in order to showcase their role asvalue-creators. Further, it is felt that international best practices should be continuously adapted to the Indiansituation to provide an enabling framework that ensures credibility of corporate operations in the minds of thestakeholders.

Introduction

Service sector is a major contributor to the development of Indian economy. Over the last decade, servicesector has grown tremendously and has become the most promising and important contributor to Governmentexchequer. It is worth mentioning that as per latest economic survey the service sector accounted for about 60% ofGDP in Financial Year 2013-14 and grew at 6.8% annually. Further, the tax on services accounted as substantialsource of revenue for the Government 2013-14 and with the growing contribution of the service sector to the GDPof economy, the importance of service tax is also growing.

The service tax was introduced in India on the recommendation of Dr. Raja Chelliah Committee on tax reforms.The committee pointed out that the indirect tax at the central level should be neutral in relation to production andconsumption and cover commodities and service. Service Tax was thus, introduced by the Finance Act, 1994 underthe power granted by the entry 97 of the union list and extended to the whole of India except the State of Jammu& Kashmir. It initially had a selective approach and covered only three services viz. telephone, general insuranceand stock broking but was subsequently amended from time to time to cover various other services. However, witheffect from 1.07.2012, the service tax is being levied with comprehensive approach whereby all the services havebeen made taxable until mentioned in the ‘Negative List’ under section 66D or specifically exempted CentralGovernment in exercise of powers conferred under sub-section (1) of the section 93 of the Finance Act, 1994.

Service tax is a complex and rapidly evolving subject with the comprehensive approach, where all the servicesare subject to service tax unless specifically exempted. Also, the service tax law is amended almost every year bybringing different services under the service tax net. Moreover, various sets of rules dealing with credit mechanism,exports, imports, valuation; etc issued from time to time has enhanced the role of professionals.

Opportunities under Service Tax

Service Tax law and procedures offer wide range of opportunities to the professionals like company secretaries,chartered accountants and advocates. The procedural aspects of service tax viz. registration of assesses, disclosuresand submissions to department, computation of monthly and quarterly tax liabilities, verification and filing ofreturns, review of procedures, filing of refund, claiming of abatement and exemptions etc. offer a wide range ofprospect for professionals like Company secretaries. These opportunities are in all probability likely to grow forfollowing reasons - firstly, the law of service tax is relatively new because of which more and more new assesseesare boarding the tax wagon; secondly, as the law is still evolving, the Government too is learning from experienceand new opportunities are emerging every day; thirdly, with the comprehensive approach, there is still enoughroom for further expansion of the net. Thus, these opportunities are arising out of ignorance of law at both ends —assessees as well as tax officials. By venturing into the area of service tax, professionals can play a proactive roleand act as facilitator for the Government as well as the assessees.

Role of Professionals under Service Tax

Service Tax law, though appears to be a simple one, is in fact not really so. It requires an in depth study of lawand analytical skills to interpret the definitions and taxability of services. It is necessary for the service provider aswell as service receiver to know whether the services provided or received are taxable or not. Further, the classificationbecomes more crucial when nature and character of services overlap and such services are subject to differenttypes of exemptions and abatements.

It has been pointed out that despite the introduction of the negative list of services, with effect from July 1,2012, the Government could not achieve the expected growth in service tax collection. One of the reasons couldbe non-compliance by taxpayers due to lack of awareness. An assessee may show aversion in complying with theprovisions of laws under impression that he might be taxed at a higher rate. Professionals can provide a reasonablyacceptable interpretation and understanding of law, rules, Notifications and Circulars thereby, play a pivotal role inencouraging tax payers to come forward and comply with the service tax provisions. They may advise the assesseein a number of matters and act as a mentor to them thereby assist in better compliance.

The spectrum of Service Tax is wide and most of the industrial and corporate entities are exposed to service taxas a service provider, service receiver, importer, exporter of service or otherwise. Since these assessees come froma heterogeneous background (rural, urban, literate, illiterate, corporates, individuals, etc.) and laws are becomingincreasingly complex with every new day coupled with frequent amendments. It is becoming increasingly difficultfor assesses to properly understand and implement them. Professionals like company Secretaries with propertraining and experience are considered to be in position to interpret the provisions of law and act as advisor andfacilitator for better compliance under service tax laws. Importing legal opinions on ticklish issues of tax, interpretationof judicial pronouncements and suggesting the course of action are some of the advisory and consulting servicesthat professional like Company secretary could offer for better compliance.

Vetting of legal documents and drafting agreements, etc. also require professional skills. Company Secretarypossess acumen in this area and could assist in drafting legal documents like replies to show cause notice,representations at appellate forums, representations before adjudicating authority, opinions and clarifications. Further,when it comes to representation before tax authorities, including appellate proceedings, it is the tax professional,who has to represent the client and effectively put forth the client’s viewpoint. Here also Company Secretary mayrepresent the client in the capacity of his representative before the authorities.

Company Secretaries may in fact set up Certified Facilitation Centers (CFCs) which are Facilitation Centers ofCentral Board of Excise and Customs, set-up and operated by a Company Secretary or a proprietary concern/firm ofCompany Secretary(s) in practice to whom a certificate is issued under the Automation of Central Excise andService Tax (ACES) project and offer a wide range of services to assesses.of central excise and service tax. Theservices provided by these facilitation centers inter-alia include: digitization of service tax documents, filing ofdocuments, excel utility for service Tax Return Further, these CFCs also assist assesees in carrying out on-linetransactions such as online registration , amendment to the registration form, filing various claims, intimations, andpermissions, refund claim, request for provisional assessment and export related documents, replies to show causenotices and appeals to Commissioner( Appeals)

Conclusion

Thus, Service Tax is a tax of future, and lot of opportunities can be explored in it, especially by professionals.Lack of knowledge, poor compliance leading to penal provisions, frequent amendments in law and rules, growingassessee base and more importantly, heterogeneous group of assesses present an array of opportunities for financeand tax professionals. Professionals like Company Secretary could act as a crucial link to bridge the knowledge gap,leading to fair and voluntary compliance of law and rightful discharge of tax liability by assesses. As the gamut ofservice tax expands, there is going to be an ever increasing need for professionals to be proactive and make full useof opportunities presented before them.

INDO ROLHARD INDUSTRIES LTD v. M. K. MAHAJAN & ANR [DEL] CO. APP. NO.25/2014

Companies Act,1956- Section 433- winding up- whether a company could be wound up without orderingthe petition to be published- Held, Yes.

Brief facts :The respondents filed a winding up petition against the appellant company and the Single Judgeadmitted the petition passed an order of winding up without ordering the petition to be published. The appellantchallenges this procedure adopted by the single Judge in the present appeal.

Decision : Appeal dismissed.

Reason : With regard to the grievance of the Appellant Company that the learned Company Judge was not withinhis rights to issue orders for advertisement of the citation of the Company and appointment of the Official Liquidator asProvisional Liquidator to take charge of all the assets and records of the Company, learned counsel appearing forAppellant Company has been unable to point out to us any infirmity or error in the said order.

Notwithstanding, we have painstakingly examined the order and are unable to find any reason for setting aside thesame. At the risk of repetition, we reiterate that the Division Bench had clarified by its order dated 05.04.2013 passed inReview Petition No.116/2013 that the prima facie observations with regard to the admission of the winding up petitionwould stand.

In the aforesaid backdrop, we are constrained to hold that we find no flaw in the findings of the learned CompanyJudge which are to the effect that in view of the categorical findings and observations of the predecessor CompanyJudge recorded in his order dated 16.02.2009 and the further order dated 05.04.2013 passed by the Division Bench inReview Petition No.116/2013 expressly clarifying that the findings in relation to the admission of the petition wouldcontinue to stand, the contention of the Appellant Company that the order dated 05.04.2013 could not be interpreted tomean that the winding up petition stood admitted, cannot be countenanced.

Undoubtedly, the order dated 16.02.2009 was challenged by the Appellant before the Division Bench in CompanyAppeal No.19/2009 but the said appeal was limited to the procedure to be adopted after the admission of the winding uppetition. The merits of the findings which led to the admission of the petition were not assailed in the said appeal nor infact were considered by the Division Bench. The opening sentence of the order of the Division Bench dated 07.01.2013further clarifies this, which is reproduced hereunder:

"The short question that arises in this appeal is whether the company court can order winding up of a companywithout ordering the petition to be advertised."

Subsequent thereto, as already stated by us, by its order dated 05.04.2013, in Review Petition, the Division Benchmade it abundantly clear that the findings of fact made by the learned Single Judge in his order admitting the CompanyPetition and observations on the merits had not been disturbed and would stand, and which undoubtedly point to the factthat the petition needed to be admitted. Thus, the contention sought to be raised before us that the order dated16.02.2009 passed by the learned Company Judge was set aside by the Division Bench by an order dated 07.01.2013 withthe observation that the question of admission of the petition must be decided afresh, is specious to say the least. Wehave carefully perused the order dated 07.01.2013 and we are unable to deduce therefrom anything which comes to therescue of the Appellant Company. In any event, it is stated at the risk of repetition that the said order was clarified by theDivision Bench by its subsequent order dated 05.04.2013 wherein the Division Bench categorically observed that thepoint which persuaded the Court to set aside the earlier Single Judge's order dated 16.02.2009 was the rolled up

procedure adopted by him in discussing the merits of the case, not advertising the proceedings and straightawaydirecting winding up. The intent was not to comment and decide upon the merits of the observations of the learnedCompany Judge "which undoubtedly point to the fact that the petition needed to be admitted."

In the aforesaid scenario, in our view, the learned Single Judge rightly observed that there was no reason whyadvertisement should be deferred, more so as the Appellant Company had not availed of the opportunity granted to it bythe Division Bench to move an application for deferment of the advertisement of the petition. Even otherwise, there didnot appear to be any special circumstances which would warrant deferment or suspension of the publication ofadvertisement. The petition was filed as far back as in the year 2005 and the Appellant Company had sufficient opportunityto settle the claims of the Respondents. Deferment of publication of advertisement to enable the Appellant to pay to theRespondent the admitted dues was thus no longer warranted, and as a matter of fact publication was immediately calledfor. Likewise, the prayer for appointment of the Official Liquidator as a Provisional Liquidator to take charge of all theassets and records of the Company was merited given the prima facie findings in the order dated 16.02.2009 whereinthis Court had elaborately dwelt upon the details of the manner in which the affairs of the Company were beingmismanaged by its Directors and the material on record to show that there was justifiable lack of confidence in theconduct and management of the Company's affairs which completely lacked in probity.

We find no merit in the present appeal which appears to us to be only an attempt to protract the proceedings.

INDUSIND BANK LTD v. ITI LIMITED & ORS [DEL]

W.P. (C) 4350/2013 & C.M. NO. 10067/2013

S. Ravindra Bhat & Vibhu Bakhru, JJ. [Decided on 11/07/2014]

Article 226 of the constitution of India read with section 19() of the Sick Industrial Companies (SpecialProvisions) Act, 1985- petitioner bank refusing to be part of the consortium of lenders- BIFR rejects therequest to withdraw from the consortium agreement and sanctioned the scheme- AAIFR upheld thescheme- whether correct- Held, No.

Brief facts : The petitioner is one of the lenders of the first respondent company, which became sick. In theproceedings before the BIFR, a consortium agreement was entered into by the participating banks, including the petitioner,on the recommendations of the operating agency. At the time of formulation of scheme itself, the petitioner had allegedto have expressed reservations and decided to exit the consortium arrangement entered into between the participatingbanks and financial institutions.

The purpose and underlying objective of the Consortium Agreement was to enable the participating creditors towork in tandem towards the ultimate goal of realization of their dues from the ITI. The petitioner had expressed itsintention to withdraw from the consortium at the DRS stage, but the BIFR rejected the request and sanctioned therehabilitation scheme. The petitioner appealed to the AAIFR, which confirmed the scheme sanctioned by the BIFR.Against the order of the AAIFR, the petitioner came before the High Court by filing a writ petition.

Decision : Petition allowed.

Reason : The question falling for determination by this Court, therefore, is, whether the BIFR and AAIFR could haverefused the petitioner Bank's request to withdraw from participating in the consortium and compelled it to therebycontinue to extend credit facilities.

It is clear that the Consortium Agreement itself provided for review/opting out by a member bank and the consequenceof such decision. Though a bank, a secured creditor, enters into a consortium agreement with the other creditors (whichmay entail sacrificing its rights to the extent of recovering amounts which are payable to it - a situation which is. by andlarge akin to the sacrifice which a secured creditor has to undertake under a scheme for compromise and arrangementunder Section 391 of the Companies Act) in a DRS, something more fundamental is involved. Most rehabilitationpackages cast an obligation upon the participating banks/creditors (who might be entitled to claim outstanding dues fromthe sick company) to not only forego some part of the interest liabilities or even accept a lump sum settlement, but also

to do something positive, i.e. to increase/enhance or continue with recurring funding of a venture which otherwisewould be wound-up. The public interest in ensuring the revival and rehabilitation of industrial units, no doubt, cannot belost sight of; however, at the same time, the contractual rights of the participating creditors, such as a bank (which is alsoanswerable to its shareholders and depositors) to take a commercial decision on whether to continue to extend fundingcannot be undermined. The nature of scheme under Section 391 which can override the views of a minority shareholderor creditor is fundamentally different from that of the scheme under the SICA where the creditor may be called upon tomake further payments or continue with existing credit limits, thus exposing itself to the real contingency of loss. It is insuch circumstances that contractual rights where the consortium participants spell-out their inter se obligations and theconsequences thereof have to be recognized and given effect to and there cannot be blanket recourse to the powerunder Section 19(4). Such power may be appropriately invoked in the given circumstances of a case.

In view of the above discussion, in the present case, since the consequences of opting out from the ConsortiumAgreement were factored in by the participating secured creditors, this Court is of the opinion that neither the BIFR northe AAIFR could have compelled the petitioner Bank to continue in the DRS. The result of its opting-out would mean thatit would stand out in respect its rights to realize the outstanding dues from the sick company, which would be postponedin terms of the Consortium Agreement with the other secured creditors. The impugned order is accordingly set aside.The writ petition has to succeed and is allowed without any order as to costs.

GENERAL LAWS

ANIL GUPTA v. STAR INDIA PVT.LTD & ANR [SC]

Criminal Appeal No.1364 of 2014 (arising out of SLP (Crl.) No.7039 of 2007)

Brief facts : The appellant is the managing director of the respondent-2 company which had issued three chequesto the respondent-1 company. As these three cheques were dishonoured, the respondent -1 filed a complaint before theMetropolitan Magistrate, who took cognizance of the offence issued summons on the appellant and the respondent -2company. Upon appeal, the High Court set aside the prosecution against the respondent-2 company on the ground oflimitation but held that the appellant could be still tried for the offence. Against this order of the High Court, theappellant is before the Supreme Court.

Decision : Appeal allowed.

Reason : In the present case, the High Court by impugned judgment, held that the complaint against respondentno.2-Company was not maintainable and quashed the summon issued by the Trial Court against respondent no.2-Company. Thereby, the Company being not a party to the proceedings under Section 138 read with Section 141 of theAct and in view of the fact that part of the judgment referred to by the High Court in Anil Hada v. India Acrylic Ltd.(2000) 1 SCC 1 has been overruled by three Judge Bench of this Court in Aneeta Hada v. Godfather Travels and Tours Pvt.Ltd. (2012) 5 SCC 661, we have no other option but to set aside the rest part of the impugned judgment whereby theHigh Court held that the proceedings against the appellant can be continued even in absence of the Company. We,accordingly, set aside that part of the impugned judgment dated 13th August, 2007 passed by the High Court so far itrelates to appellant and quash the summon and proceeding pursuant to complaint case No.698 of 2001 qua the appellant.

Brief facts : The petitioner’s team of Enforcement Officers visited the respondent No. 1-establishment and foundthat the respondent No. 1-establishment failed to extend Provident Fund benefits to transport contractors' workers andfailed to pay Provident Fund contributions on incentive bonus.

Accordingly, demand was imposed on the respondent, which was set aside in appeal by the Tribunal. Against theorder of the Tribunal, petitioner came before the High court under a writ petition.

Decision : Petition dismissed.

Reason : Having considered the rival submissions of the counsel for the parties, the first issue which arises forconsideration is whether the transporters' workers can be said to be covered within the definition of 'employees' underSection 2 (f) of the Act.

A perusal of one of the contracts, it is revealed that the payment made by the respondent No. 1 was connected withper trip made by the transporters. There is no reference to any employees to be employed by the transporter. It is theoutlook of the transporter to engage a third person as a Driver, Cleaner etc. In other words, it is for the transporter toprovide staff in his discretion. What is important is and which has also come on record, is, the transporter was at hisliberty to do the work of other establishments.

From the perusal of section 2(f), it is clear that a person would be called as an employee only if he directly orindirectly gets wages from the employer i.e. principal employer. In the present case, there is nothing in the contract oranything on record to suggest that the workers engaged by the transporters are directly or indirectly being paid by theprincipal employer.

Insofar as the other issue, whether the dues are payable on the bonus being paid by the respondent No. 1 to itsemployees who achieves above the normal standard is concerned, suffice to state, that it has come on record, that thesaid bonus is not paid to all the employees. Although, I do not find any ground on that particular aspect in the writ petitionsince issue has been urged before me, I deem it appropriate to consider the same.

The issue is covered by the judgment of the Supreme Court in the case of Bridge & Roof Co. (India) Ltd. v. Union ofIndia (UOI), AIR 1963 SC 1474.In view of the above, there is no iota of doubt that the bonus as was being paid by therespondent No. 1 cannot be included in the definition of 'basic wages' as defined under the Act.

In view of the above, I do not find any merit in the writ petitions filed by the petitioner. The same are accordinglydismissed.

3. Updation of E-Mail Address/ Mobile

Students are advised to update their E-Mail Id and Mobile Numbers timely so that important communicationsare not missed as the same are sent through bulk mail/SMS nowadays. Students may update their E-mail Id/ MobileNumber instantly after logging into their account at www.icsi.edu at request option.

4. Student Identity Card

Identity Card can be downloaded after logging into the Student Portal at www.icsi.edu . After downloading theIdentity card, students are compulsorily required to get it attested by any of the following authorities with his/herseal carrying name, professional membership No., designation and complete official address:

1. Member of the Institute, with ACS/FCS No.

2. Gazetted Officer of the Central or State Government.

3. Manager of a Nationalised Bank.

4. Principal of a recognized School/College.

5. Officer of ICSI

Unattested Identity Cards are not valid and the students are advised to carry duly attested Identity Card forvarious services during their visits to the offices of the Institute, Examination Centres, etc.

5. Registration to Professional Programme

Students who have passed/completed both modules of Executive examination are advised to seek registrationto Professional Programme through online mode. The prescribed fee is Rs.12,000/-. Eligibility of students registeredto professional programme for appearing in the Examinations shall be as under : -

6. Verification of particulars in the Student Account

Students are advised to invariably check the particulars in their online Account and point out discrepancies, ifany, in name, photograph, signature, paper-wise exemption status, validity of registration, other particulars, etc.

to avoid mismatches in Identity Card, Admit Card, Attendance Sheet, etc. which may create complications whileappearing in the examinations.

All the students are further advised to maintain uniformity in their signatures in all the correspondence with theInstitute including students identity card, enrollment application and attendance sheet provided in the examinationhall at the time of writing examinations.

7. Clarification Regarding Paperwise Exemption

(a) Paperwise exemption is granted only on the basis of specific request received online through websitewww.icsi.edu from a registered student and complying all the requirements. There is onetime payment ofRs..1000/- (per subject).

(b) Students are required to apply for paper wise exemption on-line by logging into their a/c on www.icsi.edubefore 9th April for June session of examinations and before 10th October for December session ofexaminations

(c) The paperwise exemption once granted holds good during the validity period of registration or passing/completing the examination, whichever is earlier.

(d) Paper-wise exemptions based on scoring 60% marks in the examinations are being granted to the studentsautomatically and in case the students are not interested in availing the exemption they may seek cancellationof the same by sending a formal request at [email protected]. If any student appears in the examinationsdisregarding the exemption granted on the basis of 60% marks and shown in the Admit Card, the appearancewill be treated as valid and the exemption will be cancelled.

(e) It may be noted that candidates who apply for grant of paper wise exemption or seek cancellation of paperwise exemption already granted, must see and ensure that the exemption has been granted/cancelledaccordingly. Candidates who would presume automatic grant or cancellation of paper wise exemptionwithout obtaining written confirmation on time and absent themselves in any paper(s) of examination and/or appear in the exempted paper(s) would do so at their own risk and responsibility and the matter will bedealt with as per the above guidelines.

(f) Exemption once cancelled on request in writing shall not be granted again under any circumstances.

(g) Candidates who have passed either module of the Executive/Professional examination under the old syllabusshall be granted the paper wise exemption in the corresponding subject(s) on switchover to the new/latestsyllabus.

(h) No exemption fee is payable for availing paper wise exemption on the basis of switchover or on the basis ofsecuring 60% or more marks in previous sessions of examinations.

Important

Paper-wise Exemptions are available only on the basis of passing (i) ICAI (Cost) FinalExaminations (ii) LL.B. Examinations (with 50% marks) or (iii) Members of ICSA-UK inselected subjects of Executive Programme & Professional Programme and no otherexemptions are admissible on the basis of any other higher qualifications.

8. Student Induction Programme (SIP)

Every candidate registered for the Executive Programme w.e.f. 01.09.2009 are required to undergo seven daysStudent Induction Programme (SIP) within 6 months of registration. However students admitted w.e.f. 1st April,

9. Computer Training

All students registered on or before 31st March 2014 are required to successfully undergo a Computer TrainingProgramme for becoming eligible to seek enrolment to appear in CS Executive Programme examination or can optfor the modified training structure in lieu of the earlier structure.

The Institute, in compliance of the above said requirements, has tied up with

— M/s Sify Software Limited for conducting online exemption test for the students, who claim to haveadequate knowledge on computer operation. The students who will pursue the computer training fromM/s. APTECH LIMITED will also have to enroll for and appear this online exemption test to fulfil thecomputer training requirement of the Institute. Exemptions from undergoing Computer Training

(a) To Physically Handicapped Students

The Institute has decided to grant total exemption from undergoing the compulsory Computer Training Programmeto the students belonging to the following based handicapped categories on scrutinizing and conducting assessment/evaluation of the documents submitted in this regard.

— Physically Handicapped Students:

- permanent physical disability of more than 50% in one limb; or

- permanent physical disability of more than 60% in two or more limbs.

— Visually Disabled Students:

- 6/60 to 1/60 or field vision 110/2

- 3/60 to 1/60 or field vision 100

- FC at 1 foot to Nil or field of vision 100

- Total absence of sight

The above said category shall be regarded as permanent physical disability in order to be eligible for concessions/benefits in granting total exemption from undergoing the Compulsory Computer Training Programme.

For availing the aforesaid benefit, such applicant/students will be required to submit a certificate issued by theMedical Superintendent of State/Central Government Hospital to this effect.

(b) On the basis of work experience

In exceptional cases Director of IT could grant total exemption from Compulsory Computer Training to deservingstudents with the approval of the Chief Executive/Secretary. The criteria for considering such cases of total exemptionis as under:

“A student may be considered for granting total exemption from Compulsory Computer Training if, he/shepossesses not less than 3 years working experience on the computer in any organization and has acquired sufficientcomputer knowledge and operational skills to the satisfaction of Director of IT particularly on MS Office, Internet,E-mail or any other package which is deemed relevant for the course.”

(c) Under Reciprocal Arrangement between ICSI and ICAI-(Cost)

Under the reciprocal arrangement between the ICSI and ICAI-(Cost) on exemption from Computer Training, thestudents of ICAI-(Cost) who have already undergone the computer training to comply with the requirements of thatcourse will be fully exempted from the compulsory computer training requirements of the ICSI. 12. Discontinuation of Public Private Partnership Scheme for Class Room Teaching

The Public Private Partnership Scheme for conducting Class Room Teaching has been discontinued and presentlyno Centres are authorized to conduct the classes under the Scheme. 13. Discontinuation of Requirement of Coaching Completion Certificate

The requirement of coaching completion certificate has been discontinued. This would make students eligiblefor enrolment to Executive / Professional Programme examinations after expiry of six months or nine months as thecase may be, from the date of registration to the respective stage.

Henceforth, students of Executive Programme and Professional Programme are not required to:

a) submit response sheets to test papers on various subjects to the Institute under Postal Tuition Scheme, or

b) obtain coaching completion certificate from the Institute or from Class Room Teaching Centres of theInstitute, or

c) submit coaching completion certificate for enrollment to examinations of Executive and ProfessionalProgrammes.

1. DECLARATION OF JUNE, 2014 EXAMINATION RESULTS

The results of Executive Programme (Old and New Syllabus) and Professional Programme examinations (Oldand New Syllabus) held in June, 2014 are tentatively to be declared on 25th August, 2014. The results alongwithindividual candidate’s subjectwise break-up of marks will be available on Institute’s Website www.icsi.edu after thedeclaration of results.

2. ISSUING OF MARKS-SHEETS

In accordance with the decision taken by the Institute, the despatch of Result-cum-Marks-Statements forExecutive Programme examination in physical form was discontinued and instead formal E-Result-cum-MarksStatements for June, 2014 examination was uploaded on the website: www.icsi.edu for downloading by thestudents for their reference and records. However, the Result-cum-Marks-Statements of Professional Programmewould continue to be issued in physical form.

3. VERIFICATION OF MARKS OF COMPANY SECRETARIES EXAMINATIONS

In terms of Regulation 46 (2) of the Company Secretaries Regulations, 1982, as in force, a candidate can seek“Verification of Marks” in any subject(s) of CS examination within 30 days from the date of declaration of results.The application for verification of marks should be made by interested candidates in the prescribed method withrequisite fee @ Rs. 250/- per subject within 30 days (one month) from the date of declaration of results. Interestedcandidates can apply for verification of marks either through On-line mode or Off-line mode as detailed below:

(A) Application of Verification of Marks - On-Line Mode

In case any candidate intends to apply for verification of marks, he/she is encouraged to apply through On-lineServices of the Institute as it shall provide the following benefits to the candidates:

(i) Instant receipt of application for verification of marks in the Institute.

(ii) Loss of application in transit is avoided.

(iii) Postal delay, if any, is nil.

(iv) Fee for verification of marks can be paid through credit card/debit card /net banking.

(v) Application for verification shall be disposed off within the minimum period.

(vi) Preparation of Demand draft and dispatching of application through speed post/courier service can beavoided.

(vii) Candidates can confirm the receipt of their application at an early date.

In case of no change in his/her marks or result position, the candidate can also download a copy of the replyletter instantly from the link given to this effect and no other communication will be sent in this regard. However,in case of any change/revision in marks in any subject(s) and/or result of a particular Module/Stage of Examination,separate communication to that effect will be sent to the candidate concerned through Speed Post.

Candidates should submit their on- line application for Verification of Marks carefully as no change will beentertained after submission of the on-line application.

In case candidates find any difficulty in payment of fees on-line, doubt regarding submission of on-line applicationfor verification of marks, or non- availability of status of receipt of application for verification of marks or outcomeof verification of marks on the website or non-receipt of any communication from the Institute regardingverification of marks within sixty days of submission of the On-line application, candidates are advised to send ane-mail at: [email protected] along with their particulars regarding their application.

(B) Application for Verification of marks - Off-Line Mode

The application for seeking verification of marks should invariably include — (i) Name; (ii) Roll Number; (iii)Registration Number; (iv) Stage of examination; (v) Subject(s) in which verification of marks sought; (vi) Amount offee paid; (vii) Demand Draft Number, Date, and Drawee’s Bank; and (viii) Complete postal address of candidateswith Phone/Mobile Number(s) and E-mail ID(s). The amount of fee for verification can be paid either by way ofdemand draft favouring “The Institute of Company Secretaries of India” payable at New Delhi; or in cash at theRegional/Chapter/Noida Office.

The application for verification of marks duly completed in all respects should be super-scribed “Application forVerification of Marks” and sent within one month from the date of declaration of results, addressed to TheDirector (Exams.), The Institute of Company Secretaries of India, C-37, Sector 62, Institutional Area,NOIDA – 201 309 (U.P.). Candidates can also submit their applications at Regional/Chapter/Head Office. Candidatesin their own interest are advised to send the application by Speed/Registered Post or Courier to ensure the receipt

Further, they are advised not to club any other query/matter or remittanceof fees along with their application for Verification of Marks to facilitate an early reply.

The response time to candidates requests for verification of marks is normally two months from the date ofreceipt of their applications complete in all respects in the Directorate of Examinations of the Institute. On receiptof the applications in the Directorate of Examinations, the status/outcome of verification of marks will be shown onthe Institute’s website: www.icsi.edu and the candidate concerned can enquire about the status/outcome of his/her application by entering his/her Roll No. or Student Registration Number. In case of no change in his/her marksor result position the candidate can also download a copy of the reply letter instantly from the link given to thiseffect and no other communication will be sent in this regard. However, in case of any change/revision in marks inany subject(s) and/or result of a particular Module/Stage of Examination, separate communication to that effectwill be sent to the candidate concerned through Speed Post. However, if a candidate does not receive any informationfrom the website/communication within sixty days from the date of dispatch of application he/she may send an e-mail at: [email protected] or write to the Director (Exams.) giving relevant details along with the scanned/photo copyof application and demand draft/receipt of application fee.

The Institute has been providing the facility of inspection or supply of certified copies of answer books to thecandidates on their request as per Guidelines, Rules and Procedures framed by the Institute in this regard. It hasbeen observed that many a times candidates are confused with the procedure of inspection of their answer booksand/or getting the certified copies of their evaluated answer books. Thus, candidates may understand the proceduresfollowed for inspection and/supply of certified copies of answer books as detailed below before they apply for it:

GUIDELINES, RULES AND PROCEDURES FOR PROVIDING INSPECTION AND/OR SUPPLY OFCERTIFIED COPY (IES) OF ANSWER BOOK(S) TO STUDENTS

(As modified by the Examination Committee of the Council at its148th Meeting held on 14th August, 2013)

1. These guidelines, rules and procedures for providing inspection and/or supply of certified copy(ies) ofanswer book(s) to students will be applicable beginning from June, 2013 session of examinations onwards.Under these guidelines, a student can seek inspection and/or supply of certified copy (ies) of his/herevaluated answer book(s).

2. A student who wishes to inspect and/or obtain certified copy(ies) of his/her answer book(s) of any subject(s)of a particular examination shall apply on the prescribed application form together with (a) requisite fee;and (b) self-attested photocopy of his/her Admit Card (Roll No.) or Student Identity Card so as to reach theInstitute within 45 days from the date of declaration of the result.

3. Fee of Rs. 500 /- per subject/answer books payable for supply of certified copy(ies) of answer book(s) andRs. 450/- per answer book for providing inspection thereof respectively. The fee shall be paid throughDemand Draft drawn in favour of “The Institute of Company Secretaries of India”, payable at New Delhi.

4. The envelope containing student’s Application Form, duly completed in all respect, together with therequisite fee and photocopies of the supporting documents, as mentioned in para 2 above, shall besuperscribed “Application for providing Inspection/Supply of Certified Copies of Answer Books” and sentto:

5. Application Form without requisite fee and supporting documents and complete particulars, as indicatedabove, shall not be entertained.

6. Before providing inspection and/or supplying certified copy(ies) of answer book(s) to a student on his/herrequest, if it is noticed that any sub-question/question of his/her answer book(s) has inadvertently remainedunevaluated or there is some posting or totalling error, the Institute would rectify such omission andcommission and communicate the revised marks/result to the student. However, it may be noted thatre-valuation of answers is not permissible under Regulation 46(2).

7. The inspection done and/or certified copies of the answer books supplied to the student shall be for his/herexclusive self-inspection/ personal reference and guidance only.

8. No other person except the student concerned would be allowed to inspect his/her answer book(s) on thedesignated date and time as communicated by the Institute. Similarly, on receipt of certified copy (ies) ofthe answer book(s), the applicant student shall be the sole custodian of it and he/she shall not part with thecustody/possession of the same and shall not use the same for any other purpose(s).

9. If any error is found at any point of time as provided in para 6 above, the Institute shall have suo motupower to rectify the same.

The Institute awards “Merit Scholarships” and “Merit-cum-Means Assistance” to students for pursuingExecutive Programme and Professional Programme on the basis of their meritorious performance in theexaminations and on merit-cum-need basis on their passing Foundation Programme and Executive Programmeexaminations respectively, as per the criteria stipulated under the “Merit Scholarship (Company SecretaryshipCourse) Scheme, 1983” and “Merit-cum-Means Assistance (Company Secretaryship Course Scheme), 1983”.

MERIT SCHOLARSHIP

In pursuance of para 7 of the “Merit Scholarships (Company Secretaryship Course) Scheme, 1983, 25numbers of scholarships are awarded each for Executive Programme and Professional Programme examinationsper session only to registered students, purely in order of merit, from amongst the candidates who appearedand passed in all the subjects of their respective examination, at first attempt, in one sitting, withoutclaiming exemption in any subject, on all-India basis and subject to fulfilling other terms and conditions asstipulated in the said scheme.

Accordingly, students who pass the Foundation Programme examination in June, 2014 should get themselvesregistered with the Institute for the Executive Programme within 3 months from the date of declaration ofresults to become eligible for award of Scholarship.

MERIT-CUM-MEANS ASSISTANCE

In pursuance of para 8 of the “Merit-cum-Means Assistance (Company Secretaryship Course) Scheme,1983”, 25 numbers of financial assistance are awarded each for Executive Programme and ProfessionalProgramme examinations per session only to registered students. According to the scheme, a candidate hasto apply in the prescribed form which can be downloaded from Institute’s website: www.icsi.edu OR obtainedfrom the Institute free of cost by sending a self addressed stamped envelope, and submit his/her applicationwithin a specified date as notified from time to time. Any candidate applying for financial assistance shouldhave passed the Foundation Programme/Both the Modules of Executive Programme Examination, at firstattempt, in one sitting, without claiming exemption in any subject. If the candidate is employed or having anindependent source of income, in that case his/her income should not be more than Rs.1,50,000/- perannum and if he/she is dependent on his/her parents/guardian/spouse, then the combined income from allsources should not be more than Rs.2,50,000/- per annum and also subject to fulfilling other terms andconditions as stipulated in the said scheme.

Students who pass the Foundation Programme examination in June, 2014 must get themselves registeredwith the Institute for the Executive Programme within 3 months from the date of declaration of results tobecome eligible for award of this financial assistance.

According to the scheme, a candidate applying for assistance should have passed Foundation Programme orBoth Modules of the Executive Programme examination without exemption in any paper, at one sitting, in thefirst attempt in June, 2014 examination. GRANT OF FACILITY OF WRITER’S HELP/EXTRA TIME TOPHYSICALLY DISABLED CANDIDATES

Any physically disabled student having a minimum of 40% physical disability or deformity of permanentnature and who wishes to seek writer’s help and/or extra time for the purpose of appearing or writingCompany Secretaries December, 2014 examination should make a separate written request therefor mentioningcomplete details about his/her Name, Student Registration No., Complete Postal Address, Mobile Number,E-mail id, specifying nature and extent (in % term) of his/her permanent disability, etc., to The Director(Exams.), The Institute of Company Secretaries of India, C-37, Sector 62, Institutional Area, NOIDA –201309 (U.P.) in addition to submitting his/her enrolment application for appearing in the examinationtogether with the following supporting documents :

(i) Disability Certificate issued by the Medical Board/Head of Deptt. or Sr. Medical Officer (Specialists) ofa Central or State Govt. Hospital certifying the nature (permanent or temporary) and percentage ofdisability, and its duration affecting his/her writing ability and/or the normal physical functions; and

(ii) Letter of Permission issued to him/her by Sr. Secondary Board/University and/or any other professional/educational examining body, such as – University, UPSC, SSC, State Public Service Commission, Instituteof Chartered Accountants of India, Institute of Cost Accountants of India, etc., granting him/her suchassistance for appearing or writing the examinations.

Please note that even the physically disabled students, who had earlier been granted facility of Writer’sHelp/Extra Time in the previous examination and wish to avail of such concession or assistance for writingthe ensuing December, 2014 examinations are required to apply afresh giving reference of such facilitygranted in the past and making a separate application to The Director (Exams.), The Institute of CompanySecretaries of India, C-37, Sector 62, Institutional Area, NOIDA – 201309 (U.P.) before the last date forsubmission of enrolment application for December, 2014 examination. The application for grant of Writer’sHelp/Extra Time should not be clubbed with any other query or correspondence.

It is clarified that in case of disablement of temporary nature and injuries like, fracture in the arm, forearm ordislocation of a shoulder, elbow, wrist or any other illness, etc., the candidates are not eligible to seek anyconcession or assistance of writer/extra time.

Intimation about grant of Writer’s Help/Extra Time is normally sent 15-20 days before thecommencement of each examination.

The Institute has set up online mode of payment for Verification of Marks for its students with effect fromJune, 2014 session of examinations. To optimize the use of online mode of payment, candidates are advisedto submit their request/s through online mode for quicker and hassle free response.

The procedure for submitting on line application for Verification of Marks has been published elsewhere inthis bulletin and also hosted on the website of the Institute.

In case, the candidates face any difficulty while submitting their request through online mode, they cansubmit the application for Verification of Marks through off line mode by following the procedure hosted onthe Institute’s website.

CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE FOR STUDENTSThe Institute launched the ‘Corporate Compliance Executive Certificate’ in terms of Chapter IVA (Regulation 28A & 28B) ofthe Company Secretaries Regulations, 1982 on 4th October, 2013.ELIGIBILITY FOR AWARD OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATEA person who –• is currently registered as a student of the Company Secretaryship course of the Institute;• has completed at least one group of the Intermediate/Executive Programme Examination of the Company Secretaryship

Course, and• has completed a training of Six months under Regulation 28A of the Company Secretaries Regulations, 1982, which may

include skill oriented practical /class room training for two weeks.PROCEDUREAn eligible student may apply for award of Corporate Compliance Executive Certificate by submitting an application in specifiedformat (available on the website of the Institute www.icsi.edu ), after making payment of a fee of Rs. 2000 (two thousandonly), either in cash (at counters of the Institute across the county) or by way of Demand Draft in favour of ‘The Institute ofCompany Secretaries of India’ payable at New Delhi. STATUS OF HOLDER OF CORPORATE COMPLIANCE EXECUTIVE CERTIFICATE• The student who is awarded Corporate Compliance Executive Certificate of the Institute shall be entitled to use the

descriptive letters "Corporate Compliance Executive".• The grant of Certificate of Corporate Compliance Executive Certificate shall not confer on the Corporate Compliance

Executive the rights of a member, nor entitle him to claim membership of the Institute.VALIDITY OF CERTIFICATE• The Corporate Compliance Executive certificate is valid for a period of three years (financial years) and is renewable on

completion of four Programme Credit Hours (PCH) and payment of requisite fee as the Council may determine fromtime to time.

OTHER DETAILS• The student shall have to complete the course of Corporate Compliance Executive Certificate including the training

requirements within the registration period.• The student having awarded the Corporate Compliance Executive Certificate may continue to pursue the regular Company

Secretaryship course if he so desires.• Except to the extent provided in this Chapter IVA (Regulations 28A & 28B) of the Company Secretaries Regulations,

1982 or as decided by the Council from time to time, regulations in Chapter IV and VI relating to ̀ Registered Students’and ̀ Examinations’ shall mutatis-mutandis apply to the ‘Corporate Compliance Executive Certificate Course’.

REPORT ON 22nd STUDENT INDUCTION PROGRAMME (SIP)ORGANISED BY NE CHAPTER OF EIRC OF ICSI, GUWAHATI

from 18.07.2014 to 25.07.2014

The North Eastern Chapter of EIRC of The Institute of Company Secretaries of India organized the 7 days longStudent Induction Programme (SIP) for the twenty second time in Guwahati from 18th July, 2014 for ExecutiveProgramme students. The Programme was held at the Hall room of North Eastern (Guwahati) Chapter of ICSIlocated at Nabinnagar, Guwahati. Altogether 56 (Fifty six) students enrolled for the programme out of which51(Fifty one) students actively participated in the programme. On 18th July, 2014 the programme wasinaugurated by CS Pankaj Kumar Jain, the Chairman of North Eastern Chapter of EIRC of ICSI, Guwahati. Hewelcomed the students to the Student Induction Programme. He then introduced himself to the studentsand took a brief introduction of all the students of SIP. He then appraised the gathering about benefits ofStudent Induction Programme for the students. The Programme schedule which was prepared covering allthe topics as per guidelines & consultation with the faculties were distributed among the students. TheChairman conveyed his best wishes to the students for the SIP and hoped that the seven days trainingprogramme will help them in their future. He also requested the students to be regular in their classes andalso to maintain discipline. A set of pen, notepad and papers were distributed among the students in theopening session of the programme.

The Programme continued for seven days in a smooth & satisfactory manner and as per schedule & topicsprescribed by the Institute. The deliberations on the subjects were made with power-point presentation andvideos in all the sessions. The classes were taken by various Company Secretaries, Chartered Accountants,Corporate Trainers and Computer trainers from Guwahati. As far as possible, emphasis was given in practicalapproach based on all the subjects and guidelines. Interactions with the students in every session were doneby the Faculty Members. Opportunities were given to the students in every session to improve theircommunication skills. Attendance of the students & session wise feedback from the students were taken atthe end of every session. Regarding attendance and whole hearted participation of the students, the Chapterhad taken and maintained the attendance of the participating students in its own Biometric (Fingerprint)machine. Snacks, refreshments and lunch were provided to the students in each & every break of theProgramme. The participants were encouraged to put forth their queries, views and suggestions. The sessionswere marked with lively interactions with the faculties and overwhelming response.

The Valedictory session of the programme was held on 25th July, 2014 at the same venue. CS Sanjay KumarBaid, Managing Committee Member of North Eastern Chapter, Guwahati of EIRC of The Institute of CompanySecretaries of India was present on the occasion. He hoped that the knowledge gathered by the students inthe SIP will help them in their future. The Students, one by one expressed their experience and deepsatisfaction regarding SIP. Certificates were distributed to the actively participated students in the SIP. Withthis high note the session was concluded in a satisfactory manner.

The Northern India Regional Council of the Institute of Company Secretaries of India (NIRC of the ICSI) is oneof the four Regional Councils of the Institute. Inauguration Session of Oral Coaching Classes on 07.07.2014

Visakhapatnam Chapter of SIRC of ICSI has organized an inaugural session of its of Oral Coaching Classes forDecember 2014 examination for Executive programme students New Syl Mod-I & Mod-II on 07.07.2014 at7.00 AM at Chapter Premises.

CS Suman C Secretary of Visakhapatnam Chapter welcomed the students. In his welcome address, hehighlighted the importance of CS profession and he explained the students how to prepare for CS course. CSD.V.Subbarao Chairman of Visakhapatnam Chapter advised the students to have a positive attitude in life. Hefurther advised them of the importance of interaction with faculty members.

Mr. PRV.Sivarama Krishna , Chapter In-Charge ICSI-Visakhapatnam Chapter informed the students about theoral coaching guideline and important instructions. He further explained the students about the onlinefacilities provided by the institute , OMR based examinations starting from Dec’2014 and also applicabilityof companies act 2013 for December 2014 examinations. Around 30 students attended the programme. Theclasses have started Mod-II on 07.07.2014 after conclusion of the inaugural session and Mod-I on 09.07.2014.

Elocution Competition on 07.07.2014

Visakhapatnam Chapter of SIRC of ICSI has organized chapter level elocution competition on 07.07.2014.Winner and runners represents Visakhapatnam chapter for Regional Round at SIRO-Chennai on 18.07.2014.

13th ALL INDIA ELOCUTION COMPETITION -2014

In line with the 13th All India Elocution Competition, Indore Chapter of WIRC of the ICSI Conducted ChapterLevel Round on Wednesday, 16th July, 2014.

Students of Indore Chapter participated in the said elocution Competition with full enthusiasm.

Mr Abhimanyu Sanap has been declared winner at Chapter Level Round.

The Judges for the Competition were CS Anurag Geete and CS Siddharth Sharma.

Mr. Abhimanyu Sanap and Mr. AnkurBindal went to Mumbai for Regional Level Round. Mr. Abhimanyu alsowon the Regional Level Round and after been declared winner there, on Saturday, 20th July, 2014, hetravelled to Kolkatta for National Level Round.

The National Level Round was held on Sunday, 26th July, 2014 and Mr. Abhimanyu Sanap has also won theNational Level Round.

Indore Chapter is thankful to students, who took part in the event and made the event successful.

14th ALL INDIA COMPANY LAW QUIZ -2014

In line with the 14th All India Company Law Quiz, Indore Chapter of WIRC of the ICSI Conducted ChapterLevel Round on Saturday, 19th July, 2014.

Students of Indore Chapter participated in the said Company Law Quiz Competition with full enthusiasm. MrArvind Kumar Meena has been declared winner and Mr. Deepak Bilaiya stood 1st runner up at Chapter LevelRound.

Mr. Arvind Kumar Meena and Mr. Deepak Bilaiya went to Mumbai for Regional Level Round. Mr. ArvindKumar Meena stood 1st Runner Up in the Regional Level Round and after the declaration of the result there,on 31stJuly, 2014, he travelled to New Delhi for National Level Round.

Indore Chapter of WIRC of ICSI organized 19th Executive Development Programme from 20th July, 2014to 27th July 2014 at Indore Chapter premises. The training inaugurated in presence of CS Ashish Karodia(Chairman of ICSI Indore Chapter) , CS Kamlesh Joshi (TEFC – Chairman of ICSI Indore Chapter) &students of the Institute of Company Secretaries of India.

The training started with the Lighting of Lamp. CS Ashish Karodia, Chairman of Indore Chapter ad-dressed the students of 19th EDP batch. He welcomed the students and shared his valuable thoughtswith them.

CS Kamlesh Joshi, TEFC – Chairman of Indore Chapter also shared some valuable learnings with theStudents of 19th EDP batch. The batch comprises of 47 students. The training begins with the seniorfaculty CS M.K. Apte. He gave overview on Companies Act, 2013. Further, the training continued accord-ing to the designed schedule.

Students PPT Presentation Competition organized on the 7th Day of EDP. Six groups were made andaccordingly students performed in this competition. One Group presented on the topic “CorporateSocial Responsibility” won Prize of Best Group, Mr. Mayank Acharya selected as Best Presenter of EDP& Ms. Astha Maheshwari declared as Best Participant of 19th EDP.

The training concluded with the valedictory session. CS L.N. Joshi (Member – Managing Committee)came for valedictory session. He guided the students about the articleship in Company Secretaryshipcourse. He also discussed the problems Students are facing in getting the articleship. Students also sharetheir experience of this 8 days 19th Executive Development Programme with CS L.N. Joshi.

At the end of the programme, CS L.N. Joshi gave best wishes to all the students for their future.
