This meeting is being held in conformity to the Open Public Meetings Act N.J.S.A. 10:4-6 et. seq. Properpublic notice of the meeting was published in the local papers on October 13 and October 14, 2012.
If any Board member or member of the public in attendance believes that the meeting is in violation ofthe Open Public Meetings Act, the Hoboken Board of Education requests that they make a statement at
this time.
The Board wishes to make those in attendance aware that this meeting is being recorded on video and willbe broadcast by the Board at a later date on CATV Channel 77.

RESOLUTION NO. GP-0029-12-13
SUBJECT: APPROVAL OF WORKSHOPS
RESOLVED, that the Board of Education, upon recommendation of the Superintendent, approves thefollowing workshops:
WHEREAS, N.J.A.C. 6A:23B-1.1 et. seq. requires that each board of education adopt a formal policy andprocedures relating to travel and expense reimbursement for its employees and board members; and
WHEREAS, the School District of the Hoboken Board of Education (the Board) adopted a TravelExpense Reimbursement Policy that addresses the reimbursement of travel-related expenses by Board
members and employees of the District; and
WHEREAS, the Board has considered all other relevant guidelines and circulars associated with theadoption of its Travel Expense Reimbursement Policy; and
WHEREAS, the Board has determined that the travel listed in this Resolution is educationally necessaryand fiscally prudent; and
WHEREAS, the Board has concluded that the travel and expense reimbursement listed in this Resolutionare directly related to and within the scope of the employees current responsibilities; and
WHEREAS, the Board has determined that the travel and expense reimbursements listed in this
Resolution are for travel that promotes the delivery of instruction or furthers the efficient operation of theschool district; and
WHEREAS, the Board has concluded that the travel and expense reimbursement listed in this Resolutionare in compliance with State travel reimbursement guidelines as established by the Department ofTreasury and incorporated herein;
THEREFORE, BE IT RESOLVED, pursuant to N.J.A.C. 6A:23B and Board Policy and upon therecommendation of the Superintendent, that the School District of the Hoboken Board of Education, inthe County of Hudson, New Jersey, approves travel requests as listed.

AND WHEREAS, at the October 16, 2012 Public Meeting, the Board appointed Carol Fredericks InterimBusiness Administrator/Board Secretary, making her a required signatory, replacing former Acting BoardSecretary, Dianne BottiNOW, The Hoboken Board of Education (the Board) resolves that:
1. TD Bank, N.A. (the Bank) is designated as a depository for the funds of the Board and toprovide other financial accommodations indicated in this resolution.
2. This resolution shall continue to have effect until express written notice of its rescission ormodification has been received and recorded by the Bank. Any and all prior resolutions adoptedby the President and Members of the Board and certified to the Bank as governing the operationof this Boards account(s) are in full force and effect, until the Bank received and acknowledgesan express written notice of its revocation, modification or replacement. Any revocation,modification or replacement of a resolution must be accompanied by documentation, satisfactoryto the Bank, establishing the authority for the changes.
3. The signatures of the Board Secretary and School Business Administrator on this resolution areconclusive evidence of their authority to act on behalf of the Government Unit. The Board
Secretary or School Business Administrator, so long as he/she acts in a representative capacity asagent of the Board, is authorized to make any and all other contracts, agreements, stipulations andorders which they may deem advisable for the effective exercise of the powers indicated on pageone, from time to time with the Bank, subject to any restrictions on this resolution or otherwiseagreed to in writing. Board approval, via a duly adopted resolution, is required for all matters sopromulgated by State statute or regulations, or as designated by Board policy or regulations.
4. All transactions, if any, with respect to any deposits, withdrawals, rediscounts and borrowings byor on behalf of the Board with the Bank prior to the adoption of this resolution are hereby ratified,approved and confirmed.
5. The Board agrees to the terms and conditions of any account agreement, properly opened by theBoard Secretary. The Board authorizes the Bank, at any time, to charge the Governmental Unitfor all checks, drafts, or other orders, for the payment of money, that are drawn on the Bank, solong as they contain the required signature for this purpose.
6. Except as prohibited by State statute or regulation, or by Board policy or regulations, the Boardacknowledges and agrees that the Bank may furnish at its discretion automated access devices toAgents of the Board to facilitate those powers authorized by this resolution or other resolutions ineffect at the time of issuance. The term automated access device includes, but is not limited to,credit cards, automated teller machines (ATM), and debit cards.
