(hereinafter the "Property")
This Memorandum of Sale is made this day of February 20 13, by and among the Cape Cod Cooperative Bank, a Massachusetts banking insti tution wi th an address of 25 Benjamin Franklin Way, Hyannis, Massachusetts (the "Mortgagee"), J.J Mann ing Auctioneers, of Yarmouth port, Massachusetts (the "Auct ioneer") and _________ _ _______________ (the "Buyer").
Subject to and in accordance with the terms and condit ions se t for th in that ce rtain Notice of Sale attached hereto as Exhibi t A and incorporated herein by refe rence, and as supplemented by further terms set fo rth below, the Buyer hereby ag rees to purchase the Property more fillly described in said Exhibit A.
T he Property shall be conveyed by the usual mortgagee's deed under the statu tory power of sale. The Property shall be conveyed subject to any outs tanding tenancies and lor leases, the rights of parties in possession, any tax titles, municipal taxes and assessments, any outs tand ing water or sewer bills or liens, and the provisions of applicable s tate and local law, including building codes, zoning ordinances and M.G.L. Chapter 2 J E. Where applicable, the Property shall be conveyed subject to unpaid condominium fees pursuant to Massachusetts General Laws Chapter 183A, as amended.
The bid price for which the Property has been sold to the Buyer is $. ___ ---,-,-____ _ of which $5.000.00 has been paid this day in accordance with the terms of the Mortgagee's Notice of Sale. The sale shall not be deemed completed until the Buyer has made his or he r depos it and has signed this Memorandum of Sale. The balance of the purchase price shall be paid at Crowell Law Office, 99 Willow Street, Sui te l , Yarmouth Port, Massachusetts 02675, by certified or bank check on or before 11:00 a.m. on the thirtieth day following the sa le, provided that such day is one on which the Registry of Deeds is open for business, and if not, then on the next day on which the Regis try of Deeds is open fo r business. T ime is of the essence of this ag reement. The Buyer shall pay all recording costs, includ ing, but not limi ted to, all recording fees and excise stamps.
In the event the Mortgagee cannot convey title to the Property as stipulated, the depos it, and if applicable, the balance of the purchase price shall be refunded and all rights hereunder shall cease, and the Buyer shall have no recourse against the Mortgagee, or its employees, agents and rep resen tati ves, whether at law or in equi ty.
T he Buyer acknowledges that fi'om and after thi s da te he or she shall have the sole risk of'loss, and the Mortgagee shall have no responsibility for main ta ining insurance on the premises. If the P roperty is damaged by fire or other casual ty prior to closing, Buyer shall accept a deed to the Property and an assignment of so much of the insurance proceeds as has not been lIsed in the res toration of the Property prior to the closing, to the extent any s llch proceeds may be available to the Mortgagee, Buyer paying therefore the full balance of the bid price.
The Property shall be conveyed in "as is" condition. T he Buyel' acknowledges that Buyer has not been influenced to enter this transaction by, nor has it been retied upon, any warranties 0 1'
representa t ions of the Mortgagee 0 1' the Auctioneer not set fo rth 01' incorporated in this Memorandum. No personal proper ty of any nature is included in this conveyance except as expressly set forth herein. It; as of this date, there is any tenant 0 1' occupant in res idence, the Buyer, if he/she wishes to evict such tenant or occupant, must do so at his/her own expense.
T he Buyer shall assume responsibility for and cos ts relating to compliance with Title V of the State Environmental Code, sta te and city requirements rega rding smoke and carbon monoxide detection equipment, and lead paid regulations, all as appl icable. Mortgagee makes no warranties 01' representations regarding the Property's current compliance with any state 01'
local regulations 0 1' laws.
I n the event that the successflll bidder at the foreclosure sale shall default in purchasing the within described property according to the terms of the Notice of Sale and /or the terms of thi s Memorandum of Sale executed at the time of the foreclosure, the Mortgagee reserves the right to sell the property by foreclosure Deed to the second highes t bidder provided that the second highest bidder shall deposit the amount of the required deposit with Crowell Law Office within three (3) business days after written notice of default of the previous highest bidder and title shall be conveyed to sa id second highest bidder within twenty (20) days of said written notice.

NOTICE OF MORTGAGEE'S SALE OF REAL ESTATE By virtue and in execution of the Power of Sale contained in a certain mortgage of real estate given by JEREMY A. GINGRAS AND JENNIFER L.
