NOTICE INVITING ON LINE TENDER

TENDER NOTICE FOR SUPPLYING BOOKS

The Indian Institute of Corporate Affairs, a registered society functions under the administrative

control of Ministry of Corporate Affairs (MCA) has been established to act as a think tank and a centre of

excellence to support the growth of corporate sector in India through an integrated multi-disciplinary

approach requires the services of a reputed, well established and financially sound Agency for providing books

at its office in Manesar, Distt Gurgaon.

2. E- tender is invited under Two-Bid system from reputed agencies for supply of specified books as

per list attached (Annexure-A-1). The “scope of work and general instructions for the tenderers”, technical

requirements for the tendering agencies and other terms and conditions are given in Annexure-I. Other

detailed information regarding terms and conditions along with tender form can be downloaded from the

CPPP at eprocure.gov.in as well as the official website of IICA (www.iica.nic.in). The tender documents can be

3. The e-tenders received after the above said scheduled date and time will not be considered. No

tender by post/fax/ e-mail will be entertained.

4. The tenders are being invited through e-procurement module of Central Public Procurement Portal-

CPPP (e-procure.gov.in). Tenderer are requested to apprise themselves of the provisions of e-procurement

system and submit their respective bids through e-procurement systems at www.eprocure.gov.in. The last

date for submission of e- tenders is 5 PM on 07, November 2020.

5. Incase of any holiday on the day of opening of the bids, it will be open on next day. The tenders

received after the schedule date & time will not be considered.

6. The Director General & CEO, IICA reserves the right to reject any or all tenders without giving any

notice or assigning any reason thereof. His decision in this regard shall be final and binding on all.

Annexure-I

General instructions for Tenderers and Scope of work:

1. The interested Agency may submit the tender documents Complete in all respect along with Earnest Money Deposit (EMD) of Rs.50, 000/-(Rupees Fifty thousand only) in favour of Indian Institute of Corporate Affairs in the form of Demand draft/ Pay Order before closing date of bids to Head, Knowledge Resource Centre, Indian Institute of Corporate Affairs, P 6, 7 & 8, Sector-5, IMT Manesar, Gurgaon-122050 (Haryana). EMD of successful bidder will be treated as security deposit after award of contract. The EMD would be returned to unsuccessful bidders after finalization of the tender. The EMD/security deposit will not bear any interest.

2. The e-tenders will be submitted under two bid system i.e. Technical Bid and Financial Bid. The interested

Agencies are advised to submit their technical bids and financial bids through e-procurement systems at www.eprocure.gov.in in the prescribed formats i.e. Annexure-II and Annexure-IV. The technical bids shall be opened first and evaluated by the Evaluation Committee. At the second stage, financial bids of only the technically qualified bidders will be opened at a later date. Last date of submission of Technical and Financial Bids along with the essential documents are on expiry of 21 days (as per government rules/norms).

3. Return/Refund of EMD’s preferably within 15 working days from the date of tender opening to the

bidders whose bids are rejected at the tender opening stage itself or bids which are not considered for evaluation (indicating the reason for returning).

4. Conditional bids shall not be considered and will be out rightly rejected at the very first instance.

5. All entries in the tender form should be legible and filled clearly. If the space for furnishing information is

insufficient, a separate sheet duly signed by the authorized signatory may be attached. No overwriting or cutting is permitted in the Financial Bid. In such cases, the tender shall be summarily rejected. However, the cuttings, if any in the Technical Bid Application must be initialed by the persons authorized to sign the tender bids.

6. The competent authority of Indian Institute of Corporate Affairs reserves the right to reject any or all bids

without assigning any reason.

7. The bidder shall submit the technical and financial bids only in the prescribed format through e-procurement module of Central Public Procurement Portal- CPPP (e- procure.gov.in) as per format.

8. The amount quoted by the bidder in the Financial Bid (Annexure - IV) shall mention all levies and taxes,

packing, forwarding, freight and insurance in case of material to be supplied.(Financial Bid / Annexure - IV)

9. The selected Agency shall not be allowed to transfer, assign or sub-contract its rights and liabilities under this contract to any other Agency without the prior written consent of Indian Institute of Corporate Affairs.

10. Financial bids of only those tenderers who are technically qualified shall be evaluated.

11. IICA may terminate the contract if it is found that the agency is black listed on previous occasions by any

of the Govt. Deptt. / Institutions/ Local Bodies/ Municipalities/ Public Sector Undertakings, Banks etc. and the amount of the performance security may be forfeited. The tenderer shall be required to furnish Undertaking as per Annexure-III.

12. IICA may reject the Bid in the event that the Bid is accepted but the successful bidder fails to furnish the Performance Security or fails to execute the contract agreement.

13. IICA will award the tender to the successful evaluated bidder whose bid has been found to be responsive

and who is eligible and qualified to perform the contract satisfactorily as per the terms and conditions incorporated in the bidding document.

14. IICA will communicate the successful bidder that his bid has been accepted. This letter (hereinafter and in

the condition of contract called the “Letter of Offer”) shall prescribe the amount which IICA will pay to the agency/tenderer in consideration of the supply of books by the agency/tenderer as prescribed in the contract.

15. The EMD deposit will be forfeited, by the Indian Institute of Corporate Affairs in case of non-compliance

of the terms of the tender/ non supply of books within stipulated time by the Agency or for causing any loss or damage to the IICA by the Agency or any of its employees.

16. In the event, if any clarification is required in any of the clauses of the tender, matter will be referred to

the Director General and Chief Executive Officer, Indian Institute of Corporate Affairs, whose decision shall be binding on both the parties.

17. In case, the Agency fails to comply with any Statutory/ taxation liability under applicable laws and as a

result thereof the Indian Institute of Corporate Affairs is put to loss/ obligation, monitory or otherwise, the Indian Institute of Corporate Affairs will be entitled to deduct the same out of the outstanding bills or the Security Deposit of the Agency to the extent of the loss or obligation in monitory terms.

18. The Supplier shall supply all the ordered books within the period (20 days for Indian Publication and 4 to 6

week for Foreign Publication) from the date as specified in the purchase order. If the supply is not received within the stipulated time, the IICA, Manesar reserves the right to cancel either the entire order or part thereof without any further notice/reminder. In case, the supplier needs some more time for supply, he/she should seek in writing on sound grounds, further time from the concerned officer at least four days before supply date expires. Copy of the list of Books is attached as Annexure A-1.

19. All Books/Annual Reviews/ Monographs shall be supplied with an authentic price proof.

20. The Supplier shall append the declaration on the bill that only the latest editions of the books etc. have been supplied, the actual prices of Publications have been charged without any handling/postage charges. These are not remaindered titles/ damaged books with missing pages and The Indian/Low priced editions of these publications (if foreign) are not available in India.

21. Damaged books, books with missing pages shall have to accept back by the supplier even after they have

been stamped for accessioning.

22. Any Supplier found to have cheated by supplying old and remaindered books and defaulted in supplying books even on extended time limit without reasonable grounds, will be liable for blacklisting besides imposition of special penalty to the tune of Rs. 1,000/- per occasion and if any loss is incurred by the IICA, the same may be recovered from the Performance Security.

23. In case of delayed delivery of books beyond seven days, a penalty of 2% per week or part thereof will be

levied on the value of books supplied belatedly.

24. In case of cheating by charging more than actual Publisher‘s Price, the Firm can be punished by blacklisting/forfeiting the Performance Security deposit or both.

25. Price Proof:

i. The supplier shall have to furnish the price proof of the books. In case of any price manipulation when detected at any stage, the supplier shall be responsible for the same and the excess amount charged shall be refunded to the Institute in one installment.

ii. In support of price proof, the vendor should provide the copy of the procurement invoice from publishers / distributors / copy of publisher’s price list.

iii. Every price proof and currency conversion proof should contain seal and authorized signature of the vendor.

26. The order / contract should be acknowledged in writing within 7 days from the date of receipt of “Letter

of Offer”.

27. If a book is ordered from abroad, it should be informed by the Agency accordingly before sourcing it.

28. The latest paperback editions should always be supplied unless otherwise mentioned. Indian reprints/editions, if available should be supplied. Head- KRC should be consulted beforehand if vendors intend to supply hardback editions, if the ordered paperback edition is not available.

29. All the books are to be suitably protected, covered in water-proof packing and crated to prevent damage

or deterioration during transit and storage till the time of verification. The supplier shall be responsible for any loss or damage caused during transportation, handling or storage till their successful verification.

30. Payment will be made within 45 days from date of receipt of the invoice.

31. The bids shall remain valid for a period of 90 days from the date of opening of tender. No bidder is permitted to withdraw his offer within the validity period of the tender. In case any bidder withdraws his offer within the validity period of the offer, EMD amount paid will be forfeited.

32. Any dispute and or difference arising out of or relating to this contract will be resolved through joint

discussion of the authorities’ representatives of the concerned parties. However, if the disputes are not resolved by joint discussions, then the matter will be decided by DG & CEO, IICA.

33. The court at Haryana shall have the exclusive jurisdiction to try all disputes, if any, arising out of

this agreement between the parties.

34. The Competent Authority at IICA can increase/decrease the no. of books at its discretion.

35. "....Force Majeure

The Bidder shall not be liable for forfeiture of its Performance Guarantee, imposition of liquidated damages or termination for default, if and to the extent that it’s delay in performance or other failure to perform its obligations under the contract is the result of an event of Force Majeure. For purposes of this Clause, “Force Majeure” means an event beyond the “reasonable” control of the Bidder, not involving the Bidder’s fault or negligence and not foreseeable. Unforeseen circumstances or causes beyond the control of the Bidder include but are not limited to acts of God, war, riot, acts of civil or military authorities, fire, floods, accidents, terrorist activity, strikes or shortages of transportation facilities, fuel, energy, labor or material. For the Bidder to take benefit of this clause it is a condition precedent that the Bidder must promptly notify IICA, in writing of such conditions and the cause thereof within five calendar days of the arising of the Force Majeure event. IICA, or the consultant / committee appointed by IICA shall study the submission of the Bidder and inform whether the situation can be qualified one of Force Majeure. Unless otherwise directed by IICA in writing, the Bidder shall continue to perform its obligations under the resultant Agreement as far as it is reasonably practical, and shall seek all reasonable alternative means for performance of services not prevented by the existence of a Force Majeure event."

Selection criteria for TECHNICAL BID for the supply of Books

1. The firm must have financial status in dealing with the supply of the books. Average Turnover of the firm

should be minimum Rs. 10, 00,000/- (Rs. Ten Lakhs only) per annum. The documentary proof of this effect in the form of balance sheet for each year for the last three years has to be enclosed as Annexure, along with the offer of the tender, failing which the offer will be rejected. (to be enclosed with the technical bid).

2. The firm should be having PAN (Permanent Account No.) / TAN/GSTIN allotted by the Income tax

Department, documentary proof of the same has to be enclosed as Annexure –III along with the technical bid.

3. They should have at least 3 years of experience for supplying books/journals, etc. to various organizations.

4. Income Tax Returns for the last three years.

5. The Firm/Agency should be a member of Federation of Publishers and Book Sellers Association of India or

associations affiliated to it and a proof has to be enclosed as Annexure along with the offer.

6. The vendor must be an authorized distributor / dealer / supplier of Academic Book Publishers.

7. The firm shall have to supply at least 80% of the books from the list of books. The condition may be relaxed by T&C in case no vendor agrees to supply 80% books.

Final Selection Criteria for Successful Bidder

The successful bidder will be selected among technically qualified bidders who quote the lowest price among all

bidders item-wise. The lowest price will be arrived after taking discount into consideration.
