Terms and Condition of Sales

Order Acceptance: All orders are subject to written acceptance by EAF, Ferndale, Michigan, and are subject to all the terms and conditions in effect at the time of acceptance.

Prices: Prices are subject to change without notice. Any addition or alteration to an outstanding order will be accepted at prices in effect when the addition or alteration is accepted. All orders will be subject to sales tax unless proper documentation is provided.

Payment Terms: Net payment is due thirty (30) days from the date of shipment with approved credit. Payment should be made to EAF 1530 Farrow Street, Ferndale, MI 48220.

Initial orders or account inactivity exceeding two years are subject to payment in advance terms. All prices quoted are net of cash discount. Electronic wire transfer and credit card payment are available for your convenience; however, please contact us regarding non cash associated fees.

Subsequent orders are subject to the following open account terms based on a positive review of credit and bank references, completion of the CREDIT APPLICATION information and are subject to change.

ACCOUNTS PAST DUE ARE SUBJECT TO FINANCE CHARGE OF 1.5% PER MONTH OR ANY PORTION THEREOF (18% ANNUALLY). ANY COSTS ASSOCIATED WITH COLLECTION OF PAST DUE ACCOUNTS ARE THE RESPONSIBILITY OF CUSTOMER.

Minimum Order: There is no minimum order, however, a requirement of $20 handling charge will be applied to all shipments of less than $100.00.

Shipment Terms: All Shipments are made F.O.B., Ferndale, Michigan, insured unless notifi ed in writing

Responsibility and Title: Title of the product shall pass to buyer upon tender of the shipment to a common carrier at F.O.B. point, Ferndale, Michigan.

Delivery: EAF will make every responsible effort to fi ll all orders promptly. EAF will not be responsible for late deliveries resulting from any cause beyond its control. Claims for shortages or other errors must be made in writing to EAF within 30 days after receipt of shipment. Failure to do so will constitute a waiver of all claims by the purchaser.

Return of Merchandise for Credit: No merchandise may be returned unless written authorization has been obtained from EAF. Unauthorized returns will not be accepted. Only unused equipment of current design may be returned for credit. Should a purchaser return merchandise for reasons of his own, a restocking charge may be assessed. Where applicable, the restocking charge is a minimum of $35 or 20% of billing, whichever is greater, plus transportation charges.

Return of Merchandise for Repair or Replacement: If the merchandise is under warranty, and the return is necessary because of defect in material and/or workmanship, see warranty statement below.

Warranty: EAF products are warranted to be free from defects caused by faulty materials or workmanship, provided any such defect be reported to EAF within one (1) year of shipment from factory. The liability of EAF under this warranty is limited to repairing, or at its option, replacing or issuing credit for any of its products which are returned during such period, provided, however that;

EAF is promptly notifi ed following any product failure; and 1. EAF authorizes the return in advance of merchandise; and 2. Defective merchandise is returned to EAF accompanied by a report of fi ndings indicating the basis for rejection, and with 3. transportation charges prepaid; and That such defects as exist have not been caused by abuse, misuse, neglect, improper installation, repair or alteration.4.

In no event shall EAF be liable and EAF disclaims responsibility to the purchases or any third party for loss, direct or indirect, for costs, expenses, losses or consequential damage of any nature. This disclaimer is in lieu of and supersedes all warranties, expressed or implied, as to description, quality or merchantability. There are no warranties of fi tness for any particular purpose.

Substitution: EAF expressly reserves the right to substitute materials in the products described in the catalog and any supplements thereto; however, this shall not apply to any special order products and/or custom products where EAF is advised in writing of specifi c material requirements and agrees in writing to comply with the requests for such specifi c materials.

Order Cancellation: Any orders accepted by EAF may not be altered or modifi ed by the purchaser without the written agreement of EAF. Any other cancellation or termination will be subject to payment of EAF losses, damages and expenses arising from such cancellation or termination.

Contract Agreement: EAF’s Terms and Conditions of Sale are applicable. EAF will not recognize confl icting terms and conditions unless specifi cally agreed to in writing.

Penalty Clauses: EAF will not accept any liability for penalty clauses of any kind, written or implied, unless specifi cally approved in writing by EAF.
