Pertumbuhan pada tahun 2014 telah dicapai dengan melakukan investasi yang

tepat, diversikasi pelanggan dan upaya tim untuk bekerja secara esien secara

berkesinambungan. Peningkatan di setiap departemen yang didorong oleh motto “ingin

menjadi lebih baik” telah membuat kami menyadari bahwa selalu ada tingkat berikutnya

yang dapat dicapai. Tentu saja, pujian tertinggi dan rasa syukur kami panjatkan kepada

Tuhan Yang Maha Esa yang telah melimpahkan Berkat dan Rakhmat-Nya di tahun 2014

yang memungkinkan kami untuk menyeberang ke dunia yang baru.

Tahun 2015 ini akan menjadi tahun yang penuh dengan tantangan, dimana penurunan

harga minyak saat ini akan membuat dinamika pasar yang baru. Ini adalah waktu di mana

kami akan mendorong dinamika internal untuk bekerja secara maksimal dan sekali lagi

mengatasi kekuatan eksternal pasar.

Saya pribadi percaya dengan sepenuh hati bahwa dengan semangat dalam hati kami,

bersatu padu, kami akan berlayar lebih jauh dari sebelumnya di tahun 2015.

Kami berdoa dan percaya bahwa Roh Kudus yang sama yang telah memandu kehidupan

Please allow me to convey my sincere gratitude to fellow Directors, Managers and others

for working hand in hand tirelessly, making the impossible possible, and for putting the

value of friendship beyond the work relationship.

My highest appreciation to our Shareholders and Board of Commissioners for trusting in

our dream and destiny. We will treasure this credence with good corporate governance

in all our dealings. Your continuous support will create pathway to stronger and better Logindo in the coming years.

Growth in 2014 has been achieved by making the right investment, diversication of

client portfolio and continuous team effort in working efciently. Improvement in every

department driven by the motto “eager to be better” has made us realized that there is

always a next level that can be achieved. Of course, the highest praise and honor goes to

God Almighty for His Favor and bountiful Grace in 2014 that enables us to cross over to

new frontier.

This 2015 will be an exciting year lled with challenges, the current drop in oil prices

will create a new market dynamic. This is the time where we will be working our internal

dynamic to the max and once again overcome the external market forces .

I personally believe with all my heart that with passion in our heart, united in destiny and

all hand on the deck, we will sail further than we have sailed before in 2015.

Armada kami terdiri dari berbagai jenis kapal yang rata-rata berusia muda dan dilengkapi perangkat dan peralatan

kelautan mutakhir. Kami pun mengoperasikan fasilitas

pemeliharaan dan perbaikan kapal milik sendiri, sehinggamampu menangani kebutuhan perawatan dan perbaikan

kapal dengan cepat.

Our fleet consists of various types of predominantly young

vessels with modern marine equipment. We also operate our

own repair and maintenance yard (workshop) to enable quick

response to vessel maintenance and repair needs.

LAPORAN DEWAN KOMISARISReport of the Board of Commissioners

Sukses Perusahaan Terbuka

Tahun 2014 merupakan tahun pertama Perseroansebagai perusahaan terbuka. Dengan modal yang lebihkuat, kami dapat mengatasi tantangan dan mengambilpeluang usaha yang ada. Kami melangkah maju,memimpin industri jasa pendukung kegiatan lepaspantai Indonesia, dengan penuh integritas.

Aset Perseroan meningkat, bukan hanya dari segi

jumlah melainkan juga dalam segi kualitas, denganbertambahnya aset produktif yang memiliki tingkatprofitabilitas lebih tinggi, yaitu kapal AHTS 8.000 bhpLogindo Sturdy dan Logindo Stamina.

Posisi keuangan semakin kuat, dengan Gearing Ratiomenurun dari 1,05% pada tahun 2013 menjadi 0,96%pada tahun 2014, sehingga membuka kesempatanbagi Perseroan untuk memperoleh pendanaan daribank dan pasar modal di masa yang akan datang.

Sementara itu, walaupun Margin Laba Bruto menurundari 51,04% pada tahun 2013 menjadi 47,06% padatahun 2014, Perseroran berhasil meningkatkan Margin

Laba Bersih dari 27,89% menjadi 28,95% pada kurunwaktu yang sama.

Kinerja Direksi

Dewan Komisaris berpendapat, Direksi telahmenjalankan tugas dengan baik dalam mengelolaPerseroan pada tahun 2014. Direksi menerapkankebijakan investasi Perseroan, yakni melakukanpembelian kapal hanya setelah mendapat kontrak kerjayang baru.

Dewan Komisaris menghargai sikap Direksi yangberhati-hati (prudent) dalam berinvestasi.

Dewan Komisaris juga menghargai kemampuan Direksidalam memimpin operasi dan pemasaran Perseroan,terutama dalam hal mengelola kapal berdaya besardengan baik dalam dua tahun terakhir, serta dalam halmemperoleh kontrak kerja baru sesuai target tahun2014.

Dewan Komisaris juga mencatat perkembanganyang baik dalam peningkatan kualitas sumber dayamanusia secara berkelanjutan, penerapan tata kelolaperusahaan yang baik (GCG), serta kemampuan untukmenjaga armada dalam kondisi yang baik.

Success of a Public Company

The Company passed its first year as a public companyin 2014. With stronger capital base, we overcamechallenges and seized ample business opportunities.We took a step forward to lead the Indonesian offshoreservice industry with integrity.

The Company’s assets grew, not only in terms of size but

also in terms of quality, with the addition of productiveassets with higher profitability rates, namely the 8,000bhp AHTS Logindo Sturdy and Logindo Stamina vessels.

The financial position improved, with a decrease in theGearing Ratio from 1.05% in 2013 to 0.96% in 2014. Thisimprovement opened opportunities for the Companyto draw on capital market and bank funding in the nearfuture.

In the meantime, while the Gross Profit Margindecreased from 51.04% in 2013 to 47.06% in 2014, theCompany was able to increase Net Profit Margin from

27.89% to 28.95% for the same period.

Performance of the Board of Directors

The Board of Commissioners opines that the Boardof Directors has successfully carried out its duty ofmanaging the Company in 2014. The Board of Directorsimplemented the Company’s investment policy andacquired vessels only after obtaining new contracts.

The Board of Commissioners values the Board ofDirector's prudent investment practices.

The Board of Commissioners also acknowledges theBoard of Directors’ ability of leading the Company’soperations and marketing, particularly in terms ofmanaging big horsepower vessels in the last two years,and in terms of obtaining new work contracts as per2014 target.

The Board of Commissioners also notes gooddevelopment in human resources continous qualityimprovement, implementation of good corporategovernance (GCG), and the ability to maintain the goodcondition of the fleet.



Menjaga Arah Perkembangan

Keberhasilan perusahaan penyedia jasa pendukungkegiatan lepas pantai ditentukan oleh kemampuanmenjaga pertumbuhan yang berkelanjutan. Perseroan

melakukannya pada tahun 2014 dengan fokusmendapatkan pelanggan bereputasi internasional dankontrak kerja jangka panjang.

Dewan Komisaris berpendapat, prospek usahaPerseroan yang disusun Direksi telah dirumuskansesuai dengan fokus tersebut di atas. Karena itu, DewanKomisaris akan menjaga perkembangan Perseroanpada arah pertumbuhan yang berkelanjutan padatahun 2015.

Penghargaan dan Apresiasi

Atas nama Dewan Komisaris, saya ingin menyampaikanpenghargaan terhadap Direksi, manajemen, dan seluruhkaryawan atas dedikasi dan kontribusinya terhadapkinerja Perseroan. Saya juga ingin mengucapkan terimakasih kepada para Pemegang Saham dan Mitra Usahaatas kepercayaan mereka terhadap Perseroan. Semogadukungan yang telah diberikan berlanjut ke tahapperkembangan baru yang berkelanjutan, sehinggaPerseroan dapat menjadi perusahaan jasa maritimterpadu Indonesia yang terdepan dan bermanfaat bagiindustri dan bangsa.

Staying On Course

The success of an offshore service company dependson its ability to maintain growth at a sustainable level.In 2014, the Company managed to do so with the focus

of obtaining internationally reputed customers andlong-term work contracts.

The Board of Commissioners opines that the Company’sbusiness prospects were formulated by the Boardof Directors with this focus in mind. Therefore, theBoard of Commissioners will maintain the Company’sdevelopment on the course of sustainable growth in2015.

In 2014, the Company’s Total Assets increased by 11.17%to reach US$262.08 million; Total Liabilities increased by

6.42% to reach US$131.73 million; and Equity increasedby 16% to reach US$130.53 million.

The Company’s revenue increased by 16.94% to reachUS$69.01 million; Net Profit increased by 21.41% toreach US$19.98 million; and EBITDA increased by25.29% to reach US$41.40 million.

Strategic Policy

In 2014, the Board of Directors directed the Managementto strengthen the foundation of sustainable growth bydetermining the following business strategy:

Kinerja Usaha

Pencapaian Perseroan merupakan keberhasilanstrateginya dalam pembelian dan pengoperasian 5(lima) kapal berdaya besar yang telah memberikan

kontribusi 40% dari total pendapatan tahun 2014.Selain itu, Perseroan juga berhasil mendapatkanbeberapa pelanggan baru sebagai upaya diversifikasidan perluasan basis pelanggan.

Walaupun dari rencana pembelian 4 (empat) unitkapal hanya terealisasi 2 (dua) unit kapal, Perseroanmasih membukukan peningkatan Laba Bersih daritahun sebelumnya sebesar 21,41%.

Tata Kelola Perusahaan

Perseroan memegang teguh komitmen menerapkan

tata kelola perusahaan yang baik (GCG) secarasungguh-sungguh dan menyeluruh. Direksi telahmenyiapkan berbagai program penerapan GCGtersebut dan akan secara langsung mengawasikegiatan-kegiatan terkait.

Pada tahun 2014, Perseroan memanfaatkan jasakonsultan GCG untuk mempertajam Pedoman UmumGCG yang ada dan mengembangkannya menjadi BoardManual , Pedoman Etika Perusahaan, dan PedomanGCG. Selain menandatangani pernyataan kepatuhanterhadap Pedoman Etika Perusahaan, semua karyawanPerseroan diharapkan benar-benar menghayati pedomantersebut dan menjalankannya dalam kegiatan sehari-hari

mereka.

Direksi berkeyakinan bahwa penerapan GCG secarasistematis ini akan meningkatkan kualitas tata kelolaperusahaan dan, pada gilirannya, turut mendorongPerseroan untuk tumbuh secara berkelanjutan dalam

jangka panjang.

Prospek Usaha 2015

Direksi berkeyakinan, dinamika lingkungan eksternal justru harus memacu Perseroan untuk terusmeningkatkan kinerjanya dan mencari peluang usahapada tahun 2015 yang diperkirakan akan penuh

dengan tantangan.

Kami tahu, Pemerintah Republik Indonesia kiniberupaya mendorong pembangunan sektor kelautan.Akan tetapi, kami pun menyadari visi kelautanpemerintah ini perlu waktu untuk diterjemahkanmenjadi program pembangunan yang secaralangsung berdampak positif terhadap industri jasapendukung kegiatan lepas pantai.

Pada tahun 2015, Perseroan akan melanjutkanprogram efisiensi, pengembangan dan pemeliharaanarmada kapal, serta pengembangan sumber dayamanusia untuk semakin meningkatkan kemampuanPerseroan guna memenuhi janji kepada paraPemangku Kepentingan, yaitu melayani denganintegritas.

Business Performance

The Company’s achievement is the result of its strategyto purchase and operate 5 (five) bigger horsepowervessels that have contributed 40% of the total revenue

in 2014. The Company also managed to diversify andexpand the customer base by obtaining several newcustomers.

Although only 2 (two) out of the 4 (four) planned unitsvessels were procured, the Company still posted a NetProfit increase from the previous year by 21.41%.

Corporate Governance

The Company upholds the commitment of

implementing good corporate governance (GCG) in athorough and comprehensive manner. The Board ofDirectors has prepared several GCG implementationprograms and will directly supervise related activities.

In 2014, the Company used the services of a GCGconsultant to formulate the Board Manual, the Codeof Conduct, and the GCG Guidelines. In additionto signing a compliance statement towards theCompany’s Code of Conduct, all employees of theCompany are expected to truly understand andimplement the code in their daily activities.

The Board of Directors believes that the systematicimplementation of GCG will enhance the quality ofthe corporate governance and, in turn, will drive theCompany to grow sustainably in the long term.

2015 Business Prospect

The Board of Directors believes that dynamics of theexternal environment should impel the Company tostrengthen its performance and seek further businessopportunities in 2015, which is expected to bring

forward plenty of challenges.

We are aware that the Government of Indonesiais now striving to accelerate development of themaritime sector. Nevertheless, we are also aware thatthe Government’s maritime vision will take some timeto be translated into development programmes thatdirectly impact the offshore industry in a positive way.

In 2015, the Company will continue its programmesof efficiency, fleet maintenance and development,and human resource development to further improvethe Company’s ability to fulfill its promise to theStakeholders, to serve with integrity.

Perseroan didirikan oleh Eddy Kurniawan Logamdan Rudy Kurniawan Logam pada tahun 1995 dandua tahun kemudian berhasil memperoleh kontrakkerja pertama dari Total E&P Indonesie. Dalam sepuluhtahun pertamanya, Perseroan telah mengembangkanarmadanya menjadi 30 kapal pendukung kegiatanlepas pantai.

Perseroan berada pada posisi yang strategis ditahun 2005 ketika Pemerintah Republik Indonesiamenerapkan azas cabotage. Perseroan memutuskan

untuk berekspansi lebih jauh, dan membeli berbagai jenis kapal, termasuk crew boat, diving support vessel,dan anchor handling tug. Lima tahun setelah penerapanazas cabotage, Perseroan telah memiliki 41 kapal.

Menyadari bahwa untuk mendukung pertumbuhanusaha lebih lanjut dibutuhkan permodalan yang lebihkuat, maka pada tahun 2011 Perseroan membuatkeputusan strategis ketika membangun kemitraandengan Alstonia Offshore Pte. Ltd., anak perusahaanPacific Radiance Pte. Ltd. (Singapura). Perseroan punmulai membeli kapal-kapal berdaya besar dan canggih,guna mendukung kegiatan operasional di laut dalam.

Kemudian pada akhir tahun 2013, untuk memperkuatstruktur permodalan lebih lanjut, Perseroan melakukanpencatatan dan penawaran umum perdana sahamPerseroan di Bursa Efek Indonesia. Era baru sebagaiperusahaan terbuka pun dimulai.

Pada akhir tahun 2014, Perseroan berhasil menjalanitahun pertamanya sebagai perusahaan terbuka,memperoleh kontrak dan kapal baru, dan terusmeningkatkan nilai bagi pemegang saham denganmeraih hasil usaha yang baik. Pada akhir tahun 2014,Perseroan telah memiliki dan mengoperasikan 60 unitkapal pendukung kegiatan lepas pantai.

The Company was established by Eddy KurniawanLogam and Rudy Kurniawan Logam in 1995 andtwo years later obtained its first contract from TotalE&P Indonesie. In its first ten years, the Company hasdeveloped its fleet to become 30 offshore supportvessels.

The Company was in a strategic position in 2005when the Government of Indonesia implementedthe cabotage principle. The Company made the

commitment to expand further by acquiring severaltypes of vessels, including crew boats, diving supportvessels, and anchor handling tugs. Five years after thecabotage principle implementation, the Companyalready owned 41 vessels.

Realising that stronger capital was needed to sustainfurther business development, in 2011 the Companymade the strategic decision to form a partnershipwith Alstonia Offshore Pte. Ltd., a subsidiary of PacificRadiance Pte. Ltd. (Singapore). The Company thenstarted to acquire mid to high-tier vessels to supportdeep sea operational activities.

Furthermore, at the end of 2013, to further strengthenits capital structure, the Company conducted the initialpublic offering and listing of the Company’s shares atthe Indonesian Stock Exchange. The new era as a publiccompany thus commenced.

At the end of 2014, the Company passed its first year asa public company, obtaining new contracts and vessels,while continuously enhancing shareholder value byreaching good business results. At the end of 2014, theCompany owned and operated 60 offshore supportvessels.

Bagi Perseroan, sumber daya manusia adalah asetutama dan strategis. Pada tahun 2014, Perseroanmemiliki 927 karyawan tetap, yang terdiri dari 233karyawan darat dan 694 awak kapal.

Perseroan menjaga hubungan industrial denganpara karyawan sesuai peraturan perundang-undangan yang berlaku. Para karyawan memilikikesempatan berkembang yang adil dan berdasarkankinerja, serta memperoleh kompensasi, fasilitas,serta program kesejahteraan sesuai ketentuan danperaturan Kementerian Ketenagakerjaan Republik

Indonesia. Para karyawan bebas membentuk serikatpekerja, namun hingga akhir tahun 2014 belummemanfaatkan kesempatan tersebut.

Program kesejahteraan karyawan Perseroanmencakup:

• Program Jaminan Sosial Tenaga Kerja (yangdikelola oleh BPJS Ketenagakerjaan) untukkaryawan dan awak kapal, yang meliputi JaminanKecelakaan Kerja (JKK), Jaminan Kematian (JK),dan Program Jaminan Hari Tua (JHT);

• Program Asuransi Kesehatan untuk karyawan;serta

• Program Jaminan Kesehatan yang dikelola olehBPJS Kesehatan untuk awak kapal.

Perseroan mengembangkan kompetensi karyawandan awak kapal secara berkala dan berkesinambungan,sesuai perkembangan dan kebutuhan operasionalPerseroan.

Pada tahun 2014, Perseroan mengadakan berbagaiprogram pendidikan dan pelatihan baik untukkaryawan darat maupun untuk karyawan laut.Perseroan menekankan pentingnya kesinambunganpengembangan sumber daya manusia sebagai aset

utama dan strategis. Total biaya yang dikeluarkanuntuk biaya pendidikan dan pelatihan pada tahun2014 adalah AS$116.789, sementara pada tahun 2013

jumlahnya AS$76.948.

expenditures for education and training in 2014 wereAS$116,789 increasing from the AS$76,948 in 2013.

For the Company, human resources are its main andstrategic asset. In 2014, the Company employed 927permanent employees, comprising 233 employeesand 694 sea crews.

The Company upholds industrial relationships withits employees according to prevailing rules andregulations. Employees have equal opportunities todevelop based on merit, and obtain compensation,facilities, and welfare programs that comply to therules and regulations of the Ministry of Manpower ofthe Republic of Indonesia. The employees have the

right to form worker unions, but have not executedthat right until the end of 2014.

The welfare programs of the Company’s employeesinclude:

• the Manpower Social Benefit Programme(which is managed by BPJS Ketenagakerjaan) foremployees and sea crews, which comprises theWork Accident Benefit (JKK), the Life Benefit (JK),and the Pension Benefit Programme (JHT);

• the Health Insurance Programme for employees;and

• the Health Programme that is managed by BPJSKesehatan for sea crews.

Perseroan memiliki 60 kapal pendukung kegiatanlepas pantai, berbendera Indonesia dan berusia rata-rata 9 tahun, yang menjadi aset produktif utama disamping sumber daya manusia. Kapal-kapal denganusia rata-rata yang muda dan dalam kondisi yangterawat baik merupakan salah satu keunggulankompetitif Perseroan.

Di samping instrumen navigasi dan komunikasiberstandar internasional, setiap kapal diperlengkapi

juga dengan instrumen pemantauan bahan bakarguna memantau efisiensi pengoperasian kapal

sekaligus untuk mencegah penyalahgunaan bahanbakarnya.

Guna memastikan kapal selalu dalam kondisi baikdan siap beroperasi, Perseroan mengelola bengkelperawatan dan pemeliharaan milik sendiri diKalimantan Timur. Fasilitas ini juga menjadi pusatpelatihan awak kapal Perseroan dan gudang sukucadang kapal Perseroan. Inspeksi kapal dilakukansecara rutin, setidaknya satu bulan sekali, danPerseroan pun melakukan survei kepuasan pelanggantahunan untuk memperoleh masukan tentang kondisikapal dan juga tentang tingkat pelayanan awak kapal.

The Company owns 60 offshore support vessels underthe Indonesian flag with an average age of 9 years.

These are the main productive assets of the Companythat are complimented by its human resources. Therelative young age of the vessels and their goodcondition is one of the Company’s competitiveadvantages.

In addition to international standard navigationand communication tools, all vessels are equippedwith measuring instruments to monitor theefficient operation of the ships and to prevent fuel

embezzlement.

To ensure that the vessels are always in good andready-to-operate condition, the Company manages itsown maintenance yard/workshop in East Kalimantan.

This facility also hosts the crew training centre of theCompany and the vessel spareparts warehouse of theCompany. Vessel inspections is conducted routinely,at least one time per month, and the Company alsoconducts annual customer satisfaction surveys togain feedback on the vessels’ conditions and thecrew’s level of service.

standard of the ISP Code.

Validity period: ISPS Code certificates are given to individual units of vessels, but

all of the Company’s vessels are equipped with this certificate.

Certification and Awards

Every vessel of the Company has a certificate that ensuresits operational readiness. Vessels of the Company witha deadweight of 500 tons or more are equipped withMaritime Safety Management certificates and EnvironmentManagement certificates.

Every crew member of the Company has a seafarer certificatethat suits his management and educational level.
