TENDER NOTICE FOR PROVIDING MANPOWER SERVICES TO BMSICL Sealed tenders are invited under Two Bid System i.e. Technical Bid and Financial Bid from reputed, experienced and financially sound Manpower Companies/Firms/Agencies for providing different types of manpower through rate contract to Bihar Medical Services & Infrastructure Corporation Ltd. (BMSICL). Such requirement may vary from time to time at the discretion of BMSICL. Complete Tender Documents can be downloaded from the website www.bmsicl.gov.in The interested Companies/Firms/Agencies can send their tender documents complete in all respects along with EMD of Rs.75,000/-, tender fees of Rs. 5000/- and other requisite documents on or before 7th April 2017 by 3.00 PM by Speed Post/Registered Post/Courier only. BMSICL reserves the right to amend or withdraw any of the terms and conditions contained in the Tender Document or to reject any or all tenders or annul the tender process at any stage without giving any notice or assigning any reason.

A. Scope of Work and Other Requirements 1. BMSICL requires reputed, financially sound Manpower Companies /Firms / Agencies with

experience in Govt/PSUs, to provide services of different types of technical, highly skilled, skilled, semi-skilled and unskilled manpower at its Head Office in Patna and three warehouses located at Muzaffarpur, Fatuha and Purnea in Bihar. The Manpower Agency should have valid licence from Home Department (Special Branch), Bihar, Patna under PSRA Act 2005 (Bihar Private Security Rule 2011) and should be registered with EPFO, ESIC or any other Govt. office relevant for providing manpower, security & other services.

2. The agency will have to submit Labour Licence issued by the Labour Department, Govt. of Bihar within 15 days from issue date of Work Order to the agency failing which agency will be debarred from the tender and EMD will be forfeited.

3. The rate contract will be initially for a period of one year from the date of signing of agreement, for supply of manpower. The period of contract may be extended for further specific period mutually agreed upon, based on performance of the service provider and requirement of BMSICL, at the sole discretion of BMSICL.

4. The deployment/utilization of services may be curtailed /terminated at any time before the normal tenure owing to cessation of requirement, deficiency in service or substandard quality of manpower deployed by the service provider.

5. All the remuneration of the manpower deployed at BMSICL will be paid on monthly basis (by Cheque/electronic transfer in time) by the Company/Firm/Agency and proof of such disbursement will be submitted to BMSICL every month. The Agency will ensure the transfer of the remuneration to the deployed employees in their respective existing bank accounts or wherever required the said agency will get new bank accounts opened for the manpower deployed at BMSICL. The payment of remuneration in cash will not be allowed.

6. Requirement of Different categories of Manpower:

a) Persons/Staff deployed should be between the age of 18 to 55 years. b) Persons/Staff antecedents should be verified by the agency from the local police

authorities. A certificate to this effect in respect of each such deployed staff has to be submitted to BMSICL.

c) For Persons/Staff who have worked earlier in any Organization, Certificate with regard to their respective past performance should also be provided after getting the same from the past employer.

d) Categories of manpower, minimum qualifications required in each case and other additional qualification needed, and wages to be paid to each category of staff is given in the table below:

I. The PF deduction @ 12% of basic component is to be made from the remuneration of the employees, while PF contribution @ 13.36% of basic is to be made by BMSICL. The basic component of the remuneration is to be calculated based on the minimum wages (considering 26 days of the month) for each category of manpower as specified time to time by the notification of Labour Department, Govt. of Bihar.

II. The ESI deduction @ 1.75% of the gross remuneration is to be made from employee, while ESI Contribution @ 4.75% of gross remuneration is to be made by BMSICL.

III. The PF & ESI contribution of BMSICL will be paid to the service provider who would in turn deposit the same and provide proof of deposit to BMSICL every month.

IV. The remuneration to be paid to the deployed employees by the service provider, as given above, is the gross amount to be paid by BMSICL. The service provider shall make the necessary statutory deductions from this amount as per rules prevalent.

V. The wage/ remuneration amount payable shall follow all government regulations, like minimum wages rules etc. Accordingly, it can be enhanced/modified from time to time, and the service provider would bring such requirement of revision to the notice of BMSICL.

VI. BMSICL may revise the wages/ remuneration to be paid to workers who have been found to be better performing, or have previous work experience.

VII. The no. of manpower under the various categories mentioned above may vary throughout the agreement period and will be based on the sole discretion and requirement of BMSICL. Further BMSICL may chose to take or not to take manpower of any category or may not even take a single manpower of any specific category based on its requirement.

VIII. Service Charge would be paid to agency on the gross remuneration/wage. Service Tax over the Service Charge would be paid to the agency as per the existent rates.

IX. The ESI & PF contribution of BMSICL would be paid as a separate component to the agency who would deposit and provide proof of the same every month.

X. The attendance record of all personnel deployed by the agency will be maintained by the coordinator of the agency and signed and stamped copy of the same will be submitted with the monthly bill.

e) The successful bidder shall be paid a commission/service charge at the percentage rate (of the wages/remuneration as given above) quoted by the successful bidder as his fee for providing manpower services to BMSICL. No other payment shall be made to the bidder, except service tax, or any other statutory charges. Service tax would be paid over the gross billing but excluding the PF & ESI contribution of BMSICL.

1. The contracting Company/Firm/Agency shall not be allowed to transfer, assign, pledge or sub-contract its rights and liabilities under this contract to any other agency without the prior written consent of BMSICL. 2. The requirement of manpower at BMSICL may increase or decrease during the period of the contract and the agency would have to provide additional manpower or reduce manpower whenever required on the same terms and conditions. 3. The agency will be bound by the details furnished by him/her to BMSICL, while submitting the tender. In case, any of such documents furnished by him/her is found to be false at any stage, it would be deemed to be a breach of terms of Contract making him/her liable for legal action besides termination of contract. 4. The contract can be terminated by BMSICL on valid ground anytime during the contract period after giving one month’s notice. Liability, Control etc of the persons deployed. 5. The contracting agency shall ensure that the manpower deployed at BMSICL conform to the technical specifications of age, educational and skill qualifications prescribed in para 5 under the “Scope of Work & other requirements” of the Tender Document. 6. The manpower would be required to work during normal working hours at BMSICL. BMSICL observes the Gazetted holidays notified by the Government of India/State Govt. from time to time. The manpower however, may be required to work beyond normal hours and on holidays in emergencies.

7. The contracting Company/Firm/Agency shall furnish the following documents in respect of the individuals who will be deployed by it at BMSICL before the commencement of work. a. List of persons deployed: b. Bio-data of the persons. c. Attested copy of date of birth certificate; d. Character certificate from a gazetted officer of the Central/State Government; e. Certificate of verification of antecedents of persons by local police authority.

f. Persons/Staffs who have worked earlier in any organization. Certificate with regard to their respective past performance should also be provided after getting the same from the past employer.

g. Identity Cards bearing photograph.

8. In case the persons employed by the Company/Firm/Agency commit any act of omission/Commission that amounts to misconduct /indiscipline/incompetence, the successful Company/Firm/Agency will be liable to take appropriate disciplinary action against such persons.

9. The Company/Firm/Agency shall replace immediately any of its personnel who is found unacceptable to BMSICL because of security risks, incompetence, conflict of interest, improper conduct etc upon receiving notice from BMSICL.

10. The person deployed shall be required to report for work at 9.30 AM and would not leave before 6.00 PM. In case, person deployed is absent on a particular day or comes late/leaves early on three occasions, one-day wage shall be deducted. 11. The agency shall depute a coordinator at BMSICL who would be responsible for immediate interaction with BMSICL so that optimal services of the persons deployed by the agency can be availed without any disruption. The cost of the coordinator is to be solely borne by the agency. The Coordinator would be responsible for maintaining the attendance record of the personnel deployed and would submit the same along with the monthly bill. 12. The selected agency shall immediately provide a substitute in the event of any person leaving the job due to any reason. The delay by the agency in providing a substitution beyond three working days shall attract a pre-estimated agreed liquidated damages @ Rs.200/- per day per person on the service-providing agency. 13. It will be the responsibility of the service providing agency to meet transportation, food, medical and any other requirements in respect of the persons deployed by it (Agency) and BMSICL will have no liability in this regard. 14. For all intents and purpose the service providing agency shall be the “Employer” within the meaning of different Labour Legislations in respect of the manpower deployed at BMSICL. The persons deployed by the agency at BMSICL shall not have any claims of Master and Servant relationship nor have any principal and agent relationship with or against BMSICL. They shall in no case be entitled for claiming regularization/employment at BMSICL on the basis of having rendered services through the contractor. Whatever agreement the agency executes with the manpower would have no bearing whatsoever on BMSICL. 15. The Service-providing agency shall be solely responsible for the redressal of grievances/resolution of disputes relating to person deployed. BMSICL shall, in no way be responsible for settlement of such issues whatsoever. 16. BMSICL shall not be responsible for any damages, losses, claims, financial or other injury to any person deployed by service providing agency in the course of their performing the functions/duties, or for payment towards any compensation. 17. The persons deployed by the service providing agency shall not claim nor shall be entitled to pay, perks and other facilities admissible to casual, ad-hoc, regular/confirmed employees of BMSICL during the currency or after expiry of the contract. 18. In case of termination of the contract on its expiry or otherwise, the persons deployed by the service providing agency shall not be entitled to and will have no claim or any absorption nor for any relaxation for absorption in the regular/otherwise capacity at BMSICL. Legal 19. The tendering agency will be responsible for compliance of all statutory provisions relating to minimum wages, Provident Fund and Employees State Insurance etc. in respect of the persons deployed by it at BMSICL. Apart from the above, the service provider shall also ensure strict and timely compliance of any other statutory requirements.

20. The tendering agency shall also be liable for depositing all taxes, levies, cess etc. on account of service rendered by it to BMSICL to the concerned tax collection authorities from time to time as per existing rules and regulations and shall provide proof of deposit to BMSICL. 21. The tendering agency shall maintain all statutory registers under the applicable law. The agency shall produce the same, on demand, to the concerned authority of BMSICL or any other authority under law. 22. The Tax at Source (TDS) shall be deducted as per the provisions of the Income Tax Department, as amended from time to time and a certificate to this effect shall be provided to BMSICL. 24. In case, the tendering agency fails to comply with any statutory/taxation liability under appropriate law, and as a result thereof BMSICL is put to any loss/obligation, monitory or otherwise, BMSICL will be entitled to get itself reimbursed out of the outstanding bills or the Performance Security Deposit of the agency, to the extent of the loss or obligation in monitory terms.

25. Apart from above, the tendering agency shall also ensure strict compliance of provisions of the Provident Fund and Employees State Insurance legislation and other applicable statutes, which are applicable to the service provider and ensure that contributions /deductions made in the terms of said act are deposited with authorities concerned in timely manner and shall submit the report to BMSICL regarding that. Financial 26. The EMD in respect of the agencies which do not qualify the Technical Bid (First Stage)/Financial Bid (Second Stage) shall be returned to them without any interest. However, the EMD in respect of the successful bidder shall be returned post receipt of the Performance Security Deposit. Further, if agency fails to deploy required number of manpower against the initial requirement or does not submit Labour Licence issued by the Labour Department, Govt. of Bihar within 15 days from issue date of Work Order or withdraws from the offer or fails to execute the agreement, the EMD shall stand forfeited without giving any further notice. 27. In case of breach of any terms and conditions attached to this contract, the Performance Security Deposit of the agency will be liable to be forfeited by BMSICL besides annulment of the contract. 28. The agency shall raise the bill, in triplicate, post release of payment to the manpower on the basis of the attendance sheet sent by agency to BMSICL, in respect of the persons deployed and submit the same to BMSICL in the first week of the succeeding month. The agency is to ensure that payment to the manpower is released before the end of the first week of the month and the agency has to submit proof of the funds transferred to the bank accounts of the manpower along with the bill to BMSICL, Bills raised without submission of proof of payment made to the manpower would not be accepted. 29. The claims in bills regarding Employees State Insurance, Provident Fund and Service Tax etc. should be necessarily accompanied with the documentary proof pertaining to the concerned monthly bill. A requisite portion of the bill/whole of the bill amount shall be withheld till such proof is furnished, at the discretion of BMSICL. 30. The amount of pre-estimated agreed liquidated damages calculated @ Rs.200/- per day per person on account of delay, if any, in providing a suitable substitute for the period beyond three working days by the agency shall be deducted from the monthly bills of the service providing Company/Firm/Agency in the following month.

31. BMSICL reserves the right to withdraw/relax any of the terms and conditions mentioned above so as to overcome the problem encountered by the contracting parties.

32. Notwithstanding anything contained in this tender document, BMSICL reserves the right to accept or reject any bid and to annul the tender process and reject all bids, at any time without any liability or any obligation for such acceptance, rejection or annulment, and without assigning any reasons thereof.

C. DISPUTE, JURISDICTION & GOVERNING LAWS

1. In the event of any dispute or difference arising between the parties hereto or as to the rights

and obligations under this tender/agreement or as to any claim, monetary or otherwise of one

party against the other or as to the interpretation and effect of any terms and conditions of this

tender/agreement, such dispute or difference shall be referred to Arbitration to the Managing

Director of Bihar Medical Services Infrastructure Corporation Ltd. (BMSICL) who shall be the sole

Arbitrator and the said Arbitrator shall be governed by the Indian Arbitration and Conciliation Act,

1996 for the time being in force and whose decision on the issue shall be final and binding on both

the parties.

2. The venue of such arbitration shall be at Patna or as fixed by the Arbitrator i.e. the Managing

Director of the BMSICL.

3. The Court competent for the purpose of this tender/agreement or for the purpose of legal

proceedings relating to the arbitration hereunder shall be the competent court at Patna.

4. This tender/agreement shall be governed and construed in accordance with the laws of India

and shall be subject to all applicable rules, laws, regulations as may be in force from time to time.

The parties agree to submit to the exclusive jurisdiction of Patna.

5. BMSICL reserves the right to amend any of the terms and conditions mentioned above in the

tender/agreement based on requirement.

D. General Instruction to Bidders

1) The tenders have been invited under two bid system i.e. Technical Bid and Financial Bid. The

interested agencies are required to submit two separate sealed envelopes superscribing

“Technical Bids for providing Manpower Services” and “Financial Bids for providing Manpower

Services”. Both sealed envelopes should be kept in a third envelope superscribing “Tender for

providing Manpower Services”.

2) The interested Companies/Firms/Agencies may submit their bid complete in all respects along

with the earnest money deposit (EMD) for Rs.75,000/-, tender fees of Rs. 5,000/- and other

requisite documents in a sealed cover addressed to The Managing Director, Bihar Medical

Services & Infrastructure Corporation Ltd., 5th Floor, Biscomaun Bhawan, Gandhi Maidan,

Patna – 800001, vide Speed Post/Registered Post/Courier only. Hand delivery of documents

will not be accepted. BMSICL will not be responsible for any postal delay.

3) The Earnest Money Deposit (EMD) of Rs.75,000/- (Rupees Seventy Five Thousand only),

refundable to unsuccessful bidders without interest, in the form of Demand Draft/Pay Order

drawn in favour of the Managing Director, Bihar Medical Services & Infrastructure Corporation

Ltd,, payable at Patna should necessarily be kept in the sealed envelope containing Technical

Bid of the agency, failing which the tender shall be rejected summarily.

4) The non-refundable tender fees of Rs. 5,000/- (five thousand only) in the form of separate

Demand Draft/Pay Order drawn in favour of the Managing Director, Bihar Medical Services &

Infrastructure Corporation Ltd, payable at Patna should necessarily be kept in the sealed

envelope containing Technical Bid of the agency, failing which the tender shall be rejected

summarily.

5) The last date and time of the receipt of tenders is 3.00 PM on 7 th April 2017. The tenders will

be opened at 4.30 PM on the same day.

6) The technical bid would be opened and evaluated first. Financial bids of only those bidders who

qualify in technical bid would be opened for evaluation.

7) The successful bidder at the time of execution of contract, will have to deposit Performance

Security Deposit equivalent to 10% of the estimated annual contract value in the form of

DD/Bank Guarantee made in the name of The Managing Director, Bihar Medical Services &

Infrastructure Corporation Ltd.

8) All the forms ie form A, B and C of this tender document needs to be filled in and submitted. All

entries in the tender form should be typed clearly. If the space for furnishing information is

insufficient, a separate sheet duly signed by the authorized signatory may be attached. No

overwriting or cutting is permitted in the financial Bid Form. In such cases, the tender shall be

summarily rejected. Bids without supporting documents, EMD, tender fees etc. will be

summarily rejected.

9) BMSICL reserves the right to annul/cancel any or all bids without assigning any reason.

10) Notwithstanding anything contained in this tender document, BMSICL reserves the right to

accept or reject any bid and to annul the tender process and reject all bids, at any time without

any liability or any obligation for such acceptance, rejection or annulment, and without

assigning any reasons thereof.

11) All the documents listed/required for technical assessment and qualification (as listed in section

C) shall be submitted with technical bid. Both Form A & Form B along with the EMD & tender

fees are to be submitted under the technical bid.

12) Form C i.e. the filled in Financial Bid needs to be submitted in a separate envelope as

described in section F of this tender below.

13) Bidders are advised to read the tender document carefully before submitting the tender

form/bids. It will be presumed that the bidder have considered and accepted all the terms and

conditions of this tender. No enquiry, what so ever verbal or written shall be entertained in

respect of acceptance/rejection of the tender/bids and the decision of BMSICL in this regard will

be final. BIDS MUST BE UNCONDITIONAL.

14) All disputes would be under the region of Patna Jurisdiction.

E. Technical Qualifications and Requirements

1. The bidding Company/Firm/Agency should fulfil the following technical qualifications and furnish attested copies of documents evidencing compliance with these specifications:-

(a) The Registered Office or one of the Branch Offices of the Manpower Company/Firm/Agency should be located in Patna. Adequate Proof of address of Patna office is to be submitted.

(b) Valid license from Home Department (Special Branch), Bihar, Patna under PSRA Act 2005 (Bihar Private Security Rule 2011)

(c) The clear copy of registration certificate/ certificate of incorporation of the Company/Firm/Agency needs to be submitted.

(d) Copy of ESI registration certificate, EPF registration certificate to be submitted.

(e) The Company/Firm/Agency should have minimum three years’ (last three financial years) relevant experience in providing different level of manpower (as specified in clause 6 (d) of this tender document) to Government Department/ Public Sector Companies. Proof of last three financial years experience in the form of experience certificate and work-orders issued from Government Department/ Public Sector Companies with number of persons deployed by the agency each year in the last 3 years is to be submitted. Only experience certificate and work orders issued by Govt departments/PSUs would be considered. Proof of experience in any other form would not be considered. All experience certificates and Work orders should clearly show the duration for which manpower has been provided by the agency. All such experience certificates and work orders which do not specify the category wise no. of manpower supplied and which do not specify the duration would not be considered. Tenders without proof of experience (in form of experience certificates and work orders as specified above) for last three financial years would be rejected.

(f) The Company/Firm/Agency should have an annual turnover of not less than Rs. One Crore in each of the past three financial years (2013-14, 2014-15 and 2015-16) i.e. Rs. Three Crores in total in these three years combined. Audited financial statement (balance sheet and P&L account) from qualified CA for these 3 years is to be submitted. Only Auditor/C.A. Certificate of turnover will not be accepted.

(g) The Company/Firm/Agency should be registered with Service Tax Department (Attach

attested copy of service tax no. registration certificate) and Income Tax Department (attach attested copy of income tax return of any three of last four consecutive assessment years).

(h) PAN card/TAN in the name of the company/firm/agency to be submitted.

(i) The Company/Firm/Agency should not be blacklisted/debarred by any government department/private agency and there should be no pending criminal cases/vigilance cases against the firm. An original notarized affidavit (on stamp paper) of non-blacklisting/non-debarment dated after the publication of this tender should be submitted. The affidavit should contain a declaration to the effect of non-pendency of vigilance/CBI case against the agency

2. Self-attested copies of the documents indicating compliance with the above specifications/ requirements should be enclosed with the technical bid application Form A (as attached below with this tender document). The fields of Form A should be typed only with no overwriting and all the fields should be filled in. The technical bid application Form A along with the above mentioned documents, the EMD of Rs. 75,000/- and Tender fees of Rs. 5,000/-, as well as the Form B “Declaration” (attached below) should be kept in the sealed envelope super scribed “Technical bid for providing Manpower Services”. Bids without any of the above mentioned documents in the forms as specified above and without EMD & tender fees would be rejected. F. Financial Bids and Finalization of Tender 1. Financial bids of only those bidders who have qualified in technical bid shall be opened.

2. The date of opening of financial bid shall be intimated separately to the successful technical

bidders.

3. The Application for Financial Bid Form C as attached below with this tender document needs

to be filled in by the bidder and kept in the envelop super scribed as “Financial Bid for

providing Manpower Services”. The fields of financial bid Form C should be typewritten only

with no overwriting and it should be signed and stamped by the bidder.

4. The Bidders/service providers are required to quote their service charge in percentage terms

up to two decimal points of the total amount of manpower wage cost. Rates quoted in any

other form, unit would not be considered and the bid would be rejected outright.

5. The bidders quoting the lowest percentage of service charge shall be declared the lowest

bidder and would get the award of this contract.

APPLICATION-TECHNICAL BID

Providing Manpower Services to BMSICL
