    1.0 INTRODUCTION

    CONTRACTOR shall organise and carry out its work to achieve its READYFOR STARTUP (RFSU) of the PROJ ECT within the PROJ ECT SCHEDULE.

    This is dependent upon early and detailed planning and preparation of the

    PRECOMMISSIONING, COMMISSIONING and PERFORMANCE TESTINGactivities, including LICENSORs inputs and agreements, where required.

    To optimise the overall schedule, CONTRACTOR shall plan and organise forwork completion to be on a SYSTEMS completion basis, and the phasedcompletion date for each SYSTEM shall be incorporated into the constructioncompletion plans. CONTRACTOR shall also develop an integrated schedulefor the COMMISSIONING and UNIT PERFORMANCE TESTING phases upto INITIAL ACCEPTANCE. In the latter stages of construction the completion

    programme will change from an area to a SYSTEM basis. The phasedcompletion of SYSTEMS shall be in the order in which they are required byCONTRACTORs COMMISSIONING team. A UNIT is, or can be, made up ofSYSTEMS.

    When READY FOR STARTUP (RFSU) of all systems that comprise aProcess UNIT is attained, including utilities within the battery limit of thatUNIT then the Process UNIT is deemed RFSU. In the case of Utilities andOffsites, when all systems within those UNITs, up to the battery limits ofProcess UNITs and including interconnecting pipework to and betweenUNITs are RFSU then the complete Utilities UNIT is deemed RFSU.

    Detailed planning and preparation of all activities shall start inCONTRACTORs Home Office (see 2.0 below) immediately followingEFFECTIVE DATE of CONTRACT and shall follow through SITE work.CONTRACTOR shall obtain VIETROSSs timely inputs/approvals forPRECOMMISSIONING and COMMISSIONING procedures and manuals.CONTRACTOR shall request LICENSORs timely inputs forPRECOMMISSIONING and COMMISSIONING procedures and manuals.CONTRACTOR shall also issue to LICENSORs a schedule of whenLICENSORs attendance will be required for HAZOPs, Model Reviews, UNITcheckout prior to MECHANICAL COMPLETION, PRECOMMISSIONING,COMMISSIONING, UNIT PERFORMANCE TESTs, and for any other activityrequiring LICENSOR participation. This schedule shall be issued in a timely

    manner to enable the LICENSORs to develop mutually compatibleprogrammes. CONTRACTOR shall ensure VIETROSS receives a copy of allcorrespondence to and from LICENSORs.

    2.0 HOME OFFICE WORK

    2.1 Definition and Scope

    To ensure timely and fully effective input for the requiredPRECOMMISSIONING, COMMISSIONING, and UNIT PERFORMANCE

    TESTING aspects of the PROJ ECT, CONTRACTOR shall appoint within itsmanagement organisation, from EFFECTIVE DATE of CONTRACT, a

    Commissioning Manager who shall be responsible for all aspects ofCONTRACTORs Home Office PRECOMMISSIONING andCOMMISSIONING preparation work. The Commissioning Manager shallsubsequently relocate to SITE for the execution of PRECOMMISSIONING,COMMISSIONING, UNIT PERFORMANCE TESTING, and OVERALLPERFORMANCE TESTING phases up to INITIAL ACCEPTANCE of thePROJ ECT.

    The PROJ ECT SPECIFICATION includes procedures and documentationwhich CONTRACTOR shall prepare (see Section 2.3) in accordance with the

    CONTRACT schedule of activities. CONTRACTOR shall organiseLICENSOR input to these activities, as required, and in accordance with theschedule for their deliveries. The preparatory work shall be completed in theCONTRACTORs Home Office prior to mobilisation of CONTRACTORsCommissioning Manager to the SITE. CONTRACTOR shall immediatelyprepare a list of activities and a schedule for the delivery of this Home Officework which shall be subject to VIETROSSs approval. The work shall be doneby CONTRACTORs commissioning personnel who shall be qualified andexperienced for this work.

    A key early deliverable which CONTRACTOR shall prepare and issue is thePRECOMMISSIONING and COMMISSIONING Strategy Document. This

    will describe the execution plan for work at the SITE to minimise duration ofthe PRECOMMISSIONING and COMMISSIONING phases. It shall definesafe work practices, SITE organisation, responsibilities and interfaces ofparticipants in the team, the phased completion by SYSTEMS and the hand-over documentation to be prepared by CONTRACTOR and issued toVIETROSS, and the sequence in which UNITs shall be PRE-COMMISSIONED and COMMISSIONED.

    SYSTEMS, and subsystems, if applicable, must be able to be positivelyisolated from adjacent SYSTEMS to allow work to be safely pursued onadjacent SYSTEMS and/or subsystems. Al l SYSTEMS and/orsubsystems isolation points shall be marked up on the Piping &

    Instrumentation Diagrams (P&IDs) as early in the detailed engineeringstage as possible so that any requirements for additional isolation betweenSYSTEMS and/or subsystems can be included in the design.

    Any additional isolation that may be required for discrete systems that areidentified during detailed engineering shall be included in CONTRACTORsscope.

    The sequence and duration for PRECOMMISSIONING up to RFSU of eachSYSTEM, and for COMMISSIONING of each UNIT shall be estimated and aSYSTEM Completion Plan shall be prepared showing the

    PRECOMMISSIONING activity sequence. CONTRACTOR shall also preparea plan for the PRECOMMISSIONING, COMMISSIONING, UNITPERFORMANCE TESTs and the OVERALL PROJ ECT PERFORMANCE

    TEST up to INITIAL ACCEPTANCE.

    PRECOMMISSIONING, UNIT PERFORMANCE TESTS and OVERALLPERFORMANCE TEST procedures shall be prepared by CONTRACTOR forVIETROSSs approval for each UNIT and will detail the activities and safeworking practices to be used.

    2.2 SYSTEMS Definition

    A SYSTEM is a discrete, functionally identifiable section of the PROJ ECTwhich shall be PRECOMMISSIONED and made RFSU in isolation from anyadjoining SYSTEM(S). Process, utility and offsite SYSTEM(S) shall includeall piping, equipment, electrics and instrumentation and shall be identified onP&IDs. Non-process facilities within the PROJ ECT such as substations,structures and buildings, shall be similarly identified as SYSTEMS for thepurpose of completion acceptance and bringing them to a state of RFSU.

    The division of the PROJ ECT into SYSTEMS and the extent of theseSYSTEMS shall be determined by CONTRACTOR with the agreement of

    VIETROSS.

    2.3 List of Deliverables and Schedules

    CONTRACTOR shall provide the following, all of which shall be subject toapproval by VIETROSS:

    (a) PRECOMMISSIONING, COMMISSIONING, UNIT PERFORMANCETEST AND OVERALL PERFORMANCE TEST Strategy Document

    (b) Integrated SYSTEMS Completion Schedule up to INITIALACCEPTANCE

    (c) Schedule for CONTRACTORs Home Office work and deliverables

    (d) Marked up P&IDs showing preliminary SYSTEM selection(e) Marked up P&IDs showing SYSTEMS definitions, details and

    isolations(f) Detailed equipment lists for each system, listing all items.(g) SYSTEM Completion and PRECOMMISSIONING Manuals,(h) PRECOMMISSIONING procedures(i) UNIT Operating Manuals(j) Blank SYSTEM dossiers for each SYSTEM(k) LICENSOR/VENDOR Attendance Schedule and responsibilities(l) Line flushing and blowing procedures.(m) Interface procedures between PRECOMMISSIONING, Construction,

    (n) Particular procedures including, but not limited to, cleaning vessels,pipework, loading and unloading of catalyst etc., as required byVIETROSS/LICENSORs/VENDORs

    (o) Identify utility consumption, other materials, and equipment, andSUBCONTRACTORs work required for PRECOMMISSIONING, andCOMMISSIONING, and plan for their availability.

    (p) Procedures for UNIT PERFORMANCE TESTS and OVERALLPROJ ECT PERFORMANCE TEST.

    (q) Inspection, testing and acceptance procedures/forms for non-P&IDSYSTEMS and other equipment including, but not limited to, buildings

    and contents, structures, lighting, roads, vehicles, for example cranes,forklifts, ambulances etc, fire fighting facilities, fire detection, delugeUNITs, switchgear, transformers, motor controls, telephones/radios,computers and software, DCS components, HVAC UNITs, equipmentin laboratory, warehouse, workshops and field tools, material andspare stocks.

    (r) Coordination between CONTRACTOR and VIETROSS duringCOMMISSIONING, Operation, UNIT PERFORMANCE TEST andOVERALL PROJ ECT PERFORMANCE TEST up to INITIALACCEPTANCE.

    Items (a) and (c) are key early deliverables. The first drafts of (a) and (c) shall

    be completed and ready for review by VIETROSS within 90 days of start ofwork in CONTRACTORs Home Office. Items (b), (d), (e) and (f) shall beprovided immediately after the initial issues of each UNIT PFDs and P&IDsand, in any event, not later than 180 days from EFFECTIVE DATE ofCONTRACT.

    Items under (q) shall have interim acceptances and checks recorded at eitherdelivery or installation or testing. However, at the time of INITIALACCEPTANCE, VIETROSS shall require that CONTRACTOR demonstratesthat they are fully functional or, where necessary, replace the item, orreinstate it to meet the acceptance condition as per the PROJ ECTSPECIFICATION.

    2.4 Drawing Reviews, HAZOPS and Other Activities

    The drawing reviews, HAZOPs and other activities that shall be arranged byCONTRACTOR, with the full participation of CONTRACTORsCOMMISSIONING personnel, shall include but not be limited to:

    (a) Review of Plot Plans(b) Review of Process Flow Diagrams(c) Review of P&IDs to incorporate all necessary requirements for Startup

    and Shutdown(d) HAZOP reviews

    (e) Layout and Model reviews to incorporate operability andmaintainability requirements

    (f) Review of construction finalisation planning

    3.0 PRECOMMISSIONING

    3.1 Scope

    PRECOMMISSIONING activities include the preparation for operation ofeither a SYSTEM or UNIT or any part of a UNIT up to RFSU.

    In between the final stages of construction and the actual STARTUP, aconsiderable amount of preparatory work has to be carried out byCONTRACTOR. The work shall be carefully planned and executed in closeconsultation with VIETROSS and LICENSORs, and based on the HomeOffice preparations detailed in Section 2.0 above.

    As a SYSTEM approaches construction completion, a consolidated, definitivelist of defects and deficiencies, that is punch list, incorporating comments byCONTRACTOR and VIETROSS shall be prepared for that SYSTEM by

    CONTRACTOR. Items shall be categorised 1, 2, and 3 priority. Items shallbe prioritised as follows:

    Priority 1 Items with a safety or environmental impact.Priority 2 Items required as operating necessity, or for

    improved operating efficiency.Priority 3 Other items.

    As a minimum, CONTRACTOR shall remedy all priority 1 punch list itemsbefore MECHANICAL COMPLETION (See Project Procedure forConstruction MECHANICAL COMPLETION, 6960-8820-PR-1014) isacknowledged and PRECOMMISSIONING may commence. CONTRACTOR

    shall supply daily, updated SYSTEM punch lists covering all disciplines.CONTRACTOR shall establish a database for the punch list containing, butnot necessarily limited to, identification of the SYSTEM, the UNIT of whichthe SYSTEM is a part, the deficiencies, the priority assigned to eachdeficiency, the planned date by which each deficiency will be remedied, theactual date when the deficiency is remedied and comments. The databaseshall be able to provide at any time, accurate and up-to-date information ofthe current status. The database shall be electronically accessible byVIETROSS and be in the English language. The SYSTEM punch list shall beretained in the original form with new items added, as required, and

    completed items date stamped. The SYSTEM punch list shall beincorporated into the SYSTEM Completion Manual.

    3.2 Responsibility Matrix

    The split of responsibilities between VIETROSS and CONTRACTOR duringthe PRECOMMISSIONING period is defined in the Precommissioning Split ofResponsibilities J ob Procedure 6960-8820-PR-1011.

    Temporary equipment and all necessary materials, chemicals and services

    which are required for PRECOMMISSIONING shall be supplied byCONTRACTOR. Utilities, for example, water for hydrotesting and flushing ofequipment, power, and steam for blowing, shall be supplied by VIETROSS.

    These requirements shall be issued by CONTRACTOR to VIETROSS duringthe detailed Engineering phase.

    3.3 PRECOMMISSIONING Deliverables for UNITS

    PRECOMMISSIONING procedures shall be developed by CONTRACTORand approved by VIETROSS. The PRECOMMISSIONING manual shallinclude, as a minimum, the requirements specified in Project Procedure6960-8820-PR-1019, and VIETROSSs requirements.

    The PRECOMMISSIONING activities on each SYSTEM betweenMECHANICAL COMPLETION and RFSU shall be recorded in the SYSTEMCompletion Manual for each SYSTEM. The contents of the CompletionManual are described in Project Procedure 6960-8820-PR-1017, Preparationof a SYSTEM Completion Manual, which provides a list of those certificatesand documents required to demonstrate a UNIT has reached RFSU and issafe to commission.

    Each of these certificates or documents shall be signed as complete byCONTRACTOR and witnessed by VIETROSS. CONTRACTOR shall notproceed with PRECOMMISSIONING until the following is complied with:

    - CONTRACTOR shall confirm to VIETROSS that arrangements havebeen completed to have VENDOR personnel at the SITE whenneeded.

    VENDORs Engineer(s) for the following items must be present duringPRECOMMISSIONING

    Fired heaters/boilers Compressors and compressor drivers Multistage pumps

    CONTRACTOR shall confirm to VIETROSS at least 60 days in advance ofwhen LICENSOR personnel are required at the SITE.

    VIETROSS will witness all tests, checks and activities to be carried out.

    CONTRACTOR shall provide evidence that testing and certification has beensatisfactorily completed.

    CONTRACTOR shall provide evidence that all necessary punch list workitems for safe operation have been completed.

    CONTRACTOR shall provide evidence that the SYSTEMS dossier recordsare up to date.

    CONTRACTOR shall provide evidence that all appropriate procedures are inplace.

    CONTRACTOR shall provide evidence that all safety plans/permit towork/safety procedures are in place, and are approved by VIETROSS.

    3.4 Defects in the Construction Work

    If during the period from MECHANICAL COMPLETION until the start of aPERFORMANCE TEST , the PROJ ECT, or part thereof, fails to meet therequirements of the PROJ ECT SPECIFICATION and/or other CONTRACTdocuments, CONTRACTOR shall immediately investigate causes of suchfailure, take the necessary remedial actions and notify VIETROSS in writingwhen defects are rectified. A record of defects as notified by VIETROSSshall be kept by CONTRACTOR called Notice of Defects and shall beupdated with remedial actions performed.

    3.5 Equipment Test Runs

    Equipment Test runs are PRECOMMISSIONING activities conducted to allowrun-in and operational testing of individual equipment items. As necessary,CONTRACTOR shall arrange for any of its own or VENDORs specialists toperform the test runs. The procedure for testing shall be agreed withVIETROSS. Notice of test runs shall be provided to VIETROSS a minimumof one (1) week in advance, together with a notice that all required safetysystems for operational testing are available. VIETROSS will witness all test

    runs.

    4.0 READY FOR STARTUP

    RFSU is achieved upon satisfactory completion of PRECOMMISSIONINGactivities. All items referenced in the Split of Responsibilities Document6960-8820-PR-1011 must be completed. For non-P&ID Systems (e.g.buildings, roads, civils, etc.) as well as P&ID systems, punch lists shall becompleted to the satisfaction of VIETROSS.

    5.0 COMMISSIONING AND OPERATIONS

    5.1 COMMISSIONING

    When feedstock is brought into the UNIT, COMMISSIONING begins.Feedstock can be a utility, service or process fluid depending on the UNIT.

    A UNIT is READY FOR STARTUP when the following conditions are met asspecified in the CONTRACT:

    (1) all work identified in the PRECOMMISSIONING check list, whereapplicable, is completed.

    (2) All work is completed to the extent that feedstock can be brought intoand remain in the UNIT.

    VIETROSS will accept the UNIT or plant sections for COMMISSIONING byCONTRACTOR upon signed agreement by VIETROSS that, as a minimum,all priority 1 and priority 2 punch list items, refer to Section 3.1 above, havebeen remedied. An agreed small number of priority 3 punch list items still to

    completed, or until such other date as may be mutually agreed uponbetween CONTRACTOR and VIETROSS.

    5.2.3 Permit to Work

    All work in operating areas and electrical substations when energised shallbe subject to a permit system operated by CONTRACTOR. CONTRACTORmust recognise the limitations this will place upon its work. Such limitationscan apply both during construction, PRECOMMISSIONING andCOMMISSIONING depending upon the precise work location.

    5.2.4 Preparation of Operating Manual

    CONTRACTOR shall prepare and issue Operating Manuals for each UNIT ofthe PROJ ECT and such other detailed procedures as VIETROSS mayrequire.

    6.0 UNIT PERFORMANCE TESTS, OVERALL PROJECT PERFORMANCE

    TEST AND INITIAL ACCEPTANCE

    6.1 Ability to Meet Performance Guarantees

    Each UNIT shall be considered to have met its PERFORMANCEGUARANTEE on the satisfactory completion of the UNIT PERFORMANCE

    TEST, defined in Section 6.2 below, during which the PERFORMANCEGUARANTEES given by CONTRACTOR and, where appropriate,LICENSOR, for the particular subdivision of the UNIT and relevant designfeedstock and/or operating case shall be simultaneously achieved.

    6.2 UNIT Performance Tests

    All UNIT PERFORMANCE TESTS shall be conducted by CONTRACTOR

    based upon criteria defined by CONTRACTOR and agreed by VIETROSS.CONTRACTOR shall produce a report of the results within thirty (30) days ofthe conclusion of each UNIT PERFORMANCE TEST. Depending on theUNIT, separate reports may be produced by CONTRACTOR and by theLICENSOR.

    Each UNIT PERFORMANCE TEST shall be witnessed by VIETROSS.

    CONTRACTOR shall issue final version of procedures, initially prepared inthe engineering phase, for the UNIT PERFORMANCE TESTS and not laterthan three (3) months prior to any scheduled UNIT RFSU. Similarly no laterthan three (3) months before the scheduled date of the final RFSU,

    CONTRACTOR shall issue the final version of the procedure for theOVERALL PROJ ECT PERFORMANCE TEST. The procedures are subjectto agreement by VIETROSS and the procedure shall include the following foreach test or group of tests:

    (a) The sequence of tests to be conducted.(b) The duration of each test.(c) The number of test runs to be performed.(d) The schedule of measurements to be taken with a description of how

    these measurements will demonstrate the guarantees for the UNIT.(e) The measurement method to be used.(f) A list of samples to be taken, frequency of sampling, tests to be

    performed, and test methods.(g) A list of necessary instruments that will be used for each test. The list

    shall designate which instruments will be temporarily installed byCONTRACTOR and the permanently installed instruments. Aschematic diagram showing all test points and cross-references to theinstrument list and all sample points shall also be included.

    (h) Provision by CONTRACTOR of adequate sample containers,particularly sample bombs, such that sample retains and the numberof samples are not restricted in any way. Also that extra laboratory

    supplies, equipment and VIETROSSs personnel are available tohandle the workloads without undue delays relative to the testduration.

    (i) Sample test reports or data sheets and specific result sheet forms thatwill be used for the test. All formulas, calculations, conversion factors,curves, correction curves etc to be used for equipment evaluationsand the calculations for heat and material balances.

    (j) Written procedure for, and description of, the tests including copies ofindustrial standards shall be adhered to where applicable.

    CONTRACTOR shall also advise VIETROSS if VENDORs specialists needto be present during test runs to fulfil guarantee requirements.

    UNIT PERFORMANCE TESTS will be evaluated on:

    (a) Mass and heat balances.(b) Utility, Catalyst and Chemical consumption.(c) Heat Exchanger and Fired Heater performances.(d) Hydraulic performance, that is, pumps, compressors, per cent valve

    opening etc.(e) Equipment performance, that is, reactors, columns, vessels, loading

    arms etc.(f) Process performance, yields, product quantity and quality and catalyst

    performance.

    (g) Any shortcomings noticed.(h) Effluent Quality.

    The above data for the UNIT PERFORMANCE TEST shall be issued byCONTRACTOR in a Report, no later than thirty (30) days after completion ofthe UNIT PERFORMANCE TEST.

    After completion of any UNIT PERFORMANCE TEST, including receipt ofCONTRACTORs Report, VIETROSS will notify CONTRACTOR in writing ifthe PERFORMANCE TEST has been accepted.

    Where the requirements of the LICENSOR performance test procedures aremore stringent than this Section, the LICENSORs requirements shall applyand be evaluated in addition to this Section.

    UNIT PERFORMANCE TESTS for Utility, Offsites and Common Facilities willbe carried out as soon as possible after RFSU or when they can be operatedat design rates.

    6.2.1 Conduct of UNIT PERFORMANCE TEST Runs

    The UNIT PERFORMANCE TEST will be carried out as soon as possible

    after steady operation of each Process UNIT is achieved.

    CONTRACTOR shall designate its Commissioning Manager to liaise withVIETROSS concerning the manner in which the UNIT under test and/ormaterials therein are or will be operated during the UNIT PERFORMANCE

    TEST. CONTRACTOR shall comply with instructions from VIETROSS on allmatters concerning safety and/or conservation of any aspect of UNITintegrity.

    CONTRACTOR shall provide a minimum of seven (7) days notice of theanticipated start of a UNIT PERFORMANCE TEST. The duration of eachUNIT PERFORMANCE TEST will depend on the UNIT but shall be not less

    than seventy two (72) consecutive hours of operation following a period ofsteady operation of twenty four (24) hours. However, a longer or shorterperiod may be substituted by mutual agreement between CONTRACTORand VIETROSS.

    Each UNIT PERFORMANCE TEST shall be conducted in the presence ofVIETROSS. CONTRACTORs Commissioning Manager shall have the rightto advise VIETROSS concerning the manner in which the UNIT under testand/or materials therein, are or will be operated during the PERFORMANCE

    TEST. VIETROSS shall comply with the recommendations of theCommissioning Manager concerning such operations unless they arecontrary to generally accepted good refinery practices, or the operation

    suggested by the Commissioning Manager would in the opinion ofVIETROSS:

    a) endanger the safety of personnel or equipment or the general public,

    b) result in non-conformity with guaranteed product quantity or quality orutility consumption,

    c) involve conditions of temperature, pressure, and/or stress that would

    be more severe than the maximum allowable operating conditions forwhich the equipment was designed, or

    d) conflict with other safety regulations of VIETROSS or other regulatorybodies.

    6.3 VIETROSSs Obligation

    VIETROSS shall provide sufficient feedstock, solvents, chemicals, utilitiesand any other equipment or materials specifically excluded fromCONTRACTORs scope of supply and/or not forming a permanent part of theUNITS or the plant to allow Process UNITS to undergo INITIAL

    OPERATIONS, UNIT PERFORMANCE TESTS, OVERALL PROJ ECTPERFORMANCE TEST and operation to INITIAL ACCEPTANCE. Suppliesof all feedstocks, solvents, chemicals, and utilities shall be continuouslyavailable. VIETROSS shall also furnish laboratory facilities to enable samplestaken during the UNIT PERFORMANCE TESTS to be analysed.

    6.4 Number of UNIT PERFORMANCE TESTs

    There will be one (1) successful UNIT PERFORMANCE TEST for each UNITas defined in the CONTRACT, during which all UNIT PERFORMANCEGUARANTEES shall be simultaneously met. If more than one (1) test run forthe feedstock is considered necessary, see Section 6.10, this will be

    arranged by mutual agreement between VIETROSS, CONTRACTOR, andLICENSOR (for a UNIT for which LICENSOR provided the basic engineeringdesign). Such agreement shall not be unreasonably withheld by any of thethree parties.

    For multiple train UNITs, each train and the overall UNIT shall be subject toseparate PERFORMANCE TESTS.

    During the UNIT PERFORMANCE TEST, the UNIT will be charged with thedesign feedstock the quality and quantity of which shall be in accordance withthe requirements of the PROJ ECT SPECIFICATION subject to the normallimits of accuracy.

    During the UNIT PERFORMANCE TEST, the UNIT will be operated inaccordance with the operating recommendations supplied by CONTRACTORand agreed by VIETROSS taking due account of operational constraints andany recommendations made by the LICENSOR.

    VIETROSS shall attend all UNIT PERFORMANCE TEST runs.

    The UNIT PERFORMANCE TEST programme for the Offsite, Utility andCommon Facilities shall be mutually agreed between VIETROSS and

    CONTRACTOR.

    6.5 Determination of Quantities

    Feedstock and product quantities shall be based on measurement in storagetanks, where possible. Tank quantities at the start and finish of each UNITPERFORMANCE TEST shall be determined by gauging previously calibratedtanks.

    Where it is not possible to determine quantities from tank measurement,readings of previously calibrated meters shall be accepted. Metercalibrations and corrections to meter readings shall be made in a manner

    mutually agreeable to VIETROSS and CONTRACTOR and standardised at15oC and 1.035 kg/cm 2abs.

    6.6 Determination of Qualities

    Samples of feedstock and products shall be collected during the period ofUNIT PERFORMANCE TEST runs. These samples shall be taken withfrequencies and by methods established by mutual agreement betweenVIETROSS and CONTRACTOR but, in any event, not less frequent thanprovided for in the Operating Manuals Laboratory Test Schedules.

    From start of operations, and in accord with the sample schedule for

    laboratory testing, retained samples of feedstock and products shall be taken.

    Samples shall be analysed by using test methods defined by VIETROSS orLICENSOR or other mutually agreed methods. In the event that VIETROSSand CONTRACTOR cannot agree as to the correctness of any laboratoryanalysis result, a replicate sample shall be submitted for the analysis to amutually agreed independent laboratory. The finding of this laboratory shallbe accepted as final. In the event that the results of VIETROSSs laboratoryanalysis are endorsed, such independent assessment shall be toCONTRACTORS account; such costs shall otherwise be borne byVIETROSS.

    Sampling for Licensed UNITs will conform to Sampling Schedules as advisedby LICENSORS.

    6.7 Samples

    All samples taken shall be divided into four (4) portions as follows:

    1. for immediate analysis in VIETROSSs laboratory

    2. for retention by VIETROSS

    3. to be available to CONTRACTOR

    4. to be retained for analysis by a mutually acceptable, independentlaboratory in the event of arbitration.

    6.8 Averaging

    The arithmetic mean value over the period of the UNIT PERFORMANCETEST run shall be used for determination of capacities, yields, productspecifications and utility consumption.

    6.9 Adjustment of Guarantees

    In the event that design feedstocks are not available, VIETROSS andCONTRACTOR shall agree adjustment to guarantees to correspond with asubstituted feedstock, taking into account comment in writing by LICENSOR,as appropriate.

    In the event of dispute over such adjustments, the matter shall be referred toan independent process engineering consultant, mutually acceptable toVIETROSS and CONTRACTOR. The decision of this consultant shall befinal. The cost of this consultants services shall be to the account of

    VIETROSS.

    6.10 Guarantees / Performance Tests

    Once the guaranteed performance in respect of a UNIT has been achieved ina UNIT PERFORMANCE TEST, CONTRACTOR shall have no further liabilityin respect of guaranteed performance of the UNIT.

    6.10.1 Second UNIT PERFORMANCE TEST

    If the first UNIT PERFORMANCE TEST has been carried out and theguaranteed performance has not been attained, right after VIETROSSsnotification, CONTRACTOR and LICENSOR (if the basic engineering designwas done by LICENSOR) will prepare the UNIT for and undertake a secondUNIT PERFORMANCE TEST. The UNIT will be operated in accordance withCONTRACTOR/LICENSORs recommendations in respect of operatingconditions agreed by CONTRACTOR/LICENSOR and VIETROSS during aperiod not exceeding sixty (60) days after VIETROSSs notification. If for any

    reason, beyond the control of CONTRACTOR/LICENSOR and VIETROSS,the second UNIT PERFORMANCE TEST cannot be completed within sixty(60) days, then CONTRACTOR/LICENSOR and VIETROSS shall discussand mutually agree an extension to the required completion date of thesecond UNIT PERFORMANCE TEST but not to exceed one hundred andtwenty calendar (120) days after VIETROSSs notification.

    If, during the second UNIT PERFORMANCE TEST carried out in accordancewith this Section 6.10.1, the guaranteed performance has been achieved,CONTRACTOR/LICENSOR shall have no further liability in respect of thatUNIT.

    6.10.2 Third UNIT PERFORMANCE TEST

    If the guaranteed performance has not been achieved in such second UNITPERFORMANCE TEST, for reasons solely attributable to CONTRACTOR orLICENSOR, CONTRACTOR/LICENSOR shall within a period of one (1)month from notification by VIETROSS, advise VIETROSS of anymodifications required to the UNIT which CONTRACTOR/LICENSOR deemnecessary. CONTRACTOR/LICENSOR shall, promptly following notificationof acceptance of such modification by VIETROSS, start modifying the UNITin the way CONTRACTOR/LICENSOR deem necessary, provided that suchmodification shall, as far as possible, take into account the localcircumstances and the commercial requirements of the UNIT and not result in

    an appreciable alteration of the profitability of the UNIT, to ensure that theguaranteed performance can be achieved. CONTRACTORs/LICENSORsliability in respect of this Section 6.10.2 shall be strictly in accordance with theCONTRACTS.

    After the modifications of the UNIT, referred to in this Section 6.10.2, havebeen made to CONTRACTORs/LICENSORs satisfaction, a third UNITPERFORMANCE TEST shall be carried out within sixty (60) days underconditions agreed between VIETROSS and CONTRACTOR/LICENSOR.

    6.10.3 Fourth UNIT PERFORMANCE TEST

    If the guaranteed performance is not achieved in such third UNITPERFORMANCE TEST, CONTRACTOR/LICENSOR can request one furtherUNIT PERFORMANCE TEST if CONTRACTOR/LICENSOR can show thatwith minor modifications achievement of the guaranteed performance ispossible. VIETROSS will not unreasonably withhold its consent to suchfurther UNIT PERFORMANCE TEST.

    6.11 Conduct of OVERALL PROJ ECT PERFORMANCE TEST

    The OVERALL PROJ ECT PERFORMANCE TEST shall be carried out assoon as possible after the completion of the individual UNITPERFORMANCE TESTS.

    Sections 6.4 through 6.10 above shall also apply to the conduct of theOVERALL PROJ ECT PERFORMANCE TEST.

    CONTRACTOR shall inform VIETROSS of anticipated start of the OVERALLPROJ ECT PERFORMANCE TEST with a minimum of seven (7) days notice.

    The duration of the OVERALL PROJ ECT PERFORMANCE TEST shall bethree (3) consecutive days of continuous operation except that a longer

    period may be substituted by mutual agreement between CONTRACTORand VIETROSS.

    A period of steady operation of twenty-four (24) hours shall be establishedprior to the start of the OVERALL PROJ ECT PERFORMANCE TEST.

    During the OVERALL PROJ ECT PERFORMANCE TEST, CONTRACTORshall demonstrate to the satisfaction of VIETROSS that the PROJ ECToperates in an integrated manner and shall ensure, to the satisfaction ofVIETROSS, that there are no significant losses to the flare or to the Effluent

    Treatment Plant.

    As regards equipment not in continuous use, such as shipping pumps,loading arms, fire pumps, slop pumps, nitrogen vaporisers etc, it shall bedemonstrated, as part of the INITIAL ACCEPTANCE requirements, that theequipment functions correctly on two (2) successive occasions.

    6.12 Defects and Deficiencies

    Should there be defects or deficiencies in the PROJ ECT identified during anyUNIT PERFORMANCE TEST and/or the OVERALL PROJ ECTPERFORMANCE TEST, then those shall be remedied by CONTRACTOR atits own cost. The UNIT shall not be considered to have passed its UNITPERFORMANCE TEST and/or the PROJ ECT shall not be considered to

    have passed the OVERALL PROJ ECT PERFORMANCE TEST until anydefects and deficiencies are remedied to the satisfaction of VIETROSS.

    7.0 ACCEPTANCE of WORK

    Upon satisfactory completion of the WORK required under the CONTRACT,VIETROSS will issue a CERTIFICATE OF INITIAL ACCEPTANCE inaccordance with the requirements of the CONTRACT.

    The criterion for the issue of a CERTIFICATE OF INITIAL ACCEPTANCE is

    that all work required to be done by CONTRACTOR under the CONTRACT,with the exception only of any works which it is agreed may be completedduring the warranty period, has been successfully completed.
