INFORMATION SHEET

Many cases can be resolved to the satisfaction of all parties without the necessity of traditional litigation, which can be expensive, timeconsuming, and stressful. The Court finds that it is in the best interests of the parties that they participate in alternatives to traditionallitigation, including arbitration, mediation, neutral evaluation special masters and referees, and settlement conferences. Therefore, allmatters shall be referred to an appropriate form of Alternative Dispute Resolution (ADR) before they are set for trial, unless there is goodcause to dispense with the ADR requirement.

What is ADR?ADR is the general term for a wide variety of dispute resolution processes that are alternatives to litigation. Types of ADR processesinclude mediation, arbitration, neutral evaluation, special masters and referees, and settlement conferences, among others forms.

What are the advantages of choosing ADR instead of litigation?ADR can have a number of advantages over litigation:

• ADR can save time. A dispute can be resolved in a matter of months, or even weeks, while litigation can take years.

• ADR can save money. Attorney’s tees, court costs, end expert fees can be reduced or avoided altogether.

• ADR provides more participation. Parties have more opportunities with ADR to express their interests and concerns, insteadof focusing exclusively on legal rights.

ADR provides more control and flexibility. Parties can choose the ADR process that is most likely to bring a satisfactoryresolution to their dispute.

• ADR can reduce stress. ADR encourages cooperation and communication, while discouraging the adversarial atmosphere oflitigation. Surveys of parties who have participated in an ADR process have found much greater satisfaction than with partieswho have gone through litigation.

What are the main forms of ADR offeredhy the Court?Mediation is an informal, confidential, flexible and non-binding process in the mediator helps the parties to understand the interests ofeveryone involved, and their practical and legal choices. The mediator helps The parties to communicate better, explore legal and practicalsettiement options, and reach an acceptable solution of the problem. The mediatordoes not decide the solution to the dispute; the partiesdo.

Mediation may be appropriate when:

• The parties want a non-adversary procedure

The parties haie a continuing business or personal relationship

• Communication problems are interfering with a resolution

There is an emotional element involved

• The parties are interested in an injunction, consent decree, or other form of equitable relief

Neutral evaluation, sometimes called “Early Neutral Evaluation” or “ENE”, is an informal process in which the evaluator, an experiencedneutral lavyer, hears a compact presentation of both sides of the case, gives a non-binding assessment of the strengths and weaknesseson each side, and predicts the likely outcome. The evaluator can help parties to identify issues, prepare stipulations, and draft discoveryplans. The parties may use The neutral’s evaluation to discuss settlement.

Neutral evaluation may be appropriate when:• The parties are far apart in their view of the law orvalue of the case• The case Involves a technical issue in which the evaluator has expertise• Case planning assistance would be helpful and would save legal fees and costs• The parties are interested in an injunction, consent decree, or other form of equitable relief

Arbitration is a less formal process than a trial, with no jury. The arbitrator hears the evidence and arguments of the parties and thenmakes a written decision. The parties can agree to binding or non-binding arbitration. In binding arbitration, the arbitrator’s decision is finaland completely resolves the case, without the opportunity for appeal. In non-binding arbitration, the arbitrator’s decision could resolve thecase, without the opportunity for appeal, unless a party timely rejects the arbitrator’s decision within 30 days and requests a trial. Privatearbitrators are allowed to charge for their time.

Arbitration may be appropriate when:The action is for personal injury, property damage, or breach of contract

Only monetary damages are soughtWitness testimony, under oath, needs to be evaluated

An advisory opinion is sought ftom an experienced litigator (if a non-binding arbitration)

Civil Judge ADR allows parties to have a mediation or settlement conference with an experienced judge of the Superior Court, Mediationis an informal, confidential, flexible and non-binding process in which the judge helps the parties to understand the Interests of everyoneinvolved, and their practical and legal choices. Special masters and referees are neutral parties who may be appointed by the court to obtain information or to make specific factfindings that may lead to a resolution of a dispute.Special masters and referees can be particularly effective in complex cases with a number of parties, like construction disputes.

Settlement conferences ate informal processes in which the neutral (a judge or an experienced attorney) meets with the parties or theirattorneys, hears the facts of the dispute, helps identify issues to be resolved, and normally suggests a resolution that the parties mayaccept or use as a basis for further negotiations.Settlement conferences can be effective when the authority or expertise of the judge or experienced attorney may help the parties reach aresolution.

19 FACTS COMMON TO ALL CAUSES OF ACTION

20 6. The San Francisco Forty Niners (the “Team”) is a professional football team, and a

21 franchise of the National Football League Pnor to 2014, the Team played its home games in

22 Candlestick Park in the City and County of SanFrancisco.0

23 7. Beginning in 2008, the Team began to consider its options with respect to a.new

24 stadium, because Candlestick Park was functionally obsolete, was no longer suitable as a venue

25 for an NFL team, and could not feasibly be renovated or upgraded. The Team considered possible

26 sites in San Francisco and the City of Santa Clara.

27 8. The City of Santa Clara, through its governing body, thç City Council, expressed

28 interest in the development of a new stadium in that City (the “Stadium”), which the Team would

1 use for its home games, and which would also be available for use for non-football events.

2 9. The Stadium Authority and StadCo entered into a Stadium Lease Agreement, dated

3 as ofMarch 28, 2012 (“Stadium Lease”).

4 10. The Stadium Authority, StadCo and Management Company entered into a Stadium

5 Management Agreement, dated as ofMarch 28, 2012, a copy ofwhich, as thereafter amended, is0

6 attached as Exhibit A.

7 ‘ 11. In 2014, the Team played its first home game at the new Stadium, and has played

$ its home games at the Stadium at all times since then.

9 12. The Stadium Authority has acted in a manner contrary to its obligations under the

10 Management Agreement, and with the intent of depriving Plaintiffs of the rights and benefits toow6 11 which they are entitled under that agreement. For example:

12 Defendants have falsely accused Management Company of having failed to

13 perform its obligations under the Stadium Management Agreement, despite the absence of any

tj 14 good, faith basis for such charges;

a o 15 b. When asked to specify the nature of any failure ofperformance on the part<00

16 ofManagement Company, Defendants failed and refused to do so; and

U) 17 c. Defendants have threatened to terminate the Stadium ManagementJ

18 Agreement, and to replace Management Company with a new stadium management company,uIi

19 despite the absence of any basis under the Stadium Management Agreement to take such action.

20 13. On November 23, 2016, the Stadium Authority sent Management Company a leter

21 purporting to list “potential breaches” of the Stadium Management Agreement. A copy of said

22 letter is attached as Exhibit B.0

23 14. On December 6, 2016, Management Company sent the Stadium Authority the letter

24 attached as Exhibit C.

25 15. On December 20, 2016, the Stadium Authority sent Management Company the

26 letter attached as Exhibit 0.

27 16. On December 22, 2016, Management Company sent the Stadium Authority the

28 email attached as Exhibit E.

1 17. On January 6, 2017, Management Company sent the Stadium Authority the letter

2 attached as Exhibit F.

3 18. While offering, in formal correspondence, to have its staffmeet with Management

4 Company to discuss and resolve issues concerning the transmission of information and documents,

5 the Stadium Authority refused to engage in good faith discussions with Management Company for0

6 the purpose of resolving whatever differences between the parties may exist. Plaintiffs are

g 7 informed and believe, and thereon allege, that the Stadium Authority has conducted itself in this

$ manner with the aim of eliminating the chance ofa businesslike resolution ofwhatever real or

9 imagined concerns it may have about the operation and management of the Stadium.1°

10 19. Plaintiff are informed and believe, and thereon allege, that the Stadium Authorityow

11 has embarked on a scheme to concoct and fabricate false accusations ofbreach or nonperformance<urn

12 by Management Company in order to create a pretext for terminating the Stadium Management

t 13 Agreement. In fact, no grounds exist under the terms of the Stadium Management Agreement that

- 14 would allow the Stadium Authority to terminate it.

o 15 20 On December 6, 2016, StadCo served the Stadium Authonty with a wntten request,

16 pursuant to Section 14.1.1 of the Stadium Management Agreement, for a certificate stating the

18 21. On December 6, 2016, Management Company served the Stadium Authority with a

19 written request, pursuant to Section 14.3.1 of the Stadium Management Agreement, for a

20 certificate stating the matters set forth in Section 14.3.1. A copy of said request is attached as

21 ExhibitH.

22 22. The Stadium Authority has failed and refused to provide Plaintiffs with the0

23 certificates required by Sections 14.1.1 and 14.3.1 of the Stadium Management Agreement.

Agreement, and that there exist no grounds for a declaration of an event of default or a termination

of that agreement, whereas Defendants contend the contrary.

25. Plaintiffs are entitled to a judicial declaration ofthe parties’ tights and obligations

under the Stadium Management Agreement.

SECOND CAUSE OF ACTION

(Declaratory Relief)

26. Plaintiffs reallege the facts set forth in Paragraphs 1 through 22, above.

27. Management Company has performed all of the obligations on its part to be

performed under the Stadium Management Agreement, except for those obligations that have been

waived or excused.

28. Defendants have failed and refused to provide Plaintiffs with the certificates

required by Sections 14.1.1 and 14.3.1 of the Stadium Management Agreement.

29. An actual controversy exists between Plaintiffs and Defendants in that Plaintiffs

contend that Defendants are contractually obligated to deliver the certificates required by Section

14.1.1 and 14.3.1 of the Stadium Management Agreement, whereas Defendants contend the

contrary.

30. Plaintiffs are entitled to a declaration of the parties’ rights and obligations under the

Stadium Management Agreement with respect to the delivery of said certificates.

PRAYER FOR RELIEF

WHEREFORE, Plaintiffs pray:
