This Addendum No. 2 is being issued to correct, amend, add and/or delete certain words, phrases, sentences, orparagraphs for Metra's LIQ 22960 - BNSF Railway Conceptual Engineering Services.

Metra Response: Yes, percentages can be entered on Schedules A and C.

Metra Response: As needed, any Prime Consultant or Sub-consultant shall identify potential conflictsof interest and submit proposed avoidance, neutralization and/or mitigation planswith their Technical Proposal. Exhibit 1-A, page 4 and page s, paragraphs L and M, references the need to ?study thecapacity and design potential adjustments to the 14th Street yard facility required toaccommodate the Project's various proposed levels of additional train service and todesign an alternative to the 14th Street Yard Improvements and cites a potential for newyard/storage tracks between Halsted Street and western Avenue Metra Stations to handlethe various proposal additional levels of train service for the Project?. Is a rail trafficcontroller model required for the study?The Design Consultant shall use Berkeley Simulation Software's Rail TrafficController to conduct operational simulations of up to 3 proposed train seheduleswith up to 3 sets of railroad infrastructure for the project. Metra's ER Consultantwill perform planning activities including developing schedules, ridership estimatesusing FTA's Simplified Trips on Project Software using a 2050 forecast year,potential fare revenue and a Cost Benefit Anmlysis.

How has BNSF indicated agreement with the defined track capacity improvements?The BNSF has agreed to review and comment on Metra's submittals for thisProject, this coordination will help identify needed track improvements. Metra Response: No data from previous contracts will be made available.

Question 16: Prior to submitting our proposal, will we be able to access the Environmental Review(ER) document completed to date?

Metra Response: No ER documents exist at this time.

What percentage of the field inspections of railroad right of way conditions have beencompleted? Prior to submitting our proposal, will we be able to access these documents?The level of inspections required to complete the project could affect the team membersneeded.

Metra Response: No data from previous contracts will be made available. The Consultant shallperform all required field inspection that will be required for this LIQ.

Question 17:

Question 18: Please confirm the level of documentation desired at 30% for structural design. Typically"type, size and location" (TS&L) plans for structures are supplied with a 30% submittal.

Metra Response: For the structural design plans, the Consultant shall provide TS&L plans for bothretaining walls and bridges and culverts. Also, the Consultant shall providestructural design plans for all station and yard facilities, such as buildings,platforms, tunnels, parking lots, to a 30% level of design. The Consultant shall alsoprovide cost estimates, schedules, specifications and all related documentation asdescribed in the LIQ.

Please confirm the level of specifications desired at 30o/o. Typically a specificationoutline is supplied with a 30% submittal.

Metra Response: 30% specifications should include Division O and Division 1 specifications that willimpact the project cost estimates, such as work hours. Otherwise, a specificationsoutline for the majority of the product specifications will suffice.

Question 19:

Exhibit 1-A, page 6, N.2 requires mailings to the public. What level of communityoutreach does Metra expect from the consultant on the pro5ect?

Metra Response: The public outreach strategy will be designed by Metra's Environmental ReviewConsultant. At a minimum, two sets of public meetings and a website for the Projectare anticipated. See Exhibit l-A of the LIQ, Section V. Contract Requirements,Subsections X and Y on Page 8.

Question 20:

Exhibit 1-A, page 15, XIII, A., Qualifications and Experience, item 5., e. , please clarifyIllinois Licensed Electrical and Mechanical Engineer. Illinois doesn't have a separatelicense for Electrical and Mechanical Engineers.

MetraResponse: The Consultant team must have both an electrical engineer and a mechanicalengineer that each have Illinois Professional Engineering (P.E.) licenses.

Question 22: Are BNSF forces going to perform the track and signal work? If so will they besupplying their unit prices for this work?

Metra Response: This LIQ is for design services to a 30% level of completion; no track or signal workwill be performed at this time. Division of Labor between a contractor and railroadforces for any future construction related to this Project must be determined. ForProject cost estimates for this LIQ, BNSF will review design submittals and providecomments, but it is the Consultant's responsibility to provide all cost estimates.

Question 23 : On page 7, a maximum hourly rate of $125 is stated, as long as reasonably justified.What constitutes reasonable justification?

Metra Response: If needed, Metra will review each request on a case by case basis during negotiationswith the selected consultant. In general, rates may be deemed justifiable if anemployee's hourly rate aligns with the hourly compensation they receive.Conversely, Metra may not agree to pay a high hourly rate to compensate for anannual bonus that was given to an employee.

Submittals are to be provided at 30o/o Concept Phase, with a 5% and 25% interimprogress report. Will Metra want a cost estimate with the interim submittals?

Metra Response: Yes, cost estimates are required at every Project milestone. See Exhibit 1-A of theLIQ, Section VI. Conceptual Engineering Requirements on Pages 9 through 11.

Question 24:

Question 25 : On LIQ Page 8 of 25 Item F .:2. states that ?To the fullest extent possible under applicablelaw/code, Consultant shall apply for and obtain all permits for the project beingdesigned.? However in Exhibit l-A. Item S states ?Provide a master permitting plan forProject: coordinate with ER.? Please clarify level of effort required for permits.Typically a matrix of required permits (oftentimes including anticipated duration forpermit coordination) is supplied with a 30% submittal.

Exhibit 1-A, Paragraph H on page s indicates that Right of Entry is required for theConsultant Team. Please confirm that the Prime Consultant can apply for Right of Entryand include all Sub-consultants in a single Right of Entry request for the team.

MetraResponse: Yes, the Prime Consultant can apply for Right of Entry and include all Sub-consultants in a single request, but the Prime's insurance will need to cover theirsub-consultants.

E. RESPONSIBILITY FOR AGENTS AND EMPLOYEES. Consultantrepresents that it shall utilize the services of individuals skilled in the profession forwhich they are performing services for this Agreement. In the event that Metradetermines, in its sole discretion, that any individual performing services for Consultantunder this Agreement is not providing such skilled services, it shall notify Consultant andConsultant shall promptly replace that individual.

F, LICENSES AND PERMITS.

1. Consultant, or its employees who would perform services requiring alicense, shall have and maintain any required license. With the priorwritten consent of Metra, Consultant may meet the license requirementthrough use of a sub-consultant.

2. To the fullest extent possible under applicable law/codes, Consultant shall??t-am identify all permits for the pro3ect being designed. Inthose instances where the Consultant is prohibited by applicable laws orcodes from obtaining such pernnits, Consultant shall perform allpreliminary work for permit applications to assist Metra, its consultant(s),or others (on behalf of Metra) to obtain the permit in the shortest period oftime. Consultant shall cooperate with and assist Metra's contractor(awarded to construct the project) in reviewing and submitting permitapplications, and obtaining permits.

G. PROFESSIONAL AND PERSONAL SERVICES. This Agreement is forprofessional and personal services. Metra has relied on representations made byConsultant on who will perform certain work either directly by Consultant or through anamed sub-consultant. Therefore, any sub-consultant, outside associate, personnel, orcontractor required by Consultant in connection with the services covered by thisAgreement will be limited to those sub-consultants, outside associates, and personnelwho were specifically identified and agreed to during negotiations. If Consultant isunable to secure or retain such persons named by Consultant, Consultant shall not berelieved of its obligations to complete performance. Consultant shall obtain Metra'swritten consent before making any substitution for these or any other sub-consultants,outside associates, or personnel. Consultant shall include this provision in its contractswith its first tier sub-consultants to prevent further subcontracting without Metra'swritten consent.

H. PAYMENT OF SUBCONSULTANTS. Consultant agrees to pay each sub-consultant under this Agreement, in proportion to the work completed by each one, nolater than 15 days from the receipt of each payment Consultant receives from Metra.Consultant further agrees to return retainage payments to each sub-consultant within 15days after the sub-consultant's work is completed. Any delay or postponement ofpayment from the above referenced time frame may occur only for good cause followingwritten approval from Metra. Consultant must resolve all payment disputes with its sub-consultants expeditiously. If Consultant fails to pay its sub-consultants in a timelymanner, or fails to expeditiously resolve any payment disputes with its sub-consultants,such failure may constitute a material breach of this Agreement.

C. Contract Documents

xvi. CONTRACT AWARD

Metra will enter into negotiations including final scope of work, level of effort, total cost, and fixedfee with only the highest ranked firm. Failing agreement, negotiations will be formally terminatedand negotiations will commence with the next highest ranked firm. As a part of the negotiationsprocess, the firm must submit a three (3) year employee position salary schedule and its audited orprovisional overhead rate (Exhibit 1-A). These items shall not be included in the initial responseto this LIQ.

A single contract will be awarded to the firm when agreement is reached with the highest rankedfirm on the final scope of work, level of effort, total cost, and fixed fee. Preparation of the proposalshall not be compensated under this Agreement.

XV?I. STATEMENT OF OFFER

A. By submitting your proposal you are stating that the proposal is good for 180 days after theproposal due date.

B. The proposal must include the name, title, address, and telephone number of the individualauthorized to negotiate and contractually bind the Proposer during the period of the proposalevaluation and contract finalization.
