THIS DEED of Declaration of Public Charitable Trust is executed on the 30th day of January 2014 by

WHEREAS the said FOUNDERS of the Trust have already set apart a sum of Rs 1001/-(Rupees One Thousand only) in cash towards constituting a Public Charitable Trust and handed over the same to the following First Trustees.

AND WHEREAS the Trustees have also accepted the Trust fund as stated above.

AND WHEREAS it has become necessary to declare the objects and terms of the Public Charitable Trust.

NOW THIS DEED OF DECLARATION OF THE PUBLIC CHARITABLE TRUST WITNESS AS UNDER:

1.NAME: The Name of the Trust shall be SIX SQUARE SYSTEMS EDUCATIONAL TRUST shortly called as 6SS EDUCATIONAL TRUST Public Charitable Trust. 2.OFFICE: The registered office of the Trust for the time being shall be at Old No.112, New No:25, Danam Building, Second Floor, 1st Main Road, Senthil Nagar, Chinna Porur, Chennai 600 116.. This Trust contact in their rented premises. The activities of the Trust can be carried out from and at such other places as the Board of Trustees may decide from time to time.

3.OBJECTS: The objects of the Trust are:

3.1 To establish conduct and / or contribute to educational and cultural institutions, colleges, schools, libraries, books trusts, reading rooms, technical institutions, research institutes and other Public Charitable Institutions:

3.2 To provide medical relief by giving free medicines, injections, tonic, food and the like and by giving help for medical treatment including payment of expenses for such medical treatment to the poor:

3.3 To establish, construct and maintain hospitals, nursing homes, colleges, medical colleges, wards and institutions for the relief of the sick and to aid or co-operate with other institutions and societies doing similar work:

3.4 To establish maintain and support or assist by monetary gift or otherwise, homes and model institutions for the crippled, incapacitated, aged, unemployed and illiterate men, women and children for training them in handicrafts and cottage industries such as carpentry, joinery, designing, drawings, painting, cane work, carpet making, spinning, weaving, laundry work, dry cleaning cutting confectionery knitting, sewing, etc. so as to enable them to become useful to the Trust.

3.5 To erect or help in erecting building or otherwise provide housing accommodation for the to establish and maintain dharmasalas, sanatorium, public halls and the like in any part of the country and to provide convenience to the persons visiting such places;

3.6 To take steps to disseminate scientific, technical, vedic and cultural knowledge and to raise the standard of life and health among the backward sections of the people;

3.7 To conduct lectures, seminars symposiums on all subjects and to award scholarships, prizes or trophies for the advancement of the above objects;

3.8 To give monetary aid or other help for relief from natural calamities like earthquake, floods, cyclone, tempest or otherwise;

3.9 To help rural poor by establishing small scale industries in the rural areas in order to develop the weaker sections in rural areas.

3.10 To run educational institutions, agricultural colleges, veterinary college, research centres for agriculture, cattles, poultries etc.

3.11 To do all such things as may be necessary or conducive for the advancement of the objects above mentioned; and

3.12 For the advancement of any other objects of general public irrespective of caste, creed, religion and sex not involving any activity for profit.

3.13 To develop in children and the youth a sense of disciplined conduct and patriotism.

3.14 To provide opportunities for self - employment and overall self-development of the students community and the youth.

3.15 To establish and assist hostels for students, boarding and lodging houses and educational institutions for the orphans and old age homes for senior citizens.

3.16 To institute and award scholarships to the students and scholars for any course of study, research and apprenticeship in all or any of the aforesaid types of educational institution in India.

3.17 To carry on community development programmes and to extend assistance for the upliftment of the economically weaker sections of the society and in particular for the development of women folk and also to construct, develop or assist community centres or halls for carrying on such activities.

4.BENEFICIARIES

4.1 The benefit of the Trust shall be open to all irrespective of Region, Caste, Race, Religion etc.,

4.2 The activities of the Trust shall be carried out anywhere in India. No activities of the Trust shall be carried out anywhere outside India.

5.TRUSTEES:

5.1 The number of the Trustees shall not be less than two and not more than seven, if the number of the Trustees shall fall below two, the Trustees shall not, except for the purpose of filling any vacancy, act so long the number is below the said minimum.

5.2 The Founders and First Trustees of the Trust shall be the Trustees for their life time until they resign.

5.3 All the Trustees holding office at any point of time shall be referred collectively as the Board of Trustees.

5.4 The Board of Trustees shall have the power to co-opt one or more persons in the Board of Trustees, subject to the limit prescribed in 9.1 above. The term of office of the co-opted Trustees shall be three years from the date of their co-option and they are eligible for renewal of their term.

5.5 From among the Trustees the Board shall nominate one person as the Chairman, cum Managing Trustee, one person as the Trustee-Secretary and one person as the TrusteeTreasurer.

The Board shall also have the power to nominate Trustees with any other designation also. The period for which they shall hold such office shall be specified by the Resolution of the Board nominating them. The first Chairman cum Managing Trustee shall be Mr. P. BALAKUMAR, the first Trustee Secretary shall be Mrs B. PREETHI ARASU and the first Trustee Treasurer shall be Mr.K. PITCHAI MANICKAM. 5.6 No person shall be eligible to be appointed as a Trustee and a Trustee shall cease to hold office if he;

i)becomes a person of unsound mind,

ii)is convicted of an offence involving moral turpitude

iii)has been or adjudged insolvent,

iv)is, or becomes deaf, mute or is suffering from a bodily infirmity which shall render him unfit for active work.

v)is otherwise disqualified to act as a Trustee according to the provisions in the Indian Trust Act,1882.

vi)Any vacancy in the office of the Trustees, due to death/resignation may be filled up by the continuing Trustees by appointing such persons whom they unanimously decide. The vacancy shall be filled within 30days from the date of creation of such vacancy

6.BOARD OF TRUSTEES;

6.1 The Management of the affairs of the Trust shall always vest in the Board of Trustees and it shall have all the powers which are necessary for carrying out the objects and purposes of the Trust and for administering the activities of the Trust.

6.2 The Board shall be the ultimate authority to review the functions and performance of the Trust.

6.3 The Board shall adopt bye-laws, constitution, rules and regulation as approved by the Board from time to time and amendments made on it and the Board shall follow the same for the better and efficient administration of the Trust.

7.PROCEEDINGS OF THE BOARD:7.1 The Board shall meet as often as necessary to transact the business relating to the Trust, provided that they shall meet at least once in every Board Meeting as Chairman.

7.3 The Quorum for the Board Meeting shall be two.7.4 A Minutes Book with pages serially numbered shall be maintained for recording the resolutions passed at the Board Meeting .The Minute Book shall be written up within 10 days from the date of the Meeting or the date of the next Meeting whichever is earlier .The Minutes of each Meeting shall be duly authenticated by the chairmen of that Meeting.7.5 Every Trustee present at any Meeting shall sign his name in an attendance Book maintain for that purpose.

7.6 In all matters pertaining to the Trust the decision of the majority of the Trustee shall be final. In case of tie of votes the chairman thereat shall have an additional(casting )vote.

7.7 The Board shall have the power to delegate any of its powers to any of the Trustees to the extent it considers necessary and expedient.

8. POWERS OF TRUSTEES For the furtherance of the objects of the Trust and in accordance with the provisions of Sec.13(1)(d) and read Sec.11(5) of the investment of use of Trust Funds ,for the time being in force, the Trustees will have the following powers:

8.1 To accept any donation ,contribution ,endowments grant or subscription in cash or in kind any persons, body or personal body of persons or trust, with or without conditions.

8.2 To apply the whole or part of the income of the Trust fund and accumulation thereof or whole or part of the Trust Fund to any one or more of the object of the Trust as the Trustees may in their discretion form time determine.

8.3 To sell ,dispose of, alienate or otherwise deal with any property comprising the Trust fund.

8.4 To open account in the name of Trust, Trustees and/or institutions run/conduct by the Trust with the bank or banks to operate such account and to give instructions to the bank and to provide for opening and operation of such account by one or more of the Trustees and to close such bank accounts.

8.5 To make, vary, alter or modify schemes, rules and regulations for carrying out the objects of the Trust and for the management of the affairs thereof and/or running any institutions in furtherance of the objects of the Trust and otherwise for giving effect to the objects of the Trust with the prior approval of the commissioner of Income Tax.

8.6 To raise loans and advances fir the purpose of the Trust and to repay such loans and advances from the out of the income or funds of the Trust.

8.7 To purchase or acquire movable or immovable properties including vacant sites and or buildings and to construct, renovate or demolish buildings or structures for the purposes of the Trust.

8.8 To let out, rent or hire any of the landed properties of the Trust or take on lease, rent or hire any properties for the use and purpose of the Trust.

8.9 To accept from India or abroad including donations sponsorship, fees, grant and aid in money, in kind in landed property or in any other mode either by way of addition to the general corpus of the trust or for being applied on anyone or more of the specified object of the Trust or for the general purpose of the Trust.

8.10 To constitute an Advisory Committee and nominate members therein as required from time to time.

9.LIABILITY OF TRUSTEES:

9.1 A Trustee resigning his office or otherwise ceasing to be a Trustee shall not, by reason of that fact alone be relieved from his liability to the Trust or to his co-Trustee in respect of his acts of commission or omission or defaults during the period of his trusteeship. No Trustee shall be made liable for the acts or defaults of his predecessor but where co-trustee jointly commit a breach of trust, each shall be jointly and severally liable for the whole of the loss or consequences occasioned by the breach.

9.2 The Trustees shall not be liable for any loss that may be caused to the Trust funds, property or trust by a competent court of law. The private liabilities of the Trustees, collectively or individually shall not affect the Trust.

10.ASSETS AND FUNDS

10.1 The Trust shall maintain Bank Accounts in its name and the same shall be operated by the Trustees or by any such persons as the board may resolve from time to time.

10.2 The sum of Rs.1000/-initially contributed by the FOUNDERS of the Trust towards the corpus of the trust is hereby acknowledged by the trustees as having received. As on that date there is no movable or immovable property in the name of the Trust.

10.3 Such of the moneys of the Trust that cannot be applied immediately o at an early date for the purpose of the object, shall be kept invested in such manner and in such modes as the Board may decide subject to the regulations contained in the Indian Trusts Act, 1882 and Income Tax Act, 1961. The investment of the funds of the Trust shall be in accordance with provisions of section 13(1)(d) read with section 11(5) of the Income Tax Act, 1961.

10.4 The Board shall have the power to release or otherwise dispose of any or all the investments from time to time in the interest of the Trust. The Board may utilize the proceeds of such realization or disposal for any of the objects of the Trust/ and or for reinvestments as provided in clause (b) above.

10.5 All Investments shall be made in the name of the Trust. The Trustee/Trustees authorized by the board shall execute the necessary documents on behalf of the Trust for the purpose of clause (b) and (c) above.

11.ACCOUNTS

11.1 The trustees shall cause true and accurate accounts to be kept of all money received and spend and of all matters is respect thereof in course of management of trust properties or in relating to the carrying out of the object and purposes of the trust as well as of all assets, credits and effects of the trust properties.

11.2 The accounting year of the trust shall be ending on every year on 31st march

and for the first of it shall be on 31st march 2014.The said accounts of the

trust shall be regularly audited by a qualified auditor every year.

12. ARBITRATION :

The trust shall confirm to the provisions of the Indian trust act,1882 in all ,matters not expressly provided for herein, and in case of any difficulty or doubt arises on any question in respect of the management or administration of the trust or on any matters failing hereunder, the trustees may, on behalf of the board apply to the court for opinion, advice, direction or order and the trustees acting there upon shall be demand, so far as regards their responsibility to have discharged their duties in respect thereof.

13.IRREVOCABLE TRUST :

Its hereby expressly declared that is trust is public charitable trust and that its irrevocable.

14. CYPRESS :

If, at any time and for any reason, the functions of the trust fails, the net assets and funds of the trust shall be transferred to any other public charitable trust or trusts or to any institutions having similar objects of the trust, as may be determined by the board of trustees.
