3. QUALITY AND MARKETINGThe Dealer undertakes to comply with the Supplier's corporate identityrules and the Supplier’s guidelines for brand management, as in effect fromtime to time, as well as such instructions, product presentations and profilematerial that the Supplier from time to time reasonably requests that theDealer complies with. The Dealer acknowledges and agrees that a breachof any provision in such rules, guidelines or instructions shall be consideredas a material breach of these Terms by the Dealer.

4. INTERNET SALESThe Supplier reserves the sole and exclusive right to use the internet tomarket, sell and deliver its products to the consumer/privacy market (B2C).The Dealer may only use the internet to market, sell and deliver to theprofessional market (B2B).

The Dealer undertakes to comply with the Supplier’s corporate identity rules and guidelines, as in effect from time to time, and all other instructions for internet sales that the Supplier may reasonably request that the Dealer comply with. The Dealer acknowledges and agrees that a breach of any provision in such rules, guidelines or instructions shall be considered a material breach of these Terms by the Dealer.

5. QUALITY FOLLOW-UPThe Supplier reserves the right to monitor and enforce compliance withsections 3 and 4 by the Dealer.

6. TERMS OF PAYMENTUnless otherwise agreed in writing, payment is due 30 days after the invoicedate. If any payment is overdue, the Supplier is entitled to default intereston the outstanding amount at the rate of 10% per annum until full paymentis made, in addition to all other remedies available under these Terms or atlaw.

7. PRICE ADJUSTMENTSThe Supplier has a right to continuously and at any time adjust itsprices due to exchange rate fluctuations, changes in commodityprices, material changes in any of the Supplier’s products, and uponother changes in the Supplier’s cost basis that the Supplier couldnot reasonably have foreseen when confirming the Order with theDealer.

8. WARRANTYThe only warranties given by the Supplier for any products andservices provided to the Dealer are the warranties set forth in theSupplier’s Price List.

THE SUPPLIER HEREBY WAIVES AND DISCLAIMS ALL OTHER WARRANTIES, INCLUDING ANY AND ALL IMPLIED WARRANTIES SUCH AS WARRANTY OF MERCHANTABILITY AND WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE.

9. INTELLECTUAL PROPERTYAll intellectual property rights, such as patents, trademarks, designrights, copyrights and know-how, used in or relating to productsoffered by the Supplier, are the property of the Supplier and nothingin the Order or these Terms shall be interpreted or understood as atransfer of ownership of any such right.

The above notwithstanding, the Dealer has the right to, subject to the restrictions that the Supplier from time to time communicates to the Dealer, use the Supplier's trademarks free of charge for the sole purpose of marketing the Supplier’s products, provided that such use complies with sections 3 and 4 of these Terms.

The Dealer shall promptly notify the Supplier if the Dealer becomes aware, or has reason to suspect, that a third party is infringing the Supplier’s intellectual property rights.

10. TERMS OF DELIVERYUnless otherwise agreed in writing, products are delivered DAP –Delivered At Place (Incoterms 2010). For orders with a total valueof USD 800 or more (list price), the shipping cost is included in theprice. A shipping fee of USD 40 will apply to orders with a total valueof less than USD 800 (list price). Drop Ship. A fee of $20 per order willbe charged to any delivery made to a private residence.

If the Dealer suspects that products have been damaged or stolen during transit, the Dealer must inform the Supplier within 48 hours of receipt, via e-mail at: [email protected].

11. RETAINED OWNERSHIPThe Dealer acknowledges and agrees that Supplier shall retain titleand ownership of any and all product shipped to the Dealer until theDealer has fulfilled its obligations under the Order and these Terms,or if the Supplier terminates the Order before the Dealer has fulfilledits obligations under the Order and these Terms. The Dealer doesnot have the right, and agrees not to, without the Supplier's priorwritten consent, dispose of any products before they have been fullypaid for.

12. ANTICIPATED BREACHIf the Supplier reasonably believes that the Dealer will not perform amaterial obligation under the Order or these Terms, the Suppliermay suspend delivery of products and demand that acceptablesecurity is provided for the Dealer’s due fulfilment of its obligations.

General Terms for Business Partners

Flokk

1. SCOPEThese general terms and conditions (the "Terms") apply to all orders anddeliveries of products and services that Flokk USA Inc. (the "Supplier")provides to its dealers (“Dealers”).

These Terms form an integral part of all orders submitted by a Dealer (“Orders”) and any deviation from these Terms must be made in writing duly signed by the Supplier in order to be effective.

2. ORDER CONFIRMATIONThe Supplier’s obligation to deliver a product or service pursuant to an Orderis binding only when the Supplier has issued a written order confirmationto the Dealer (to the email address(es) stated by the Dealer on the Order).

The order confirmation shall include information regarding what product is being ordered, the price of the product and the estimated shipping date from the Supplier’s facility.

The Dealer agrees to carefully verify that the content of the order confirma-tion is consistent with the Order and to provide the Supplier with prompt written notification of any discrepancies. If the Supplier has not received such written notice from the Dealer within 24 hours from the time the order confirmation was sent to the Dealer, the Order shall be deemed amended and the Dealer will be bound by the content of the order confirmation.

13. THE SUPPLIER’S LIABILITYThe Supplier shall compensate the Dealer for defects in deliveredproducts, provided that the defect existed at the time of delivery andprovided that the defect was not caused or aggravated by abnormal orcareless use of the product. The Supplier’s liability is strictly limited tothe supply of spare parts, redelivery of the product, or to provide a, inrelation to the defect, reasonable reduction in the purchase price.The Dealer is not entitled to any other remedies.

THE SUPPLIER SHALL UNDER NO CIRCUMSTANCES BE LIABLE FOR INDIRECT, CONSEQUENTIAL OR INCIDENTAL DAMAGES OF ANY KIND.

THE DEALER ACKNOWLEDGES AND AGREES THAT THE SUPPLIER’S TOTAL LIABILITY UNDER ANY CIRCUMSTANCES IS LIMITED TO THE PURCHASE PRICE THAT THE DEALER HAS PAID TO THE SUPPLIER FOR THE RELEVANT DELIVERY WHICH THE DEFECT OR THE CLAIM RELATES TO.

14. PRODUCT LIABILITYIf the Dealer receives a claim from a third party in any way relating tothe Supplier’s products, the Dealer shall forward a copy of the claim tothe Supplier without delay, and the Supplier has the right to inspect alldocuments that have been and will be exchanged with the third partyand shall be given an opportunity (but not an obligation) to, at its owncost and expense, assist in defending the Dealer.

15. EXCUSED PERFORMANCEIf the completion of an Order is obstructed or made unreasonablyonerous due to circumstances beyond the Supplier’s control, such as fire,war, requisition, confiscation, trade and currency restrictions, labordisputes, riot and civil commotion, shortage of transportation, generalshortage of goods, restrictions in the supply of power and defects ordelays in deliveries from suppliers caused by the above, the Supplier’sperformance under any Order and these Terms shall be excused.Notwithstanding the foregoing, each party may terminate the Order bygiving written notice to the other party if the Supplier’s performance isdelayed more than six (6) months as a result of any of the circumstancesset forth in this section 15.

16. NOTICE OF CLAIMAny claim by the Dealer against the Supplier must, in order to be validand enforceable against the Supplier, be made in writing by theDealer to the Supplier within one (1) year after the Supplier has deliveredthe product or performed the services that the claim relates to, exceptwith respect to claims regarding breach of Supplier’s product warrantywhich may be made in writing within [three (3)] months from the time theDealer discovered, or reasonably should have discovered, the defect thatallegedly constitutes a breach of warranty.

17. ENTIRE AGREEMENTThese Terms, together with any terms set forth in an Order or theapplicable Price List, constitute the entire agreement between theSupplier and the Dealer with respect to Orders placed by the Dealer andproducts sold by the Supplier. If for any reason any part or section of anOrder, the applicable Price List or these Terms is declared invalid orunenforceable, the remaining terms shall still be applicable andenforceable between the parties, subject only to such adjustments thatmay be necessary as a result of the invalid or unenforceable terms.

18. AMENDMENTSThe Supplier has a unilateral right to amend these Terms at anytime without notice to the Dealer. To each Order submitted bythe Dealer the latest version of these Terms will apply, and it is theDealer’s own responsibility to identify and familiarize itself withthe latest version of these Terms when submitting and Order.The latest version is always available on the Supplier’s website.

19. APPLICABLE LAW AND DISPUTE RESOLUTIONThese Terms, and all Orders to which these Terms apply, shallbe governed by the substantive laws of the State of New York,without regard to its conflict of law provisions.

Any dispute, controversy or claim arising out of or in connection with an Order or these Terms shall be finally settled by arbitration in accordance with the American Arbitration Association’s Commercial Arbitration Rules. Regardless of the amount in dispute, the Expedited Procedures shall apply.The seat of arbitration shall be New York City, and the language to be used in the arbitral proceedings shall be English.

20. ACCORDANCE WITH SANCTIONS LISTS

The Distributor acknowledges and agrees that under no circumstances is it acceptable to the Supplier that Flokk products are distributed to persons, groups or entities on the Office of Foreign Assets Control Sanctions List (US); https://sanctionssearch.ofac.treas.gov

and the EU Financial Sanctions List;

The Supplier retains the right to suspend business with the Distributor indefinitely, should it be proven that products have been distributed topersons, groups or entities on the aforementioned lists.

Payment Terms

Delivery Terms

Spare parts guarantee

Flokk guarantees the delivery of spare parts for a minimum of 10 years after the chair’s production date. The guarantee covers the parts necessary to maintain the chair’s original functionality.

Change/Cancellation of orders

Change/cancellation of orders of chairs through the Quick Ship program is not possible. For orders outside the Quick Ship program, the order can not be amended or changed 24 hours after order confirmation has been sent. Each amended or cancelled order will incur a charge of USD 50 per order. Once production has started, orders cannot be changed. Flokk Warranty

General warranty terms and conditions

Flokk´s warranty covers all HÅG chairs against material and manufacturing faults and defects from the chair’s production date. The warranty covers any necessary spare parts. Labor and transport costs are not covered. Wear and tear must be expected from normal use and are not covered by the warranty. Unless otherwise specified, the maximum weight for users is 300 lb.

The warranty is offered on the condition that the chair is used in normal conditions and for the purpose intended, and fabrics/leather undergoing normal cleaning and according to the specification of the fabric supplier. The guarantee does not cover the consequence of wear and stains when choosing a light (white) color for plastic or metal components.

Flokk reserves the right to make small construction alterations without notice.

Flokk Fabrics and Colors

Flokk Standard collection

Flokk provides a 10 year warranty for fabrics/leather from the Flokk standard fabric and color collection on fabric faults when the chair is in normal use for up to 9 hours per day and when used under normal conditions and for the purpose intended.

Flokk provides a 5 year warranty for fabrics/leather on fabric faults when the chair is in normal use for more than 9 hours per day.

For fabrics outside the standard fabric collection, a 3 year warranty applies if not otherwise specified. Flokk provides a 3 year warranty on polyurethane and vinyl upholsteries. For quick ship fabrics Chicago, Sprint and Wollsdorf leather, the 10 year warranty applies.

Special or Customer specified fabrics/leather COM/COL.

The general warranty terms and conditions cover the chair against material and manufacturing faults, but not the upholstery. This does not affect your rights and obligations under local law.

For COM fabrics, customers are responsible for chemical content, including verifying compliance with applicable federal or state regulations. Customer specified fabrics/leather can only be used following approval by Flokk.

Maintenance guide

Care of fabric upholstery:

Regular vacuum cleaning is recommended. Vacuum clean the chair with a furniture brush or wipe it with a clean white cloth or sponge slightly dampened with lukewarm, clean water. Marks and stains should be removed with a proprietary cleaner.

Care of leather upholstery:

Wipe with a slightly damp cloth and gently rub dry. A good proprietary hide food should be applied at least once year and more often if the leather is in a dry atmosphere or close to a heat-source. Do not remove any plastic parts or attempt to open the seating mechanism. Contact your Flokk dealer if the chair requires servicing or other maintenance. For additional maintenance advice, please contact customer service.

Approvals and Certifications

Flokk is ISO 9001 accredited. The German test institutes, LGA and Intertek, have approved and issued the GS certificate (Geprüfte Sicherheit) for a numberof HÅG products. HÅG task chairs are tested in accordance with both EN 1335 Type A (European office chair standard) and ANSI Bifma (American standard).

HÅG conference and visitor chairs are tested in accordance with EN 13761, EN 16139 and the ANSI Bifma standard.

HÅG SoFi, HÅG Inspiration and HÅG Excellence are tested according to British Standard BS 5459-2, a commonly used standard for intensive use (24 hours). The British Standard (BS 5459-2) tests that the chair will be suitable for more than 8 hours daily use and for persons weighing up to 330 lb.

Decorative stitching can truly add the little extra to your chair.

The 10-color thread program is available on all textiles for the following HÅG chairs:

The HÅG Futu comes in our two uniquely designed FutuKnit™ fabrics. Made from the finest quality polyester knit, combining aesthetics, ergonomics and

flexibility, the 3D knitted fabrics have been technically developed to retain their tautness - providing ultimate support and comfort. By using the technical 3D

knitting technique each fabric is knit in one piece that results in no waste. Both the FutuKnit solid and the FutuKnit mesh fabrics are available in seven

appealing colors and can be matched. Each color is inspired by nature, and all fabrics have a 10-year guarantee.

It´s structure is soft and comforting with a semi-transparent effect. The mesh is available in black and light grey. Easy to combine with many fabrics and colors

from the Flokk fabric collection. Mesh by Palmhive is only available for the back of HÅG SoFi mesh.
