Descrizione generale forniture CAE - Utilizziamo componenti di alta qualità e dei migliori produttori Nazionali ed Internazionali, quali: Siemens, Festo, Rittal, IFM,Phoenix Contact, THK, SKF,

Sew, Chiaravalli, Atos, Atlas Copco,Marzocchi, ecc. - I prezzi esposti, in offerta, sono ottenuti in base al nostro capitolato interno e la fornitura si intenderà implicitamente accettata secondo il nostro standard,

salvo richieste diverse di utilizzo di marchi e componenti differenti da farsi in forma scritta prima della richiesta di offerta. - Per conoscere al dettaglio il nostro capitolato standard, si prega di richiederlo appositamente. - Tutti i secondari mobili, per le macchine di saldatura, saranno realizzati con il nostro esclusivo sistema di fissaggio delle trecce per evitarvi costosi ricambi da tenere in magazzino. - Tutti i secondari statici, per le macchine di saldatura, eccetto gli elettrodi, saranno trattati con nichelatura galvanica per eliminare il fenomeno dell'ossidazione del rame e garantire il miglior contatto sempre. - Le strutture metalliche, saranno verniciate secondo il colore preferito dal Cliente. In mancanza di indicazioni scritte il colore standard CAE è : arancio RAL 2004 per le parti mobili, grigio/nero RAL 7021 per le strutture di base, grigio/bianco RAL 7038 per le strutture accessorie e giallo RAL 1021 per i carter di protezione. - La garanzia e' fissata in 24 mesi dalla data di collaudo e comunque non oltre 27 mesi dalla data di consegna. - La garanzia e' intesa come integrale per ogni parte dell'impianto, ma non garantisce la disponibilità immediata dei pezzi di ricambio. - La lista dei ricambi consigliati, non obbliga il Fornitore ad essere responsabile del mancato approvvigionamento da parte del Cliente, e nemmeno di responsabilità diretta o indiretta in caso di danneggiamento di un componente, non presente nella lista dei ricambi consigliati. - Durante il periodo di garanzia, i ricambi e la manodopera, sono a carico del Fornitore, solo se il problema occorso è imputabile inequivocabilmente al Fornitore stesso, e non derivato da manomissioni, imperizia, cattivo uso, cattiva conservazione, utilizzo oltre i termini di fornitura o insufficiente manutenzione periodica causati dal Cliente. - Resta a carico del Cliente, il delta costo, oltre il prezzo di riferimento del Fornitore, per il reperimento urgente del ricambio, qualunque esso sia. - Sono altresì a carico del Cliente i costi di supporto e di aiuto ai tecnici del Fornitore per la risoluzione del problema e le spese di vitto, alloggio e trasferimento dei tecnici del Fornitore. - Non e' accettata qualsivoglia richiesta di risarcimento danni derivati dal fermo macchina, di qualsiasi tipo e natura. - Nella quotazione non e' inclusa l'installazione, salvo indicazioni differenti. - Il costo per una giornata tipo è così composta e non soggetta a trattativa : Estero = Tecnico € 550,00 + Vitto e Alloggio € 130,00; Italia = Tecnico €

450,00 + Vitto e Alloggio € 130,00. - I biglietti aerei con i costi di trasferimento, sono fissati a forfait in : Italia = € 650,00 Estero = € 1.300,00 - I giorni Festivi ed i giorni di viaggio sono equiparati ai giorni Feriali. - I costi per lo scarico, la posa in opera, le eventuali opere edili e qualsiasi spesa accessoria sul sito di installazione, sono a carico del Cliente. - Eventuali deroghe alle regole di installazione, dovranno essere specificate nell’ordine di fornitura o in calce alla presente offerta per essere valide. - In ogni caso orari e giornate, saranno adattate per raggiungere gli obiettivi comuni di avviamento e messa in produzione, con la nostra consueta disponibilità. Le giornate aggiuntive per eventuali problemi imprevisti, dovranno essere oggetto di discussione tra le parti, a lavori conclusi, applicando una comune logica di buonsenso. - Eventuali malfunzionamenti delle macchine o dell’impianto, di qualsiasi natura e genere, se risolvibili e se prontamente affrontati dal Fornitore, non

sollevano in alcun modo il Cliente dagli obblighi concordati di pagamento. - Il Fornitore è obbligato ad attivarsi per risolvere i problemi nel più breve tempo possibile, dando la propria disponibilità telefonica dalle ore 7:00 alle ore

19:00 per i giorni feriali e dalle 7:00 alle 12:30 per il sabato. Su richiesta per particolari condizioni di accordo e per motivazioni circoscritte, la disponibilità verrà estesa ad H24x7 giorni su due numeri mobili appositi.

- Garantiamo che ci adopereremo per velocizzare al massimo le procedure e che il più breve tempo possibile è inteso come “risposta immediata” all’emergenza richiesta, ma l’effettiva partenza dei Tecnici è dipendente da motivazioni oggettive non prevedibili, quali: condizioni meteo; disponibilità aerei, treni, navi; disponibilità parti di ricambio; esito diagnosi preventiva telefonica; festività principali; rilascio rapido dei visti di ingresso, ecc.

- Nel caso di pagamenti a mezzo leasing, per l’anticipo versato come caparra, verrà stilato un documento confirmatorio di ricezione dell’ammontare. I costi per le garanzie assicurative, se richieste, per la caparra versata, saranno tutti a carico dell’acquirente.

- La somma versata come caparra, verrà restituita all’acquirente, entro 48 ore dal saldo dell’importo totale della fattura da parte della società di Leasing a CAE.

- L’unica forma di Leasing ammessa è: collaudo alla spedizione, pagamento immediato. Non saranno accettati Leasing a pagamento posticipato rispetto la data di liberatoria di pagamento.

- La proprietà del bene mobile, oggetto della presente offerta/contratto di vendita, qualora sia scelta la formula di pagamento rateizzata, si trasferirà al compratore solo con il pagamento dell’ultima rata del prezzo, ai sensi dell’ art. 1523 cc. In caso di mancato o ritardato pagamento del prezzo totale pattuito, il venditore avrà diritto a riprendersi il bene, tramite risoluzione del contratto, qualunque sia il prezzo pagato dal compratore.

- Accettiamo forme di pagamento con Lettera di Credito solo se confermata dalla nostra banca. Le spese di conferma della Lettera di Credito sono sempre a carico del Compratore.

- E’ possibile sviluppare offerte personalizzate di pagamento, anche a lungo termine, purché richieste in via preventiva. - L’offerta, se non diversamente scritto nelle condizioni specifiche, è valida per 60 giorni dalla data di emissione. - La presente offerta diventa contratto efficace in ogni sua parte, al momento dell’ordine, indipendentemente dal mezzo di conferma dell’ordine stesso, purché ne sia riportato il numero identificativo univoco sul documento di ordine o conferma d’ordine del Cliente. - Le nostre macchine, sono dotate di tutte le tecnologie e gli accorgimenti necessari per poter essere pienamente marcate CE e rispondenti ai dettami della Direttiva Macchine, specialmente in materia di sicurezza attiva e passiva. - La Dichiarazione di Conformita' CE, debitamente firmata è il documento che garantisce che state acquistando una macchina sicura. - La Documentazione completa aggiornata, viene fornita alla consegna e comunque non oltre le 4 settimane dall’installazione per garantire che eventuali modifiche o varianti fatte per motivazioni di installazione vengano riportate correttamente, fornendovi una documentazione aggiornata e rispondente. - Le nostre documentazioni sono in Italiano per forniture Nazionali e Italiano/Inglese per forniture Internazionali. Eventuali lingue differenti verranno quotate a parte. - Le nostre macchine, se non diversamente specificato nelle condizioni specifiche, sono tutte Ex-Work ( Franco Fabbrica ) - Qualsiasi contratto di fornitura o accordo, è valido solo ed esclusivamente se accettato e firmato dal Sig. Overview for CAE’s supplies We use high quality components by the best national and international producers, such as Siemens, Festo, Rittal, IFM, Phoenix Contact, THK, SKF, Sew, Chiaravalli, Atos, Atlas Copco, Marzocchi, etc.. All price deals are made in accordance with our internal specifications and the supplies shall be deemed implicitly accepted according to our standard, except when required to use different brands and different components, which has to be notified in writing prior to the RFP. To know the details of our standard components, please ask for it specifically. - All secondary movable connections for our welding machine, will be made with our unique fastening braids system to avoid costly parts to be stocked. - All secondary static connections for welding machines, except for the electrodes, will be treated with nickel plating to eliminate the phenomenon of copper oxidation and always ensure having the best contact possible. - Metal structures, will be painted in the color you prefer. When lacking a written request, CAE will use our standard color: orange RAL 2004 for the moving parts, gray / black RAL 7021 for the basic structures, gray / white RAL 7038 for the accessory structures and yellow RAL 1021 for the protection casings. - Guarantee is set in 24 months from the testing, and, at any rate, no later than 27 months from the delivery date. - Guarantee is understood as integral to every part of the machine, but does not guarantee the immediate availability of spare parts. - The list of recommended spare parts, does not require the Contractor to be responsible for failure to supply by the Customer, or for direct or indirect responsibility in the event of damage to a component not in the list of recommended spare parts. - During the warranty time, spare parts and labour, shall be borne by the Supplier only if the problem occurred is clearly attributable to the Supplier, and not derived from tampering, incompetence, misuse, improper storage, use beyond the terms of supply or inadequate maintenance caused by the Customer. - It remains charged to the Customer, the “delta cost”, besides the reference price by the Supplier, for the urgent retrieval of spare parts, whatever it may be. - Also charged to the Customer are the costs for help and technical assistance to the Supplier’s technicians for the resolution of the problem and the cost of the Supplier’s technicians food, accommodation and transfer. - No claim for any damage caused by stop in production of any kind and nature is ever accepted. - The price has never included the installation, unless instructed otherwise. - Costs for a typical day are not liable to negotiations and are as follows: international Technical intervention = € 550,00 + € 130,00 for daily board and lodging; Italy Technical intervention = € 450,00 + € 130,00 for daily board and lodging. - Airline tickets with transfer costs, are set at a fixed price: Italy = € 650,00 = € 1.300,00 Abroad - Public holidays and travel days are equivalent to working days. - The costs of unloading, installation, building works and any expenses incidental to the installation site, are charged to the Customer. - Any exception to the rules of installation, must be specified in the order of delivery or at the bottom of this offer in order to be valid. - In any case, times and days, will be adapted to achieve the common goals of goodwill and start of production, with our usual availability. The additional days for any unforeseen problems, should be discussed between the parties, at works completed, by applying a logic of common sense. - Eventual malfunctions of machinery or system of any kind and nature, if addressed promptly and resolved by the Supplier, do not raise in any way the Customer from the agreed payment liabilities. - The Supplier is obliged to take steps to resolve problems as quickly as possible, offering his own availability on the telephone from 7:00 to 19:00 on weekdays and from 7:00 to 12:30 on Saturdays. Upon request, for special conditions of agreement and for limited reasons, his availability will be extended to H24x7 on two specific mobile numbers. - We guarantee that we will work to speed up procedures and that the shortest possible time is intended as "immediate response" for emergency request, but the actual departure of the Technicians depends on objective reasons that cannot be foreseen, such as weather conditions, flights, trains, ships availability, availability of spare parts; outcome of previous diagnosis via telephone, main holidays, issue of entry visas, etc.. - In the case of payments by leasing, for the advance payment as a deposit, will be issued a report confirmatory receiving the amount. The cost of the insurance coverage, if required, for the deposit, will all be paid by the Buyer. - The amount paid as deposit will be returned within 48 hours from the balance of the total amount of the invoice by the leasing companies to CAE. - The only form of leasing permitted is: testing before shipment and payment. Will not be accepted leasing forms to post-payment than the date of shipment. - The ownership of movable property, the subject of this offer / sale contract, if it is chosen form of payment in installments, will be transferred to the purchaser only on payment of the last installment of the price, within the meaning of art. 1523 cc. In the event of late or non-payment of the total price agreed, the Seller shall be entitled to recover the good, by a resolution of the contract, regardless of the price paid by the Buyer. - We accept forms of payment by Letter of Credit only if confirmed by our bank. The costs of confirmation of the Letter of Credit are the responsibility of the Buyer. - We can develop for us customized offers payment, even in the long term, if requested in advance. - The offer, unless otherwise stated in specific conditions, is valid for 60 days from the date of issue. - This offer becomes effective contract in its entirety, at the time of order, regardless of the means of confirmation of the order, provided that it is given the unique identification number on the document order or confirmation of the Buyer. - The machines are equipped with all the technology and the necessary precautions to be fully CE marked and conforming to the dictates of the Machinery Directive, especially in respect to active and passive safety. - The Declaration of “CE” Conformity, duly signed, is the document that guarantees you are purchasing a safe product. - The updated comprehensive documentation is provided upon delivery and no later than 4 weeks from installation, to ensure that any changes or variations made, for installation reasons, are reported correctly, giving an updated documentation that meets all requirements. - Our documents are in Italian for the home market and in Italian/English for international deliveries. Any different language will be offered separately. - Our machines, unless otherwise specified in terms of detail, are all Ex Works. - Any supply contract or agreement is valid if and only if accepted and signed by Mr. Fabrizio Galdelli, unless authorized proxies.

Introduzione/Introduction Innanzitutto Vi ringraziamo per il tempo che vorrete dedicare alla lettura della presente offerta. Questo progetto, nasce per soddisfare le esigenze di un Cliente, utilizzatore della prodotto DCPD ( Dicyclopentadiene) per componenti importanti e grandi per automobili. E’ venuto da noi, chiedendo se potevamo sviluppare qualcosa di innovative per il settore, un prodotto con caratteristiche uniche ed univoche per il tipo di utilizzo richiesto. Il nostro Cliente cercava un’alternativa a quello che c’era in commercio. Non voleva sprecare soldi per una pressa mastodontica, costosa nell’acquisto nel mantenimento e sostanzialmente inutile per il processo del Dicyclopentadiene. A lui non serviva una pressa idraulica, ma un sistema di mantenimento in chiusura dei suoi stampi in alluminio, in grado di fornire una pressione certa e costante, con movimenti veloci e con corse di oltre 1 metro. Aveva bisogno di una serie di elettrovalvole idrauliche per poter gestire gli attuatori dei vari stampi e di poterle gestire a suo piacimento. Voleva che i dati giornalieri e gli allarmi fossero memorizzati in un PC e che questo PC fosse connesso alla rete Internet per poterci accedere da remote. Voleva che ci fosse un sistema di diagnostic che aiutasse gli operatori a resolvere eventuali problem ed anche che ci fosse una connessione remota per teleassistenza tra noi e la nostra macchina. Ed il tutto con un piano di lavoro semplicemente enorme che doveva scendere perfettamente parallel al piano. Non è stata una passeggiata per noi, e considerando che il primo obbiettivo era il contenimento del prezzo, per poter rientrare rapidamente dell’investimento ed iniziare a guadagnare con lo stampaggio. Abbiamo accettato la sfida, decidendo di investire anche noi nel progetto, perché crediamo che ci sia molto da fare in futuro per chi utilizzerà questa tecnologia di produzione. Il risultato finale ci ha premiato con enorme soddisfazione, nostra e del nostro Cliente. Abbiamo prima realizzato una macchina pilota da 2 x 3,5 metri. Minimale nelle prestazioni, e priva di molti optional. Questa macchina è servita, per testare in produzione la bontà della nostra idea di sincronismo e le prestazioni del nostro modello di telaio. Dopo oltre 18 mesi di produzione continua su tre turni la macchina pilota ci ha confermato che le nostre idee erano vincenti. Abbiamo iniziato quindi la produzione della seconda macchina, la XXL, con una dimensione di 5,5 metri x 2,6 metri. Un vero gigante. Ed è in questa seconda macchina che abbiamo inserito tutte gli optional che la rendono unica e meravigliosa. Siamo molto soddisfatti della nostra macchina. Siamo sicuri che piacerà anche a Voi. Questa machina da 75 tonnellate è pronta alla vendita. Stiamo studiando una versione più potente da 150 tonnellate. First of all, thank you for the time you want to devote to the reading of this offer. This project was designed to meet the needs of a Customer, user of the product DCPD (Dicyclopentadiene) to make components for automobiles. He came to us, asking if we could develop something innovative for its industry, a product with unique features for the requested use. Our client is looking for an alternative to what was on the market. He did not want to waste money on a press gigantic, expensive purchase and maintenance, and essentially useless for the process of Dicyclopentadiene. He did not need a hydraulic press, but a system of maintenance in closure of its aluminum molds, able to provide a certain and constant pressure, with fast movements and with strokes of more than 1 meter. He needed a series of hydraulic solenoid valves to handle the actuators of various molds and manage them to his liking. He wanted, daily data and alarms were stored in a PC and this PC was connected to the Internet to be able to access it from remote. He wanted us to be a diagnostic system that would help operators to solve any problem and also that there was a dial-up connection for remote maintenance between us and our machine. And all,with a work plan simply enormous, which was down perfectly parallel to the floor. It was not a walk for us, and considering that the first target was to contain the price, to return rapidly to the investment and start earning money with molding. We accepted the challenge and decided to invest ourselves in the project, because we believe that there is much to do in the future for those who will use the technology of production. The end result has rewarded us with great satisfaction, our and our customer. We first carried out a pilot machine 2 x 3.5 meters. Minimal in performance, and devoid of many optional. This machine is served, to test production in the goodness of our idea of synchronism and performance of our model of frame. After more than 18 months of continuous production in three shifts the pilot machine has confirmed to us that our ideas were winners. We started then the production of the second machine, the XXL, with a dimension of 5.5 meters x 2.6 meters. A true giant.
