The following Sections have been modified to read as shown below. Changes made to the original RFQ document are in bold print and highlighted, and deletions made have a strike through.

Item I.D. Specific Requirements, item 1, page 5, Elevator Preventive Maintenance, the following has been changed and as follows:

a. Bidder shall provide, as ATTACHMENT D-1, a Comprehensive Maintenance Schedule for Elevator Preventive Maintenance Agreement (PMA) and/or Phone Monitoring and Maintenance Agreement for each location with the Bidder’s bid response. The schedule shall include a schedule routine inspection, frequency of the inspection and the details of the work to be done during the inspection. Bidder shall also include the number of per annual service request included in the PMA/PMMA.

Item I.D. Specific Requirements, item 1, page 5, Elevator Preventive Maintenance, the following requirements will be added in the RFQ.

k. The elevators must be maintained in accordance with the manufacturer’s recommendations and must conform to the most recent adopted edition of the following codes:

1) ANSI/ASME, A17, the American National Standard Safety Code for Elevators and Escalators.

2) California Code of Regulations, Title 8, Elevator Safety Orders.

3) All other laws, regulations, codes rules and procedures, etc.

l. The Contractor shall provide all labor, supervision, tools, equipment, materials (except as specified) and transportation:

1) Perform maintenance services visits to examine, maintain, adjust, and lubricate all components.

2) Perform all fire-related inspections, code-mandated safety/mechanical inspections and tests (including “call out” phone testing) on all specified equipment.

3) Replace all worn and defective consumable parts, and adjust equipment for proper operation, following manufacturer's recommendations and code requirements.

At a minimum, the elevators will be adjusted to meet the following performance standards and will be maintained using these standards for the term of the agreement.

1) Floor-to-floor time will be measured from the time a car leaves a floor, travels one floor up or down, and the doors are ¾ open.

2) Door times will be in accordance with current standards.

3) Leveling accuracy under lead conditions will be +/- 3/8 of an inch.

4) Elevators starting, acceleration, stopping and leveling will be smooth and free from jars or bumps. Full speed riding will be without swaying or vibration. Elevator and door operation will be quiet. Stop made under operation of Emergency Stop Switch will be more rapid than a routine stop, but not violent.

5) Door pressure will be maintained below 30 pounds in closing.

n. Notification to County and Service Records

1) The bidder must notify the assigned General Services Agency-Building Maintenance Department (GSA-BMD) Shop Supervisor on the elevator site/building 24 hours before coming on site to perform any work.

2) The bidder must keep all work schedules on display in the respective elevator equipment rooms. Technicians must complete the schedule when he/she works on equipment and listing all tasked completed in that visit.

3) The bidder must notify the assigned GSA-BMD Supervisor any lapse on “Permits to Operate an Elevator” and any additional annual tests required by ANSI/ASME A17 for the elevators included in the contract.

4) The bidder must maintain a history of inspection performed by the Contractor and the State for all equipment in the contract.

5) Any condition found affecting the immediate safety of the passengers or elevator equipment must be reported immediately. Within 12 hours, a written report clearly listing the defects found and the action recommended must be emailed to the assigned GSA-BMD Shop Supervisor.

o. The Contractor shall not be responsible for:

1) Rebuilding or replacement of major elevator components, such as elevator machines, motor-generator sets and ropes.

2) New construction or modification of existing elevator equipment.

3) Repair of damage caused by fire, flood or other disaster.

Item I.D. Specific Requirements, item 2, page 6, Phone Monitoring and Maintenance, the following requirements will be added in the RFQ.

c. 24-hour monitoring of all elevator telephones.

d. Verbal acknowledgement within 10 minutes.

e. Regularly testing that the phones in the elevator works by making an outgoing call to the appropriate party and confirming a response during routine monthly maintenance.

f. Documenting the tests results and agreeing to report failed calls to GSA-BMD immediately (even if it is the vendor’s job to get the phone fixed and they do it, GSA–BMD should be notified on what elevators have a non-working phones).

g. Doing an initial survey of all elevators to document the phone numbers on elevator phones, how each elevator phone dials out and where the calls go to when someone needs help. (Answering service, automatic dialer etc.) Forwarding said document in MS Excel format to GSA-BMD within the first 30 days of the newly executed contract.

Item I.E. Deliverables / Reports, page 9, the following requirement will be added in the RFQ.

4. Contractor will include elevator ID number, address of the elevator, work completed and/or recommendations on all reports and payments (invoice) request submitted to the County.

3. Small and Emerging Locally Owned Business: The County is vitally interested in promoting the growth of small and emerging local businesses by means of increasing the participation of these businesses in the County’s purchase of goods and services.

As a result of the County’s commitment to advance the economic opportunities of these businesses, Bidders must meet the County’s Small and Emerging Locally Owned Business requirements in order to be considered for the contract award. These requirements can be found online at:

For purposes of this bid, applicable industries include, but are not limited to, the following NAICS Code(s): 238290 as having no more than $14,000,000 in average annual gross receipts, 811310 as having no more than $7,000,000 in average annual gross receipts or 333921 as having no more than 500 employees over the last three (3) years.

An emerging business, as defined by the County, is one that has less than one-half (1/2) of the preceding amount and has been in business less than five (5) years.

Responses to Questions

Q1) On page 4, I.C Bidders Qualifications, item 1.a which states:a. “Bidder shall be regularly and continuously engaged in the business in servicing

elevators and escalators for at least five (5) years.”Can the County consider changing the requirement to three (3) years allowing small business a chance to submit a competitive bid?

) No. The County will not change its requirement on the bidder’s qualifications.

Q2) Exhibit D-1 of the RFQ says, “Comprehensive Maintenance Schedule (PMA/PMMA)”. Is the County will be providing the PMA/PMMA documents or is that for the Bidder to provide?

) The County is asking the bidder to provide a detailed listing of elevator maintenance frequency and task to be performed included in the PMA/PMMA.

Q3) If there are any elevators that require proprietary diagnostic tools, special tools, software and manuals; is the County in possession of these items, or if not, will the County purchase them?

) The County is not in possession nor will they purchase any diagnostic tools, software and manuals; proprietary or otherwise. It is the sole responsibility of contractor to possess all tools, proprietary or otherwise, needed to adequately service the equipment. For some elevators there may be special proprietary tools that are already onsite. These are the County’s property and must be left onsite.

Q4) Are the bid conferences and site visits mandatory for Bidders?

) No, attendance at a networking/bidders conferences and site visits are highly recommended but is not mandatory.

Q5) Is this the same contract that’s in place right now? ) Yes, the current contract expires on November 30, 2013.

Q6) On page 6 of the RFQ, under “D-Specific Requirements,”, 1.i., will the Contractors be paying a fee for the 8-hour training class for Site Security Clearance?

Q7) There is no fee on the training, however all other expenses and wages associated with vendor’s staff attendance shall be borne by the contractor.

Q8) How long does it usually take for the Contractor to check in for a visitors pass?) The GSA-BMD will be asking the Alameda County Sheriff’s Office (ACSO) to issue civilian

ID badges to each qualified elevator technician. Unless otherwise pulled, these ID badges will stay with the technician for the life of this contract; self-renewing on an annual basis. Contractor technicians will show these badges at the gate or other passage point and will then check in with staff at the GSA-BMD Combined shop, which is on-site at each of the detention facility locations. It will therefore not be required for elevator technicians to check in at the gate each time they come to perform work. The vendor is responsible for informing GSA – BMD in writing of any lost/stolen badges and employees who are no longer within their employee within 24 hours of the occurrence.

Q9) Do the Contractors need to go to the training if they will go the jail(s) at a frequency of greater than once a month?

) Yes, the training is mandatory for “all civilians who have frequent and regular access to detention facilities”. It’s for the contractor’s safety and is required by both GSA-BMD and the ACSO in order to work within the walls of the detention facility; where all the elevators are located.

Q10) Does anyone who might go to the jail(s) to service the elevators at any time need to go through the training? Does the County provide the training?

) Yes. Site clearance is mandatory for anyone who has frequent and regular access to the Alameda County detention facilities. This shall include the primary technician, back-up technician(s) and any other vendor staff who will access the detention facility on a frequent and regular basis. Further, Contractor must limit the number of technicians who access our detention facility building equipment on a frequent and regular basis to no more than three technicians.

Q11) On page 18 of the RFQ, under “M-Award”, number 2, please clarify. Will the bid be split?) Yes, there will be a possibility that the award will be awarded to different vendors. If the

lowest responsible bidder declined the award, the award will be awarded to the second-lowest responsible bidder.

Q12) Will there be one (1) point of contact for all the buildings, or will there be a manager per building?

) The County has four (4) combined shops and supervised by different GSA-BMD Shop Supervisor. The Contractor will be dealing with staffs that work under the Shop Supervisors.

Q13) If the Bidder doesn’t want to bid on a particular building or buildings, are they required to bid on it?

) No, partial bid is acceptable. As stated on page 9 of the RFQ, under “D-Specific Requirements”, number 7, “Contractor is required to bid on the entire building including all elevators listed at that building/site. No partial bids on the number of elevators per site/buildings are acceptable”. On the Bid Forms on Exhibit A of the RFQ, all the buildings and the number of elevators are listed, and the Bidder has to quote per building and the number of elevators listed within those buildings.

Q14) Is this RFQ low bid per building? ) Yes, the award will be per building/item number. The County intends to award to the

lowest responsible bidders whose response meets the County’s requirements.

Q15) What services, parts, and remote diagnostics are to be included or excluded from the Preventative Maintenance Agreement?

) Routine preventative maintenance and all associated parts and services and see also additional specific requirements included in this addendum.

Q16) Standard Service Agreement template, General Terms and Conditions, Section 2, indemnification, page 4 of 18. Will the County accept proportional indemnification language along the lines of the following:“For the purposes of this indemnification paragraph, the terms “Claim” or “Claims” shall mean claims, demands or liabilities asserted against Owner or Owner’s subcontractors or employees (the “Indemnitees”) by third persons for physical damage to or destruction of the third person’s tangible property or for physical injury or death to third persons arising from, based on or related to Contractor’s performance of Contractor’s duties or services provided or to be provided by Contractor to Indemnitees under this Agreement together with Indemnitees’ reasonable attorney’s fees incurred in connection with a Claim. To the extent that a Claim is based on or directly arises from the negligent or wrongful conduct of Contractor or its employees or subcontractors it will be deemed to be a “Covered Claim.” To the fullest extent permitted by law, Contractor will indemnify, defend and hold harmless Indemnitees from and against any Covered Claim, including but not limited to reasonable attorneys’ fees incurred by Indemnitees in the defense of such Covered Claim; however, any obligation of Contractor hereunder shall be proportional to and shall be limited to the comparative negligence of Contractor, its employees and subcontractors in causing the Covered Claim. Contract will not be liable for any settlement by an Indemnitee with a claimant unless such settlement is agreed to in writing by Contractor. A settlement not

agreed to in writing by Contractor will not be deemed to be a Covered Claim. Contractor, at its election, may select counsel and may participate in the litigation and/or settlement of a Covered Claim.”

) No, at this time, the County would not accept the proposed indemnification language.

Q17) Will a bid bond be required with the bid? Will performance and payment bonds be required of the successful Bidder?

) No, a bid bond is not required.

Q18) Will the County waive the SLEB requirement for this RFQ? ) The SLEB requirement for this RFQ has been waived; please see modifications above.

Q19) On page 19 of the RFQ, M.9 - Standard Services Agreement template, are final terms and conditions such as insurance, indemnification, etc. negotiable?

) As stated on page 19 of the RFQ, final Standard Agreement terms and conditions will be negotiated with the selected bidder. The template contains minimal Agreement boilerplate language.

Q20) Will the County provide a detailed specification for the scope of work for this RFQ or is the Bidder to provide a scope with the bid?

) Please see above for additional specific requirements.

Q21) May the Contractor include an obsolescence clause to exclude obsolete parts?) No, however County of Alameda remains committed to fostering ongoing, good business

relationships with our service providers and will perform due diligence to ascertain the best course of action should this situation arise during the contractual period.

6. The undersigned acknowledges that Bidder will be in good standing in the State of California, with all the necessary licenses, permits, certifications, approvals, and authorizations necessary to perform all obligations in connection with this Error: Reference source not found and associated Bid Documents.

7. It is the responsibility of each bidder to be familiar with all of the specifications, terms and conditions and, if applicable, the site condition. REQUIRED DOCUMENTATION AND SUBMITTALS

All of the specific documentation listed below is required to be submitted with the Exhibit A (Revised) – Bid Response Packet in order for a bid to be deemed complete. Bidders shall submit all documentation, in the order listed below and clearly label each section with the appropriate title (i.e. Table of Contents, Letter of Transmittal, Key Personnel, etc.).

1. Table of Contents: Bid responses shall include a table of contents listing the individual sections of the quotation and their corresponding page numbers. Tabs should separate each of the individual sections.

2. Letter of Transmittal: Bid responses shall include a description of Bidder’s capabilities and approach in providing its services to the County, and provide a brief synopsis of the highlights of the Proposal and overall benefits of the Proposal to the County. This synopsis should not exceed three (3) pages in length and should be easily understood.

3. Exhibit A (Revised) – Bid Response Packet: Every bidder must fill out and submit the complete Exhibit A (Revised) – Bid Response Packet.

(a) Bidder Information and Acceptance:

(1) Every Bidder must select one choice under Item 10 of page 3 of Exhibit A and must fill out, submit a signed page 4 of Exhibit A.

(b) SLEB Partnering Information Sheet:

(1) Every bidder must fill out and submit a signed SLEB Partnering Information Sheet, (found on page 15 of Exhibit A) indicating their SLEB certification status. If bidder is not certified, the name, identification information, and goods/services to be provided by the named CERTIFIED SLEB partner(s) with whom the bidder will subcontract to meet the County SLEB participation requirement must be stated. Any CERTIFIED SLEB subcontractor(s) named, the Exhibit must be signed by the CERTIFIED SLEB(s) according to the instructions. The County reserves the right to contact references other than those provided in the Response and to use the information gained from them in the evaluation process.

(d) Exceptions, Clarifications, Amendments:

(1) This shall include clarifications, exceptions and amendments, if any, to the RFQ and associated Bid Documents, and shall be submitted with your bid response using the template on page 17 of this Exhibit A (Revised) – Bid Response Packet.

(2) THE COUNTY IS UNDER NO OBLIGATION TO ACCEPT ANY EXCEPTIONS, AND SUCH EXCEPTIONS MAY BE A BASIS FOR BID DISQUALIFICATION.

4. Key Personnel: Bid responses shall include a complete list of all key personnel associated with the Error: Reference source not found This list must include all key personnel who will provide services/training to County staff and all key personnel who will provide maintenance and support services. For each person on the list, the following information shall be included:

(a) The person’s relationship with Bidder, including job title and years of employment with Bidder;

(b) The role that the person will play in connection with the Error: Reference source not found;

(c) Address, telephone, fax numbers, and e-mail address; (d) Person’s educational background; and (e) Person’s relevant experience, certifications, and/or merits.

5. Description of the Proposed Services: Bid response shall include a description of the terms and conditions of services to be provided during the contract term including response times. The description shall contain a basis of estimate for services including its scheduled start and completion dates, the number of Bidder’s and County personnel involved, and the number of hours scheduled for such personnel. The description shall identify spare or replacement parts that will be required in performing maintenance services, the anticipated location(s) of such spare parts, and how quickly such parts shall be available for repairs. Finally, the description must: (1) specify how the services in the bid response will meet or exceed the requirements of the County; (2) explain any special resources, procedures or approaches that make the services of Bidder particularly advantageous to the County; and (3) identify any limitations or restrictions of Bidder in providing the services that the County should be aware of in evaluating its Response to this RFQ.

In order to meet the Small Local Emerging Business (SLEB) requirements of this RFQ, all bidders must complete this form as required below.

Bidders not meeting the definition of a SLEB (http://acgov.org/auditor/sleb/overview.htm) are required to subcontract with a SLEB for at least twenty percent (20%) of the total estimated bid amount in order to be considered for contract award. SLEB subcontractors must be independently owned and operated from the prime Contractor with no employees of either entity working for the other.
