General Terms & Conditions

1. Before filling up, the complete Tender Specification should be read properly. If the bidder finds any discrepancy, omission, ambiguity or conflict in or among the documents forwarded or be in doubt as to their meaning, specification and interpretations, such matter shall be brought to the attention of BL, at least four working days in advance, prior to the due date of the tender. (a) The bidder should be an Original Equipment Manufacturer/authorized distributor. In case bidder is an authorized distributor, valid distributorship certificate issued by the manufacturer should be submitted along with their offer. Copy of the agency/distributor agreement with the foreign principal & the precise relationship between them and their mutual interest in the business should be provided. The nature of after sales service to be rendered by the Indian Agent is also to be mentioned.

(b) The bidder must have after sales service facility in India or its representative at Kolkata.

(c) The bidder should adhere to the technical specification & standard features in

Annexure A.

3. Submission of tender will be the conclusive evidence as to the fact that the bidder has fully satisfied themselves as to the technical specification, general terms & conditions and all other factors, affecting the performance of the contract and the cost thereof.

4. The successful bidder is not allowed to give any “subcontract’ without prior permission and written approval of BL. Please note that bid of any bidder may be rejected if a conflict of interest between the bidder and BL is detected at any stage.

5. Right of acceptance / Rejection: BL reserves the right to accept/reject any or all

offers without assigning any reasons, whatsoever. Telex/Telegraphic/Fax offers shall not be accepted. The company will not accept any responsibility for any delay in uploading of bids in e-procurement website.




6. Time Schedule: -The delivery should be made within 8 weeks from the date of issue

of Purchase Order (PO) at BL, Quality Assurance Laboratory at P-43, Hide Road Extension, Kolkata-700 088

7. Deviation in Technical Specification : No deviation in the technical specifications will be accepted. 8. Standard Accessories: All standard accessories as per the lists mentioned in Annexure A above required for

operation and maintenance of the equipment shall be supplied with the equipment. 9. User manuals and instruction booklets shall be supplied with the equipment (2

hard copies and 1 soft copy) 10. Supervision during commissioning : The supplier must depute their engineer during equipment set up and commissioning

at QC Laboratory, SBU : G&L, Balmer Lawrie & Co Ltd, P-43 Hide Road Extension, Kolkata-700 088 within 5 working days of intimation. No service charges are to be paid separately.

11. Testing & Calibration: Testing and calibration certification shall be submitted along with the equipment &

shall be provided for the period of guarantee, as applicable. 12. EMD & SD : The bidder shall be required to furnish EMD of Rs 30000/- (Thirty Thousand only).

EMD shall be furnished along with the Bid by A/c payee Pay order / Demand draft in favor of Balmer Lawrie & Co. Limited, payable at Kolkata. The EMD may also be submitted through bank guarantee as per BL’s format valid till end of the offer. The EMD of the unsuccessful bidders will be refunded after finalization of the order. EMD of the successful bidder will be retained till Security Deposit is received. Tenders submitted without EMD shall be rejected. EMD shall not bear any interest. Small Scale Units registered with National Small Scale Industries Corporation are exempted from payment of EMD. Small scale units registered with National Small Scale Industries Corporation should enclose a copy of their valid registration certificate to make their quotation eligible for consideration. SECURITY DEPOSIT (SD) : The successful bidder shall submit within 20 days of issue of LOI / PO an interest free SD towards the satisfactory execution of the order. SD shall be 2 % of the order value. Failure to submit SD shall render the bid liable for cancellation without further recourse to the bidder, and forfeiture of EMD. SD shall be furnished by a Bank Guarantee in the prescribed format to be given subsequently to the successful bidder. The SD shall be released after completion of the successful completion of the contract. Failure to comply with the requirements of the order during execution of the order shall make the SD liable for forfeiture.

Procedure For Bid Submission

The bidder shall submit his response through bid submission to the tender on eProcurement platform at https://balmerlawrie.eproc.in by following the procedure given below. The bidder would be required to register on the e-procurement market place at https://balmerlawrie.eproc.in and submit their bids online. No offline bids shall be entertained by the Tender Inviting Authority. The bidders shall submit their eligibility and qualification documents, Technical bid, Financial bid etc., in the standard formats prescribed in the Tender documents, displayed in eProcurement web site. The bidders shall upload the scanned copies of all the relevant certificates, documents etc., if required, in support of their eligibility criteria/technical bids in the eProcurement web site. However, bulky documents need not be scanned and uploaded but physical copy of the same should be sent to the Tender Inviting Authority office before the tender opening date. The bidder shall sign on the statements, documents, certificates, uploaded by him, owning responsibility for their correctness/authenticity.

B. Submission of Hard copies:

After submission of bid online, the Bidders are requested to submitted their offer with

technical literature, write up, GA drawing etc. as applicable in a sealed envelope superscripting the envelope with tender no., date & due date on or before the due date and should reach at our office at Balmer Lawrie & Co. Ltd., P-43, Hide Road Extension, Kolkata-700088 within the due date and time to the attention of Shri Arnab Ghatak, Sr. Manager (Materials).

14. Payment terms:

(i) 80% of the basic value of the equipment alongwith all appurtenances and taxes and duties will be paid within 30 days from the date of supply of the same.

(ii) 10% of basic value will be released after successful commissioning of the equipment.

(iii) Balance 10 % of basic value shall be kept as retention money & will be released after completion of guarantee period without any interest or against submission of performance bank guarantee.

(iv) PBG shall be furnished in specified format and shall be valid for the warranty

period from the date of successful commissioning.

15. Guarantee Period: - The bidder shall guarantee against any and all defects in design,

workmanship, materials and performance for a period of twelve (12) months from the date of supply, set up & commissioning of the equipment. If any defects develop during the guarantee period, it shall be remedied promptly free of charge by the supplier and all expenses for transportation of goods necessitated for such repairs or replacement shall be borne by the supplier.

16. After sales service: - Bidder shall have to specify the contact details of local service person to provide after sales service facility for system at our premises.

17. Liquidated damages: - In case of delay in supplying the equipment and /or failure to set up and

demonstration, the bidder is liable to pay a pre-determined liquidated damages @ ½%

of PO value per week of delay subject to a maximum 5% of the PO value.

18. Delivery & Set up Location, working days & hours: - The delivery is required to be done to the following:

The exact date and time for set up, installation and commissioning will be notified to the supplier after delivery).

19. Factory Rules: - Supplier personnel have to abide by the Balmer Lawrie & Company, Greases and Lubricants, Kolkata factory rules and regulations.

20. Offers & Enclosures: The technical literature and other documents, submitted by the bidders, along with their respective offer(s) will be non-returnable and shall be the property of BL even in the case of unsuccessful bidders. However BL shall maintain the confidentiality for the submitted documents.




21. Validity period of the offer:

The period of validity of the quotations should be 60 days from the due date of the tender.

22. LIMITATION OF LIABILITY: Notwithstanding anything contrary contained herein, the

aggregate total liability of Seller under the agreement or otherwise shall be limited to 100% of order Price. However, neither party shall be liable to the other for any indirect and consequential damages, loss of profits or loss of production.

23. Force Majeure

Shall mean and be limited to the following – (a) War / Hostilities (b)Riot or Civil Commotion (c) Earthquake, flood, tempest, lighting or other natural disasters (d) Restrictions imposed by the Government or other statutory bodies which prevents or delays the execution of the Contract by the Seller . The Seller shall advise Purchaser/Consultant by a registered letter duly certified by the local Chamber of Commerce or statutory authorities, the beginning and end of the above causes of delay within seven (7) days of the occurrence and cessation of such Force Majeure conditions, In the event of delay lasting over one month, if arising out of causes of Force Majeure, Purchaser reserves the right to cancel the Contract and the provisions governing termination stated under Article 28 above shall apply .For delays arising out of Force Majeure, the Seller shall not claim extension in completion date for a period exceeding the period of delay attributable to the causes of Force Majeure and neither Purchaser nor Seller shall be liable to pay extra costs provided it is mutually established that Force Majeure conditions did actually exist. Seller shall categorically specify the extent of Force Majeure conditions prevalent in their works at the time of submitting their bid and whether the same have been taken into consideration or not in their quotations. In the event of any Force Majeure conditions, the Seller or the Purchaser shall not be liable for delays in performing their obligations under this order and the delivery dates will be extended to the Seller without being subject to price reduction for delayed deliveries, as stated elsewhere.

24. Resolution of disputes / Arbitration

All disputes or difference whatsoever that shall at any time arise between the parties relating to execution of this Contract/Purchase order shall be referred to the Sole Arbitrator appointed by the Chairman and Managing Director of BL, Kolkata whose award shall be final & binding on both the parties. The contract shall deem to have been entered at BL, and all suits in respect of this contract shall be under the jurisdiction of the court in Kolkata.

14. भुगताि संबंक ितत:

(v) सभी सहानक सपक रणों, क रों और शुल क सहहत सपक क र के आिार मूल न के 80 प्रनतशत क ा भुगताि इसक ए आपूनतय क ए तारीख से 30 हदिों के भीतर क र हदना जा गा।

(vi) आिार मूल न क ा 10 प्रनतशत क ा भुगताि सपक क र के सफलतापूियक चालू होिे के बाद कक ना जा गा।

(vii) आिार मलू न क ा शषेक 10 प्रनतशत िंरकेंशि राएश के ूपप में रखा जा गा और गारंकी अिधि परूी क रिे के बाद ना निट पादि बैंक गारंकी जमा क रिे के बाद बगरै कक सी ब् नाज के इसक ा भगुताि कक ना जा गा।

15. गारंटी अि क:- बोलीदाता उपस कर की आपूनतण, स ाावपत करिे रर ीाेू करिे की तारीख से बारह (12) माह के एल डडजाइि, क ारीगरी, सामधग्रनों ना निट पादि में कक सी क ना सभी दोषक ों के एल गारंकी देगा। अगर गारंकी अिधि के दौराि क ोई दोषक सामिे आता है तो आपूनतयक ताय द्िारा इसे तुरंत ठी‍क कक ना जा गा और ासी मर् मत ना बदलिे के एल सामाि के पिंरिहि पर होिे िाले सभी व् नन आपूनतयक ताय द्िारा िहि कक जा ंगे।

16. बबक्री उपरांत सेिा:- बोेीदाता को हमारे पररसरों में शसस टम के शेव बबक्री उपरांत सेिावं मुहैया करािे के शेव स ााि य सविणस य यष्क्त का संपकण वििरण देिा होगा।

17. निणीत हजाणिा खंड: -

20. बोशेयां रर अिुेग् िक: बोलीदाता द्िारा अपिी बोली (बोएलनों) के साथ प्रक तुत कक ग तक िीक ए दक तािेज, और अन् न दक तािेज िापस िहीं कक जा ंगे और बोलीदाता के असफल रहिे के मामले में ने बी ल क ए संपष्सत होगी। बहरहाल, बी ल प्रक तुत दक तािेजों क ए गोपिीनता बिा रखेगी।

21. बोेी की िकैता अि क:

कोटेििों की िैकता निविदा क ए देन तारीख से 60 ददि होगी।

22. दानयत ि की स मा : अिबुिं ना अन् न के तहत विके्रता क ा कु ल दाननस ि ऑडयर के मलू न के 100 प्रनतशत तक सीएमत होगा। बहरहाल, कक सी अप्रस नषेत और पिंरणामी हानि, लाभ क ए हानि ना सस पादि क ए हानि के एल क ोई भी पाकद दसूरी पाकद के प्रनत सस तरदानी िहीं होगी।

23. अ्रबत याशित घटिा

क ा अथय नि् िािसुार होगा और नह नि् िएलखखत तक सीएमत होगा –

(क ) नदु्/नदु् जैसी ष्कथनत (ख) दंगे और िागिंरक सपद्रि (c) भकंू प, बाें, आंिी, त्रबजली ना अन् न प्राकृ नतक आपदा ं (घ) सरक ार ना कक सी अन् न सावंिधिक निक ान द्िारा लगा ग प्रनतबिं जो विके्रता क ो ठेके क ो निट पाहदत क रिे से रोक त ेहैं ना इसमें विलबं क रत ेहैं। विके्रता ासी अप्रस नाएशत घकिा के शूुप होिे ना ूपक िे के सात हदिों के अदंर विलबं के सपरोक् त क ारण के शूुप ना अतं में क थािीन चैंबर ऑफ क ॉमसय ना सांविधिक प्राधिक ारी द्िारा विधिित ूपप स ेप्रमाखणत रष्जक कडय पि द्िारा के्रता/कं सलकेंक क ो सधूचत क रेगा, क माह से अधिक विलबं, नहद नह अप्रस नाएशत घकिा के क ारण होता है, के मामले में के्रता क ो ठेके क ो रद्द क रिे क ा अधिक ार है और ऊपर अिचु छेद 28 के तहत समाष्टत पर लाग ूसपबिं इस पर लाग ूहोंगे। अप्रस नाएशत घकिा के क ारण सस पन् ि विलबं के मामले में विके्रता परूा क रिे क ए तारीख क ो अप्रस नाएशत घकिा के क ारण के एल ष्ज् मेदार विलबं क ए अिधि तक बेंािे क ए मांग िहीं क रेगा और ि तो के्रता और ि ही विके्रता अनतिंरक् त लागत क ा भगुताि क रिे के एल ष्ज् मदेार होगा परंत ुइस पर परक पर सहमनत है कक अप्रस नाएशत घकिा िाक ति में घहकत हुई थी। विके्रता अपिी बोली प्रक ततु क रत ेसमन अपिे क ानों में प्रचएलत अप्रस नाएशत घकिों क ए सीमा क ा क पट क ूपप से सल लेख क रेगा और बता गा कक सिक ए क ोकेशि में इस पर विचार
