PROCEDURE: The property will be offered as a single tract. Bids will be taken in lump sum total dollars. All bid increments throughout the sale will be at the sole discretion of the auctioneer.

DOWN PAYMENT: A 10% down non-refundable payment will be due immediately after being declared the buyer. The down payment may be paid in the form of wire transfer to the Escrow Agent. The balance of the contract purchase price is due in cash at closing. YOUR BIDDING AND THE CLOSING IS NOT CONDITIONAL UPON FINANCING.

ACCEPTANCE OF BID PRICES: The successful bidder must execute a form purchase agreement provided by the seller at the auction site immediately following the close of bidding. The final bid price is subject to approval or rejection by the seller.

POSSESSION: Possession will be given at closing.

RENTAL INCOME AND LEASES: Lease income shall be prorated to the date of closing. Seller shall assign all leasehold interests to buyer at closing.

PERMITS AND LICENSES: Seller shall assign all assignable permits to buyer at closing. Seller shall assign and/or execute appropriate documentation to permit post-closing assignment of its interest in all leases, including a Sovereignty Submerged Lands Lease, licenses, permits, and franchises to the buyer. CLOSING: Closing shall be 30 days following the date of the auction or as soon as applicable closing documents are completed.

TITLE: Seller shall furnish the buyer at seller’s expense an owner’s policy of title insurance in the amount of the purchase price and agrees to provide and execute a proper deed conveying insurable title to the real estate to the buyer, subject to the Permitted Exceptions.

REAL ESTATE TAXES AND ASSESSMENTS: The 2020 calendar year taxes shall be prorated to the date of closing.

EASEMENTS: Sale of property is subject to any and all recorded or apparent easements.

MINERAL RIGHTS: Sale shall include 100% of the mineral rights owned by the seller, if any.

PERSONAL PROPERTY AND IMPROVEMENTS: Seller will transfer to buyer at closing all buildings, docks, piers, wet slips, dry slips, improvements, fixtures, marina lift truck and personal property, excluding that personal property owned by tenants of the property.

AGENCY: Murray Wise Associates LLC is the exclusive agent of the seller.
