MINUTES The meeting was called to order at 6:31 p.m. Voting Members Present(Roll Call): Colleen Acker, Daryl Cheeseman, Jim Dull, Frank Fiala, Catherine Getty, Jack Miner, Rick Moore, Dan Parker, Russ Yarger. Absent: Doug Klein Others Present: None Staff Present: Dan Patton, Katie Ponsetto, Ron Welton Approval of Agenda: Dull motioned to approve the Board agenda for February 27, 2020, as amended and Moore seconded. Motion carried. Limited Public Comment: None Presentation by Program Coordinator Katie Ponsetto Items for Consideration:

A. Approval of January 23, 2020 Meeting Minutes: Motion by Dull to approve the minutes of the January 23, 2020, meeting as amended and Moore seconded. Motion carried.

B. Adoption of Parks Commission Bylaws: Patton noted that Bylaws had been reviewed by our legal counsel and are ready for adoption. Once adopted by the Parks Commission they will be forwarded to the County Commissioners for consideration at their March 17, 2020 COW meeting. Getty indicted there was a grammtic error on page 7. Cheeseman requested additional consideration be given to the Article 5, Section 2B to change from “May” to “Shall” Discussion held. Motion by Fiala to change “May” to “Shall” in Article 5, Section 2 B, seconded by Parker. Discussion held. Cheeseman requested a roll call vote: AYES: Acker, Cheeseman, Fiala NAYS: Dull, Getty, Miner, Moore, Parker, Yarger ABSENT: Klein Motion failed three (3) to six (6) and one (1) absent. Motion by Getty to approve the Barry County Parks & Recreation Commission Bylaws as amended (typo error) and Dull seconded. Discussion held. Cheeseman requested a roll call vote: AYES: Acker, Dull, Fiala, Getty, Miner, Moore, Parker, Yarger NAYS: Cheeseman ABSENT: Klein Motion passes eight (8) to one (1) and one (1) absent.

D. Approval to Release Recreation Mini-Grant Program Packet for 2020: Motion by Getty, seconded by Moore for releasing the packet to local units and schools. Motion carried.

E. Authorization to Release Playground RFP: Patton indicated this RFP was try and solicit proposals on actual cost

for design and drawing for constructing a new playground at Charlton Park. Motion by Acker, seconded by Getty for releasing the Playground RFP. Motion carried.

F. Approval Service Agreement Port-a-Johns 2020: Motion by Getty, seconded by Dull for awarding the 2020 Port-a-John contract to Advantage Drain & Plumbing/Hall Septic. Motion carried.

G. Approval of Purchase of 2020 John Deere Mower: Motion by Getty, seconded by Dull to purchase a new John

Deere mower from Greenmark of Hastings. Motion carried.

H. Approval of Purchase of two 2020 John Deere Gators: Motion by Getty, seconded by Moore to purchase two new John Deere Gators from Bader & Sons Inc., of Grand Ledge. Motion carried.

Old Business: None New Business:

A. Project Focus 2020-2021: Patton is requesting some direction regarding project focus for 2020-2021. Discussion held. Projects identified within the Barry County Master Plan for additional detailed work as agreed upon by consensus of the Commission were playground at Charlton Park, camping at Charlton Park, trail development near Stimson Road in the Northwestern part of Barry County, and trail acquisition or easement near Solomon Rd. between Hastings and Middleville. Patton indicated there are many other smaller projects that staff will dedicate time to as well, but these will be the ones receiving the greatest focus.

Director’s Report: Weather has been very unpredictable and for this reason the Recreation Area at Charlton Park has been closed periodically because of road conditions. Event planning has been moving forward with various groups, clubs and organizations. Park Commissioner Time

Parker stated his appreciation for having meeting agenda and accompanying paperwork ahead of time. Fiala suggested he would like to have someone from the local Pickle Ball organizers attend one of the BCRPC

future meetings and discuss with the Commission. Consensus to invite someone for the next meeting. Parker would like everyone to invite volunteers and previous Charlton Park and Parks & Rec. board members to

the board meetings to keep them involved. Announcements:

Next Meeting Date: March 26, 2020, beginning at 6:30 p.m. in the Upjohn House at Historic Charlton Park. Adjournment Motioned by Getty, seconded by Moore to adjourn the meeting at 9:10 p.m. Motion carried. Meeting adjourned

REQUEST FOR PROPOSALS CAMPGROUND / RV PARK AT HISTORIC CHARLTON PARK PHASE I

Landscape Architecture, Design, and Document Services July 1, 2020 The Barry County Parks and Recreation Commission is soliciting sealed proposals for Landscape, Design and Construction Engineering (PE, CE) Services, for the completion of preliminary design, site review, and construction costs, for a new campground to be located at Historic Charlton Park. The Consultant will be responsible for all work, but not limited to, topographical survey, development of preliminary plans, develop specifications and special provisions and development of preliminary estimates of cost for the project and permit applications. Specifications and all pertinent data relating to this project can be obtained by contacting Barry Parks & Recreation Commission, 2545 S. REQUEST FOR PROPOSALS

CAMPGROUND / RV PARK AT HISTORIC CHARLTON PARK PHASE I Landscape Architecture, Design, and Document Services

Issue Date: July 1, 2020

Due Date: August 14, 2020, 4:00 p.m.

1.0 Project Description

The Barry County Parks & Recreation Commission is seeking sealed proposals from qualified individuals,

firms or organizations for professional landscape architecture and design services related to the construction of

a new campground at Historic Charlton Park.

The proposed location is Historic Charlton Park, 2545 S. Charlton Park Rd., Hastings, MI 49058. A map

depicting and more thoroughly describing the location are attached as Exhibit A. The located area is more

generally known as “the North Field”.

2.1 Due Date, Time and Place

All proposals are due no later than 4:00 p.m. on August 14, 2020 at the Barry County Parks & Recreation

Commission Administrative Office, 2545 S. Charlton Park Rd., Hastings, MI 49058. Proposals received at

other locations or delivered after the due date and time will not be accepted. The Barry County Parks and

Recreation Commission will open all bids at its Executive Committee meeting at 6:30 p.m. August 18, 2020 and

forward them to the full Board for review at their next regular meeting on Thursday, August 27, 2020 at its

posted meeting time and place.

2.2 Submission of Proposals

Proposals must be submitted in a sealed envelope or package and clearly marked on the outside: “Barry

County Parks & Recreation Commission RFP Campground HCP PHASE I.”

Responses to this proposal should be concise and must include all required information. Respondents are

required to submit an original and two (2) copies. The proposal must remain valid for at least 90 days.

Proposals should be prepared simply and economically, providing a straightforward, concise description of the

ability to meet the requirements of the RFP. Emphasis should be on completeness and clarity of the content.

2.3 Oral Presentation

Those submitting a proposal may be required to make an oral presentation of their proposal to a committee

consisting of commission and/or county officials. The presentation provides an opportunity for the respondent

to clarify the proposal to ensure thorough mutual understanding. The Commission will schedule such

presentations as it deems necessary.

3.0 General Information

SCOPE OF SERVICES

Please carefully read the following information that details the Parks Commissions expectations in relation to

the project scope of work. The selected contractor will provide the Commission with professional services to

realize the successful implementation of all aspects of this scope. Please provide a detailed analysis of

implementation and completion date. The contractor will be responsible for coordinating work with all sub-

contractors. The list and order of activities outlined below may be amended and finalized with the contractor.

All infrastructure improvements must be fully ADA compliant and strive for universal accessibility.

Provide recommendations for project priorities and potential log-term phases.

Provide cost estimates based on recommendations.

Provide detailed landscape drawings and design of camping area, including but not limited to campsite

locations, accessibility routes, roadways, parking, restroom/shower building location, and signage.

Provide supporting documentation applicable to MIDNR Trust Fund Application and Federal

LWCF for adherence to application process (requirements can be obtained by contacting the

MIDNR). Grant application submittal requires BCPRC approval by their February 25, 2021

meeting.

If awarded the contract the final documentation should include but is not limited to following analysis sheet for

inclusion in the conceptual design.

3.1 Right of Rejection

The Commission reserves the right to reject any or all bids/proposals, to waive informalities or irregularities in

bids/proposals, and/or to negotiate separately the terms and conditions of all or any part of the bids/proposals as

determined to be in the Commission’s best interest at its sole discretion.

3.2 Advice of Omission or Misstatement

In the event it is evident to a firm responding to the RFP that the Commission has omitted or misstated a material

requirement to the RFP and/or services required by the RFP, the responding firm shall advise the Parks

Commission Administrator’s Office at (269) 945-3775 of such an omission or misstatement.

3.3 Notification of Withdrawal of Proposal

Proposals may be withdrawn prior to the date and time specified for proposal submission with a formal written

notice by an authorized representative of the firm. Proposals submitted become the property of the Commission

and Barry County after the proposal submission deadline.

3.4 Rights to Pertinent Materials

All responses, inquiries, and correspondence relating to the RFP and all reports, charts, displays, schedules,

exhibits and other documentation produced by the firm and submitted as part of the proposal shall become the

property of the Commission and Barry County after the proposal submission deadline.

3.5 Cost of Preparation

The Commission will not pay any costs incurred in the proposal preparation, printing or demonstration process.

All costs shall be borne by the responding firm.

3.6 Standard Forms

Any preprinted contract forms the firm proposes to include as part of the contract resulting from a proposal must

be submitted as part of the proposal. Any standard contract provisions not submitted as part of the proposal and

subsequently presented for inclusion may be rejected. The Commission reserves the right to accept or reject in

whole or in part any form contract submitted by the firm and/or to require that amendments be made thereto, or a

Barry County professional services agreement be entered into.

3.7 Prime Contractor Responsibilities

The selected firm will be required to assume responsibility for all services offered in the proposal whether or not

they possess them within their organization. Further, the Parks Commission will consider the selected firm to be

the sole point of contact with regard to contractual matters, including payment of any and all charges resulting

from the contract.

3.8 Pre-Opening Inquiries/Response

Any explanation desired by a prospective firm regarding the meaning or interpretation of the RFP and attachments

must be requested in writing and presented to the Barry County Parks & Recreation Commission Administrator’s

Office. Written requests may either be mailed or faxed to (269) 945-0390.

All responses shall be in writing and shall be furnished to all prospective firms as an amendment to the RFP.

Receipt of all amendments shall be acknowledged upon the proposal by attachment at the time of the submission

of the proposal. All amendments shall be signed and dated by the firm. No oral explanation or instruction of any

kind or nature whatsoever given before the award of a contract to a bidder shall be binding.

4.0 Contractual Terms and Conditions

4.1 Indemnification and Hold Harmless

The selected firm shall, at its own expense, protect, defend, indemnify, save and hold harmless Barry County and

Barry County Parks & Recreation Commission, their elected and appointed officers, employees and agents from

all claims, damages, lawsuits, costs and expenses including, but not limited to, all costs from administrative

proceedings, court costs and attorney fees that Barry County and their elected and appointed officers, employees

and agents may incur as a result of the acts, omissions or negligence of the firm or its employees, servants, agents

or subcontractors that may arise out of the agreement.

The firm’s indemnification responsibility under this section shall include the sum of damages, costs and expenses

which are in excess of the sum of damages, costs and expenses which are paid out in behalf of or reimbursed to

the County and Commission, their officers, employees and agents by the insurance coverage obtained and/or

maintained by the firm.

4.2 Application Law and Venue

This agreement shall be construed according to the laws of the State of Michigan. Barry County Parks &

Recreation Commission and the firm agree that the venue for any legal or equitable action under this agreement

shall be established in accordance with the statutes of the State of Michigan and/or Michigan Court Rules. In the

event that any action is brought under this agreement in Federal Court, the venue for such action shall be the

Federal Judicial District of Michigan, Western District, and South Division.

4.3 Compliance with the Law

Firms shall render the services to be provided pursuant to this agreement in compliance with all applicable

Federal, State, and local laws, ordinances, rules, and regulations.

4.4 Independent Contractor

The bidder who is selected shall be an Independent Contractor and meet all requirements associated with

independent contractor status. The employees, servants and agents of the firm shall not be deemed to be and shall

not hold themselves out as employees, servants, or agents of the County and shall not be entitled to any fringe

benefits received by the County’s personnel, such as, but not limited to, health and accident insurance, life

insurance, longevity or paid sick or vacation leave.

4.5 Insurance

The selected firm shall purchase and maintain insurance not less than the limits set forth below. All coverage shall

be with insurance companies licensed and admitted to do business in the State of Michigan and have a minimum

A. M. Best Company's Insurance Reports rating of A or A-(Excellent).

a) Worker's Disability Compensation Insurance including Employers Liability Coverage in accordance

with all applicable Statutes of the State of Michigan.

b) Commercial General Liability Insurance on an “Occurrence Basis” with limits of liability not less than

$1,000,000 per occurrence and/or aggregate combined single limit. Coverage shall include the following:

(A) contractual liability; (B) products and completed operations; (C) Independent Firm s Coverage; (D)

Broad Form General Liability Endorsement or Equivalent.

c) Motor Vehicle Liability Insurance, including Michigan No-Fault Coverage, with limits of liability of

not less than $1,000,000 per occurrence combined single limit Bodily Injury and Property Damage.

Coverage shall include all owned vehicles, all non-owned vehicles and all hired vehicles.

d) Professional Liability Insurance (Errors and Omissions) shall be maintained during the life of this

contract with limits of liability of not less than $1,000,000 per claim.

e) Additional Insured - Commercial General Liability Insurance, as described above, shall include an

endorsement stating the following shall be “Additional Insureds”: Barry County, all elected and appointed

officials, all employees and volunteers, all boards, commissions and/or authorities and board members,

including employees and volunteers thereof.

f) Cancellation Notice - All insurances described above shall include an endorsement stating the

following: “It is understood and agreed that thirty (30) days advanced written notice of cancellation, non-

renewal, reduction and/or material change shall be sent to: Barry County Parks & Recreation Commission,

2545 S. Charlton Park Road, Hastings, MI 49058.”

g) Proof of Insurance - The firm shall provide to Barry County Parks & Recreation Commission at the

time the contracts are returned by it for execution, two (2) copies of certificates of insurance for each of

the and policies mentioned above. If so requested, certified copies of all policies will be furnished.

5.0 Award

5.1 Basis of Award

An award, if made, will be made to the responsible bidder whose proposal is most advantageous to Barry County

Parks & Recreation Commission, taking into consideration price and the other factors set forth in this Request for

Proposals. Information and/or factors gathered during interviews, negotiations and any reference checks, and any

other information or factors deemed relevant by Barry County Parks & Recreation Commission shall be utilized

in the final award. Barry County Parks & Recreation Commission reserves the right to accept or reject any or all

proposals and to award the contract to the proposal that Barry County Parks & Recreation Commission deems

most advantageous to Barry County.

5.2 Presentations

Upon receipt and evaluation of the responses, selected Proposers may be required to make in person presentations

to the Commission and/or County.

5.3 Contract Approval

The final award of a contract is subject to approval by the Barry County Parks & Recreation Commission.
