AIA Honolulu Board of Directors Meeting Minutes for December, 20, 211
I) The meeting was called to order at 435 pm with a quorum present., and the following people were present including: Spencer Leineweber, FAIA; Pip White, AIA; Phil Camp, AIA, Eric Nelson, AIA, Reid Mizue, AIA, Scott Wilson, AIA, Mayumi Hara, AIA, Katie Mac Neil, AIA, Tonia Moy, AIA, Zon Sullenberger, AIA, Amy Blagriff, Hon AIA Honolulu, Executive Vice President (EVP). Absent from the meeting were: Sandi Quildon, Secretary, Terry McFarland, Treasurer, and Kris Palagi, Associate Director
II) A motion was made, seconded and passed to accept Minutes of November 2011 meeting. There were no new business items.
III) EVP Amy Blagriff presented a summary report of the Chapter financials YTD November, 2011. EVP Blagriff provided a detailed summary of the proposed 2012 Budget. Discussion by Board members followed. A motion was made and seconded to approve the 2012 Draft Budget as the operating budget beginning January 2012, and to request the EVP to provide a proposed revised mid-year budget for board approval after June 30, 2012. A motion was made, seconded and approved to re-authorize the Executive Vice President and authorize the 2012 EXCOM as Bank Signatories for AIA Honolulu Bankoh Checking account beginning January 1, 2012.
IV) President Spencer Leineweber reported to the Board on items including: a) Letter from Architects Hawaii Chair, Bill Brizee, informing Board of AHL
decision not to renew AIA and Assoc AIA memberships in 2012. Board members discussed and agreed that AIA written response to AHL principals suggesting face to face in the New Year would be favored course of action to encourage continued membership support.
b) Lease status: Spencer reported that while several ground floor options to move office were being reviewed, that no progress had been made to finalize 2012 lease arrangements. i) Motion was made, seconded and approved to change Tenant
Representatives in the New Year (2012) since no progress had been made since beginning lease review process (in February 2011).

c) AIA Memorandum of Understanding (MOU) with Hawaii Architectural Foundation (HAF) reported that both AIA and HAF have now signed the MOU.
d) Spencer thanked outgoing board members for their service in 2011.
V) EVP Blagriff reported to Board on new 2012 AIA Continuing education requirement for members to increase from 8 units of Health Safety Welfare (HSW) to 12 annually of the total 18 (total unchanged). Also encouraged Board to consider Assoc AIA candidate for regional associate director in 2012, and to attend AIA Honolulu Kickoff party on 30 January.
VI) Pip White, President-elect provided update on:
a) Replacement for Kelly Irvine, Director, for 2012 following her transfer to AIA TN. No action taken pending verbal confirmation of interest with 2011 candidate Jennifer Fioretti, and then confirm at Jan 2012 meeting.
b) Committee Chairs for 2012. Board discussion followed with consensus that promoting future leaders and rotating committee chairs is important long-term goal for Chapter. Board approval of final Chair slate planned Jan 2012 meeting.
VII) Other board agenda items were discussed:
a) Zon Sullenberger provided update on Hawaii County Code adoption, noting that adoption of ICC codes was still pending Hawaii County Council final action. Board discussed and reaffirmed Honolulu Chapter readiness to support the Section to facilitate adoption of ICC codes.
b) Scott Wilson, 2011 Regional and Urban Design Committee Chair led Board discussion on RUDC committee’s latest draft proposal to have AIA submit Op-Ed (opinion piece) in support of Waikiki Natatorium restoration. Board discussion followed and consensus was reached that focus of any official AIA testimony or articles should be brief, generic and simply confirm AIA Policy on historic preservation to stress the importance of key historical structures to maintain the fabric of our community. i) Board vote to be conducted by email pending said revisions to final
draft. c) YAF update: (Mayumi Hara announced Pecha Kucha at Honolulu Academy
of Arts on January 6, 2012. d) Leadership Committee: Katie MacNeil provided brief update of success of
Leadership series to date. Final session to be held on January 6, 2012.

AIA Honolulu Conflict of Interest Policy
Adopted May 27, 2008 (Replaces June 19, 2007 version)
Article I Purpose
AIA Honolulu (the “Organization”), is a nonprofit corporation organized and existing under the laws of The State of Hawaii for the supporting and advancing the interests of professional architects and the architectural profession under Section 501(c)(6) of the Internal Revenue Code. The purpose of this conflict of interest policy is to protect the interests of the Organization when it is contemplating entering into a transaction or arrangement that might benefit the private interest of an officer or director of the Organization. This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit organizations.
Article II Definitions
1. Interested Person Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person. 2. Financial Interest A person has a financial interest if the person has, directly or indirectly, through business, investment, or family:
a. An ownership or investment interest in any entity with which the Organization has a transaction or arrangement;
b. A compensation arrangement with the Organization or with any entity or
individual with which the Organization has a transaction or arrangement; c. A potential ownership or investment interest in, or compensation arrangement
with, any entity or individual with which the Organization is negotiating a transaction or arrangement; or
d. An ownership or investment interest in, or a compensation arrangement with, any
entity which is the subject of any official policy, position or statement issued by the Organization.
Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A financial interest is not necessarily a conflict of interest. Under Article V, Section 2, a person who has a financial interest may have a conflict of interest only if the appropriate governing board or committee decides that a conflict of interest exists. 3. Family A person’s spouse, parents and children.

4. Entity A corporation, partnership, limited liability company, joint venture, proprietorship, trust or other business entity, or a federal, state or local government, or any agency or political subdivision thereof.
Article III Antitrust Laws
The antitrust laws prohibit agreements that unreasonably restrain competition. Certain anticompetitive conduct is presumed to be unreasonable. Agreements in violation of the antitrust laws can be inferred from similar conduct. The Organization can be implicated in unlawful conduct even if agreement is not reached during an Organization meeting. Therefore, the board must heed advice of legal counsel or the Organization's staff to discontinue a particular discussion or not to engage in certain conduct.
Article IV Association Tax Status
Tax-exempt associations can risk their exempt status by focusing on providing services to members rather than on promoting their industry or profession; providing benefits to individual members that are not available to others; engaging primarily in for-profit activities; or overcompensating staff. The Organization's tax-exempt status affects everything, from its dues statements to its internal accounting procedures; from its membership promotional materials to its meetings and publications. Therefore, the board must ensure that its actions advance the profession of architecture in general, rather than the individual interests of the Organization's members.
Article V
Procedures 1. Duty to Disclose In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. 2. Determining Whether a Conflict of Interest Exists After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board or committee members shall decide if a conflict of interest exists. 3. Procedures for Addressing the Conflict of Interest
a. An interested person may make a presentation at the governing board or committee meeting, but after the presentation, he/she shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the possible conflict of interest.
b. The chairperson of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement.

c. After exercising due diligence, the governing board or committee shall determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.
d. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the Organization’s best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination it shall make its decision as to whether to enter into the transaction or arrangement, provided, however, that no such decision shall be made unless there shall be at least two (2) disinterested directors. 4. Violations of the Conflict of Interest Policy
a. If the governing board or committee has reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member an opportunity to explain the alleged failure to disclose.
b. If, after hearing the member’s response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take appropriate disciplinary and corrective action.
Article VI Records of Proceedings
The minutes of the governing board and all committees with board delegated powers shall contain:
a. The names of the persons who disclosed or otherwise were found to have a financial interest in connection with an actual or possible conflict of interest, the nature of the financial interest, any action taken to determine whether a conflict of interest was present, and the governing board’s or committee’s decision as to whether a conflict of interest in fact existed; and
b. The names of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.
Article VII Compensation
a. A voting member of the governing board who receives compensation, directly or
indirectly, from the Organization for services is precluded from voting on matters pertaining to that member’s compensation.
b. A voting member of any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the Organization for services is precluded from voting on matters pertaining to that member’s compensation.
c. No voting member of the governing board or any committee whose jurisdiction includes compensation matters and who receives compensation, directly or indirectly, from the Organization, either individually or collectively, is prohibited from providing information to any committee regarding compensation.

Article VIII Annual Statements
Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person:
a. Has received a copy of the conflicts of interest policy; b. Has read and understands the policy;
c. Has agreed to comply with the policy; and d. Understands that the Organization's purpose is to advance the architectural
profession, rather than individual member interests, and that antitrust laws must be complied with at all times.
Article IX
Periodic Reviews To ensure the Organization operates in a manner consistent with its exempt purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted. The periodic reviews shall, at a minimum, include the following subjects:
a. Whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm’s length bargaining.
b. Whether partnerships, joint ventures, and arrangements with management
organizations conform to the Organization’s written policies, are properly recorded, reflect reasonable investment or payments for goods and services, further the Organization's exempt purposes, and do not result in inurement or an impermissible private benefit.
Article X Use of Outside Experts
When conducting the periodic reviews as provided for in Article VII, the Organization may, but need not, use outside advisors. If outside experts are used, their use shall not relieve the governing board of its responsibility for ensuring periodic reviews are conducted.
