The interview, lasting up to a maximum of one hour, will be held during the tender period. The tender evaluation panel will include Loughborough University representatives from the [Facilities/Development] Services Team, and our professional advisers.]

The interview will commence with a presentation from the tenderer, the brief for which will be provided by the panel ahead of time, followed by a question and answer session. The post-tender interviews will be used to moderate and finalise the tender evaluation scores, and identify the preferred tenderer.]

Although the University will use reasonable endeavours to adhere to the timetable, it reserves the right to vary it.

1.2 Background

The University:

Loughborough University (the University) is one of the country’s leading universities, with an international reputation for research that matters, excellence in teaching, strong links with industry, and unrivalled achievement in sport and its underpinning academic disciplines.

Section 2 – Instructions to Tenderers

Loughborough University issues the Invitation to Tender subject to the following instructions:

2.1 Confidentiality and Publicity

Tenderers (whether their Tender is accepted or not) and all other recipients of the Specification and documents (whether they submit a tender or not) should treat the details of the Specification and the documents attached hereto as private and confidential.

The contents of this ITT must not be not copied, reproduced, distributed or passed to any other person at any time except for the purpose of enabling the Tenderer to submit a Tender.

The University may use the information included in a Tenderer's response for any reasonable purpose connected with this ITT. In particular, once a Tenderer has been excluded, the University reserves the right to use any ideas contained in that Tenderer's tender in any ongoing discussions with other Tenderers but undertakes not to reveal the identity of the provider of these ideas.

No publicity regarding the award of any contract (or the provision of goods and/or services under the same) will be permitted unless and until the University has given express written consent to the relevant communication. For example, no statements may be made to the media regarding the nature of any Tender, its contents, or any proposals relating to it without the prior written consent of the University.

2.2 Costs and Expenses

The University will not in any circumstances be liable for any Tender costs, expenditure, work or effort incurred by a Tenderer in carrying out enquiries in relation to, proceeding with, or participating in, this procurement, including if the procurement process is terminated or amended by the University.

2.3 Preparation of Tenders

Tenderers must ensure that they have all the information required for the preparation of their Tender and satisfy themselves of the correct interpretation of terminology used in these documents. Tenderers must also ensure that they are fully conversant with the nature and extent of the obligations to be accepted by them if their Tender is accepted.

2.4 Validity of Tenders

Tenders must remain valid for acceptance for a minimum of [3] calendar months, from the closing date for the submission of Tenders.

2.5 Accuracy of Information

Whilst every effort has been made to ensure the accuracy of the information given in this tender document, the detailed facts and figures contained herein cannot be guaranteed and Tenderers should satisfy themselves as to their accuracy.

2.6 Conditions of Contract

The [University’s Standard Terms & Conditions for [Goods/Services] / Edition [2011/2016] of the JCT [Minor Works Contract/Intermediate Works Contract/Intermediate Contract (With Contractor’s Design)/ Standard Form of Contract (Without Quantities)/ Design & Build Contract/ Measured Term Contract / Repair & Maintenance Contract/ Consultancy Agreement Contract/Named Framework Agreement Conditions of Contract where undertaking mini-competition [at Appendix [X]]] will govern any contract awarded as a result of this tendering exercise [,with the following amendments:

[The amendments above will only potentially be made if using a JCT contract. Any amendments to the University’s Standard Terms & Conditions (e.g. changes to insurance levels or the inclusion of enhanced clauses relating information security, business continuity / disaster recovery, equalities or sustainability issues (including environmental requirements), can simply be made to the copy included in the ITT, following checking with the appropriate Category Manager.

Either insert the conditions of contract as an appendix or include as part of the Delta document set. Where a JCT contract is used, it will neither be inserted into the ITT nor included in the Delta document set, but issued to the successful tenderer when awarding the contract.]

2.7 VAT

All prices and/or rates submitted shall be exclusive of Value Added Tax (VAT), irrespective of whether or not it may be chargeable and any VAT which is properly chargeable and is supported by an acceptable tax invoice will be paid by Loughborough University. Zero VAT rated items must be clearly identified.

2.8 Alterations

None of these documents may be altered by the Tenderer. Any modification considered necessary by the Tenderer should be detailed in a separate letter accompanying the tender response.

2.9 Incomplete Tender

Tenders may not be considered if the complete information called for is not given at the time of tendering. Should an error or omission be discovered in a Tender, it will be at the University’s discretion as to whether to give the Tenderer the opportunity to amend or validate the Tender. The Tenderer’s response, and any subsequent adjustment, must be communicated in writing via the correspondence option on the University’s e-tendering facility, Delta.

2.10 Tender Return

[The Tender response is required to be submitted via Loughborough University’s e-tendering website, Delta. Detailed instructions on how to make your submission are available within Delta.

The Tender is to be sent to the [Name and position of Category Manager/Project Manager] at Loughborough University via the Delta e-tendering website to arrive no later than the closing time/date stated in Section 1, otherwise it may be disqualified.]

All general correspondence prior to the final submission of Tender and subsequently is to be sent to the [Name and position of Category Manager/Project Manager] at Loughborough University via the Correspondence function within the University’s e-tendering facility, Delta.

[Additionally, two hardcopies of the Tender are to be delivered either in person or by courier, as special delivery, for the attention of [Name and position of Category Manager/Project Manager], and by the closing time/date stated in Section 1, to:

2.11 Telex/Facsimile/Email

Tenders will not be considered if dispatched by telex, facsimile, or e-mail or other electronic method, save via Delta.

2.12 Treatment of Tender

The acknowledgement of receipt of any submitted Tender shall not constitute any actual or implied agreement between the University and the Tenderer. Nor does the University undertake to accept the lowest, or part, or all of any Tender. The University, at its sole discretion, reserves the right to accept any Tender(s), or any part, or all of any Tender(s) unless expressly stipulated otherwise in the Tender offer. The University is entitled to

abandon the procurement process provided that it notifies Tenderers of the reason(s) for doing so.

2.13 Prices

All prices must be quoted on the basis indicated in the accompanying documents and should comply with paragraph 2.7 in respect of VAT.

The basis of the price shall be inclusive of all costs.

2.14 Acceptance

Loughborough University will notify acceptance of the Tender(s) to the successful Tenderer(s) as soon as it is reasonably practicable, and to the best of its ability in accordance with the published timetable.

2.16 Initial Evaluation

Personnel authorised by the University will open the Tenders. All Tenders will be verified to ensure that all the information requested has been provided and that the Tender complies with the Invitation to Tender document. Clarification may be requested by the University upon any aspects of the Tender from prospective suppliers at this stage.

2.17 Freedom of Information Act 2000

Loughborough University, being a public authority when it carries out its public functions, is subject to the Freedom of Information Act 2000 (“the FOIA”). The University understands that in tendering for this contract, you may be concerned that information you provide may potentially be disclosable if a request is made to the University under the provision of the FOIA.

The FOIA requires the University normally to release information specifically required by any “person”. At the same time, the FOIA does recognise that a public authority, in order to carry out its functions, may decline certain requests where an appropriate exemption applies. In particular, two exemptions under s.41 and s.43 of the FOIA may apply. These two exemptions are set out below:

Information provided in confidence:S.41 provides that information is exempt if it was obtained by the University from any other person and the disclosure of the information to the public by the University would constitute a breach of confidence actionable by that or any other person. In order for the University to rely on this exemption, the information must be given in confidence, that is, the information must not be in the public domain and must not have been treated as non-confidential in the past. The information must also have been provided in circumstances importing an obligation of confidence.

Section 43 provides that information may be exempt if it constitutes a trade secret, or if the disclosure is likely to prejudice the commercial interests of any person. This exemption is subject to the public interest test.

Should you, the potential supplier, regard particular information as given in confidence, or constitutes a trade secret, or would prejudice your commercial interests, please indicate this clearly against the information. In addition, over time, the supplier should be aware that some information may lose its confidential or commercial sensitivity. Please indicate, in your view, when such information may be released. This should be a reasonable time period in relation to the nature of the data.

By indicating what information may be confidential or commercially sensitive may assist the University in determining whether any exemption applies. It should be noted that it is the University that must determine whether a disclosure should be made and that this must be determined on a case by case basis by the University.

2.18 Clarification of Tender Requirements

If you require further information or clarification of any points detailed in the Tender documentation, either technical or administrative, please detail these in writing and submit through the University’s e-tendering facility, Delta (the Correspondence function), at your earliest convenience.

2.19 Warnings and Disclaimers

While the information contained in this ITT is believed to be correct at the time of issue, neither the University, its advisors, nor any other awarding entities, will accept any liability in any circumstances for its accuracy, adequacy or completeness, nor will any express or implied warranty be given. This exclusion extends to liability howsoever arising in relation to any statement, opinion or conclusion contained in, or any omission from, this ITT (including its Sections) and in respect of any other written or oral communication transmitted (or otherwise made available) to any Tenderer. No representations or warranties are made in relation to these statements, opinions or conclusions. This exclusion does not extend to any fraudulent misrepresentation made by, or on behalf of, the University.

All suppliers should note that any quantities or volumes contained in this ITT are for indicative purposes only, and any future quantities or volumes may vary from those stated.If a Tenderer proposes to enter into a contract with the University, it must carry out its own due diligence enquiries and rely only:

on its own enquiries and judgment in relation to this procurement, including the preparation of its Tender; and

on the terms and conditions set out in the contract(s) (as and when finally executed), subject to the limitations and restrictions specified in it.

Neither the issue of this ITT, nor any of the information presented in it, should be regarded as a commitment or representation on the part of the University (or any other person) to enter into a contractual arrangement.

All suppliers are recommended to seek their own financial and legal advice.

2.20 Tenderer Conduct

Any attempt by Tenderers or their advisors to influence the contract award process in any way may result in the Tenderer being disqualified. Specifically, Tenderers shall not directly or indirectly, at any time:

(a) devise or amend the content of their Tender in accordance with any agreement or arrangement with any other person, other than in good faith with a person who is a proposed partner, supplier, consortium member or provider of finance;

(b) enter into any agreement or arrangement with any other person as to the form or content of any other Tender, or offer to pay any sum of money or valuable consideration to any person to effect changes to the form or content of any other Tender;

(c) enter into any agreement or arrangement with any other person that has the effect of prohibiting or excluding that person from submitting a Tender;

(d) canvass the University or any employees or agents of the University in relation to this procurement; or

(e) attempt to obtain information from any of the employees or agents of the University or their advisors concerning another Tenderer or Tender.

Tenderers are responsible for ensuring that no conflicts of interest exist between the Tenderer and its advisors, and the University and its advisors. Any Tenderer who fails to comply with this requirement may be disqualified from the procurement at the discretion of the University.

2.21 University’s Rights

The University reserves the right to:

(a) waive or change the requirements of this ITT from time to time without prior (or any) notice being given by the University;

(b) seek clarification or documents in respect of a Tenderer's submission;(c) disqualify any Tenderer that does not submit a compliant Tender in accordance with

the instructions in this ITT;(d) disqualify any Tenderer that is guilty of serious misrepresentation in relation to its

Tender, expression of interest or the tender process. Any Tenderer who directly or indirectly canvasses any employee of the University concerning the award of the Contract will be disqualified. The University may exclude any Tenderers from the tender process who have been found to be in breach of confidentiality or intellectual property rights and may pursue any remedy or take any other action for breach as it considers appropriate;

(e) withdraw this ITT at any time, or to re-invite Tenders on the same or any alternative basis;

(f) choose not to award any contract as a result of the current procurement process; and

(g) make whatever changes it sees fit to the timetable, structure or content of the procurement process, depending on approvals processes or for any other reason.

2.22 Intellectual Property

All intellectual property rights in this ITT and all materials provided by the University or its professional advisors in connection with this ITT are and shall remain the property of the University and/or its professional advisors.

Section 3 – [Specification / Employer’s Requirements]

[If using specialist software to produce Employer’s Requirements, to be issued as a separate document, then reference the separate document here (issuing it alongside this ITT document).

The sample text below is taken from a major refurbishment works tender and so may be of use when building up your Employer’s Requirements.

It is important to ensure that the Specification / Employer’s Requirements do not contradict anything that might be said in other elements of the ITT/tender pack, including the Conditions of Contract and Contractors Work Procedure Information Handbook.]

[Contractors Work Procedure Information HandbookThe contract must be performed in accordance with the University’s Contractors Work Procedure Information Handbook .

Building RegulationsThe Contractor is to submit and obtain Building Regulations approval and satisfy any conditions placed upon receiving full approval. The Contractor must notify the relevant authorities of when work commences and arrange for Building Control inspections and any costs associated therewith.

The Contractor will be responsible for providing Building Control with all necessary drawings, calculations, statements and the like.

The Contractor, in receipt of Building Regulations approval, shall pass to the Employer / Employer’s Agent the original notice of approval together with any subsequent approval documents.

No increase will be allowed to the Tender, or subsequently to the [Contract Sum], for any costs of whatever nature incurred in conforming to the requirement of the Building Regulations in force or promulgated at the date of Tender or to the interpretation of those regulations by the officers of the Local Authority.

Completion Certificates from Building Control are to be obtained by the Contractor and delivered to the Employer / Employers Agent.

The Contractor is required to use an approved building inspector. The University will allow for payment of their account as a direct item and not through the contract.

The Contractor is required to ensure strict compliance with Part L2 of the Building Regulations in terms of the production of a Log Book (in accordance with CIBSE, TM31). The Log Book serves the purpose of detailing building services, plant and control, there method of operation and maintenance and other details that collectively enable energy consumption to be monitored and controlled. The Contractor is to allow for handing over the Log Book upon completion of the building services and to update the same during the defects liability period after routine maintenance of the services installation.

Fire Regulations

The Contractor must satisfy himself that the works when completed will meet with the approval of Building Control. No adjustment to the Tender and subsequently to the [Contract Sum] will be allowed for costs arising from satisfying the requirements. All fees associated with fire engineering consultancy are to be borne by the Contractor. Please note this is excluded from the architect’s appointment.

Existing ServicesWhilst the Employer has endeavoured to locate all existing services the Contractor will be responsible for ascertaining the extent of all existing services and undertake the disconnection and diversion of these services, at no additional cost to the Employer. Due consideration must be given to maintaining all services to the Employer’s existing surrounding buildings, which will remain occupied during the construction contract works. Please contact the University for further information on existing services. The existing services are detailed in Appendix [X].

ConstraintsThe Contractor needs to be aware that the University will have certain sensitive days, such as graduation and exam days, and the Contractor is expected to monitor the links below over the course of the construction period when developing their programme of works.

Dates for specific events are unavailable at this time. These shall be provided to the successful Contractor following their appointment.

Due co-ordination, and communication will be required between the employer and the Contractor to ensure these events/days can proceed.

The University reserves the right to serve notice within 12 hours on the Contractor that can bring into effect the stopping of the works part or whole.

The stopping of works can be any day or number of days up to 5 days in total. Any instruction to stop the works will not generate any additional costs or claims for an extension of timefrom the Contractor.

The notice may also act to prevent/restrict Contractor traffic movement around campus. This will be linked into the graduation/open days and will not require stopping of works, but it will ensure the contractor will need to plan for without generating any claims.

The successful Contractor will be required to enter into Employer / Funder / Tenant / Purchaser / Sub-Contractor / Consultant warranties and Collateral Warranty agreements in the forms presented for each of the main elements, as detailed at Appendix [X].

Subcontract warranties will be required for the following elements of sub-contract work:1. Mechanical & Electrical Installation2. Precast Concrete Slabs3. Steel Frame4. External Wall Finishes5. Contract Guarantee BondThe Contractor is required to provide a Performance Bond in the sum of 10% of the [Contract Sum].

Parent Company GuaranteeThe Contractor is required to provide a Parent Company Guarantee in the form detailed at Appendix [X]. The Contractor is to provide a stand alone cost for this bond.

Quality Assurance and ControlThe Contractor shall prepare and agree with the Employer’s Agent a detailed Quality Assurance and Control programme setting out the methods he intends to adopt in order to demonstrate that the Performance Specifications are being met, requirements of all Statutes, Codes and Building Regulations etc. are being complied with and that all works will be systematically tested and commissioned before handover.

It is the Contractor’s responsibility to ensure that this Quality Assurance programme in relation to each element is agreed with the Employer’s Agent before works commences on site.

Workmanship on the project is to be of the highest order commensurate with the nature of the building. The finished project will reflect the control, supervision and care in detail design and workmanship, which has been outlined in the above.

Tender DrawingsThe Contractor is to comply with the contents of the Tender Drawings and is to produce additional details as required for construction purposes. The Contractor is to note that the use of CFC or HCFC blown insulants, together with hardwood from non-renewable resources shall not be permitted.

Rectification of DefectsThe Contractor is to note the following requirements for the rectification of defects, identified during the defects liability period. The following shall apply to all works undertaken by both the Main and all sub-contractors employed on the project. Emergency Repairs - Remedial works to be executed within 24 hours. Urgent Works - Remedial works to be executed within 7 days with immediate service repairs

after 3 days. Non-Emergency Repairs - Remedial Works to be executed within 14 days. Priority classification

for remedial works will be dictated by the Employer or their Agents.

University PoliciesThe Contractor is to note and comply with the following Loughborough University policies. The following shall apply to all persons on site.

Insulting Behaviour - Any worker who acts in an insulting, aggressive or offensive manner towards the staff or students of the University, or any other member of the public, will be excluded from site.

Alcohol and Drug Policy - No worker shall be permitted on site whilst under the effect of alcohol. The drinking of alcohol during breaks is therefore not permitted. Any person found to be under the influence of alcohol will be excluded from site.

Equal Opportunities and the Equalities Act 2010

The Employer is desirous of the Contractor, suppliers, sub-contractors, and consultants that they all comply with the Employers terms and conditions in respect of the above Act. The Contractor must make due allowance and ensure that suppliers, sub-contractors and consultants do the same.

Working HoursNormally: Monday to Friday 08:00 – 17:00.Saturday working is 08:00 to 17:00 hours.Any out of hours work by agreement with the University.

NoiseThe Contractor shall be aware of the daily routine of students and staff and shall structure their work to suit their requirements.

Surrounding academic buildings will be particularly noise sensitive during the construction period. The Contractor shall make due allowance for controlling noise during the works, and open days as previously mentioned.

The Contractor’s attention is also drawn to Sections 60 and 61 of the Control of Pollution Act 1974, with reference to the control of noise in relation to any demolition or construction works and to the obtaining of any prior consent from the responsible authority. The Contractor shall comply with any requirements and restrictions which may be imposed and shall allow for the cost of any such compliance within their tender.

Sound AttenuationThe Contractor is to allow for ensuring the sound reduction and attenuation requirements of the Employer, Service Engineers specifications and Building Regulations are achieved. The Contractor will be required during the testing and commissioning stage of the construction programme to undertake testing and provide written reports to indicate that elements of the building and services have achieved the required sound reduction and attenuation. The Contractor is to allow for all costs in undertaking the testing and reporting. Testing will be required on all floor levels of the building and externally in relation to plant / equipment and louvres.

PetsPets of any kind are not allowed on the site.

Fire PrecautionsThe Contractor and all staff must be aware of the University Fire Regulations, and the method of raising and responding to the fire alarm system. The Contractor must display the Fire Regulations in the site accommodation, also the fire assembly point for the area of working.

The Contractor’s site representative shall at all time keep a record of site staff. They shall take the record with them to the assembly point in event of alarm activation.

The Contractor must liaise with the University’s Fire Prevention/Safety Officer prior to the commencement of works to discuss the involvement of Fire Alarms, Detectors or associated equipment, to negate the possibility of false alarms by isolation of the equipment of deemed necessary.

The Contractor will be responsible for supplying portable firefighting equipment on location where the works present a fire hazard e.g. the use of heat or naked flames. The Contractor should familiarise itself and their operatives with the operation of the University fire safety procedures.

Considerate Construction SchemeThe Contractor is to allow in its tender price for applying for the project to be registered with the Considerate Constructors’ Scheme.

Clerk of WorksThe University’s clerk of works will be visiting site on a regular basis. Due notice must be given by the Contractor to all their comments, and written responses are expected by the Contractor. Separate and secure site accommodation should be provided for use by the Clerk of Works. Within this there should be power and data connections, a desk & chairs and office storage.

SecurityAll Contractors will be expected to comply with the University’s security procedures and keep within their agreed working areas and should not access any other parts of the site unless agreed with the University.

Existing SurveysAll reports are indicative only and the Contractor is responsible for ensuring their accuracy. The University will not be liable for any additional extra costs in connection with any errors contained within.

Structural ImplicationsThe structural integrity of the site and the associated infrastructure that borders it and all risks associated will be a Contractor risk.

Waste Management PlanThe Contractor will be responsible for preparing a Waste Management Plan and all obligations placed under The Site Waste Management Plans Regulations 2008. The Contractor must submit a Waste Management Plan within the Contractor’s proposals as a requirement in Appendix [X] of the tender documentation. Please refer to the University standard policies in Appendix [X] of the Tender documents.

PhasingThere will be no phasing or sectional completion of the works.

Access by the UniversityIf the Works are not practically complete by the Completion Date the Employer may any time thereafter without the consent of the Contractor commence the fitting out of the Works and preparation of the Works for use.

If the Employer exercises this right the Employer shall use its reasonable endeavours to procure that such work causes as little disruption to the Contractor’s remaining work as is reasonably practicable but to the extent that the Employer complies with this obligation the Contractor shall be deemed to have allowed for any such disruption and shall not be entitled to any extension of time or additional payment of any kind in respect of any such disruption.

BREEAMA copy of the BREEAM pre-assessment can be found in Appendix [X] of the tender documentation.

The Contractor is responsible for ensuring that the [new building achieves a BREEAM score of “Excellent” / refurbishment achieves a BREEAM score of “Very Good”].

RiskThe Contractor has an obligation to identify all project risks and make allowances to mitigate them.

The Contractor must demonstrate full compliance with the current Building Regulations and liaise with University’s Fire Officer during the design and construction of the Works.

CommissioningThe Contractor is expected to submit a separate cost for employing a Mechanical and Electrical Commissioning Engineer on behalf of the employer under the form of appointment in Appendix [X] of the tender documents.

This will be a joint appointment with the costs split equally between the University and the Contractor. The Contractor will be required to provide the name of the person and company who will undertake the role accompanied with the relevant experience.

The Contractor is also to provide a fully detailed commissioning programme to the Employer at the relevant stage of the project.

Car ParkingContractors and employees vehicles will be restricted to the site compound only. No parking will be allowed on the campus and streets surrounding the campus. The Contractor is to include within the tender for all costs associated with any restrictions to the access of the site.

Maintenance of Access RoadsBefore commencement of the works, a dilapidations survey of the roads used to access the site shall be made and agreed as a record of their existing condition. The Contractor is to give due consideration to maintaining the condition and cleanliness of these roads and make good damage that comes about as a consequence of their activities.

Maintenance ProceduresThe Contractor is to make due allowance within its tender for maintaining the completed building in accordance with Loughborough University’s standard maintenance procedures document which can be found in Appendix [X] of the tender documents.

Contractor Site Set-UpThe Contractor is to provide a site compound layout as part of its tender including a method statement for access and delivery vehicles during construction. It is recommended that the site compound should be located in the car park adjacent to the building.]

(i) Organizations with fewer than five employees are not legally required to have a documented policy statement.
