The Compliance Landscape: Overview
Global financial crisis has sparked stricter regulatory oversight of third-party
relationships – new standards and stricter enforcement
Banks have steadily expanded the number, type and complexity of third-party
relationships
The result: Banks face increasingly rigorous scrutiny of third-party
relationships, precisely at a time when they are more reliant than ever on
complex, multi-vendor third-party relationships
Compliance oversight of any given third-party provider involves sourcing,
procurement, legal, finance, contracting, IT, vendor and risk management
and often multiple business units
Requires clearly defined areas of responsibility and ownership, rigorous
processes around maintaining touch points and flows between organizations

Vendor Lifecycle
Vendor Management Office is responsible for orchestrating standard vendor
lifecycle activities for a vendor engagement. The role that vendor management
assumes in supporting each domain can vary by company or engagement.
Vendor Management responsibilities and stakeholder interactions must be
clearly understood for each vendor engagement.

Drill-Down into Three Phases
Each phase of the sourcing lifecycle involves specific requirements and
challenges:
• Planning
• Due Diligence
• Contract Negotiation
• Ongoing Monitoring
• Termination
We will focus on specific requirements within the Planning, Due
Diligence and Ongoing Monitoring phases in detail
© 2015 Alsbridge Proprietary & Confidential18
Planning
Requirements: “…accurately and adequately define the level of
support needed for the subsequent phases of Due Diligence and
Ongoing Monitoring….”
Risk: Underestimating or neglecting potential requirements, leading to
an inadequate budget. Funding slips through the cracks and the
compliance program is compromised before it even begins.
Role of the VMO: Coordinate activity and provide oversight between
the business, sourcing and procurement teams to identify risks.
© 2015 Alsbridge Proprietary & Confidential19
Due Diligence
Requirements: “…ensure that the provider’s information security
standards are at least at the same level as the client’s… Potentially
high-risk providers may require regular (annual) on-site
assessments.”
Risk: Assessments become back-logged, slowing down the process.
Teams get bogged down in dealing with bidders who aren’t selected as
suppliers.
Role of the VMO: Provide coordination with potential suppliers and
business SMEs to ensure that assessments are properly planned and
implemented and that appropriate information is shared and
communicated
© 2015 Alsbridge Proprietary & Confidential20
Ongoing Monitoring
Requirements: “…ensure that senior management periodically
assesses existing third-party relationships to determine whether
the activity performed constitutes a critical activity. Regular on-site
visits are recommended..”
Risk: What does/doesn’t constitute a “critical activity?” How do you
respond to constant changes?
Role of the VMO: keeping track of all these moving parts in an
efficient manner? How do you address all the myriad details while
maintaining a big picture perspective? What have we
observed/helped with that works?

Summary and Discussion
Banks face increasingly stringent regulatory compliance standards regarding
oversight of third-party relationships.
Banks are more reliant than ever on complex, multi-vendor third-party
relationships.
Managing multiple service providers, as well as the multiple business units
and functions within the enterprise, represents a significant challenge.
A Vendor Management Organization (VMO) is uniquely positioned to provide
the oversight and coordination needed to address the regulatory challenge.
